Intercollegiate Athletics

The Department of Intercollegiate Athletics at West Virginia University sponsors 17 varsity sports with

more than 500 student-athletes competing in baseball, men’s and women’s basketball, women’s cross

country, football, women’s gymnastics, women’s indoor and outdoor track, rifle, men’s and women’s

soccer, men’s and women’s swimming and diving, women’s tennis, women’s volleyball, women’s rowing

and wrestling.

These sports compete in some of the finest facilities in the nation. Mountaineer Field at Milan Puskar

Stadium, which underwent a renovation in 2004 that included the addition of stadium suites and club

seating and seats 60,000 fans, is the home of Mountaineer football. The Coliseum sports complex

includes the 14,000-seat University Coliseum, home to men’s and women’s basketball, women’s

gymnastics, women’s volleyball and men’s wrestling; men’s and women’s soccer compete at Dick Dlesk

Soccer Stadium; women’s tennis plays at the Coliseum Courts; men’s and women’s swimming and diving

utilize the University Natatorium and women’s track runs on the Mountaineer Track. The Basketball

Practice Facility opened in spring of 2012 and serves as the home to the men’s and women’s basketball

offices and practice needs. The Women’s Soccer Training Facility opened in the fall 2011 and is the

home for women’s soccer daily training needs.

West Virginia University competes in the Big 12 conference since July 1, 2012, in all sports except men's

soccer (Mid-American Conference), and rifle (Great American Rifle Conference) and strives in its

athletics program for national excellence and prominence. Accordingly, the recruitment of student-

athletes and emphasis on and support of athletics are national in scope.

The Department of Intercollegiate Athletics subscribes to high standards of academic quality as well as

breadth of academic opportunities. More than 3,000 student-athletes have earned a place on the

Athletic Director’s Honor Roll by attaining at least a 3.0 grade point average since its inception in 1989.

During the 2010-11 athletic seasons, the University finished 40th in the Director's Cup ranking of all

Division I intercollegiate athletic programs and has posted four straight Top 50 finishes in the Director's

Cup. So far in 2012, the University ranks 18th.

• The Mountaineer football team has been to ten straight bowls with three BCS bowl victories.

The University football has won seven Big East Conference championships and not finished

below second place in the league since 2002.

• The Mountaineer men's basketball team won the Big East Conference championship in 2010 and

reached the NCAA Final Four on its way to a No. 3 national ranking. Coach Bob Huggins earned

his 700th career win in 2011.

• The women's basketball team posted a 24-10 overall record, earning their sixth 20-win season in

the last eight years. The Mountaineers made the NCAA tournament for their fifth appearance in

the last eight seasons and advanced to the second round.

• Women's soccer finished with a No. 13 national ranking in 2011 after winning the Big East

Conference Championship. Women’s soccer also won the 2010 Big East Championship,

becoming the first the University program to win multiple tournament titles.

• University gymnastics had made seven straight NCAA appearances, 27 overall with an average

attendance mark ranking No. 22 nationally.

• The University is committed to financing the athletics program from revenues generated by the

Department of Intercollegiate Athletics and it shall conduct its program consistent with the

letter and spirit of the NCAA and the mission of West Virginia University.

Section III PROGRAM SUMMARY

Project Description: The renovation of the WVU Coliseum Complex Projects consists of

multiple phased projects within the Coliseum Complex at various facilities contained within the

Coliseum campus. The projects are briefly defined below and would include the following scope

of work:

1. Coliseum 2nd level Administration Suite – renovate approximately 38,000 GSF of

previously unoccupied space on the 2nd level of the Coliseum into Administrative offices

for the Athletic dept. Includes selective demolition of interior partitions, electrical,

mechanical, ceilings and ancillary components. The renovation of existing classrooms,

restrooms and offices. The new construction includes; construction of interior partitions,

revised branch electrical and mechanical systems, ceilings, lighting, finishes and

flooring.

2. Coliseum Concourse Renovation – renovate approximately 69,000 GSF of occupied

spaces on the concourse level of the Coliseum. The intent is to add restrooms,

concessions and points of sale along the interior and exterior spaces along the

concourse, as well as updating the existing concourse look. Overall goal is to improve

fan experience and amenities. Includes selective demolition of interior partitions,

electrical, mechanical, ceilings and ancillary components. The new construction

includes; revised branch electrical and mechanical systems, ceilings, lighting, finishes

and flooring.

3. Men’s Basketball Locker Room Renovation – renovate approximately 3,000 GSF of

space on the Event level of the Coliseum, including locker room/team space for the

Mountaineer Basketball Team, corridor and theater space. The intent is to update the

existing locker room, team lounge, shower area and entry corridor. These spaces are

used for game day locker rooms and are part of the recruiting path for future players.

Includes; new ceiling, lighting, wall and floor finishes, reconfiguration of spaces, custom

wood lockers, tile, wood flooring, and graphic displays.

4. Women’s Basketball Locker Room Renovation – renovate approximately 1,125 GSF

of space on the Event level of the Coliseum, including locker room and corridor. The

intent is to update the finishes and entry corridor. These spaces are used for game day

locker rooms and are part of the recruiting path for future players. Includes; lighting, wall

and floor finishes, and graphic displays.

5. Event Level Suites, Media, Training, Support Spaces Renovations – renovate

approximately 6,000 GSF of occupied spaces on the event level of the Coliseum. The

intent is to add restrooms, suites, food service support spaces, training, hydro therapy,

and media rooms. Overall goal is to improve fan experience and amenities. Includes

selective demolition of interior partitions, electrical, mechanical, ceilings and ancillary

components. The new construction includes; revised branch electrical and mechanical

systems, ceilings, lighting, finishes and flooring.

6. Olympic Sports Weight Room Project – construct a multi-sport weight training space

adjacent to the Natatorium/Shell buildings. Approximate 15,000 GSF to include free

weight training area, ERG training area, nutrition station, and office/storage spaces.

This new space serves all the Olympic sports and the majority of other sports except

football, baseball and basketball. This new space is being constructed to replace the

existing weight room in the Natatorium.

7. Natatorium Renovations – renovate approximately 8,000 GSF including existing

training room, equipment storage areas and repurposing existing weight room and locker

areas. Includes; demolition and renovation of existing spaces, interior partitions,

concrete slab on grade replacement, ceilings, branch electrical and mechanical systems,

finishes and flooring.

8. Shell Building Renovations – renovate approximately 70,000 GSF in the Shell building

(currently a large open space used for multi-sport training. Includes new lighting, wall

and floor finishes, new heating/ventilation system, indoor track, and new support spaces

utilizing existing layout.

Section IV INSTRUCTIONS TO PROPOSERS

A. SUMMARY

1. This Request for Proposal (RFP) is for Gilbane Building Company, acting in its

role as Construction Manager (CM), to select experienced Glass and Glazing

Contractors on an Early Procurement Design/Assist (D/A) basis for the

construction and renovation of the Coliseum Complex Athletic Projects at West

Virginia University, in Morgantown, WV. The Owner of the Project is the West

Virginia University (University).

2. The selection process will incorporate three steps:

a. Submission of a Technical Proposal.

b. Based on scoring of the Technical Proposal, a short list of firms will be

invited to submit a Price Proposal. The Price Proposal will include an

initial Guaranteed Maximum Price (iGMP).

c. Following evaluation of the Price Proposal, firms will be invited to attend

an interview with the selection committee. The interview will be held at the

West Virginia University Coliseum.

3. The CM is working with a design team which includes architects and engineers

AECOM. During the remainder of the Preconstruction/Design Phase, the D/A

Contractor will work with the CM and the design team to provide continual budget

updates and to advise on constructability issues and equipment procurement

strategies. The D/A Contractor will take no responsibility for the actual design, or

for producing design documents.

4. The D/A contracts will be awarded in two phases. The initial phase is the

Preconstruction/Design Phase, leading up to the preparation and submission of

the final Guaranteed Maximum Price (fGMP). The second phase is the

Construction Phase for the actual construction work.

5. Upon selection of the D/A Contractors, and approval by the University, the

Contract will be executed for Preconstruction/Design Phase services only.

6. The Proposer’s obligations during the Preconstruction and Construction Phases

are detailed in Section VI “Scope of Work”.

7. Subsequently, and in accordance with the terms and conditions of this RFP, a

Modification to the D/A Contract is anticipated to be issued for construction

services upon acceptance by the CM of the fGMP and approval by the University

as described elsewhere in this document. The Contract will govern the

Preconstruction/Design and Construction Phases of this Project.

2. The CM shall be the sole point of contact for purposes of the preparation and

submittal of the proposal in response to this RFP. All questions on this

procurement are to be directed in writing to the CM. Throughout the

procurement process, Proposers may “only” have contact with the CM

identified above. Discussions or communications regarding this

solicitation with any other individuals associated in any capacity with the

University, its consultants, contractors or members of its Board of

Governors are prohibited.

C. PRE-PROPOSAL CONFERENCE

1. There will be no pre-proposal conference. Proposers can visit the project site at

their convenience.

D. DUE DATE AND TIME

1. The Technical Proposal must be received at the CM’s office by the date and time

indicated in the Solicitation Schedule in order to be considered.

E. LATE PROPOSALS

Any proposal, request for withdrawal, or modification of a proposal that is not received at

the designated location, time and date set forth herein will be deemed late and therefore

not be considered. Delivery of the proposal to the specified location by the prescribed

time and date is the sole responsibility of the Proposer.

F. MODIFICATIONS AND WITHDRAWAL OF PROPOSALS

1. Withdrawal of, or modifications to, proposals are effective only if written notice

thereof is filed to the CM prior to the time proposals are due. A notice of

withdrawal or modification to a proposal must be signed by an officer with the

authority to commit the company.

2. Withdrawal or modifications will not be accepted after the time proposals are due.

G. QUESTIONS AND CLARIFICATIONS

1. Should a Proposer find any discrepancies in the RFP documents, be in doubt as

to the meaning or intent of any part thereof or otherwise need clarification, he

must, not later than seven (7) working days prior to the proposal due date,

request clarification in writing from the CM. Failure to request such clarification is

a waiver to any claim by the Proposer for expense made necessary by reason of

later interpretation of the RFP documents by the CM.

2. Questions and inquiries shall be directed to the individual referenced above as

the CM point of contact.

3. Items affecting the scope of work or conditions of the Contract shall be subject to

the conditions of Amendments per Paragraph N. below.

H. TERMINOLOGY

All references in this RFP to the Design/Build Contractor, Proposer, University,

Architect, and other person or persons are made relative to the singular person, male

gender (e.g. "he", "him", "his", etc.) These are intended only as generic terms relative to

number and gender and are employed solely to simplify text and to conform to

commonly used construction specification language.

I. SITE INVESTIGATION

By submitting a proposal, the Proposer acknowledges that he has investigated and

satisfied himself as to the conditions affecting the work, including but not restricted to

those bearing upon transportation, handling and storage of materials, and availability of

labor. Any failure by the Proposer to acquaint himself with the available information will

not relieve him from the responsibility for estimating properly the cost of successfully

providing the services required. The CM shall not be responsible for any conclusions or

interpretations made by the Proposer of the information made available by the CM.

J. RIGHT TO REJECT PROPOSALS AND WAIVE INFORMALITIES

1. The CM reserves the right to cancel this RFP at any time before the date set for

the receipt of proposals.

2. The CM reserves the right to reject either all proposals after the opening of the

proposals but before award, or any proposal, in whole or part, when it is in the

best interest of the CM. For the same reason, the CM reserves the right to waive

any minor irregularity in a proposal.

K. IRREVOCABILITY OF PROPOSALS

The Preconstruction/Design phase D/A Contractor fee price proposal for this project

shall be irrevocable for one hundred and twenty (120) calendar days from the proposal

due date.

L. LICENSES AND QUALIFICATION

1. Proposers must be licensed as required by the State of West Virginia and the

City of Morgantown and shall submit proof of current licensing with their

proposal.

2. The CM reserves the right to require a Proposer to demonstrate that he has the

skills, equipment and other resources to satisfactorily perform the nature and

magnitude of work necessary to complete the project within the proposed

contract schedule.

M. AMENDMENTS

Oral explanations or instructions will not be binding; only written Amendments will be

binding. Amendments will be issued by e-mail to all Proposers. Proposers shall

acknowledge the receipt of all Amendment(s) in the space provided on the Proposal

Form.

N. ECONOMY OF PREPARATION

Proposals should be prepared simply and economically, providing a straight forward,

concise description of the Proposer's offer to meet the requirements of the RFP.

O. CONFIDENTIAL/PROPRIETARY INFORMATION

Proposers should give specific attention to the identification of those portions of their proposals

which they deem to be confidential, proprietary information or trade secrets, and provide any

justification of why such materials, upon request, should not be disclosed. Proposals will not be

publicly opened. Proposers must clearly indicate each and every section that is deemed to be

confidential, proprietary or a trade secret. It is NOT sufficient to preface your entire proposal

with a proprietary statement.

P. INCURRED EXPENSES

The CM will not be responsible for any costs incurred by any Proposer in preparation

and submittal of a proposal.

A debriefing of an unsuccessful Proposer will be conducted upon written request

submitted to the CM within ten (10) calendar days of which the Proposer knew, or should

have known, its proposal was unsuccessful. The debriefing will be oral and will be

limited to a discussion of the unsuccessful Proposer’s proposal only and will provide

information on areas in which it was deemed weak or deficient. The debriefing may

NOT include discussion of a competing offeror’s proposal or discussion, thoughts, notes

or ranking from an individual evaluation committee member. A summarization of the

CM’s rationale for the selection may be given.

R. PREVAILING WAGE RATES

This project is currently NOT subject to Prevailing Wage. Prevailing wage requirements

have been rescinded by legislative action. Trade Contractor remain responsible for

submitting certified payrolls, Submit to the proper authorities and/or electronic copy to

Gilbane for record. Any fines associated with failure to comply with this requirement shall

be paid directly by the Trade Contractor.

S. LIQUIDATED DAMAGES

1. Concourse Level – For an event other than Men’s basketball a minimum of (1)

concession and all existing restrooms must be available. For Men’s Basketball

games (including Midnight Madness) all new concessions and restrooms must be

operational and functional for the intended purpose, if not $8,500 per

game/event.

2. Weight Room - $1,500 per day starting at substantial completion

3. Shell/Annex - $1,500 per day starting at substantial completion

4. Men’s and Women’s Basketball Locker Rooms & Corridor - $8,500 per game for

each corresponding Team’s game

Section V PROPOSALS AND EVALUATION

A. TECHNICAL PROPOSAL SUBMITTAL

Responses to the RFP shall consist of the following:

1. Verification of Mandatory RFP Requirements: All Proposers shall submit evidence of compliance with the Mandatory Requirements of this RFP. This evidence must be furnished by all Proposers in their Technical Proposal Submittal (See Section V Par., B.1 below).

2. The technical proposal should be prepared in a clear and precise manner. All appropriate points of the solicitation must be addressed. The requirements for the technical proposal are listed in this section.

3. Submit one original and four (4) copies (total of 5) of each technical proposal. An electronic copy shall also be submitted on a CD or flash drive. Technical proposals shall be bound. Sheet size shall be 8-1/2" X 11" or 11" X 17" maximum, folded. Supplemental information may be submitted as an appendix. Technical proposals shall be organized and tabbed according to the Technical Proposal Criteria listed below. The Technical Proposal and all required forms shall be completed in ink or typed; erasures and/or alterations shall be initialed in ink by the signer.

4. The technical proposal shall be submitted in a sealed envelope/box. The envelope shall have the proposer’s name, RFP number, date and time proposals are due, and the project name prominently displayed, together with the words, “TECHNICAL PROPOSAL”. Technical Proposal shall not have any references to the Price Proposal.

5. The following items shall be included in the technical proposal:

a. Detailed responses to the technical criteria listed in this section

b. Submittal of all applicable forms provided in the attached Loose Forms Package.

c. Copy of proposer’s WV contractor license.

d. Copy of Proposer’s City of Morgantown license.

6. The Technical Proposal shall not include any information regarding the proposed prices, or the Price Proposal.

B. TECHNICAL PROPOSAL REQUIREMENTS

a. Provide information on at least three but not more than seven projects that demonstrate the Proposer’s relevant experience with projects and delivery methods similar to the WVU Coliseum Complex Athletic Projects.

b. Projects should include as many of the following criteria as possible:

1. Use of Early Procurement Design/Assist delivery for preconstruction and construction MEP services

2. Projects located at West Virginia University and in West Virginia

3. Projects similar in scope and size (public assembly, higher education)

c. Projects must have achieved substantial completion within the last ten years.

d. For each project, provide a brief narrative describing the Glass and Glazing systems installed, challenges that your project team faced, and how those challenges were addressed. Provide your initial and final contract price, with an explanation for any substantial increases in the price.

e. Provide contact information (telephone number and/or e-mail address) for representatives at each project that can attest to the performance of your firm. Contacts can include general contractors, construction managers, design consultants, building owners or building managers as appropriate.

2. Key Personnel a. Provide resumes for the key personnel that will work on the Project.

At a minimum, include the following positions: 1. Project Executive (corporate level person with oversight

responsibility) 2. Project Estimator or Preconstruction Manager 3. Project Manager (day to day responsibility during construction) 4. Lead trade superintendent(s) 5. Quality Manager 6. Safety Manager

b. Resumes should include educational and work history, past employers, and personal references.

c. Provide organizational charts showing your corporate structure as it relates to the Project, and how your project staff is structured during the preconstruction and construction phases. Indicate which staff members will be devoted to the project full time, and what percentage of time will be allocated for part time personnel. The organizational

chart should indicate how you intend to manage the project, and not necessarily how many people will be part of your team.

d. Indicate where the Key Personnel had significant roles on the Relevant Projects listed above.

e. By submitting the individuals for consideration as key personnel, the Proposer is committing these individuals to the Project for the duration of the contract, if awarded the contract. Should circumstances necessitate a personnel change, the Proposer shall submit a written change request to replace key personnel. All personnel change request shall include sufficient information to demonstrate that the proposed individual meets or exceeds the qualifications of the Key Personnel to be replaced. No personnel changes will be permitted without the prior written authorization of the CM.

3. Subcontracting Plan a. Provide a brief narrative describing what trade work you will perform

with your own forces and what trade work you will subcontract. For work that will be subcontracted, describe how subcontractors will be prequalified and selected under the Design/Assist delivery method.

4. Safety a. Gilbane has adopted a program that employs behavior based

strategies to move safety beyond mere enforcement of regulations. The goal is to encourage tradesmen to embrace safety at a personal level, and to be accountable for their actions. Describe briefly your experience with similar programs, and any efforts your firm has taken to promote this approach to safety. Describe also your program to detect substance abuse and to insure that tradesmen are fit for duty. Note that Gilbane’s safety program will require you to include a full time safety manager on site as soon as your workforce (including subcontract labor) reaches twenty workers.

5. Quality Control/Quality Assurance (QA/QC) Program a. Explain how you will administer your QA/QC program. Highlights

should include: 1. First delivery inspections to insure that materials and

equipment delivered to the site are in accordance with the contract documents and approved submittals.

2. Assurance that the trades people assigned to a task have been properly trained and understand the specific QA/QC requirements for the work they are performing.

3. Management and discharge of any deficiency lists issued by third party inspectors.

4. Management of the testing program.

b. Designate an experienced member of your field staff to manage the QA/QC program. This person will interface with Gilbane’s Quality Manager and with the Engineer on a daily basis.

6. Financial Strength a. Proposers must complete all of the prequalification requirements

using Gilbane’s iBidpro website. All financial information entered into iBidpro is held in the strictest confidence, and is accessed only by Gilbane’s Corporate Prequalification Manager. All data must be entered at least two weeks prior to the due date for the Technical Proposal. The Proposer must respond promptly to all inquiries for additional information or clarification from Gilbane’s Corporate Prequalification Manager. Technical Proposal submissions will not be accepted from firms that fail to complete the prequalification process. Firms that complete the process but do not meet the prequalification standards will be notified prior to submission of the Technical Proposal.

b. The successful firm will not be required to provide a Performance and Payment bond. Gilbane will employ Contractor Default Insurance (CDI, also known as Subguard) to protect Gilbane and the University against subcontractor default. CDI coverage does not extend to lower tier subcontractors and vendors.

7. No Pricing

The Technical Proposal must NOT include any cost estimates or labor

rates.

C. PRICE PROPOSAL

1. At the completion of the technical evaluation the proposers determined to be technically acceptable and susceptible for award will be requested to submit a price proposal. The due date and time for the submission of price proposal will determined at that time.

2. The price proposal will include the following:

a. Preconstruction Phase services fee, stated as a lump sum

b. Construction Phase initial Guaranteed Maximum Price (iGMP) and estimate broken out by project with detailed back-up.

D. INTERVIEW

1. After evaluating the Price Proposals relative to the scoring for the Technical

Proposals, the CM will select one or more Proposers to participate in an

Interview. The Interview will be conducted at the West Virginia University

Coliseum.

2. The purpose of the interview is as follows:

a. To allow the CM to meet the Proposer's key personnel and discuss their approach to the project.

b. To review in detail the Proposer’s iGMP cost estimate. This will be a working session, with the goal of verifying the Proposer’s complete knowledge of the scope of the project.

c. To respond to specific topics that the CM may request in writing before the visit.

3. The interview will not include a sales or marketing oriented presentation by the Proposer. Presentation materials will be limited to how the Proposer will manage the preconstruction and construction phases. The Proposer may not present additional materials that should have been included in the Technical Proposal.

E. AWARD CRITERIA AND EVALUATION OF PROPOSALS

1. The Evaluation Committee will include representatives from the CM and the project team. The Committee’s recommendation shall be made in the best interest of the University and in accordance to WV State Procurement Regulations. The CM will award the Contract to the Proposer whose proposal is deemed to represent the best value to the Project based on the combined total of technical and price merit.

2. The CM reserves the right to request clarifying information from any and all Proposers at any time during the evaluation process.

3. The final proposal rating will be based on the combined score of the Technical Proposal, Price Proposal, and Interview/Shop Visit. Scoring will be weighted as follows:

Technical Proposal 35%

Price Proposal 40%

Interview 25%

4. Price Proposals will not be opened publicly.

5. Negotiations

a. The CM will determine the low and responsive bidder based on the Evaluation Factors and a recommendation for award shall be made.

Section VI SCOPE OF WORK

A. PROJECT OVERVIEW 1. Provide complete Design/Assist services for the renovation and new

construction of the WVU Coliseum Complex Projects as described in Section III Program Summary.

2. The subject scope of this Design Assist Package is all Storefront –

Interior and Exterior, Curtainwall, Aluminum Entrances and associated hardware, Windows, Glass and Glazing, Interior Glazing, and Polycarbonate panels for all components of the project.

3. Overall Project Schedule Milestones

a. Complete all Coliseum Phase 1 Work 9/15/16 b. Complete Coliseum Event Level Work (Suites) 6/1/17 c. Complete Shell Building Additions & Renovations 9/1/16 d. Complete New Weight Building 12/23/16

B. PRECONSTRUCTION PHASE SERVICES

1. Gilbane desires to create a cohesive team for this project. This Trade Contractor shall attend regularly scheduled meetings in Morgantown with other members of the design team, provide information and make recommendations to the other members of the team in regard to development of the design, feasibility, constructability issues, availability of materials and labor, alternative materials, time requirements for construction, safety issues, and preliminary budgeting. The Trade Contractor and the Construction Manager shall work with the Architect while they complete the Construction Documents. This is with the understanding and based on the condition that the team will mutually cooperate and collaborate to enable each phase of the completion of the CD documents to be completed timely, efficiently, with the highest possible quality and in keeping with the Owner’s best interest.

2. This Trade Contractor shall work with the Construction Manager and design professionals to analyze various design options, including value engineering work as required to maintain budget control. At various stages of design this Trade Contractor shall provide “Best Cost Solutions” that accomplish the intent of the design. Such recommendations shall consider not only first cost of implementation, but also the time required for construction, probable resultant quality, maintenance and operational cost, and functionality.

3. It is to be explicitly understood that, at the time when the initial Guaranteed Maximum Price (iGMP) is submitted, the design of this project is in the Design Development phase. As such, the work covered in this bid package will not all be shown in the drawings and specifications issued herewith.

4. It is the expectation of this bid package that the initial Guaranteed

Maximum Price (iGMP) shall be a complete number anticipating the final Glazing systems design, and be adequate to provide complete and operational systems as would normally be anticipated for this type of project.

5. This Trade Contractor shall prepare the initial Guaranteed Maximum Price (iGMP) using the documents as listed. The initial Guaranteed Maximum Price (iGMP) shall be a detailed estimate derived from cost quantity surveys. While not taking responsibility for design (this will be the responsibility of the design team); the successful Trade Contractor will be responsible for reviewing any follow up documents and value engineering proposals and provide trending estimates.

6. This Trade Contractor shall constantly monitor the progress of the design and evaluate its effect on cost as it relates to the initial Guaranteed Maximum Price (iGMP) established at the time of award. It shall be the responsibility of this Trade Contractor to identify and quantify any deviation in the design development that would cause the initial Guaranteed Maximum Price (iGMP) to be exceeded. In this event, it shall also be the responsibility of this Trade Contractor to suggest value engineering options to steer the design back within the cost constraints of the initial Guaranteed Maximum Price (iGMP) while still delivering the required systems for the facility and the quality level established herein.

7. This Trade Contractor will be responsible to work with the designers to ensure that the systems meet applicable codes, meet performance specifications, work within the physical constraints of the architectural/structural design, meet budget and schedule goals, and are consistent with the Owner’s objectives for the project.

8. Throughout the continuation of the design, this Trade Contractor shall participate in the design, offering detail and overall system design suggestions and aid the design engineers in the development of the drawings.

9. This Trade Contractor shall develop a critical path project schedule, using Primavera P6, which Gilbane can integrate into the Master Schedule, and update this schedule as reasonably required listing all activities necessary for this scope of work.

10. In addition to the estimating and constructability requirements previously mentioned, the Trade Contractor will prepare and submit two complete estimate updates before the establishment of the fGMP. Each estimate will be due three weeks after issuance of the pricing documents. All estimates will follow the format used for the approved iGMP, and will allow for side comparisons of the current and past estimates.

11. The Trade Contractor shall track the estimated cost of the work as the design is completed. During the periods between formal estimates, the Trade Contractor will issue a Trend Log showing quantities or scope items which may have been increased, decreased, added or deleted

since the last update. The Trend Log will show how the budget is tracking relative to the iGMP.

12. This Trade Contractor shall provide Building Information Modeling (BIM) for this project. The specific requirements for Building Information Modeling (BIM) are included in “Gilbane Building Company Building Information Modeling (BIM) Standards & Specifications for Trade Contractors”. This document is attached and is part of this bid package. The spatial coordination collision/clash detection requirement also includes service access space, door swings, filter access, damper access, and the space required to remove coils or other components from HVAC equipment. The Electrical Contractor must model the code required access spaces around electrical gear.

13. This project will be LEED like. LEED Equivalent building practices and materials will be utilized. The projects will not be seeking official certification.

14. Preconstruction Fee shall be paid as follows: 1/3 at completion of design development phase, 1/3 at the mid-point of the preconstruction phase and 1/3 upon Owner’s acceptance of the final Guaranteed Maximum Price (fGMP). Upon payment the Owner owns the BIM and any documents produced by the Trade Contractor during the preconstruction phase. In the event that the Owner is unable to secure funding, the necessary regulatory approvals, re-evaluates the need for the project, or for any reason the project is terminated, this Trade Contractor hereby agrees to accept the Preconstruction Lump Sum Fee (or prorated portion thereof if the preconstruction phase is not yet complete) as sole compensation for all services rendered and hereby agrees to hold harmless the Owner, Construction Manager, Architect and Engineers from any and all claims including loss of profit.

C. FINAL GUARANTEED MAXIMUM PRICE (fGMP)

1. This Trade Contractor shall submit a Final Guaranteed Maximum Price (fGMP) within 20 working days after receipt of the pricing documents. The fGMP shall include all costs necessary for the performance of the Work of this Bid Package. It is incumbent upon this Trade Contractor to monitor the progression of the design during the preconstruction stage through the construction document development stage to ensure that the final Guaranteed Maximum Price (fGMP) is less than or equal to the initial Guaranteed Maximum Price (iGMP) as adjusted by mutual agreement for changes in scope. The fGMP will be issued in phases as design development progresses and to maintain the overall project schedule.

2. Upon acceptance of the Final Guaranteed Maximum Price (fGMP), the Contract will be converted to a Lump Sum Contract.

3. The final Lump Sum Price will be submitted when the design documents have progressed to a point where they are sufficient for that purpose. By submitting a final Lump Sum Price, this Trade Contractor acknowledges that through its general experience and its active participation in the design process it fully understands the design intent and that its bid includes a complete working system inferred by the entire design documentation taken in context. The Architect/Engineer of Record will prepare complete construction documents prior to the construction phase. A modification of the final Lump Sum Price will be justified only by a change in system scope and not by the addition of parts necessary to make the system work as intended.

4. In the event that this Trade Contractor fails to deliver a final Guaranteed Maximum Price (fGMP) that is less than or equal to the initial Guaranteed Maximum Price (iGMP) as adjusted by mutual agreement for changes in scope, the Construction Manager may at its sole discretion invoke one of the following remedies:

a. Require that this Trade Contractor provide additional value engineering as acceptable to the Owner, Program Manager, Construction Manager, Architect and Engineers and resubmit the final Guaranteed Maximum Price (fGMP).

b. Terminate this Trade Contract and solicit proposals from other Trade Contractors for this scope of work. In this event, the termination shall be considered a Termination for Convenience and this Trade Contractor shall forfeit 1/3 of their preconstruction fee to cover the cost of re-bidding this scope of work.

D. CONSTRUCTION PHASE SERVICES Information will be provided to the Short-Listed Trade Contractors via Addendum.
