Dear Mr. Palani,

I have contracted NextGen IT Services Inc. d/b/a GETMETHERIGHTJOB (hereinafter referred as “GMTRJ”) to provide

recruiting services for my Company (_________________________________) under the following Terms & Conditions:

I understand that GMTRJ is an independent contractor legally able to be engaged to do such work and that these

Terms & Conditions will be governed by the laws of the State of Illinois. I further understand that although GMTRJ

offers professional recruiting services, GMTRJ cannot guarantee that I or my business will meet my or its recruiting

objectives.

I understand that my success working with GMTRJ depends heavily on me. In other words, my success working with

GMTRJ depends on my ability to provide information about job requirements, company culture, soft skills

requirements and any intangible information critical to matching and screening the right candidates for open job

requirements. I also understand that success also depends on quickly responding to questions from GMTRJ staff.

I also agree to work with GMTRJ in a transparent fashion -- this includes sharing information to improve the process

for both parties. This is a relationship not a transaction!

Commitment to each other

Because GMTRJ‟s fee structure is so low, I agree to pay a one-time $1,500 “Commitment Fee” when I sign this letter

and return my in-take form. This fee is used to cover GMTRJ‟s software licensing fees and a fraction of GMTRJ‟s set-

up costs. More importantly it communicates to GMTRJ that I am sincere in my desire to work with GMTRJ in a true

“Shared Risk” Partnership.

In the case of a Full-Time Hire

I or people representing my Company will carefully screen (phone screen for technical and non-technical) candidates

before bringing them on-site. I agree to a $500 “Accountability Fee” for every candidate that participates in an “On-

site” interview with people from my company or people representing my company. I also appreciate the fact that this

Accountability Fee will not be charged if GMTRJ provides more than three (3) on-site interviews but GMTRJ will

continue to source until the right candidate is found. I also understand this Accountability Fee will be invoiced the day

after an on-site interview. The invoice will be due upon receipt.

I also agree to pay a $6,500 “Success Fee” if one of the candidates provided by GMTRJ that is offered and accepts

„Full-Time‟ employment with my company any time up to one year (12 months) from the date we received and

authorized the candidate for consideration. This Success Fee will be invoiced on the start date of the candidate and

the invoice will be due Net 35. If the candidate is terminated or resigns at any time during the first 30 days following

the 1st day of Full-Time employment the Success Fee will be waived because GMTRJ did not succeed.

NOTE: We have written this agreement as a letter from you to GetMeTheRightJob‟s founder and President,

Velu Palani. The spirit of this agreement is simple – if something doesn‟t seem right anytime, just give us

a call. If it is reasonable, we will fix it, do it, change it or whatever is necessary. Whatever happens, please,

don‟t let us be the last to know. Here goes…

In the case of a Temporary Hire

I will receive free skills matched resumes from GetMeTheRightJob. I agree to pay a Success Fee of “True Cost” +

$500/week only if I hire the temporary candidate. The Success Fee will be invoiced weekly and payment will be due

in Net 15 days.

In the case of a Contract-to-Hire

after an on-site interview. The invoice will be due upon receipt. I also agree to pay Success Fee of “True Cost” +

$500/week only if I hire the temporary candidate. Success Fee will be invoiced weekly and payment will be due in Net

15 days.

* No additional hiring fees will be charged by GMTRJ if my company decides to hire the candidate full time after fourteen

(14) weeks from the start date.

Finally…

I will pay all invoices when due and if I am not able to do so, I agree to pay finance charges on the uncollected

balance due GMTRJ at the current interest rate set by GMTRJ not to exceed 7% per month.

Should I supply GMTRJ with materials which I consider confidential to my business, I will mark all such materials as

“Confidential.” GMTRJ will do its utmost to protect “confidential” materials in the same manner in which GMTRJ

protects its own confidential materials.

To help GMTRJ spread the word about their services, I also agree to not unnecessarily withhold authorization of

publicity of our agreement.
