The Board Chris Murray – Chair of Fusion 21 Ltd and Fusion Foundation

A member of the Egan Task Force on Skills, during 2005 Chris was seconded to the Office of the Deputy Prime Minister to establish the Academy for Sustainable Communities, a national regeneration skills agency based in Leeds. In 2002 he was appointed as a Director of the Commission for Architecture and the Built Environment. Before this Chris worked in local government for 10 years, establishing the UK’s first local authority cultural planning unit in Milton Keynes, responsible for economic, cultural and some urban development in the new town and outlying rural areas. He has

worked in education, community work and as a psychiatric social worker. Chris holds qualifications in art and design, teaching, business and marketing and European cultural planning.

Outside of Core Cities, Chris is also Chair of leading social enterprise company Fusion21, an intelligent procurement organisation that recycles profits into training unemployed people and helping them into work.

He writes and presents extensively on several subjects connected with his work and broad interests and has published one book and contributed to a few others. He was Lead Advisor to the Arts Council of England on regeneration and sustainable communities, ran a working group for the Department of Culture Media and Sport on the future of the Creative Economy, and was for several years a Trustee of a public arts charity.

Mike Burrows – Non-Executive Director of Fusion21 Ltd (Finance, HR and Infrastructure)

Mike is the Managing Director of the Greater Manchester Academic Health Science Network (GMAHSN). The Network has a role in bringing the NHS, academia and industry together to generate health and wealth in the conurbation. Prior to this he was the Area Director, Greater Manchester for NHS England. He has held previous Chief Executive roles in the NHS in Greater Manchester, most notably the Chief Executive of Salford Teaching Primary Care Trust from May 2004 until May 2011. Originally a doctor of biochemistry Mike has worked in the NHS

for 28 years now both in the finance discipline and general management. He has an active interest in the use of evidence-based medicine and is a passionate believer of the benefits of strong ties between the NHS and academia. In this respect he was one of the founding board members of the Manchester Academic Health Science Centre and under his leadership developed Salford PCT to become one of the leading research active PCTs in the country. In his current role Mike is tasked with the responsibility for ensuring the 29 member organisations of the network implement best evidence-based practice and innovation available to them.

Mike has previously been a Board member of several social enterprise and public private partnership organisations and has been instrumental in establishing three spin-out social enterprises.

John Beckford – Non-Executive Director of Fusion21 Ltd (Service Delivery – Internal Operations

John is a management scientist, running his consulting practice since 1991, working with a wide range of clients internationally across the private, public and third sectors. His experience covers social housing, social care, education and healthcare as well as infrastructure, utilities, engineering, manufacturing, transport and logistics.

John holds a PhD in Management Systems and Sciences and, in addition to his non-executive role with Fusion21, is Visiting Professor in the Department of Science, Technology,

Engineering and Public Policy at University College London and in the Centre for Information Management at Loughborough University. He is the author of two books on management, ‘Quality’ (3rd Edition, Routledge, 2010) and ‘The Intelligent Organisation’ (Routledge, 2015, Forthcoming) and writes and presents extensively to a wide range of audiences on organisational effectiveness. John has undertaken research projects for the Department of Business, Innovation and Skills, Department for Transport, DeFRA and HM Treasury in relation to infrastructure investment and adaptation to climate change.

John is a Trustee of The Under 17 Car Club Charitable Trust an organisation established to develop the capabilities, knowledge and understanding of novice drivers through pre-licence age education with the aim of reducing KSI rates amongst this vulnerable population.

John Stapleton – Non-Executive Director of Fusion21 Ltd (Growth & Market Development)

John is an entrepreneur with over 25 years’ experience in FMCG building consumer-facing brands in both the UK and the USA and has wide-ranging experience in operational management and strategic leadership roles. John co-founded the New Covent Garden Soup Co Ltd in 1987, which created and pioneered the fresh soup category in the UK and Ireland. With a market share of over 60%, John sold this business in 1998 and moved to San Francisco where he co-founded Glencoe Inc, bringing the fresh soup concept to the United States.

On returning to Europe in 2003, John established a consultancy business and worked with a few varied clients in the UK, US, Germany, Belgium and the Czech Republic. In 2005, John co-founded Little Dish which supplies fresh, natural foods for children over 1 year. Little Dish created and pioneered the toddler chilled food category, can be found in all national UK high street retailers and is the dominant brand in chilled toddler food (73% market share). John is a graduate of University College Dublin, Reading University and The University of Westminster.

Claire Baxter – Non-Executive Director of Fusion21 Ltd and Common Director of The Fusion Foundation

Claire is the director of Richmond Baxter Ltd, a specialist business consultancy offering support to organisations that want to change and grow without losing sight of their social mission.

She is a specialist in public policy and how this impacts business development, strategic planning and campaigning. She has helped design and evaluate services targeted at vulnerable groups including the homeless, unemployed young people, refugees and the financially excluded.

Her clients include national charities, partnerships, social enterprises, councils and health services. Claire is also independent chair of a panel tasked with promoting quality student accommodation and is trustee of contemporary art gallery.

Prior to setting up her own business, Claire worked in the local government, education and voluntary sectors for 20 years. She was director of policy and communications for a large unitary authority where she was responsible for leading several transformation reviews and developing partnership approaches to emerging issues, including the economic downturn.

Claire has a degree in Economic and Political Development, a postgraduate qualification in Research Methods, is a member of the Chartered Institute of Public Finance and Accountancy and the RSA.

Leadership Team Dave Neilson – Chief Executive

Dave is responsible for the overall strategic management and future direction of Fusion21. He is instrumental in shaping the vision for the organisation, and is a champion for innovation, collaboration and sustainability.

Originally from a background in Building Surveying; Dave has been with Fusion21 since its inception and led on the design of the Fusion21 procurement model. Acting as a strategic change agent, innovator and champion of ethical and social business he has ensured strong growth for the organisation

which has procured over £1.1Billion in contracts to date and has grown to national coverage with more than 570 members.

A strong networker with high level relationships within the social housing and social enterprise sectors at local, regional and national levels, Dave has considerable non-executive experience in social enterprise, CVS and community interest companies.

His achievements to date saw him named as a finalist in Ernst & Young “Entrepreneur of the Year” 2013 and “Great British Entrepreneur” in 2014; he is also a member of the E3M Group – a national group of leading social enterprise Chief Executives seeking to support the growth and influence of social enterprise across the UK. He is a non-executive Director of Hospice Quality Partnership and a Trustee of Knowsley Community & Voluntary Services.

Mark Chadwick – Director of Business Services

Mark Chadwick is Director of Business Services at Fusion21 Ltd where he leads the business improvement, governance, R&D and business services functions. As an experienced transformational leader Mark has delivered change strategies to help organisations in social housing, social care and government to achieve success.

Passionate about working with organisations that make a positive impact on the communities they serve; Mark is committed to delivering high levels of performance and success. His approach to aligning culture, skills, systems and

processes has enabled the delivery of operations improvement projects, information strategies and growth plans.

At Fusion21 Mark’s work with operational teams resulted in the award of external accreditations including ISO9001 (Quality) and ISO14001 (Environment). In addition, he recently led the successful bid for Investors in People GOLD award, putting them in the top 7% of accredited organisations across the UK who believe in realising the potential of their people.

A Chartered Manager and PRINCE2 Practitioner, Mark also holds a BA (Hons) and MSc in Information Systems and is a sessional lecturer in Information Management for the University of Loughborough.

Sarah Rothwell – Head of Member Engagement

Sarah Rothwell is Head of Member Engagement at Fusion21, leading on the marketing and communications, business development and member engagement functions for the business. An experienced marketer with a background in public relations within the private sector, Sarah has delivered marketing strategies and communications strategies; including digital marketing projects and brand management, on behalf of both Fusion21 and across multi-organisation collaborations.

A Chartered Marketer with experience working in marketing and communications function for both private and public sector. Sarah holds a BA (Hons) in Linguistics, a Postgraduate Diploma in Marketing and is a Member of the Chartered Institute of Marketing.

Peter Francis – Director of Operations

Peter Francis is Director of Operations at Fusion21 and is responsible for all delivery activity within the business.

He brings a wealth of experience in finance, procurement and community regeneration over a career spanning 20 years in the private & public sector.

Peter was heavily involved in the delivery of the first Fusion21 Skills and Apprenticeship programmes and continues to support the development of both Community Regeneration and Procurement Services.

Formally the Financial Controller at Fusion21, Peter continues to lead the finance team. He is an MCIPS qualified procurement professional; a qualified AAT Technician and holds an HNC in Business Management.

Peter is currently undertaking a Master's Degree in Strategic Procurement Management with the University of South Wales Business School.

Role Profile

Overview:

The Board of Fusion21 Ltd has the responsibility for the control of the assets and activities of the Company as a whole so that it sets and meets its objectives.

The Board of the Fusion21 Ltd has delegated the responsibility for executing the plans and policies of the board to the Chief Executive. This includes operational responsibility for the management of Fusion21 business, brands and services.

Role of the Board

- To take collective responsibility for promoting the success of the company and its associated brands and partnerships

- To provide entrepreneurial leadership to the company to meet its ambitions

- To define, and ensure compliance with, the values and strategic objectives of the company

- Establish a framework of controls which enables risk to be effectively assessed and managed

- To determine an appropriate balance and emphasis, in conducting Board business, between scrutiny (backwards looking) and future business (forward looking)

- To ensure that the necessary financial and human resources are in place for the company to meet its objectives

- To implement policies and plans to achieve those objectives

- To champion and support specific business objectives to provide a clearer and stronger link between the Board and the executives charged with management of particular functions

- To consider and approve each year’s budget and accounts

- To establish and oversee an effective framework of delegation and systems of control;

- To agree policies and make decisions on all matters that might create significant financial or other risk to Fusion21 Ltd, or which raise material issues of principle

- To monitor Fusion21’s performance in relation to its plans, budgets, controls and decisions

- To appoint and, if necessary, dismiss the Chief Executive, and be represented in the appointment of Directors

- To satisfy itself that Fusion21’s affairs are conducted lawfully and in accordance with generally accepted standards of performance and propriety and the requirements of relevant regulatory bodies.

Directors also accept a personal responsibility to:

- Support the values and objectives of Fusion21 Ltd;

- Represent Fusion21 Ltd positively to all external audiences as well as promoting the company, identifying opportunities and making connections

- Be a champion of specific key objective[s] of the company

- Contribute to the decisions of the Board from their skills and experience and share responsibility for all their decisions;

- Attend at least 75% of Board and committee meetings to which they are invited;

- Read the papers beforehand for all meetings that they are invited to attend;

- Attend strategy "awaydays" and training sessions provided for all Directors;

- Respect confidentiality of information;

- Register all interests that might have a bearing on Fusion21’s work and declare any potential or actual conflicts of interest as and when they arise;

- Raise any concerns they have about Fusion21’s affairs with the Chief Executive or the Chair.

Composition of the Board

- Fusion21 Ltd is a subsidiary of Fusion21 Foundation Ltd; as such the Fusion21 Foundation has “control” of Fusion21 Ltd.

- The number of Directors will generally not exceed 12 - The Board has an independent Chair, who is a Non-Executive Director. The Chair is

supported by Non-Executive Directors. The Chief Executive is also a Director of the Company and a Member of the Board. The Board is supported by members of the Leadership Team. These are the Officers of the Company.

- The Board may also, at any time, appoint Advisors to the Board. The aim of Advisors is to provide support and expertise to the Board. Advisors are generally champions, influencers or specialist advisors representing sectors or expertise relevant to the ongoing business of the Company.

Competencies and Behaviours

The Board have discussed and agreed the following broad set of competencies, behaviours and ground-rules that it will apply, and around which it will undertake further work during facilitated sessions where needed:

Clarity of Strategic Purpose: The Board will set and work to a well-defined set of objectives based on evidence and on its Purpose, Mission, Vision & Values; understanding the boundaries of the Board-Exec roles.

External Awareness: The Board will think and act strategically and intelligently about the wider business environment, market shifts, opportunities and threats, in the best interests of the organisation as a whole.

Internal Focus: The Board will work to understand the mechanisms of the organisation and how to strategically support these to deliver outcomes, overall, and in relation to its specific Champion roles.

Influence through Trust and Integrity: The Board will operate according to transparent, honest and ethical behaviours sensitive to the needs of others, gaining influence through effective leadership and partnership, creating a sense of ‘shared leadership’ and ownership across the organisation, including in the ‘mentor-mentee’ relationship developed through the Champion roles.

Effective Action: The Board will nurture an awareness of its collective and individual skillsets, how to utilise these most effectively on behalf of the organisation, understanding the link between particular actions and outcomes.

Appropriate and Positive Challenge: The Board will seek to create an environment of non-defensive openness to challenge, be appropriately self-critical, and challenging of others in a constructive and respectful manner.

Key Terms and Conditions

The role:

Non-Executive Director

Remuneration:

£6,000 per annum plus reasonable expenses.

Time Commitment:

Any Board member role requires an important time commitment. You will be expected to attend meetings of the Board, and to devote adequate time to prepare for board meetings, away days, possible committees and to undertaking training and development events as appropriate.

The role requires an overall commitment of approximately 12 days per year comprising a range of activities including; board meetings, strategy days, activities and representation at events. The Treasurer is also expected to have regular meetings with the Executive Team and other key staff.

Terms of Office:

The tenure length for a Board member is 3 years. This can be renewed subject to a satisfactory appraisal and the Board’s skills requirements at the time. All members may extend by 2 terms totalling a maximum of 9 years.

Location:

Board meetings are held in Merseyside.

Meeting Schedule:

Future meeting dates/times, could be subject to change (typically Foundation Board meets in the morning and LTD in the afternoon, joint sessions are in between with a working lunch): -

11th October 2019: separate Foundation and LTD Board meetings  

12th December 2019: separate Foundation and LTD Board meetings AND a joint session

12th March 2020: separate Foundation and LTD Board meetings

19th June 2020: separate Foundation and LTD Board meetings

17th September 2020: separate Foundation and LTD Board meetings AND a joint session

9th December 2020: separate Foundation and LTD Board meetings.

11th March 2021: separate Foundation and LTD Board meetings AND a joint session.

Longlisted candidates will be invited to an interview with a Campbell Tickell panel. This will take

place at Fusion21 Ltd, Unit 2 Puma Court, Kings Business Park, Knowsley, L34 1PJ.

Final interviews: To be organised by Fusion21 Ltd

w/c 14th October or w/c 21st October

Shortlisted candidates will be invited to an interview with a Fusion21 panel.
