JOINT MOTION FOR ENTRY OF A STIPULATED TEMPORARY RESTRAINING ORDER
Plaintiffs, the Federal Trade Commission ("FTC") and the Commonwealth
of Pennsylvania ("Commonwealth"), by their undersigned counsel, have filed this
action seeking an order preliminarily enjoining the merger of Defendants Penn
State Hershey Medical Center ("Hershey") and PinnacleHealth System
("Pinnacle") pursuant to Section 13 (b) of the Federal Trade Commission Act

("FTC Act"), 15 U.S.C. § 53(b), and Section 16 of the Clayton Act, 15 U.S.C. §
26. The parties have stipulated to a temporary restraining order under which
Defendants Hershey and Pinnacle will not consummate the proposed merger until
three days after the Court rules on the Plaintiffs' motion for a preliminary
injunction. By this Joint Motion, the parties respectfully move the Court for an
order entering the attached Stipulation and Proposed Order.
