    Wednesday, Feb. 19, 2014; 3 p.m.

    1. Business item: Disposition of funds from newly established legal defensefunds

    Clarification needed regarding the Elizabeth Nichols legal fundsIs this fund solely for the Nichols case, or in general?Does the legal "defense" include filing of appeals?Will the funds in excess of legal expenses be given to Nichols for her

    educational needs?

    a. It has been agreed upon that the funds established will be solely for legalexpenses (court fees, attorney fees, etc.) related to the approved court case andfor no other purposes.b. Since the funds are advertised and donations are solicited as "legal defensefunds" it would be both unlawful and unethical to divert contributions to otherpurposes.c. Filing of appeals can be considered legitimate "defense."

    The discussions that took place on Wednesday, Feb. 5 at the communityassembly:

    1. We authorized the establishment of legal defense fund as a special projectaccount, to help with legal expenses of Liz Nichols. This we authorized becausethe potential outcomes of this specific legal case may set precedents that couldadversely affect other members of our community whose cases may still bepending.2. Any excess funds are to be held and used for legal defense of any otherindividual as need may arise. The gross maximum limit for this account is$25,000.3. No part of this fund goes to any other purposes, such as personal expensesor educational funds for Liz Nichols. Anyone who wants to help her personally

    on those needs can do so separately from this fund administered by FOOP, andthat will be strictly between them and we do not involve ourselves in this.4. For the sake of accountability any funds would be paid out directly to theintended recipients (attorneys, courts, etc.).

    The following has been communicated from Michael Wade to the organizer/proposer of the legal defense fund:

    (1) The funds deposited to this account are intended for legal defense of 1stamendment cases. Liz Nichols case is a case in point.(2) Funds with explicit restrictions will be accounted for separately. If aparticular case is cited, then the funds for that case will be sequestered fromthe fund through notes on the Friends of Occupy Portland Website and

    GoogleDocs.(3) You are going to provide a transaction record with details about theintention of the donor as to how restricted the funds are.(4) Unrestricted Legal Defense Funds will be used as determined by theBoard of Friends of Occupy Portland. At least initially this will be in support ofLiz's appeal.(5) If individuals would like to support Liz outside of the legal realm, wewould need for that to be clearly indicated on their donation.(6) We will be seeking advice on how much money can be deposited in theaccount without raising unwanted attention. I think that the major restrictionsare on the carryover from year to year. For now, let's put a governor on the

    account of $25,000.

    Will another Advantis sub-account be set up for other potential recipients oflegal defense funds?

    a. Creating separate account for every single case would result in administrativeburdens.

    The board has agreed upon these clarifications regarding our policies on theadministration of legal defense funds.

    2. Discussion item (no actions):Some continuing discussions on fundraising event planning. McMenaminshosts various fundraisers for community organizations for $2,000 (for an 8-hourevent) plus 10 percent of sales generated from event. McMenamins also selltickets to such events at its locations as well as the event venue itself (e.g. theevent may be at Kennedy School but people can purchase tickets at CrystalBallroom, Grand Lodge, Edgefield, or one of many neighborhood pubs). Theonly downside is that we would have to book a year in advance.

    McMenamins is only mentioned as an idea. Jack knows of someone who has a

    suitable venue between Gresham and Sandy.

    Pledge campaign and regular small-scale fundraising events are also to beconsidered.

    The meeting adjourned at 5 p.m.sm
