Nursery, LLC. As I write this letter we are facing what no doubt may be the most challenging business climate

of our 30 year history. One positive outcome of a severe economic downturn is that it forces the leadership of

every company to reflect deeply on what they really are, and who they wish to serve. As I ponder the answers

to the questions for our company, I believe that we at FWN have the same core mission that we had during the

boom years, to be “Growers of Superior Quality Nursery Stock”. We take our mission very seriously, and for

many years have worked hard to establish a name in the industry as an excellent grower.

It is not easy to be a good grower, but we realized a long time ago that there are a lot of those in our

industry. Even harder for us to establish was a reputation of being a company that is willing to go the extra mile

to work closely with you, our customer, to help solve your special needs. We are more than growers, we are a

customer service driven team of people that reaches beyond our foundation of being excellent growers to being

problem solvers for you. Our team excels at finding ways to say “Yes” to our customers. What is your special

need? Next day service? Special labels with your pricing on each container? A hard-to-find variety specifically

grown for you and your client? A tour with you and your customer to hand select your specimen tree? Central

leaders in every tree? Or maybe you need one more tree added to your order that has already been loaded. If

this is you, than you are the person we are uniquely qualified to serve.

Frantz Wholesale Nursery, LLC is a premier family owned grower of landscape trees, shrubs,

groundcovers and grasses. We offer a full line of containerized ornamentals, ranging in size from one gallon to

72” box specimens. We work diligently to bring each plant to the market place at a

competitive price with superior quality our focus every step of the way. In addition

to the landscape basics, we offer topiaries, espaliers, patio trees and a variety of

specialty plants. We have a broad base of customers, spanning from small

independent retailers to large landscape contractors, from Utah to Central

California. This is what we do. But most importantly, we are a grower that looks for

ways to tell you “Yes!” to your many requests.

As we embark on what will no doubt be a challenging year, we look

PAYMENT TERMS: Orders from any new or unestablished accounts must be paid in advance of shipment. For all established accounts,due on or before the 10th of the month following date of delivery. Past due accounts are subject to a late charge on the unpaid balanceat a rate of 1.5% monthly (18% annually).

SALES TAX: Sales tax is applicable, unless a resale certificate has been completed and filed at Frantz Wholesale Nursery, LLC in Hickman,California. Sales tax is also applicable on our freight charges.

PRELIMINARY NOTICE INFORMATION: We comply with state law and ask for Preliminary Notice Information for most orders at timeof order.

NON-WARRANTY: We give no warranty, expressed or implied, as to the description, quality, productiveness or any other matter, of treesor plants we sell, other than original price of the stock at the date of sale. No liability is assumed by Frantz Wholesale Nursery, LLC fordelay or failure to deliver caused by wars, strikes, fires, floods, droughts, embargoes, or any other contingencies beyond seller’s control.

GUARANTEE: Claims must be made immediately upon receipt of goods, in writing on the shipping documents. We will not honor claimsthat are filed after goods have been accepted or which are not made immediately upon receipt of goods. We guarantee that our plantsare free of pests and diseases when they are delivered. Our liability in all instances is limited to the purchase price.

AVAILABILITY: All orders accepted are subject to stock on hand at time of delivery. Our availability varies from time to time, soplease check with your sales representative first to make sure the stock you need is currently available.

RESTOCKING FEE: Orders not accepted or canceled after loading are subject to a 20% restocking charge.

CAN CREDIT: We are happy to accept used containers. We do not accept used tree boxes unless the bands have not been broken.

SEVERABILITY: In the event that any part of these terms and conditions of sale is held to be illegal or unenforceable in any jurisdiction,the other parts shall nonetheless remain in full force and effect.

SHIPPING INFORMATION

SHIPPING: All prices are quoted FOB Hickman, CA. We do provide shipping service to our customers for a freight fee. Freight rates areavailable from our office. We require a minimum order of $500.00 for delivery. Depending on delivery schedules, it may be possible todeliver below minimum orders with an additional Drop Fee to cover operational cost.

SHIPPING REQUIREMENTS: We require our customers to assist with the off-loading of the material at all nurseries and job sites. Anyspecial equipment required for large trees must be provided by the customer. Deliveries are ‘curbside’ only. Our trucks cannot be takenon unpaved roads. Our drivers are not responsible to ‘spot’ plants in locations or carry plants into the job site.

DELIVERY SCHEDULES: Please contact your sales representative to find out when our truck travels into your area. We make regulardeliveries into most of Northern California.

If you have an upcomingproject that requires a largenumber of trees or shrubs,consider having themcontract grown by us! Weoften provide plant materialfor projects that havedifficult plant lists, or requiresuch a large quantity of aparticular variety that itwould be difficult to locatethem on the open market.The advantages to thecommercial landscaper orarchitect are many:

• no last-minute scramblesfor plants

• significant cost savings

• entire plant list is grownat one location for easyinspections

• guaranteed availability attime of delivery

We will tag and hold trees inpreparation for your projectup to one year prior toshipment. However, wecannot guarantee availabilityfor projects that are delayedbeyond the original shipdate. Due to their shortershelf life, we cannotguarantee shrub materialavailability unless they arecontract grown. We growmost of the basic shrubvarieties in large quantities,and make every effort tohave them available for yourprojects. Please contact yoursales representative foradditional information.
