Pursuant to the Order Establishing Procedures for Interim Compensation and

Reimbursement of Expenses of Professionals [D.I. 195] (the "Interim Compensation Order"),

Paul, Weiss, Rifkind, Wharton & Garrison LLP ("Paul, Weiss"), counsel to the Official

Committee of Unsecured Creditors (the "Committee") for the above-captioned debtors and

debtors-in-possession (collectively, the "Debtors"), hereby submits this Seventh Monthly

Application of Paul, Weiss, Rifkind, Wharton & Garrison LLP, Counsel to the Official

Committee of Unsecured Creditors of Quicksilver Resources Inc., for Compensation and

Reimbursement of Expenses Pursuant to 11 USC.§§ 330 and 331 for the Period of October 1,

2015 through October 31, 2015 (the "Application") for legal services performed during the

period commencing October 1, 2015 through and including October 31, 2015 (the "Application

Period"). In support of the Application, Paul, Weiss respectfully represents as follows:

BACKGROUND

1. On March 17, 2015 (the "Petition Date"), each of the Debtors filed a

petition with the Court under chapter 11 of title 11 of the United States Code, 11 U.S.C. § 101, et

seq. (as amended, the "Bankruptcy Code"), to commence these chapter 11 cases (the "Chapter 11

Cases"). The Debtors remain in possession of their property and have continued to operate and

manage their businesses as debtors in possession pursuant to sections 1107(a) and 1108 of the

Bankruptcy Code.

2. No request has been made for the appointment of a trustee or an examiner

in these cases. On March 25, 2015, the United States Trustee for the District of Delaware (the

"US Trustee") appointed the five (5) member Committee pursuant to section 1102(a)(l) of the

Bankruptcy Code. Subsequent to its appointment, on March 25, 2015, the Committee selected

Paul, Weiss as its counsel.

3. On April 14, 2015, the Court entered the Interim Compensation Order

which authorizes interim payments to professionals retained in these Chapter 11 Cases.

4. On May 8, 2015, the Court approved the Committee's retention of Paul,

Weiss, nunc pro tune to March 25, 2015 and entered the Order Authorizing the Employment and

Retention of Paul, Weiss, Rifkind, Wharton & Garrison LLP as Counsel to the Official

Committee of Unsecured Creditors of Quicksilver Resources Inc., et. al., Nunc Pro Tune to

March 25, 2015 [D.I. 328] (the "Paul Weiss Retention Order") that authorized Paul, Weiss to be

compensated on an hourly basis and to be reimbursed for actual and necessary out-of-pocket

expenses.

5. Pursuant to the Interim Compensation Order, Paul, Weiss and other

professionals retained in this case may file monthly fee applications (each a "Monthly Fee

Application") of their fees and expenses. After the expiration of a twenty-one (21) calendar day

objection period, the Debtors are authorized to pay eighty percent (80%) of the fees and one

hundred percent (100%) of the expenses requested in a Monthly Fee Application, unless an

objection has been lodged against specific fees and/or expenses, or the Court orders otherwise.

JURISDICTION AND VENUE

6. This Court has jurisdiction over this Application pursuant to 28 U.S.C.

§§ 157 and 1334. Venue of this proceeding and this Application is proper in this district

pursuant to 28 U.S.C. §§ 1408 and 1409. This matter is a core proceeding within the meaning of

28 U.S.C. § 157(b)(2)(A) and (M).

7. The statutory bases for relief requested herein are Bankruptcy Code

sections 105(a), 330 and 331, Rule 2016 of the Federal Rules of Bankruptcy Procedure (the

"Bankruptcy Rules") and Local Rule 2016-2 of the Local Rules for the United States Bankruptcy

Court for the District of Delaware (the "Local Rules").

TERMS AND CONDITIONS OF PAUL, WEISS'S COMPENSATION

8. Pursuant to the Interim Compensation Order, Paul, Weiss seeks payment

for compensation on an hourly basis, plus reimbursement of actual, necessary expenses incurred

by Paul, Weiss during the Application Period. The rates charged by Paul, Weiss in this case do

not differ from the rates charged to Paul, Weiss's non-bankruptcy clients.

9. A summary of the hours spent, the names of each professional and

paraprofessional rendering services to the Committee during the Application Period, the regular

customary billing rates and the total value of time incurred by each of the Paul, Weiss attorneys

rendering services to the Committee are attached hereto as the cover to this Application. A copy

of the computer generated time entries reflecting the time recorded for these services, organized

in project billing categories in accordance with the UST's Guidelines for Reviewing

Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C. § 330 by

Attorneys in Larger Chapter 11 Cases Effective as ofNovember 1, 2013 (the "Revised UST

Guidelines"), is attached hereto as Exhibit A. A statement of expenses incurred by Paul, Weiss

during the Application Period is attached hereto as Exhibit B. All time entries and requested

expenses are in compliance with Local Rule 2016-2.2 Attached hereto as Exhibit C is a summary

of (i) the hours billed and hourly billing rates for each professional during this Application

Period, (ii) the hourly billing rates for each professional used in Paul, Weiss's Interim

Application for Compensation and Reimbursement of Expenses (First) for the period March 25,

2015 to June 30, 2015 [D.I. 561] (the "First Interim Fee Application"), and (iii) a calculation of

the total compensation requested during this Application Period using the rates disclosed in the

First Interim Fee Application.

10. In accordance with the Interim Compensation Order, Paul, Weiss has filed

and served upon the notice parties identified in the Interim Compensation Order this Application

with respect to fees and expenses incurred during the Application Period: fees in the amount of

$429,271.00 and expenses in the amount of $5,715.46.

11. All services and costs for which compensation is requested by Paul, Weiss

in this Application were reasonable and necessary and were performed for and on behalf of the

Committee during the Application Period. Paul, Weiss has used its reasonable efforts to avoid

any duplication of services by any of the Committee's other retained professionals.

SERVICES RENDERED DURING APPLICATION PEROD

12. All of the professional services that Paul, Weiss rendered to the

Committee during the Application Period are set forth in detail in Exhibit A, divided according

to discrete project billing categories in accordance with the Revised UST Guidelines. To apprise

this Court of the legal services provided during the Application Period, Paul, Weiss sets forth the

following summary of legal services rendered. The summary is intended only to highlight the

general categories of services performed by Paul, Weiss on behalf of the Committee; it is not

intended to set forth each and every item of professional services which Paul, Weiss performed.

(A) Case Administration (Task Code 07): (Total Hours: 27.2; Total Fees: $17,472.00)

13. This category includes all matters related to the administration and

management of these chapter 11 cases. Specifically, Paul, Weiss corresponded with the

Committee's other advisors, including Landis, Rath & Cobb LLP ("LRC") as the Committee's

Delaware counsel, Moelis & Company LLC ("Moelis") as the Committee's investment banker,

and Berkeley Research Group, LLC ("BRG") as the Committee's financial advisor, with respect

to docket updates, case strategy, and information received from the Debtors, the Debtors'

advisors and other sources. Further, Paul, Weiss monitored the docket for case updates and

summarized relevant docket entries to keep the Paul, Weiss team apprised of recent filings and

critical dates.

(B) Employee Benefits and Pensions (Task Code 10): (Total Hours: 15.9; Total Fees: $13,268.00)

14. On October 23, 2015, the Debtors filed the Emergency Motion for Entry

of an Order Authorizing Certain Severance and Release Payments to Non-Insider Employees

[D.I. 736] (the "Severance Motion"). Paul, Weiss reviewed the Severance Motion, the Debtors'

severance plan and the Debtors' form releases and conducted several calls with the Debtors'

professionals and BRG to understand the impact of the Debtors' proposed reduction in force.

Further, Paul, Weiss reviewed and commented on the Debtors' proposed order in connection

with the Severance Motion. Paul, Weiss also provided updates to the Committee with respect to

the Severance Motion.

(C) Employment and Fee Applications (Task Code 11): (Total Hours: 26.7; Total Fees: $13,655.50)

15. During the Application Period, Paul, Weiss prepared its sixth monthly fee

application (the "Sixth Monthly Fee Application"), as well as reviewed time entries in

connection with the Sixth Monthly Fee Application for privilege and confidentiality to ensure

compliance with the Local Rules and Revised UST Guidelines. Further, Paul, Weiss reviewed

and analyzed the Fee Examiner's Final Report Regarding First Interim Fee Application of Paul,

Weiss [D.I. 702] and prepared a summary of the final report for each professional to share with

the Committee.

16. Additionally, Paul, Weiss reviewed the Debtors' Application for an Order

(I) Authorizing the Expansion of the Scope of Their Retention of Ernst and Young LLP as Audit

Services Providers Pursuant to 11 U.S.C. §327(a), Nune Pro Tune to September 1, 2015, and (II)

Approving the Subcontracting of Certain Audit Services to the Member Firm of Ernst & Young

Global Limited Located in Canada, Nune Pro Tune to September 1, 2015 (the "E&Y

Application") [D.I. 710]. Paul, Weiss had discussions with BRG and the Debtors' advisors with

respect to the E& Y Application to better understand the scope of, and advise the Committee on,

Ernst and Young's expanded retention.

(D) Meetings and Communications with Creditors (Task Code 13): {Total Hours: 11.8; Total Fees: $13,930.00)

17. During the Application Period, Paul, Weiss responded to inquiries and

questions posed to it by the Debtors' unsecured creditors.

(E) Non-Working Travel (Task Code 14): (Total Hours: 9.1; Total Fees: $5,592.50)

18. During the Application Period, Paul, Weiss attorneys travelled on the

lowest class of fare available on the Ace la train from New York to Delaware, to attend a hearing

on October 6, 2015. In accordance with Local Rule 2016-2, Paul, Weiss billed such nonworking

travel at 50% of Paul, Weiss's normal billing rates.

(F) Other Motions/Applications (Task Code 22): (Total Hours: 7.8; Total Fees: $6,893.50)

19. During the Application period, Paul, Weiss reviewed and commented on,

among other things, the following motions and corresponding orders filed on the docket: (i) the

Debtors' Omnibus Objection to Certain Claims that are (A) Duplicative of a Claim Filed on the

Claimants Behalf, (B) on Account of Equity Interests, or (C) Late Filed [D.I. 672] and (ii) the

Debtors' Motion to Extend the Exclusivity Period for Filing a Chapter 11 Plan and Disclosure

Statement [D.I. 693].

(G) Prep/Attendance at Court Hearings (Task Code 23): (Total Hours: 14.5; Total Fees: $16,650.50)

20. During the Application Period, Paul, Weiss attorneys prepared for and

attended the omnibus hearing held on October 6, 2015, regarding (i) the Debtors' Motion for (I)

an Order Establishing Bidding Procedures and Granting Related Relief and (II) and Order or

Orders Approving the Sale of Assets [D.I. 636] and (ii) the Motion of the Official Committee of

Unsecured Creditors to Extend the Challenge Period Deadline with Respect to the Second Lien

Parties [D.I. 626] (the "Challenge Period Extension Motion").

(H) Cash Collateral/DIP Financing (Task Code 24): (Total Hours: 2.5; Total Fees: $1,550.00)

21. During the Application Period, Paul, Weiss reviewed invoices submitted

in accordance with the adequate protection provisions of the Final Order (I) Authorizing the

Debtors to Use Cash Collateral and (II) Granting Adequate Protection to Prepetition Secured

Parties [D.I. 307] to identify any issues regarding such invoices.

(I) Litigation (Task Code 25): {Total Hours: 336.4; Total Fees: $286,506.00)

22. During the Application Period, the Committee filed the Motion of the

Official Committee of Unsecured Creditors for Leave, Standing and Authority to Prosecute

Claims on Behalf of the Debtors' Estates and for Related Relief (the "Standing Motion") [D.I.

676]. In response, the second lien parties filed the Limited Objection of the Ad Hoc Group of

Second Lien Holders and the Second Lien Agent to the Committee's Standing Motion [D.I. 725]

and the Debtors filed the Debtors' Limited Objection to the Committee's Standing Motion [D.I.

734]. The Committee filed the Committee's Reply in Support of the Standing Motion [D.I. 753],

as well as declarations in support of the Standing Motion.

23. As a consequence, Paul, Weiss conducted several calls with the

Committee's professionals to discuss litigation strategies and develop a litigation timeline. Paul,

Weiss also conferred internally and with LRC, BRG and Moelis regarding expert depositions and

document requests in connection with the Standing Motion.

24. Additionally, in preparation for the contested October 6th hearing, Paul,

Weiss reviewed (i) the Committee's Challenge Period Extension Motion [D.I. 626]; (ii) the Joint

Objection of the Second Lien Secured Parties to the Challenge Period Extension Motion [D.I.

655]; and (iii) the Committee's Reply in Support of the Challenge Period Extension Motion [D.I.

665].

25. Further, on October 12, 2015, Paul, Weiss hosted an in-person meeting

with the advisors to the second lien parties. In connection with this meeting, Paul, Weiss worked

with Moelis to develop materials to share with the second lien advisors.

(J) Committee Matters, Meetings & Communications (Task Code 28): (Total Hours: 52.5; Total Fees: $51,221.50)

26. During the Application Period, Paul, Weiss held regularly scheduled

weekly conference calls with the Debtors and the Debtors' advisors in connection with various

pending issues, including, but not limited to, (i) the Debtors' business plan, (ii) the Debtors'

financial forecasts, and (iii) the Debtors' material contracts. Paul, Weiss reviewed the materials

circulated by the Debtors in advance of such calls and conducted pre-calls with LRC, Moelis and

BRG prior to such weekly calls with the Debtors to coordinate review of materials and questions

for the Debtors.

27. Additionally, during the Application Period, Paul, Weiss conducted

regularly scheduled weekly conference calls with the Committee to provide the Committee with

information from the weekly update calls with the Debtors, and to discuss case strategy and any

other pending items. In connection with such weekly calls, Paul, Weiss worked with Moelis,

BRG and LRC to create an agenda and materials to distribute to the Committee in advance of the

weekly call. Further, Paul, Weiss conducted update calls with Moelis, BRG and LRC prior to

the weekly call with the Committee to discuss the agenda and prepare for the upcoming

Committee call.

(K) Contract and Lease Analysis (Task Code 30): (Total Hours: 3.3; Total Fees: $2,531.50)

28. Among other services provided in this category during the Application

Period, Paul, Weiss reviewed and analyzed the Debtors' material contracts and had discussions

with Moelis regarding such contracts.

COMPENSATION REQUESTED

29. Paul, Weiss expended 507.7 hours during the Application Period in

furtherance of its efforts on behalf of the Committee. Paul, Weiss requests allowance of

compensation in the amount of $429,271.003 for legal services rendered during the Application

Period at a blended hourly rate of $845.52. Pursuant to the Interim Compensation Order, Paul,

Weiss requests payment of 80% of the total fees requested, or $343,416.80. As of the date of

filing this Application, none of the requested fees detailed herein have been paid.

REIMBURSEMENT OF EXPENSES

30. During the Application Period, Paul, Weiss incurred certain reasonable

and necessary out of pocket expenses in rendering legal services to the Committee in the amount

of $5,715.46.4 The expense reimbursement sum is broken down into categories of charges,

including, amount other things, telephone and telecopier toll and other charges, mail and express

mail charges, special or hand delivery charges, word processing, and photocopying charges,

travel expenses, expenses for "working meals," computerized research, transcription costs, as

well as non-ordinary overheard expenses such as secretarial and other overtime. A complete

review by category of the expenses incurred for the Application Period may be found in the

attachment hereto as Exhibit B. To the extent such itemization is insufficient to satisfy the

requirements of Local Rule 2016-2(e)(ii), Paul, Weiss respectfully requests that the Court waive

strict compliance with such rule.


4 As a result of certain vendor invoices not being received until after the end of the month for which such services were provided, as reflected in Exhibit B, this amount also includes certain expenses incurred prior to the Application Period, including certain information retrieval services related to docketing research and certain teleconferencing charges. Accordingly, Paul, Weiss is seeking reimbursement in this Application for such previously unbilled expenses.

31. Costs incurred for overtime and computer assisted research are not

included in Paul, Weiss' normal hourly billing rates, and therefore, are itemized and included in

Paul, Weiss' disbursements. Pursuant to Local Rule 2016-2, Paul, Weiss represents that its rate

for duplication is $.10 per page. There is no charge for incoming telecopier transmissions or for

outgoing telecopier transmissions (excluding related long distance transmission charges) and

there is no surcharge for computerized research.

VALUATION OF SERVICES AND LEGAL STANDARD

32. Attorneys and paraprofessionals of Paul, Weiss have expended a total of

507.7 hours in connection with its representation of the Committee during the Application

Period.

33. The amount of time spent by each of these persons providing services to

the Committee for the Application Period is fully set forth in the detail attached hereto as

Exhibit A. These are Paul, Weiss's normal hourly rates of compensation for work of this

character. The reasonable value of the services rendered by Paul, Weiss for the Application

Period as counsel for the Committee in these Chapter 11 Cases is $429,271.00.

34. Paul, Weiss believes that the time entries included in Exhibit A attached

hereto and the expense breakdown set forth in Exhibit B hereto are in compliance with the

requirements of Local Rule 2016-2.

35. Bankruptcy Code section 330(a)(l) allows the payment of:

(A) reasonable compensation for actual, necessary services rendered by the trustee, examiner, ombudsman, professional person, or attorney and by any paraprofessional person employed by any such person; and

(B) reimbursement for actual, necessary expenses.

11 U.S.C. § 330(a)(l). Reasonableness of compensation is informed by the "market-driven

approach," which considers the nature, extent and value of services provided by the professional

and the cost of comparable services in non-bankruptcy contexts. See Zolfo Cooper & Co. v.

Sunbeam-Oster Co., 50 F.3d 253, 258 (3d Cir. 1995); In re Busy Beaver Building Ctr., Inc., 19

F.3d 833, 849 (3d Cir. 1994). Thus, the "baseline rule is for firms to receive their customary

rates." Zolfo Cooper, 50 F.3d at 259.

36. In accordance with its practices in non-bankruptcy matters, Paul, Weiss

has calculated its compensation requested in this Application by applying its standard hourly

rates. Paul, Weiss's calculation is based upon hourly rates that are well within the range of rates

that are charged by comparable firms in similar bankruptcy cases. Accordingly, Paul, Weiss's

rates should be determined to be reasonable under Bankruptcy Code section 330.

37. Paul, Weiss's fees during the Application Period are also reasonable under

the prevailing legal standard and should be allowed. The amount of these fees is not unusual

given the complexity, size and the extraordinary amount of work required to adequately

represent the Committee during the pendency of these chapter 11 cases. Paul, Weiss's fees are

commensurate with fees that other attorneys of comparable experience and expertise have

charged and been awarded in similar chapter 11 cases. Accordingly, Paul, Weiss's fees are

reasonable pursuant to Bankruptcy Code section 330.

38. Except as permitted by Bankruptcy Rule 2016, no agreement or

understanding exists between Paul, Weiss and/or any third person for the sharing or division of

compensation. All of the services for which compensation is requested in this Application were

rendered at the request of and solely on behalf of the Committee.

39. Pursuant to the standards set forth in Bankruptcy Code sections 330 and

331, Paul, Weiss submits that the compensation requested is for actual and necessary services

and expenses, and is reasonable, based upon the nature, extent and value of such services, the

time spent thereon, and the costs of comparable services in a case under the Bankruptcy Code.

40. In preparing this Application, Paul, Weiss attorneys reviewed Local Rule

2016-2 and submit that this Application complies with Local Rule 2016-2.

41. Notice of this Application has been provided in accordance with the

Interim Compensation Order. Paul, Weiss submits that the foregoing constitutes good and
