PROJECT SCOPE Client has requested AV and Video Teleconferencing (VTC) solution refresh for their existing conference room. Board Room Displays- Provider will wall mount two (2) 70” LCD Flat panel displays on the wall facing the head of the conference table. Sources- Sources shall consist of two (2) computer interfaces, one of which shall be mounted to the underside of the conference table, at the head of the table (farthest from the display). The interface will be capable of switching between its VGA input and HDMI input, allowing for both types of laptop connectivity. The second interface will be wall mounted at the side board area, and will be typically used with the microscope located there. The system will also support two (2) dedicated client furnished (CFE) desktop computers, which will be located in the system rack. In addition to the computer interfaces, provider will install one (1) Polycom VTC codec with one (1) wall mounted pan/tilt/zoom (PTZ) HD camera. The camera shall be wall mounted beneath the displays. Lastly, one (1) HD CATV tuner will be rack mounted and allow for unscrambled CATV reception. Audio- Provider will ceiling mount one (1) Polycom Ceiling Mic Array which shall be located above the center of the conference room table. All audio will will output to a rack mounted amplifier and six (6) ceiling mounted speakers. The system will be capable of making audio teleconferencing (ATC) calls. Control- One (1) wired 10.1” touch screen will be provided for user control and will be located on the conference room table. Control functions will be programmed as follows: Program Audio- Volume up, Volume Down, Mute Voice Audio- Volume up, Volume Down, Mute VTC- Manual dialing, connect, disconnect, privacy, menu functions, self-view, source selection, function keys, audio call ATC- Manual dialing, answer call, privacy (microphone mute), connect, disconnect, flash Switcher- Select appropriate source sent to display Video Display- On, off, input selection Camera- Zoom, pan, tilt, focus AV rack- AV components will be housed in the client’s existing AV Rack. CLIENT RESPONSIBILITIES Client shall be responsible for the following:

1. Provide one (1) 120v AC receptacle behind each display location (if not existing) 2. Provide one (1) 120v AC receptacle at rack location 3. Provide three (3) data drops at rack location 4. Provide one (1)VoIP feed at rack location 5. Provide any painting or patching of walls, ceiling tile finishing work, and other related work around the

audio visual wall plates, equipment, loudspeakers, screens, projectors and displays. 6. Provide uninterrupted access to all rooms necessary for installation of the audiovisual system during normal business hours Services not specified in this SOW are considered out of scope and will be addressed with a separate SOW or Change Order.

PROJECT SCHEDULING Customer and Seller, who will jointly manage this project, will together develop timelines for an anticipated schedule (“Anticipated Schedule”) based on Seller’s project management methodology. Any dates, deadlines, timelines or schedules contained in the Anticipated Schedule, in this SOW or otherwise, are estimates only, and the Parties will not rely on them for purposes other than initial planning.

TOTAL FEES The total fees due and payable under this SOW (“Total Fees”) include both fees for Seller’s performance of work (“Services Fees”) and any other related costs and fees specified in the Expenses section (“Expenses”). Unless otherwise specified, taxes will be invoiced but are not included in any numbers or calculations provided herein. Seller will invoice for the Total Fees. SERVICES FEES Services Fees hereunder are FIXED FEES, meaning that the amount invoiced for the Services will be $Amount. The invoiced amount of Services Fees will equal the amount of fees applicable to each completed project milestone, as specified in Table 2. EXPENSES Neither travel time nor direct expenses will be billed for this project. Two (2) weeks’ advance notice from Customer is required for any necessary travel by Seller personnel.
