Unless otherwise provided in this First Supplementary Master Prospectus dated 30 December 2016 (“First

Supplementary Master Prospectus”), all the capitalized terms used herein shall have the same meanings ascribed to

EXPLANATORY NOTE

This First Supplementary Master Prospectus has been issued to inform investors of:

i. Change to the Investment Committee member of the Manager.

ii. Change in relation to AmIncome for the following:-

· minimum Long-Term credit rating of investment in RM-denominated Short to Medium-Term Fixed Income instruments (i.e. debt instruments with maturity of no longer than five (5) years); and

The last paragraph of investment strategy for AmIncome Management is to be read as follows:-

In the event of a credit downgrade of a fixed income instrument, its respective issuer below the minimum rating requirement or

where the Manager at its discretion feels that there is a likelihood of credit default, the Manager may liquidate the particular fixed

income instrument which was affected within a specific period. A credit downgrade means that credit risk has increased but it

does not mean that there will be a default. A credit downgrade will generally have no impact on the value of the fixed income

instrument upon its maturity if credit default did not occur. However, if the Manager chooses to sell the fixed income instrument

prior to its maturity, it may result in capital losses and these losses will be borne by the Fund and reflected in its NAV.

Quantshop All MGS Index

There is no specific index available in the market that is applicable for the Fund. As the Fund is a bond fund that invests primarily

in a mixture of domestic and foreign sovereign, quasi-sovereign and corporate bonds, hence this index is chosen as it is widely

used as benchmark for bond funds in Malaysia market. The risk profile of the performance benchmark is not the same as the risk

profile of the Fund. The Fund is expected to outperform the Quantshop All MGS Index.

The disclosure under “Managing the Fund’s Investment” is hereby amended to be read as follows: -

17.1 The Manager AmFunds Management Berhad

AFM was incorporated on 9 July 1986 and is a wholly owned by AmInvestment Bank Berhad with effective from 21 July 2016. As at Latest Practicable Date, AFM has more than 30 years of experience in the unit trust industry. As at Latest Practicable Date,

the total number of Funds under AFM were 85 with a total fund size approximately RM30.36 billion. Pursuant to the initiative of AMMB Holdings Berhads the holding company of AFM and AmInvestment Management Sdn Bhd

initiative to streamline the business operations of its asset management business under AmInvestment Management Sdn Bhd and the unit trust business under AFM, the businesses of both AmInvestment Management Sdn Bhd and AFM are consolidated to operate under a single operating structure, i.e., under AFM.

With effect from 1 December 2014, AFM is the holder of a Capital Markets and Services Licence for the regulated activities of fund management, dealing in securities restricted to unit trusts and dealing in private retirement scheme issued under the Act.

AFM is responsible to manage, invest, realize, reinvest or howsoever deal with the Funds in accordance with the investment objective and guidelines, including investment limits and restrictions of the Funds.

AFM is also registered as a Fund Management Institution (FMI) with EPF to allow it to offer unit trust funds which are approved by EPF to EPF members under the EPF Member Investment Scheme. AFM has been registered as a FMI since 31 October

1996. As an appointed FMI, AFM is guided by the requirements of the Guidelines on EPF Members Investment Scheme. As at Latest Practicable Date, AFM has 209 employees of whom 187 are executives and 22 non-executives.

Further and updated information about the Manager, investment committee, Shariah adviser and fund manager is provided in

our website.

17.2 Duties and Responsibilities of The Manager

The Manager is responsible for setting the investment policies and objective for the Fund. The Manager is also responsible for the promotion and administration of the Funds which include but not limited to issuing units, preparing and issuing prospectuses.

17.3 The Board of Directors The board of directors, of which one-third (1/3) are independent members, exercise ultimate control over the operations of AFM.

The board of directors meets once every two (2) months to discuss and decide on business strategies, operational priorities and ways of managing risk within AFM.

The board of directors acts to ensure that investment risk and operational risk are monitored and managed. It also ensures that AFM's operations comply with regulations issued by the government and regulatory authorities.

Pushparani a/p A Moothathamby (Non-Independent) was appointed to the Board of Directors of AmFunds Management Berhad as a non-independent director on 2 November 2015. She is currently the Managing Director of Wholesale Banking of AmBank Group and Acting CEO of AmInvestment Bank Berhad. She joined AmBank Group in 1989 and has over 26 years of experience

in the corporate, commercial and investment banking, capital markets and advisory. She has held various senior management positions in AmBank Group.

Prior to joining AmBank Group, she was attached with Coopers & Lybrand (now known as PricewaterhouseCoopers), undertaking financial and consultancy related works. She sits on the boards of several companies of AmBank Group, which include the Trustee Services, Offshore Banking, Venture Capital Management, Real Estate Investment Trust, Fund Management and Private

Equity. She is also on the boards of Financial Institutions Directors’ Education (FIDE) and Asian Banking School Sdn Bhd. She is the Alternate Chairman of the Malaysian Investment Banking Association (MIBA) and Member of the Working Group of

Financial Services Professional Board (FSPB). She is actively involved in the financial sector market development and sits on Regulatory and Industry panels and working groups.

She is a fellow member of the Chartered Association of Certified Accountants, United Kingdom and member of the Malaysian Institute of Accountants.

Tai Terk Lin (Independent) was appointed to the board of directors of AmFunds Management Berhad as an independent and non-executive director on 15 December 2014. He was previously the Group Chief Executive Officer of ICB Financial Group Holdings AG, the holding company of ICB Banking Group, and a Commissioner of PT Bank ICB Bumiputera. Before that, Mr. Tai

was the executive director of Platinum Capital Management (Asia) and a Senior Vice President of DBS Bank in Singapore, heading their hedge Funds and private banking business for their Asia and Malaysia market respectively. Mr. Tai holds a Master of Business Administration (MBA) from Cranfield University, United Kingdom. He has a Bachelor of Science with Education

(B.Sc.Ed (Hons)) from the University of Malaya and holds the Certified Financial Planner (CFP) and the Financial Industry Certified Professional (FICP) from the Institute of Banking and Finance (IBF), Singapore.

Mustafa Bin Mohd Nor (Independent) was appointed to the Board of Directors of AmFunds Management Berhad as an Independent and Non-Executive Director on 3 March 2014. He is also a Director of KUISAS Berhad and a Member of State

Investment Committee, Perak Darul Ridzuan. In total, he has approximately 40 years of vast and diversified experience in economics, investment advisory, stockbroking, unit trust, asset and Fund management. He obtained a Masters of Arts (Economic Policy) from Boston University and Bachelor of Economics (Analytical) from University of Malaya.

Sum Leng Kuang (Independent) was appointed to the Board of Directors of AmFunds Management Berhad as an independent and non-executive director on 18 January 2016. She possesses an extensive investment management experience of more than

three (3) decades, particularly in managing fixed income investment portfolios, credit evaluation and credit risk management. She had dedicated a total of thirty one (31) years of service to Great Eastern Group until year 2013. As Head of Fixed Income

Investment in Great Eastern Life Assurance (Malaysia) Berhad, she was responsible for the management of approximately RM40.0 billion fixed income funds.

She has also been actively involved in the development of local fixed income market via active participation in industry dialogues and direct consultations with issuers, investors, rating agencies, regulatory bodies and federal agencies.

She is currently a Director of Pacific & Orient Insurance Co. Berhad and has also been appointed as the Investment Advisor of Credit Guarantee Corporation Malaysia Berhad.

She graduated from University of Canterbury, New Zealand with a Bachelor of Commerce degree, majoring in Finance. She is also a Certified Financial Planner.

Datin Maznah Mahbob (Non-Independent) is the Chief Executive Officer of AmInvest. She is responsible for business strategy and management of AmInvest. She has been in the fund management industry since 1987. Prior to this, she was in the Corporate Finance Department of AmInvestment Bank for 3 years. She is a graduate of the Institute of Chartered Secretaries and

Administrators (UK) and holds the Capital Markets Services Representative's License for the regulated activity of fund management. She was appointed to the Board of Directors of AFM on 29 December 2005. She also sits on the Board of Directors of AMMB Nominees (Tempatan) Sdn Bhd, AMMB Nominees (Asing) Sdn Bhd and AMMB (L) Ltd.

17.4 Investment Committee

The Fund is required by the Guidelines to have an Investment Committee. The Committee meets at least five (5) times a year to review the Fund’s investment objectives and guidelines, and to ensure that the Fund is invested appropriately.

The Investment Committee members are as follows:-

Deputy Chief Executive Officer and Chief Investment Officer, Fixed Income

Wee Peng is the Deputy Chief Executive Officer and Chief Investment Officer, Fixed Income. She oversees all fixed income

business including the growth for fixed income asset under management of AmInvest. She is responsible for the development of

new fixed income and derivatives strategies and capabilities. She started her career in financial industry since 1997. She has

vast experience in financial industry in different role, i.e. money broking, analyst, fixed income bond trading and fund

management. In the past 15 years in AmInvestment Management Sdn Bhd, she has been managing various fixed income funds,

i.e. unit trust and institutional mandate. She is responsible in overseeing the fixed income mandates and guiding a team of fund

managers and credit research team. Her key role includes formulating trading and investment strategies for the team by identifying

opportunities in different market trends, she presents to the clients market outlook and strategies for their portfolio on a regular

basis. She is the designated fund manager for all fixed income funds and private retirement scheme funds, supported by a team

HASLINDA BINTI IBRAHIM

Haslinda is the Vice President, Equities. She has been in the fund management industry since 1994 and has wide experience in

Suryati has over 13 years of experience in equity investment. She is currently a Senior Fund Manager and Equity Investment

Analyst with the AmIslamic Funds Management Sdn Bhd.

Her fund management experience includes managing clients’ funds and Islamic unit trusts funds with various client types,

investment objectives and constraints mandates such as growth, balanced and income. While her experience in research covers

a wide range of industries, locally and in Thailand.

Hew Pei Hong is the Manager, Quantitative Strategies & Solutions. She has worked in the area of quantitative investment

research in equities since 2010. Her area of expertise includes building stock selection models, deriving portfolio construction

rules and back testing new strategies. She holds a Bachelor degree (Honours) in Applied Statistics from Universiti Sains Malaysia.

TAN CHEE JIN

Tan Chee Jin is currently working as a fund manager in Quantitative Strategies and Solutions Department. He is responsible for

Huegesh is currently working as a fund manager in Quantitative Strategies and Solutions Department. He is responsible for

in backtesting equity strategies, screening stocks based on quantitative models, developing quantitative models to enhance the

existing models used. He graduated from National University of Singapore with a Bachelor degree in Applied Mathematics.

As at Latest Practicable Date, the Manager is not engaged in any material litigation and arbitration, including those pending or threatened, and any facts likely to give rise to any proceedings which might materially affect the business/financial position of the

Manager and of its delegates.

Amanie Advisors Sdn Bhd Amanie Advisors Sdn Bhd (''Amanie'') is a Shariah advisory, consultancy, training and research and development boutique for

institutional and corporate clientele focusing on Islamic financial services. Amanie is a registered Shariah advisory company for Islamic unit trust with the SC. It has been established with the aim of addressing the global needs for experts' and Shariah scholars' pro-active input. This will ultimately allow the players in the industry to manage and achieve their business and financial

goals in accordance with the Shariah Principles. Amanie also focuses on organizational aspect of the development of human capital in Islamic finance worldwide through providing updated quality learning embracing both local and global issues on Islamic financial products and services.

The company is led by Datuk Dr. Mohd Daud Bakar and teamed by an active and established panel of consultants covering every aspect related to the Islamic banking and finance industry both in Malaysia and the global market. Currently the team comprises

of six (6) full-time consultants who represent dynamic and experienced professionals with a mixture of corporate finance, accounting, product development, Shariah law and education.

Amanie meets every quarter to address Shariah advisory matters pertaining to our Shariah-compliant Funds’ investments. (1) To ensure that the Fund is managed and administered in accordance with Shariah Principles. (2) To provide expertise and guidance in all matters relating to Shariah Principles, including on the Fund's deed and prospectus,

its structure and investment process, and other operational and administrative matters.

(3) To consult with SC where there is any ambiguity or uncertainty as to an investment, instrument, system, procedure and/or process.

(4) To act with due care, skill and diligence in carrying out its duties and responsibilities.

(5) Responsible for scrutinizing the Fund's compliance report as provided by the compliance officer and investment transaction reports provided by, or duly approved by, the Trustee to ensure that the Fund's investments are in line with Shariah Principles.

(6) To prepare a report to be included in the Fund's interim and annual reports certifying whether the Fund have been managed and administered in accordance with Shariah Principles for the period concerned.

Datuk Dr. Mohd Daud Bakar is the Founder and Executive Chairman of Amanie Group that deals with many facets of global

Islamic finance from Shariah advisory to structured training to media and to Big Data Analytics. Amanie Advisors, one of the

companies under the Group, has presence in ten major cities in the world. He currently sits as a Chairman of the Shariah Advisory

Council at the Central Bank of Malaysia, the Securities Commission of Malaysia, the Labuan Financial Services Authority and

the International Islamic Liquidity Management Corporation (IILM). He is also a Shariah board member of various financial

institutions, including the National Bank of Oman (Oman), Noor Islamic Bank (Dubai), Amundi Asset Management (France),

Morgan Stanley (Dubai), Bank of London and Middle East (London), BNP Paribas (Bahrain), Dow Jones Islamic Market Index

(New York), First Gulf Bank (UAE), amongst many others.

Prior to this, he was the Deputy Vice-Chancellor at the International Islamic University Malaysia. He received his first degree in

Asset Triple A Islamic Finance Award 2014 and “Shariah Adviser Award” at The Asset Triple A Islamic Finance Award 2016

for the Best Securitisation Sukuk- Purple Boulevard 450 million ringgit asset-backed ijara sukuk by The Asset Magazine.

He is also being named as the “Most Outstanding Individual”, awarded by His Majesty, the King of Malaysia, in conjunction

with the national-level Prophet Muhammad's birthday 2014. The recent recognition is the “Award of Excellence for Outstanding

Contribution for Shariah Leadership & Advisory” at London Sukuk Summit Awards, May 2016.

Under Datuk Dr. Daud leadership, Amanie Advisors has received an award of “Islamic Economy Knowledge Infrastructure”,

at the Global Islamic Economy Summit 2015, by His Highness Sheikh Mohammed bin Rashid Al Maktoum, Vice President and

Mohd Zikry Mohd Shairy Chief Executive Officer

Mohd Zikri Mohd Shairy is the Chief Executive Officer of Amanie Advisors, earned his Bachelor of Laws (LL.B) and Master of

Comparative Laws from International Islamic University Malaysia. Zikri started his journey in the Islamic banking industry in

January 2007 after graduated from his first degree. He served Bank Muamalat Malaysia Berhad and RHB Islamic Bank Berhad

as financing executive who based at several branches of the Banks. He later joined Shariah Division of Bank Islam in 2009 and

led Shariah Risk Management Department since 2011 until January 2015.

In the training field, he is an Accredited Training Professional granted by Institute of Leadership & Management, United Kingdom.

He delivered a lot of training sessions covering mainly on Shariah governance and Shariah risk management topics for local and

international clients.

Amran Ibrahim Consultant

Amran Ibrahim is a Consultant with Amanie Advisors, graduated with a Bachelor of Business Administration (Hons) Finance from

Mara University of Technology Malaysia. He started his career in November 2004 as an officer in the Business Financing &

Investment Department of CIMB Islamic Bank Berhad. He primarily involved in credit analysis for the preparation of credit

proposition and evaluation for the purpose of granting financing facilities. In 2006, he joined Product Development Department

and was responsible for research, design, development and launching of competitive Islamic banking products.

Amran continued his career in Product Development Department at Bank Islam Malaysia Berhad in May 2010, where he involved

in various aspects of product structuring, development, enhancement and launching of retail banking, corporate banking and

trade finance products.

Prior to joining Amanie, He was with Cagamas Berhad, the National Mortgage Corporation of Malaysia as Assistant Vice

President in the Islamic Business Department. He was actively involved in the issuance of Sukuk as well as designing,

conceptualisation and development of new Islamic financial products.

Nur Izzaatirah binti Rosli is a consultant at Amanie Advisors. She graduated from the International Islamic University Malaysia

(IIUM) with a Bachelor’s Degree of Science Islamic Finance (Hons). Prior to joining Amanie, she was a graduate trainee with

Sime Darby Holdings Berhad under the Department of Treasury where she was exposed to Forex transactions and Risk

Management System. She has also served at CIMB Bank Berhad as an intern under the CIMB Group Islamic Banking Division.

Currently, she is responsible to deal with the financial and shariah advisory services such as Shariah stock screening, Shariah

monitoring and compliance review to various clients including financial institutions and global asset management companies.
