SESSION WAS TO FORM AN AD-HOC COMMITTEE THAT WILL REQUEST A HUMAN RESOURCE CONSULTANT TO ASSIST ON THE EVALUATION PROCESS OF THE EXECUTIVE DIRECTOR. HE STATED THAT THE DECISION WAS UNANIMOUS BUT COMMISSIONER NICHOLS WAS LISTENING BUT NOT PRESENT AND SO HER VOTE DID NOT COUNT.

2. CALL TO ORDER CHAIR PEREA STATED THAT COMMISSIONER NICHOLS IS NOT IN ATTENDANCE

AND TWO NEW COMMISSIONERS, DAWAN UTECHT AND KARI GILBERT, WERE APPOINTED THE DAY PRIOR BY THE FRESNO COUNTY BOARD OF SUPERVISORS AND WITH THE SHORT NOTICE WERE PROBABLY UNABLE TO ATTEND, HOWEVER NEW COMMISSIONER GILBERT JOINED THE MEETING LATER ON.

LEGAL COUNSEL KEN PRICE WENT THROUGH THE RECOMMENDATIONS HE AND HIS COLLEAGUE PUT TOGETHER IN RESPONSE TO THE PROPOSED REVISIONS FROM SUPERVISOR POOCHIGIAN.

CHAIR PEREA MOTIONED TO CREATE AN AD-HOC COMMITTEE TO GIVE COMMISSION RECOMMENDATION FOR THIS ITEM. HE PROPOSED THAT COMMISSIONERS MORALES AND SHARP-JOHNSON MAKE UP THIS AD-HOC COMMITTEE WITH LEGAL COUNSEL.

10. EXECUTIVE DIRECTOR REPORT

EXECUTIVE DIRECTOR KENDRA ROGERS SHARED A NUMBER OF UPDATES INCLUDING: STAFF WILL BE SENDING OUT THE “FIRST 5 CONNECT” NEWSLETTER VIA EMAIL TO ALL COMMISSIONERS THAT WILL INCLUDE A “DID YOU KNOW” FROM EACH DEPARTMENT OF THE COMMISSION. THE FIRST 5 AMERICORPS TEAM AND PARTNERS YOUTH LEADERSHIP INSTITUTE (YLI) AND CENTER FOR MULTI-CULTURAL COOPERATION (CMC) HAVE MOVED IN TO THE HELM HOME IN DOWNTOWN FRESNO. THE AMERICORPS MEMBERS WILL HOLD CLASSES FOR CHILDREN 0-5 YEARS OF AGE AND THEIR FAMILIES. INTERVIEWS FOR THE OPEN FINANCE OFFICER POSITION WILL BE HELD IN THE FOLLOWING WEEK AND STAFF HOPES TO FILL THE POSITION AS SOON AS POSSIBLE. AS A MEMBER OF THE FRESNO HOUSING AUTHORITY BOARD, SHE WOULD BE IN WASHINGTON D.C. FOR A CONFERENCE ON THE HOUSING AUTHORITY’S IMPACT ON YOUNG KIDS FOR THE FRESNO HOUSING AUTHORITY’S ANNUAL ADVOCACY TRIP. ROGERS REMINDED THE COMMISSIONERS TO FOLLOW-UP WITH THE DOODLE POLL FOR THE NEW COMMISSIONER ORIENTATION AND AB1234 TRAINING. STAFF WILL BE SENDING A MEETING REQUEST FOR AN ADMINISTRATIVE COMMITTEE MEETING TO DISCUSS THE STAFF RECOMMENDATIONS FOR THE POLICY ON INFORMATION REQUEST. Public Comment: None heard. No Action Required.

11. PUBLIC COMMENT

Public Comment: COMMISSIONER SHARP-JOHNSON SHARED THAT SHE HEARD CHIPOTLE HAD BEEN RUNNING A CAMPAIGN OF MISINFORMATION AND WAS NOT SUPPORTING LOCAL FARMING SHE ASKED THE PUBLIC NOT TO SUPPORT THEM BECAUSE SHE BELIEVED THEY HAD BEEN TAKING JOBS AWAY FROM OUR COMMUNITY. COMMISSIONER MORALES INFORMED THE COMMISSION AND THE PUBLIC THAT THE PLAN HE HAS BEEN WORKING ON FOR COMPREHENSIVE IMMIGRATION REFORM IS WRITTEN AND AVAILABLE TO THE PUBLIC. CHAIR PEREA SPOKE ABOUT AN ADVERTISEMENT THAT IS RUNNING SAYING THAT THE COUNTY BOARD OF SUPERVISORS IS ABANDONING THE UNDOCUMENTED AND INDIGENT POPULATION AND THAT IT IS NOT TRUE. HE STATED THAT VARIOUS CONTRACTS ARE ENDING AND THE ISSUE IS THE NEED TO GET ALL FOLKS SIGNED UP FOR MEDICAL COVERAGE. 5

Fresno, CA 93710 AGENDA ITEM NO. 3 CONSENT AGENDA ITEM 3b TO: Children & Families Commission of Fresno County FROM: Kendra Rogers, Executive Director SUBJECT: Approve Financial Reports for Period Ending January 31, 2014 RECOMMENDED ACTION: Approve Financial Reports for period ending January 31, 2014 REASON FOR RECOMMENDED ACTION: This item is intended to keep the Commission apprised of, review and discuss financial activity as of January 31, 2014. KEY POINTS:

Revenues (61%) – Proposition 10 revenues are slightly higher than projected.

• Prop 10 Revenue (61%) – Lower revenue for the month of January is a result of the annual Prop 99 backfill required by legislation.

• Interest Revenue (146%) – excess revenue is a result of unanticipated interest earned from the County Treasury account.

• Investment Income (82%) – excess income is a result of unanticipated gains earned from the Commission’s investment portfolio.

Operations (45%) – Operating costs are within budget limits.

• Insurance Expense (99%) – annual renewals for Crime Insurance and Special Liability Insurance took place in July 2013 and October 2013.

Strategic Plan Investments (15%) – Contract development is on target and within budget constraints. The majority of contract development occurs in the fourth quarter of the fiscal year.

• Accountability and Evaluation (100%) – evaluation, contract management and technical assistance contracts have been awarded for the fiscal year.

Service Provider Expenses (36%) – Contract spending is on target and within budget constraints. The majority of Service Providers are reimbursed on a quarterly basis. As a result, Service Provider Quarter 2 (October 1, 2013 to December 31, 2013) expenses will be reported in the February 2014 financial report and presented for approval on the April 2014 Commission meeting.

the David and Lucile Packard Foundation in an Amount not to Exceed $115,000 RECOMMENDED ACTION: Approve contract for the Early Childhood Education Consultant funded solely by the David and Lucile Packard Foundation. This technical assistance and support will focus on a coordinated system of care and education for children birth to third grade with an emphasis in parent and community engagement in an amount not to exceed $115,000. REASON FOR RECOMMENDED ACTION: There is increasing evidence that high quality curricula and instruction, data-driven improvement, and instructional leadership for young learners along with parent and community engagement, greatly improves child outcomes. In concert, they help to narrow achievement gaps and provide children with a solid foundation for lifelong learning. When these crucial efforts are connected and aligned to create continuity between early care and education (ECE) and elementary schools, the gains are even greater. The United States Department of Education’s Race to the Top and Striving Readers grants emphasize the importance of communities looking at their educational programs as a continuum of learning, not as isolated age or grade levels. In addition, the work we have accomplished locally with the Preschool Master Plan and Transitional Kindergarten provide a strong foundation for building a comprehensive birth to third grade continuum that is holistic in nature. The ECE Consultant contract will continue to provide support in the implementation of learning models for the five participating school districts in the Birth-to-Third Grade Challenge and across California with an emphasis on parent and community engagement. Background: Over the last year, significant momentum has been gained around the Fresno County reading by third grade effort. This work began as a single campaign and has grown to be a comprehensive prenatal to 3rd grade alignment effort. As part of this, F5FC has successfully developed a network of high-level partnerships focused on policy change resulting in children who are healthy and successful in school and supported by strong families. Together these partners, including Fresno County Office of Education, the David and Lucile Packard Foundation and Early Edge California, have developed a Birth-to-3rd Grade Challenge Grant to support district alignment of birth-to-3rd grade services. The Challenge Grant is an opportunity for school districts demonstrating vision, interest, and capacity to utilize best

practices, peer learning and technical assistance to support successful third grade reading by starting at birth. In March 2012, F5FC requested funding from the David and Lucile Packard Foundation as a fiscal agent to collaborate with researchers and early childhood education experts to develop resources and provide technical assistance to communities implementing Transitional Kindergarten throughout California, a key aspect of a successful birth-to-3rd grade model. F5FC received the requested funds and in July 2012 the Commission awarded $110,000 to Mr. Whit Hayslip, who has worked in the field of early childhood education for over forty years. He is currently serving as an independent consultant on various projects throughout California that are supported by the David and Lucile Packard Foundation. Along with technical assistance focused on Transitional Kindergarten, Mr. Hayslip also provided state-wide support for preschool through 3rd grade efforts. In December 2012, F5FC submitted an additional proposal to the David and Lucile Packard Foundation in an amount of $190,000 for the continued development and implementation of the birth-to-3rd grade efforts. F5FC was awarded the funds in March 2013 and utilized Mr. Hayslip to continue providing technical assistance and support to the five selected Challenge Grant districts. Technical assistance included professional development opportunities for early childhood and K-3 practitioners to improve the quality of early childhood and early elementary education self-assessment tools and/or relevant learning resources, and the Mentorship Implementation Plan Framework. This past December, F5FC submitted a third proposal to the David and Lucile Packard Foundation in an amount of $200,000 for the continued development and implementation of the birth-to-3rd grade efforts with an emphasis on parent and community engagement. The importance of the families’ role in a child’s academic, social, and emotional development appears to be widely accepted throughout the education sector. There continues to be a strong desire for more families from diverse backgrounds and cultures to be engaged in their children’s education, but school districts need support in order to accomplish this. F5FC was awarded the funds in March 2014. If approved, F5FC will use the funds awarded through the David and Lucile Packard Foundation to contract with Mr. Hayslip who will continue providing technical assistance and support for the school districts awarded through the Challenge Grant with a specific focus on building district capacity for effective family and community engagement. This includes facilitation of a professional learning community, coaching, and technical support for participating districts. While First 5 Fresno County will serve as the lead agency, this work is a collaboration between multiple community partners, including the Fresno County Office of Education. Each aspect of this work is based on the notion that schools can serve as the center of communities. Strategic Plan Alignment: The Commission’s ultimate long range desired outcome is focused on third grade reading proficiency levels across the county. FISCAL IMPACT: If approved, the funds, not to exceed $115,000, will come solely out of the March 2014 David and Lucile Packard Foundation grant allocation of $200,000 and will be categorized under the Commission’s FY 2013-2015 Approved Two Year Budget – Birth to Third Grade Community Partnerships line item. In support of these efforts First 5 Fresno County is providing the grant over site as in-kind and not charging an administrative or indirect rate. FUTURE IMPLICATIONS: Following approval, F5FC staff will facilitate the work of the consultant and coordinate efforts 14

with the five Challenge Grant districts. This funding supports F5FC’s larger effort (highlighted in the F5FC 2013-2020 Strategic Plan) in creating systematic changes where children and families are prioritized with the long term, overarching desired outcome being children reading at grade level by third grade. F5FC will continue to support this effort throughout the duration of the 2013-2020 Strategic Plan. Evaluation: F5FC is currently working with its Evaluator, Harder+Company Community Research to develop appropriate methods to evaluate the Commission’s work around grade level reading.

Capacity Building/Sustainability: This effort is solely funded through the David and Lucile Packard Foundation. F5FC will encourage coordination, collaboration and support. This partnership allows F5FC to strengthen relationships with outside funders and encourage them along with others to invest in our community.

After considering such public comment, the Commission may consider any additional changes and formally adopt the revisions to the Conflict of Interest Code. After the Commission adopts the revised Conflict of Interest Code, it should direct staff to submit the Code to the Fresno County Board of Supervisors for approval. REASON FOR RECOMMENDED ACTION: Legal counsel for First 5 Fresno County is recommending that the current First 5 Fresno County Conflict of Interest Code should be revised. As legal counsel explained during the December 18, 2013 Commission meeting, the financial disclosure category is overly broad and should be qualified to those sources directly or indirectly relating to First 5 activities. After consulting with the general counsel of the Fair Political Practices Commission (“FPPC”), counsel recommends including the Commissioners only under the Government Code Section 87200 disclosure category because the Commissioners meet the definition of public official who manage public investments. Therefore, there is no need to also include the Commissioners in disclosure Category 1. Furthermore, counsel recommends removing unnecessary disclosure categories from the Conflict of Interest Code. Lastly, we have included Lighthouse For Children under First 5 Fresno County’s Conflict of Interest Code. Legal counsel is recommending that the Commission approve as to form the attached revised Conflict of Interest Code and authorize staff to make this Conflict of Interest Code available to the public for review and comment until the next Commission meeting. Consistent with state law, at the next regular Commission meeting, the Commissioners should consider any comments from the public and adopt a revised Conflict of Interest Code. Once this process is complete, the Commission would forward for approval the Conflict of Interest Code to the Fresno County Board of Supervisors, which by statute is the Code reviewing body for all agencies located within Fresno County.

BACKGROUND: Under the Political Reform Act, all public agencies are required to adopt a conflict of interest code (the "COI Code"). The COI Code designates positions required to file Statements of Economic Interests (Form 700), and assigns disclosure categories specifying the types of interests to be reported. The Form 700 is a public document is intended to alert public officials and members of the public to the types of financial interests that may create financial conflicts of interests. It has come to our attention that one or more Commissioners were concerned about the broad disclosure category applicable to them. After being made aware of the problem, legal counsel has been consulting with the general counsel for the FPPC, which enforces this area of the law. The FPPC’s attorney advised legal counsel that the First 5 Fresno County COI Code should be tailored to focus on sources that directly or indirectly involve the services provided by First 5. However, the FPPC attorney also advised counsel that all Commissioners should be filing pursuant to the requirements of Government Code Section 87200 because the Commissioners make public investment decisions. While Commissioners generally do not select the agency's investments, they select the Commission's investment advisors, which (according to the FPPC) is sufficient for the Commissioners to file under Gov. Code section 87200. The FPPC attorney also advised counsel that a disclosure category, which would be inapplicable to First 5 Fresno County should be deleted, and that Lighthouse For Children may be included in First 5 Fresno County’s COI Code. While Lighthouse for Children is a separate legal entity, a majority of its board is made up of First 5 Fresno County Commissioners. As such, we are revising the current First 5 Fresno County COI Code to incorporate these changes. Proposed Changes After discussing the issue with the FPPC, legal counsel believes that such broad disclosure requirements for Commissioners are necessary and, in fact, actually mandated by Government Code Section 87200 because the Commissioners manage public investments. Therefore, legal counsel removed the Commissioners from the “Designated Positions” list and left them in the list of those who must file disclosures pursuant to Government Code Section 87200. Attached is the current COI Code with the proposed changes in redline. First 5 Fresno County's COI Code included a very broad disclosure Category 1. Legal counsel believes that this current disclosure Category 1, is too broad because it requires disclosure of all income from sources, irrespective of whether or not such income originates from sources that could do business with an agency like First 5 Fresno County. As a result, affected individuals could be required to disclose proprietary business information on the Form 700 even though such information is unrelated to First 5 Fresno County business. In the attached redline version of the COI Code, disclosure Category 1 is qualified so that "all sources" refers to those sources directly or indirectly relating to promoting, supporting, and improving the early development of children from the prenatal stage to five years of age in Fresno County. The FPPC counsel has advised us that this revision is legally sufficient. Furthermore, we have deleted disclosure Category 6 because First 5 Fresno County is not an land entitling or licensing agency. Finally, we added Lighthouse For Children to the list of those directors, staff and contractors who would need to file a Form 700 statement pursuant to disclosure Category 3. The FPPC attorney advised that Lighthouse For Children may be included in First 5 Fresno County’s COI Code, or it may have its own COI Code. Since Lighthouse for Children will be subject to all "sunshine" laws, including the submission of a COI Code and based upon the advice from FPPC legal counsel, First 5 Fresno County's attorneys feel that including Lighthouse directors, staff, and contractors in the First 5 Fresno County COI Code is appropriate. We are unaware of whether or not Fresno County Counsel will have a concern about this or require Lighthouse for Children to submit its own Conflict of Interest Code.

The attached redline version of First 5 Fresno County’s COI Code includes Lighthouse For Children. Process First 5 Fresno County may at any time amend its COI Code, subject to the provisions of Government Code section 87303, either upon its own initiative or in response to a petition submitted by an officer, employee, member or consultant of the agency, or a resident of the jurisdiction. (Gov. Code § 87307.) Government Code section 87303 states that no conflict of interest code shall be effective until it has been approved by the code reviewing body. The code reviewing body for an agency wholly within a county, such as First 5 Fresno County, is that county's board of supervisors. Legal counsel has communicated with a deputy to the Clerk to the Board of Supervisors and informed her that First 5 Fresno County would likely be revising its COI Code. Within 90 days after receiving the proposed COI Code or receiving any proposed amendments or revisions, the board of supervisors shall do one of the following: (a) Approve the proposed code as submitted; (b) Revise the proposed code and approve it as revised; or (c) Return the proposed code to the agency for revision and resubmission within 60 days. (Gov. Code § 87303.) The board of supervisors shall either approve the revised code or revise it and approve it. When a proposed conflict of interest code or amendment is approved by the board of supervisors, it shall be deemed adopted and shall be promulgated by the Commission. (Ibid.) "The review and preparation of Conflict of Interest Codes by local government agencies shall be carried out under procedures which guarantee to officers, employees, members, and consultants of the agency and to residents of the jurisdiction adequate notice and a fair opportunity to present their views." (Gov. Code § 87311.) While the amount of notice is not specified in statute, the Commission should allow for public review and comment on the COI Code before formally adopting the revised COI Code and submitting it to the Fresno County Board of Supervisors. FISCAL IMPACT: Due to the questions and additional research requested of legal counsel, the Commission has incurred approximately $8,250 of unexpected legal fees as of February 28, 2014.

CONFLICT-OF-INTEREST CODE FOR

CHILDREN & FAMILIES COMMISSION OF FRESNO COUNTY

The Political Reform Act (Government Code Section 81000, et seq.) requires

state and local government agencies to adopt and promulgate conflict-of-interest codes.

The Fair Political Practices Commission has adopted a regulation (2 Cal. Code of Regs.

Section 18730) that contains the terms of a standard conflict-of-interest code and may

be incorporated by reference in an agency’s code. After public notice and hearing, the

standard code may be amended by the Fair Political Practices Commission to conform

to amendments in the Political Reform Act. Therefore, the terms of 2 California Code of

Regulations Section 18730 and any amendments to it duly adopted by the Fair Political

Practices Commission are hereby incorporated by reference. This regulation and the

attached Appendices designating positions and establishing disclosure requirements

shall constitute the conflict-of-interest code of the Children & Families Commission of

Fresno County ("Commission").

Individuals holding designated positions shall file their statements with the

Commission, which will retain the statements and make the statements available for

public inspection and reproduction. (Gov. Code Section 81008.) Upon receipt of the

statements for the Commissioners and Commission Executive Director, the

Commission shall make and retain a copy and forward the original of these statements

to the Clerk to the County Board of Supervisors. The Commission shall retain the

originals of all other statements at its office.

The provisions of all Conflict of Interest Codes and amendments thereto

previously adopted by the Agency are hereby superseded.

state and local government agencies to adopt and promulgate conflict-of-interest codes.

The Fair Political Practices Commission has adopted a regulation (2 Cal. Code of Regs.

Section 18730) that contains the terms of a standard conflict-of-interest code and may

be incorporated by reference in an agency’s code. After public notice and hearing, the

standard code may be amended by the Fair Political Practices Commission to conform

to amendments in the Political Reform Act. Therefore, the terms of 2 California Code of

Regulations Section 18730 and any amendments to it duly adopted by the Fair Political

Practices Commission are hereby incorporated by reference. This regulation and the

attached Appendices designating positions and establishing disclosure requirements

shall constitute the conflict-of-interest code of the Children & Families Commission of

Fresno County ("Commission").

Individuals holding designated positions shall file their statements with the

Commission, which will retain the statements and make the statements available for

public inspection and reproduction. (Gov. Code Section 81008.) Upon receipt of the

statements for the Commissioners and Commission Executive Director, the

Commission shall make and retain a copy and forward the original of these statements

to the Clerk to the County Board of Supervisors. The Commission shall retain the

originals of all other statements at its office.

The provisions of all Conflict of Interest Codes and amendments thereto

previously adopted by the Agency are hereby superseded.
