Issue of up to USD30,000,000 Fixed to CMS Interest Spread Notes due June 2024
Under the U.S.$30,000,000,000 Global Medium Term Note Programme
Any person making or intending to make an offer of the Notes in any Member State of the European
Economic Area which has implemented the Prospectus Directive may only do so:
(a) in those Public Offer Jurisdictions mentioned in item 8 of Part B below, provided such person
is one of the persons mentioned in item 9 of Part B below and that such offer is made during
the Offer Period specified for such purpose therein; or
(b) otherwise in circumstances in which no obligation arises for the Issuer or any Dealer to
publish a prospectus pursuant to Article 3 of the Prospectus Directive or supplement a
prospectus pursuant to Article 16 of the Prospectus Directive, in each case, in relation to such
offer.
None of the Issuer and any Dealer has authorised, nor do any of them authorise, the making of any
offer of Notes in any other circumstances.
The expression Prospectus Directive means Directive 2003/71/EC, as amended (which includes the
amendments made by Directive 2010/73/EU (the 2010 PD Amending Directive) to the extent that
such amendments have been implemented in the Relevant Member State).
The Notes have not been and will not be registered under the United States Securities Act of 1933, as
amended (the Securities Act) or any state securities law. The Notes are being offered and sold outside
the United States to non-U.S. persons in reliance on Regulation S under the Securities Act
(Regulation S) and may not be offered or sold within the United States or to, or for the account or
benefit of, any U.S. person (as defined in Regulation S). Each purchaser of the Notes or any beneficial
interest therein will be deemed to have represented and agreed that it is outside the United States and
is not a U.S. person and will not sell, pledge or otherwise transfer the Notes or any beneficial interest
therein at any time within the United States or to, or for the account or benefit of, a U.S. person, other
than the Issuer or any affiliate thereof. The Notes do not constitute, and have not been marketed as,
contracts of sale of a commodity for future delivery (or options thereon) subject to the United States
Commodity Exchange Act, as amended, and trading in the Notes has not been approved by the United
States Commodity Futures Trading Commission under the United States Commodity Exchange Act,

The Notes may not be offered or sold to, or acquired by, any person that is, or whose purchase and

Terms used herein shall be deemed to be defined as such for the purposes of the Conditions set forth
under the sections entitled "Terms and Conditions of the Notes" and the Valuation and Settlement
Schedule in the Base Prospectus and the Supplements which together constitute a base prospectus for
the purposes of the Prospectus Directive.
This document constitutes the Final Terms of the Notes described herein for the purposes of Article
5.4 of the Prospectus Directive and must be read in conjunction with the Base Prospectus as so
supplemented. Full information on the Issuer and the offer of the Notes is only available on the basis
of the combination of this Final Terms and the Base Prospectus as so supplemented.

Offer Price: The Offer Price in respect of each Calculation

Conditions to which the Offer is subject: The Issuer reserves the right, in its absolute
discretion, to cancel the Belgian Offer and the
issue of the Notes in Belgium at any time prior to
the Issue Date. In such an event all application
monies relating to applications for Notes under
the Belgian Offer will be returned (without
interest) to applicants at the applicant's risk by no
later than 30 days after the date on which the
Belgian Offer of the Notes is cancelled.

or by any other method as the Issuer deems to be

The Issuer also reserves the right, in its absolute
discretion, to decline in whole or in part an
application for Notes under the Belgian Offer in
accordance with all applicable laws and
regulations and/or in order to comply with any
applicable laws and regulations. Accordingly, an
applicant for Notes may, in such circumstances,
not be issued the number of (or any) Notes for
which it has applied
Excess application monies will be returned

Les modalités des Titres ne contiendront pas de clause de maintien de
l’emprunt à son rang ni de clause de défaut croisé au titre de

Cas de défaut
Les modalités des Titres stipuleront, entre autres, les cas de défaut
suivants : (a) défaut de paiement de toute somme en principal ou
intérêts due en vertu des Titres, s’il perdure pendant une période de 30
jours dans le cas d’intérêts ou de 10 jours dans le cas du principal, dans
chaque cas après la date d’échéance ; (b) défaut d’exécution ou
violation de tout autre engagement par l’Emetteur, s’il perdure pendant

Fiscalité
Tous les paiements relatifs aux Titres seront effectués libres de toute
retenue à la source ou de tout prélèvement libératoire au titre de tous
impôts et taxes imposés au Luxembourg si l’Emetteur est CGMFL, ou
au Royaume-Uni dans le cas du Garant, sous réserve des exceptions
habituelles, ou aux Etats-Unis, si l’Emetteur est Citigroup Inc., sous

Assemblées Générales
Les modalités des Titres contiennent des dispositions relatives à la
convocation d’assemblées générales des titulaires de ces Titres, afin
d’examiner des questions affectant leurs intérêts en général. Ces
dispositions permettent à des majorités définies de lier tous les
titulaires, y compris ceux qui n’ont pas assisté et voté à l’assemblée

produire des intérêts à compter de la date d’expiration de la
période d’intérêts (ou, si elle est antérieure, à compter de la
date d’émission des Titres) précédant la date à laquelle un
événement de crédit est déterminé conformément aux
modalités des Titres à Coupon Indexé sur un Evénement de

Le montant d’intérêts pour un Titre Range Accrual ou un Titre Spread,
et, dans l’un et l’autre cas, une période d’intérêts, peuvent être égaux à

Tout taux de référence ou tout taux d’intérêt peut être soumis à un taux
de participation aux intérêts si les Conditions Définitives applicables
spécifient que la clause « TPI » (Interest participation rate ou « IPR »)

Définitives stipuleront si la clause « TPI » est applicable.
Tout taux de référence ou taux d’intérêt, ou tout montant d’intérêts
décrit ci-dessus peut être soumis à un minimum et/ou maximum,

TITRES A TAUX FIXE : Les Titres sont des Taux à Taux Fixe, ce
qui signifie qu’ils produisent des intérêts à compter du 20 juin 2014
(inclus) au taux fixe de 4,50 pour cent par an au titre de cinq périodes
d’intérêt, chacun se terminant respectivement le 20 juin 2015, 20 juin
2016, 20 juin 2017, 20 juin 2018 and 20 juin 2019. Les intérêts sont
payables annuellement à terme échu le 20 juin de chaque année.
Le montant de calcul est 1.000 USD.
TITRES INDEXÉS SUR UN TAUX D’INTÉRET CMS: Les Titres
sont des Titres Indexés sur un Taux d’Intérêt CMS, ce qui signifie
qu’ils produisent des intérêts à compter du 20 juin 2019 (inclus) à
plusieurs taux variable(s) calculé(s) par référence au Taux de
Référence CMS en USD ayant une échéance à 30 ans (en cas de spread
rate un) et 2 ans (en cas de spread rate deux), chaque fois multiplié par
le taux de participation aux intérêts TPI spécifié ci-dessous.
Le taux de participation aux intérêts ou TPI est, au titre d’un spread
rate : 300,00 pour cent.
TITRES SPREAD: Les Titres sont des Titres Spread, ce qui signifie
que le taux d’intérêt du 20 juin 2019 (inclus) au titre des périodes
d’intérêts se terminant respectivement 20 juin 2020, 20 juin 2021, 20
juin 2022, 20 juin 2023 and 20 juin 2024 sera taux spread un moins
taux spread deux Le taux spread un est le 30 ans USD CMS taux de

Le taux d’intérêt est soumis à un taux maximum (plafond) de 5,00 pour
cent et un taux minimum (plancher) de zéro pur cent.
Les intérêts seront payables annuellement à terme échu le 20 juin de
chaque année.
Le montant de calcul est 1.000 USD.
Le montant d’intérêts au titre de chaque montant de calcul, de chaque
date de paiement des intérêts et de la période d’intérêts concernée, est
un montant calculé sur la base de la fraction de décompte des jours
applicable.
Remboursement :
Les conditions dans lesquelles les Titres peuvent être remboursés (y
compris la Date d’Echéance et le prix auquel ils seront remboursés à
leur échéance, ainsi que toutes dispositions applicables au
remboursement anticipé) seront convenues entre l’Emetteur et l’Agent
Placeur concerné à la date d’émission des Titres concernés.
Sous réserve de tout remboursement, rachat et annulation anticipé, les
Titres seront remboursés le 20 juin 2024 (sous réserve d’ajustement
pour des jours non ouvrables) à 100,00 pour cent de leur montant
nominal.
L’Emetteur et ses Filiales pourront à tout moment procéder à des
rachats des Titres, en bourse ou de gré à gré, quel qu’en soit le prix.
Indication du rendement :
Indication du rendement : 4,50 % par an au titre de chaque période
d’intérêt tombant dans le période de 20 juin 2014 (inclus) jusqu’à 20
juin 2019 (exclus).
Remboursement anticipé
L’Emetteur pourra rembourser les Titres avant leur date d’échéance
convenue et paiera alors pour chaque Titre, si et dans la mesure où la
loi applicable le permet, un montant égal au montant de
remboursement anticipé (a) à la suite d’un Cas de Défaut, (b) pour
certaines raisons fiscales; et (c) si l’Emetteur détermine que l’exécution
de ses obligations en vertu d’une émission de Titres ou que des
conventions conclues pour couvrir les obligations de l’Emetteur en
vertu des Titres sont devenues ou deviendront illégales, en totalité ou

verbintenissen van de Emittent behoudens voor de verbintenissen die
uit hoofde van algemeen toepasselijke wettelijke verplichtingen
bevoorrecht zijn.
Negatieve verklaring en cross default
De algemene voorwaarden van de Notes bevatten noch een bepaling
inzake een negatieve verklaring noch een bepaling inzake cross
default van de Emittent.
Gebeurtenissen die resulteren in wanbetaling
De algemene voorwaarden bevatten onder andere de volgende
gebeurtenissen die in wanbetaling resulteren: (a) niet-betaling van
enige hoofdsom of interest in verband met de Notes, gedurende een
periode van 30 dagen in geval van interest en gedurende een periode
van 10 dagen in geval van de hoofdsom, telkens te tellen vanaf de
vervaldatum; (b) niet-nakoming van de prestaties of schending van
enige andere verplichting door de Emittent en voortduren van de
schending gedurende een periode van 60 dagen, te tellen vanaf de
datum waarop aandeelhouders die minstens 25 percent van de
hoofdsom van de uitstaande Notes vertegenwoordigen, een
schriftelijke kennisgeving hebben gegeven waarin het gebrek of de
schending wordt gespecificeerd en waarin geëist dat er een einde
wordt gemaakt aan het gebrek of de schending; (c) gebeurtenissen in
verband met het afwikkelen of vereffenen of een gelijkaardige
procedure door de Emittent; en (d) het aanduiden van een ontvanger
of enige andere gelijkaardige mandataris of enige andere
gelijkaardige regeling van de Emittent.
Belastingheffing
De betalingen voor alle Notes zullen uitgevoerd worden zonder

De algemene voorwaarden van de Notes bevatten bepalingen voor
het bijeenroepen van vergaderingen van de houders van dergelijke

welbepaalde meerderheden de mogelijkheid om besluiten te nemen

maximale rentevoet, een maximaal rentebedrag, een minimale
rentevoet of een minimaal rentebedrag of beide hebben.
Interest:
De Notes kunnen al dan niet rente opleveren. De rente van de Notes
die rente opleveren, is betaalbaar tegen:
(i) een vaste rentevoet of één of meerdere vaste rentevoeten
(“Fixed Rate Notes”);
(ii) een variërende rentevoet (“Floating Rate Notes”);
(iii) een CMS-rentevoet (“CMS Interest Linked Notes”);
(iv) een rentevoet die bepaald wordt aan de hand van de
schommelingen in een inflatie-index (“Inflation Rate

meerdere referentierentevoeten en kan verschillend zijn voor
elke referentierentevoet) zich voordoet, hetzij (ii) wanneer

gespecificeerde onderste bereik en hetzij (i) gelijk is aan of

(die rentevoet kan een vaste rentevoet, een variabele
rentevoet of een CMS-rentevoet zijn die een rentevoet zou
moeten bevatten die bepaald is aan de hand van de
bepalingen over de Spread Notes) of een rentevoet die,
indien de gespecificeerde digitale referentierentevoet (die
rentevoet kan een vaste rentevoet, een variabele rentevoet of
een CMS-rentevoet zijn die een rentevoet zou moeten
bevatten die bepaald is aan de hand van de bepalingen over
de Spread Notes) op de gespecificeerde datum voor de
benchmark, zoals gespecificeerd in de toepasselijke
Definitieve voorwaarden
(i) lager is dan
(ii) lager is dan of gelijk is aan
(iii) hoger is dan
(iv) hoger is dan of gelijk is aan
de gespecificeerde reserverentevoet (die rentevoet kan een
vaste rentevoet, een variabele rentevoet of een CMS-
rentevoet zijn die een rentevoet zou moeten bevatten die
bepaald is aan de hand van de bepalingen over de Spread
Notes), een andere gespecificeerde rentevoet, nl. de digitale
rentevoet (die rentevoet kan een vaste rentevoet, een
variabele rentevoet of een CMS-rentevoet zijn die een
rentevoet zou moeten bevatten die bepaald is aan de hand
van de bepalingen over de Spread Notes) (“Digital Notes”);
(viii) een rentevoet (dit kan een vaste rentevoet zijn, een variabele
rentevoet, een CMS-rentevoet of een rentevoet die gelijk is
aan een gespecificeerde rentevoet (die op zijn beurt een
variabele rentevoet of een CMS-rentevoet kan zijn) min een
andere gespecificeerde rentevoet (die een variabele
rentevoet of een CMS-rentevoet kan zijn)), en wel te
vermeerderen of te verminderen met een marge, zoals

gespecificeerd, die voor elke renteperiode bepaald zal
worden op basis van de bandbreedte waarbinnen volgende
gespecificeerde vaste rentevoeten vallen:
(a) de gespecificeerde referentierentevoet (dit kan een
variabele rentevoet of een CMS-rentevoet zijn) die
bepaald is op de relevante rentebepalingsdag voor
de referentierentevoet; of
(b) het resultaat van referentierentevoet één (dit kan een
variabele rentevoet of een CMS-rentevoet zijn) min
referentierentevoet twee (dit kan een variabele
rentevoet of een CMS-rentevoet zijn), elk zoals
bepaald op de relevante rentebepalingsdag voor
dergelijke rente.
De rentevoet voor een renteperiode is gelijk aan de
rentevoet die is vastgelegd als rentevoet voor de
overeenkomstige bandbreedte waarbinnen in het geval van
(a) de gespecificeerde referentierentevoet valt of
waarbinnen in het geval van (b) het resultaat van de som
van referentierentevoet Eén min referentierentevoet Twee
valt ("Digital Band Notes");
(ix) een rentevoet die gelijk is aan een gespecificeerde vaste
rentevoet min (i) een referentierentevoet of (ii) een
referentierentevoet min een andere referentierentevoet (alle
referentierentevoeten mogen variabele rentevoeten of CMS-
rentevoeten zijn (wat een rentevoet zou kunnen inhouden die
bepaald wordt door te verwijzen naar de bepalingen inzake
Spread Notes), te vermeerderen of te verminderen met een
marge zoals gespecificeerd en/of afhankelijk van een
rentevoet voor renteparticipatie, indien gespecificeerd)
(“Inverse Floating Rate Notes”);
(x) een rentevoet die bepaald moet worden door te verwijzen
naar (a) “één” min het resultaat van de som van een
bepaalde rentevoet min een andere bepaalde rentevoet (al
deze rentevoeten kunnen bepaald worden door te verwijzen
naar de bepalingen inzake variabele rentevoeten, CMS-
rentevoeten, inflatiegerelateerde rentevoeten of rentevoeten
van DIR inflation linked Notes en kunnen zijn: (i) een
welbepaalde rentevoet, of (ii) de som van meerdere
welbepaalde rentevoeten of (iii) een welbepaalde rentevoet
min een andere welbepaalde rentevoet) of (b) een bepaalde
rentevoet min een andere bepaalde rentevoet (al deze
rentevoeten kunnen bepaald worden door te verwijzen naar
de bepalingen inzake variabele rentevoeten, CMS-
rentevoeten, inflatiegerelateerde rentevoeten of rentevoeten
van DIR inflation linked Notes en kunnen zijn: (i) een
welbepaalde rentevoet, of (ii) de som van meerdere
welbepaalde rentevoeten of (iii) een welbepaalde rentevoet
min een andere welbepaalde rentevoet), in elk geval plus of

min een marge indien gespecificeerd en/of onderworpen aan
een rentevoet voor renteparticipatie indien gespecificeerd
(“Spread Notes”);
(xi) enige combinatie van het voorafgaande; of
(xii) een combinatie van de rentevoeten in (i) tot (x) vermeld
hierboven in combinatie met Credit Linked Coupon Notes,
de Notes zullen ophouden rente op te leveren vanaf de
einddatum van de renteperiode (of, indien eerder, de datum
van uitgifte van de Notes) dat aan de datum waarop een
kredietgebeurtenis wordt vastgesteld op grond van de
algemene voorwaarden van de Credit Linked Coupon Notes
(de "Credit Linked Coupon Notes") voorafgaat.
Het rentebedrag kan voor een Range Accrual Note of voor een
Spread Note gelijk zijn aan nul. De renteperiode kan in beide
gevallen gelijk zijn aan nul.
Alle referentierentevoeten of rentevoeten kunnen afhankelijk zijn
van een rentevoet voor renteparticipatie ("IPR") indien deze in de
toepasselijke Definitieve Voorwaarden is vastgelegd voor die
referentierentevoet of rentevoet. De IPR zal in de toepasselijke
Definitieve Voorwaarden worden vastgelegd.
Op alle referentierentevoeten, rentevoeten of rentebedragen die
hierboven zijn beschreven, kan een minimum en/of een maximum
van toepassing zijn als dit in de toepasselijke Definitieve
Voorwaarden is vastgelegd.
FIXED RATE NOTES: Deze Notes zijn Fixed Rate Notes wat
inhoudt dat ze vanaf (en met inbegrip van) 20 juni 2014 rente
opleveren tegen een vaste rentevoet van 4,50 percent per jaar voor
vijf Renteperiodes, elk respectievelijk eindigend op 20 juni 2015, 20
juni 2016, 20 juni 2017, 20 juni 2018 en 20 juni 2019. De rente moet
jaarlijks als achterstal betaald worden op 20 juni van elk jaar.
Het bedrag dat is uitgerekend, is 1.000 USD
CMS INTEREST LINKED NOTES: Deze Notes zijn CMS
Interest Linked Notes voor doeleinden van de Spread Note
bepalingen wat inhoudt dat ze vanaf (en met inbegrip van) 20 juni
2019 rente opleveren tegen variabele rentevoeten die berekend
worden op basis van de CMS-referentierentevoet in USD met een
looptijd van 30 jaar (in geval van spread rate één) en 2 jaar (in geval
van spread rate twee), in ieder geval vermenigvuldigd met de
relevante rentevoet voor renteparticipatie [IPR] die hieronder is
gespecificeerd.
De rentevoet voor renteparticipatie of IPR is, met betrekking tot
een spread rate: 300,00 procent.
SPREAD NOTES: De Notes zijn Spread Notes wat inhoudt dat de

rentevoet vanaf (en met inbegrip van) 20 juni 2019 voor de
renteperiodes die respectievelijk eindigen op 20 juni 2020, 20 juni
2021, 20 juni 2022, 20 juni 2023 en 20 juni 2024 Spread rate Eén
min Spread rate Twee zal zijn. Spread rate Een is de 30 jaar USD
CMS referentierente en Spread rate Twee is de twee jaar USD CMS
referentierente, in ieder geval vermenigvuldigd met de toepasselijke
rentevoet voor renteparticipatie (IPR).
Er geldt een maximale rente (cap) van 5,00 procent per jaar en een
minimale rente (floor) van nul procent.
De rente moet jaarlijks als achterstal betaald worden op 20 juni van
elk jaar.
Het berekende bedrag is 1.000 USD.
Het rentebedrag voor elk berekend bedrag, voor elke datum waarop
rente uitbetaald wordt, en voor elke relevante renteperiode is een
bedrag dat berekend wordt op basis van de relevante breuk voor de
dagtelling.
Terugbetaling:
De voorwaarden waaronder de Notes terugbetaald mogen worden
(met inbegrip van de vervaldag, de prijs waartegen ze op de
vervaldag terugbetaald zullen worden, en de bepalingen inzake
vervroegde terugbetaling) worden door de Emittent en de betrokken
Dealer overeengekomen op het tijdstip van de emissie van de
betrokken Notes.
Behoudens een vervroegde terugbetaling, aankoop en schrapping
zullen de Notes op 20 juni 2024 (onder voorbehoud van wijziging
voor niet-werkdagen) terugbetaald worden aan 100,00 percent van
hun nominale waarde.
De Emittent en zijn dochtermaatschappijen mogen te allen tijde op
de open markt of op andere wijze Notes kopen.
Indicatie van het rendement:
Indicatie van het rendement: 4,50 percent per jaar voor iedere
Renteperiode die valt binnen de periode vanaf (en met inbegrip van)
20 juni 2014 tot (maar zonder inbegrip van) 20 juni 2019.
Vervroegde terugbetaling
De Emittent mag de Notes vóór de vermelde eindvervaldag
terugbetalen en zal, voor zover de toepasselijke wetgeving dit
toestaat, zal hij onder die omstandigheden voor elke Note een bedrag
uitbetalen dat gelijk is aan het bedrag bij vervroegde uitbetaling (a)
na een gebeurtenis die resulteert in wanbetaling, (b) om bepaalde
fiscale redenen en (c) indien de Emittent bepaalt dat het naleven van
zijn verplichtingen uit hoofde van de emissie van Notes of dat enige

regeling die is getroffen voor het hedgen van de verbintenissen van
de Emittent uit hoofde van de Notes, om welke reden dan ook geheel
of gedeeltelijk illegaal is geworden of zal worden.
C.10- Als de Note bij de

Niet van toepassing
Behoudens een vervroegde terugbetaling, aankoop en schrapping
zullen de Notes op 20 juni 2024 (onder voorbehoud van
aanpassingen voor niet-werkdagen) terugbetaald worden aan 100,00
percent van hun nominale waarde.
De Emittent mag de Notes voorafgaand aan de vermelde
eindvervaldag terugbetalen en in die omstandigheden zal hij voor
elke Note, indien en voor zover dit door de toepasselijk wetgeving
toegestaan is, een bedrag betalen dat gelijk is aan het bedrag bij
vervroegde terugbetaling (a) na een gebeurtenis die resulteert in
wanbetaling, (b) om bepaalde fiscale redenen en (c) indien de
Emittent bepaalt dat het naleven van zijn verplichtingen uit hoofde
van de emissie van Notes of dat enige regeling die is getroffen voor
het hedgen van de verbintenissen van de Emittent uit hoofde van de
Notes, om welke reden dan ook geheel of gedeeltelijk illegaal is
geworden of zal worden.
C.11 Toelating tot de
handel
Er is een aanvraag ingediend bij de Ierse aandelenbeurs teneinde de
Notes aldaar te kunnen verhandelen.

D.2 Belangrijkste
risico's in verband
met de Emittenten
De firma Citigroup Inc. is van mening dat de hieronder opgesomde
factoren een effect kunnen hebben op haar mogelijkheid om haar
verplichtingen na te komen die uit de Notes resulteren. Al deze
factoren hebben betrekking op omstandigheden die zich al dan niet
kunnen voordoen en de firma Citigroup Inc. is niet in staat om zich
uit te spreken over de waarschijnlijkheid dat een dergelijke
omstandigheid zich zal voordoen.
Er bestaan bepaalde factoren die een negatieve invloed kunnen
hebben op de mogelijkheid van de firma Citigroup Inc. om haar
verplichtingen die resulteren uit de Notes die ze heeft uitgegeven
na te komen. Tot die factoren behoort ook het feit dat die
mogelijkheid afhankelijk is van de inkomsten van de
dochtermaatschappijen van de firma Citigroup Inc., het feit dat de
firma Citigroup Inc. ertoe verplicht kan zijn om haar beschikbare
middelen eerder te gebruiken om de financiële positie van haar
dochtermaatschappijen uit de banksector te ondersteunen, dan om
haar verplichtingen die uit de Notes resultaten, na te komen, het
feit dat de zakelijke activiteit van de firma Citigroup Inc. te lijden
kan hebben onder de economische situatie, het kredietrisico, het
marktrisico en het liquiditeitsrisico, de concurrentie, het
landenrisico, operationele risico's, het fiscale en monetaire beleid
van betrokken regelgevende overheden, risico's op vlak van
reputatie en wettelijke risico's en bepaalde overwegingen van
regelgevende instanties.
D.3 Belangrijkste
risico's in verband
met de Notes
Beleggers moeten weten dat de Notes (inclusief Notes die
uitgedrukt worden om tegen pari te worden terugbetaald)
blootgesteld zijn aan het kredietrisico van Citigroup Inc.. Tevens
kunnen de Notes verkocht, teruggekocht of vervroegd terugbetaald
worden en, als dit gebeurt, kan de prijs waartegen een Note
verkocht, teruggekocht of vervroegd terugbetaald wordt, lager
uitvallen dan de aanvankelijke belegging. Er bestaan andere zekere
factoren die van wezenlijk belang zijn bij het beoordelen van de
risico's die gepaard gaan met het beleggen in enige soort Notes. Tot
die risico's behoren onder andere: (i) het risico op onderbreking
van de waardebepaling, (ii) aanpassing aan de omstandigheden,
substitutie van de relevante onderliggende waarde(n) en/of
vervroegde terugbetaling ingevolge een aanpassing of een illegale
situatie, (iii) het uitstellen van de betaling van rente en/of minima
en/of maxima die opgelegd worden voor de rentevoeten, (iv) het
schrappen of afbouwen van openbare offertes of het uitstellen van
de emissiedatum, (v) de hedgingactiviteiten van de Emittent en/of
van één van zijn dochtermaatschappijen, (vi) belangenconflicten
tussen de Emittent en/of één van de houders van Notes, (vii)
wijziging van de algemene voorwaarden die op de Notes van
toepassing zijn, door een meerderheid van de stemmen die bindend
is voor alle houders, (viii) discretionnaire beslissingen van de
Emittent en van de Agent die bevoegd is voor het berekenen, die

uitgevoerd worden op een manier die de waarde van de Notes
negatief beïnvloedt of die in vervroegde terugbetaling resulteert,
(ix) wetswijziging, (x) de illiquiditeit van de denominaties
bestaande uit meervoudige integralen, (xi) betalingen die
onderworpen worden aan bronbelasting of aan andere belastingen,
(xii) vergoedingen en commissies die bij het bepalen van de prijs
van de Notes op de secundaire markt niet in rekenening werden
gebracht, (xiii) de afwezigheid van een secundaire markt, (xiv) het
valutarisico, (xv) de aantasting van de marktwaarde van de Notes
door diverse factoren die los staan van de kredietwaardigheid van
Citigroup Inc. zoals de marktomstandigheden, de rentevoeten, de
wisselkoersen en de macro-economische en politieke
omstandigheden en (xvi) kredietbeoordelingen die niet alle risico's
weerspiegelen.
DEEL E – AANBOD

De netto opbrengst van de emissie van de Notes door Citigroup
Inc. zal gebruikt worden voor de algemene doelstellingen van de
onderneming. Hiertoe behoren kapitaalinjecties in haar
dochtermaatschappijen en/of het afbouwen of herfinancieren van
leningen van Citigroup Inc. of haar dochtermaatschappijen.
Citigroup Inc. verwacht dat haar schuldenlast in de toekomst zal
toenemen.]
E.3 Algemene
voorwaarden van
het aanbod
De Notes maken het voorwerp uit van een Niet-vrijgesteld Aanbod,
waarvan de algemene voorwaarden hieronder en in de toepasselijke
Definitieve Voorwaarden zijn uiteengezet.
Een Niet-vrijgesteld Aanbod voor Notes kan worden gedaan in
België (het Belgische Aanbod) in de periode van (en met inbegrip
van) 21 mei 2014 tot (en met) 13 juni 2014. Die periode kan
ingekort worden indien de Emittent dit wenst. De Emittent behoudt
zich het recht voor om het Belgische Aanbod in te trekken.
De prijs van het aanbod bedraagt 1.020 USD per berekend bedrag.
Het minimumbedrag van de intekening is 1.000 USD in hoofdsom
van de Notes. De Emittent mag een aanvraag voor de aankoop van
Notes uit hoofde van het Belgische Aanbod geheel of gedeeltelijk
van de hand wijzen.
E.4 Belangen van
natuurlijke personen
en rechtspersonen
die betrokken zijn
bij de emissie / het
aanbod
Alle distributeurs zullen voor de emissie van de Notes 5,00
percent, equivalent aan ongeveer 0,5 percent per jaar voor 10 jaar
van het hoofdbedrag betaald worden als vergoedingen in verband
met de uitgifte van de Notes. Voor zover de Emittent weet, heeft
geen enkele persoon die bij het aanbieden van de Notes betrokken
is, een materieel belang bij het Aanbod.
