EDITORIAL

Dear Business Friends,Dear Colleagues,

As most of you have learned during the past fewmonths, our company has been acquired by Permira,a leading International private equity specialist. Onpage 14 and 15 of OUTLOOK magazine you willfind more information in a story featuring the newowners, the key people behind the Jet Aviationtransaction and about Permira’s reasons to invest inour company and their strategy.

Although this transaction marks the end of 38 yearsof successful Swiss entrepreneurship, the acquisitionby Permira also represents the start of a fresh andexciting chapter for Jet Aviation.

With the growth of private and businessaviation worldwide, the new owners arepursuing a clear strategy with the goal tofurther expand Jet Aviation’s leadingposition in the business aviationservices industry through organicgrowth and strategic acquisitions.

Our 3,500 employees and managementenjoy the full confidence of the newowners, and Permira is eager to work withthe current management team. We willcontinue to provide you, our valued customer, with the highest level of service, and we are

confident that the change in ownership will createadditional opportunities to serve you even better.

Business at Jet Aviation continues and the companywas recently selected amongst several topcompetitors to build and operate the new FBO at theDusseldorf International Airport. In the U.S. we havelaunched our Flight Support Solutions program forflight departments. A service that is a success inEurope and now has been adapted to the NorthAmerican market. We also are looking into the futureto address the needs of a new generation of aircraft –the Airbus A380. Our designers at Jet Aviation Baselhave come up with a number of distinct ideas for theoutfitting of this giant where only the sky is the limit.

In the United Arab Emirates, we celebrated the grandopening of our new maintenance and FBO location atDubai International Airport during this year’s DubaiAirshow. This long development was conceived in1999 and solidified in a joint venture agreement with the Dubai-based Al Mulla Business Group inFebruary 2002.

Construction began in 2004 and the project wascompleted in a record nine months. Jet AviationDubai opened its doors in April 2005 and became thefirst global aviation maintenance and FBO operationat this airport. The new facility marks theculmination of intense negotiations, planning, construction and hiring of personnel as well as asubstantial investment of several million U.S. dollars.

This is but one recent example of Jet Aviation on themove. You can be certain that we will continue toexpand our global network of services and facilities in

order to cater to our clients’ requirements. I am alsoconfident that we will announce other new

locations very soon.

Sincerely yours,

MAINTENANCE

LARGEST WIDE-BODY AIRCRAFT MAINTENANCEPROJECT TO DATE AT JET AVIATION BASEL

Jet Aviation’s Basel facility was awarded the largest

maintenance project on a wide-body aircraft to date,

and work got underway this fall.

The Boeing 767-300 ER, owned by a long-term

Jet Aviation customer, was originally outfitted at the

Basel facility nearly six years ago and is undergoing a

C1-C4 check – a task that will involve over 25,000

man hours. In an effort to complete the work within

the customer’s ambitious time-frame, Jet Aviation

Basel raised scaffolding around the aircraft allowing

for the most efficient work flow. During the course of

the project, the cabin was completely removed,

permitting technicians access to work areas. The

removal and reinstallation of the cabin alone

required nearly 10,000 man hours. “This project is

very special to us because we have a history with this

aircraft. Many of our technicians involved in the

maintenance checks today, were a part of the original

outfitting process. When a completions customer

insists on scheduling his aircraft for checks at our

facility, this speaks directly to the quality of the work

we perform,” states Michael Sattler, director of quality

& technical services at Jet Aviation Basel who has

taken the lead in this project.

The client also decided on avionics upgrades to the

aircraft. Engineers at Jet Aviation Basel installed a

state-of-the-art audio and video system, the highly-

touted audio/video on demand (AVOD), that

provides passengers with a selection of over 600

digitally stored films which they may independently

view as they wish.

Jet Aviation Dallas prides itself on the fact that the

company’s capabilities allow the facility to work to the

client’s exact specifications and meet the highest

quality standards. This was exactly the experience of a

first time customer who brought his 1994 Hawker

1000 in for major structural inspections and a partial

refurbishment.

First, Jet Aviation Dallas performed a 12-month

structural inspection including non-destructive testing

such as X-ray checks. This comprehensive project

made it necessary to remove the entire cabin interior

as well as the belly fairings and the ventral tank. In

addition, the Hawker’s cockpit and cabin were

equipped with the latest communications and

entertainment devices, including, EGPWS; TCAS II;

RVSM; Honeywell NZ 2000 dual FMS, 406 MHz

ELT; 2hr CVR, FM Immunity; Aircell ST 3100 and

Satellite Phone System.

Once the maintenance and avionics aspects were

complete, the interior was transformed creating an

innovative new look.

The Hawker 1000 received new brown leather seats,

beige carpeting, new headliners, lower and upper

side panels and baggage compartments, with accents

of light maple woodwork throughout the cabin. “The

result was optimal aesthetic quality, user-friendly

functionality and operational simplicity,” said Thomas

Rimml, senior vice president and general manager at

Jet Aviation Dallas.

When an aircraft changes hands, the new owner

often wants a complete refurbishment, or at least

various upgrades to his purchase. The recent sale of a

Hawker 700A by Raytheon Aircraft Company

resulted in such work at Jet Aviation Zurich.

Requiring more than 5,000 man hours, the aircraft

underwent extensive work which was conducted in

cooperation with Raytheon Aircraft Company’s

Engineering team in Wichita, KS. Technicians agreed

that some of the electrical equipment on board was

no longer up to current standards, so a decision was

made to install a variety of new equipment which

included a UMS1E flight management system, TCAS

and transponder mode S, CTL and RVSM (reduced

vertical separation minimum) for which the aircraft

had to be modified.

The project was topped off by repainting the

exterior of the plane – displaying the brilliance of a

new aircraft.

Market Air’s Challenger 604, which was recently

reconfigured at the Jet Aviation Palm Beach facility,

was considered so unique by industry experts, that

Pro Pilot magazine featured the aircraft as the cover

story in their September 2005 issue.

Seven years ago,

Jet Aviation outfitted

the customer’s first

aircraft, a Challenger

601. This time, the

customer requested

more space aboard his

new aircraft. James

Harrison, manager of

interiors/completions at

Jet Aviation Palm Beach,

who was in charge of

the project, explained,

“To increase the amount

of space in the cabin, we

changed the seating

arrangement and reconfigured the aft bulkhead which

provided more room in the baggage and lavatory

areas. We ultimately installed a new cabin shell from

the drink ledge up which gave the interior a more

modernized and spacious appearance.”

Custom-tiled Kashmir Gold granite flooring and

special hand-woven, basket weave patterned carpet

were ordered by the designers to create a new

dynamic décor. The seats, whose outboard armrests

are equipped with hidden compartments for

convenient headset storage, were re-upholstered in

various shades of tan leather and finished off with

French stitched seams in a contrasting thread color, to

highlight the detailed craftsmanship. The existing

wood veneer was replaced with Andiroba with a

unique pattern.

“To complete the project, we installed a state-of-the-

art cabin management system that offers new menu

driven panels and

an LCD screen

remote which can

be programmed

to control anything

in the cabin,”

said Brian Wilson,

Jet Aviation’s Palm

Beach avionics

manager.

While repeat business speaks well for any

organization, long-standing customers allow company

officials to feel confident about the quality of service

their customers receive, with every visit. Such was

the case when a long-term customer scheduled two

aircraft for service at Jet Aviation’s Zurich facility.

An eight-seat Citation Excel, available for charter

in Europe, received new seats, carpets, side panels

and head liners to the aircraft in a soft, neutral

gray color.

A second Citation, an S2 model, will be appointed in

similar materials and colors and is also scheduled for a

Traffic Collision Avoidance System (TCAS)

installation.

In addition, the Zurich facility also was contracted

by Jet Aviation’s EMEA charter division to refurbish

and paint the company’s Citation Excel to

identically match the other aircraft in the

Jet Aviation Private Fleet.

“It’s only a matter of time when we will be asked to

submit a proposal for the outfitting of an A380 and we

plan to be prepared,” contemplates Rainer Albecker,

senior vice president and general manager at

Jet Aviation Basel.

Jet Aviation’s interior

design department

has developed a

variety of possible

layouts for this aircraft.

“When considering

the outfitting of an

A380, the sky really

is the limit. We have come up with a number of

distinct ideas – each with its own set of unique

elements – some of which are quite extraordinary,”

states Eric Jan, the head designer at Jet Aviation in

Basel. We envision onboard fitness rooms and gaming

tables reached by an elevator – open spaces and the

sheer size of the rooms will easily allow passengers

to forget that they are actually flying onboard

an aircraft.”

The utmost in privacy has been thoroughly thought

out and plans also include a large master bedroom

suite with an oversized bathroom and a separate

dressing area and luxurious and spacious VIP guest

rooms with full-sized beds.

Recently, a client’s need for special attention was the

mission when a Boeing B767 VIP interior needed

FAA certification. The multifaceted certification

took one year, and required close collaboration

between Jet Aviation Engineering Services and

Jet Aviation’s completions center in Basel.

Jet Aviation Engineering Services received a FAA

Supplemental Type Certificate (STC) for the Boeing

B767 VIP interior. While the interior was certified at

the company’s location at Kestrel Air Park near San

Antonio, the completion was done at the Basel

facility in Switzerland.

Even though the client’s wishes were complex and

the design requirements an engineering challenge,

the aircraft received its STC one month ahead

of schedule.

A spacious library, several bedrooms and adjoining

lavatories, two with custom made showers, were

among the interior fittings. An elaborate dining

room and salon were also installed. High-tech

amenities included state-of-the-art wireless internet

access, high speed data service, satellite TV, air

filtration and humidification systems, and a digital

entertainment and cabin management system. An

elaborate storage compartment, complete with

refrigerators to store wine and fine entrees, was

fitted into the forward cargo area, to be accessible

during flight.

CONVENIENCE SIGNIFICANTLY BOOSTS TRAFFICAT JET AVIATION LONDON BIGGIN HILL

It comes as no surprise that during the first half

of 2005, traffic increased by more than 40 percent

at Jet Aviation London Biggin Hill. After all,

Jet Aviation’s facility in the United Kingdom

operating out of Biggin Hill airport, located only 12

miles (20 km) from central London, is commonly

known as the most convenient gateway to and from

the nation‘s capital.

“We have, without a doubt, benefited from the fact

that more and more aircraft operators have discovered

the convenience of Biggin Hill,” states Stephan Koss,

senior vice president and general manager at

Jet Aviation Biggin Hill. “Our clients appreciate that

they can expect the Jet Aviation style of service they

are accustomed to from all our locations around

the globe including when traveling to London or

to the surrounding areas.” Those services include

FBO services, maintenance, avionics installations,

refurbishment and exterior painting.

There may be another factor however that will

account for a continued increase in future traffic at

Jet Aviation Biggin Hill. The facility recently signed a

major contract with BP (British Petroleum) to offer

fueling services, a feature generating wide interest by

aircraft operators and owners. “The fact that we can

now offer fuel services will certainly help in attracting

customers to our FBO,” Koss predicts.

DUSSELDORF AIRPORT OFFICIALS AWARD BIDTO OPERATE NEW FBO TO JET AVIATION

Dusseldorf airport authorities recently issued a

request for bids for a new executive terminal. After

several months of negotiations, Jet Aviation finally

won the bid and was selected from amongst several

top competitors to build the new FBO and executive

terminal at the Dusseldorf International Airport based

on the most convincing operational concept.

Construction of the new building is planned to begin

during December 2005 and the new executive

terminal is expected to be fully operational in the first

quarter of 2006. Currently, Jet Aviation provides FBO

services from its maintenance facility, which is located

in proximity to the new site.

The new facility will be the first FBO in Germany tooffer a fitness room as an amenity in the planned two-story building which will be in complete compliance with new air security requirements. In addition, customers and crew will benefit from in-house immigration and customs clearance, comfortable conference rooms and lounges and thelatest in state-of-the-art communications equipment.

“We are pleased that the airport authorities willentrust us with the operation of a new executiveterminal. The investment in a new facility willcertainly help us to better serve the growing businessaviation traffic at the Dusseldorf airport,” explainsJohannes Turzer, senior vice president and generalmanager at Jet Aviation Dusseldorf.

When Jet Aviation opened its third facility in the

Middle East at Dubai International Airport in May

2005, the company immediately started to provide

maintenance services to a variety of aircraft types.

Since then, Jet Aviation has also become fully

operational as an FBO and enjoys a growing

clientele from around the world.

Private aircraft travelers and crew benefit from

in-house immigration and customs clearance at the

company’s newest FBO at Dubai International

Airport, avoiding the hassle of lengthy waiting lines

at the Airport Terminal. The facility is very

conveniently located on the northern side of the

airport near the Airport Free Zone and also offers

aircraft washing and cleaning in addition to its FBO

and maintenance services.

“Even though we are the youngest member of the

Jet Aviation Group, we strive to provide our

customers with the same level of premium services

they are accustomed to from other Jet Aviation

facilities around the world,” says Philip Balmer,

senior vice president and general manager.

The two story FBO building with an area of 1,050

square meters (11,300 square feet) features a

reception area and a refreshment center, VIP

PERMIRA NEW OWNER OF JET AVIATION

In an official announcement and at a press

conference on October 5, 2005 in Zurich,

Switzerland, Permira stated that they had acquired

all shares of the Swiss based Jet Aviation Group

following antitrust clearance. In a statement,

Thomas Krenz, managing partner of Permira in

Frankfurt, Germany said, “Private and business

aviation is a growing market worldwide. In this

industry, Jet Aviation stands out with a unique and

distinctive profile making it an attractive investment

for the Permira Funds.”

Who are the new owners of Jet Aviation?

Permira is a leading international private equity

specialist with a team of about 90 professionals,

based in Frankfurt, London, Madrid, Milan,

New York, Paris, Stockholm and Tokyo. As an

independent company, Permira is owned and

controlled by its partners.

Who are the people behind the Jet Aviation

transaction?

Thomas Krenz, managing director

of the Frankfurt operations since

1999, is a member of Permira’s

operating committee. Krenz joined

the firm in 1988 and became partner

in 1991. He has been involved in

numerous transactions including

Premiere and Sirona Dental Systems.

Dr. Jörg Rockenhäuser joined

Permira in Frankfurt in 2001. He is

co-leader of the Technology,

Media and Telecommunications

sector team and also specializes in

aviation transport services.

Torsten Vogt joined Permira in

2001 in Frankfurt and is currently

based in the New York office. Besides

his involvement in Jet Aviation,

he is also a member of the global

Chemicals sector team at Permira.

What is Private Equity?

Private equity provides long-term, committed share

capital, to help unlisted companies grow and succeed.

If one plans to start up, expand, buy into a business,

buy out a division of a parent company, turnaround or

revitalize an enterprise, private equity could assist in

making these projects successful. Private equity is

invested in exchange for a stake in a company and, as

shareholders, the investors’ returns are dependent on

the growth and profitability of the business.

Benefits of Private Equity

Private equity backed enterprises show faster growth

compared to other companies. This is due to a

combination of capital and personal input from

private equity professionals, setting it apart from

other forms of finance. Private equity can help

achieve ambitious goals for the company and provide

a stable base for strategic decisions. In any case, a

private equity firm will always seek to increase a

company’s value to its owners, without interfering

with the day-to-day business.

Investments by Permira

Since 1985, the Permira Funds have completed more

than 270 private equity transactions in 15 countries,

ten of them during the last year, with a transaction

value of $19 billion. Permira Europe III, the current

fund advised by Permira, exceeds $5 billion.

Currently the Permira Funds invest in 46 portfolio

companies with a combined turnover of over

$38 billion and over 189,000 employees.

An example of a successful investment was theacquisition of the Ferretti Group, headquartered inForli, Italy in February 1998. The world leader in themanufacturing of luxury motor yachts soon acquiredseveral companies in Italy and the U.S. after a changeof ownership and sales grew six-fold over a three yearperiod. In June of 2000, the Ferretti Group listed itsshares on the Italian Stock Exchange. However, when9/11 restricted Ferretti’s ability in 2001 to continue itsglobal expansion, Permira Funds re-invested. Today, the company employs more than 800 professionals inten plants in Italy and the U.S. and the business iscurrently growing annually by 30%.

Interview

An Industry with Excellent Growth Perspective

What were the reasons for the Permira Funds to invest

in Jet Aviation?

Thomas Krenz: Jet Aviation is one of the major

players in the growing business aviation market. The

company can rely on a successful management team

and has one of the best skilled and experienced work

forces in the industry. The stable European and U.S.

core businesses have also sustained profitable growth

and profitability.

During critical global crises over the last few years

beginning with 9/11, the Iraq war and SARS, the

company maintained its solid position. Jet Aviation

was able to quickly balance shortfalls in one area with

great performance in other lines of business or

regions. Management and employees demonstrated

their ability to handle difficult situations – important

assets and a great starting point for further growth.

What will change at Jet Aviation?Dr. Jörg Rockenhäuser: Jet Aviation is a uniquecompany and has been very successful in the past. However, typical for family run businesses, thecompany was not always able to capture all its growthopportunities. Jet Aviation is very well positioned inthe European market, but we believe that there ismore room for global expansion and growth. We seean opportunity especially in the U.S. market. There, the industry is currently consolidating and Jet Aviation is in a perfect position to take advantageof this trend. Krenz: Jet Aviation will now be able to act and reactvery quickly. I believe that the Permira Funds willprovide the optimal framework for Jet Aviation. Thecompany is in a strong growth stage and needs fastdecision making. We are convinced that Permira isthe ideal partner to back this process.

Are there any additional acquisitions planned? Rockenhäuser: We have not yet decided on anyadditional acquisitions. However, we have beenanalyzing the business aviation market very carefullyand in detail over the past few years. Together withJet Aviation’s management team, we will act veryquickly once we see an opportunity. Our goal is togrow Jet Aviation’s U.S. business to the same level asin Europe.

What are Permira’s goals for Jet Aviation?Krenz: We will strongly support Jet Aviation inbecoming the leading global business aviation serviceprovider – and want to foster the transition of thecompany from a very successful family ownedenterprise into a global leader. This means, over thenext years, Permira will support Jet Aviation’sambitious growth strategy in the U.S. and inemerging key markets.

Aircraft demand continues to increase and Jet Aviation is

meeting the challenge with the addition of new sales personnel,

aircraft listings and acquisition agreements. The department

has recently added five aircraft exclusively to its portfolio: a

Gulfstream V; Bombardier Challenger 604; Learjet 45;

Falcon 10; and, most recently a Raytheon Hawker 800XP.

Although much emphasis is placed on aircraft exclusively, the

group also provides acquisition services to clients seeking to

purchase either new or used aircraft.

Days on the market remain high across all aircraft types, with

long-range jets representing the smallest and youngest market.

“Good values are available for

October 18, 2005marked a historic daywhen Reagan NationalAirport (DCA) resumedoperations again forbusiness aviation forthe first time since

September 11, 2001. And Jet Aviationwas there – as the first company to bring in a private jet to celebrate thisextraordinary event.

Amongst the passengers aboard thisaircraft was also an Armed Security Officer, which is required by the TransportationSecurity Administration when flying into DCA. For those operators who make DCA again a future destination for their customers, our staffing firm, Jet Professionals, was the first one tolaunch a program to meet the newregulations and is currently hiring qualifiedlaw enforcement officers. This service is offered as well to clients who wish to be escorted by a qualified securityprofessional while traveling to otherairports that do not require this measure.

Good news from our Palm Beach FBO,maintenance and refurbishment centerafter hurricane Wilma. Even though thestorm was more severe than Frances andJeanne in 2004, our operation experiencedonly cosmetic damage. One day after the hurricane, our facilities were fullyoperational thanks to the efforts of all ouremployees. We look forward to servingyou again at our Palm Beach location.

Jet Aviation has launched a new service for flight

departments in North America. The program has

been named Flight Support Solutions and is designed

for owners, operators and flight departments to

become their extended arm while they retain full

control of aircraft operation.

Flight Support Solutions was successfully introduced

by Jet Aviation in Europe, the Middle and Far East

(EMEA) more than 20 years ago. Today, the European

operation provides flight support services to more

than 60 aircraft owners and operators in the EMEA

region and South America.

Pilots or flight department managers are constantly

seeking ways to optimize their operation, minimize

costs and risks and make the job of managing their

company’s asset an easier one. Jet Aviation now also

offers an à la carte menu in the North American

market from which a flight department can easily

select the support services best suited to meet their

specific needs and budget parameters.

Key points of the program are a full benefit of

Jet Aviation’s worldwide purchasing power when it

comes to fuel, insurance premiums, pilot training and

travel and accommodations for crew members. In

addition, the company’s 24-hour global

scheduling, domestic and international

planning, weather services, over-flight and

landing permits, and ground handling services

as well as a host of other services, can bring

much needed relief to flight departments,

whose most significant task is to ensure safe,

effective and hassle-free operation.

It was still dark at 6:48 a.m. EDT on October 18, 2005,

when the Jet Aviation flight touched down at Reagan

National Airport (DCA) in Washington, DC for the

first time since 9/11, when private aviation traffic to this

airport was halted for security reasons.

Rolling up to the local FBO at first light, the aircraft

passed under a water arch courtesy of the airport’s fire

trucks, and the passengers deplaned to wildly

enthusiastic cheers and applause from the assembled

crowd. DCA was back in business!

Federal security officials are allowing just 48 slots a day

for arrival and departures, and aircraft can only fly to

DCA from 12 gateway airports, of which Jet Aviation’s

FBO at Teterboro, NJ is one, where federal security

officials will screen passengers and crew members, and

search baggage and cargo holds. Aircraft operators

must submit flight plans, names of all crew members

and passengers to the Transportation Security

Administration (TSA) for background checks and

security-threat assessments. Among the passengers

aboard the Jet Aviation flight was James K. Coyne,

president of the National Air Transportation

Association, and for the first time, an Armed Security

Officer, required by the TSA.

To meet this new requirement, Jet Aviation has

established its own in-house Armed Security Officer

(ASO) program operated through its temporary and

full-time staffing firm, Jet Professionals LLC. The

company is currently working with law enforcement

agencies to recruit and screen qualified candidates and

is already able to offer this new ASO service.
