Career Path Suzanna received her law degree from University of California Hasngs College of the Law and began working at Sheppard Mullin as a summer associate in 2010. She joined our Los Angeles office aſter graduang law school in 2011, focusing on labor and employment maers on behalf of management. At Sheppard Mullin, Suzanna defended employers in a wide range of maers, including allegaons of discriminaon, harassment, wrongful terminaon in violaon of public policy, breach of contract, and wage and hourviolaons. SinceSuzannajoinedtheBancofCaliforniainDecember2016,it’sbeenawhirlwindofactivity,withexecutivemanagementchanges,thesaleofitsmortgagedivisioninMarch2017,andsubsequentinternalreorganizationpost-sale.

Role and Responsibilities

BancofCaliforniaisknownas“California’sBank”andat$10billioninassets,itistheonlymidsizebankfocusedexclusivelyonCalifornia.TheirlegaldepartmentiscomprisedofaGeneralCounselandeightin-housecounselwhoworkonavarietyoflegalservicesforthebank.

Suzanna’s primary focus is providing advice and counsel toBanc ofCalifornia’sHumanResourcesDepartment, buildinguponherlaborandemploymentskillsdevelopedatSheppardMullin.Whileat thefirm,Suzanna soughtoutopportunitiesto do more advice and counsel work for clients underher mentors Kelly Hensley and Lisa Harris, who gave heropportunitiestoshadowonauditsand investigations,reviseemployee handbooks and policies, and provide training atclientsites.Mostbiglawassociateshavetheirplatesfullwithlitigation,butin-housecounselrolesprimarilyfocusonadviceandcounsel.SuzannaisgratefulfortheexperienceshegainedatShepparddoingbothlitigationandadvicework.

Thatsaid,sheiscalleduponbyalllevelsofmanagement,fromtheCEOtootherexecutivestoadviseonallmattersemployeerelated.Overthelasteightmonths,she’sbeenextremelybusyanswering a plethora of labor and employment questions,workingonglobalprojectssuchasdraftingandupdatingHRpolicies, procedures, forms, and checklists, and auditing theBank’swage andhour practices to ensure legal compliance.In the Spring, she presented live mandatory discrimination,harassment,retaliationandbullyingtrainingforallsupervisors,allowing her to meet key stakeholders in person. She iscurrently providing live seminars on wage-hour topics andbrainstormingtrainingtopicsfornextquarter.

Finally,herroleincludesmanagingoutsidecounselonlitigationprojects, and Sheppard Mullin partners Kelly Hensley andGregLabatewerepleasedtobeaddedtothe listofoutsidecounsel supporting the Bank, selected after a RFP processconsolidating outside counsel. Due to the enforceablearbitration agreement at play, the Bank is able toward offsomefrivolous litigation.Suzannahasbeenaskedtoresolvesomelitigationherself,totheextentpossible.

In House v. Law Firm DifferencesPros: No more billing. Lifestyle changes with more stableworking hours (8:30 am to 5:30 pm) and a 10-15 minutecommute.Shecantackonbothagymclassandadatetoanormalworkday.

Outside Counsel Tips It sounds cliché, but a fast response rate really goes a longway.IfSuzannacontactsoutsidecounselwithaquestion,it’sgenerallybecauseoneofher internalclients (sometimestheCEO)has asked and sheneeds a reliable andquick answer.One of outside counsel’s job is tomake her “look good” toBankmanagement,andtimelinesshelpsachievethatgoal.

She also appreciates concise responses and “gut check”judgmentcallsbasedonthefactspresented,alongthelinesofafriendtoafriendrecommendation(“ifIwereinthatsituation,Iwoulddoitthisway”).

The New Administration’s Effect on NAFTA and Global Trade Theglobaltradingsystemisfacingaperiodofunprecedentedcontroversy and uncertainty. In this early stage of his term,PresidentTrumphas demonstrated that he is serious aboutimplementingmanyofthecommitmentsconcerningtradethathemadeduringhiscampaign.TheinitiativesthatthenewU.S.Administrationispursuingfortaxreform,tradeenforcementandfuturetradedealsaremultifacetedandunconventional,andareexpectedtomakesignificantchangestoNAFTA,traderemedies, import duties and Customs processes. Adidas —Adidas announced on May 10th thatithasentered intoadefinitiveagreementtosellits TaylorMade, Adams Golf and Ashworth golfbrandstoanewlyformedaffiliateofKPSCapitalPartners, LP for a total consideration of US$425 million, around half of which will be paidin cashwith the remainder in a combination ofsecurednoteandcontingentconsiderations.Thetransaction,whichissubjecttocustomaryclosingconditions, is expected to be completed laterin 2017.Adidaswas represented in this deal byPartnersTobinDommer (SV),MikeOrlando (DelMar),SteveLaSala(DelMar),JimRitter(DC),andTimEpp(OrangeCounty).

Airbus—We successfully representedAirbus inobtaining EU approval of €377 million in StateaidfromtheFrenchandGermangovernmentstosupportR&Donanewhelicopter.OnJune19th,the European Commission approved the €377millionaidtoAirbusHelicopters.Thiswasararejointaidnotificationby twoMemberStatesandone of the first important R&D cases since thenewEUpolicyonR&Daid in2014. Itwasalsothe largesteveraidgrantedby theFrenchStatein the aviation sector. Partner JacquesDerenne (Brussels)ledthismatter.

Bank of America/Merrill Lynch — A SheppardMullinteamprevailedinahard-foughtRICOcaseinvolving the dissolution of a pharmaceuticalempire.OnMay12th, theThirdCircuitCourtofAppeals affirmed thedistrict court’sdismissalofa $225 million RICO case brought by a formerMerrill Lynch customer against a Philadelphia-based financial advisor on statute of limitationsgrounds. Sheppard Mullin, led by Partners RobFriedman (NY) and Jeff Kern (NY), representedthe financial advisor and BofA/Merrill Lynch inthelitigation.Theformercustomerhadgarnerednationalheadlinesforkillingher9yearoldsoninaposhManhattanhotelinFebruary2010byforcinghimtoingestatoxiccocktailofprescriptiondrugs,andfiledtheRICOactionwhileawaitingtrial.WesecuredthedismissalofthefraudcaseinMarchand also successfully defended the financialadvisor against a FINRA inquiry that emanatedoutofthecustomer’scivilsuits.

NEWS OF NOTE Prestigious Energy, Infrastructure & Project Finance Group Joins Sheppard MullinInlateSpring,SheppardMullinaddedtremendousdepthtoitsEnergy,InfrastructureandProjectFinanceGroupwiththeadditionofafivepartner,threeassociategroupfromWinston&Strawn.PartnersKatherineGillespie,LaurettePetersen,AndrewRattsandAmitKalrajoinedourChicagooffice, while Partner Christine Hoefliger joined in SanFrancisco.

Fiat Chrysler —Afternearlyfouryearsoflitigation,theCentralDistrictofCaliforniagrantedsummaryjudgmentinatrademarkinfringementcaseinfavorofourclientFiatChryslerAutomobiles.ChryslermarketedalineofDodgemusclecarsfrom1969to1971underthenameSCATPACKbut,duetoincreasingpollutionandsafetyregulationandskyrocketinginsurancecosts,theygotoutofthemusclecarbusinessin1971andChryslerstoppedmarketingnewScatPackvehicles.In2013,ChryslerdecidedtorelaunchtheScatPackwithanewlineofChallengersandChargerswithhigh-performancemotors.PlaintiffScatEnterprises,anaftermarketperformanceautomotivepartsmanufacturer,hadbeenusingthetrademarkSCATforitsproducts,consistingprimarilyofcrankshafts,connectingrodsandrotatingassemblies,since1962andatonetimewasaChryslersupplier.WhenChryslerannouncedthereturnoftheScatPack,plaintiffsued for trademark infringement. World Wildlife Fund ─ Sheppard Mullin obtaineda significant victory for theWorldWildlifeFund,reversinga proposed sustainabilitycertificationundertheMarineStewardship Council schemefortheMexicantunafishery,which sets upon dolphins inthe Eastern Tropical PacificOcean to catch tuna. In theEastern Tropical Pacific, forreasons unknown, yellowfinandskipjacktunaaggregatebeneathmarinemammaldolphins,whichhasbeenunfortunateforthedolphins.Beginninginthelate1950sthroughthepresent,largecommercialpurseseinefishing vessels hunt the dolphins in this part of the world,chasingthemwithhighspeedboatsandsettingnetsonthedolphins to catch tuna.This horrific fishing practice has ledto:(1)depletingcertainspeciesofdolphinstonearextinction;(2)themoststudiedmarinemammalpopulationontheplanetin scientific literature, through the U.S. Marine MammalProtectionAct’sscientificrequirements;(3)thehighestprofileand continuous lightning rod marine environment issues intheU.S.,and(4)aninternationalWTOtradewarbetweentheU.S. andMexico. Recently, theMexican fleet attempted toobtainaninternationalsustainabilitycertificationforitstunafisherythroughtheinternationalMarineStewardshipCouncilscheme, generally regarded as thehighest level of scientific

sustainability certification for marine fisheries. The U.S.MarineMammalCommission,HumaneSocietyInternational,Earth Island Institute andWorldWildlife Fundopposed thecertification, with World Wildlife Fund leading the legaldefense, arguing fordenial basedon thefishery’s impact tothedolphins.Thecaseproceededtointernationaladjudicationin London in lateMay. PartnerMichaelCohen (DC) led therepresentationofWWF in the twoday evidentiary hearing,resulting in the successful denial and remand in a lengthydecision.

San Francisco Office Supports SF Pride ─ Forthefirsttime,SheppardMullinmarchedinSanFrancisco’sPrideparadeonJune25,2017.Acontingentofmorethan150lawyers,staff,their families and friends chartered a motorized cable carandmarched,accompaniedbytheCalCheerTeam.SheppardMullin serves as probonogeneral counsel to SanFranciscoPride,thenon-profitgroupthatorganizestheyearlyeventandits accompanying festivities.
