COMPANY PROFILE HISTORY

Equus Industries Limited is a private limited liability Company (#120201) incorporated in Blenheim New Zealand in 1982. The Company commenced business, immediately after formation, as a manufacturer of specialist coating systems for commercial buildings. This remains the main thrust of the operation to this day, with additional high quality complementary products introduced to extend the range to encompass a full range of coating and waterproofing materials for all types of construction. The Company has been an exporter of specialist lines from late 1983 to date. The Company has exported regularly to Australia, the South Pacific and South East Asia, and presently has strong links with distributors in Australia and South East Asia. Since formation, growth has been steady and continuous at an average 15% annual compound rate. The Company now has a multi-million dollar turnover and is respected as a supplier of quality protection materials to the construction industry. PRODUCT RANGE Equus Industries markets a wide range of high build waterproof finishes, textured coatings, and protective coatings under the brand names Chevaline, Traxx, Protexx, Thermexx and Equus. Our expertise is particularly in the areas of high build acrylic coatings and membranes, waterborne epoxies and high solids one - and two component urethane coatings. The Company is most probably the leading Australasian manufacturer in the area of liquid-applied acrylic roofing membranes, and single-component moisture-cure urethane coatings. The Company has established very close relationships with its principal raw material suppliers in these fields, and operates in the forefront of technology in these areas. Our prime object has been to place the Company in the position of being able to supply all finishes and waterproofing materials required to protect buildings from sub-basement to roof levels. Where the technology or manufacturing requirements are outside of our standard capabilities, the Company has secured distribution arrangements for appropriate products from leading manufacturers in their respective fields as noted under `Agencies' later in this profile. Where appropriate, materials are covered under a Warranty system which is operated in conjunction with the Certified Applicator from the Equus Network who carries out the work on any particular project. All products are manufactured under strict Quality Assurance standards monitored and controlled by our in-house laboratory. The Company has a TQM philosophy and is at present working within the parameters of an ISO9002 framework.

FACILITIES The Company's production facility, laboratory and Head Office are located on 1.2 hectares of land in the Riverlands Industrial Estate, Blenheim, New Zealand. The production equipment is modern and standardised, and the Plant has a capacity of up to 1.2 million litres of product per annum when operated on a single-shift basis. There is considerable room for expansion of the facility to cope with all requirements in the foreseeable future. Additionally, the Company operates stores in Auckland, Wellington, Christchurch, Tauranga and Melbourne where basic stocks of commonly used products are held for immediate supply. The Company regards itself as a custom-formulator, rather than a manufacturer of conventional products, and stock holdings of standard products are rationalised for maximum stock turnover. Technical representatives service both Clients and Certified Applicators, working from offices associated with the stores in all areas. Full technical back up to the sales staff is provided from the Head Office/Laboratory facility in Blenheim. DISTRIBUTION NETWORK Equus Industries Limited is not directly involved in retail sales. Distribution of Equus products is normally to Certified Applicators who are familiar with and trained in the use of the Equus range of products either in part, as Specialist Applicators for product ranges within the Network, or in total for major Applicators and those working in smaller centres. A close relationship between Equus Certified Applicators and Equus Industries ensures that there is full co-operation on site between the Manufacturer's Supervisory/Technical Staff, and the Applicator's own staff. Quality Assurance Programmes instituted by the Manufacturer are therefore meaningful, noting that programmes are generally written for individual contracts to take in all aspects of work on that particular contract. This facet of the operation is controlled by the Company Compliance Manager. The Company is now operating within a similar framework in Australia. It should be noted that the Directors and senior technical representatives have amongst them over 250 years combined experience in the surface coatings and construction industries.

3.0 WORKMANSHIP: 3.1 General:

.1 Storage:

All materials should be protected from rain and physical damage. Store all materials away from sparks or flames. Store membrane where temperature will not exceed 35 degrees for extended periods. Outdoors, place Aquasel cartons on raised pallets and cover completely.

.2 Safety Handling Information:

Aquasel products and auxiliaries must be handled properly. .3 Compatibility:

Aquasel is incompatible with tars, pitches and sealants containing tar or polysulfide polymer and is sensitive to some organic solvents. Always avoid direct contact of the adhesive layer with these materials. When in doubt consult Equus for recommendations on specific applications.

3.2 INSTALLATION:

.1 General:

Fix the Aquasel Vapour barrier as recommended by the manufacturer, continuous over all areas as detailed on site drawings. Care must be taken that no holes are formed in the membrane, particularly at wall/floor junctions and around penetrations and open-ings.

.2 Temperature:

Apply Aquasel Membranes only in fair weather when air and surface temperatures are between 4°C and 30°C. Do not apply Aquasel Primer and Membranes to frozen con-crete, or to wet surfaces.

.3 Priming: Concrete:

All concrete surfaces shall be primed at the rate of 5 – 6 m2/litre by brush, lambswool roller or spray with Aquaseal P Primer. Allow primer to dry one hour or until solvent has evaporated. Prime only the area which will be covered with the membrane in a working day. Areas not covered within 24 hours shall be reprimed. Dense surfaces such as PVC shall not be primed but must be clean and dry. Masonry surfaces and other absorbent substrates may require special priming procedures and reference should be made to Equus Industries for specific details. Polystyrene: XPS or EPS surfaces must be primed with Aquasel EPS Primer, applied at 7sqm/litre, and allowed to dry till transparent and tacky.

.4 Corner Details:

All inside and outside corners should be double covered by using a strip 250mm mini-mum width centered along the axis of the corner. This strip should be completely cov-ered by the regular application of Aquasel Membrane.

.5 Application of Horizontal Surfaces:

Apply Aquasel Membrane from the low point to the high point across the fall line so that laps shed water. All edge and end seams must be overlapped at least 65mm. Stagger end laps. On polystyrene surfaces broom the membrane down tightly and tightly roll all joints. Apply Aquasel Membrane double thickness over properly sealed expansion, construction and control joints. Patch misaligned or inadequately lapped seams with Aquasel Membrane. Slit any fishmouths, overlap the flaps, and repair with a patch, and press or roll in place. The edge of the patch shall be sealed with Polyroof tooled off with Aquasel.

.6 Drains and Protrusions:

Apply a double layer of Aquasel Membrane around posts or projections at least 150mm in all directions.

.7 Vertical Surfaces:

Apply Aquasel Membrane vertically in strips of 2.50 metres in length or less. Edge seams must be overlapped at least 65mm. Press all membrane on vertical surfaces with heavy hand pressure during application, broom tight or roll with a wall or counter top roller. Ensure that all overlaps in the horizontal plane are made working from the base of the wall or pit upwards, so that laps are made with the raw edge down.

.8 Inspection and Repair:

Inspect membrane thoroughly before covering and make any corrections immediately. .9 Protection of the Membrane:

Install Texadrain 4000 to the wall areas to be backfilled, in accordance to manufac-turer’s instructions. All joints must be interlocked and where necessary sealed with tape To avoid damage from other trades, construction materials or backfill, exposed mem-brane should be covered within 5 days after application.

3.3 Completion

.1 Inspection of the Membrane:

Ensure that a homogenous sheet vapour barrier is achieved and remains as such through the ensuing work. Care must be taken not to puncture or tear the membrane prior to covering. Where necessary protective board, or topping should be placed im-mediately to protect the Aquasel Membrane. Aquasel Membrane will self-seal small holes, but not large holes or tears. Careful inspection must always be made prior to covering membrane and any holes or tears must be patched with Aquasel Membrane and Polyroof. Misaligned or wrinkled seams should also be patched with Membrane.

.2 Clean Up:

Collect all trade rubbish and deposit where directed on the site. Take all unused mate-rial away from the site.

4.0 WARRANTY:

The Aquasel 1.5MM waterproofing membrane as detailed in this specification may be war-ranted as to waterproof integrity and to be waterproof for a period of up to fifteen (15) years from backfill application:

Such a warranty is issued on condition that: 1. All work is carried out by an approved Equus Applicator.

2. All work is carried out in accordance with this specification, or any amendments or additions thereto made by the Manufacturer or his representative.

Aquasel P 2001 AD Primer

Application: Aquasel P 2001 AD Primer may be applied with roller or brush. A roller with a heavy nap should be used to carry sufficient ma-terial to the area being primed. Apply all Aquasel P 2001 AD Primer to a clean, dry, dust free and frost free surface at a coverage of approximately 250 to 350ft² per gallon. The primer should be spread sufficiently to avoid areas of excess material. Areas of excess material will lengthen the drying time on the application of the primer. Aquasel P 2001 AD Primer is to dry a minimum of one hour—may dry quicker due to drying conditions. This product is red in colour and will remain tacky when dry. The application of primer should be limited to what can be cov-ered with Waterproofing Membrane in one working day. Any areas not covered with membrane during the day must be re-primed - be sure to cover all open containers when not applying primer. Safety, Storage & Handling Information: Aquasel P 2001 AD Primer vapours are flammable. User should review Material Safety Data Sheet (MSDS) for this product and follow safety instructions listed therein.

Product Description: Texmastic Aquasel P 2001 AD Primer is a rubber based ad-hesive solvent solution which is specifically formulated to pro-vide excellent adhesion with the Aquasel Waterproofing Mem-brane under many kinds of surface conditions. Aquasel P 2001 AD Primer is an integral part of the Aquasel Waterproofing Sys-tem and sufficient primer must be used on dry surfaces to con-dition them to be dust free sot hat the substrate is suitable for the application of Aquasel Waterproofing Membranes. Uses: Used to prime all structural concrete, masonry, or wood sur-faces on which waterproofing membranes will be used. Designed to be used on applications down to –4°C. May be used on horizontal surfaces, but remains tacky, and precautions must be used in this application. Must be used on all concrete block and brick wall conditions.

Product Description: Basic Uses: The Aquasel Waterproofing System is designed for use on concrete structures to provide immediate and positive protection and waterproofing. This includes below grade foundation walls, slabs, parking decks, plazas, tunnels, highway bridges, and single ply roofing applications. Aquasel Waterproofing Systems are cold applied over Aquasel P 2001 AD Primer. The primer may be applied over brush or lamb’s wool roller, depending on the surface and area to be covered. The Aquasel Waterproofing System is to be applied in strict conformance with the manufacturer’s recommendations. Limitations: Protection Panel (Aquasel PB 2001 AD) is recommended for all horizontal and vertical surfaces to protect membrane from damage. Membrane and Primer are not to be applied to frozen or wet surfaces. Warning: Aquasel Primers and Mastics are flammable liquids. No open flammable liquids. No open flames, sparks, or smoking should be allowed in the immediate area. Consult the product label for handling, use and storage instructions. Composition and Materials: Aquasel 2001 AD Waterproofing Membrane is manufactured by laminating a rubberised asphalt compound to a polyethylene film. Total thickness is .060” (±.005”). Thickness is factory controlled to insure uniform applications. Aquasel HD 2001 AD Waterproofing Membrane is manufactured by laminating a rubberised asphalt compound to an extremely strong inert reinforcing scrim to resist severe stress and puncturing. Recommended for heavy duty applications such as bridge decks, parking decks and other related structures. Total thickness is .070” (±.005”). Aquasel LT 2001 AD Waterproofing Membrane is specially compounded for applications below 5ºC and down to –6ºC. Aquasel PB 2001 AD Protection Panels are premoulded semi-rigid boards composed of an asphaltic mineral-fortified core formed between two asphalt saturated liners sealed under heat and pressure in the factory. The basic function is to provide protection to Aquasel 2001 AD series membranes from puncture during back fill overlay operations. Aquasel P 2001 AD Primer is an elastomeric-based material in a solvent solution. It is used to prime surfaces under Aquasel 2001 AD, Aquasel HD 2001 AD, and Aquasel LT 2001 AD Membranes at temperatures above 4ºC.

4. Checklist And Method Statement

1. All concrete surfaces shall be primed at 5-6 sqm/litre by brush or lambswool roller or spray with Aquasel P Primer. XPS or EPS surfaces must be primed with Aquasel EPS Primer, applied 7sqm/litre.

2. Allow primer to dry one hour or until tack free.

3. Corner details: all inside and outside corners should be double covered by using a strip 250mm min. width centered along the axis of the corner.

4. This strip should be completely covered by the regular application of Aquasel membrane.

5. Application on horizontal surfaces: Apply Aq-uasel Membrane from low point to high point across fall line so that laps shed water.

6. All edge and end seams must be overlapped at least 65mm. Stagger end laps.

7. On polystyrene surfaces broom membrane down tightly and tightly roll all joints. Apply Aquasel membrane double thickness over properly sealed expansion, construction and control joints.

8. All patched membrane must be sealed with Polyroof tooled off with Aquasel.

9. Drains and Protrusions: Apply a double layer of Aquasel Membrane around posts or pro-jections at least 150mm in all directions.

10. Vertical surfaces: Apply Aquasel Membrane vertically in strips of 2.50 metres in length or less. Edge seams must be overlapped at least 65mm. Press all surfaces on vertical surfaces with heavy hand pressure during application.

11. Inspect membrane thoroughly before covering and make any corrections immediately.

12. Protection of Membrane: install Tex-Drain 4000 to backfill wall areas. All joints must be interlocked and seal joints with tape.

Further to our discussions regarding a materials warranty covering materials supplied for the above contract, we would confirm the Terms and Conditions of the Warranty as set out in this letter as fol-lows: 1. Limitations of Cover: The terms and conditions of Warranty as set out in this letter refer spe-

cifically to materials supplied by Equus Industries Limited (`Equus'), acting as Sales Agent for Texmastic International Inc (`Texmastic'), 1806 Mountain Creek Parkway South, Dallas, Texas 75211, USA who are the Manufacturers of the materials. The materials are supplied to your Company as an Approved Applicator of Texmastic Materials.

2. Warranty Cover: The Warranty covers quality and suitability for use of materials supplied for

below grade application and relates to waterproofness as detailed in Technical Information sup-plied by Texmastic International Inc.

3. Warranty Period: The maximum period for which such materials are covered by a materials

warranty is fifteen (15 ) years from such date stipulated in any form of warranty entered into by AN Applicator.

4. General Terms and Conditions:

(a) This warranty is applicable only to materials manufactured by Texmastic International Inc, and applied by AN Applicator on the above contract.

(b) This warranty is supplied to AN Applicator as the purchaser of the materials. It is not

an Application or Process Performance Warranty and may not replace or supplant any warranty required of AN Applicator for application/process performance.

(c) The Warranty is valid only for the satisfactory performance of materials which are applied to this contract strictly in accordance with specifications supplied for this contract, information contained in relevant technical publicity, and any other specific written instructions supplied by Equus or Texmastic International Inc, or amendments thereto.

No responsibility is taken by Equus or Texmastic International Inc, for any failure of the appli-cator to apply materials in the correct manner to correctly nominated, prepared and designed surfaces. No responsibility is taken by Equus or Texmastic International Inc, for any alteration to performance of the materials caused by work carried out on the treated surfaces without prior written approval of Equus or Texmastic International Inc, or any change in use of the coated structure from that pertaining at the time application work was completed.

There shall be no liability for Equus or Texmastic International Inc in respect of damage to or deterioration in performance of the coatings caused by Act of God, exceptional weather con-ditions, fire or riot civil commotion, vandalism, nuclear explosions or fall out, damage caused by objects dropped from above, bursting or other forms of destruction or failure of gas or fluid carrying pipes or other vessels, electrical faults, negligence or wilful damage by the main contractor, owner and/or occupier of the building and/or any visitors to the building on which the coatings are applied, or any criminal act, or any consequential damage, or any physical damage from mechanical causes, spillage of any substance or disruption of the surface to which the coatings are applied by any natural disturbance of the structure.

6. Indemnity:

If it is established that faulty materials have been supplied to AN Applicator., for this con-tract and the Terms and Conditions set out above have been satisfied, Equus or Texmastic International Inc, will thereby indemnify AN Applicator., against the costs of rectification or upgrading of any coated surfaces where such materials have been used, so that the original warranty period and performance are met.

7. Payment for Materials

This warranty shall not be binding on Equus until payment in full is received by Equus Indus-tries Ltd for materials supplied to AN Applicator for the contract described above

8. Disputes:

Should there be any dispute in regard to any provisions of this warranty or the manner in which it is exercised or interpreted, the decision of an independently appointed arbitor will be accepted as final and binding.

3. In the event of liability being established pursuant to this Warranty the Applicator shall repair and

reinstate the systems as may be required to make good the areas requiring repair PROVIDED that the Applicator shall be entitled to demand and be reimbursed by the Client for all expenses incurred in the investigation of any alleged failure, fault or deterioration, if, on investigation and in accordance with the foregoing terms and conditions, it is found that this Warranty shall not apply, and it shall not be the responsibility under the terms of this Warranty for the Applicator to rectify such alleged failure, fault or deterioration.

4. The Applicator does not warrant that any repair work carried out pursuant to the terms of this

Warranty when completed shall exactly match the existing applied systems in respect to colour and/or texture.

5. All other warranties, guarantees or conditions of whatsoever nature, relating to the application of

the systems and whether expressed, implied or given to be expressed, implied or given by any agent or employee of the Applicator, or implied or prescribed, or to be implied or to be prescribed by law are hereby excluded.

plied processes caused by act of God, exceptional weather conditions, fire, war, riots, civil com-motion, vandalism, nuclear explosion and/or fallout, damage caused by objects dropping or fal-ling from aeroplanes or other airborne devices, bursting or other forms of destruction or failure of gas or fluid carrying pipes or other vessels, electrical faults including fusion and short circuits, negligence or wilful damage by the main contractor, owner and/or occupier of the building and/or visitors to the building on which the processes are placed, and any criminal act or illegal act or any consequential damage.

7. There shall be no liability for the Applicator for any deterioration of the applied system resulting

from physical damage by point loads or mechanical causes, spillage of any substance onto the surface however caused whether during construction work or thereafter which were not allowed for in the original design and specification contract documents or arising from any natural distur-bance of the structure.

8. This Warranty is null and void if any work is carried out on the applied system without prior written

consent of the Applicator or if a change in use of the building from that of which it was designed at the time of completion of the Applicator's contract affects the performance of the application.

9. The benefit of this Warranty is not assignable without prior written consent of the Applicator.
