STIPULATION AND [PROPOSED] ORDER FOR CONSOLIDATION AND
APPOINTMENT OF CO-LEAD PLAINTIFFS, CO-LEAD COUNSEL AND
PLAINTIFFS’ EXECUTIVE COMMITTEE
WHEREAS, the above-captioned actions involve the same subject matter, and the
administration of justice would be best served by consolidating the actions.
NOW, THEREFORE, it is hereby stipulated and agreed between and among the
Plaintiffs and Defendants as to matters related to consolidation of the above-captioned
actions, and stipulated and agreed between and among the Plaintiffs as to matters related
to the leadership of the Plaintiffs’ activities in the above-captioned actions, by and
through their respective undersigned counsel, as follows:
1. The above-captioned actions shall be consolidated for all purposes and are
referred to herein as the “Consolidated Action”.
2. Hereafter, papers need only be filed in C.A. No. 6043-VCS.

3. The caption of the Consolidated Action shall be:

4. Plaintiffs New Orleans Employees’ Retirement System, Local 542
International Union of Operating Engineers Pension Fund of Eastern Pennsylvania and
Delaware, City of Orlando Police Pension Fund, Southeastern Pennsylvania
Transportation Authority, City of Orlando Firefighters’ Pension Fund and Martin Vogel
shall be designated as Co-Lead Plaintiffs in the Consolidated Action.
5. Plaintiffs and Plaintiffs’ counsel have agreed that the law firms, Chimicles
& Tikellis LLP, 222 Delaware Avenue, P.O. Box 1035, Wilmington, DE 19899, Grant &
Eisenhofer P.A., 1201 N. Market Street, Suite 2100, Wilmington, DE 19801, Bernstein
Litowitz Berger & Grossmann LLP, 1285 Avenue of the Americas, New York, NY
10019, and Labaton Sucharow LLP, 140 Broadway, New York, NY 10005, shall be
designated as Co-Lead Counsel for Plaintiffs in the Consolidated Action.
6. Plaintiffs and Plaintiffs’ counsel have agreed that the law firms, Rigrodsky
& Long, P.A., 919 N. Market St., Suite 980, Wilmington, DE 19801, Stull, Stull &
Brody, 6 East 45th St., New York, NY 10017 and Abraham Fruchter & Twersky LLP,
One Penn Plaza, Suite 2805, New York, NY 10119, shall serve as Plaintiffs’ Executive
Committee, with Abraham Fruchter & Twersky serving as the Chair of the Executive
Committee, under the direction of Co-Lead Counsel for Plaintiffs in the Consolidated
Action.

7. All papers and documents previously served and filed in any of the cases
consolidated herein are deemed a part of the record in the Consolidated Action. The
complaint filed in C.A. No. 6043-VCS is hereby designated as the operative complaint.
Defendants need not respond to the complaints heretofore filed in the other constituent
actions. Plaintiff’s First Request for Production of Documents Directed to All Defendants
served in C.A. No. 6043-VCS shall be designated the first document request for the
consolidated action. Co-Lead Counsel shall file a Consolidated Complaint as soon as
practicable after entry of this Order.
8. Co-Lead Counsel shall set policy for Plaintiffs for the prosecution of the
Consolidated Action, delegate and monitor the work performed by Plaintiffs’ attorneys to
ensure that there is no duplication of effort or unnecessary expense, coordinate on behalf of
Plaintiffs the initiation and conduct of discovery proceedings, provide direction, supervision
and coordination of all the activities of Plaintiffs’ counsel, and have the authority to negotiate
a settlement, subject to approval of Plaintiffs and the Court, and allocate fees among
Plaintiffs’ counsel, if awarded. Any agreement reached between counsel for defendants and
any of the Co-Lead Counsel shall be binding on the other Co-Lead Counsel, counsel serving
on the Executive Committee and on Plaintiffs.
9. Co-Lead Counsel shall be responsible for coordinating all activities and
appearances on behalf of Plaintiffs and for the dissemination of notices and orders of this
Court, as well as for communications to and from this Court. No motion, request for
discovery or other pre-trial or trial proceedings shall be initiated or filed by any Plaintiffs
except through Co-Lead Counsel. Co-Lead Counsel shall further be responsible for creating
and maintaining a master service list of all parties and their respective counsel.

10. If any further actions arising out of substantially the same facts as the
Consolidated Action are filed in the Court or transferred here from another court, this Court
requests the assistance of counsel in calling to the attention of the Court the filing or transfer
of any case which might properly be consolidated as part of the Consolidated Action, and
counsel are to assist in assuring that counsel in subsequent actions receive notice of this
Order.
