WENTZ, OTHERS CITED Public administrative proceedings have been instituted against Wulff Hansen & Co., a San Francisco broker-dealer, and Keith E. Wentz and Ronald P. Bynum, two registered representatives formerly associated with that firm. The Order for Proceedings alleges, among other things, insider trading violations during March 1980 by each respondent in the stock of Gulf Energy Corporation and the preparation and dissemination in 1980 by Wentz and the firm of a false and misleading research report about Gulf. Concurrently with the institution of the proceedings, the Commission issued an order accepting an Offer of Settlement from Wulff Hansen & Co., pursuant to which findingc were made and sanctions were imposed. OVERCASH INDICTED The U.S. Attorney for the Middle District of Alabama and the Atlanta Regional Office announced that on September 29 a Federal Grand Jury in Montgomery, Alabama, returned a l4-count indictment against James R. Brooks, individually and doing business as J & R Mail Service, charging the defendant with six counts of securities fraud, five counts of mail fraud and three counts of selling unregistered securities in the form of investment contracts in connection with OVercash's operation of a Ponzi scheme. The indictment alleges, among other things, that Overcash induced investors to forward money to him on the promise of receiving up to a 25 percent return on the funds invested for periods of 20 to 30 days and that he told investors that six wealthy businessmen were associated with him in his investment plan: that the money invested with the defendant was forwarded to these businessmen to invest in high yield investments in industries such as oil and movies, which high return enabled the defendant in turn to pay a high return. None of these statements were true. The indictment charges that OVercash used funds invested for his personal benefit and deposited the remainder in a non-interest bearing checking account, repaying earlier investors with the funds received from later investors. In addition to the above charges, the indictment alleges that OVercash continued operation of this scheme under the alias of "Charles L. Brooks" after having been permanently enjoined by the Honorable Myron H. Thompson, U.S. Judge for the Middle District of Alabama, on October 23, 1981, as a result of a prior civil action brought by the Commission. In addition to the permanent injunction, the District COurt previously appointed a receiver to liquidate assets in the name of J & R Mail Service, and imposed a constructive trust over Overcash's assets. JAMES R. OVERCASH INDICTED

The U.S. Attorney for the Middle District of Alabama and the Atlanta Regional Office announced that on September 29 a Federal Grand Jury in Montgomery, Alabama, returned a l4-count indictment against James R. OVercash of Lanett, Alabama, also known as Charles L. Brooks, individually and doing business as J & R Mail Service, charging the defendant with six counts of securities fraud, five counts of mail fraud and three counts of selling unregistered securities in the form of investment contracts in connection with OVercash's operation of a Ponzi scheme.
