Investment Purpose
The proposed investment will contribute to climate change mitigation by funding the long-term protection of some of the world’s most important and vulnerable forests at scale, while at the same time deliver unprecedented social and biodiversity impacts in forest communities that are in desperate need of change.
The Proposed TransactionEverland is a specialized marketing company representing forest conservation projects across the globe
Wildlife Works, the company Everland is built upon, invested the seed capital in April 2017 to launch Everland
Everland is raising $5m for 25% equity
Investment proceeds will be used to build a team of 31 people based in London and NYC to pursue corporate, strategic and web sales of Verified Emissions Reductions (VERs)
IRR of 29% over five years with no exit and a 71% IRR with an exit in year 5 at a 5x EBITDA multiple
Revenues at start are $6.5M+ in 2017 plus forward agreements/contracts of $14M+
USD$250M+ annual revenue potential for 25+ years
About REDD+REDD+ (Reducing Emissions from Deforestation and Forest Degradation) is a climate change mitigation strategy envisioned by the United Nations. REDD+ places a value on a standing forest as a key element in a plan to avoid continued deforestation.
By making forests more valuable standing than cut down, REDD+ provides forest communities and countries with a model for economic development where both people and the planet can benefit.
The value is represented by Verified Emission Reduction (VER) units. VERs are also known as offsets or carbon credits. Each VER equals one tonne of carbon dioxide that was prevented from being released into the atmosphere as a result of a REDD+ project’s conservation plan.
REDD+ developers quantify the amount of greenhouse gas emissions reduced through their activities. Under rigorous environmental and social standards their work is independently verified by international auditors. Upon a successful verification the project is issued VERs.
VERs are purchased by progressive corporations who voluntarily elect to reduce their unavoidable emissions. Proceeds from VER sales are reinvested in green economic development for the forest communities.
REDD+ projects deliver unprecedented environmental and social benefits to seriously impoverished forest communities that are in desperate need of change.
The destruction of forests is the second largest source of CO2 emissions accounting for over 7B tonnes of CO2 released each year, more than the entire global transportation sector.
Everland Introduction
Everland is a specialized marketing company representing forest conservation projects across the globe that protect wildlife and enhance the well-being of local forest communities.
Everland provides REDD+ project developers with access to a wide range of market channels and generates sales contracts. This makes it possible to finance the conservation work they do where local landowners and communities are adequately rewarded for avoiding deforestation now and for the long-term.
Everland makes it easy for businesses to support REDD+ projects by providing them with project due diligence, impact reporting and engaging content to efficiently integrate sustainability into their business models.
The Problem Everland is Solving
30 REDD+ project developers, mostly NGOs invested $2M- $50M to successfully stop deforestation in areas of high threat
These projects generate more than 60M tonnes of VERs annually
The majority of projects have been unsuccessful selling their VERs due to the fact that most developers are not commercially oriented
Everland is built upon the success of Wildlife Works Carbon LLC, the first developer to generate a REDD+ VER under the Verified Carbon Standard
Since 2011, Wildlife Works sold more than USD$55M worth of VERs to notable corporate buyers including:
REDD+ is the fastest, most effective and lowest cost initiative that can be done right now to combat climate change.
REDD+ is in the Paris Agreement – on par with any other compliance grade carbon credit as of 2020
There is a 14B tonne emissions gap to meet the Paris goals
UNEP says 2B tonnes of emission reductions must come from land use (REDD+)
At this time there are only 30 verified REDD+ projects; that generate 60M tonnes of annual VERs
Many prospects in the energy, mining, chemical, heavy industry, transportation and retail sectors will seek contracts for REDD+ VERs
The demand for REDD+ VERs will far outstrip supply and prices are expected to surge as we approach 2020
REDD+ Market Outlook

Managment
Gerald Prolman based in New York City, is a serial entrepreneur with a 39-year history building branded, specialty consumer product companies. Over nearly four decades, Gerald has created international demand for new product concepts and established several new market segments with a common theme that joins for-profit and cause related business interests.
As of April, 2017 Gerald was named president of “Everland” a specialized marketing company representing high-impact forest conservation projects in Africa, Asia and Latin America that protect wildlife and enhance the well-being of local forest communities.
In 2004, Gerald became an advisor to Wildlife Works and in 2008 he joined the company and served as EVP of Business Development until March 2017. During this time Wildlife Works became the first company to achieve verification under the Verified Carbon Standard (VCS) resulting in the issuance of world’s first REDD+, verified emission reductions (VERs) aka offsets or carbon credits.
Gerald was responsible for the company’s strategic partnerships and led the business development team which is credited for being first in the forest conservation sector to monetize the new, REDD+ VER asset class.
Previous to Wildlife Works, 2001-2008, Gerald was the founder and president of Organic Bouquet, Inc., the world’s first online organic floral gifting site. In 1989 Gerald was the founder and President of Made In Nature, Inc, the first organic produce brand in the US to break through to mass-market retail, responsible for the conversion of more than 20k acres to organic production systems and sold to Dole Food Co. in 1995.

Social and Environmental Impacts
Significant contribution to SDGs
Everland projects have been independently audited and then verified under the CCBA standards and at Gold Level for exceptional biodiversity and community benefits. The VCS is also creating a new set of standards measuring contribution to the SDGs.
The following SDGs are supported by the Wildlife Works Kasigau Corridor REDD+ project:
Proceeds from the Kasigau Corridor REDD+ VERsare shared with local landowners and the broadercommunity of 150,000 people who are involved inthe forest conservation efforts.
Agricultural intensification teaches farmers how togrow more on the same amount of land withoutcontinued deforestation. Farmers learn how to growdrought-resistant cash-crops like jojoba and fruittrees.
Workshops are held for local people of all ages, onmatters such as such as HIV, family planning, menstruation hygiene, cancer and TB.
Each Wildlife Works’ employee receives healthinsurance, which includes life-saving medicationsand testing for illnesses such as HIV/AIDS andMalaria.
Communities know that education holds the key toa better future for their children, so spend a portionof their allocation from carbon proceeds on schooland college bursaries. Currently, more than 3,500students have been awarded scholarships.
Childcare is provided for all children of WildlifeWorks’ employees too young to enroll in school.
Over 100 women from the community areemployed, many of them are earning an income forthe first time. Jobs include wildlife rangers and eco-factory seamstresses. Women’s groups are leadersin addressing the community’s needs and inmanaging the reforestation programme.
A key driver of poverty in the region is drought. Theproblem is felt most by women and children whowalk up to 15km to retrieve water every day.,missing work and school. The community thereforespends a portion of their allocation from carbonproceeds on access to water, such as the SasenyiRock Catchment that provides water for 8,000people.
