TERMS & CONDITIONS

PricesAll prices are suggested retail and are subject to change without notice. The prices in effect at the time of shipment will prevail.Possession of this price list or any other literature shall not imply the company’s willingness to sell to the holder and shall not beconstrued as a direct offer of sale.

Payment TermsWith approved credit, terms are 1% 10 days, Net 30 days from date of invoice. Past due accounts are subject to interest at themaximum rate permitted by law.

DesignThe right is reserved by ERGO Office Seating to make changes in design and material, as well as discontinuance of parts and unitswhen such action is deemed to be an improvement in design, function and/or construction.

To OrderSpecify model number, quantity, finish and all other applicable information. Orders will be acknowledged with an ERGO OfficeSeating acknowledgment form. In the event that an error is made in the production of your product, the acknowledgement will beused as the resolution document.

PackagingAll chairs ship one (1) per carton unless noted. Most chairs ship KD with minor assembly required.

Change OrdersOrders which have entered any stage of production may not be changed. All changes on customer orders previously acknowledgedmust be requested in writing and are subject to approval. Requests for changes are not accepted until acknowledged by ERGOOffice Seating. In the event revision is accepted, change fees may apply.

FlammabilityThe foam used in ERGO Office Seating chairs meets the requirements of California TB117.

ANSI/BIFMA

ERGO Office Seating products within this price list generally meet or exceed applicable BIFMA and ANSI standards.

Cancellations and ReturnsOrders already in production may not be cancelled unless pre-authorized in writing by ERGO Office Seating. Charges may beincurred for the entire amount of the order.

Authorized merchandise returns must be approved prior to the arrival of any goods at our dock. Returns are subject to a restockingfee plus return freight charges. Seating must be returned in original cartons in “as new” condition. Unauthorized returns will not beaccepted by ERGO Office Seating.

Freight DamageERGO Office Seating is not responsible for damage occurring in transit or during storage. Before accepting a shipment from thecarrier, customer should carefully review the packing list and inspect the quantity and condition of the items. For any externaldamage, customer should document all damage on the Bill of Lading and request a carrier inspection of the product.

Concealed damage must be reported to ERGO Office Seating in writing, within 48 hours of delivery. In the event of damage,customer shall accept the order and contact Customer Service for issue resolution. We will take all reasonable measures to assistcustomers in resolving claims for loss or damage.

PRICING ORDER INFORMATION FREIGHT

FreightTermsProducts are shipped F.O.B. shipping point with freight costs and handling fees prepaid. See Freight Zone Map for moreinformation. Freight is prepaid to Port of Seattle for shipments to Alaska. Freight is prepaid to Port of Oakland for shipments toHawaii.

RoutingStandard courier shipments are made via common carrier, unless otherwise specified by customer. Special routing requests madeby the customer may result in additional charges to the purchaser.

Standard LTL shipments are dock-to-dock and are scheduled to depart Monday through Friday between 8 AM and 4 PM; based onERGO Office Seating published transit times. ERGO Office Seating reserves the right to charge the customer for non-standardcustomer delivery requirements. These may include special requests for lift gates, appointment delivery, residential delivery, insidedelivery, etc. For information concerning these charges, please contact Customer Service at 800-336-1100.

ERGO Office Seating shipments are not guaranteed. Should you require guaranteed service please contact Customer Support atthe above number. We will work to arrange a specific delivery timetable with the carrier, charges may apply.

Will Call orders will have a confirmed pick up date. Customers will have three (3) business days from notification to pick up theirorder. If the order is not picked up within this time frame, storage charges will accrue at a rate of $30.00 per business day until theorder has been picked up.

WARRANTY

ERGO Office Seating warrants that this product will be free from defects in its material and workmanship, as described below, foras long as the original purchaser owns the product. The company will repair or replace, at its option, without charge to the or iginalpurchaser only, defective products or parts from normal use.

Lifetime Warranty which is the entire time owned by the original purchaser for all chair components including pneumatic cylinder,control mechanism, base, glides, casters, frames and other structural elements. Fabric Upholstery and Leather is warranted to theoriginal purchaser for three years from date of purchase.

This warranty shall be effective for the applicable time period starting from date of purchase as shown on your original receipt orother proof of purchase. This warranty is your sole remedy for product defects and excludes defects due to or arising in connectionwith product abuse or misuse, user modification of, or attachments to the product, including application of your own upholsterymaterials and products or parts not used, maintained or installed in accordance with the company’s installation, maintenanceand/or applicable guidelines.

Normal use consists of a standard 8 hour shift in a 5 day work week, and a 250 lbs weight capacity.

We will repair or, at our option, replace the defective part, free of charge to the purchaser, provided that the purchaser returns saidparts freight prepaid to our offices. Labor and service are not covered under this warranty.

There are no other warranties, expressed or implied, other than those specifically described, including without limitation any impliedwarranty or merchantability or of fitness for a particular purpose. We will not be responsible for incidental or consequentialdamages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations orexclusions may not apply to you. This warranty gives you specific legal rights and you may have other rights which vary from stateto state.

Textiles are sold subject to minor variations of color. Since textiles vary in weave, thickness and memory, some creasing and/orgathering may occur during the upholstery application process. All furniture is sold subject to minor irregularities of color, surface,grain, and texture. Our leather upholstery materials are of the finest quality. Because leather is a natural product, variations oftexture are common and should be expected. Leather will contain natural markings such as neck wrinkles, scratches, backbonemarks and stretch marks. These distinctions give leather its unique characteristics and are considered to be a part of the naturalbeauty of leather.

A. Back AngleBack angle adjusts forward and back. Somechairs lock in an infinite number of positions.

G. Seat SliderThe seat slider is the device that adjusts theseat pan forwards or backwards.

H. Back HeightBack height adjusts up and down and locks invarious positions.

B. Seat AngleSeat angle adjusts independently of thebackrest using a single lever.

I. Back DepthThe backrest can be moved in and out toallow additional seat depth.
