(A) TERMS AND CONDITION OF THE TENDER

1. e - Tender under two bid system in the prescribed proforma are invited from eligible tenders for providing Annual Repair and Maintenance services listed under scope of services in this bid document.

2. The amount of earnest money deposit (EMD) shall be Rs. 9.00 Lakhs (Rupees Nine Lakh only) in the form of DD/Pay Order, drawn in favour of ESI Fund Account No. 1 payable at New Delhi. The EMD shall be valid for 90 days from day of opening of Tender.

3. The EMD shall be deposited in the Tender box kept in the committee room.

4. Last date of submission of tender is _05.10.16__ latest by 1.00 P.M.

5. Date and time of opening of tender is ___05.10.16__at 2.30 PM

6. Each and every page of tender document should bear the stamp and signature of authorized representative and upload clearly.

7. The rates for each and every item shall be quoted in a Figure and words. In case of any discrepancy in rates, the rates written in words shall be taken as final.

8. The envelope containing EMD shall be signed & sealed and bear address of the tenderer.

9. The work site can be seen on any working day during office hours by contacting Estate Branch, Room No. 74.

10. The competent authority of ESIC, reserves the right to accept or reject any tender or all tenders without assigning any reason.

11. Conditional tender are liable to be rejected.

12. The tender for the work shall remain open for acceptance for a period of one eighty days (180) from the date of opening of tender.

13. These instructions shall also form a part of the contract document.

14. The EMD of unsuccessful tenders shall be refunded within one month after the award of work to the successful tenderer.

15. Taxes and duties: Taxies ,Duties and other statutory levies will be paid at the rates as applicable from time to time during the period of contract on submission of proof / receipts / documents.

16. Eligibility criteria : 16.1 The tenderer's should be registered under Indian Registration Act 1908/ Indian Partnership Act

1932/Companies Act 1956. The tenderer must have experience of providing ARM (Civil & Electrical) services for three years during the last five years as on 31.03.2016.

16.2 The tenders should have satisfactorily undertaken/completed either of the following works in

the last seven years as on 31-03-2016. One similar work of value not less than rupees 3.6 Crores. (Equals to the 80% value of work to be executed)

Or Two similar works of each value not less than rupees 2.25 Crores. (Equal to 50% of the value of work to be executed)

Or Three similar works of each value not less that Rs. 1.8 Crores. (Equal to the 40% value of work to be executed)

The Tenderer must submit copies of satisfactory performance certificate from the client /employer regarding experience and value of work, failing which the tender is liable to be treated as invalid.

B The tenderer would be required to establish its office with telephones within the site of the work

in the space provided by the ESIC. C Average annual financial turnover during the last 3 financial year should be 1.35 crore.

D Copies of the following documents to be attached with the Technical bid: a) Audited financial statement ( including balance sheet with profit & loss account) for the year

17. Submission of bids : The Proposals should be submitted in two bid system, through the

online mode through https://esictenders.eproc.in. No other mode of application will be considered & application will not be accepted

18. Evaluation of Technical Bids : Bids received and found valid will be evaluated by the ESIC to

ascertain the best-evaluated bid for the complete work/services under the specifications and documents. The tenderer should take care to submit all the information sought by the ESIC in prescribed formats.

19. Financial Bid : The financial bid of the tenders, whose technical bid is found to be responsive,

will only be opened in the presence of the tenderers or their authorised representatives , who choose to attend the opening of financial bid. Minimum two-day notice will be given to tenderer for this purpose.

20. Award of work :

(i) The selection of the agency will be at the sole discretion of the ESIC who reserves its right to

21. Delay/Late tenders for whatever the reason will not be accepted.

22. Fraud and Corruption The bidders, Suppliers Contractors and consultants, must observe the highest standards of ethics during the procurement and execution of such contracts. In pursuit of this:-

27. Tenderer must submit scan copies of satisfactory performance certificates from the client/ employer in support of experience certificate, falling which the tender is liable to be treated as invalid.

28. Self certificate to the effect that the firm/agency has not been blacklisted in providing ARM(Civil & Electrical) services, earlier by any central government/ state government/PSU and have satisfactory track work record of compliance of statutory liabilities such as payment of minimum wages in time,ESI/EPF contribution etc. If at any stage, any information in this self certified found to be wrong, the consideration of bid/awarded tender may be cancelled / terminated and EMD / performance security will also be forfeited. The work shall be carried out as per the CPWD manuals and specifications The Employer may at his sole discretion extend the time for completion on submission of full justification by the Contractor. If the Contractor fails to complete the work in time, liquidated damages @ 1.25% of the total value of work under measurable items of work above shall be recovered subject to a maximum of 5% of the above total value. Note : Payment shall be made for actual quantities executed at the contract rate. Any item of work/supply not covered above shall be treated as a variation. The rates shall be worked out mutually based on CPWD norms. On failure to reach an Agreement, the engineers decision shall be final and binding on both sides.

(B) TERMS AND CONDITION OF TENDER GENERAL CONDITIONS OF CONTRACT Definitions and Interpretation

1. Definitions a) In the Contract (as hereinafter defined) the following words and expressions shall have

the meanings hereby assigned to them except where the context otherwise requires. i) “Employer” means the ESIC and the legal successors in title to ESIC. ii) “Engineer” means the person appointed by ESIC to act as Engineer for the purposes

of the Contract. iii) “Contractor” means an individual or firms (proprietary or partnership) whether incorporated

or not, that has entered into contract (with the employer) and shall include his/its heirs, legal representatives, successors and assigns. Changes in the constitution of the firm, if any shall be immediately notified to the employer, in writing and approval obtained for continued performance of the contract.

b)(i) “Contract” means these conditions, the Specification, the Bill of Quantities, the

Tender, the Letter of acceptance, the Contract Agreement (if completed) and such further documents as may be expressly incorporation in the letter of Acceptance or Contract /Agreement ( if completed).

(ii) “Specification” means the specification of the Works included in the Contract and any modification thereof.

(iii) “Drawings” means all the completion drawings, calculations and technical information of a like nature provided by the Engineer to be Contractor under the Contract and all drawings, calculations, samples, patterns, models, Repair and Repair and Maintenance manuals and other technical information of a like nature submitted by the Contractor and approved by the Engineer.

(iv) “Bill of Quantities” means the priced and completed bill of quantities forming part of the tender.

(v) “Tender” means the Contractor’s priced offer to the Employer for the execution and completion of the works and the remedying of any defects therein in accordance with the provisions of the Contract, as accepted by the Letter of Acceptance. The word Tender is synonymous with “Bid “and the words “Tender Documents” with “Bidding Documents”.

(vi) “Letter of Acceptance” means the formal acceptance of the tender by ESIC. (vii) “Contract Agreement” means the contract agreement (if any) referred

to in Sub Clause (viii) “Appendix to Tender” means the appendix comprised in the form of Tender annexed to

these Conditions. c) (i) “Commencement Date” means the date upon which the Contractor receives the notice to

commence the works. (ii) “Time for completion” means the time period for which the contract of Repair and

operation and Maintenance has been awarded by the employer to the contractor. d) “Taking over Certificate” means a certificate issued by employer evidencing successful

completion of the awarded work.

e) (I) “Contract Price” means the sum stated in the Letter of Acceptance as payable to the Contractor for the execution and completion of the Works and the remedying of any defects therein in accordance with the provisions of the Contract.

ii) “Retention Money” means the aggregate of all monies retained by the Employer. f) i) “Works” means the Permanent Works and the Temporary Works or either of them to be

executed in accordance with the contract. ii) “Site” means the places provided by the Employer for Repair and Maintenance of ESI

Hospital Basaidarapur , New Delhi. Iii) “Cost “means all expenditure properly incurred or to be incurred, whether on or off the site,

including over head and other charges . 2. ENGINEER Engineers Duties and Authority a) The Engineer shall carry out the duties specified in the Contract. 3. Custody and Supply of Drawings and Documents

The Drawings shall remain in the sole custody of the employer/Engineer, but copies as required thereof as per availability in the record shall be provided to the Contractor free solely for the purpose of this contract.

4. Sufficiency of Tender The Contractor shall be deemed to have based his Tender on the data made available by the employer and on his own inspection and examination of this site conditions.

5. Contractor’s Employees The Contractor shall provide on the site qualified and experienced technical staff in connection with the Repair and Maintenance of the Works and the remedying of any defects therein. The minimum staff shall be as per description of work mentioned in BOQ and format-III.

6. Engineer at Liberty to object. The Engineer shall be at liberty to object to and require the contractor to remove forthwith from the Works any person provided by the contractor who, in the opinion of the Engineer, misconducts himself, or is in incompetent or negligent in the proper performance of his duties, or whose presence on Site is otherwise considered by the Engineer to be undesirable, and such person shall not be again allowed upon the Works without the consent of the Engineer. Any person so removed from the works shall be replaced as soon as possible by a qualified person approved by the Engineers.

7. Safety, Security and Protection for the Environment

The Contractor shall, throughout the execution and completion of the Works and the remedying of any defects therein:

I) Have full regard for the safety of all persons entitled to be upon the Site and keep the Site ( so far as the same is under his control) and the Works ( so far as the same are not completed or occupied by the Employer) in an orderly state appropriate to the avoidance of danger to such persons, and

ii) Provide and maintain at his own cost all lights, guards, fencing, warning signs and watching, when and where necessary or required, by the Engineer or by any duly constituted authority for the protection of the Works or for the safety and convenience of the public or others, and

iii) Take all reasonable steps to protect the environment on and off the Site and to avoid damage or nuisance to persons or to property of the public or others resulting from pollution, noise or other causes arising as a consequence of his methods or Repair.

(a) Insurance of work by the Contractor for his liability: I) During the Repair and Maintenance period for loss or damage to property and life arising from

a cause for which contractor is responsible. ii) For loss or damage occasioned by the Contractor in the course of any Repairs carried out by

him for the purpose of complying with his obligations. It shall be responsibility of contractor to notify the Insurance Company of any change in the nature and extent of the works and to ensure the adequacy of the Insurance cover at all times during the period of contract.

8 . Damage to Persons and Property

The Contractor shall, except if and so far as the Contract provides otherwise, indemnify the Employer against all losses and claims in respect of:

(a) death of or injury to any person, or (b) loss or damage to any property (other than the Works): Which may arise out of or in

consequence of the Repair and Maintenance of the Works and the remedying of any defects therein, and against all claims, proceedings, damages, costs, charges and expenses whatsoever in respect thereof.

9. Accident or injury to Workmen The Employer shall not be liable for or in respect of any damages or compensation payable to any workman for death or injury resulting from any act or default of the contractor. The Contractor shall indemnify and keep indemnified the Employer against all such damages and compensation and expenses whatsoever in respect thereof or in relation thereto.

10 Evidence and Terms of Insurance The Contractor shall take out appropriate insurance to cover his work and workers and staff employed by him fully. The contractor shall provide evidence to the Engineer/Employer as soon as practicable after the respective insurance have been taken out but in any case prior to the start of work at the Site that insurance required under the Contract have been effected.

11. Compliance with Statutes, Regulations

The Contractor shall conform in all respects, including by the giving of all notices and the paying of all fees, with the provision of:

a). Any national or State Statute, ordinance, or other law, or any regulation, or bye-law of any local or other duly constituted authority in relation to the execution and completion of the works and the remedying of any defects therein, and

b) The rules and regulations of all public bodies and companies whose property or rights are affected or may be affected in any way by the works, and the Contractor shall keep the Employer indemnified against all penalties and liability of every kind for breach of any such provision.

c) Any changes required for approval due to revision of the local laws. 12. Time for completion :-The Repair and Maintenance work shall be for a period of One

year or as mentioned in the letter of commencement and shall start from the date issue of letter Commencement and shall stands terminated after the expiry of One Year .

13. Extension of Time: The contract shall initially be valid for a period of one year and may be further extended for a period of two year( on yearly basis) on mutual Consent subject to satisfactory performance on the same terms and conditions.

14. Defect identification and its rectifications. Agency shall immediately attend the defects and complaints noticed at site. The agency shall provide and develop a system for regular Repair and Maintenance of all the services which includes defect identification and its immediate rectification so, that services are not affected. It shall be the sole responsibility of the Repair and Maintenance agency that all the services are kept in functional condition round the clock during the currency of the contract. Defect Liability period shall be 12 months from the date of completion of work under BOQ measurable works. The contractor shall rectify at his own expenses any defect in the work carried out by him during this period. On failure of the contractor to do so, the same shall be completed by the employer at risk and cost of the contractor.

15. Liquidated damages for delay. If the Contractor fails to attend any complaint or defect in due course of time and if in the opinion of engineer delay is on the part of Repair and Maintenance agency, the employer can impose liquidated damages on the contractor as detailed in the particular conditions.

16. Contractor’s Failure to carry out Instruction. In case of default on the part of the Contractor in carrying out defect rectification works, the Employer/Engineer and IMO In charge shall be entitled to employ and pay other persons to carryout the same and if such work, in the opinion of the Engineer, the Contractor was liable to do at this own cost under the Contract, then all costs including penalty for delay in attending to the complaint consequent thereon or incidental thereto shall be determined by the Engineer and shall be recoverable from the Contractor by the Employer, and may be deducted by the Employer from any monies due or to become due to the Contractor.

17. Instructions for Variations (a) Quantities given in the BOQ are estimated quantities. The quantity of any particular item

may vary to any extent. Variation in quantity in particular items or total exclusion of certain items of BOQ from the work executed or overall cost, does not entitle a contractor to claim any extra cost.

(b) Notice to be given by the contractor for execution of Planed civil and electric works :- It shall be duty of the contractor to give notice of at least three working days for execution of planned civil Works like whitewashing, painting, replacement of window glass panes which is other than day to day maintenance jobs so that prior sanction may be obtained to start the work and also to check the quality of materials to be used. If no notice is given, the work executed will not be considered for payment.

MEASUREMENT 18. Works to be measured for BOQ items

The Engineer shall be determined by the Measurement of the value of actual work done in Accordance with the Contract and the Contractor shall be paid proportionately. Part rate shall be made for any part of BOQ items not fully executed. Engineer shall be at liberty to decide the breakup of Lump Sum items and to decide the part rate for any particular item.

19. Method of Measurement The works shall be measured net, notwithstanding any general or local custom, except where otherwise provided in the Contract.

CERTIFICATES AND PAYMENTS 20. Monthly Statements

The contractor shall submit a bill in 4 copies to the Engineer by 7th day of each month for the work executed up-to the end of previous month in tabulated form approved by the Engineer, showing the amounts to which the Contractor Considers himself to be entitled. The bill must be supported with the documents as per standard form. Described below:- (a) Attendance sheet duly verified by the Engineer-in-charge of the agency with

salary certificate and wages sheet of all the workers. (b) Detail of defects/complaints attended & work satisfactory report against same

duly signed by in-charge of concerned wing (C.) ESI and EPF Challan of the workers employed at site. (D) Challan & ECR sheets of ESI & EPF (E) Certificate regarding payment of minimum wages along with ECS Sheet.

21. Deduction of Income Tax The amount to be deducted towards Tax deducted at source advance income tax shall be at the rate applicable.

22. Monthly Payments After submission of monthly bill complete in all respects by the contractor, Engineer shall check the bill with the help of contractor and certify for payment within 15 days.

23. Performance Guarantee 7% of total value of contract. Within two weeks of award of work, the Contractor shall submit a Performance Security for proper performance of the contract in the format enclosed as Enclosure –III. The performance guarantee shall be valid for the duration of the contact period plus 90 days. The performance security can be encased by the Employer to recover any amount which is payable by the contractor to the Employer on any account for a cause arising out of the contract

24. Correction of certificates It as a result of post payment audit any overpayment is detected in respect of any work

done by the agency or alleged to have done by the agency under the tender , it shall be recovered by the hospital from the agency. Similarly if an under payment is discovered the amount shall be duly paid to the service provider of the hospital

25. Default of Contractor 25.1 If the performance of the contract and is not satisfactory and not corrected within 15 days of

receiving notice, then employer shall be at liberty to terminate the contract and get the work executed through other means at the risk and cost of the Contractor.

25.2 Payment on Termination In the event of termination of the contract, employer shall be at liberty to get balance work done at the risk and cost of the contractor and due payment of the contractor, if any, shall be released after the completion of whole of the works.

26. Amicable Settlement of Dispute The party shall use their best efforts amicably all disputes arising out of or in connection this contract or the interpretation thereof.

27. Arbitration Any dispute and differences relating to the meaning of the specifications, designs, drawings and instructions herein before mentioned and as to the quality of workmanship of materials used in the work or as to any other question, claim, right, matter or thing whatsoever in any way arising out of or relating to the contract, designs, drawings, specifications, estimates, instructions or these conditions or otherwise concerning the works or the execution or failure to execute the same whether arising during the progress of the work or after the completion or abandonment thereof in respect of which:-Amicable

settlement has not been reached .Shall be referred to the Sole Arbitration of the Chief Engineer, ESIC who shall proceed as per the Arbitration Act, 1996.

27.1. The work under the contract shall continue, during the Arbitration proceedings. 27.2. The award of the Arbitrator shall be final, conclusive and binding on both the parties.

(C) TERMS AND CONDITION OF TENDER

1. CPWD specifications shall be followed. Where not available, BIS/Engineering practice as directed by the Engineer shall be followed.

2. Complaints shall be made in the format(Enclosure-1) 3. A complaint register (format at Enclosure-II) shall be maintained by the contractor in which all

complaints received shall be documented. 4. Formats of Performance Guarantee and Contract Agreement are at Enclosure III and

IV respectively. 5. All emergent Repair and Maintenance related complaints shall be attended to within

twenty fours and routine/non emergent repairs shall be attended within 48 hours failing which a recovery of Rs. 500 per day/per job shall be made from the subsequent payment to the contractor.

6. In the event of failure to attend the complaint within 3 days the hospital administration will get the work done at the risk and cost of the agency who has been allotted the AR & M work . The expenditure for the repair & maintenance including cost of material and incidental expenditure incurred for such repairs and penalty levied on account of failure of Agency will be deducted from the subsequent payment/pending dues/security deposit of the AR&M agency.

7. The Sewer-man shall ensure that all lines are maintained in a clean condition by carrying out preventive/routine cleaning of all lines.

8. As the work will have to be carried out in building and area in use the contractor shall ensure:- a.That the normal functioning of ESIC activity is not effected as far as possible. b.That the work is carried out in an orderly manner without noise and obstruction to services and movement. c.That all rubbish etc. is disposed off at the earliest and the place is left clean and orderly at the end of each day’s work.

9. The Contractor shall ensure that his Repair and Maintenance staff is qualified and licensed for their part of work. He shall be responsible for their conduct. The staff should behave in a courteous manner. The contractor be held responsible for any loss or damage to ESIC property.

10. The contractor shall ensure proper record keeping and storing of irreparable/dismantled material with the Care Taker.

11. Water and electricity shall be made available free of cost at nearby source of work. The contractor has to make his own arrangement for use of the same at work site. The responsibility for following relevant rules, regulations and loss in the regard shall be entirely that of the contractor.

12. The service clerk & the skilled worker should be facilitated with mobile phone to contact on urgent basis & their numbers should be displayed and forwarded to hospital administration.

13. The worker should be issued identity cards after getting due verification. Uniform should be worn by the worker having monogram of the firm.

14. The contractor shall have to attend the local bodies like MCD, DPCC, Delhi Police, PWD, BSES/NDPL, DJB & Labour officer.

15. The contractor will have to obtain the requisite performance certificate/test report of the Equipments like D.G Sets, ETP, Lifts etc. from the concerned department.

19. The contractor shall arrange to get the licenses of lifts, consent to operate renewed from the concerned authorities to run the functioning of the hospital smoothly.

20. The worker on duty after 4.00 P.M will have to be available at the service center created by the contractor & should have mobile phone.

21. Supervisor should be qualified in respective vocation & experienced and have fair knowledge of civil & electrical maintenance work to depute the workers accordingly .

22. The Supervisor shall issue the complaint slip to the worker to be signed by the complain tenet after attending the complaint & the same should be attached with the monthly bills submitted for payment.

23. Contractor will ensure that the payment to the worker is being made in accordance with the minimum wages as notified by the delhi government time to time along with statutory compliance like ESI,EPF ,labour laws(circulated by the government of NCT of Delhi from time to time).

24. The rate of any item not available in the attached BOQ shall be derived from the Delhi Schedule of Rates circulated by CPWD by applying the prevailing cost index of the period of execution of the item. However any item not available in the DSR may be derived from market rate of the period of execution.

25. The contractor, to whom the work is awarded, will execute the work himself. He will not be allowed to sublet the work to any other agency.

26. Stored Water in water tank should be tested from Delhi test house or any other Govt. approved lab on the quarterly basis without extra cost.

27. Civil and Eelectrical Engineer should be available at the site all the time i.e 24 hrs X 7 days.

28. All tools, plants and materials to carry out the ARM work at site shall have to be provided by the contractor.

29. The agency shall have to display on notice board in hospital, the name of maintaining agency along with the Supervisor’s name to be contacted with telephone nos. for lodging the complaints.

31. Deviation in quantity – To execute the item on BOQ can be varied as per site requirement, or as per the direction given by hospital administration. The contractor have to execute the same on the quoted rates.

32. The Hospital shall not be under any obligations for providing employment to any of the worker of the service provider after the expiry of the contract . The hospital does not recognize any employee employer relationship with any of the workers of the service provider.

33. For not employing of the required staff, recovery shall be made from their bill at the following rate:-

(A) Supervisor - Rs .1000 Per Day. (B) Wireman/machnice/Electrician/ Rs. 800 Per Day. Operator/Plumber/Masson/Sewer man (Skilled worker)etc.

(c.) Kahllasi/ Helper(Semi Skilled/unskilled worker)etc Rs. 700 Per Day.

34. Contractor shall carrying out the oil analysis of Transformer oil / compressor Oil once in the year from Delhi test house or any other Govt. approved lab .No extra payment will be made.

35. During the running contract the responsibilities of physical custody of the Electrical/Civil installation will rest of the contractor.

36. Nothing extra will be paid for inter-connections etc. (23)

39. All debris due to the electrical / civil works shall be removed immediately and site shall be cleared by the contractor as soon as the work is completed.

40. The contractor have to provide/maintaine printed log book for Pump,DG sets,AC plant, transformers and lifts etc as per the CPWD maintenance manual.

41. No Payment shall be made for shifting of fans, fittings and power points in the hospital and staff quarter premises.

42. As and when the new staff quarter building is taken over and old residential colony is vacated only operational cost will be payable to maintenance agency as per direction of hospital administration.

43. The actual item mentioned in the Annexure (Civil and Electrical) will be execute as per the direction of the hospital administration (ESIC).

44. The contractor has to ensure the compliance of all labour laws.
