Termination Agreement--General form. I, __________ an employee of __________ Corporation [the corporation] since __________ [date], affirm that although I am terminating employment with the corporation effective __________ [date], I will continue to abide by the terms and conditions of my previously executed employment agreement, a copy of which is attached. I particularly agree that in consideration of my past employment and the salary payment to me for the term of this employment I will continue to abide by the following which are a part of the attached agreement. (1) Not to divulge to others at any time information regarding any of the trade secrets, confidential information and inventions owned, held or conceived by me on behalf of the corporation. (2) I understand that all of the records, engineering computation, sketches, drawings, graphs and written data disclosed to me or developed by me during the course of my employment belong to the corporation, and I agree that no copy of any of these has been taken by me during or will be taken by me upon termination of my employment or used by me thereafter in any way. I acknowledge that this agreement has been freely entered into and limited in extent, time and scope of subject matter so as to be reasonable and equitable in every way to me and to the corporation and enforceable by a court of competent jurisdiction it being understood that such an agreement is essential to the protection and orderly management of the corporation and the preservation of the rights and interests of all of the corporation employees.
