    - he said he will be in city hall tomorrow

    Cohn (talked for 20 minutes)

    - in a good place overall. cohn said the term sheet looked "real good" and said the city "got the stuff we wanted"

    - Cohn said Shirey told him about Hansen wanting to push the vote to thursday. Cohn said that was a "responsible request." I pushed back and Cohn said that since the term sheet was delayed 2 days then the vote should be pushed back 2 days.

    - Cohn said he wants to ask Shirey to report back to council in May with a plan for the Community Center Theater and the Crocker. Cohn said he'll work with Hansen to calm him down on the arts stuff and address his issues.

    - Cohn wants to ask Burkle tomorrow if Burkle would have any interest in operating the Community Center Theater. Not a priority for Cohn but he's curious.

    Next Steps: - sync up with Shirey to keep him focused on voting on the 26th.- continue to ask allies to reach out council- continue to reach out to council and staff

    Think BIG Sacramento released a report titled Home Court Advantage today at a roundtable discussion with the Sacramento Region Builders association.

    The reports press release, which includes a quote from Think BIG Executive Director Kunal Merchant, is attached. A copy of the Home Court Advantage report is also attached.

    The report compares the Sacramento and Seattle markets during the 23 years when both cities had NBA teams. Key findings include:

    1. Sacramento had better game attendance than Seattle in 20 of 23 seasons, and produced three times as many sellout seasons as Seattle, despite supporting a team with far less regular season and playoff success.

    Bienick ran a breaking news story at 12p that "AEG is not in the deal!!" Dumb, small but annoying.

    He based it on an interview with the City Manager this morning, who gave a clumsy response to a question about AEG. Shirey said this year's deal is different than last and that Mastrov-Burkle would decide the operator. (true) He then said he doesn't think AEG would have any role going forward. (overstatement...Bienick jumped)

    The arena operating company AEG is not part of the current negotiations for a new downtown arena and will not provide any funds for the facility, according to the Sacramento city manager.

    City Manager John Shirey spoke with KCRA 3 during a 30-minute interview at City Hall on Friday morning.

    "We don't see AEG as part of this one," Shirey said.

    AEG had agreed to pay $59 million, or about 15 percent, of last year's failed arena project.

    Earlier this year, the company said it was still interested.

    "We remain committed to the mayor and the city, and we would be more than happy to meet with a potential new owner," read a release from the company on Jan 15.

    During Mayor Kevin Johnson's State of the City address on Feb. 28, he announced that Pittsburgh Penguins co-owner Ron Burkle had agreed to develop a new arena at the site of the Downtown Plaza.

    Burkle had reportedly been in negotiations to purchase AEG.

    However, on Thursday the company announced that it was no longer for sale.

    "They expressed their interest in January that they would once again be willing to be part of some transaction, to be an operator. But has far as I know, that's where it ended, that there was no agreement between Mr. Burkle and AEG to be the operator of a our hopefully new arena," said Shirey.

    "The part that AEG was playing last year will be played by the Burkle group," said Shirey. "How it is they arrange that in terms of their own internal operations, we don't quite know yet what those partnerships are, but they will be the operators of the arena."

    Shirey told KCRA 3 that he did not expect AEG's departure to affect the share of money the city would contribute to the project, which he said would be roughly equal to the $258 million public contribution envisioned by last year's deal.

    Shirey said he would likely need every minute between now and next Thursday to complete the negotiations with the Burkle group in time for the first in a series of public forums.

    Originally, the city had scheduled one public forum, Thursday evening at city hall.

    However, Shirey said because of concerns from council members, he has added two additional forums.

  • The second will take place Friday from 5:30 to 7:30 p.m. at the Robertson Community Center, and the third will be Saturday from 9 to 11 a.m. at the Sam Pannell Community Center.

    Shirey said he expected the council to vote on the proposed agreement at its mee ing on April 26 and present it to the NBA at a meeting on April 3.

    The league's owners are scheduled to meet April 17 to 18 to choose between Sacramento's proposal for the Kings and a competing proposal from a group that wants to relocate the team to Seattle.

    Shirey told KCRA that if the NBA does not agree to keep the team in Sacramento, he would not recommend moving forward with the arena proposal.

    Just talked to Shirey - he's solid on the 26th but said he's going to check in with council to take the groups temperature. We need to make sure our allies - on the council and in the community - are ready to make the case for a tuesday vote.

    - Shirey said delay would just mean 2 more days for everyone to get lobbied. I told Shirey it would be 2 more days for Hansen to lobby him.

    - Shirey said he's already planning on address the arts issues (CCT and Crocker) in May as part of the budget process. I stressed that this was not a reason to delay - there is nothing (no assurance or agreement) that Shirey could deliver to Hansen thursday that Shirey couldn't deliver by Tuesday.

Went through my "hypothetical" that if we were to acquire the 7% through a limited, would we be able to bypass first right of General (i.e., Maloofs) and how long would it take. Once these close, this % can be sold back to local group. Gets Burkle pregnant/shows NBA owners commitment/ and provides path for locals. Only downside is (1) either they get outbid by Hansen at the courthouse, or (2) they do not close on the team and are left either holding the 7% or paying a breakup fee. The benefit to Hansen though is less than Burkle because (1) NBA already knows Hansen is serious, and (2) RB/Mastrov can still get the team regardless.

    4. Monday Meeting - Have agendas for Monday meetings, and confirmed attendees. We have 9 of the local owners attending so far, and all three of the limited partners have confirmed. We will have mounds of Starbucks breakfast snacks, coffee, and water at both meetings. The agendas are neutral in case they get out (although of course we will pick them up), and it was my intent to walk through the agendas with Adam/Mark to make sure they are prepped. For your viewing pleasure, I have attached the Agendas. The main focus will be getting to know Mark as a person and getting some preliminary comfort as to the process. Each meeting will be no longer than an hour.

    5. Regional Resolution - Draft Regional resolution completed. Once I get comments and revise, will circulate to the respective jurisdictions and request action ASAP.

    In simplest terms, DT plaza is superior because (a) more central location for greater positive economic spillover benefits; and (b) private developer on private land is easier than public developer on public land.

    MEMORANDUM CONFIDENTIALJanuary 25, 2012Development of a new arena at the downtown Sacramento Railyards site (SRY) remains viable consistent with the terms, processes and timelines set forth in the 2012 agreement reached by all parties.Development of the arena at the Downtown Plaza (DTP) site presents a comparable, if not superior, alternative for several reasons.SITE OVERVIEW. The DTP site is a commercial retail property that consists of approximately 17 acres. It is designated and zoned for commercial uses under the City of Sacramento General Plan, the City of Sacramento Zoning Ordinance, and other land use regulatory documents. It is located in the heart of downtown Sacramento, approximately three blocks from the other potential SRY site. The DTP site

  • was previously identified as a potential arena location in 2004 and 2010.PRIVATE PROJECT PROPONENT. At the DTP site, the core property owner, JMA Ventures, would play a lead role as project proponent, which would allow the development process to move more efficiently through the project development phase (e.g. selection of architects, commissioning studies, design drawings, etc.) because far less Council oversight, approval or resource constraints would apply. The SRY site is public land and would require more public input and Council approval through every phase.JURISDICTIONAL OVERSIGHT. The DTP site only has one overseeing agency the City of Sacramento. The SRY site has multiple federal and state agencies involved as it is a transportation hub.ENVIRONMENTAL REVIEW. The DTP as an urban infill project with no federal lead agency requires no National Environmental Policy Act ("NEPA") environmentalreview. Under state law, as a major urban infill project, the City of Sacramento would qualify the project under AB 900 as an environmental leadership project with a streamlined review under the California Environmental Quality Act ("CEQA"). This level of environmental review is less than the combined NEPA/CEQA review that would be required at the SRY. Given the historic trends of downtown urban redevelopment projects, it is not anticipated that environmental review will be the critical path item in development. PERMITTING. The DTP as an existing large retail site would require a use permit equivalent to the permitting at the Railyards site. The City of Sacramento would issue this permit.HISTORIC STRUCTURES. The DTP site is relatively new construction with fewer historic resources than the SRY site and less exposure to potential litigation.GENERAL PARKING: There is equal or better parking at the Downtown Plaza given its adjacency to secondary parking resources in the vicinity of the arena site.PREMIUM PARKING. The DTP site would immediately provide up to 3,000 premium parking spaces adjacent to the arena. This contrasts with the SRY site, which requires construction of a new 1,000 space parking structure for premium parking. In addition, the site already has two levels of below--grade parking that would eliminate the need for and challenges associated with excavation at the SRY to create a similar ESC profile.TIMING: It is anticipated that as an expedited project, the DTP timeframe to design, permit, and build would be comparable to the SRY.PUBLIC FINANCING SOURCES: The development of the DTP provides roughly equivalent opportunities for parking monetization given the DTP location is approximately three blocks from the SRY location. The process and timeline to re--initiate parking monetization would be comparable at either site, and involve (1) Reactivation of qualified RFQ respondents; (2) Administration of the RFP process; (3) Selection of the winning RFP bid team; (4) Drafting of concession agreement; and (5) Sale of bonds. Similarly, the sale of public land contemplated in the 2012 agreement would not be impacted by the change in arena location.

    Great productive day! A couple updates from me:

    1. NBA Letter - KM and I got NBA letter out. Looked great.

    2. Press Statement - Updated press statement and dropped with the Eagle and Adam. Adam has signed off. Lehane will be coordinating statement with Frankie on behalf of RB.

    3. Legal. - Had several conversations with Downey Brand, John Kehriotis lawyer, and John Kehriotis. Finally got all documents from John Kehriotis lawyer regarding transaction and have forwarded those to Downey Brand. Also had long discussion with trustee lawyer, Don Fitzgerald. Went through my "hypothetical" that if we were to acquire the 7% through a limited, would we be able to bypass first right of General (i.e., Maloofs) and how long would it take. He told me he thought he could get us through in 60 days. The thought is this may be a great way to show RB/Mastrov serious, but at the same time get them equity for risk. Once these close, this % can be sold back to local group. Gets Burkle pregnant/shows NBA owners commitment/ and provides path for locals. Only downside is (1) either they get outbid by Hansen at the courthouse, or (2) they do not close on the team and are left either holding the 7% or paying a breakup fee. The benefit to Hansen though is less than Burkle because (1) NBA already knows Hansen is serious, and (2) RB/Mastrov can still get the team regardless.

    4. Monday Meeting - Have agendas for Monday meetings, and confirmed attendees. We have 9 of the local owners attending so far, and all three of the limited partners have confirmed. We will have mounds of Starbucks breakfast snacks, coffee, and water at both meetings. The agendas are neutral in case they get out (although of course we will pick them up), and it was my intent to walk through the agendas with Adam/Mark to make sure they are prepped. For your viewing pleasure, I have attached the Agendas. The main focus will be getting to know Mark as a person and getting some preliminary comfort as to the process. Each meeting will be no longer than an hour.

    5. Regional Resolution - Draft Regional resolution completed. Once I get comments and revise, will circulate to the respective jurisdictions and request action ASAP.

    6. City Attorney - Got City Attorney excited and ready to move. Understands the significance of this project and the need to move it forward expeditiously.

    7. Matsui - Also have preliminary discussion who are ready to help. Going to follow up early next week.

    3. Regional Funding - I reached out to County Supervisors and so far only interest in garage revenue - not possessory tax credit. Also spoke with City of West Sac on revenue opportunities and the are open to further discussions. Point on this is Councilmember Ledesma. No promises but exploring.

    4. Media - Met with Marcos Breton today and put him in the dog house. He tried to back peddle saying it was just more neutral than negative. I hit him on this saying he needs to keep in mind his goals and focus on economic benefits of downtown development. He said he would do a better article Sunday. We will see.
