Terms & Conditions

For purpose of this Sponsorship / Exhibitor Confirmation form, the party/parties stated in Company Name subscribing to this

subscription shall be known as Sponsor/Exhibitor, and the sponsorship and exhibition confirmation form shall be known as

confirmation form.

Cancellation of Mela - Should the Mela be cancelled due to acts of war, terrorism and natural calamities, Elder Clubs

International Foundation shall be under no liability in any way in respect to any subsequent liability incurred by the

Sponsor / Exhibitor.

Cancellation of Sponsorship/ Exhibition

a. If sponsorship/ Exhibitor cancels by providing written notice 60 days before the event, a full refund shall be granted to the

Sponsor / Exhibitor. However, no monies will be refunded should the sponsor / exhibitor cancels less than 60 days prior to the

event.

b. If Elders Clubs International Foundation cancels the event / sponsorship / exhibition for any reason the Sponsor/ Exhibitor fee

will be refunded within 14 days of such cancellation.

Liability

a. Elders Club International Foundation accepts no responsibility for any loss or damage of properties or personal injuries that

occurs during, or in preparation for the Sponsorship / Exhibition.

Extra Charges - Any additional charge incurred at the Mela, which are not covered by the package, shall be borne by the

Sponsor/ Exhibitor.

Miscellaneous

a. The Confirmation form shall be binding upon all parties upon execution and delivery by the Sponsor / Exhibitor to Elders Clubs

International Foundation and countersigned by the signatory from the foundation, delivery by post, facsimile or any other

electronic medium shall constitute delivery hereof.

b. The confirmation form constitutes sole and exclusive agreement between parties.

c. The construction, validity and performance of the confirmation form shall be governed in all respects by the laws of India.

d. Impossibilities of Performance (FORCE MAJEURE)

This agreement will terminate without liability to either party if substantial performance of either party's obligations is delayed,

impeded or prevented by any cause reasonable beyond that party's control (a “force majeure event”). Force majeure events

shall include, but are not limited to, acts of God, regulations or orders or governmental authorities, fire, flood or explosion, global

war, disaster, diseases, epidemics, civil disorder or other emergencies making it inadvisable, illegal or otherwise impossible to

run the Event, provide the facilities or the services as to hold any conference or meeting; sale of the hotel, any delay in

necessary and essential construction or renovation of the hotel, arrest or seizure under legal process, strike, lockout, work

stoppage, other restraints of labour, either partial or general from whatever cause. In the event of cancellation due to

occurrence of a force majeure event, neither party shall have any obligation to the other party.

e. INTELLECTUAL PROPERTY RIGHTS

1 The Sponsor /exhibitor grants Elders Clubs International Foundation a limited non-exclusive, royalty free license in perpetuity

to use the Sponsor's / exhibitor's trademarks in connection with the Mela. Should the Sponsor / exhibitor have official company

trademark “guidelines for use”, in order for such Guidelines to apply to Elders Clubs International Foundation's use of the

trademark under this Agreement, Elders Clubs International Foundation must agree to such Guidelines in writing prior to the

Effective Date.

2 Subject to Clause e.1, the Sponsor / exhibitor agrees to the reproduction by or on behalf of Elders Clubs International

Foundation of the Sponsor's / exhibitor's trademarks in any form of media for the purpose of advertising, marketing

and publicizing the Event.

3 The Sponsor / exhibitor shall indemnify and keep indemnified Elders Clubs International Foundation from and against all

claims, damage, losses, costs (including, without limitation, all reasonable legal costs), expenses, demands or liabilities arising

out of or in connection with the exercise by it of the Sponsorship / exhibition Rights, whether or not in accordance with this

Agreement and the use by Elders Clubs International Foundation of the Sponsor's / exhibitor's trademark in the manner set out

above, provided always that claims, damages, losses, costs (including, without limitation, all reasonable legal costs),

expenses, demands or liabilities do not arise out of Elders Clubs International Foundation's misuse of any pre-agreed

Guidelines pursuant to Clause e.1. For the avoidance of doubt, this Agreement does not grant the Sponsor / Exhibitor the right

to use any Elders Clubs International Foundation logo, trademark, service mark or other Elders Clubs International Foundation

intellectual property rights without prior written consent from Elders Clubs International Foundation.

f. GST LIABILITY TOWARDS SALES OF GOODS & SERVICES & OTHER STATUTORY COMPLIANCES

All liabilities of the exhibitor / sponsor selling their goods and services at the Mela under various provisions of the GST Act 2017

including but limited to Section 2 Sub Section (20) and Section 24 sub section (1) of CGST Law shall be entirely upon such

exhibitor or sponsor. The exhibitor / sponsor shall be responsible for obtaining necessary permissions, including those required

by the exhibitors / sponsors from outside the state of Telangana; and the Elders Clubs International Foundation shall have no

role in the same. Any consequences of the exhibitor's / sponsor's failure to comply with such laws and other statutory

compliances in force shall entirely be borne by such exhibitor / sponsor.
