United Towers Philippines “Mediation Service Agreement” for the Internship and Traineeship USA Program This agreement and the details of the matters listed below shall be effective from the date of signing. The contents of this document must be read first before signing. Know that the following conditions are binding and you commit yourself to be bound by these conditions. This agreement and the details of the matters listed below shall be effective from the date of signing. The contents of this document must be read first before signing. Know that the following conditions are binding and you commit yourself to be bound by these conditions. The signing of this document means that the parties involved commit and agree to all the conditions in this agreement.

1-PARTIES

1.1. United Towers Philippines Inc. (herein after written as “UT Philippines”)

1.2. The Internship or Traineeship applicant _____________________________________________________________________ (herein after written as the “PARTICIPANT”)

2-CONCEPTS AND FEATURES

2.1. Internship, Traineeship USA Program:Internship and Traineeship are programs on international cultural exchange and interaction, supported by the United States of America. Internship and Traineeship USA Programs are not organized directly by UT Philippines. This program is organized by U.S. Department of State authorized service provider organizations (hereinafter called “SPONSORING ORGANIZATIONS”).

The following are Internship and Traineeship USA program conditions that meet the definition of Internship and Traineeship participants described in detail in paragraph 2.2 of this contract;

1.) The Internship program provides currently enrolled college students and graduates of not more than one year, the opportunity to experience training in companies in the U.S.A. for a maximum period of 12 months. At the end of the internship period, participants are given the right to stay and travel for up to 25 days. The regulations that govern these programs can be found at the US Department of State website at the following location: http://j1visa.state.gov/programs/intern/ 2.) The Trainee program provides applicants who have graduated for more than one year and have at least one year of proven professional experience, the opportunity to experience training in companies in the U.S.A. for a maximum period of 12 months (for Hospitality, Culinary, and Tourism) and 18 months (for all other fields). At the end of the internship period, participants are given the right to stay and travel for up to 25 days. The regulations that govern these programs can be found at the US Department of State website at the following location: http://j1visa.state.gov/programs/trainee/

Internship and Traineeship are not language programs and are not designed for participants to experience a tourist excursion or to earn money to generate revenue. Participants should not use this program as a way of finding a permanent job overseas.. The objective of Internship and Traineeship is to give participants the opportunity to acquire a period of training in the U.S., to get to know American culture while achieving this through minimal cost. It will provide an opportunity to have a foreign experience while obtaining knowledge and skills. Official information about Internship and Traineeship USA Programs are also available from U.S. consulates or embassies.

2.2. Internship and Traineeship USA Program Participant:

An Internship participant must be between 18 to 28 years old, who at least has an upper-intermediate level of conversational English. The participant may be currently enrolled in a Bachelor or Associate degree in an accredited post-secondary educational institution or have graduated with a Bachelor or Associate degree for not more than 12 months. Vocational students cannot participate in this program. United Towers Philippines reserves the right to obtain records providing proof of the said requirements from the participant or the person who signed this contract.

A Traineeship participant must be between 21 to 34 years old, who at least has an upper-intermediate level of conversational English. The participant must be a graduate of more than one year with a Bachelor or Associate degree in an accredited post-secondary educational institution. The participant must have at least one year of work experience outside the U.S. related to the field applied, which may include college trainings or practicum. Vocational students cannot participate in this program. United Towers Philippines reserves the right to obtain records providing proof of the said requirements from the participant or the person who signed this contract.

2.3. Sponsoring Organization:

Authority is given by the U.S. government to SPONSORING ORGANIZATIONS as organizers of the Internship and Traineeship programs and providers of the DS-2019 Form and other necessary documents. They are required to provide work placements which may or may not cover accommodation and/or provide transportation facilities, to provide payments to PARTICIPANTS on behalf of their employers abroad; and to perform all these services in a good and professional manner. SPONSORING ORGANIZATIONS are organizations such as IEE, CIEE, CICD, AAG, ICCE, CHI, ASSE, ASPIRE, and BluePoints. UT Philippines is the official representative of these organizations.

Participation in the Internship and Traineeship USA Program, and all official transactions required for the said programs are carried out by having a licensed SPONSORING ORGANIZATION. In addition, the Internship and Traineeship USA Program provides support services during the stay of the PARTICIPANT in the United States. The PARTICIPANT and UT Philippines are required to sign this agreement pertaining to services and agreements under the Internship and Traineeship USA Program, ensuring that both agree and accept the general rules in this agreement.

2.4. Intermediation Service:

UT Philippines offers services for both SPONSORING ORGANIZATIONS and the PARTICIPANT. UT Philippines mediates between the US Sponsoring organization and the participant, facilitates communication between them, organizes the service of documents and exchange of payments. This agreement will be referred to as “INTERMEDIATION SERVICES”.

Under INTERMEDIATION SERVICES, UT Philippines and SPONSORING ORGANIZATIONS shall work to produce the DS-2019 application form needed for VISA application. UT Philippines will facilitate payments between the SPONSORING ORGANIZATION and the PARTICIPANTS for processing of the said form. In addition, SPONSORING ORGANIZATIONS shall provide support and consultation for problems encountered by the PARTICIPANT during the Internship or Traineeship USA Program.

3-SUBJECT

The PARTICIPANT and SPONSORING ORGANIZATIONS are subject to the agreement “INTERMEDIATION SERVICES” prepared by UT Philippines, which defines the mutual rights and liabilities between both parties.

4-RECIPROCAL RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. General Principles:

4.1.1. The PARTICIPANT must comply with all the rules regulated by the U.S. Government and institutions and the SPONSORING ORGANIZATION within the framework of the Internship or Traineeship program.

4.1.2. The PARTICIPANT must understand and accept the eligibility requirements for Internship and Traineeship stated in section 2.2 of this contract. PARTICIPANTS who would like to apply for a different field not related to their degree, must have at least five (5) years of experience in the field desired.

4.1.3. The PARTICIPANT must acknowledge that all information he/she provides in all necessary and relevant documents must be true. If there are any inconsistencies in the documents, or information given is contrary to what is given in the documents, application procedures, and/or visa applications during the Internship or Traineeship program, all incurred legal or criminal liabilities will be subjected to the PARTICIPANT. The PARTICIPANT must take the legal liabilities of any damages that may arise to UT Philippines. All damages to third parties shall be also incurred by the PARTICIPANT.

4.1.4. UT Philippines and/or the SPONSORING ORGANIZATION’S presentation of the program, e-mails sent for information, brochures, booklets, and reading materials must be studied and fully understood by the PARTCIPANT.

4.1.5. The PARTICIPANT is required to always update UT Philippines of their contact details. UT Philippines will send all updates, announcements, and news bulletins, through emails. UT Philippines and SPONSORING ORGANIZATIONS will use the email address

provided by the participant to communicate and send emails to the PARTICIPANT. The PARTICIPANT is required to check e-mails regularly.

4.1.6. The PARTICIPANT must return to the Philippines at the end of the program and is encouraged to report personally to the UT Philippines Office and is required to send the copy of the Arrival Stamp by the Philippine Immigration Officials on the page of the PARTICIPANT’S passport, via fax or email.

4.1.7 The PARTICIPANT MUST NOT apply for a change of visa status while in the United States.

4.1.8 The PARTICIPANT must agree to inform UT Philippines and the SPONSORING ORGANIZATION of his/her whereabouts in the United States during the work period and the extended 25-day travel grace period. A copy of the final return electronic ticket flight back to Manila shall be sent to UT Philippines for record purposes via email to [email protected]

4.1.9 The PARTICIPANT must hereby agree to return to the Philippines after the Internship or Traineeship period inclusive of the 25-day travel grace period; the PROGRAM END DATE shall automatically become the maximum period of stay in the United States.

4.1.10 The PARTICIPANT agrees that failure to return on the designated Program End Date shall automatically bind the PARTICIPANT to the following conditions:

4.1.10.a. That the PARTICIPANT’S parents, guardians and/or sponsors will be liable for all damages that UT Philippines and the SPONSORING ORGANIZATION will incur subject to the minimum amount of Twenty Five Thousand US Dollars ($25,000.00 USD) or its equivalent in Philippine Pesos to be settled within one (1) month upon demand;4.1.10.b. That the PARTICIPANT further certifies that his/her parents, guardians and/or sponsors are fully aware and hereby bind themselves to the responsibility/liability as stated in item 4.1.10.a. by signing a separate agreement form called Form D. Certificate of Financial support to be read, signed, notarized and submitted to UT Philippines along with submission of this Form.

4.2. Job Training Conditions & Job Training Placement in the United States and Related Principles:

4.2.1. The PARTICIPANT will officially be an intern or trainee, and must comply with the terms of the working environment, should bear with the necessary responsibilities, and must agree to undertake and act accordingly to the rules set by their employer.

4.2.2. The PARTICIPANT and the SPONSORING ORGANIZATION’S hiring process for training placements will be held in the Philippines using job fairs, virtual hiring methods or other means as deemed best by UT Philippines.. The PARTICIPANT cannot apply for a new job once hired by an employer. The work agreed upon during hiring cannot be modified. Otherwise, the SPONSORING ORGANIZATION will cancel the application of the PARTICIPANT and the Policy on Refund will apply.

The PARTICIPANT must inform their SPONSORING ORGANIZATION and UT Philippines and ask for their consent if they wish to find another job or switch to another job. Valid reasons for this are the following: a.) the employer fails to fulfill the terms and conditions specified in their form, b.) there are serious problems in the workplace that affect all workers c.) the employee reports a health problem in the workplace conditions certified by an American doctor d.) the average weekly working time specified in the form of the employer is not followed two complete working weeks in a row. e.) the PARTICIPANT has committed a grave offense or crime.

Even if there is bankruptcy in the place of work the PARTICIPANT cannot leave the job until the SPONSORING ORGANIZATION verifies the condition of the work place. Independent verification shall be done by the SPONSORING ORGANIZATION, which reserves the right to accept or deny the request of the PARTICIPANT to leave and find another job. If the PARTICIPANT cancels the program for reasons not stated above, all rights and permission from the SPONSORING ORGANIZATION will be lost and the PARTICIPANT must return to his/her country within ten (10) days.. The PARTICIPANT must inform and give all new work place details to UT Philippines and to the SPONSORING ORGANIZATION in case of change of jobs during or after verification period.

4.2.3. A PARTICIPANT may specify desired work preferences in his/her resume. However there is no assurance that desired work preferences will be granted. SPONSORING ORGANIZATIONS however, will work to find placements primarily related to the desired work preferences. In the absence of desired work preferences, PARTICIPANTS will be presented with alternatives.4.2.4. The PARTICIPANT, by accepting a position in the job placement, agrees to be the natural and legal person directly liable to the employer, agrees to adhere to the set work schedule, and is required to work under the contract until the specified starting and ending dates of employment during the application process, as reported to UT Philippines. After arriving in the U.S. and while working for an

employer, the PARTICIPANT cannot leave the job at any time. Otherwise, the SPONSORING ORGANIZATION may terminate the program and may terminate all rights of the PARTICIPANT in the program.

4.2.5. The PARTICIPANT must arrive at the designated work place before the job start date, otherwise late arrival may result to cancellation of the whole program.

4.2.6. The PARTICIPANT must inform UT Philippines of instances when the PARTICIPANT’S job position is changed due to inability to execute the job well, due to lack of language or other skills, or due to changes in the employer requirements. UT Philippines is not responsible for change of jobs or positions due to the reasons stated and has no obligation to contact and re-settle the new conditions with the SPONSORING ORGANIZATION.

4.2.7. The distribution and intensity of working hours shall be set and determined by the employer. The PARTICIPANT accepts and agrees that UT Philippines and the SPONSORING ORGANIZATION have no authority to change the work hours. The working hours cannot exceed the maximum hours as stated in the U.S. Labor Code. In addition, the working hours may decrease or may be lessened in certain circumstances such as economic crises, natural phenomena, or PARTICIPANT emergencies among others. However UT Philippines will act and cooperate in facilitating these cases in favor of the PARTICIPANT.

4.2.8. PARTICIPANT disputes that may arise from the length of working hours, time zone differences, difficulty of transportation, limited communication facilities, and other difficulties, such as modified duties and positions from the employer, and other similar cases are not within the responsibility of UT Philippines. The task of UT Philippines is nothing more than to report to the SPONSORING ORGANIZATION however UT Philippines will cooperate in facilitating with the above premises.

4.2.9. After arrival in the U.S. in the instance of disputes between the employer and PARTICIPANT, and in cases that the PARTICIPANT fails to comply with requirements, UT Philippines will not be held responsible for the loss of job of the PARTICIPANT and the PARTICIPANT cannot claim any rights from UT Philippines.

4.2.10. The employer shall determine the start and end of working dates, places of duty of employees, positions, and reserves the right to terminate contracts as stated in U.S. Law. For this reason, UT Philippines will not be held responsible for disputes that may arise between the PARTICIPANT and employer.

4.2.11. SPONSORING ORGANIZATION, all information regarding the PARTICIPANT’S employment must be communicated by the employer and must be confirmed by the employer to the PARTICIPANT to ensure that the PARTICIPANT understands the conditions set by the employer. The PARTICIPANT must check the information and ask questions from the employer about the intended work needed for the business. The PARTICIPANT must arrive on time and be ready to work. Employer commitment is based on good faith only. As such, UT Philippines will be acting in favor of the PARTICIPANT. Provisions in the following article will apply.

4.2.12. PARTICIPANT, in instances that the PARTICIPANT has fulfilled the agreement and has already arrived at the workplace on time, and the workplace is not yet ready to operate or is not yet accepting work, for reasons entirely caused by the employer, the PARTICIPANT must immediately notify the SPONSORING ORGANIZATION and UT Philippines. The SPONSORING ORGANIZATION and UT Philippines on behalf of the PARTICIPANT will consult the employer and try to resolve the problem. If despite this, the employer still cannot provide work for the PARTICIPANT, UT Philippines acting in favor of the PARTICIPANT shall contact the SPONSORING ORGANIZATION to address the problem.

4.2.13. In cases where the PARTICIPANT decides to change jobs, or to terminate the current job for any reason, ahead of the time of the scheduled end date of work, or decides to return to the Philippines or to another country, he/she must be aware, agree, and accept that no refunds will be made.

4.2.14. UT and the SPONSORING ORGANIZATIONS will not be held responsible if the PARTICIPANT encounters problems because of the changes of dates in the program upon his/her request, after the job placement. The PARTICIPANT knows and agrees that he/she cannot change the work start and end date of the job. In cases of problems regarding this, UT Philippines and the SPONSORING ORGANIZATION will not be obligated to find another job for the PARTICIPANT.

4.2.15. In case of receiving negative information regarding the work place or employer and the job is no longer available based on this information before the departure to USA after the job placement UT Philippines shall not be held responsible. SPONSORING

ORGANIZATIONS will arrange another job placement for the PARTICIPANT and UT Philippines shall inform the PARTICIPANT of the new job replacement offer.

If the PARTICIPANT has departed for the United States after job placement, once the PARTICIPANT receives negative information about the destination, this must be taken into account. If the job is no longer available once the PARTICIPANT arrives, the SPONSORING ORGANIZATION must be informed, and the PARTICIPANT will be deployed to a new job. The SPONSORING ORGANIZATIONS and UT Philippines must be informed or notified of the changes of the situation. UT Philippines and the

SPONSORING ORGANIZATION shall not be held responsible.

4.2.16. There are circumstances of delay in the start of work such as processes required before the start of official work, like orientation or training for days or weeks, awaiting the results of drug tests, and other instances not under the direct control of SPONSORING ORGANIZATION such as bad weather conditions, late arrivals of social security numbers and other circumstances. One (1) day to two (2) weeks delay in work is natural and accepted. Although it is rare, UT Philippines and the SPONSORING ORGANIZATION will not cover material and moral damages that may occur within that time period. The PARTICIPANT shall shoulder the initial payment for accommodation and other living expenses at the first few weeks of stay in the United States and is recommended to have a minimum pocket money of $1,500 USD.

4.2.17. PARTICIPANT, in cases wherein the PARTICIPANT’S salary is not paid in whole or partly, or delay of salary payments occur, UT Philippines will not be held responsible. In such cases the PARTICIPANT should contact UT Philippines and the SPONSORING ORGANIZATION. UT Philippines and the SPONSORING ORGANIZATION will make necessary initiatives in favor of the PARTICIPANT to address the problem.

4.2.18. PARTICIPANT, U.S. laws and regulations state that drug testing, HIV testing and/or vaccination can be required in the workplace. UT Philippines will not be held responsible if the PARTICIPANT does not agree to take the tests and encounters problems due to rejection of having tests or vaccinations by the PARTICIPANT. This may be a reason for the termination of the job and cancellation of the program.

4.3. Principles Relating to Accommodation

4.3.1. Accommodation is not part of the Internship and Traineeship program. The PARTICIPANT accepts and understands that securing such is their responsibility. The PARTICIPANT may be notified in advance if the employer provides accommodation and the terms of the provided accommodation. The PARTICIPANT must fully comply with the terms and conditions of the provided accommodation of the employer and payment must be deposited at the specified time if needed. Acceptance of the terms and conditions of the accommodations are mandatory. The PARTICIPANT must understand that accommodation is not a responsibility of the employer or UT Philippines. However in cases where accommodation is not provided by the employer, UT Philippines may assist to find temporary housing.

For accommodations, the PARTICIPANT may need to sign a separate agreement with the housing owner and must be the one liable for all responsibilities within the contract. Any failure to comply with the contract will be held against the PARTICIPANT and not with UT Philippines. The accommodation itself must comply and deliver the services written in the contract and must agree to compensate any losses that results within the accommodation premises.

4.3.2. UT Philippines, in the instance that the employer does not provide accommodation, the PARTICIPANT may contact UT Philippines and ask for assistance to help find accommodation or temporary hostel/student dormitories. UT Philippines shall give the necessary information of hostels/dormitories to the PARTICIPANT. UT Philippines, does not own and may not provide any accommodation services, and may only assist in finding accommodation such as houses, apartments, and any other housing facilities, and has no authority and responsibility to adjust and control the locations of the housing facilities. Therefore any problems with the accommodation are not the responsibility of UT Philippines.

The PARTICIPANT must agree and understand that he/she has the full responsibility for the accommodation expenses which vary by location (city) and the type of accommodation, and will usually cost $75 to $250 USD per week. The PARTICIPANT must be aware of these variations. In cases where accommodation is included, the PARTICIPANT will be informed before the job placement if the PARTICIPANT is obliged to stay in the arranged accommodation or not, and if the PARTICIPANT has a right to choose another accommodation option or not. The PARTICIPANT shall settle all accommodation processes prior to start of work placement. If

accommodation is included in the chosen job of the PARTICIPANT, the PARTICIPANT cannot remove or change any terms and conditions regarding the provided accommodation, otherwise the SPONSORING ORGANIZATION may cancel the program.

4.3.3. The PARTICIPANT or other PARTICIPANTS who will share accommodation shall accept the responsibility for any liability or debts in accommodation left behind in the United States.

4.4. Orientation and Principles Relating to Matters to be made in the U.S.

4.4.1. The PARTICIPANT must complete the online/offline orientation or read the pre-departure handbooks/documents given by the SPONSORING ORGANIZATION / HOST ORGANIZATION before leaving the Philippines. Orientation is required and necessary. If the PARTICIPANT is unable to complete the orientations, the program may be cancelled by the SPONSORING ORGANIZATION and the PARTICIPANT will lose all rights to the program.

4.4.2. PARTICIPANT, all safety, health, legal, environmental, political, cultural, and religious traditions and conditions on various matters are provided for informational purposes through e-mails, booklets, brochures and materials given. The PARTICIPANT must read the materials given, carefully take notes and listen to the online orientation where essential details will be given about the workplace in the U.S. The PARTICIPANT must understand and accept all the details and information given in the orientation. In cases where the PARTICIPANT may violate any laws, rules, or traditions, after obtaining prior knowledge on the said matters, the PARTICIPANT must accept full responsibilities and consequences arising from the violations made.

4.4.3. PARTICIPANT, after reaching the U.S. the PARTICIPANT must create a record in the SEVIS system within three (3) days after arrival in the U.S. The PARTICIPANT must confirm that the information recorded by the employer is the same in the SEVIS system. The PARTICIPANT must provide all information regarding the accommodation address, in the SEVIS system. the PARTICIPANT must update any changes in information, such as a change of business address after confirmation or accommodation address, otherwise the SPONSORING ORGANIZATION will cancel the program and the PARTICIPANT will lose all rights and have to return to his country.

4.4.4. PARTICIPANT, after arriving in the U.S. as what was specified in the program application and during the orientation in the Philippines before leaving the country, the PARTICIPANT must get a social security number. Procedures are given through e-mails and the online orientation/ pre-departure handbooks taken/read prior to leaving the Philippines. UT Philippines will not be responsible for any delays or problems in the application for the social security number.

4.5. Travel and Related Procedures:

4.5.1. Any travel the PARTICIPANT may take before the start, during, or after the work program duration, will be under the PARTICIPANT’S own risk. If the PARTICIPANT wants to use motor vehicles, he/she must obtain the required licenses, cover the cost insurance, and accept all liabilities and risks that may arise. The PARTICIPANT must comply with all motoring and non-motoring laws and regulations in the State he/she is in and must comply and accept full responsibility for any legal or financial penalties he/she may incur.

4.5.2. UT Philippines has no obligation to pick up PARTICIPANTS from the airport upon arrival in US. In cases where the employer commits to pick up from the airport, the PARTICIPANT must agree and understand that all terms and conditions are between the PARTICIPANT and the employer. UT Philippines will not be responsible for any problems with transportation. UT Philippines may give information of companies providing airport pick up if required by the PARTICIPANT and if UT Philippines has the information. The PARTICIPANT may purchase the pick up service and must accept the terms and conditions of the pick up service and UT Philippines will not be held responsible for any problems or liabilities that may be encountered with the pick up service.

4.5.3. UT Philippines may assist in flight ticket bookings after the PARTICIPANT’S visa has been granted. Once the PARTICIPANT makes a request, UT Philippines will give the PARTICIPANT airfare quotations and ticket information details. The PARTICIPANT is given liberty to search for his/her own airfare ticket and may compare it to airfare ticket details provided by UT Philippines. The PARTICIPANT may choose the most appropriate airfare ticket he/she can afford. UT Philippines does not sell air tickets and will not charge for services and assistance regarding the purchase of air tickets.

Once the PARTICIPANT chooses a ticket through UT Philippines’ assistance, UT Philippines will book the ticket and make the necessary arrangements with the airline company on behalf of the PARTICIPANT. UT Philippines will notify the PARTICIPANT of all the flight details and the deadline of the payment. The PARTICIPANT will be responsible for airfare ticket payment.. After payment, the airline company will send flight ticket details to UT Philippines via e-mail. The PARTICIPANT may request a copy of the ticket to be sent to the PARTICIPANT’S e-mail. The PARTICIPANT, with the help of UT Philippines, will be informed of the ticket rules and airfare details before buying tickets (change of return date will be a separate payment, the ticket has a valid date range, etc.)

Some problems may arise with the airline company in the purchase of tickets or flight details, UT Philippines will not be responsible such problems. The PARTICIPANT must understand and accept that the service of UT Philippines only extends to assistance in finding tickets. In cases where the PARTICIPANT has already booked a ticket and wants to change the return date, or change the type of seat class, there is no assurance that the airline company can grant such. To reduce the risk of delay or problems with regards to the said changes, the PARTICIPANT is advised to request the preferred changes at least 1 month before the flight date. However, there is no guarantee that the airline company can grant the requested changes, especially in seat class, due to few seats available in first class, and difficulty in getting seating at peak seasons from March until end of August. The PARTICIPANT must understand and accept that requests for change of return tickets cannot be guaranteed for various reasons such as the unavailability of the desired date. The Participant must understand that UT Philippines only assists in finding air tickets and is only a mediator between the airline company and the PARTICIPANT and is not liable for any problems that may arise out of airfare purchase. The PARTICIPANT must provide the VISA for ticketing procedures.

The PARTICIPANT must NOT book for airfare tickets without receiving the visa stamp in the PARTICIPANT’S passport. Without the passport or visa, air tickets will not be processed. The PARTICIPANT will be responsible for any fines resulting from loss of VISA or passport.

4.6. DS-2019 Form, J-1 Visa, Insurance, and Related Principles:

4.6.1. The DS-2019 Form is required for VISA application. The DS-2019 Form must be issued under the PATICIPANT’S name and must state details of the SPONSORING ORGANIZATION. It is the responsibility of UT Philippines through the SPONSORING ORGANIZATION to provide the DS-2019 Form at the time needed. The PARTICIPANT is required to provide all the information needed to process the form and must provide needed payments at the specified time.

4.6.2. UT Philippines, shall ensure to deliver the health and insurance information document to the PARTICIPANT which includes the information regarding the insurance terms and conditions, coverage, insurance policy, and insurance certificate number. The insurance will be valid between the program start date and program end date. UT Philippines has the right to procure information from the online account of the PARTICIPANT and the SPONSORING ORGANIZATION’S website to provide information and details for insurance coverage. The PARTICIPANT must read the content of the insurance and must understand and agree to the scope of the insurance coverage. Insurance coverage cannot be separate from the work program, and must be purchased with the program. If the PARTICIPANT is not satisfied with the coverage of the insurance, the PARTICIPANT may purchase insurance additionally where the payments will be covered by the PARTICIPANT. Laws governing insurance coverage will hold them liable for inadequate services.

4.6.3. The PARTICIPANT must accept and agree that the he/she cannot enter the US before the insurance and program start date and should leave the US before the program and insurance end date. The Participant is allowed to stay and travel in the US for up to 25 days after the program end date. The Participant shall be responsible for his/her insurance in case the internship insurance does not cover the 25-day travel period after the program end date.

The PARTICIPANT must agree and accept that the Internship and Traineeship program is under the J-1 VISA Exchange Visitor Program for Cultural Exchange. The PARTICIPANT DS-2019 dates cannot be changed/extended beyond the legal maximum period allowed by the US Department of State. However there are some cases where the PARTICIPANT may apply for extension of the Program End Date if he/she is allowed to extend, subject to the program length of the PARTICIPANT’S current program. The PARTICIPANT is advised to consult the US SPONSOR ORGANIZATION regarding request for extension.

4.7. Other Procedures:

4.7.1. UT Philippines does not own and cannot control the airline, ship, bus, or other transportation companies, food service, entertainment providers, or any goods and services used by the PARTICIPANT. The PARTICIPANT must understand that these services may take time to use or acquire. UT Philippines is not responsible for any negligence in these services.

4.7.2. Epidemics and infectious diseases, natural disasters, force majeure, acts of war or public acts, riots or insurrections, strikes or other labor movements, caused by any kind of criminal or terrorist activities, high or low-grade accommodation bookings, houses, flats or other accommodation facilities, structural or other defective conditions (heating or plumbing electrical and structural problems) means of transport, aircraft, mechanical or other failures, time of arrival or any fault of transport mechanisms, dangers associated with wild animals, food poisoning and health problems, illness, absence, inaccessibility or poor quality of medical care, medical or other emergencies that may arise, difficulty of evacuation, damage, injury, death, delays or inconvenience in the provision of goods and services, for any reason, are not directly controlled by UT Philippines and as such will not be held responsible forth said cases. UT Philippines will also not be responsible for any physical/moral losses/damages.

4.7.3. PARTICIPANT accepts that UT Philippines has the right to use PARTICIPANT’S testimonials, photographs or visual materials which are shared with UT Philippines, in all kinds of text, photographs, visual materials, brochures, books, booklets, posters, newspapers, printed materials, such as news or ads, web pages, or visual media.

4.7.4. Foreign nationals studying in the Philippines are required to acquire and submit a VISA from their own country. Otherwise, their program will be cancelled and there will be no refunds provided.

4.7.5. UT Philippines, violation of Internship and Traineeship guidelines and rules may result to the PARTICIPANT’S expulsion from the program by the SPONSORING ORGANIZATION. UT Philippines is not responsible for the violations and has no duty or authority to solve the situation. The fees paid by the PARTICIPANT will not be refunded. If the program is cancelled after payment due to violations, the PARTICIPANT must agree that UT Philippines will not be responsible for any damages or suffering the violations may cause any of the parties involved in the program. The PARTICIPANT’S insurance program will be terminated and the PARTICIPANT must immediately return home.

4.7.6. UT Philippines, by signing this agreement the PARTICIPANT must agree that UT Philippines has a right to cancel the program/ remove the PARTICIPANT from the program by signing of this contract from any time after the start of the program until end of the program in cases where UT Philippines is convinced that the PARTICIPANT acts inappropriately in any stage of the program; where the PARTICIPANT can cause danger for other people or the PARTICIPANT’S acts are harmful for Internship or Traineeship. The PARTICIPANT must agree and accept that UT Philippines will not be held responsible for any costs incurred.

4.7.7. UT Philippines, the PARTICIPANT may violate this agreement through giving incomplete or false information about himself, and giving documents or information that may be later proved as false documents. This is also applicable to the PARTICIPANT’S VISA interview. If the U.S. consulate/embassy proves any false information in the transcript, grades, or certificate of recognition given, the program of the PARTICIPANT may be cancelled and program fees will not be refunded. Failing to fulfill and perform the responsibilities under this contract and any damage or demand of compensation resulting from the aforementioned facts must be the responsibility of the PARTICIPANT. The PARTICIPANT must accept and agree that there will be no refund of fees.

4.7.8. PARTICIPANT, in cases where the VISA is denied for reasons outside the responsibilities of UT Philippines, or the program is delayed because of security investigations, or the participant is withheld at any point of entry to the U.S. UT Philippines will not be held responsible. Refund and cancellation policies discussed in Section “5-REGISTRATION, PAYMENTS, AND RETURNS”, apply to this and similar cases. The PARTICIPANT must understand the refund and cancellation conditions and late payment penalties specified in this contract.

5-Registration, Payments, and Refunds:

5.1. UT Philippines organizes the transactions of the fee and/or fees to the SPONSORING ORGANIZATION for the PARTICIPANT.

The total program fees may be paid in full or in the increments stated in section 5.3.

5.2.1. PARTICIPANT, the U.S. Student Exchange Visitor Program (SEVP) requires a Student and Exchange Visitor Information and Security System (SEVIS) fee worth $180, which covers the program costs of corresponding U.S. authorities. The U.S. Embassy requires a Machine Readable Visa (MRV) Fee of $160 to be paid directly to the US Embassy at any BPI branch in the Philippines. The said fees are subject to changes by the said institutions. These institutions do not offer refunds for the said fees. UT Philippines will not be responsible for any future price increases or charges.

5.2.2. Internship and Traineeship Program fees are subject to future changes by UT Philippines. The PARTICIPANT is required to submit bank deposit slips of all payments made to UT Philippines for proof of payment and record purposes.

5.3. The PARTICIPANT is responsible to read, understand, and shall agree to accept the Payment Process of the program fees for Internship and Traineeship as stated below:

5.3.1. First Program Fee Deposit. Once an applicant qualified and decides to apply for the Internship or Traineeship program with UT Philippines and signs the Terms and Conditions for Internship or Traineeship, the applicant is required to pay the First Program Fee Deposit of the chosen Internship or Traineeship program duration. Once the First Program Fee Deposit is paid, the applicant is considered an official PARTICIPANT of the Internship or Traineeship program and the mutual responsibilities of both the PARTICIPANT and UT Philippines become effective.

After payment of the First Program Fee Deposit, the Participant is responsible to ensure submission of all application requirements; properly accomplished resumes, cover letter, uploaded video, and other necessary requirements to UT Philippines. UT Philippines is responsible to send the participant application details; accomplished resumes, cover letter, uploaded video, and other necessary requirements to US Sponsor Organizations and Host Organizations in the objective of arranging sponsor and employer interviews for the participant.

5.3.2. Second Program Fee Deposit and SEVIS Fee. Once an applicant passes an employer interview and accepts and signs a job offer, the applicant is required to pay within three (3) days, the Second Program Fee Deposit of the chosen Internship or Traineeship program duration, the Student and Exchange Visitor Information System (SEVIS) Fee, and the Machine Readable Visa (MRV) Fee. The Applicant must pay the MRV Fee directly in peso amount to any Bank of the Philippine Islands (BPI) branch.

After payment of the Second Program Fee Deposit, SEVIS Fee, and MRV Fee, the PARTICIPANT is responsible to provide all necessary documents, information, and signed forms to UT Philippines as needed by the US Sponsor Organization and the US Host Organization to process the DS-2019 Form.

5.3.2. Third Program Fee Deposit. Once the DS-2019 Form is received by UT Philippines, the applicant is required to pay within three (3) days, the Third Program Fee Deposit of the chosen Internship or Traineeship program duration. UT Philippines must provide the applicant a VISA interview appointment schedule and will facilitate a VISA orientation session for the applicant.

5.3.3. Necessary documents for publication of the DS-2019 are; signed Sponsor Organization contract, signed job contracts, student certificates, official transcript of records, recommendation letters, valid passport photocopies, and payment of until the Second Program Fee Deposit. The publishing of the DS-2019 Form will start in 15-20 business days after the processing of the form. All fees must be paid (First, Second, and Third Program Fee Deposit, SEVIS Fee, MRV Fee) before delivery of the DS-2019 Form.

In cases of need for re-publication of the DS-2019 Form for any reason (wrong information given, loss, etc.) the PARTICIPANT must pay $250 for processing of the new DS-2019 Form.

5.4. The PARTICIPANT is responsible to read, understand, and shall agree to accept the Policy of Refund for Internship and Traineeship as stated below:

5.4.1. Due to similarity of names during the visa interview, a variety of security measures may be employed and safety investigations may be done. If the PARTICIPANT will not be able to participate in the Internship or Traineeship USA Program because of the delays related to these investigations, UT Philippines and the SPONSOR ORGANIZATION will provide intermediary service for this. In case the PARTICIPANT cancels the Internship or Traineeship USA Program application during the name investigation, $1,500 out of the total Program Fee is non-refundable while the rest of the total payment shall be refunded. Name control and security investigations are required by U.S. consulates/embassies for visa applications. In general, higher name control will be employed to common names (Juan De La Cruz, Joy Reyes, etc.) but this is not always the case. Therefore if the name of a PARTICIPANT is common, it is advised that the PARTICIPANT apply as early as possible and complete the interview process quickly by entering the possible name control and security investigation as recommended. These investigations are required by U.S. authorities to obtain clean information for the U.S. Embassy to print the U.S. VISA. The process in most cases takes place within 3 weeks to 3 months, and in some cases may even prevent the PARTICIPANT from continuing with the program. UT Philippines and SPONSOR ORGANIZATIONS have no influence or authority over the process of the U.S. consulate/embassy. 5.4.2 The following are possible cases that might occur in different stages before the PARTICIPANT is able to complete the whole application process, which are valid for refund, provided the participant shall submit necessary documents for proof. In such cases $1,500 out of the total Program Fee is non-refundable while the rest of the total payment shall be refunded.1.) In cases of unexpected tragic events seriously affecting the PARTICIPANT or his/her first-degree family members, or unusual unexpected events affecting the general public2.) In cases where the PARTICIPANT has a severe health problem, a certified medical report issued by the hospital is required for submission3.) In cases of death of the PARTICIPANT’S biological parents, or any of his/her siblings die before the issuance of the VISA4.) In cases of political and/or geopolitical problems, security, war, infectious diseases and/or epidemics affecting communities5.) In cases wherein the United States or Philippine authorities affect, limit, or stop the program or the participation of the PARTICIPANT in the program

5.4.3. If the PARTICIPANT has not been scheduled for an Employer Interview within five (5 months) from start date of application, and decides to withdraw his/her application, the PARTICIPANT is entitled to a full refund of the total paid fees provided that:1.) The PARTICIPANT has complied correctly with all application instructions, has accomplished all application requirements properly and has submitted them on time to UT Philippines2.) The PARTICIPANT has not performed adequately or showed poor or improper conduct in all SPONSOR ORGANIZATION interviews such as missing or being late for the scheduled interview3.) The PARTICIPANT has not refused or cancelled any offered or arranged SPONSOR ORGANIZATION or EMPLOYER Interviews since start date of application

5.4.4. PARTICIPANT, if after receiving the visa, the PARTICIPANT cancels the program for any reason other than the conditions stated in Articles 5.4.2 no refunds will be given.

5.4.5 UT Philippines, if the PARTICIPANT has been offered a work opportunity by the SPONSORING ORGANIZATION and the PARTICIPANT does not respond to the offer within five (5) days, this will automatically mean that the PARTICIPANT is no longer interested in pursuing the program and will not be pursued by the SPONSORING ORGANIZATION further. The PARTICIPANT will still need to pay for the DS-2019 fee and the cost of the entire program.

5.4.6. The PARTICIPANT, must return his/her DS-2019 Form to UT Philippines within five (5) days in case of cancellation for any reason after the DS-2019 form has been published.

All types of business disputes arising from this contract shall be handled under the authority of the Executive Office of the Courts in the Philippines.
