Ship Repair Facilities (SRF) Pier and Wharves Project

1. BACKGROUND

The Ship Repair Facilities (SRF) serve as one of the major physical assets of the Port of Subic Bay in attracting different investors, locators, shipping lines, port users and other stakeholders within the Freeport Zone.

The facilities are used for the repair of foreign and domestic naval vessels, and operations such as passenger ships, general cargoes and military ships. Studies conducted to check the structural integrity of the SRF piers and wharves and its structures showed that the said facilities have accumulated defects due to old age and exposures to different stresses/elements, hence the loading capacity and activities on the facility were limited for safer utilization.

In order to retain the full functionality and adopt to new environmental trends and requirements of the facilities to handle future operations as part of the SBMA mandates in expanding its core business, the hiring of Consultancy Services for the Detailed Engineering Design for the Rehabilitation of the SRF Pier and Wharves is necessary.

2. CAVEAT

The information in this TOR is given to assist prospective firms engaged in the consultancy services in the preparation of their proposal and / or serve as a guide in the performance of the required services if awarded the contract. The SBMA does not guarantee the accuracy and completeness of the information contained herein or its various attachments. In all cases, interested parties should conduct and exert their own diligence, investigations, and projections for the proposed project:

None of the information herein will be used by the recipient or any of its employees or representatives in any manner whatsoever, in whole or in part, other than in connection with its evaluation of works for the purposes of considering the provisions of services proposed herein.

Without limiting the generality of the foregoing, the recipient will not reproduce this TOR to any person other than a limited number of the recipient employees or representatives who have a clear need to know such information; and

Any proposed action by the recipient which is inconsistent in any way with the foregoing agreements will require written consent from the SBMA.

While the SBMA is open to all applications from qualified parties, SBMA reserves the right to reject any and all bids, declare a failure of bidding, or not award the contract in accordance with IRR-A Section 41 reservations clause of RA 9184.

3. OBJECTIVES AND EXPECTED RESULTS

This consulting services shall undertake studies and recommendations on financial/economic sustainability, latest technology applicable for ports and marine structures, undisrupted or minimized stoppage of port operations during project execution, restoration of the structures to original strength and/or increasing the load capacity of existing pier and wharves to meet present day standards. Furthermore, the consulting services should be able to:

3.1 Determine the current loading capacity of the piers and wharves and the bearing strength of bollards and fenders.

3.2 Identify the extent of defects on piers and wharves’ structural members, bollards, fenders and other stress bearing members and provide assessment as to the current usage, operations and design life therein.

3.3 Prepare a design for Alava Wharf and its Extension or Reconfiguration that can accommodate two cruise ships at a time with Gross Registered Tonnage (GRT) of 220,000, Length Overall (LOA) of 380 meters and for other commercial cargo vessel usage with bollard capacity of 150 Tons.

3.4 Shall conduct preliminary design and budgetary estimate sufficient to determine whether the repair and/or upgrade of existing wharves and pier is economically feasible; and the preparation of full design(s).

3.5 Determine the appropriate methodology of rehabilitation/repair and/or new construction and, provide implementation plan taking into consideration its current usage/operations.

3.6 Prepare a design that will revive CCTV, water and lighting utilities and shore power system and other necessary components/system to the piers and wharves.

3.7 Provide DETAILED ENGINEERING DESIGN drawings, specifications, cost estimates, Bidding Documents for Infrastructure and other related documents based on the assessment of pier and wharves.

4. PROJECT DESCRIPTION

The SRF piers and wharves consist of the Alava, Bravo, Rivera Wharves and Juliet Pier. These facilities are mainly used for foreign/domestic naval vessels, passenger ships, general cargoes and military ships.

4.1 Existing Condition of Pier and Wharves

4.1.1 Alava Wharf Facilities

The wharf is a 700-meter long concrete deck on piles wharf structure with three access bridges. The original wharf sits on combined timber and reinforced concrete piles while the extension is supported by precast concrete piles. It is located approximately 100 meters offshore from Waterfront Road on the northern side of the Subic Bay Port. The wharf is reasonably exposed to wave action and has experienced damage from typhoon induced wave loadings in the past. Its fender system comprises of a framework of steel “I” piles with timber facing connected to the wharf by propriety rubber buckling fenders and steel fender chains.

Alava Wharf can be classified into two distinct portions – the original wharf, constructed in 1955-56, and the extension that was constructed in 1970. Both wharf sections have deteriorated over the past years. Such deterioration is more evident in the older wharf sections. Urgent repair is required over the length of Alava Wharf to arrest the current deterioration of the facility, which will rapidly advance if no repair works are carried out in the immediate future. The concrete

curbs on the deck are extensively damaged and should be replaced with a detail that incorporates rounded corners to minimize future chipping of the curb.

4.1.2 Rivera Wharf Facilities

Rivera Wharf forms a 915m long berthing face which is roughly rectangular in plan and is located on the east of Alava wharf in the SRF area. The facility comprises a combination of steel sheet piled bulkhead with asphalt and concrete apron and concrete deck on piles wharf. The piles are made of combined reinforced concrete and timber.

4.1.3 Bravo Wharf Facilities

Bravo Wharf runs in a northerly direction for 411meters from the Northwestern edge of Rivera Wharf. It consists of a concrete deck on steel piled structure fronting a steel sheet piled bulkhead with a concrete capping beam.

4.1.4 Juliet Pier Facilities

Juliet Pier is situated between Alava and Rivera West which currently serves as fleet landing for ferries and berthing areas for tugboats.

5. SCOPE OF SERVICES

The Consulting Services shall be carried out consecutively per facilities as follow:

A. Consulting Services for the Repair and Rehabilitation, New Design of Alava Wharf and Extension or Reconfiguration

The services shall cover the structural feasibility for the proposed construction of Alava wharf extension or reconfiguration, site selection, introduction of new technology, preparation of conceptual plans and development costs. Additionally, the services shall cover structural repair, rehabilitation of fenders and upgrading of bollards of Alava Wharf and the new design for its extension or reconfiguration. It shall also cover the system for water supply, lighting and shore power, CCTV and other necessary components/system.

B. Consulting Services for the Repair and Rehabilitation, New Design of Rivera Wharf

The services shall cover structural repair, rehabilitation of fenders, system for water supply, lighting and shore power and CCTV along the East, West, South and North Rivera Wharf including its back up area.

C. Consulting Services for the Repair and Rehabilitation, New Design of Bravo Wharf and Juliet Pier

The services shall cover structural repair, rehabilitation of fenders, system for water supply, lighting and shore power and CCTV along the Bravo Wharf and Juliet Pier.

Additionally, the Consultant shall include provisions addressing the defined objectives but not necessarily be limited to the following:

5.1 Project Evaluation and Field Survey

5.1.1 Review previous studies related to the SRF Piers and Wharves and gather related data and information necessary for the project. The consultant shall also review past investigations made along the SRF. See Annex A for list of available data.

5.1.2 Conduct field survey of the existing piers and wharves, soil and slope protection investigation, perform a non-destructive testing of the structural members. Determine the extent of the structural damages specifically on beams / girders, piles, fenders, bollards and other structures on concrete cracks, spalling, reinforcing bar deteriorations and other possible damages due to stress induced by berthing and natural calamities.

5.1.3 Conduct study on utilities at the SRF such as potable water, electrical power, communications, sewer and oil or fuel waste collection and provide assessment and recommendation to their current status.

5.1.4 Present and evaluate the current condition of the piers and wharves, topographic, seismic, geotechnical analysis and other data based from the result of the investigations as stated under 5.1.2.

5.1.5 Establish design criteria / standards and recommend alternative design options with corresponding financial / cost implications. Determine and recommend the type of rehabilitation / repair works and methodologies such as Fiber Reinforced Polymer (FRP), epoxy injections and / or other applicable retrofitting system. Present comparative analysis of different designs and repair methodologies.

5.2 Design Development

5.2.1 Prepare initial concept designs and budgetary cost estimates (based on the assessment during Project Evaluation) each for the (1) Rehabilitation; and (2) New Design, for all pier and wharves including extension or reconfiguration for Alava Wharf.

5.2.2 Prepare preliminary designs / working drawings and specifications with corresponding construction methodologies and cost plan based on the approved initial concept design.

5.2.3 Conduct work session with the SBMA on the submitted preliminary design and methodology considering Design-to-Cost or Design-to-Value and to the satisfaction of SBMA. The approved design option will proceed with detailed design.

5.2.4 Shall secure all the necessary permits, clearances and other regulatory requirements.

5.3 Detailed Engineering Design

5.3.1 Prepare Detailed Engineering Design drawings, technical specifications, construction methodology and general conditions of the project based on the approved preliminary design under section 5.2 for each pier and wharves which shall cover but not be limited to the following:

5.3.2 Shall prepare Program of Work/Project Schedule (PERT/CPM Network Diagram, Gantt Chart or equivalent) per pier and wharves subject to the approval of the SBMA. Taking into account that no business activities shall be stopped in these areas during construction phase.

5.3.3 Shall prepare the drawing, specifications, Bill of Quantities and Detailed Unit Cost Analysis per pier and wharves and all other documents necessary for SBMA to be able to procure the construction phase.

5.3.4 The Consultant shall adopt the format / template used by the Engineering Department of SBMA and ensure the completeness of plans and documents subject to the approval of SBMA.

5.4 Others

5.4.1 During post consultancy/construction phase, in case Bidders/Contractors’ queries are beyond SBMA’s knowledge, the consultant shall provide assistance to SBMA.

5.4.2 The Consultant shall assemble different teams/staff for each structures namely (1) Alava and Extension/Reconfiguration; (2) Rivera; (3) Bravo and Juliet.

6. TIMELINES AND DELIVERABLES

6.1 Commencement Date and Period of Implementation

The consulting services shall render a total of six (6) months. Refer to Annex B for the indicative timeline of the services.

6.2 Table of Deliverables

6.2.1 The Consultant shall submit but not necessarily be limited to the above deliverables.

6.2.2 A detailed Work and Financial Plan (WFP) shall be submitted by the consulting Firm to SBMA for review within the specified date on the table.

6.2.3 The Inception Report shall include, among others, the approved detailed WFP and the description of the corresponding activities / programs of work / milestones already accomplished / fulfilled by the date of submission thereof, as well as the fulfillment of the services conditions enumerated here in and / or the approaches and methodologies to be utilized in the development of the consultancy services.

6.2.4 An electronic copy of the report shall be provided to SBMA in every submission of the hard copy. Submission of electronic copy of the reports shall be in a form of the following:

6.2.5 The Consultant shall also include in their schedule work plan showing in graphical format (Bar Chart) the timing of the above stated Reporting Requirements / Deliverables.

6.2.6 The Monthly Progress Reports shall include updates on the physical and financial accomplishments of each activity under the WFP, including the difficulties encountered and measures taken to overcome them.

7. EXPERTISE REQUIREMENTS AND QUALIFICATIONS

7.1 The conduct of the consulting services shall be undertaken by a Consulting Firm with the following qualification:

7.1.1 The Consulting Firm must have extensive experience with minimum 5 years in detailed engineering design of port infrastructures.

7.1.2 The Consulting Firm must be a Registered Consulting Firm in the Philippines with specialization in Consultancy Services for the Detailed Engineering Design of port related structures such as rehabilitations of piers/wharves. The Consulting firm (Consultant) must have prior consulting services dealing with government agencies, private entities and with a proven similar or related experience.

7.1.3 The Consulting Firm should also show in their profile proof of their completed and on-going projects.

7.1.4 The Consulting Firm’s Key Staff should possess a Bachelor’s degree in related fields among others and should possess applicable valid PRC license.

7.1.5 The Consulting Firm must be familiar with the guidelines and Implementing Rules and Regulations I.R.R-2016 of Republic Act 9184 otherwise known as Government Procurement Reform Act.

8.2 The Highest Rated Bid of the Short-Listed Firms shall be determined using the Quality-Cost Based Selection procedure under Republic Act (RA) No. 9184, or the Government Procurement Reform Act (GPRA), and its Revised Implementing Rules and Regulations (IRR) and based on the criteria shown in Annex D as summarized below:

The Technical Proposal will be based on the criteria as specified under 8.1 whereas the Financial Proposal of the Consulting Firm shall constitute the following items:

8.2.1 Remuneration Cost

Consultant shall present all salaries and wages of its staff within the required time that may incur in carrying out its services to attain the aforementioned objective.

8.2.2 Reimbursable Cost

Note:Software licenses shall be shouldered by the consultant. Reimbursable Costs will be based on actual cost of the Consultant but shall not be greater than the approved financial proposal; the latter forming part of the Contract Agreement.

9. SOURCE OF FUNDS

Funds for the conduct of this Consultancy services shall be sourced from the SBMA Administered fund.

10. INSTITUTIONAL SET-UP / RESPONSIBILITIES

10.1 SBMA

10.1.1 Shall be the Executing Agency and the beneficiary / end –user of the consulting services;

10.1.2 Shall be responsible for the disbursement of the fund for the conduct of the Consulting services once the contract is executed;

10.1.3 Shall be responsible for the monitoring and evaluation of the progress of the consultancy services and approval of reports to ensure delivery of outputs as specified in sections 2, 3, 4, 5, and 6 of this TOR;

10.1.4 Shall provide assistance in the coordination with other agencies related to the consultancy services;

10.1.5 Shall be responsible for the Consultancy Contract implementation and management, including ensuring the quality of outputs;

10.1.6 Shall have the option to detail at least one (1) counterpart technical personnel to the Project for the purpose of on-the-job capacity building / technology transfer; and

10.1.7 Shall provide, upon the request of the Consulting Firm, available information / data and also, if available, copies of previous related studies subject to the execution of the Non-Disclosure Agreement, if necessary.

10.1.8 Shall shoulder payments (only) necessary for the Consultant to secure related permits (building, environment, etc.) and port fees imposed by SBMA.

10.1.9 Shall review and approve or deny request for time extension; (approved

time extension shall not incur additional cost to the contract).

10.2 Consulting Firm

10.2.1 Shall be responsible for the conduct of the consultancy services and the timely delivery of results / outputs as indicated under Sections 3, 5 and 6 of this TOR;

10.2.2 Shall be responsible for the office space, which shall be within SBFZ, for their project staff as well as the detailed personnel, including office equipment (i.e., computer, printers, office supplies, etc.) and service vehicle for the conduct of the consultancy services.

10.2.3 Shall; (a) carry out the services with sound engineering theories and practices to ensure that the final works will provide the most economical and feasible development for the services; (b) accept full responsibility for the consulting services to be performed under this TOR for which the Consulting Firm is liable to SBMA ; (c) perform the work in an efficient and diligent manner and shall use its best effort to keep reimbursable costs down to the possible minimum without impairing the quality of services rendered; and (d) comply with, and strictly observe any laws regarding workmen’s health and safety, workmen’s welfare, compensation for injuries, minimum wage, hours of labor and other labor laws;

10.2.4 Shall: (a) keep accurate and systematic records and accounts in respect of the services in such form and detail as is customary and sufficient to establish accurately that the costs and expenditures under this TOR have been duly incurred; and (b) permit the duly authorized representatives of the SBMA from time to time to inspect its records and accounts as well as to audit the same;

10.2.5 Shall not assign nor subcontract any part of the professional engineering services under this TOR to any person or firm, except with prior written consent of SBMA. The approval by the SBMA to the assignment of any part of said services or to the engagement by the Consulting Firm of sub-contractors to perform any part of the same shall be at no cost to the SBMA nor relieve the Consulting Firm of any obligation under this TOR;

10.2.6 Shall, during or after the conclusion or termination of the consultancy services, limit its role under the Project to the provision of the services and hereby disqualifies itself and any other contractor, consulting engineer or manufacturer with which it is associated or affiliated, from the provision of goods and other services other than the services herein, except as SBMA may otherwise agree;

10.2.7 Shall not at any time communicate to any person or entity any information disclosed to them for the purpose of this services, nor shall the Consulting Firm make public any information as to the recommendations formulated in the course of or as a result of the services, except with prior consent of SBMA;

10.2.8 Shall agree that nothing contained herein shall be construed as establishing or creating between SBMA and the Consulting Firm, the relationship of employer and employee or principal or agent, it being understood that the position of the Consulting Firm and anyone else performing the services is that of an independent contractor;

10.2.9 Shall hold the SBMA free from any and all liabilities, suits, actions, demands, or damages arising from death or injuries to persons or properties, or any loss resulting from or caused by said personnel incident to or in connection with the services under this TOR. The

Consulting Firm shall agree to indemnify, protect and defend at its own expense the SBMA and its agents from and against all actions, claims and liabilities arising out of the services, including the use of, or violation of any copyrighted materials, patented invention, article or appliance;

10.2.10 Shall secure all the necessary permits, clearances and other regulatory requirements.

11. MODE OF PROCUREMENT AND APPROVED BUDGET FOR THE CONTRACT (ABC)

11.1 The procurement of the services shall be through competitive public bidding. The ABC for the proposed Services is, TWENTY SIX MILLION EIGHT HUNDRED FIFTY THOUSAND PESOS (PHP 26,850,000.00) VAT EXCLUSIVE, inclusive of professional fees, and other incidental costs which shall be paid on a reimbursement basis (e.g., travel expenses, communication expenses, office supplies, office space, and other expenses deemed necessary for the project as certified by the SBMA).

11.2 Note that this consulting contract shall be a fixed price contract. Any extension of contract time shall not involve any additional cost to the SBMA.

12. PAYMENT SCHEME / SCHEDULE

The payment shall be in accordance to the delivery of outputs.

12.1 The Contract Price shall be the corrected/accepted amount proposed by the winning CONSULTANT for the project. Payment of the CONSULTANT for its services shall be made by the SBMA in accordance with item 53 of Section IV of the General Conditions of Contracts of the Bidding Document. The monthly progress reports shall serve as reference for payment of reimbursable items.

12.2 The Consulting Firm may request Advance Payment of fifteen percent (15%) of the approved contract cost based on requirements set forth in the General Conditions of the Contract.

All of these payments are subject to the government accounting and auditing requirements. The Consultant is expected to be familiar with the Government Accounting and Auditing Manual (GAAM).
