It was nice speaking with you earlier today. As discussed we are working with MW Zander and Intel inIsrael and they advised that we work with you on the freight needs of this project. We are looking to sendapproximately 4-7 containers (40’) from the Boston area and Phoenix Arizona area to the Intel Jobsite inKirat Gat Israel. I don’t have an exact count yet but it is safe to assume 2-4 containers from each locationover the next several weeks.

Please read these instructions carefully.

Regarding the procedure for the sale of carnet goods abroad, your company may choose from one of two options tosettle the duties and taxes on your goods. As the sale of career goods abroad is a violation of carnet rules andregulations, we will receive, whether or not you have settled the duties by that time, a claim from Israel within twelvemonths of your carrier’s expiry date (21 December 2007). Here are your two options for taking preventive action:

1) Please complete and return the attached document guaranteeing that your company will be responsible for thepayment of all of the duties and taxes on your shipment (these may be as high as 40% of the shipment’s value). After theclaim is opened, I will then use this document to formally request an invoice from abroad and we will invoice you whenthe formal balance arrives. This option is the most convenient and clear-cut way to pay duties and taxes, but it will comewith USCIB’s claims processing fee and will still include penalty fees from abroad, if any were incurred.

-OR-

2) Attempt to directly pay the duties and taxes abroad. The duties, taxes, and penalties will be exactly the same amountfor both options. If your company wishes to choose this option, please follow these 4 steps (A to D):

a. AII carnet goods that are being sold must be taken to foreign customs and approved for transition to permanentimportation. Foreign customs will then bill your company for duties and taxes.

b. After paying foreign customs, your company must obtain a signed, stamped, and dated customs cashier’s receipt,which includes the carnet number and an itemized description of the goods. This description should be an exact matchof the carnet’s General List,

c. After receiving the receipt, your company will need to go to customs for a second time to get the re-exportationcounterfoil signed, stamped, and dated on the carnet with foreign customs noting that all taxes and duties were paid andthat the goods are staying in their country.

d. Finally, your company must return the carnet and a copy of the receipt to our headquarters in New York City. Wewill attempt to use these documents to settle all future claims. However, as per our website atwww.merchandisepassport.or.q, we cannot guarantee that such documentation will clear the claim and there is a smallrisk that, despite following this procedure, your company might be bound to pay the duties twice over.

The second method, though i[ may be a little less expensive, is more difficult. The carrier system is intended fortemporary import and re- export only; users are therefore penalized for breaching its terms (e.g. selling their goods,remaining abroad too long, etc.) and are discouraged from acting outside the supervision of national guaranteeingassociations like USCIB.

Regarding the procedure for the sale of carnet goods abroad, your company may choose from one of two options tosettle the duties and taxes on your goods. As the sale of carnet goods abroad is a violation of camet rules andregulations, we will receive, whether or not you have settled the duties by that time, a claim from Israel within twelvemonths of your camet’s expiry date (21 December 2007). Here are your two options for taking preventive action:

a. All carnet goods that are being sold must be taken to foreign customs and approved for transition to permanentimportation. Foreign customs will then bill your company for duties and taxes.

b. After paying foreign customs, your company must obtain a signed, stamped, and dated customs cashier’s receipt,which includes the carrier number and an itemized description of the goods. This description should be an exact matchof the carnet’s General List.

c. After receiving the receipt, your company will need to 9o to customs for a second time to get the re-exportationcounterfoil signed, stamped, and dated on the camel with foreign customs noting that all taxes and duties were paid andthat the goods are staying in their country.

d. Finally, your company must return the carnet and a copy of the receipt to our headquarters in New York City. Wewill attempt to use these documents to settle all future claims. However, as per our website atwww.merchandisepassport.org, we cannot guarantee that such documentation will clear the claim and there is a smallrisk that, despite following this procedure, your company might be bound to pay the duties twice over.

The second method, though it may be a little less expensive, is more difficult. The carnet system is intended fortemporary import and re- export only; users are therefore penalized for breaching its terms (e,g. selling their goods,remaining abroad too long, etc.) and are discouraged from acting outside the supervision of national guaranteeingassociations like USCIB.

Please note that, in both cases, that the ultimate owner of the goods should pay the requisite duties and taxes.However, FH Chase, Inc. will remain as the bonded carrier holder of record at all times and liable for the payment ofthese fees to Israeli Customs. The purchaser is not bound by the terms of the carnet to ensure their transfer; therefore, itis FH Chase, Inc.’s responsibility to collect them independently.

Regarding the procedure for the sale of carnet goods abroad, your company may choose from one of two options tosettle the duties and taxes on your goods. As the sale of camel goods abroad is a violation of carnet rules andregulations, we will receive, whether or not you have settled the duties by that time, a claim from Israel within twelvemonthsofyourcarnet’sexpirydate(21 December2007). a. All carnet goods that are being sold must be token to foreign customs and approved for transition to permanentimportation. Foreign customs will then bill your company for duties and taxes.

b. After paying foreign customs, your company must obtain a signed, stamped, and dated customs cashier’s receipt,which includes the cornet number and an itemized description of the goods. This description should be an exact matchof the carnet’s General List.



The second method, though it may be a little less expensive, is more difficult. The carnet system is intended fortemporary import and re- export only; users are therefore penalized for breaching its terms (e.g. selling their goods,remaining abroad too long, etc.) and are discouraged from acting outside the supervision of national guaranteeingassociations like USClB.

Please note that, in both cases, that the ultimate owner of the goods should pay the requisite duties and taxes.However, FH Chase, inc. will remain as the bonded carnet holder of record at all times and liable for the payment ofthese fees to Israeli Customs. The purchaser is not bound by the terms of the carnet to ensure their transfer; therefore, itis FH Chase, Inc.’s responsibility to collect them independently.

handle the carnet dispute developing with your Israeli contractor.

As you may know, the ATA Carnet system is known for its ability to help carnet holders travel easily between membercountries and avoid paying unnecessary duties and taxes on their goods while traveling abroad; however, these benefitsare compromised in cases where the career is, for one reason or another, not used properly.

The circumstances at hand seem to indicate that your firm has been making every possible effort to rectify the situation.Please understand that USCIB, as national guaranteeing association for US-issued carnets, has no decision-making)ower over the fate of Customs claims and is obliged to reimburse the Israeli Customs (through the Israeli guaranteeingassociation, known as the Federation of Israeli Chambers of Commerce) for any and all penalties that we are unable tomitigate by submitting proof of timely re-exportation of all imported goods, for which we must then hold our carnet holdersand their surety bond companies jointly and severally liable. Although we can accept payment from any of the partiesinvolved (including delinquent contractors who come to their senses), the only parties with any obligation to USCIB arethe holder and the bond company. In cases where a holder is unwilling or unable to reimburse us for the charges due, weaccept payment from the bond company and they refer the case to their collections department and any applicable creditagencies.

As it does not appear that a proof submittal will be possible, I am not sure how much we will be able to help you avoidpaying these charges. Any Customs authority that has permitted entry to a given carnet and stamped its pages may laterclaim suitable evidence of timely re-exportation as long as it files the dispute within one year of the carnet’s expiry, andby the ATA Convention, it has the right to claim full duties, taxes, and up to 10% further penalty if we are unable tofurnish for any reason (including loss, theft, or contract dispute) the proof they seek in the six months following. Thismeans that even if the goods are re-exported after expiry, or if they were actually re-exported on time but the holdercompany and/or its agents have lost or otherwise mishandled the carnet such that the proof cannot be presented toCustoms, we have no choice but to reimburse them for the charges they seek.

When assessing these fines, Customs in each country evaluates the items exactly as they were declared on the generallist (typos and all), as this represents the holder’s sworn valuation and description of the items to the carnet issuer (i.e.,USCIB), who will be the party responsible to the foreign customs when it becomes time to reimburse them. Additionally,many countries use the exchange rate of the local currency from the importation date rather than the invoice date,because the carnet acts as a stand-in for an actual, duty-cleared, permanent import made on that date and our having tomake payment in the end means the situation reverts such that this will have been the case all along (for better or for

worse, rate-wise). So, for instance, if your goods were valued at $125,000.00 on the General List and the Euro was $1.25the day they entered France, Customs would value them now at EUR 100,000 even though a more current exchangerate of $1.50 would translate the $125,000 into only EUR 83,333. They would then apply the requisite duty rates to theEUR 100,000 figure rather than EUR 83,333; the same applies to currencies that have depreciated against the dollarsince the date of importation.

am sorry we don’t have any better news for you, but I hope at least a few of your questions have been answered. I knowall of this may sound a bit confusing, so feel free to contact me if you have any further concerns. We have not yetreceived notice from the Israeli guaranteeing association that their Customs have opened the anticipated claims, so thereis no dispute yet active (if we don’t receive one by this time next year, the carnets can be closed unconditionally withoutfear of a claim).

The equipment listed on these carnets has been detained in Israel beyond the Carnet time limit.There are three problems with the Carnets that I have listed below in what I believe is the ordero f importance.

1. Israeli Customs is telling our attorney in Israel that they are about to claim our depositwith the Chamber of Commence. We do not have such a deposit and therefore webelieve that they will try to collect on the Bond that you have provided.

2. The Equipment has been detained on the construction site by the Construction Manager.They are claiming that they can do tbis under a clause in their contract in which we aredisputing. Our attorneys were able to get one extension but it is about to expire and theytell us it is unlikely that they can extend it again.

3. One of the two Carnets has six typos within the line items (2 of which are in the quantitycolumn and 4 arc in the total dollars column). If the custotn charges are based on thedollar volume the ATA Carnet should be valued at $521,814. and not $599,774.32. AlsoI would think that the value of duties and taxes should be based on the depreciated valueof the equipment not the original value, please advise.

Because of a dispute on payments and contract tenr~s the Construction manager has takenpossession and control of the goods and prevented us from shipping within the time limits. It isnot because of anything within our control that the materials have not been returned. Because wewere illegally denied access to our belongings now the construction manager have tried to claimthat they belong to another company and the seizure has to do with claiins of non payment andthey ~vant proof of owuership before they relinquish custody of the goods. Not allowing us toship the goods out when it was required to have now caused this more complex problem and theyare changing their reasoning for the seizure. We contacted them repeatedly to try to move thisequipment out and explain that this equipment doesn’t belong to this other entity that installedthe work but this has yet to be resolved.We also believe that much of this equipment has been stolen because we were prevented accessto it and denied the ability to secure the goods. Unfortunately, we have no way of getting to the

Please look over our paperwork and approve and comment. The Commercial Invoice (Tab 1) is for the materials that wewill be using on the construction site. The Packing Slip (tab 2) is all materials in the container.The Came de Passage (Tab 3) is for the materials that will enter the country and also be returned at the end of our projectin July.

Please let me know if you have any questions regarding the Carnet. These are expensive tools that we are sending in fora short period of time, I do not expect to pay impor~ taxes for this and the materials must be returned to us in America.

Steve:

I was very surprised to hear you say yesterday that you have not heard of the troubles that your freight company has haddelivering our products to the job site. As you know MW Zander and Intel are very demanding customers and have beenmonitoring our progress. It has not been very good due to our inability to get our containers delivered to the job site.

You need to know for future business that it was explained to me that it was due to the poor quality of paperworksubmitted with the containers. I have a real problem with that because I was the one to put together the commercialinvoices, packing slips and carnets together under your guidance. To hear that they were not legible was a shock when Isent them both via fax and email to you.

Remember that Miri from MW Zander insisted that the five containers be off-loaded at Ashdod and not Haifa.

We are still waiting for our 8th container at the site.

You said you were looking into this and would get back to me. Let me know what the hold up is.

expect that the Air Freight is delivered to the jobsite on Sunday as I was told.

3. The may be a Carne de Passage - Commercial Invoice showing the description and weight ofthe items in that container which will be returned to us in America.
