1. I am a partner of the firm Binder & Schwartz LLP, attorneys for the Plaintiff,

Motors Liquidation Company Avoidance Action Trust, by and through the Wilmington Trust

Company, solely in its capacity as Trust Administrator and Trustee.

2. I have personal knowledge of the facts and circumstances set forth herein, except

for the matters stated on information and belief, and as to those matters, I believe the information

to be true. If called as a witness, I could and would competently testify to the matters set forth

herein.

3. I submit this Declaration in support of Plaintiff’s Application for Certificates of

Default against Defendants from the Clerk pursuant to Local Bankruptcy Rule 7055-1.

5. No Defendant is an infant, in the military, or an incompetent person.

6. Pursuant to Sections 7004 and 7012 of the Federal Rules of Bankruptcy

Procedure, each Defendant was required to serve upon Plaintiff a responsive pleading within

thirty (30) days of the date of the service of the Summons.

7. More than thirty (30) days have passed since the dates of service of each of the

Summons issued in the above-referenced chart, and the Defendants have not filed any responsive

pleadings.

8. Based on the foregoing, it is clear that the Defendants have failed to plead or

otherwise defend in this case as required by the Federal Rules of Bankruptcy Procedure and

Local Bankruptcy Rules.

9. Thus, the Defendants are in default as defined in Rule 55 of the Federal Rules of

Civil Procedure, made applicable hereto by virtue of Rule 7055 of the Federal Rules of

Bankruptcy Procedure.

10. It is therefore appropriate for the Clerk of this Court to enter default against

Defendants, and issue a Certificate of Default and/or a notation of default against in the form

annexed hereto as Exhibit B.
