Parameters laid down for installation standard software installation

charges: The following installation charges as per decided by Biolife Impex Pvt

Ltd, you (the distributor) needs to pay or either you (the distributor) have to

appoint technical hardware / networking engineer or any company (who takes

AMC) within your local area for the installations (it you (the distributor) is not

technically sound). Biolife Impex Pvt Ltd will not arrange and not responsible for

such installations. You (the distributor) will only arrange & pay for all such

appointed technical hardware/ networking engineer directly. Company reserves

its sole rights to make any changes periodically in such parameters. Company

Technical notice:

1) Distributor shall follow the installation process after taking proper technical

training.

Retail sale terms & conditions/guidelines

1) Not to sell below the bottom rates of the entire licenses 3-user license, 5-user

2) Cash payment not accepted from the retail end customer, can accept only

cheques, demand draft, pay order, credit card, net-banking & the transaction of

the retail sale should reflect in the respective bank accounts.

3) Offline as well as online prospective distributor form along with the scanned

copy of after sales form & cheque needs to be accurately submitted to the

company & from day one all the retail sale records needs to be maintained

appropriately.

4) Each & every retail sale from 1st to 31st of the month's bank transaction needs

to be uploaded in the distributor's portal on or before 10th day of next consecutive

month. Distributor needs to have a separate dedicated bank account on his/her

name. If the bank statement records are not received of the retail sale done than

on the 11th of the month the login id will be temporarily suspended till the bank

statements are received at the company's end.

5) Distributor is solely responsible for all the software installations, after sales &

all the queries of the end-user (retails /client) only for distributors strictly not for

retailers.

BY DEFAULT RETAIL SALE TO EVERY NEW DOWNLINE DISTRIBUTOR

6) For One Compulsory Retail Sale (Rs.2500 for Single User & Rs.9000 Multi-

User) to the Downline Distributor the amount per Activation Code as per

distributorship package will be auto deducted at the very time of new

1. The company proposes to appoint a distributor and accordingly had made the

publicity and branding of their products through Internet services, to which the

3. LIABILTIES, RESPONSIBILITIES & RESTRICTION UPON THE

DISTRIBUTOR :-

It had been expressly agreed without any coercion or under undue influence that

Biolife Impex Pvt Ltd will not give any type of special exclusive rights to anybody

or any authorized distributors for any specific region or area (city, Taluka,

Village, state) or country. All worldwide rights reserved with Biolife Impex Pvt

Ltd only. In any event Biolife Impex Pvt Ltd ‘s distributor tries to spread

Negativity, Rumors intentionally or unintentionally , tries to snatch ,divert or

explain any other company’s business plan ,concept, proposal to any other Biolife

Impex Pvt Ltd.’s distributors or do any type of dirty politics, or any act which is

detrimental in the interest of the company, then in that event “the distributor shall

be liable to be prosecuted by initiating civil and criminal action against “the

distributor or through any person claiming through him/her as the vicarious

liability lies with the “distributor” purely at his/her own cost and consequences.

And also that the Distributor shall Indemnify the company for any loss in terms of

money, property or to the good will due to such acts of the distributor has

mentioned herein above, further company shall also be entitle terminate this

agreement without any delay and his/her distributorship will be deactivated &

blocked without any prior notice.

from the Accounts department, the prospective distributor will be immediately

assigned a DC Code along with the separate Owned independent Login Account &

distributor does not constantly follow the prospective distributor to become an

authorized distributor then registered prospective distributor detail will be

2. Distributor that distributor can only sell the brands and products referred above

only upon the prices fixed by the Company. Further the “Distributor” shall not be

at liberty to sell the products to any of its customer either in high rates or low or

any other rates or schemes than what had been fixed by the company from time to

and failing which the distributor shall also be subjected for legal actions in event of

any default under any circumstances.

3. MODE OF PAYMENT & CRITERIA:-

The Distributor undertakes and is willing to purchase the software product (all in

Impex Pvt ltd company and shall pay the price upon it in advance (100% advance)

in Cheque or by demand draft. Both the parties herein agree that all the mode of

payment shall strictly in the form of Cheque/DD drawn in the name of the

company which may be communicated to the distributor from time to time.

Biolife Impex Pvt Ltd will only accept full 100% advance payments by

Cheque or Demand draft / Pay Order or Net banking including all types of

government taxes.

For package distributorship, After Sale book, Prospective Book, Master Demo CD

along with Packaging will be charged Rs. 600/- extra. The amount needs to be

transferred directly only in favour of “Biolife Impex Pvt Ltd” Cash payment not

accepted & not to be given to any third party, individual/Company & if in some

case cash payments, directly deposit the amount in Biolife Impex Pvt Ltd

Company’s Official bank accounts. Biolife Impex Pvt Ltd Company has bank

accounts in the following banks for e.g.: ICICI, HDFC, AXIS, IDBI, & SBI

full payment done, than there will be no change (cannot degrade nor refund, nor

user id with distributor own created secret password in the Prepaid Distributor Self

Operating Support System for retail sale. Once the Activation Product Key is auto

generated from the same system the pre decided amount will be automatically

deducted depending upon the distributor category type/package as per selected by

power, self-confidence, salesmanship, entrepreneurship, big goals, marketing skills

to generate maximum business from the market & contacts to bear any business

profit-losses/business ups & downs. Pain risk & responsibility taking ability & also

to promote & spread the software product.at national, international level. All types

of before & after sales & support & all technical software usage & explanation will

only be provided by the Distributor to their direct end retail customer.

Biolife Impex Pvt Ltd will strictly not provide any sort of after sales & support,

100% responsibility belongs to the respective distributor only.

Special Note For All type of Govt. Taxation: Distributor is also liable &

responsible to pay all the government levied taxes whenever applicable as per

government taxation Act & laws In case if Biolife Impex Pvt Ltd forgets to take

any type of government taxes by any reason than as per government rules /taxation

Act the distributor have to pay all such taxes again or else the distributorship

account will be temporarily terminated/blocked & the commission amount will not

be paid. Distributor will be solely responsible to pay for all such government taxes.

Once the distributor cross the income of (Rs.10,00,000 lakhs )commission amount

as per government rule/tax limit ,distributor is liable to pay the service tax directly

to the Government service tax department. All the service tax payment lies solely

with the distributors. Biolife Impex Pvt Ltd is not responsible in some worst case if

Product")and accompanying documentation is licensed and not sold. This Software

Product is protected by copyright laws and treaties, as well as laws and treaties

related to other forms of intellectual property. BIOLIFE IMPEX PVT LTD or its

subsidiaries & affiliates (collectively own intellectual property rights in the

Software Product. The Licensee's ("you" "your ") license to download, use or

change the Software Product is subject to these rights and to all the terms and

conditions of this End User License Agreement ("Agreement").

Acceptance

You accept and agree to be bound by the terms of this agreement by selecting the

"accept" option and downloading the software product or by installing or using the

software product. You must agree to all the Terms of this agreement before you

will be allowed to download the software product. If you do not agree to all of the

the software product.

License Grant

This Agreement entitles you to install and use one copy of the Software Product In

addition. This Agreement does not permit the installation or use of multiple copies

of the Software Product, or the installation of the software product on more than

one computer at any given time, on system that allows shared used of applications,

on a multi-user network, or on any configuration or system of computers that

allows multiple users. Multiple copy use or installation is only allowed if you

obtain an appropriate licensing agreement for each user and each copy of the

Restriction On Transfer

Without first obtaining the express written consent you may not assign your rights

and obligations under this Agreement, or redistribute, encumber, sell, rent, lease,

Sublicense, or otherwise transfer your rights to the Software Product. Restrictions

on Use You may not use, Copy, or install the Software Product on any system with

more than one computer, or permit the use, copying, or installation of the Software

Product by more than one user or on more than one computer. If you hold multiple,

validity licensed copies, you may not use, copy, or install the Software Product on

any system with more than the number of computers permitted by License, or

permit the use, copying, or installation by more users, or on more computers than

the number permitted by license. You may not decompile, "reverse-engineer",

disassemble, or otherwise attempt to derive the source code for the Software

Product. You may not use the database portion of the Software Product in

Restrictions on Alteration

You may not modify the Software Product or create any derivative work of the

software Product or its accompanying documentation. Derivative works include

but are not limed to translations. You may not alter any files or libraries in any

portion of the software Product. You may not reproduce the database portion or

create any tables or reports relating to the database portion.

Restrictions on Copying

You may not copy any part of the Software Product except to the extent licensed

use inherently demands the creation of a temporary copy stored in computer

memory and not permanently affixed on storage medium.

Limited Medium Warranty

For a period of one year from the date of installation of the Software Product used

under normal conditions. For all the after sales services the authorized distributor

of the company will only be solely responsible & not the company.

Disclaimer of Warranties and Limitation of liability

Ltd. Makes no other warranties express or implied, fact or in law, including, but

not limited to, any implied warranties of merchantability or fitness for a particular

purpose other than as set forth in this agreement or in the limited warranty

Makes no warranty that the software product will meet your requirements operate

under your specific conditions of use. Biolife Impex Pvt. Ltd. Makes no warranty

that operation of the software Product will be secure, error free, or free from

interruption. You must determine whether the software product sufficiently meets

your requirements for security and un-interrupt ability. You bear sole responsibility

and all liability for any loss incurred due to failure of the software product to meet

your requirements. Biolife Impex Pvt. Ltd. Will Not, under any circumstances, be

responsible or liable for the loss of data On any computer or information storage

device. Under no circumstances shall Biolife Impex Pvt. Ltd., its directors,

officers, Employees or agents be liable to you or any other party for indirect,

Consequential, special, incidental, punitive, or exemplary damages of any Kind

(including lost revenues or profits or loss of business) resulting From this

agreement, or from the furnishing, performance, installation, Or use of the software

product, whether due to a breach of contract, Breach of warranty, or the negligence

or any other party, even if is Advised before and of the possibility of such

damages. T0 the extent that The applicable jurisdiction limits ability to disclaim

any implied warranties, This disclaimer shall be effective to the maximum extent

permitted.

Limitation of Remedies and Damages

Your remedy for a breach of this Agreement or of any warranty included in this

Agreement is the correction or replacement of the Software Product. Selection of

whether to correct or replace shall be solely at the discretion of you & distributor

reserves the right to substitute a functionally equivalent copy of the Software

Product as a replace shall be solely if the distributor is unable to provide a

replacement or substitute software Product or corrections to the Software Product,

your sole alternate shall be a refund of the purchase price for the Software Product

exclusive of any costs.

For Shipping, Handling & Installation Charges

Any claim must be made within the applicable warranty AMC period. All

warranties cover only defects arising under normal use and do not include

malfunctions or failure resulting from misuse, abuse, neglect, alteration, problems

with electrical power, acts of nature, unusual temperatures or humidity, improper

installation, or any other damage caused by you. All limited warranties on the

Software Product granted only to you and are non-transferable. You agree to

indemnify and hold harmless from all claims, judgments, liabilities, expenses or

costs arising from you breach of this Agreement and/or acts or omissions.

Governing Law, Jurisdiction and Costs

This Agreement is governed by the laws of India, without regard to India's conflict

or choice of law provisions.( *As per the civil & cyber law IT Acts Rules 2000 &

2011 New.) For Any Legal Disputes / Issues Only Mumbai Jurisdiction Borivali

Civil Court

Severability

If any provision of this Agreement shall be held to be invalid or unenforceable, the

remainder of this Agreement shall remain full force and effect. To the extent any

express or implied restrictions are not permitted by applicable laws, these express

or implied restrictions shall remain in force and effect to the maximum extent

permitted by such applicable laws.

WHEREAS IT HAS BEEN AGREED BY AND BETWEEN THE PARTIS HEREIN IN

EVENT OF ANY DISPUTE/ CLAIMS/ LEGAL ISSUES OR ANY ACT WHICH IS

DETRIMENTAL IN THE INTEREST OF THE COMPANY :-

That in event there arise any dispute, claim, or any legal issues or any act done by

the distributor any person acting through or on behalf of him/her which shall pose

wrongful loss to the company or wrongful gain to the distributor or any person,

agent, authorize person on behalf of the distributor or any arising out of this

agreement. Then in that event the same shall be settled amicably between the

parties hereto. However in case of non-resolution of any dispute amicably, the

same shall be referred to person duly appointed by the company as the sole

arbitrator of the parties hereto and his decision shall be final and binding on all the

parties. The provision of Arbitration and Reconciliation Act, 1996 shall apply.

And the place of the arbitration shall be within the territorial jurisdiction of the

Mumbai. Borivali civil court and all the expenses incidental and other incurred for

the appointment and during the course of arbitrations including the fees of the

arbitrator shall be borne equally. The parties herein also agree upon the name of

the sole arbitrator, whose name shall be communicated to the distributor within a

prescribed period of one month from the date of issuance of any legal notice.
