Definitions Unless otherwise set out in these Terms or the Order the following terms will have the following meanings unless the context otherwise requires: “Advertiser" means the Advertiser specified in the Order; “Advertiser Brand” means a reference to the Advertiser or any of its affiliates or associated companies or the products or services of the Advertiser or such affiliated or associated companies and any associated name(s), logo(s), brand features and/or trade mark(s) together with associated music, jingles or other soundtracks; “Advertiser IPmeans any and all Intellectual Property Rights or other proprietary rights in the Advertiser Brand or otherwise owned by Advertiser or its licensors and featured in the Campaign Creative; “Advertising Partners” means any affiliate, vendor, subcontractor, agent or other third party engaged by the Client or otherwise acting on its behalf to render, perform or provide advertising services for it including, without limitation, any ad network, ad exchange, demand-side partners or platforms (DSPs), trading desk and other media buyer, and any related third party technical service provider; "Advertising Standards" means codes of practice issued by the Regulator and all other relevant industry codes of practice or voluntary standards in respect of advertising, sponsorship and other forms of promotion (as applicable) and any ruling, notes of guidance or bulletins issued by the Regulator or Clearance Body, in each case as amended, varied or replaced from time to time; "Agency" means the media buying agency (if there is one) acting on behalf of the Advertiser, as specified in the Order; Airtimemeans linear broadcast advertising and sponsorship time available for the transmission of Campaign Creative; “Anonymous Information” means information that would be considered to be wholly anonymised or anonymous in accordance with the Data Protection Laws so that such information (i) is not considered to be Personal Data under the Data Protection Laws and (ii) remains anonymised. “Applicable Law” means any and all applicable laws, rules and regulations and codes of practice, including but not limited to, any and all advertising and marketing, tax, labour, product safety, competition and/or fair trade laws as awarded or superseded from time to time; “Campaign Creative” means the Creative used to advertise or promote Advertiser Brand or the Advertiser’s products and services and transmitted, published or otherwise made available on the Disney Media Platforms set out in the Order and which may include Custom Content; “Campaign Period” means the advertising or sponsorship campaign period set out in the Order; “Campaign Start Date” means the advertising or sponsorship campaign or ad flight start date as specified in the Order; "Child" means any individual determined to be a child by the Data Protection Laws of the applicable European Member State where the Advertising Services shall be performed, and where no such age is determined that age shall be fifteen (15) years or younger. Clearance Bodymeans the relevant body responsible for the pre-clearance of broadcast or other advertising subject to pre-clearance in the Territory;

DisneyStandardTerms&ConditionsforMediaSales(Effective2017)(“Terms”)

1. Definitions

UnlessotherwisesetoutintheseTermsortheOrderthefollowingtermswillhavethefollowingmeaningsunlessthecontextotherwiserequires:

“Advertiser" meanstheAdvertiserspecifiedintheOrder;

“AdvertiserBrand” meansareferencetotheAdvertiseroranyofitsaffiliatesorassociatedcompaniesortheproductsorservicesoftheAdvertiserorsuchaffiliatedorassociatedcompaniesandany associated name(s), logo(s), brand features and/or trademark(s) togetherwithassociatedmusic,jinglesorothersoundtracks;

“AdvertiserIP” means any and all Intellectual Property Rights or other proprietary rights in theAdvertiserBrandorotherwiseownedbyAdvertiseroritslicensorsandfeaturedintheCampaignCreative;

“AdvertisingPartners”

meansanyaffiliate,vendor,subcontractor,agentorotherthirdpartyengagedbytheClient or otherwise acting on its behalf to render, perform or provide advertisingservicesforitincluding,withoutlimitation,anyadnetwork,adexchange,demand-sidepartnersorplatforms(DSPs),tradingdeskandothermediabuyer,andanyrelatedthirdpartytechnicalserviceprovider;

"AdvertisingStandards"

meanscodesofpracticeissuedbytheRegulatorandallotherrelevantindustrycodesofpracticeorvoluntarystandardsinrespectofadvertising,sponsorshipandotherformsofpromotion(asapplicable)andanyruling,notesofguidanceorbulletinsissuedbytheRegulatororClearanceBody,ineachcaseasamended,variedorreplacedfromtimetotime;

"Agency" meansthemediabuyingagency(ifthereisone)actingonbehalfoftheAdvertiser,asspecifiedintheOrder;

“Airtime” meanslinearbroadcastadvertisingandsponsorshiptimeavailableforthetransmissionofCampaignCreative;

“AnonymousInformation”

meansinformationthatwouldbeconsideredtobewhollyanonymisedoranonymousinaccordancewiththeDataProtectionLawssothatsuchinformation(i)isnotconsideredtobePersonalDataundertheDataProtectionLawsand(ii)remainsanonymised.

“ApplicableLaw” meansanyandallapplicablelaws,rulesandregulationsandcodesofpractice,includingbutnot limited to,anyandall advertisingandmarketing, tax, labour,product safety,competitionand/orfairtradelawsasawardedorsupersededfromtimetotime;

“CampaignCreative” meanstheCreativeusedtoadvertiseorpromoteAdvertiserBrandortheAdvertiser’sproductsandservicesandtransmitted,publishedorotherwisemadeavailableontheDisneyMediaPlatformssetoutintheOrderandwhichmayincludeCustomContent;

“CampaignPeriod” meanstheadvertisingorsponsorshipcampaignperiodsetoutintheOrder;

“CampaignStartDate”

meanstheadvertisingorsponsorshipcampaignoradflightstartdateasspecifiedintheOrder;

"Child" means any individual determined to be a child by the Data Protection Laws of theapplicableEuropeanMemberStatewheretheAdvertisingServicesshallbeperformed,andwherenosuchageisdeterminedthatageshallbefifteen(15)yearsoryounger.

“ClearanceBody” means the relevant body responsible for the pre-clearance of broadcast or otheradvertisingsubjecttopre-clearanceintheTerritory;

"Client" meanseither(a)theAgencyactingonbehalfoftheAdvertiser;or(b)wherethereisnoAgency,theAdvertiser;

“CPM/CPA/CPC/CPL” means the website advertising inventory sold on a cost per thousand/cost peracquisition/costperclick/costperleadImpressionbasisifspecifiedintheOrder;

"Creative" means any and all advertising copy, artwork, Campaign Creative, materials, videos,blipverts, teaser content, audio visual clips, social posts, social engagement videos,Sponsorship Credits or other advertising, sponsorship or promotional content ormaterial for the Campaign, including without limitation, any active URLs, banners,mobiledisplay,referralwebsitesorsocialmediachannelsorplatforms,videoorvideoplayers,graphics,text,data,software,audio,soundoranimatedaspectsandanycontentnotusuallyvisibletotheviewerofwhatevernature;

"CustomContent" meansCreativefortheCampaigndevelopedorproducedbyDisneyoronitsbehalffortheClientassetoutintheOrderorinanapplicableCampaignSummaryattachedtotheOrder;

“DataProtectionLaws”

meansthefollowinglawsasapplicablefromtimetotime,togetherwithanyamendedorsuccessor laws thereto, (a) the UK Data Protection Act 1998 and the Privacy andElectronicCommunicationsRegulations2003andothernationallawsimplementingtheData Protection Directive (95/46/EC) and the Directive on Privacy and ElectronicCommunications(2002/58/EC);(b)theGeneralDataProtectionRegulation(2016/679)(“GDPR”)andanysubsequentRegulationwhichreplacesanyEuropeanDirective;and(c)anyothernationalprivacyand/ordatasecurity lawor regulationsrelatingtotheprocessing of Personal Data, including where applicable the guidance and codes ofpractice issued by the UK Information Commissioner or such other regulator withcompetent authority [and including the US Children’s Online Privacy Protection Act(“COPPA”)].

“Deadline” meansanycopydeliveryoradvancebookingdatewhichmustbemetinordertodisplay,transmit,rotateorpublishtheCampaignCreativeassetoutintheOrderwhichshallbenotlessthan7workingdaysbeforetheintendedtransmissionorpublicationdateorassetoutinSection5;

“DisneyGuidelines” meansanyandalladvertisingandsponsorshipguidelinespublishedorotherwiseissuedbyDisneyfromtimetotime;

“DisneyMediaPlatforms”

shallbespecified in theOrderandmay includeDisney-branded, -owned, -licensed, -affiliated,-operatedor–controlledtelevisionandradioplatforms,proprietarywebsites,onlinechannels,digital/interactiveplatforms,digitalpublishingplatformsandverticallypublishedprintplatforms(suchasDisneymagazines,Marvelcomicbooksandcustompublishing,andStarWarscomicbooks)orotheradvertisingormediaspaceincluding,without limitationmobiledisplayor in-appadvertising,videoplayerormediaspaceavailable in theDisneymobile network on via socialmedia channels, platforms andnetworksandallotherformsofmediawhetherexistingnoworinthefuture;

“DisneySegment” meansanyaudiencesegmentthattheClientoritsAdvertisingPartnerscreateusing(a)DisneyUserData,or(b)audienceamplificationalgorithmsbasedonDisneyUserDataorattributeswhichmatchtheDisneyData(alsoknownas‘lookalike’audiences).

"DisneyUserData" means information or data including Personal Data (a) provided to Client or itsAdvertisingPartnersbyDisneyoranyDisneyAffiliate,and/or(b)collectedbytheClientoritsAdvertisingPartnersonbehalfofDisneyinthecourseofprovidingtheAdvertisingServices (including but not limited to data collected by the Client or its AdvertisingPartners fromDisneyProperties or in relationany user interactionwith anyDisneyAdvertising).

"Impressions" means the number of times a user accesses a page on a website that displays theCampaignCreativeregardlessofwhetherornottheuserisrequiredtoscrolltoviewCampaignCreative;

“IntellectualPropertyRights”

patents, utilitymodels, rights to inventions, copyright and neighbouring and relatedrights,moralrights,trademarksandservicemarks,businessnamesanddomainnames,rightsinget-upandtradedress,goodwillandtherighttosueforpassingofforunfaircompetition,rightsindesigns,rightsincomputersoftware,databaserights,rightstouse,andprotect theconfidentiality of, confidential information (including know-howandtradesecrets)andallotherintellectualpropertyrights,ineachcasewhetherregisteredorunregisteredandincludingallapplicationsandrightstoapplyforandbegranted,renewalsorextensionsof,andrightstoclaimpriorityfrom,suchrightsandallsimilarorequivalentrightsorformsofprotectionwhichsubsistorwillsubsistnoworinthefutureinanypartoftheworld;

“OBAStandards” meansindustrybestpracticesincluding,withoutlimitation,self-regulatoryprinciplesasdirectedbytheDigitalAdvertisingAlliance,NetworkAdvertisingInitiative,EuropeanAdvertisingStandardsAllianceandtheEuropeanSelf-RegulatoryProgrammeforOnlineBehaviouralAdvertising]includingtheEASABestPracticeRecommendationonOnlineBehavioural Advertising and the IAB Europe EU Framework for Online BehaviouralAdvertisingandotherSelf-RegulatoryPrinciplesoftheIABEuropeorsuchreplacementcodes and guidelines as published from time to time by any competent authority),including therulesononlinebehaviouraladvertisinginAppendix3of theCAPCodeand/or equivalent rules applicable in the Territory where the Campaign will bepublished.

"Order" means either Disney's Sales Order form (also known as an Insertion Order or IO)completedbytheClient,orcommitmentorbookingplacedthroughtheCARIAService(or other applicable online system) to buy Airtime at an agreed rate for an Airtimecampaign)orthecommercialdealtermsagreedbythepartiesandsetoutinamediaplan, Statement/Scope of Work (SOW), Promotional Licence Agreement or othersponsorshiporpromotionagreement,whichsetsoutthedetailsoftheCampaign(fortheavoidanceofdoubtanOrderforAirtimebecomeslegallybindingonceacceptedbyDisneythroughtheCARIAServiceonly(unlessagreedotherwiseinadvancebyDisney)orbytheprovisionofactualAirtimebyDisney);

"PersonalData" hasthemeaningascribedtoitundertheDataProtectionLaws,andshallfurtherincludeanydataor information thatClientor itsAdvertisingPartnersprocessinconnectionwith the Campaign that refers, is related to, or is associated with an identified oridentifiable individual, including, but not limited to, any information that provides aprecisegeolocationofanindividual;andanydeviceIDorotherpersistentidentifierthatisorcanbeassociatedwithotherPersonalData,excludingAnonymousInformation.

“PlatformRules” meansanyandall advertisingpolicies, standardsor rulesappliedbyany thirdpartysocialmediaorotherplatformornetwork;

“Regulator” meansanyregulatoryorgoverningbodyorothercompetentappointedfromtime totime to regulate advertising, sponsorship or promotional activity in the Territoryincluding any national or supra-national court, the European Commission, anygovernmentalor localauthority,anyotherpersonexercisingpowerspursuanttoanyApplicableLawandineachcaseincludesanysuccessororreplacementbody;

“CampaignData” means any information or data including Personal Data that is (a) collected duringdeliveryofanyCampaignCreativethatidentifiesorallowsidentificationofDisney,anyDisney Media Platform or Disney brand, content, context, or users;////meansinformationordataincludingPersonalData(b)providedtoMediaAgencybyDisneyoranyDisneyAffiliate,and/or(b)collectedbytheMediaAgencyoritsAdvertisingPartnersonbehalfofDisneyinthecourseofprovidingtheAdvertisingServices(includingbutnotlimitedtodatacollectedbytheMediaAgencyoritsAdvertisingPartnersfromDisneyPropertiesorinrelationanyuserinteractionwithanyDisneyAdvertising).

“SocialTalent” meansbloggers,vloggersandothersocialmediatalentengagedbyDisneyoritsaffiliatestoparticipateintheCampaignasfurtherdetailedintheOrder.

“Specification” means the technical or other specifications for the Creative required byDisney andprovidedtotheClient;

“SponsorshipCredits”

meansthestilloranimatedsequencesorothermaterialsincludingtheAdvertiserBrand,whichassociatestheAdvertiserwiththerelevantDisneyMediaPlatformand/orrelatedDisneycontentthereonspecifiedintheOrder;

“Strikeweight” ifused,meanstheamountofTVRsbyreferencetoanagreedperiod;

“TrackingTechnologies”

meansanycookies(browser-basedorFlashcookies),tags,HTML,JavaScript,beacons,pixels,APIsorotherprogramming,softwarecodeorsimilartechnologiesnowknownorhereafterdevelopedthataredesigned,implementedorintendedtotrackusers’onlinebehaviour,activityorinformationortotrack,monitor,collectorprocessDisneyUserData;

“TVR” meansatelevisionratingbeingonepercentofagivenaudienceuniverse;

“WorkingDay” meansMonday to Friday inclusive in eachweek except anyBank or PublicHoliday.CampaignCreativedeliveredafter4pmonaWorkingDayshallbedeemedtohavebeenreceivedonthenextWorkingDay.

2. Agreement.

These Terms togetherwith the Order, the Specifications, the DisneyGuidelines and any special terms agreedbetweenthepartiesinwritingandsetoutintheOrderorannexedtotheseTerms(“SpecialTerms”)togetherformtheagreementbetweenDisneyandClient(the“Agreement”).ThetermsofthisAgreementshallapplytoallmediabuysrelatedtoadvertising,sponsorshiporotherpromotionalactivityoftheClientonDisneyMediaPlatformstotheexclusionofallothertermsandconditionsincludinganytermsandconditionswhichtheClientmaypurporttoapplyunderanypurchaseorder,confirmationoforderorotherdocumentunlesssuchvariationhasbeenagreedinwritingandsignedbybothparties.UnlessstatedintheOrderoraCampaignSummaryattachedtotheOrder,thisAgreementmaynotfullycoverco-brandedpromotions,sponsorshipsorotherarrangementinvolvingco-brandedintegration,customcontentassociationand/orspecialproductionsorevents(whichshallbesubjecttoDisney’sStandardTermsandConditionsforPromotionsorsuchothertermsthatDisneymaydecidetoapply),butmaybeusedasthebasisforthemediacomponentsofsucharrangements.

ByplacinganOrderwithDisney,theClientacceptsinfulltheseTerms.UnlesstheOrderexpresslystatesotherwise,totheextentthatthereisanyconflictbetweentheOrder,theSpecifications,theDisneyAdvertising&SponsorshipGuidelines,theSpecialTermsandtheseTerms,theseTermsshalltakepriority.

WheretheClientisanAgency,theAgencywarrantsandrepresentsthat:

2.3.1 it contractswithDisneyasprincipalandundertakes toperformallobligationsof theClientunder thisAgreementasprincipal,notwithstandingthatitmayalsobeactingasanadvertisingagencyormediabuyerorinsomeotherrepresentativecapacity;

2.3.2 itisauthorisedtorepresentandbindtheAdvertisernamedintheOrder;

2.3.3 itundertakestoindemnifyDisneyagainstanylossarisingfromanyclaimbytheAdvertiserthatitshouldnotbebound;

2.3.4 withoutprejudicetoclause2.3.2,ithasallrelevantauthorityfromtheAdvertiserthatisnecessaryfortheAgencytoperformalltheClient’s/Advertiser’sobligationsunderthisAgreement,includingalllicensesandconsentsrequiredtoenterintotheOrder(includingwithoutlimitationallnecessarylicensesand/orotherrights to assign for or supplyDisneywith theCampaignCreative or other Intellectual PropertyRightspursuanttothetermsofthisAgreement);

2.3.5 withoutprejudicetotheindemnitiessetoutinclause18,itundertakestoindemnifyDisneyagainstanyclaims,liabilities,losses,damages,feesandexpensesofanykind(includinglegalfeesandcosts)sufferedorincurredbyDisneyasaresultoftheAgency’sbreachofthewarrantiescontainedinthisclause2.3orany claimor actionmade againstDisney by theAdvertiser and/or any of theAdvertiser’s affiliates inrelationtoanymatterunderthisAgreement;

2.3.6 itwillbetheresponsibilityoftheAgencyandnotthatofDisneytocollectallmoniesowedtoit.PaymentbyAdvertisertoAgencyshallnotdischargeeither’sliabilitytoDisney.TherightsofDisneyshallinnowaybeaffectedbyanydisputeorclaimbetweenAdvertiserandAgency;and

2.3.7 it has complied with any disclosure obligations it has to the Client/Advertiser in respect of agencycommissionearnedorotherwisedueunderitsarrangementswithDisney.

3. Orders

Allrequestsforthedisplay,transmissionorotherpublicationofCampaignCreativemustbesubmittedtoDisneyundercoveroforotherwiseassociatedwithanOrdersignedbybothparties,eitherbye-mailor(inthecaseofAirtimebookingsmadeviaDisney’sdesignatedelectronicbookingsystemwhicharesubjecttotheseTerms).DisneyshallhavenoobligationtoacceptanyOrderorbookingsubmittedbytheClient.

AcceptanceoftheOrderandtheseTermswillbedeemedtheearlierof(i)written(whichincludesexchangeofscannedPDFcopiesofasignedOrder)approvaloftheOrderbyDisneyandClient,or(ii)thedisplay,broadcastorother publication ofCampaignCreativebyDisney, unless otherwiseagreed on theOrder.Notwithstanding theforegoing,modificationstotheoriginallysubmittedOrderwillnotbebindingunlessapprovedinwritingbybothDisney and Client. Subject to acceptance by Disney and unless otherwise expressly set out in the Order, theCampaignCreativeshallbepublishedon therelevantDisneyMediaPlatform(s)during theCampaignPeriod inaccordancewiththetermssetoutintheOrderprovidedalwaysthattheplacementanddesignationofanyCampaignCreativeorcampaignpositionsshallatalltimesbedeterminedbyDisneyinitssolediscretion.

PriortotheacceptanceofanyOrder,DisneyreservestherighttoobtaincreditapprovalfromathirdpartycreditscoringagencyinrelationtotheClientandtheClientagreesthat,wherenecessary,itwillprovidesuchinformationasisreasonablynecessaryinordertoallowDisneytomakesuchanassessmentincludingperiodicre-assessmentsat reasonable intervals.Order acceptance is subject to satisfactory creditapproval.Disneymay in its absolutediscretionatanytimegrantcredit(withorwithoutconditionsand/orlimits)totheClientandwithdrawcreditpreviouslygrantedtotheClientand/orvaryanyconditionsand/orlimitsapplyingtoanycredit.TheClientwillcomplywiththeobligationscontainedinanyagreementbetweenitandDisneyoranysuchthirdpartyrelatingtothegrantingofcreditbyDisney(includingspecifictermsofanybankguaranteethatmayberequiredtosecureacreditfacility)andtheClientacknowledgesthatnoinformationorreportmadebyDisneyoranythirdpartywillinanywayobligeDisneytograntcredit(onparticulartermsorotherwise)totheClient.

Multi-territory/Internationaldeals:Disneyisabletobrokerorotherwisemakeavailablethroughitsnetworkofaffiliatedcompanies,mediainventoryopportunitiesinmultipleterritories.UnlessotherwiseagreedintheOrderwhenClientoranyof itsglobalaffiliateswishtopurchasemediainventoryonDisneyMediaPlatforms,andtheDisneyaffiliateisabletoprovidesuchmediainventory,therelevantpartieswillenterintoaseparateOrder.EachOrderwillincorporatetheseTermsoranyframeworkagreemententeredintobytheparties.

4. ClientObligations

Clientagreesandundertakesasfollows:

(a) topaytheFeesspecifiedintheOrderonthedatesdueforpayment;

(b) toprovidetoDisneyforreviewpriortoacceptanceandonorbeforetheDeadline:

(i) a copy of the Campaign Creative in the format specified in the Order and conforming to theSpecificationsandtheGuidelines;

(ii) any content or technology including any Tracking Technology associatedwith any CampaignCreativethatmaycollectorprocessCampaignData;

(iii) copiesofanymessagesthatausermightseewheninteractingwiththeCampaignCreative.Thisincludes,withoutlimitation,anyerrormessagesiftheCampaignCreativefailstooperatecorrectly,andanybrowsernoticerequestinguseracceptanceofanyTrackingTechnology;

(iv) anyotherinformationreasonablynecessaryinordertoallowDisneytoassessthesuitabilityoftheCampaignCreative;

(c) torespondingoodfaithtoquestionsraisedbyDisneyinrelationtoanyCampaignCreativeinatimelymanner.Alltechnicalandnon-technicalissuesmustberesolvedtoDisney’ssatisfactionpriortothedeliveryof any Campaign Creative to Disney and/or transmission or Intellectual Property Rights or otherpublication;and

(d) willnot,andwillnotauthorizeothersto,distribute,broadcastorutilizeforanycommercialpurposesanyDisneycontentunlessexpresslypermittedunderthisAgreementorotherpromotionallicenceagreement.

DeliveryofCampaignCreativeshallbedeemedtohavebeenmadeonlywhenDisney'sSpecificationshavebeenmetandtherelevantdisplay,transmissionorpublicationinstructionshavebeengivenandagreed.DisneyshallnotifytheAdvertiserwhomustsupplyalternativeCampaignCreativeatitsowncostassoonaspossibleandinanycasenotlaterthantheDeadline.ShouldalternativecopynotbesuppliedornotbeacceptedDisneyshallbeentitledtobepaidby theClient in full for theOrder.In theevent thatanynewand/orupdatedCampaignCreative isnotreceivedbyDisneybytheDeadline,DisneyshallbeundernoobligationtoobservetheCampaignStartDate. Inaddition,Disneymay,atitssoleoption,useordisplaypreviouslyprovidedCampaignCreativeinordertosatisfytheOrder.

ThedeliveryofairtimeunderthisAgreementissubjecttopriorapprovalbytherelevantRegulatororotherpre-clearancebodyofthefinalversionofalladvertisements.

Campaign Creative must be delivered to Disney by the Deadline accompanied with any applicable rotationinstructions.InexceptionalcasesDisneywillendeavourbutisnotobligedtoacceptCampaignCreativedeliveredaftertheDeadline.

WhereAirtimeCampaignCreativeisnotdeliveredbytheDeadline,theAdvertisershallatthediscretionofDisneybeliabletopayalatecopysurchargeof£250plusVATperCampaignCreativecopyand/orbeliabletopayinfullfortheCampaignCreativebookedwhetherornotanyCampaignCreativeisinfacttransmittedorpublished.

ThefollowingDeadlineswillapply:

(a) CampaignCreativecontainingcustomtechnologyornotservedonDisney’sownserver,nolaterthanten(10)WorkingDayspriortotheCampaignStartDate;

(b) ForallotherOrders,nolaterthanseven(7)WorkingDayspriortotheCampaignStartDate;

5.5.2 Campaign Creative for mobile campaigns, no later than twenty-one (21) working Days prior to theCampaignStart.

IfanyonlineCampaignCreativeisdeliveredaftertheDeadlinetheClientwillloseImpressionsonadailypro-ratabasisfromCampaignStartDateuntilcopyisdeliveredandDisneycantestandpostit(3WorkingDaysfortestingstandardformatsand5WorkingDaysforRichMediaformatsarerequiredasaminimumhoweverDisneywilluseitsreasonableendeavourstosetupcampaignsassoonaspossible).IfClientneedstochangetheCampaignStartDatebecausetheCampaignCreativeisnotreadyoritswebsite(orsocialmediapage)isnotyetlivethiscanbedoneuptoten(10)WorkingDaysbeforetheoriginalCampaignStartDate.ChargeswillbemadeforCampaignCreativereceivedafter12.00p.m.ontheWorkingDaybeforetheCampaignStartDate.

IfCampaignCreativeprovidedbyClientaredamaged,donotcomplywith theSpecifications, theGuidelinesorotherwiseunacceptableorunsuitable,DisneyshallnotifytheAdvertiserwhomustsupplyalternativeCampaignCreativeatitsowncostassoonaspossibleandinanycasenotlaterthantheDeadline.

IfCampaignCreativematerialsarenotreceivedbytheCampaignStartDate,DisneywillbegintochargetheClienton thatdateonaproratabasisbasedon theOrder,excludingportionsconsistingofperformance-based,non-guaranteedinventory,foreachfulldaytheCampaignCreativematerialsarenotreceived.IfCampaignCreativeislatebasedontheGuidelines,DisneyisnotrequiredtoguaranteefulldeliveryoftheOrder.DisneyandAdvertiserwillnegotiatearesolutionifDisneyhasreceivedallrequiredCampaignCreativeinaccordancewiththeseTermsbutfailstocommenceacampaignontheCampaignStartDate.

Disney shall make reasonable endeavours to accommodate the Advertiser’s wishes to run different creativeversionsduringaCampaignPeriod.However,DisneyshallnotbeobligedtoacceptdifferentcreativeversionsandreservestherightatitsabsolutediscretiontorefuseCampaignCreativewhichpromotesmorethanoneproduct.IfinDisney'sopinionanyCampaignCreativepromotingmorethanoneproductistheconsequenceofeditingtwoormoreadvertisementswiththepurposeoftakingadvantageofreducedratesforAirtimeofagreatertimelength,Disneyreservestheright,atitsabsolutediscretion,tochargesuchAirtimeatarateequivalenttothatwhichDisneywouldhavechargedhadtheCampaignCreativeforeachproductbeensubmittedtoitseparately.

Anyinvoicesubmittedforlatedeliverysurchargesshallbepaidwithin30daysoftheinvoicedate.

ReasonablecarewillbetakenbyDisneyinrespectofanymaterialsprovidedbyoronbehalfoftheClienttoDisneywhilstinthepossessionofDisney,butsubjectthereto,Disneycannotacceptliabilityforanylossarisingoutoforinconnectionwithanydamage,loss,deletionorotherwiseofthesame(whetherornotthesameareinthepossessionofDisneyoranythirdpartyengagedbyDisney)andDisneywillbeundernoobligationtoreturnanyofthesametotheClientoranyotherthirdparty.TheClientwillberesponsibleforensuringthatallmaterialsprovidedbyitareinsuredforfullvalueandDisneywillhavenoobligationtoputinplaceanyinsurancepolicyinrespectofthesame.UnlessotherwiseinstructedCampaignCreativemaybedestroyedbyDisneyifnottransmittedforaperiodof90dayswithoutfurthernotice.

6. Compliance&RighttoReject

Disneyhas,andwillatalltimescontinuetohave,completeeditorialcontroloftheDisneyMediaPlatformsmeaningthatDisneywillbesolelyresponsibleforthedesign,layout,look-and-feel,posting,schedulingandmaintenanceofanyandallaspectsoftheDisneyMediaPlatformsandcontenttherein,includingwithoutlimitationeditorialpolicyandthedisplayoftheCampaignCreative.Disneywilldecideinitssolediscretionandforanyreasonwhetherornottodisplay,toremoveand/ortoblockaccesstoanyCampaignCreativeorothercontent.Forclarity,DisneyshallhavefinalapprovaloftheSponsorshipCreditstoensurecompliancewithanyApplicableLawandanyeditorialrequirements.

ExceptasotherwiseexpresslyprovidedinthisAgreement,positioningofCampaignCreative,AdvertiserBrandorAdvertiserIPonanypartoftheDisneyMediaPlatformsisatthesolediscretionofDisney,andDisneywillnotbeprohibitedfromalsocarryingadvertisementsforanyproductorbusinesscompetitivetotheproductorbusinessoftheAdvertiser.DisneydoesnotwarrantthedateordatesofinsertionoftheCampaignCreativeanddoesnotwarrantthattheCampaignCreativewillnotbedisplayedaftertheCampaignEndDatespecified.However,DisneywillusereasonableendeavourstocomplywiththeClient'swishesintheseregards.Noprotectionagainstproximityofcompetitiveproductsisgiven.

CampaignCreativewillonlybetransmittedifapprovedbyDisney,satisfytheSpecificationsandcomplywiththeGuidelines,ApplicableLawsandAdvertisingStandardsandinadditionallCampaignCreativeincluding:

6.3.1 scriptsand/orstoryboards,mustbesubmittedinadvancetotheDisneyComplianceTeamforprovisionalapprovalbeforetransmission;

6.3.2 all finishedclockedCampaignCreativemustbesubmittedtotheDisneyComplianceTeamforapprovalbeforetransmission;and

6.3.3 approvalbytheDisneyComplianceTeamofanyCampaignCreativeshallnotinanywayprejudiceDisney’srighttorejectanyCampaignCreative.

ApprovalbyDisneyofanyCampaignCreativewillnotbedeemedtoconstituteanacceptancebyDisneythatsuchCampaignCreativeisprovidedinaccordancewiththisAgreement,norwillitconstituteawaiverofDisney'srightshereunder.

Disneyreservestherightatanytimeinitsabsolutediscretiontorejectorotherwisenottodisplay,transmitorpublish(ortoremoveafterpublication)anyCampaignCreativeoranyspacereservationorpositioncommitmentwheretheCampaignCreativeoranyassociatedsoftwarecode,orthewebsitetowhichtheCampaignCreativeislinkeddonotcomplywith (i) theSpecificationsorGuidelinesor (ii)whereDisneybelieves that theCampaignCreativeisunsuitablehavingregardtotheageandprofileofthoseviewing,visitingorotherwiseusingtherelevantDisneyMediaPlatformorinteractingwiththeCampaignCreativeand/or(iii)inDisney’ssolereasonablejudgment,anyApplicableLaworAdvertisingStandards.

AllbroadcastprogrammesaresubjecttosuspensionorcancellationorplacementatthesolediscretionofDisneyor in response toanycomplaintoranyregulatoryadjudication, intervention, requirementor ruling.TheClienthereby acknowledges and agrees that, unless agreed otherwise inwritingwith Disney, all Campaign CreativeprovidedunderthisAgreementwillbeclearedfortransmissionacrossalloftheDisneyMediaPlatformsandDisneymaytransmittheCampaignCreativeacrossanyoralloftheDisneyMediaPlatforms(whetheronasimultaneousbasisoranyotherbasis)withoutprovidingpriornoticetotheClient.

Disneyreservestherightatitsabsolutediscretiontodoanyactorthinginrespectofthetransmission,publicationorpositioningofanyCampaignCreativeorpartthereof(includingthefading,editing,orcuttingthereof),wheresuchCampaignCreativeorpartthereofisconsideredbyDisneytobeunsuitablefortransmissionandDisneyshallnottherebyincuranyliabilitytotheClientwhoshallhavenoclaimwhatsoeverfordamagesorotherwiseinrespectofanynon-transmissionofanysuchCampaignCreativeorpartthereofbuttheClientshallremainliableinfulltoDisneyforthechargespayablehereunderforsuchCampaignCreative.Disneyreservestherighttoredesignormodifytheorganisation,navigation,structure,"lookandfeel"andotherelementsoftheDisneyMediaPlatformsatitssolediscretionatanytimewithoutpriornotice.

DisneyreservestherightatitsabsolutediscretionnottoacceptanyOrderoranyCampaignCreative,includingbutnotlimitedtocompetitiveadvertisementsthatcontaindate,dayortimespecificorappointmenttoviewreferencesineitheraverbalorvisualcontext.

Disney reserves the right in its absolute discretion (andwithout incurring any liability) to decline to display,transmitorpublishanyCampaignCreativewithoutgivinganyreasonfordecliningbuttheClientshallnotbeliabletopayforanyCampaignCreativewhichDisneydeclinestotransmitprovidedsuchCampaignCreativehasbeendeliveredontime.

Disney shall not be held responsible for any addition to, changes in or deletions from any CampaignCreativerequiredbyanyRegulatororClearanceBodyordelaysresultingtherefrom.

DisneymayatanytimeandwithoutanyliabilitytotheClient,saveasexpresslyprovidedinthisAgreement,stoptransmissionorpublicationoftheCampaignCreativeorotherwiseceasetomakeavailableanyoftheDisneyMediaPlatforms or programmes or trailers or other content in order to comply with Applicable Laws, AdvertisingStandardsorinresponsetoanycomplaintoranyregulatoryadjudication,intervention,requirementorruling.

7. Dates&TimesofTransmissionorPublication

Disneydoesnotguarantee that theDisneyMediaPlatformswillbeavailableor that the timesand/ordatesofdisplay,transmissionorpublicationofanycontentoftheDisneyMediaPlatformswillbeadheredto.Disneyshallincurnoliabilityforanyfailuretodisplay,transmitorpublishalloranypartofanyCampaignCreativeorforanyfailuretoadheretoCampaignCreativerotationinstructions,exceptthatifatotalfailuretotransmitshallbeduetothefaultofDisneytheClientshallnotbecharged.

IfAirtimeisnottransmittedonthedayandinabreakarranged,Disneywillendeavourtoofferatransmissionatsomeotherdatewhichmaybeaccepted insteadby theClient.Airtimeadvertisingappearingwithin thirty (30)minutesofthesegmentbookedwillnormallyberegardedasappearingwithinthesegment.CampaignCreativebookedfortransmissionataspecifictimewillbetransmittedinthecommercialbreaknearesttothattime.

Disneymayatany timechange theschedule (including timing,numberand frequency) for transmissionof thesponsored programme(s) or promotional trailers for the sponsored programmes and shall have no liability(includinganobligationtoreducethefees)totheClientarisingoutoforinconnectionwithanysuchchangeorotherwisearisingoutoforinconnectionwiththeschedulingofanysponsoredprogrammesorrelatedtrailersorintheeventtherearenosuchtransmissions.Notwithstandingthis, intheeventwheretherearechangesinthetransmissionschedulewhichinDisney’sreasonableopinionmateriallyaffectsthevalueofthesponsorship,DisneywillseektonegotiateanappropriatereductioninthefeeswiththeClient.

8. CancellationorPostponement

AnyOrdermaybecancelledbyeitherpartyprovidedthatnoticeinwritingisreceivedandacknowledgedbyDisneyor theAdvertiser not less thannine (9)weeks before the Campaign StartDate. Cancellation or postponementrequestsforcampaignswithinnine(9)weeksbeforetheCampaignStartDateshallbeconsideredbyDisneyandmaybeacceptedatDisney'sabsolutediscretionsubjecttothefollowingcancellationchargesthatapplytotheentirecampaign:

Over6weeksfromCampaignStartDate 20%ofFees 29to42daysfromCampaignStartDate 35%ofFees 0to28daysfromCampaignStartDate 100%ofFees

UnlessanOrderiscancelledinaccordancewiththisAgreement,ClientwhofailstodeliveranyCampaignCreative

bytheDeadlinewillremainliabletopayinfullwhetherornottheCampaignCreativeisdisplayed,transmittedorotherwisepublished.DisneyreservestherighttoretainallexpenditureforanypostponedcampaignandtorebooktheCampaignCreativeduringamutuallyagreedperiod.

ClientwillremainliabletoDisneyforamountsdueforanyCustomMaterialordevelopmentthereofprovidedtoClientorcompletedbyDisneyoritsthird-partyvendorpriortotheeffectivedateoftermination.ForOrdersthatcontemplatetheprovisionorcreationofCustomMaterial,DisneywillspecifytheamountsdueforsuchCustomMaterialasaseparatelineitem.AdvertiserwillpayforsuchCustomMaterialwithin30daysfromreceivinganinvoicetherefore.TheClientacknowledgesandagreesthatDisneywillhaveincurredcostsandexpensesrelatingtotheprovisionoftheCustomMaterial, includingbutnot limitedtocostsindesigning,developingandhosting,providing technical servicesand the production and licensing of content, includingDisneycontent.DisneywillinvoicetheAgencyforallsuchproductioncostsincurredupuntilthedateofterminationwithin30daysofthedateoftermination.

9. CustomContentProduction&SocialTalentEngagementServices

WheredetailedinanOrderDisneywill(orwillcommissionthirdparties,includingtheengagementofSocialTalentto)create,developanddesignCustomContent(whichmaybeincludedinorassociatedwiththeCampaignCreative)tobetransmitted,published,displayedorotherwisehostedontheDisneyMediaPlatformsduringtheCampaignPeriod.

DisneywillprovidetheClientwithdraftsormockupsoftheCustomContent(orpresentationofsuchmaterialsastheywouldappearontheDisneyMediaPlatforms)onsuchdatesetoutintheOrderorotherwiseagreedbytheparties separately inwritingandbefore thestartof theCampaignPeriod inorder for theClient to reviewandapprovethepresentationoftheAdvertiserBrand.OncetheClienthasapproved,theClientwillhavenofurtherright

torequirechangestoortoapproveanyaspectoftheDisneyMediaPlatformsincludingbutnotlimitedtothedesign,layout,look-and-feel,postingandthedisplayofCustomContent.IftheClientdoesnotapprovebeforethestartofthe Campaign Period, then thiswill not preventDisney from proceeding to commencing the campaign on therelevantagreedcommencementdatesetoutintheOrder.

WheretheCampaigninvolvestheengagementofSocialTalentandthecreation,developmentandproductionofCustomContenttobeuploadedand/orpublishedviathesocialchannelssetoutintheOrder,DisneyandClientshallmutuallyagreeon thecontentof theCustomContentprior touploadorpublication.Disneyor itsagents shallprovideClientwithadraftofthesocialpostand/orthecreativetreatmentforanycustomvideo,one(1)roughcutandone(1)finaleditofeachvideo.Clientshallbeentitledtoone(1)roundofreviewandNotesforeachelementabove.Client’sreviewandrequestsforedits,modifications,orotherchangestothecreativetreatmentand/orroughcutof theapplicablevideoshallbe reasonable, timely,specificandprovidedinwritingonanaggregatedbasis,incorporatingsuchrequests intoasingleroundofnotes(“Notes”)andwithintwo(2)businessdaysofDisney’srequestfor reviewunless theexigenciesofproductionrequire faster turnaround, inwhichcaseNotesmustbeprovidedwithintwenty-four(24)hoursofsubmissionofsuchroughcut.Notesand/orapprovalsofthefinalcutoftheapplicablevideomustbeprovidedtoDisneywithinone(1)businessdayofDisney’srequestforreview.ThefunctionofsuchfinalapprovalisforAgencytoconfirmthatthechangesspecifiedintheroughcutNotesweremadetoClient’swrittenspecifications. If so, thennoadditionaleditswillbe requestedbyeitherparty.DisneyshallprovideClientwithone(1)courtesyreviewofeachsocialmediapostpriortouploadforlegalcompliancereviewonly.Duetothenatureofthedeliverable,livestreamswillnotbereviewedbutshallbeprovidedinrealtime.

WhereDisneycommissionsthirdparties,includingtheengagementofSocialTalenttocreate,developanddesignCustomContenttobetransmitted,published,displayedorotherwisehostedontheDisneyMediaPlatformsduringtheCampaignPeriod,DisneyshallberesponsibleforensuringsuchthirdpartylabelstheCustomContentwiththeappropriate marketing communication disclosures. Client shall be responsible for all other marketingcommunicationdisclosuresand legal complianceincluding foranyCustomContentproducedbyDisneyfor theClient.

10. PrizeCompetitions

WheretheCampaigninvolvesaprizedraw,orcompetitionorotherconsumerresponsemechanicthepartiesshallagreewhoshallberesponsibleforfundingandadministeringtheredemptionandfulfilmentoftheprizesintheOrderorotherwiseseparatelyinwriting.Therelevantpartyresponsibleshallensurethatprizesaresentoutatitscosttowinnerspromptlyandnotlaterthan28daysafterannouncementofthewinners.

IntheeventDisneyreceivesanycomplaintfromanyprizecompetitionentrantduetoanydelayorfailureoftheClienttofulfildeliveryoftheprize(s),Disneyreservestheright(butisnotobligated)tocontactaffectedparticipantsorwinnersdirectlyandtoobtainanddelivertheprize(s)(wherepossible)tothewinner(s)andrecoverallcostsforthesamefromtheClient.

Iftheprize(s)arebeingsuppliedbyDisneyandarenotavailableforreasonsoutsideofDisney’scontrol,Disneywillprovidereplacementprize(s)ofequivalentvaluetoClientortheselectedwinners.Advertiser’ssoleremedyforanyfailurebyDisneytosupplytheprize(s)shallbeasumequalthetotalvalueoftheprize(s).

WhereClientsuppliesprize(s)fordistributionbyDisney,Clientwarrantsthattheprize(s)arenew,unusedandcompliantinallrespectswiththedescriptionofthemprovidedtoDisney,lawfultodistributeandClientshallatalltimesbedirectlyresponsibletothewinner(s)foranydefectsintheprize(s)andforanyandallotherobligationsowedtothewinner(s)inrespectoftheprize(s)inaccordancewiththeApplicableLawsandAdvertisingStandards.

WheretheCampaignCreativeprovidesalinktoaprizedraw,orcompetitionorotherconsumerresponsemechanicontheAdvertiser’sownwebsite,Advertiserwillsolelyberesponsiblefor:

(a) organisingallaspectsoftheactivity,including,butnotlimitedto,administration,redemption,fulfilment,andanycostsassociatedwiththesame;

(b) ensuringthatallrelevanttermsandconditionsapplicabletotheactivityareprominentlydisplayedandmadeavailabletoallparticipantsforacceptanceeitherpriortoorattimeofentry;

(c) fairly and equitably selecting the required number of winners conducted either under independentsupervisionoraverifiablyrandomcomputerprocesswhichhasbeenauditedand/orjudgingandselectingwinnersusingtheservicesofanindependentjudgeinaccordancewithpre-determinedjudgingcriteria;and

(d) handlingallcustomerandparticipantenquiriesorcomplaintsinconnectionwiththeactivity.

AllintellectualpropertyrightsintheAdvertiserIPandtheCampaignCreative(excludingtheCustomContentoranyDisneyIntellectualPropertyRightsincorporatedtherein)shallremainthepropertyoftheAdvertiser.

TheClientherebygrantstoDisneyaworldwide,non-exclusive,royalty-freelicencetoreproduceanddisplaytheCampaignCreative(includingtheAdvertiserIP)forthepurposeofallowingDisneytocomplywithitsobligationsundertheAgreementandherebyauthorisesDisneytodisplay,transmitorotherwisepublishallCampaignCreativedeliveredpursuanttothisAgreement.

TheClientrepresentsandwarrantsthatitownsorobtainedallnecessaryrightstotheAdvertiserIP,theCampaignCreativedoesnotcontainanyvirusesorothermaliciouscode,thegrantofrightstoDisneyandDisney'suseofsuchCampaignCreativeandAdvertiserIPshallnotviolateanyright(s)ofathirdparty,andClientagreestodefend,indemnify andhold harmlessDisneyand its agents fromand against all damages, liabilities, losses, costs, andexpenses(includingreasonableattorneys'fees)relatingtoanyclaim,action,suitorproceedingbroughtbyathirdparty based on any actual or alleged breach by Client of its representations and warranties included in thisparagraphoranyactualoralleged infringementormisappropriationof such thirdparty's IntellectualPropertyRightsinconnectionwithDisney'suseoftheCampaignCreativeandAdvertiserIP.

TheClientgrantstoDisneytheexpressrighttoreproducethroughouttheworldscreenshotsofallorpartoftheDisneyMediaPlatformcontainingallorpartofanyoftheCampaignCreativeorotherwisefeaturingAdvertiserIPonorinanypromotionaloradvertisingmaterialorcampaignpromotingoradvertisingDisneyortheDisneyMediaPlatforms.

All legalandbeneficialinterest inanyintellectualpropertyrightsrelatingtoCustomContentorothermaterialsprovidedbyDisneyforinclusionintheCampaignCreativeandallsuchmaterials,video,audio,graphics,text,dataorsoftwareprovidedbyoronbehalfofDisneyforthepurposesoftheAgreement(howeverexcludingtheAdvertiserIP)andalltemplates,formats,documents,drawingsandallotheritemsproduced,developed,utilisedorsupportedbyoronbehalfofDisneyremainthepropertyofDisney.Fortheavoidanceofdoubt,whereDisneypaysathirdpartytodevelopanyCustomContentorDisneyisauthorisedtouseCustomContentproducedbyaDisneyaffiliateandlicensethoserightstotheAdvertiser,itshallbedeemedtobesuppliedbyoronbehalfofDisneyandremainthepropertyofDisneyforthepurposesoftheAgreement.IntheeventDisneypermitsClienttoeditCustomContentortocreatederivativeworksfromsuchCustomContent(“ClientEdits”),suchClientEditsshallbesubjecttoreviewbyDisneyand/orSocialTalentandshallbeownedbyDisney.

12. FeesandPaymentTerms

TheapplicableFeesarestatedintheOrder.SubjecttoSection12.2,awritteninvoiceinrespectofFeeswillbeissuedtoClientwithinthirty(30)workingdaysoftheCampaignStartDate.PaymentbyClientoftheFeesinthecurrencyoutlinedontheinvoicewillbeduetoDisneynolaterthanthirty(30)daysfromthedateoftheinvoice.DisneyreservestherighttoapplyaninterestchargeonlatepaymentsattheprevailingprimelendingrateofSouthAfricafromtimetotime,uponsuchamountsfromthedatesuchamountsweredueuntilthedateofactualpaymentandshallbewithoutprejudicetoanyotherrightsorremediesDisneymayhaveagainsttheClient.Suchinterestshallaccrueonadailybasisandbecompoundedquarterly.

TimeshallbeoftheessencewithregardtothepaymentofanyamountsduetoDisneyunderthisAgreement.IfanyamountdueunderthisAgreementisnotpaidonorbeforeitsduedate,thenwithoutprejudicetoanyotherrightsitmayhaveunderthisAgreement,DisneymaychargeinterestonanyunpaidamountattheprevailingprimelendingrateofSouthAfricafromtimetotimefromtheduedateuntilthedateofpayment,andsuchinterestshallaccruedailyandbepayableondemand.

Unlessotherwiseagreedinwriting,whereClientdoesnotsatisfyDisney'screditratingrequirementsordoesnototherwisecomplywiththisAgreementitwillberequiredtopaytheFeesinadvancenotlaterthanten(10)WorkingDays prior to the scheduled Campaign Start Date, and in default of payment Disney shall be entitled, withoutprejudicetoitsrighttobepaidandotherremediesforbreachofcontract,torefusetodisplay,transmitorotherwisepublishtheCampaignCreative.

Inacasewhereanycampaignexceedsonecalendarmonthinlength,Disneymay,atitsoption,issueseveralinteriminvoicesforappropriatetimeperiodsduringtheCampaignPeriod.

WheretheFeesareexpressedtobeaminimuminvestmenttheClientguaranteesthatitwillpaysuchsumbytheendoftheCampaignPeriodandthepartieswillseparatelyagreeamediaplanwhichwillallowflexibilitytoallocatetoavailableinventoryduringthatperiod.Disneyreservestheright,uponpriorwrittennoticetotheClient,toamendanyCampaignmediaplanintheeventthatparticularinventoryplacementslistedinthemediaplanareremovedoraltered during the Campaign Period, provided that Disney replaces the affected inventory placements withinventoryofequivalentvalue.

NofurtherOrderswillbeacceptedfromClientwhenanyFeesduetoDisneyhavebeenoutstandingformorethanninety(90)days.DisneyreservestherighttodelaytheCampaignStartDateorsuspenddisplay,transmissionor

publication(withoutprejudicetoitsrighttobepaidinfull),untilfullpaymentisreceivedinrespectofanysuchoutstandingFees.

Theexistence of aquery inany individual item in anaccountwill only affect the due date of payment of thatindividualitem.TheAdvertisermustnotifyDisneyofanyquerywithinseven(7)WorkingDaysfromreceiptoftheinvoice,nodisputebytheAdvertisermaybebroughtafterthistime.IntheeventofaquerybeingresolvedinfavourofDisney,theiteminquerywillbesubjecttothefullrateofsurcharge,subjectonlytoDisneyhavingdealtwiththequeryreasonablypromptly.

AllpaymentsshallbemadeinfullanditshallnotbeopentotheClienttomakeanydeduction,retentionortoclaimanyrightsofsetoffortomakeanycounterclaiminanyproceedingsbroughtbyDisneyinrespectthereof.

IftheAgencyissigningthisAgreementforandonbehalfoftheClient,allinvoicesshallbesenttotheAgencyasprincipalforpayment.

13. Performance

SaveasotherwiseprovidedintheOrder,theClientacknowledgesthatDisneyhasnotmadeanyguaranteeswithrespecttoTVRs,audiencesize,usagestatistics,levelsofImpressionsorconversionratesforanyCampaign.Anystatisticsprovidedareestimatesonly.IfanOrdercontainsCPM,CPA,CPLorCPCcommitments,thepredictability,forecasting,andconversionsforsuchcommitmentsmayvaryandarenotguaranteed.

Fortheavoidanceofdoubt,ifanyCampaignCreativeisnotdistributedforanyreasonotherthanDisney’somission,Disney is not obligated to provide any makegood and shall have no further obligationswith respect to suchCampaign.Inanyevent,Disney’sobligationshereundershallnotextendbeyondtheCampaignPeriod;providedthatnotwithstandingtheforegoing,DisneymayextendtheCampaignPeriodbynotificationtoClientifthelaunchoftheCampaignisdelayedorthetotalnumberofagreedCampaignImpressionsfallsshortofthenumberintheOrder.

DisneywillmakeallreasonableendeavourstodelivertherequestednumberofImpressionswithinthedaterangesetoutintheOrder.IntheabsenceofspecificagreementtothecontraryintheOrder,Disneyreservestherighttodetermine in its discretion the precise placements and rotation of online ads. Disney shall make reasonableendeavourstospreadImpressionvolumesevenlyovertheCampaignPeriod.

The Client acknowledges that performance measurements provided by Disney are the official, definitivemeasurementsandnoothermeasurementsorusagestatistics(includingthoseoftheClientoranyotheradserver)willbeacceptedbyDisney.

IfDisneyfailstotransmitorpublishtheCampaignCreativeinfullforanyreasonwhatsoeverotherthanabreachofthisAgreementonthepartoftheClientoranyofitscontractorsorvendorsthenDisneyshallrepayaproportionoftheFeesproratatothereducedexposure.TheproratarepaymentshallbethelimitofDisney’sliabilityunderthisAgreement.

Although Disneywill make reasonable efforts to ensure that the Campaign Creative appears correctly, ClientacknowledgesthatitisresponsibleforverifyingthattheCampaignCreativedisplaysandoperatescorrectlyontheDisneyMediaPlatform. Inparticular, (butwithout limitation)Disneywillhavenoresponsibilitywhereaclick-throughtoaURL(oronlineadreferringtoaURL)failstolinkcorrectly,orforabrokentextlink,whereaclick-throughURLleadstoanerrormessagefortheuser.Furthermore,theClientagreesthatitissolelyresponsibleformatters such as colour corrections, proper animation, and the quality of any sound. In the event that, in thereasonableopinionof theClient, theCampaignCreative fails todisplayoroperatecorrectly,ClientmustnotifyDisneywithinthree(3)daysaftertheCampaignStartDate,inordertoeffectanycorrectivechange.Disneywillnotnormallymakeachargeforsuchchangesprovidedthattheyarenotexcessive,butreservestherighttomakeachargeifsignificantamountsofadministrativeworkarerequiredasitshalldetermineinitssolediscretion.

IfanyCampaignCreativefailstodisplayorotherwiseperformduetoanomissionbyDisney,ClientandDisneywillusecommerciallyreasonableeffortstoagreeupontheconditionsofamakegoodflight,eitheronarevisedOrderorotherwiseinwriting.Ifnomakegoodcanbeagreedupon,Disneyshalldetermineinitssolediscretiontoeitherre-performapartoftheCampaignorextendtheCampaignPeriodorissueacreditequaltothevalueoftheunder-deliveredportionoftheOrderforwhichtheClientwascharged.

In the event that any Campaign Creative cannot be transmitted, displayed or otherwise published because ofunavailabilityof technical facilities,defectorbreakdownofequipmentor transmission facilities, labordispute,governmentaction,oranycausebeyondthecontrolofDisney,Disney'sliabilitythereforshallbelimitedsolelytocancellationofallchargestoClienthereunderforsuchaffectedCampaignsandsuchfailureshallnotconstituteabreachofthisAgreement.

IftherequestednumberofImpressionshasnotbeendeliveredintheagreedupondaterange,Clientagreesthatunlessitprovidesnoticeinwritingrequestingthattheonlineadberemoved,DisneyshallbeallowedtocontinuetodisplaytheonlineadbeyondtheCampaignEndDate,inordertomakeupthenumberofImpressionsuntiltherequested total is delivered. Therewill be noadditional charge to Client for the delivery of the balance of theImpressionsaftertheCampaignEndDate.However,innocircumstanceswillClientbeentitledtoanyrepaymentofFees to the extent that the number of Impressions at the Campaign End Date have not matched the numberoriginallyrequested.

AnyreferencetoAirtimevalue,audienceshare,performanceordeliverywithrespecttoanyCampaignsetoutinanOrdershallbeestimatesonlyandanyoverorunderdeliveryshallnotbereclaimablebyeitherpartyatanytimeunlessthepartieshaveenteredintoaseparateannualtradingdeal(“AnnualDeal”).Thepartieswillcarryoutaquarterly reconciliation ofestimatedandactual performance or delivery (including,without limitation auditedbroadcastorvolumeshareorTVRsorotheragreedequivalentmeasurement)orcommittedgrossexpenditurebyClientor itsmediabuyinggroupandifanyauditedsharecommittedundertheAnnualDeal isunder-delivered,Disneyshallhavethefollowingremediesatitsoption:

(a) theoffsetagainstanycommitmentunder-deliveredbyDisney;or

(b) anincreasedshareinsubsequentyear(s);or

(c) anagreedcashover-delivery(abovetheagreedshareorothercommitment)forsubsequentyear(s);or

(d) withdrawalofanyrebateordiscountgranted;or

(e) anincreasedpricingforsubsequentyear(s).

IntheeventDisneywithdrawsanyrebateordiscountDisneymayre-invoicethecurrentdealperiodtotheClientandwill applya reasonablepriceadjustment to reflect thedifference.Anyoverorunderdeliveryshallnotbereclaimablebyeitherpartywithinsix(6)monthsaftertheendoftheAnnualDealperiod.

IntheabsenceofanAnnualDealiftheTVRsactuallydeliveredforacampaignarelessormorethanthoseestimatedtobedeliveredandpaidforbyaClientthiswillgiverisetoanairtimedebtorcredit.AtnotimeshallanyAirtimedebtorcredithaveanycashvalueorentitleeitherpartytoanycashpaymentfromtheotherandthepartiesshallnegotiate in good faith to agree a position to reconcile any shortfall through the normal course of tradingarrangements.

14. AuditRights

DisneyshallhavetherighttoaudittheClient’srecords(includinganyrecordsofanassociatedbarteragency)andClient’ssystems(includingwithoutlimitationDDS,MediaExplorerorsimilarsystem)atitsowncostatanytimeonreasonablepriorwrittennoticetoensurethatthetermsoftheAgreementhavebeencompliedwithandinparticularthatpaymentsarebeingmadeinaccordancewiththeAgreement.Theauditorsaretobepermittedaccesstoanyinformation andmake such enquiries as they consider relevant to the performance of their duties (includingwithoutlimitationtoboththefinanceandmediabuyingdepartmentsoftherelevantentity).DisneyshallbeentitledtoreceivedetailsofallauditedgrossexpenditurestoestablishthattheyfallwithinthetermsoftheAgreement.Theauditorswillprovidelettersofconfidentialitywhererequested.

IfanysuchauditrevealsthattheClienthasunderpaidtoDisneybymorethan3%ofsumsproperlydue,thentheClientshallpaytoDisneyimmediatelythereasonablecostoftheaudit,togetherwiththeamountoftheshortfallandinterestthereonaccruingdailyatamonthlyrateoftwopercentovertheBarclaysBankplcbaseratefromtimetotimeinforcefromthedatewhenthesumsweredueuntilthedateofactualpayment.Intheeventofanyshortfallbeingrevealedwhichislessthan3%ofsumsproperlyduetoDisney,theClientshallimmediatelymakepaymenttoDisneyoftheshortfalltogetherwithinterestattheforegoingrate.Theauditors’evaluationofthecostshallbefinalandbindingonbothparties.

15. OnlineandMobileAdReporting

Save in respect of ThirdParty ServedAds,DisneywillprovideClientwith a report on amonthly basis, unlessotherwiseagreedintheOrder,detailingthenumberofImpressionsandrelatedclickyield.ClientagreestoacceptDisneyinternalreportingastheofficialbasisformeasuringthedeliveryofImpressionsandrelatedclickyields,andacknowledgesthatitshallnotbeentitledtoanyfurtherinformationonthenumberofImpressionsandclickyields.

ClientmayrequestinwritingthattheCampaignCreativemaybeservedbyathirdpartyandnotDisney’sadserveras part of an Order (“Third Party Served Ad”). The request must be accompanied by all relevant supportingdocumentationandinformationinaccordancewiththisclauseandclause16andwithinthedeadlinessetoutinSection5.Requestswillbereviewedonacasebycasebasis,andDisneyreservestherightinitsabsolutediscretiontorefuseanysuchrequest.

WherepermittedbyDisney,ThirdPartyServedAdsmustcomplywiththefollowingconditions:

(a) theadservertagsmustbeimplementedsothattheyarefullyfunctional;

(b) theonlineads,onceapproved,maynotbechangedwithoutpriorwrittenapprovalfromDisney;

(c) anytechnicalstandardsorotherspeedand/orvolumerequirementsspecifiedbyDisney;and

(d) ClientshallensurethatthethirdpartyresponsibleforcontrolovertheserversonwhichtheThirdPartyServedAd is to be locatedwill be responsible for providing accurate information of at least the samestatisticsasare typicallyprovidedbyDisney toboth to theClientand toDisneyandshalldisclose theapplicableaddeliverymeasurementmethodologies. Inthecaseofdisputeastosuchstatistics,Disney’sownstatisticalinformationastothenumberofImpressionsandclickthroughyieldallocatedbyDisney’sserverswillbedeemedtobeaccurateintheabsenceofmanifesterror.

WhereaThirdPartyAdServercannotservetheCampaignCreative,theClientshallimmediatelynotifyDisneyandDisneyatitsoptionmayelecttotreattheOrderascancelledinaccordancewiththesetermsandDisneymayusetheinventorythatwouldhavebeenotherwiseusedforDisney’sownadvertisementsoradvertisementsprovidedbyathirdparty.

16. DataProtection&TrackingTechnology

TheClientwilldisclosetoDisneyanyTrackingTechnologiesusedbytheClientoritsAdvertisingPartnerstocollector process Campaign Data or interactions on any Disney Media Platform, including consumer clicks or otherinteractionswithanyDisneywebsite,apporcontent.Disneyhas the right toapproveor reject theuseof suchTracking Technologies in its sole discretion at any time. If approved, the Client may only use (or authoriseAdvertisingPartnerstouse)TrackingTechnologiesforthepurposeofmeasuringimpressionsorconversionsandnotforretargetingusersorappendingdatatoanon-publicprofileregardinganyuserunlessexpresslyagreedinwritingbyDisney.

InrespectoftheoperationofanyTrackingTechnologyintheCampaignCreativeorontheDisneyMediaPlatformandregardlessofwhethersuchTrackingTechnologyhasbeendisclosedtoorotherwiseapprovedbyDisney,theClientwarrants that it shallnotbe inbreachnorshall itplaceDisney inbreachofanyApplicableLawsand inparticulartheDataProtectionLaws.

Clientagreesto(andshallprocurethatits’AdvertisingPartnersagreeto):

16.3.1 ensurethatwithrespecttoanyprocessingofCampaignDatawhichitcarriesoutorotherwiseinstructsanAdvertisingPartnertoperformonitsbehalfthenitandtheyshallpostaprivacypolicythat:(a)complieswith Applicable Laws, and (b) accurately discloses the data collection, use and disclosure practicesapplicabletosuchprocessing

16.3.2 provide end-users with a link to the Internet Creative Bureau's opt-out page atwww.youronlinechoices.com so as to provide a notification to users relating to the use of TrackingTechnologieswhichlinksattheuser'soptiontofurtherinformationwhichaccuratelydisclosestheuseofsuch technologies (including for the purposes of interest-based online advertising) and user controls(throughprivacypoliciesorotherwise).

Each party agrees to complywith the terms of its own posted privacy polic(ies) and the EASA Best PracticeRecommendation on Online Behavioural Creative and Self-Regulatory Principles of the IAB Europe (or suchreplacementcodesandguidelinesasissuedfromtimetotime)inconnectionwithitsandtheiractivitiesrelatedtothisAgreement.

NothinginthissectionshallpreventtheClientfromusingaggregateandanonymousperformancedataforinternalmedia planning purposes only (but not for user retargeting), or (where the Client is an Agency) disclosingqualitativeevaluationsofaggregateandanonymousperformancedatatoitsclientsandpotentialclientsforthepurposeofmediaplanningorpurposesrelatingtoitscontinueddevelopmentofitsbusiness,andprovidedfurtherthattheAgencyshallnotdiscloseanysuchdatatoanythirdpartyinawaythatwouldidentifyDisneytosuchthirdparty.

FailurebyeitherpartytocomplywiththeobligationssetoutinthisSection15isgroundsforimmediatecancellationoftheOrderbyDisney.

17. WarrantiesandRepresentations

EachpartyrepresentsandwarrantsthatitsrepresentativesigningthisAgreementhasthefullpowerandauthoritytosignandtobindtherelevantpartyaccordinglyanditisdulyorganised,validlyexistingandingoodstanding

under the laws of the jurisdiction in which it is incorporated, has been in continuous existence since itsincorporationandhastheright,powerandauthorityandhastakenallactionnecessarytoexecute,deliverandexerciseitsrightsandperformitsobligationsunderthis.

Disneywarrants,representsandundertakesthatwithrespecttoanyDisneyIntellectualProperty,ithastherighttolicensesuchpropertyonthetermsprovidedinthisAgreementandthatsuchlicenceshallnotviolatetherightsofanythirdparties.Norepresentationorwarrantyisherebygivenastotrademarkrightsornon-infringementoftrademarkrightswithrespecttoanyDisneyIntellectualProperty.

Clientwarrants,representsandundertakesthat:

17.3.1 itshallnotuse,orpermittheusebyanythirdparty,anyDisneyIntellectualPropertyexceptasexpresslyauthorisedbythisAgreement;

17.3.2 theAdvertiserBrand,AdvertiserIP,theCampaignCreativeandanyotheractivitiesoforcontent,copyormaterials supplied by Client or its sub-contractors, agents or representatives or for which Client isresponsibleshall:

(a) complywithallApplicableLaws,theAdvertisingStandards,theNutritionalGuidelines,anyandallapplicablePlatformRulesandconformtoanyspecificationsprovidedbyDisney;

(b) notinfringetheIntellectualPropertyRights,rightsofpublicity,rightsofpersonality,rightsofprivacy,rightstoanypaymentofroyaltiesorotherrightsofanyotherthirdparty;

(c) beofthehighestqualityandsafeandfreefromdefectsindesign,materialsandworkmanshipandshallnotcontainanymaterialthatisunlawful,harmful,offensive,fraudulent,false,misleading,threatening,abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically, or otherwiseobjectionable, including, without limitation, any material that encourages conduct that wouldconstituteacriminaloffence,giverisetocivilliability,orotherwiseviolateanyApplicableLawortheAdvertisingStandards;and

(d) whereitoritsdesigneeisgrantedaccesstotheDisneyMediaPlatformstoserve,displayorotherwisepublishtheCampaignCreativeorotheronlineadvertisingitshallatalltimescomplywiththeDataProtection Laws and will comply with Disney’s current published privacy policy (including anypublished Cookies Policy) or causeDisney to breach data protection or privacy law or incur anyliabilitytoDisneyoranyotherpersonwhatsoever;and

17.3.3 it shall be solely responsible for ensuring that the description of the Advertiser Brand and/or theAdvertiser’sproductsandservicesfeaturedintheCampaignCreativeortheCustomContentincludingthedepictionoftheperformanceorfunctionalityofsuchproductsandservicesshallcomplywithApplicableLaws,theAdvertisingStandardsandshallnotbemisleadinginanyway.TheAdvertisershallfurnishDisneywith adequate substantiation and suitable objective factual information and other data for all suchdescriptionsorrepresentationsasDisneymayreasonablyrequestandtoenableDisneytodealwithanylegalorotherregulatorycomplaintsraisedinrelationtotheCampaignCreative.

Client furtherwarrants, representsandundertakes thatwhere it or its designee has providedmaterial for theCampaignCreativeorCustomContent(includinganyadvertisingoranycontentormaterialtowhichviewersoruserscanlinkthroughoranyproductsorservicesmadeavailabletoviewersorusersthroughinteractionwithsuchadvertising),exceptasexpresslysetoutinthisAgreement,it:

17.4.1 hasobtainedorwillberesponsibleforobtainingandpayingforallIntellectualPropertyRightsandotherthirdpartyrights,andallappropriateconsents,permissions,clearancesandlicences(includingwithoutlimitationanyandallmusicrightsandperformingrightsincludingmakinganyandallpayments,re-usepayments,royaltiesandothersumsrequiredtobepaidtoadministratorsofmusicalcompositionsand/orrecordingssynchronizedwithorusedinthematerialsandallothermusicrightsholdersandmusiciansand/orapplicableunionsorcollectivesocieties,andanypersonalappearancerights)topermittheuse,reproduction,display, transmissionanddistributionofsuchmaterialswhetherornotonDisneyMediaPlatformsinthemannerdescribedintheOrder;and

17.4.2 suchmaterialsshallcomplywithanyspecificationsortechnicalrequirementscommunicatedbyDisney,shallperformwithoutanymaterialerrorordefect,beofsatisfactoryquality,befreeofanydefects,shallnot containviruses, spyware,malware,backdoors,Trojanhorsesorothersoftware,algorithmsorcodeintendedtodisruptorharmcomputerornetworksystemsoraccessdataorsystemsandnotaffecttheoperationoftheDisneyMediaPlatformsorcausedamageorharmtoanyuseoftheDisneyMediaPlatforms.

Clientacknowledgesandagreesthat if itbecomesawareofanylikelihoodofanybreachofwarrantyunderthisclause,itwillnotifyDisneyimmediately.Disneyshallhavetheright(butnottheobligation)toremoveanymaterialsfromdisplay,transmissionorpublicationontheDisneyMediaPlatforms.

This Agreement sets out the full extent of Disney’s obligations and liabilities in respect of the rights grantedhereunder.ExceptasexpresslystatedinthisAgreement,therearenoconditions,warranties,representationsorotherterms,expressorimplied,thatarebindingonDisney.Anycondition,warranty,representationorothertermwhichmightotherwisebeimpliedinto,or incorporatedin,thisAgreementwhetherbystatute,commonlaworotherwise,isexcludedtothefullestextentpermittedbyApplicableLaws.

18. Indemnities

Client shall, on demand, indemnify and hold harmless Disney, its parent and affiliated companies and theirrespective officers, directors, employees, sub-contractors and agents and each of them (“Disney IndemnifiedParties”), from and against all losses, actions, claims, costs, liabilities, judgments, damages and/or expenses(including but not limited to reasonable legal fees, costs and expenses and any compensation, costs ordisbursementsincurredbyorpaidbyDisneytocompromiseorsettleanyactionorclaim)whetherreasonablyforeseeableornot, incurredandarisingfromor relating to (a)anybreachofanywarrantygivenby theClientcontainedinthisAgreement,(b)anyclaimmadeagainstDisneyoritsAffiliatesforactualorallegedinfringementofa thirdparty’s IntellectualPropertyRightsarisingoutofor inconnectionwithanyuseof theDisneyMediaPlatformswhichisnotinaccordancewiththerightsgrantedunderthisAgreement,and(c)theoperationoftheCompetition(s),includinguseormisusebycontestantsofanyprizeandanyuser-generatedcontentandshalladdtheDisneyIndemnifiedPartiesasindemnifiedandreleasedpartiesintheofficialrulesandanywinnerreleases,waiversorprizeclaimdocuments.

Disneyagreesto,andshall,indemnify,defendandholdharmlessClientfromandagainstanyandalllosses,actions,claims,costs,liabilities,judgments,damagesand/orexpenses(includingbutnotlimitedtoreasonablelegalfees,costsandexpenses)arisingfromanythirdpartyclaimthatanyIntellectualPropertyRightsprovidedbyDisneyandusedinthemannerprescribedbyDisneyinfringesthecopyrightofanythirdparty.

TheindemnificationobligationsinthisClause18areexpresslyconditionedontheindemnifiedparty:(i)notifyingtheindemnifyingpartypromptlyinwritingofeachsuchclaim,andinanycasenotlaterthanten(10)daysafteritreceivesnoticeoftheclaim;(ii)givingtotheindemnifyingpartysolecontrolofthedefenceandanysettlementnegotiationswith regard to such claim;and (iii) giving the indemnifying party the information, authority, andassistanceitneedstodefendagainstorsettletheclaimPROVIDEDALWAYSthatDisneywillhavesolecontrolofthedefence of third party claims in relation to infringement of the Licensed Property and Client shall be solelyresponsibleforitsownlegalandotherprofessionalfees,costsandexpenseswithrespecttothesame.

InnocircumstanceshallDisneybeliableforanyerrorintheCampaignCreativewhatsoeverwhetherthroughitsown act or omission (whether negligent or otherwise) or through the incorrect presentation or codes for theCampaignCreativeorotherwiseandtheClientherebyindemnifiesDisneyinrespectofanyclaim,loss,damageorotherwisearisingoutofanyerrororomissionintheCampaignCreative.

Clientagreesthatitmaynot,withoutDisney’spriorwrittenconsent(whichshallnotbeunreasonablewithheldordelayed), enter into any settlement or compromise of any claim that results in any admission of liability orwrongdoingonthepartofDisneyoritsAffiliates.ItisunderstoodandagreedthatneitherDisneynoranyofitsAffiliateswillberequired,toeditorreviewforaccuracyorappropriatenessanyCampaignCreative.

19. Liability

NothinginthisAgreementshalllimitorexcludeeitherparty’sliabilityfor(a)deathorpersonalinjuryresultingfromsuchparty’snegligence,(b)fraudorfraudulentmisrepresentation;or(c)anyotherliabilitythatcannotbeexcludedorlimitedbyApplicableLaws.

TheaggregateliabilityofDisneyoranyDisney-relatedEntityinrespectofanylossordamagedeterminedbyacourttohavebeenincurredbytheClientandarisingoutoforinconnectionwiththisAgreement(whetherincontract(includingtheperformance,non-performanceordelayedperformancebyDisneyofanyobligationsunderorinconnectionwiththisAgreement),tort(includingnegligence),equityorforbreachofstatutorydutyorinanyotherway),orotherwisearising fromtheClient’sexerciseofthe rightsgranted to itunder thisAgreement, shallnotexceedtheFee(or£50,000whereanyfeehasbeenwaived),subjectalwaystotheremainingprovisionsofthisClause18

TotheextentpermittedbyApplicableLaws,neitherpartyshallbeliableinanycircumstanceswhetherincontract(includingtheperformance,non-performanceordelayedperformancebyDisneyofanyobligationsunderorinconnectionwiththisAgreement),tort(includingnegligence),equityorforbreachofstatutorydutyorinanyotherway)for:

19.3.1 any lossarisingfromor inconnectionwith lossof revenues,profits,contractsorbusinessor failure torealiseanticipatedsavings(regardlessofwhetheranyofthesetypesoflossordamagearedirect,indirectorconsequential);or

19.3.2 any lossofgoodwillor reputation (regardlessofwhetheranyof this typeof lossordamagearedirect,indirectorconsequential);or

19.3.3 anyindirectorconsequentiallossordamagewhatsoever,

sufferedorincurredbytheotherpartyandarisingoutoforinconnectionwiththisAgreement,evenifsuchlosswasreasonablyforeseeableorthatpartyhadbeenadvisedofthepossibilityoftheotherpartyincurringit,providedalwaysthatthisclauseshallnotapplyto(a)anyinfringementofDisneyIntellectualPropertyRightsbyClientoritsagents or subcontractors or (b) any breach by either party of Clause 20 (Confidentiality) or Clause 15 (DataProtection).

Under no circumstances shall Client be entitled to any injunctive relief against Disney with respect to thisAgreementoranyrightsgrantedandagreesthatitssoleandexclusiveremedyundertheAgreementshallbeanactionindamagesoraclaimundertheindemnityunderClause18

ThisClause19shallnotlimitClient’sliabilitytopaytoDisneyanypaymentproperlyowingtoDisneypursuanttothisAgreement.

ThelimitationsofliabilityinthisClauseareafundamentalpartofthebasisofeachparty’sbargainhereunder,andDisneywouldnotenterintothisAgreementabsentsuchlimitations.

ThepartiesacknowledgethattherightsandobligationsofDisneyunderthisAgreementaresubjecttoApplicableLaws in force from time to time and accordingly in the event of any inconsistency between the terms of thisAgreement and Applicable Laws, the Applicable Laws shall prevail and Disney shall have no liability (save asprovidedinClause6)totheClientintheeventthatitisunabletoperformanyofitsobligationshereunderasaresultoftherequirementsofanyApplicableLawsorchange.IfDisneyfailstopublishanyCampaignCreativeforanyreasonwhatsoeverordeliveranyguaranteedImpressionsorReferralsasprovidedintheOrder(orintheeventofanyotherfailure,technicalorotherwise,ofsuchCampaignCreativeappearingasprovidedinthisAgreement),Disney'sliabilitywillbelimited(attheoptionofDisney)toeither:publishingtheCampaignCreativeassoonasisreasonablypracticableintheperiodfollowingtheperiodduringwhichtheCampaignCreativewasscheduledtorunon the Disney Property or an alternativewebsite and for such time as is necessary to generate a number ofsubstituteImpressionsorReferralsequaltotheshortfall;orrefundtotheClientthatproportionoftheNetFeewhichrelatestothatCampaignCreativeand/orImpressionsorReferralswhichwerenotprovidedor,iftherelevantamountswerenotpaidbyoronbehalfoftheClient,agreethatsuchamountswillnotbedueorpayable.

20. TermandTermination.

ThetermoftheAgreementshallcommencewhentheOrderhasbeensignedbybothparties,orthedateDisneycommencespublishingtheCreative(whicheveristheearlier)andthisAgreementshallcontinueinforceandeffectuntil theCampaignEndDateunless terminatedearlierpursuant to thisClause20of theAgreement.ExceptasexpresslysetoutinthisAgreement,anyrenewalofthisAgreementandacceptanceofanyadditionaladvertisingorderwillbeatDisney'ssolediscretion.Theratesapplicabletosuchrenewalperiod(ifany)aresubjecttochangebyDisneyfromtimetotimeinitsabsolutediscretion.

EitherpartymayterminatethisAgreement,uponwrittennoticetotheotherparty,atitsdiscretion,if:

20.2.1 theotherpartycommitsamaterialbreachofthisAgreementand, ifremediable, itfailstoremedysuchbreachwithinfive(5)daysafterwrittennoticefromtheotherpartyrequiringittodoso;or

20.2.2 theotherpartycommitsanyactofinsolvency,including:

(a) inabilityofthatpartytopayitsdebtsgenerallyastheyfalldue(withinthemeaningofSection123oftheInsolvencyAct1986oranalogoussuchlawinanyapplicablejurisdiction);or

(b) anypetitionoractionforreliefisfiledinrespectofthatpartyunderanyreorganisationorinsolvencylaw;or

(c) anapplicationismadeorstepsaretaken(formalorinformal)foranadministrationordertobemadeinrespectofthatpartyforanarrangementorcompositionbetweenthatpartyanditscreditors;or

(d) proceedings are started for, or a meeting is called for the consideration of, the winding-up,administration,dissolutionorreorganisation(otherwisethanwhilesolventandontermspreviouslyapprovedinwriting)ofthatparty,orfortheappointmentofareceiverand/ormanagement(oranadministrativereceiver)forthatparty;or

(e) thatpartybecomesthesubjectofanyotherjudicialoradministrativeproceedinglaunchedingoodfaithrelatingtoitsinsolvency;or

(f) thatpartyceasingorthreateningtoceasetocarryonbusinessinaccordancewiththisAgreement;or

(g) anyencumbrancertakingpossessionofamaterialpartoftheassetsorundertakingofthatparty;or

(h) anyeventoccurs,orproceedingistaken,withrespecttotheotherpartyinanyjurisdictiontowhichitissubjectthathasaneffectequivalentorsimilartoanyoftheeventsmentionedinparagraph(a)to(g)(inclusive)above.

Eachpartyshallassoonasreasonablypracticablegivenoticeinwritingtotheotherpartyofanyeventwithinparagraph21.2whichoccursduringtheTermandwhichwouldentitletheotherpartytoterminatethisAgreement.

DisneyshallhavetherighttoimmediatelyterminatethisAgreementiftheClient:(i)failstopayanysumdueortodeliver anyagreedAdvertising Support; or (ii) engages in, orDisney becomes aware Client has engaged in orauthorisesorcondones,anyunlawfulpracticeorinanypracticewhichDisneybelievesinitsreasonablejudgmentcouldcausedisreputetoDisneyortheLicensedProperty.

AnybreachbyClientofanyofthewarrantiesorrepresentationsmadeinthisAgreementshallconstituteamaterialandrepudiatorybreachofthisAgreementwhich,inadditiontoandwithoutprejudicetoDisney’sotherrightsandremediesunderlaworequity,shallallowDisneytherightto,atitsoption:(a)declarethisAgreementbreachedbyClient;(b)declareallRightsPaymentsandanyothermoniesthenduehereunderimmediatelydueandpayable;(c)suspendthelicenseofPromotionRightsgranteduntilsuchdefaultiscured(ifcapableofcure);and/or(d)terminatethisAgreementbynoticetoClient.

NeitherpartyshallbedeemedtobeinbreachofthisAgreementorotherwiseheldresponsibleforlossordamagecausedbydelayorfailuretoperformundertakingshereunderwhensuchdelayorfailureisduetoaneventofForceMajeure provided that the relevant eventwas beyond their control, prompt notice of such event is given, allreasonablesteps(ifany)toprovideagainstsucheventhadbeentakenandtheyusedbestendeavourstomitigateany damages arising from such event. If either party is prevented from performing its obligations under thisAgreementformorethanfourteen(14)consecutivedaysasaresultofaneventofForceMajeure,theotherpartyshallbeentitledtosuspendthisAgreement;provided,however,thatifanyeventofForceMajeurecontinuesforsixty(60)consecutivedaysormore,eitherPartyshallhavetherighttoterminatethisAgreementwithoutliability.

IntheeventofDisney'stransmissionorothermediaactivitiesbeingrestricted,curtailedorpreventedbyanylaworanyotheractorthingbeyondDisney'scontrol,Disneymayatanytime,notwithstandinganythinghereinbeforecontained,immediatelyterminateanyOrderinwholeorinpartwithoutprejudicetoDisney'srighttobepaidbytheClientanymoniesdueandowingbytheClienttoDisneyatthetimeoftermination.

WhereanyClienthavingsignedanOrderdivestsitselfofasubsidiarycompanyorbusiness,DisneyreservestherighttoterminatetheOrderandrecoverthefullbenefitoftheOrderasagainsttheoriginalClient.

Under no circumstances shall Client be entitled to any injunctive relief against Disney with respect to thisAgreementoranyOrderandagreesthatitssoleandexclusiveremedyundertheAgreementshallbeanactionindamages.

NoterminationofthisAgreementwillaffectanyprovisionofthisAgreementexpressedtohaveeffectaftersuchterminationoranyrightswhicheitherpartymayhaveagainsttheothersubsistingatoraccruedpriortothetimeoftermination.

IntheeventthatthisAgreementisterminatedpursuanttothisClause21,thenwithoutprejudicetoitsrightsandremedies,Disney shall be under no obligation to publish the CampaignCreative or to refund any fee or otheramountspaidbyoronbehalfoftheClienttoDisneyinrespectofsuchCampaignCreative.

TerminationorexpiryofthisAgreementandofanyOrderinwholeorinpartshallnotaffectanyrightsofanypartyinrespectofanyantecedentbreachofthisAgreementbyanyotherparty,norshallitaffectanyaccruedrightsorliabilities(orthecomingintoforceofanyaccruedrightsorliabilities)ofanyparty.

UponterminationofthisAgreementforanyreason:

20.13.1 theClientshallremainliableforanyamountdueunderanOrderforCampaignCreativedisplayedbyDisneyandsuchanobligationtopayshallsurvivetheterminationofthisAgreement;

20.13.2 attherequestofDisney,theClientshallreturnallofDisney'sstatisticsprovidedunderthisAgreement.

21. ConfidentialityandPublicity

AnyexistingandexecutedNDAorConfidentialityAgreementisexpresslyincorporatedintothisAgreementandwillgovern disclosure and handling of the Parties’ Confidential Information (as defined therein), including anydisclosuresmadeinthecourseofanypriordiscussionsornegotiationsrelatingtothisAgreement.ThisAgreementistheConfidentialInformationofeachofthePartiesseparately.

SubjecttoClause21.1neitherpartyshalldivulgeorannounce,orinanymannerdisclosetoanythirdparty,anyofthetermsandconditionsofthisAgreementoranyotherconfidentialinformationwhicheitherpartymaydisclosetotheotherinconnectionwiththisAgreement(otherthantoitsagents,representativesandlegalrepresentativesonaneedtoknowbasisonlyforthepurposesofcarryingoutitsobligationsunderthisAgreementandprovidedthat the disclosing party takes all reasonable steps to ensure such persons comply with the confidentialityobligationssetoutinthisClause21(andthedisclosingpartyagreesthatitshallberesponsibleforsuchpersons'compliancewiththeconfidentialityobligationssetoutinthisClause21),withouttheexpresswrittenconsentoftheotherparty(whichconsentmaybewithheldinthatparty’ssolediscretion),except:

21.2.1 tosuchextentasmayberequiredbyanyApplicableLaws,governmentorderorregulationorbyorderordecreeofanycourtofcompetentjurisdiction,recognizedstockexchangeandintheeventthatdisclosureisrequiredinanysuchinvestigatory,legal,regulatoryoradministrativeproceeding,thepartyrequiredtomakedisclosureshallprovidetheotherwiththemaximumpriornoticepracticableinthecircumstances,sothattheotherpartymayseekaprotectiveorderorotherappropriateremedy;

21.2.2 aspartofnormalreportingorreviewproceduretothedisclosingparty’sparentcompany,auditors(andinthecaseofDisney,anyparticipants,talentoranythirdpartyauditorsrepresentingsuchparticipantsortalentunionsortalentunionpensionandhealthplans,providedthatsuchparticipants,talentandauditorshaveenteredintoconfidentialityagreementsinfavourofDisneyoritsAffiliates),shareholders,andlegalrepresentatives;or

21.2.3 toeitherparty'sortheirAffiliates’investorsortopersonswhoarebonafideconsideringaninvestmentineither party or theirAffiliates, providing suchpersonshave entered intoconfidentiality agreements infavourofthedisclosingpartyoritsAffiliates.

TheprovisionsofthisClause21shallnotapplytoanyinformationwhich:

21.3.1 isatthedateofthisAgreementin,orsubsequentlyenters,thepublicdomain,otherthanbydefaultoftherecipientparty;

21.3.2 is obtained by the recipient party from a bona fide third party having free right of disposal of suchinformation;or

21.3.3 apartyisabletodemonstratefromwrittenrecordstothereasonablesatisfactionoftheotherparty,hasbeen independently generated by that party without reference to the other party's confidentialinformation.

Thepartiesexpresslyagreethatthereshallbenoannouncements,pressreleases,commentsordiscussions,directlyorindirectly,withortoanythirdparty,whetherpublicorotherwise,oralorwritten,regardinganyofthetermsandconditionsofthisAgreementoritssubjectmatterorthefactthatthisAgreementhasbeenenteredinto,withoutboth parties’ priorwritten consent (email sufficing), except asmay be required by law, any governmental orregulatoryauthority,anycourtorotherauthorityofcompetentjurisdiction.Insofaraspublicannouncementsorpress releases are concerned, no disclosurewhatsoever shall occur unless anduntil the text thereof has beenmutuallyagreedbytheparties.Itisalsounderstoodandagreedthattheappropriatestrategyforrespondingtothepress on matters which concern Disney shall be subject to Disney’s approval, in Disney’s sole and absolutediscretion.

EachpartyshallkeepconfidentialallconfidentialinformationdisclosedtoitbytheotherwhetherrelatingtoeachOrderorotherwiserelatingtothecontentoroperationofthisAgreement.Eachpartywillonlydiscloseconfidentialinformationtothoseofitsemployees,officers,approvedsub-contractorsandagentswho(i)needtoknowitforthepurpose of exercising or performing its rights and obligations under this Agreement (ii) are informed of theconfidentialnatureoftheinformationdivulgedand(iii)agreetoactincompliancewiththisAgreement.Neitherpartywilldisclosethatinformationtoanythirdparty(otherthanitsemployees,officers,approvedsub-contractorsandagentsinaccordancewiththisclause),exceptforinformationthat:(i)isalreadyinthepublicdomainatthetimeofdisclosure;(ii)becomespubliclyknownthroughnofaultofitsown;or(iii)isacquiredbythatpartyfromathirdpartywithoutanybreachofanyobligationofconfidence.

NotwithstandinganyotherprovisionofthisAgreementitshallnotbeabreachofthisAgreementforeitherpartytodiscloseanyinformationgiventoitinconnectionwiththisAgreementpursuanttoacourtorderorabinding

request froma regulatory (or other analogous) authoritywith jurisdiction or fromany other third partywithstatutorypowertorequirethedisclosureofsuchinformation,providedthattheaffectedpartygivesallreasonablenoticeofsuchdisclosuretotheotherparty.

SavetotheextentrequiredbyApplicableLawsoranyRegulatortheClientwillatalltimesduringandafterthisAgreement keep the provisions of this Agreement and any confidential information or commercially sensitiveinformationacquiredfromtheotherconfidentialandshallnotdisclosethesametoanythirdparty.

No reference shall be made to the terms of this Agreement by either party in any advertising, publicity orpromotionalmaterialwithoutthepriorwrittenapprovaloftheotherparty.ThepartiesagreethatneitherpartywillpublicisethefactofthisAgreementormakeanypubliccommentorpressstatementinrelationtoanyaspectoftherelationshipbetweenthepartiesoranydisputearisingbetweenthemunlesstheformofsuchcommentorstatementisagreedinadvancebythepartiesinwriting.AdvertisershallnotstateorimplythatDisneyendorsesAdvertiser’sproductsorservices.AdvertisershallnotsubmitanyCampaignCreativeforanyaward,prize,honourorsimilarrecognitionwithoutDisney’spriorwrittenconsent.

22. RegulatororConsumerComplaintsandInvestigations

Intheeventeitherpartyreceivesacomplaint,investigation,claimoranyinformationrequestfromanyRegulatororconsumerinconnectionwiththeCampaignCreativeorrelatedmarketingmaterials:Clientacknowledgesandagrees:

(a) itshallnotrespondtotherequestwithouttheotherparty’swrittenconsentandshallimmediatelynotifytheotherpartyprovidingfullwrittenparticularsandcopiesofallcorrespondencetogetherwithareportonthemannerinwhichsuchcomplaintsarebeing,orhavebeen,dealtwithandshallcomplywithanyreasonabledirectionsgivenbytheotherpartyinrespectthereof;

(b) thepartiesshallpromptlyconsultwithoneanothertoagreeanappropriateresponseand/ortoconductadefencetoanyclaimprovidedalwaysthatwithrespecttoanyissuesolelyrelatedtointellectualpropertyrightsbelongingtoDisney,Disneyshalldecideinitsabsolutediscretionwhataction(ifany)totakeandwillhave exclusive control over, and conduct of, all correspondence, claims and proceedings. During suchconsultation theClient shallnotmakeanyadmissionsor respond toanysuchrequestandshallprovideDisneywillallassistance(atClient’scost)that itmayreasonablerequiretodealwiththerequest.ClientacknowledgesandagreesthatDisney’sresponseorapprovalofanycorrespondenceinconnectionwiththerequestshallnotconstituteanopinionastoitslegaladequacyorappropriateness.

IntheeventtherequestresultsinanyadjudicationwhichdeterminesthattheCampaignCreativeoranyelementofanyrelatedmarketingmaterialsbreachestheApplicableLawsatanytimeduringoraftertheCampaignPeriod,Clientshall,atitssolecostandexpense,immediatelyterminatetheCampaignCreativecampaignandcease(andshall not continue or seek to extend theCampaignPeriod) the dissemination, exhibition or use of theaffectedCampaignCreative or relatedmarketingmaterials. Any replacement promotion,advertisingsupport or relatedmarketing materials may be substituted provided they are compliant with Applicable Laws and the relevantadjudicationandhavebeenapprovedforusebyDisneyinwriting.DisneyshallnotincuranyliabilitytoClientwithrespecttoanycomplaint,investigation,claimoranyinformationrequestandClientshallremainliabletoDisneyforthedeliveryofanyadvertisingsupportorothercommitmentwithoutanydeduction.

23. General

Nothing in this Agreement shall be so construed as to constitute the Client and Disney as principal or agent,employeroremployee,partnersorjointventurers,norshallanysimilarrelationshipbedeemedtoexistbetweentheparties.Neitherpartyshallhaveanypowertoobligateorbindtheotherparty.

ThefailuretoexerciseordelayinexercisingarightorremedyprovidedbythisAgreementorbylawdoesnotconstituteawaiverofsuchrightsorremedies.AwaiverofabreachofanytermofthisAgreementoradefaultunderthisAgreementdoesnotconstituteawaiverofanyotherbreachordefaultandshallnotaffecttheothertermsofthisAgreement.IfanyportionoftheAgreementisdeemedunenforceablebyacourtofcompetentjurisdiction,theremainingportionshallbevalidandenforceable.

NeitherpartywillbeliablefordelayordefaultintheperformanceofitsobligationsunderthisAgreement(otherthanfornon-paymentbyClient)ifsuchdelayordefaultiscausedbyaneventofforcemajeure.‘ForceMajeure”meansanyeventbeyondthereasonablecontrolofeitherDisneyortheClient,asapplicable,andshallinclude(butnotbywayoflimitation)strikes,lockouts,riots,sabotage,actsofwar,terrorism,hostilitiesorpiracy,destructionofessentialequipmentbyfire,explosion,storm,flood,earthquake,anddelaycausedbyfailureofpowersuppliesortransport.IftheeventofForceMajeurecontinuesforaperiodofmorethanthree(3)months,theotherpartyshallbeentitledtoterminatetheaffectedbookingbynoticeinwritingtotheaffectedparty.

NoterminthisAgreementisenforceableundertheContracts(RightsofThirdParties)Act1999.

Whileeveryendeavourwillbemadetogivetwo(2)weeks'noticeinrespectofchangesofthetermsandconditionsof thisAgreement,Disney reserves the right tomake such changes at shorter notice.Unless otherwise agreedbetweenthepartiesinwriting,intheeventofsuchachange,thetermsandconditionsapplicableshallbethoseinforceatthetimeoftransmissionorpublication.TheClientshall(byservingwrittennoticeonDisneywithinone(1)weekofreceivingnoticeofsuchachange)beentitledtocancelanyorderforCampaignCreativetowhichthechangeoftermsandconditionswouldotherwisebeapplicable.

ClientmaynotassignthisAgreement,inwholeorinpart,byoperationoflaworotherwise,withoutDisney'spriorwrittenconsent.AnyattempttoassignthisAgreementcontrarytothisprovisionwillbenullandvoid.

TheClientmaynotre-sell,assignortransferanyofitsrightshereunder,andanyattempttore-sell,assignortransfersuchrightswillentitleDisneytoterminatethisAgreementimmediately,without liabilityonthepartofDisney.Disneyshallbeentitledtoassignanyofitsrightsandobligationshereundertoanyotherperson.

Anynotices under thisAgreementwill be sent by confirmed email, fax, nationally recognisedexpress deliveryservice,orcertifiedorregisteredmailtotheaddressoftherelevantpartysetout intheOrder.Noticebyemail(providedno ‘outofofficemessage’ is sent)orconfirmed facsimileorexpressdeliveryservicewillbedeemedreceivedandeffectiveonthedatesent.Noticebycertifiedorregisteredpostwillbedeemedreceivedandeffectivefive(5)daysafterposting.

EachpartyrepresentsandwarrantsthatitsrepresentativesigningtheOrderhasthefullpowerandauthoritytosignandtobindtherelevantpartyaccordingly.

WherethepartiesagreethatthisAgreementisabartertransactionVATinvoiceswillbeexchangedatatimeandforavaluetobeseparatelyagreed.

ThisAgreementformedbytheseTerms,theSpecifications,theAdGuidelines,theOrderandanySpecialTermsisthecompleteandexclusiveagreementbetweenthepartieswithrespecttothesubjectmatterhereof,supersedingandreplacinganyandallprioragreements,communications,andunderstandings(bothwrittenandoral)regardingsuchsubjectmatter.UnlessotherwiseexpresslyagreedtoinwritingbyDisneyandClient,anyOrderconcurrentherewithorsubsequentlyheretoissuedbyClienttoDisneyshallbedeemedanOrderpursuanttoandsubjecttotheseTerms.ThisAgreementmaybemodified,andanyrightsunderitwaived,onlybyawrittendocumentsignedbybothparties.

ThisAgreementwillbegovernedbyandconstruedinaccordancewiththelawsofSouthAfricaandthepartiesagreetobeboundbytheexclusivejurisdictionoftheSouthAfricancourts.
