Boards often spend too much of their time evaluating the past and too little time planning for the future. Critical to the future success of any organization are issues such as talent management, succession planning and executive compensation. Human Resource

and compensation committees need to find new ways to align executive pay to business strategy with a focus on driving long-term performance, corporate profitability, and employee satisfaction. Effective human resource policies and practices are key to an organization’s ability to create value and deliver strategic priorities.

This programme is designed specifically for Human Resource and Compensation Committee members and senior Human Resource Executives. It provides insight into the role of the Board Human Resources and Compensation Committee and its critical importance to the organization. The program examines the Committee’s strategic priorities, planning activities, governance mandates and its ability to create organizational value. Program participants learn best practices and the importance of aligning an organization’s human resources, processes and culture to its business strategy and performance.

Catherine Musakali is an Advocate of the High Court of Kenya and a Fellow of the Institute of Certified Public Secretaries of Kenya. Catherine worked for Kenya Shell Limited (Now Vivo Energy Kenya Limited) as their Company Secretary and Head of Legal for over fifteen (15)

years, during which period she managed the Legal Functions of Shell operations in Kenya, Uganda, Tanzania, Sudan, Eritrea, Ethiopia, Morocco, Egypt and Tunisia. She has worked for shell in the United Kingdom during which period she specialized in Mergers and Acquisitions and other commercial transactions as well as being the Legal Focal Point for all Contracting and Procurement matters for its businesses in the 23 Countries in Africa. She represented her employer on the Board of Petroleum Institute of East Africa, the Industry body and represented the Industry in the committee that was set up to draft the current Energy Act. Before this she set up and managed the Legal department of UAP Provincial Insurance. Catherine was, until May 2014, the Chairman of the Institute of Certified

Public Secretaries of Kenya (ICPSK), she also sat on the Council of the Corporate Secretaries International Association, which is a global body bringing together governance professionals. She is a founder and Chairman of The Women on Boards Network and is currently the Company Secretary of a number of Companies and sits on various Boards including those in the public and private sectors. She has previously served as a Director at Nairobi Securities Exchange, Association of Kenya Insurers (AKI) and was at one time the Chairman of Kenya Seed Company Limited.She also served as the Chairman of the Corporate Governance steering Committee of the Capital Markets Authority (CMA and is currently a member of the Capital Markets Master Plan Implementation Committee.

Catherine has led the development of four codes of Corporate Governance. These are;i. Mwongozo, The Code of Corporate Governance for State Corporations in Kenya.ii. The Capital Markets Code of Corporate Governance Practices for Issuers of Securities in Kenya;iii. The ICPSK Code of Corporate Governance for Private Companies; andiv. The Code of Corporate Governance for Public Benefit Organizations (NGOs) (in draft)

PROGRAMME FACILITATORS

Martin is currently an independent Business Advisor, Accredited Executive Coach and a Leadership and Governance Expert. He is founder and director of the Consulting Firm, The Leadership Group Limited. He worked with Deloitte East Africa as Partner, Financial Services

Industry from May 2013 to December 2015. He had an illustrious career at Kenya Commercial Bank Group (KCB Group, plc) between October 2005 and December 2012, most of which time he was Chief Executive Officer, presiding over rapid transformation and growth for the bank. He has also held senior positions in Barclays Bank both in Kenya and in South Africa, in addition to an earlier decade spent in various finance roles at British American Tobacco Kenya and as accounting trainee at the professional services firm, EY. Martin has also had a stint in the Public Sector as Permanent Secretary Ministry of Finance/Treasury in the Government of Kenya between 1999 and 2001. Martin holds an Executive MBA degree from ESAMI/Maastricht Business Schools and a Bachelor of Commerce degree from University of Nairobi. He is also an alumnus of the Harvard Business School’s Advanced Management Program. He is a Fellow of the Kenya Institute of Bankers and

the Institute of Certified Public Accountants of Kenya and a Member of the Institute of Certified Public Secretaries of Kenya and the Institute of Directors of Kenya. He is an Accredited Governance Auditor. He holds non-executive directorships in Standard Bank Group, Standard Bank of South Africa, East African Breweries plc, British American Tobacco Kenya plc, GA Life Assurance Limited and is also a Trustee of SOS Children’s Villages Kenya and member of the International Senate of SOS KDI.

Salome is currently lead consultant at Lincoln Consulting; a trainer, facilitator and consultant in the areas of Leadership, Corporate Governance, Organizational Development, HR and basic sign language. She has carried out training for diverse teams in Burundi, Cameroon, DRC, Dubai,

Ethiopia, Ghana, Kenya, Malawi, Nigeria, Philippines, Rwanda, Uganda and Tanzania. In addition she is a certified trainer with African Women in Agricultural Research and Development (AWARD), Management Services for Health (MSH), Centre for Corporate Governance and Professional Trainers Association of Kenya, a Certified MBTI practitioner in Africa and a practicing coach and mentor. She is also a lecturer at the United States International University in Africa (USIU-A) where she teaches Leadership and Management, HR, Introduction to Business, Business Ethics and Values and Cross Cultural Management. She previously worked with The Nairobi Hospital, ICRAF, Green Corner & Twigs, Kenya National Library Services Board and the Ministry of Culture and Social Services (GOK) in various capacities.

Salome holds a Doctorate in Business Administration (DBA) in Leadership and Organizational change, an MBA in Strategic Management, a Bachelor of Arts in Public Administration, a post Graduate Diploma in Personnel Management and Industrial Relations and is a Certified Public Secretary of Kenya CPS (K) as well as a Certified Professional Mediator (CPM). She is a Trustee of Starehe girls Centre, member HR Technical Committee at Kenya Bureau of Standards, Rotary Representative to UN HABITAT, Fellow – Kenya Institute of Management, Fellow- Institute of Human Resource Management - Kenya, Member Professional Trainers Association of Kenya and the Institute of Directors. She is a past Vice Chair and head of the Human Resource Development Committee –Kenya Institute of Management and has previously served as Country chair - Rotary International and Chair 2018 Rotary UN Day.
