June Speaker Jason A. Schumacher

“Distressed Oil and Gas

Financing”

With the massive change in commodity prices from 2014 to

2015, many oil and gas companies have gotten caught in

the cross-hairs of owning assets at half the price they

bought them for. This dynamic has caused major chaos in

the industry. This speech will identify the causes of the

chaos, the outlook for the future, and the places and pro-

cesses to find opportunities for oil and gas companies and

investors going forward in 2016 and beyond.

Jason Schumacher is a partner in the Dallas and Houston offices of Locke Lord, LLP. Mr.

Schumacher is a transactional and project attorney, where his practice focuses on serving cli-

ents in the energy industry and the oil and gas sector. He has vast experience in mergers,

stock and asset acquisitions and divestures, joint development projects, operational affairs,

project development for energy facilities and financing arrangements for energy and oil and

gas companies. His clients include private and publicly traded U.S. and Chinese companies,

energy holding companies and oil and gas service companies, as well as mineral interest

owners, lenders, private equity firms and other financial institutions. Mr. Schumacher has

documented and closed transactions totaling billions of U.S. dollars and has documented

joint venture arrangements and energy facility projects involving committed aggregate ex-

penditures in the billions. One of Mr. Schumacher’s most notable international transactions

was the representation of Meidu Holdings Co., Ltd. (now known as Meidu Energy Corpora-

tion) in its US $535 MM acquisition of Woodbine Acquisition, LLC, a Texas-based oil and

gas company.

May Speaker Recap:

“Stepping Up with Team-

work

Desk and Derrick Style”

By Denise Adams

At the May meeting, Mary Vaughan and Denise Adams presented to the Membership on teamwork and com-

munication. Sometimes our club needs to go back and review what has made us the club that we are today.

Mary and I decided to go back to 1998 to re-visit what types of programs were being presented to the club at

that time. We thought there might be some things we need to review. We found this program and decided to

bring it forward to 2016 because it is extremely relevant to our club today.

Teamwork was an essential part of our organization then and is just as important today. An acronym for

Team is “Together Everyone Achieves More.” Collectively with one another, the Desk & Derrick Club of

Dallas can accomplish more tasks to a greater degree. We can attain any goals that we set but we must work

together and consider all the options presented by an

individual.

We discussed the following:

1. Open and honest communication

2. Mutual respect

3. Recognizing individual and team contributions

4. Team goal setting and problem solving

5. Total trust in your teammates

6. Support your club and your teammates

If we as members can get back to basics, we can remember every great accomplishment, regardless of the

magnitude. It begins with an idea from a single individual. Then we as a team can branch out from that idea--

WOW what a difference it would make.

Coming together is a beginning – Keeping together is progress – Working together is a success, and that is

called “TEAMWORK.”

For a demonstration of teamwork, we had members participate in an exercise called “Walking the Boards.”

We had two teams consisting of 3 members each. We gave each team 2 - 2X4 boards and 6 pieces of ropes

approximately 5 feet in length. They had to use the ropes and teamwork to walk the boards to a designated

destination. This was a very entertaining exercise and was enjoyed by all including the participants. It also

was a great way to experience teamwork.

This program helped remind our club of the past and to bring it into the future by stepping up with teamwork.

Presidential Pilgrimage: My Journey to 1996 President—

Denise Adams

My first job in the industry was with Mobil Oil Corporation in Drumright,

Oklahoma. My first thought when I was offered this job was what is oil

and gas and where in the heck is Drumright, Oklahoma. You see I am a

Texan by birth, choice and the grace of God. AMEN ! The last thing I

wanted as a Texan was to live in Oklahoma but I did need the job so I

moved to Oklahoma and I lived there for six years in three different towns.

I made a wonderful friend who also worked for Mobil. She was one of the first women

roustabouts in our industry. Since I knew nothing about the industry, she started teaching

me what she knew. Then she began to tell me about Desk and Derrick. We decided that was

exactly what Drumright needed. We chartered a club in 1982 and I was the Vice President.

I have not stopped my involvement since then. I lost my friend, Billie Gibson, three years

ago but she knew I was so blessed to have found her in Oklahoma.

When I moved to other cities, I was able to transfer my membership and immediately made

new friends in a new city. When I moved to Dallas in 1987, I transferred my membership

and started my journey up the ladder to President.

I think I chaired or was a member of every committee our club had. Being on a committee

is a great way to get involved and strengthen your friendship with the members. Being on a

committee sparked my interest in being on the board. I wanted to pay back to the club all the

knowledge I had gained through the years. I do not think I would have made it with Mobil

Oil had I not had Desk and Derrick. I am enjoying my retirement today because of Mobil

and because of Desk and Derrick.

After serving as most of the officers and directors of the club, I became the President in 1996.

My theme for 1996 was “Working Together for the Future.” I think those words are continu-

ing to work because here we are 20 years later and we are still together. We have suffered

some serious setbacks but we have made it. We will continue to work together and we will

continue to be committed to education.

When I move from Dallas (before the end of this year), I will never forget this club and all

the wonderful friends I have made. I will continue my membership and will always support

the Dallas Club. I loved being your President. It was a stressful year but I would not change

a thing and after all, the convention was held in San Francisco!

Report: Earthquakes Linked to Less than One

Percent of All U.S. Injection Wells

8:08am EDT November 17, 2015

by Katie Brown, PhD [email protected], Washington, D.C.

Fewer than one percent of wastewater injection wells across the United States have been potentially linked to

induced seismicity, according to a new report by Energy In Depth. The report, entitled “Injection Wells and

Earthquakes: Quantifying the Risk,” consults data from the U.S. Geological Survey (USGS) and several peer-

reviewed studies to examine the number of injection wells that have been suspected as causing earthquakes,

compared against the total number of operating injection wells. The report includes breakout statistics for sev-

eral states as well, including Oklahoma, Texas, Colorado, New Mexico, Ohio, Kansas, and Arkansas.

Below are the key findings, by the numbers:

Total number of U.S. disposal wells – 40,000 (approx.)

Number of U.S. disposal wells potentially linked to seismicity – 218

Percentage of U.S. disposal wells potentially linked to seismicity – 0.55%

Percentage of disposal wells operating without seismicity – 99.45%

Total number of Class II injection wells in the United States – 150,000 (approx.)

Percentage of Class II injection wells potentially linked to seismicity – 0.15%

Percentage of Class II injection wells operating without seismicity – 99.85%

The report helps to quantify the risk of induced seismicity from underground wastewater disposal, demon-

strating that despite prevalent media coverage of each seismic event, the number of wells even potentially

linked to earthquakes is comparatively small across the United States. Even in the individual states where

most of the attention on induced seismicity has been focused, the vast majority of injection wells are operat-

ing aseismically.

In recent years, scientists, regulators, and industry have come together to implement a number of measures to

mitigate the risk of induced seismicity, including resource and data sharing to empower states to adopt best

practices. Many states have also updated their rules and guidelines for injection well permitting, and compa-

nies have spent tens of millions of dollars in mitigation procedures – many of which were voluntary – in order

to further reduce risks.

CONDOLENCES to Carolyn Sczepanski, Dallas Club member on the recent loss of her mother.

. . .To Connie MacRae of the Alberta Foothills Club on the loss of her mother.

. . .To Nancy Jones of the Bakersfield Club on the loss of her mother .

. . .To Vickie Farler and Charmaine Carol, both of the Bakersfield Club on the loss of their mother.

CONGRATULATIONS to Dr. Cara Sczepanski, daughter of Dallas member Carolyn Sczepanski—Cara

graduated Cum Laude in her class. From Carolyn: Many of our seasoned members will remember me toting

this little blonde girl to Boss’s Appreciation practices. Now she is a Doctor

of Optometry! During this past year, Cara was on two externships. One was

in Jackson, TN, where she worked with a pediatric optometrist and treated

children (as young as 12 days old) and some adults with special needs and

visual challenges. Growing up with her brother Cain provided her a better

understanding and connection with special needs patients and their families.

She enjoyed this aspect of optometry so much Cara decided to apply for a

residency program that would provide the experience and knowledge neces-

sary to specialize in this area. On July 1, 2016, she will begin one-year resi-

dency program working at Northwest Eye Care for two optometrists outside

of Portland, OR. This is very exciting with tremendous benefits and the op-

portunity to help others. After her residency, she plans on returning to the

DFW area in summer 2017 and work in this specialized area of optometry.
