“MARPI HOTEL AND GOLF RESORT MANAGEMENT SERVICES” Governor Ralph DLG. Torres and Lt. Governor Arnold I. Palacios, through the Department of Public Lands (DPL), are soliciting sealed proposals from qualified firms interested in managing and operating the former Marianas Resort and Spa Hotel and Golf Resort facilities (Hotel/Villas, Race Track, and Golf Course) on behalf and for the benefit of the Commonwealth. The NOI instruction and information package (NOI Packet) is available at the Department of Public Lands office, located on the 2nd Floor of the Joeten Dandan Building, Saipan, during the hours of 7:30am to 4:30pm, Monday through Friday, except holidays. If a hardcopy is preferred, a .50 cents charge per page will be assessed. However, full package of NOI will be made available to download at www.dpl.gov.mp or can be emailed to anyone interested at no cost. Questions from proposing firms regarding the premises and the contents of the NOI Packet must be received, no later than 4:30 pm April 8, 2019 ChST and must be submitted in writing via mail, e-mail, or facsimile to Ms. Marianne Concepcion-Teregeyo, Acting Secretary, DPL at the following address: Department of Public Lands

Proposals must be sealed and marked NOI-DPL/RED19-001 – Marpi Hotel and Golf Resort Management Services. For proposers within the CNMI, one (1) original and five (5) copies of the proposals must be submitted to the Office of the Director of Procurement and Supply, located at the former Emergency Management Office, Ascencion Drive, Building No. 1301, Capitol Hill, Saipan, MP, no later than 10:00 a.m., local time, Friday, April 12, 2019.
Proposers located outside the CNMI may obtain and additional seven (7) working days for receipt of their proposal by submitting a Notice of Intent to Propose. Notices of Intent to Propose may be in any mode of written communication and may be transmitted via facsimile to (670)664-1515, or via email to [email protected] no later than 10:00 a.m., local time, Friday, April 12, 2019.

For proposers located outside the CNMI, one (1) original and five (5) copies of the sealed proposals must be postmarked by the U.S. Postal Service or the official government postal service for a foreign country no later than, April 12, 2019 . The proposal documents must be mailed to the Office of the Director of Procurement and Supply, at P.O. Box 510008 C.K., Saipan, MP 96950 and must be received at the Office of the Director of Procurement and Supply no later than April 19, 2019. Failure to submit the required number of copies of the proposal may be cause for rejection of a proposal.
By submitting a proposal, the interested firm agrees to enter into a hotel resort management agreement in the form attached to the NOI Packet as Exhibit D. DPL reserves the right to reject any or all proposals and to waive any imperfection in any proposal, if, in its opinion to do so would be in the best interest of public land beneficiaries. All costs associated with preparing a proposal are entirely the responsibility of proposers. All proposals shall become the sole property of DPL. _________________________________________________________________________________
BREACH OF ETHICAL STANDARDS
(To be part of Solicitation for quotes, ITBs and RFPs)
Gratuities. It shall be a breach of ethical standards for any person to offer, give or agree to give any employee or former employee, or for any employee or former employee to solicit, demand, accept or agree to accept from another person, a gratuity or an offer of employment in connection with any decision, approval, disapproval, recommendation, preparation of any part of a program requirement or a purchase request, influencing the content of any specification or procurement standard, rendering of advice, investigation, auditing or in any other advisory capacity in any proceeding or application, request for ruling, determination, claim or controversy, or other particular matter, pertaining to any program requirement or a contract or subcontract or to any solicitation or proposal therefor. NMIAC Section 70-30.3-725(a).
Kickbacks. It shall be a breach of ethical standards for any payment, gratuity or offer of employment to be made by or on behalf of a subcontractor under a contract to the prime contractor or higher tier subcontractor or any person associated therewith as an inducement for the award of subcontractor or order. NMIAC Section 70-30.3-725(b).
Contingent Fees. It shall be a breach of ethical standards for a person to be retained, or to retain a person, to solicit or secure government contracts upon an agreement or understanding for a commission, percentage, brokerage or contingent fee, except for retention of bona fide employees or bona fide established commercial selling agencies for the purpose of securing business. INTRODUCTION AND GENERAL BACKGROUND The Commonwealth of the Northern Mariana Islands (CNMI) Government’s Department of Public Lands (DPL) is inviting proposals to select a firm to operate DPL’s hotel and golf resort situated in Marpi, Saipan, formerly operated under a lease as The Marianas Resort and Spa, and the Marianas Country Club golf course. These facilities are further described under the Facility Description section of this NOI information package. DPL serves as the trustee of public lands held for the benefit of indigenous people of the CNMI known as people of Northern Marianas Descent. We are responsible for the management and disposition of all public lands in the CNMI. In line with these responsibilities is the duty to maximize financial returns from the use of public lands. The lease with our present investor expired on April 30, 2018 having met its statutory maximum 40 year life, and DPL intends to operate the hotel and golf facility on a short term basis until a new leasing decision with respect to a long term lease is made on the most favorable terms consistent with DPL’s fiduciary duty to its beneficiaries. The hotel and villas are currently vacant while the golf course is temporarily being operated by Kan Pacific Saipan Ltd, and racetrack by Marianas Trekking Inc. while DPL conducts this NOI. If and when a contract is awarded pursuant to NOI‐DPL/RED19‐001 DPL intends to give Kan Pacific and Marianas Trekking 30 days upon the date of the last signature after of the new contract. This NOI does not (nor will the submission of a proposal or proposals from any proposer(s)) commit the CNMI or the DPL to negotiate, award a contract, or pay any costs incurred in the preparation of the proposal or attendance at meetings with the CNMI or DPL staff. DPL RESERVES THE RIGHT TO CANCEL OR TERMINATE THIS NOI FOR ANY REASON OR NO REASON AT ANY TIME PRIOR TO CONTRACT AWARD OBJECTIVE DPL’s principle objective of this NOI is to engage the most responsive responsible firm capable of operating the facilities in Marpi, Saipan, on behalf of DPL while providing DPL the highest financial return from commercial operations. For purposes of this NOI, DPL is seeking a proposal or combination of proposals that provide the greatest overall financial benefit to DPL based on the evaluation and selection criteria of this NOI. FACILITY DESCRIPTION The facilities for which DPL is seeking an operator to manage include the following which are all located at the north end of the island of Saipan and are hereinafter referred to collectively as the Facility):
Commercial Operations 1. a full service hotel with 74 hotel rooms and 43 cottages of varying sizes and
amenities with one main restaurant and one bar and grill; 2. an Asian themed spa facility; 3. an 18‐hole golf course and pro shop, 9‐hole pitch and putt mini course, Driving

Range; 4. a mini cart race track; Non commercial/Community Benefits 1. Maintenance and upkeep of a 50 meter swimming pool; and 2. Baseball field as a benefit to the community.
With exception of non‐commercial operations, the Facility was operated as a tropical resort at a three‐star standard with the concept of nature, health, and relaxation. It is spread over 1,244 hectares with the hotel portion beachside overlooking the ocean to the west where guests enjoy spectacular sunsets with Managaha Island in the background, and a scenic view of rolling green hills to the east where the golf course is situated. Outdoor activities previously offered included golf, horseback riding, tennis, diving, snorkeling and more. The Asian spa was one of the largest spas in Micronesia. A description with photographs of the facilities is attached as Attachment A (Overview), B (Hotel and Cottages), and C(Golf Course). Proposers are encouraged to obtain additional information regarding the resort facilities from publically available sources including travel sites that describe and provide photographs of Marianas Resort. MANAGEMENT AGREEMENT DESCRIPTION The Owner intends to engage an Operator to manage and operate the facilities for a term of one year with an option for DPL to extend for one additional year, subject to early termination with ninety (90) days notice upon execution of a long term lease with any party. Subject only to the provisions of the agreement, the Operator shall have sole and exclusive control, discretion and authority with respect to, and shall be responsible for, the

Operation and maintenance of the facilities. Such control, discretion and authority shall, subject to the terms of the agreement and any express obligation or limitation set forth in the applicable Annual Budget in carrying out its responsibilities, subject to approval by DPL.
Operator’s Responsibilities 1. Manage all of the hotel's departments including: maintenance of buildings and
improvements, lawn and landscaping, front office, housekeeping, food and beverage, restaurants, spas, and all hotel sales activities.
2. Manage all of the golf course's departments including: course maintenance, front office, housekeeping, food and beverage, pro shop, and all sales and all golf sales activities.
3. Manage all of the mini cart racetrack's departments including: course maintenance, front office, housekeeping, food and beverage, pro shop, and all sales and all racetrack sales activities.
4. Recruit, employ, train, supervise, manage employees necessary for the operations of hotel, golf facilities, racetrack, all sales activities, and terminate employees.
5. Establish prices and terms for hotel and golf services. 6. Market the hotel and golf and racetrack facilities including public relations and
advertising 7. Provide basic hotel furniture, fixtures and equipment for the Term of the
agreement. 8. Plan, purchase, and supervise capital expenditures. 9. Prepare monthly and annual financial statements and daily reports for the
Owner. 10. Purchase supplies and enter into contracts, make payments for those services. 11. Prepare annual budgets yearly showing revenues, expenditures, and profits
consistent with hotel and golf resort industry standards. 12. Operate the hotel and golf facilities in accordance with the approved annual
budget and the terms of the agreement. 13. Enter operating contracts and equipment Leases. 14. Adhere to service and product standards of a three star hotel.
OPERATOR FEES Fees include the following which are further described in the form agreement attached as Exhibit D: Basic Fee: AS BID Term: One Year with possibility of one year extension (at DPL’s sole Option)

PROPOSAL CONTENT AND LAYOUT Proposals submitted must contain the following information in the order listed below. Proposers who do not follow these guidelines or submit incomplete information may be disqualified. I. Identification & Background Information
a. A cover letter signed by an officer of the proposing firm who is authorized to discuss and commit the firm to a contractual agreement with the DPL.
b. Firm’s name, email address, business postal address, contact name, telephone and fax number(s), and email address.
c. A brief history of the firm including: organization, business operations engaged in, size of firm, and office locations. Specify the office location where the work associated with the project would be performed.
d. Firm organizational chart, identifying key contacts including agent(s), representative(s) or attorney(s) who will be authorized and responsible for regular communication with DPL.
II. Corporate Resolutions, and Authorizations a. A corporate resolution authorizing the company to enter into a management
agreement for the facilities and designating authorized signatories for the management agreement.
b. Written authorization to obtain information from banks, investment banks, etc. sufficient for DPL to verify the proposing firm(s) standing with financiers or equity partners.
III. Business and Operation Plan, Time Schedule to Operate a. A business plan that includes the following:
i. A description of the proposed strategy for operating the facilities; ii. Annual pro‐forma financial statements showing projected business
gross revenues and net profits of each activity to be conducted for the term of the agreement.
iii. Firms plan for continuing the employment of personnel operating the existing facilities;
iv. Estimated number of additional jobs to be created for operations along with recruiting plans; and
v. A sample operating budget for the facilities.
IV. Financial Standing and Capability a. Documentary evidence that proposing firm is in good standing with its
creditors, the Division of Revenue & Taxation, and all regulatory agencies. b. Verifiable evidence of availability of funds adequate to cover potential
shortfalls in working capital and capital expenditures, and minimum distribution amounts to DPL.

c. Evidence confirming proposing firm has experience in hotel management, and in operating facilities similar to those described in the Facility Description section of this NOI.
V. Proposed Fees a. Firm’s proposed fees in the Operator’s Fees section of this NOI.
VI. Proposed Management Agreement
a. Submit a sample agreement incorporating the terms outlined in this NOI. VII. Disclosure of any potential conflict of interest and any ongoing litigation that
might affect firm’s ability to carry out its operations.
EVALUATION AND SELECTION CRITIERA: Proposals will be evaluated based on their completeness as described in the Proposal Content and Layout section of this NOI based on the following criteria:
I. Evaluation Criteria 1. 40% ‐ Distributions to DPL. Additional consideration will be given to firms
that propose distributions to DPL in excess of the minimum stated in Exhibit D.
2. 30% ‐ Firm’s experience in operating similar facilities. 3. 20% ‐ Financial Capability to service minimum distribution amount. 4. 10% ‐ Ability to immediately commence management operations 5. 5% ‐ Cost
II. Selection
In the event the top two most responsive and responsible proposals are similarly beneficial to DPL, both firms may (at DPL’s sole discretion) be included on DPL’s shortlist of candidates and interviews may be conducted with each firm to determine a final selection. Award shall be made to the responsible offeror whose proposal conforms to the solicitation and is determine in writing to be the most advantageous to the Commonwealth taking into consideration price and the evaluation factors set forth in the Request for Proposals.
