Dear Friends:

As 2009 begins, we are all coming to understand better the Chinese curse about living in interesting

times. The current global economic situation poses severe challenges for governments, businesses and individuals; it also presents opportunities at many levels. As always, we are ready to partner with and assist our clients in mitigating the effects of the downturn and capitalizing on its opportunities. We have a long history of dealing with issues in the securities industry: in the regulatory context, in litigation and in structuring transactions for optimum tax benefit. We have also significantly augmented our bankruptcy and restructuring practice in 2009 with the addition of five superb lawyers with experience across the entire range of debtor and creditor representation. You will find their names and biographies in the pages which follow.

2008 also saw the launch of a life sciences practice allowing us to expand our representation for clients into matters involving the Food and Drug Administration, U.S. Department of Agriculture and the Drug Enforcement Administration. This practice is part of our ongoing effort to expand and integrate the scope of our client services.

In internal firm news, we have had several additions and promotions which are described in the succeeding pages. I wanted to particularly mention the appointment of our firm general counsel, Miranda Mandel (“Randy”), to the additional position of chief operating officer. Randy has done a superb job as general counsel and has now expanded the scope of her responsibilities to include firm operations, where I have no doubt she will continue to bring about great improvements at the firm.

We are proud to have been named by Working Mother magazine and Flex Time Lawyers as one of the 50 best law firms in America for women. We continue our commitment to diversity, to providing flexible work experiences and most importantly, to providing an environment in which everyone is valued and respected.

Neal Gerber Eisenberg announced five new lawyers who joined the firm’s

Financial Restructuring and Bankruptcy Practice Group: Mark A. Berkoff, partner and practice group chair; William Choslovsky, partner; Deborah M. Gutfeld, partner; Marc I. Fenton, senior counsel; and Nicholas M. Miller, senior counsel. The five attorneys previously practiced law at DLA Piper, where Berkoff was global co-chair of that firm’s Financial Restructuring Group. Berkoff and his experienced team join firm partner Thomas C. Wolford and other members of this practice group to further the firm’s core commitment to excellence in client service.

Mark A. Berkoff Financial Restructuring and Bankruptcy

Mark is the new chair of the Neal Gerber Eisenberg Financial Restructuring and Bankruptcy Practice Group. Previously, he was global co-chair of DLA Piper’s Financial Restructuring Group. During his tenure with DLA Piper, he more than tripled the size of the practice group. He regularly represents debtors and creditors’ committees in complex commercial Chapter 11 cases in diverse industries. He has handled all aspects of Chapter 11 proceedings from pre-bankruptcy planning through plan confirmation and post-confirmation matters. He has made numerous presentations to business associations, credit professionals, lenders and attorneys in the following areas among others: Chapter 11 practice and procedure; participating on Chapter 11 creditors’ committees; alternatives to bankruptcy such as workouts, out-of-court composition agreements, assignments for the benefit of creditors; and article 9 of the Uniform Commercial Code. He is recognized in Chambers USA: America’s Leading Lawyers for Business as one of the country’s leading bankruptcy and insolvency lawyers. He is recognized in The Best Lawyers in America in the area of bankruptcy and creditor-debtor rights law. He has been designated an Illinois Super Lawyer in 2005-2009. He is also listed in Who’s Who in America and Who’s Who in American Law.

Mark earned his J.D. from the University of Chicago in 1986. In 1983, he graduated, with honors and distinction, Phi Beta Kappa, from the University of Wisconsin-Madison with a B.A. He was admitted to the Illinois bar in 1987.

William ChoslovskyFinancial Restructuring and Bankruptcy

Bill principally practices bankruptcy law, representing debtors, creditors and other interested parties in bankruptcy-related matters. He represents clients in federal court (Chapter 7 and Chapter 11 proceedings), state court and in complex out-of-court workouts. He is also a litigator and has experience representing developers on real estate and work-out matters. After graduating from Harvard Law School, he clerked for two judges. He was named an Illinois Super Lawyer in 2009.

Bill earned his J.D. from Harvard School of Law in 1994. In 1990, he graduated, summa cum laude, from the University of Illinois at Urbana-Champaign with a B.S. in accounting. He was admitted to the Illinois bar in1994.

Linda B. DubnowLitigation

Linda concentrates her practice in consumer litigation, particularly in the defense of class actions, on behalf of banks, automotive finance companies, mortgage lenders and servicers and companies providing telecommunications services. She also counsels clients in connection with litigation avoidance and compliance with consumer financial services laws and regulations.

Linda’s experience includes defending claims arising under the Truth in Lending Act, Equal Credit Opportunity Act, Fair Credit Reporting Act, Real Estate Settlement Procedures Act, Consumer Leasing Act, FTC Holder Rule, Fair Debt Collection Practices Act, federal and state racketeering statutes, state usury laws, state consumer fraud and deceptive trade practices acts and claims based on common law. Linda also has successfully represented clients seeking to enforce arbitration agreements.

Linda received her J.D. from Boston University School of Law in 1992. She graduated, with distinction, with a B.A. from the University of Pennsylvania in 1985. Linda was admitted to the Arizona bar in 1992 and the Illinois bar in 1995.

LaDale K. George Life Sciences

LaDale has over 15 years of experience providing strategic counseling and legal advice on regulatory compliance and business transactions.

LaDale concentrates his regulatory compliance practice on FDA, OHRP, NIH and ORI pre-clinical/clinical research and critical path product development/off-label use compliance; Stark Law, Anti-Kickback Statute and Medicare billing compliance; and federal tax-exemption and federal grant management compliance. He assists clients in the proactive design, implementation and defense of optimal clinical research programs and product development Phase I to IV critical path strategies. He serves as the lead strategic and legal counsel to several multi-hospital nationwide clinical research networks conducting industry-sponsored and NIH-funded clinical studies, and has worked with pharmaceutical, medical device, diagnostic and biotechnology clients in the successful execution of over 3,000 clinical trials.

LaDale focuses his transactions practice on health care and non-health care corporate formations and restructuring, mergers and acquisitions, private equity investments, licensing arrangements, tax-exempt financing and strategic affiliations and joint ventures.

LaDale earned his J.D. from Northwestern University School of Law in 1990. In 1987, he graduated from the University of Kansas with a B.A. in biochemistry. He was admitted to the Illinois bar in 1997, the Missouri bar in 1991 and the Virginia bar in 1992.

Deborah M. Gutfeld Financial Restructuring and Bankruptcy

Deborah has extensive experience representing landlords and enforcing their claims in large retail bankruptcy cases. She has also represented debtors in large national cases in matters related to professional retention, claim objections, executory contracts and asset disposition. Additionally, she has handled Chapter 7 bankruptcy cases for creditors and trustees, with a specific focus on preference adversary work. She has previously practiced in the areas of mergers and acquisitions and general corporate law. She has worked on numerous transactions involving both privately held organizations and publicly held companies.

Deborah earned her J.D. from Northwestern University School of Law in 2000. In 1997, she graduated from Indiana University - Bloomington with a B.S. in marketing and international business. She was admitted to the Illinois bar in 2000.

Diane J. Romza-Kutz Life Sciences

Diane focuses on life sciences and pharmaceutical regulatory issues, licensing arrangements and related complex litigation matters particular to the Life Sciences Industry and which often stem from regulatory issues under the jurisdiction of the Food and Drug Administration (FDA), United States Department of Agriculture (USDA), Federal Trade Commission (FTC) and Drug Enforcement Administration (DEA) and related state agencies. Her practice includes negotiating global licensing agreements, FDA, FTC and USDA regulatory matters, and any ensuing litigation, including preemption claims, misbranding matters, duty to warn and more generally product liability/toxic tort cases.

Diane earned her LL.M. from Loyola University Chicago School of Law in 1994 and her J.D., with honors, from Northern Illinois University College of Law in 1981. In 1978, she graduated with a B.S., with honors, from Western Illinois University. Diane was admitted to the Illinois bar in 1982.

Jenny S. KimLitigation and Health Law

Jenny has experience in a broad range of complex litigation matters, including contract disputes, consumer fraud claims, insurance coverage disputes, professional liability defense and class action litigation. In addition to her litigation practice, Jenny is involved in multiple firm committees, including both the Diversity Committee and the Hiring Committee. She is also actively involved in the firm’s mentoring programs. Jenny earned her B.A. from the University of Michigan in 1998 and earned her J.D. from the University of Illinois in 2002. Jenny was admitted to the Illinois bar in 2002.

Tom PapadopoulosLitigation and Environmental

Tom’s practice includes general commercial litigation, contract disputes, ERISA, civil-RICO and class action litigation. Tom earned his J.D., with high honors, from IIT/Chicago-Kent College of Law, where he also participated in the Low-Income Taxpayer Clinic and served as vice president of the Student Bar Association. Thomas E. WilliamsIntellectual Property

Tom’s practice involves U.S. and foreign patent, trademark and copyright matters with particular concentration on the aerospace, mechanical and electromechanical arts, in addition to computer software and e-commerce/Internet areas. Tom represents and counsels individuals and corporations on a variety of intellectual property matters, including patent application preparation and prosecution, patentability and infringement opinions, trademark clearance searches and procurement and intellectual property litigation. Marc focuses his practice on the areas of bankruptcy and commercial litigation. Miranda K. Mandel Appointed Chief Operating Officer of Neal Gerber Eisenberg

Miranda (“Randy”) K. Mandel was appointed Chief Operating Officer of Neal Gerber Eisenberg by the firm’s Executive Committee. In her role as Chief Operating Officer, Randy has the primary responsibility for internal management issues, including firm policies and procedures, technology issues, committee and practice group administration and internal communications. Randy will continue in her separate role as the firm’s General Counsel.

Appointed as the firm’s first General Counsel in March 2006, Randy’s responsibilities in this role include ethics compliance and risk management, among other things. She advises the firm on conflicts of interest matters, oversees the issuance of opinion letters, implements and monitors quality control procedures and educates the firm’s attorneys on ethics and risk management issues. She has been at the firm since its founding in 1986, and continues to represent clients as a member of the firm’s Corporate & Securities Practice Group.

Firm Becomes a Charter Member of Chicago Bar Foundation Law Firm Leadership Circle in Support of New Legal Aid and Pro Bono Initiative

Neal Gerber Eisenberg joined more than 20 local law firms in February 2008 in support of the Law Firm Leadership Circle, a new Chicago Bar Foundation (CBF) initiative launched to support legal aid and pro bono efforts. Lawrence I. Richman Elected American College of Trust and Estate Counsel Fellow

Lawrence I. Richman, partner and chair of the firm’s Private Wealth Services Practice Group, was elected as a Fellow to the prestigious Los Angeles-based American College of Trust and Estate Counsel (ACTEC). ACTEC Fellows are elected to the College by demonstrating the highest level of integrity, commitment to the profession, competence and experience as trust and estate counselors. ACTEC is a professional association consisting of approximately 2,700 lawyers from throughout the U.S. Fellows of the College are nominated by other Fellows in their geographic area and are elected by the membership at large. A lawyer cannot apply for membership in the College. Jason C. Kim Appointed Vice President of Board of Directors for Korean American Community Services

Jason C. Kim, partner and member of the firm’s Labor & Employment Practice Group, was appointed as the vice president of the board of directors of the Korean American Community Services (KACS). Founded in 1972, KACS is the oldest community social service organization in the Midwest responding to the needs of the Korean American community. KACS currently serves more than 7,000 clients per year, providing a wide variety of educational, health and social services to the public.

Howard L. Bernstein and Amy J. Zdravecky, partners and members of the firm’s Labor & Employment Practice Group, were named to the list of “Top One Hundred Labor Attorneys” in the U.S. for 2008 as compiled by the Labor Relations Institute (LRI). Attorneys chosen for this honor were selected from more than 8,900 labor attorneys evaluated by LRI. Individuals chosen for inclusion on the list represent the top one percent of labor attorneys in the country. It is the third year in a row Howard has been recognized by LRI with this prestigious honor.

Thomas J. McNulty Receives Renaissance Social Services’ “Champion of the Homeless Award”

Thomas J. McNulty, partner and chair of the firm’s Real Estate Tax Practice Group, received the Renaissance Social Services’ “Champion of the Homeless Award” in recognition of his work as the president of the Chicago Low Income Housing Trust Fund (CLIHTF), a position to which he was appointed by Mayor Daley. The CLIHTF program plays an important role in making affordable housing for low-income and homeless individuals and families more affordable in the Chicago area. Renaissance Social Services has been providing housing and supportive services for over 10 years in Chicago serving the homeless, disabled and low-income seniors.

Firm Ranks Among Top 20 Law Firms Nationally in 2008 for Highest Percentage of Women Equity Partners

Neal Gerber Eisenberg was cited in the 2008 edition of the Vault/MCCA® Guide to Law Firm Diversity Programs as being among the top 20 law firms of 205 major firms surveyed nationally for having the highest percentage of women equity partners. The Guide survey results, as published in the Minority Corporate Counsel Association’s (MCCA) July-August 2008 edition of its Diversity & The Bar magazine, underscore the firm’s ongoing efforts in establishing and maintaining a workplace environment that is supportive of and appealing to women attorneys and staff.

Neal Gerber Eisenberg’s commitment to women is reflected in the many leadership positions they hold within the firm: over one-third of the law firm’s 23 practice groups are chaired or co-chaired by women; seven of the eight director-level positions are held by women (including that of the firm administrator); over one third of the firm’s committees are headed by women, including the firm’s Diversity and Hiring Committees; and the position of general counsel within the firm is held by a woman.

The annual Women Worth Watching® issue profiles leading business and professional services women who are nominated by their colleagues, peers and mentors for their initiative and achievements. Women of purpose and drive who represent diversity within their spheres of influence are selected for this distinction.

Randy was profiled in the anniversary issue in which an essay she wrote on her career experiences and philosophies was published. Michael D. Sher Elected as a Fellow of the American College of Trial Lawyers

Lawrence I. Richman Named to Worth’s 2008 “100 Top Attorneys” List for High Net Worth Clients

Lawrence I. Richman, partner and chair of the Private Wealth Services Practice Group, was named to the “100 Top Attorneys” list in the December 2008 issue of Worth magazine. He was one of only six Illinois attorneys so named. He was recognized for his private client work advising entrepreneurs, tax-exempt organizations, fiduciaries and high net worth families on estate, gift and charitable planning issues. This is the third year in a row that Larry has been named to the prestigious national list.

Thomas J. McNulty Elected Chairman of the Board of Directors of the Civic Federation

Thomas J. McNulty, partner and chair of the firm’s Real Estate Tax Practice Group, was elected as the chairman of the board of directors of the Civic Federation, a Chicago-based taxpayer watchdog group and government research organization. Tom was formally elected to the two-year term as chairman in conjunction with the election of new officers and directors at the organization’s 2009 annual meeting held in Chicago. He had previously served as vice-chairman.

The Civic Federation was founded in 1894 by a group led by several of Chicago’s most prominent citizens including Jane Addams, Bertha Palmer and Lyman J. Gage. Group founders coalesced around a serious issue: the need to address deep concerns about the city’s economic, political and moral climate at the end of the 19th century. The resulting organization evolved during the 20th century to become a leading advocate for governmental fiscal responsibility and an effective champion of rational tax policy. The Civic Federation’s work continues to evolve in the 21st century as a greater emphasis is placed on working with government officials to improve the efficiency, effectiveness and accountability of Chicago-area governments.

Tiffany C. Woodie Appointed to the Board of Directors of the Chicago Committee on Minorities in Large Law Firms

Tiffany C.
