You acknowledge that AutoTec provides such information to Customers without verifying the same, on an “as is” basis, expressly disclaiming any express or implied warranties regarding such information. Subject to our acceptance of this authorization, you acknowledge the following: (i) the capacities in which the Individual is authorized as your agent apply at and with us and our subscribing AuctionACCESS customers (“Customers”), including affiliates; (ii) the authorization will be valid until one business day after we receive and process your written notice of termination in the form of a Dealer Removal Letter; and (iii) once processed, the most recent authorization received and accepted by us will replace any prior authorization(s) for the Individual for transactions thereafter.

If you designate the Individual in the capacity of “Representative,” “Owner,” or “Officer/Manager” in this form, the Individual may buy and sell automobiles for you and execute company checks, drafts, certificates of title, and/or any other instruments or documents on your behalf at or with any Customer. All categories, including "Drivers," may pick up, receive, and/or deliver cars or other property on or for your account.

You guarantee performance of all obligations and payment of all debts incurred or authorized by this Individual on your account with us or any Customer. This guaranty includes but is not limited to payment of losses from dishonored checks or drafts, defective titles, or false or inaccurate Odometer Mileage Statements. You also guarantee that the Individual will honor the AutoTec Terms and Conditions (as they may be amended from time to time and posted on www.AuctionACCESS.com),conduct business with us and our Customers in a fair and ethical manner, honoring all policies and procedures of each and respecting decisions of ours or our Customers with respect to same. You will indemnify and hold harmless Customers, AutoTec, LLC, each’s affiliates, and the officers, directors, employees, and agents of each of the foregoing, against any liability, loss, damages (including punitive damages), claim, settlement payment, cost, expense, award, judgment, fee, or other charge, including reasonable attorneys’ fees, arising out of or relating to the authorized Individual’s actions, as well as any expense incurred in attempting to collect such losses, including attorney fees.

Our Customers are third-party beneficiaries of this authorization agreement. At their election, and in their sole discretion, they may avail themselves of any provision of this agreement. However, this document is a supplement to, and not a replacement or modification of, any agreement you have with those Customers, or any policies and procedures of such Customer. Each customer retains the right to stop doing business with this Individual as it sees fit.

Use of the AuctionACCESS System is open only to licensed dealers and their business associates and is a privilege, not a right. You may authorize and register only those individuals who are bona fide employees or independent contractors for your dealership. Retail buyers or others not affiliated with your business are not eligible to use the System. By signing or clicking approval below, you also certify that the Individual is affiliated with your business and is eligible to use the System. We reserve the right to immediately terminate any authorization obtained for ineligible persons and the right to terminate your AuctionACCESS membership if you authorize a person who is not eligible to use the System, as well as the right to terminate either or both without cause in our sole discretion.

America's Auto Auction Policies REGISTRATION POLICIES

• All dealers must be registered before buying or selling.

• A current copy of your dealer’s license and bond are required to register.

• All buyers are also required to have a government issued photo id on file.

• In order to pay by check or draft, all banking information must be completed on your registration form and our bank letter completed by your bank.

• Cash buyers must leave $1,000.00 cash deposit. All call IFs must be cleared, and all vehicles paid for before a deposit can be

returned.

• All vehicles must be paid for before a gate release will be issued.

• Call IFs are binding until noon Wednesday.

• It is the buyer’s responsibility to call and see if vehicle is a sale or no sale.

• There will be $200.00 fee for any returned check or draft.

• Buyers are responsible for their guests. Guests are not allowed to bid on vehicles.

• Floor plan payments must be established on the day of sale. GENERAL POLICIES

• All bidders must be registered. Bidders are responsible for their guests. Guests are not allowed to bid on vehicles. • All vehicles must be paid before a gate release is given.

• All vehicles sold for less than $2000.00 will be sold “as is”. This includes Boats, Motorcycles, Trailers, Equipment, & Recreational

Vehicles. • Call IFs are binding until Wednesday at noon.

• Sellers have 30 days to present title to auction. After 30 days, a $75.00 late title fee will be deducted from check. Buyers are advised

not to spend money on vehicles before title is received. Any money spent, the buyer assumes the risk. Buyers must give a 7 day notice before vehicle can be returned. Notice can be given 23 days from the date of purchase.

• Vehicles sold with a “green light”, and $350.00 will fix it, there is no arbitration.

• All vehicles sold with a “green light” must be driven the night of the sale, even if the vehicle is on a “call”. All arbitrations must be

resolved the night of the sale.

• We do not accept or sell vehicles without a riveted VIN plate.

• All vehicles 10 years old & older will be sold with mileage marked exempt. All exempt vehicles are sold “as is” and can’t be arbitrated for odometer. (Example: Odometer broken or not actual miles cannot be arbitrated.)

• America’s Auto Auction is not responsible for damages from fire, theft, lost keys, or from any cause whatsoever. All vehicles left on

auction premises will be at the owner’s request and risk.

• The sales at the auction are intended to promote fair and ethical treatment to both buyer and seller. If the auction determines that the transaction is not fair and ethical to either party, the seller and buyer agree that the auction may cancel the sale, at its sole discretion.

• The auction reserves the right to reject any vehicle that management judges to be unsafe.

• Until payment and receipt of title, the buyer shall acquire neither title to the vehicle nor any right to sell of offer for sale.

• Auction accepts no responsibility for nontitle vehicles sold without a title. Seller must announce the vehicle being sold with a bill of sale only and that there is no title to transfer.

• Seller will be responsible for the buy fee plus reasonable transportation expenses to and from the buyer’s dealership to the auction on

the vehicles returned for “no title”.

• Auction will not be responsible for title mailed from auction and not received. Buyer has the choice of alternative delivery method and will pay auction cost.

ARBITRATION POLICIES

• Writing on the windshield is only a courtesy and is not subject to arbitration. Buyers are responsible for verifying VIN, year, make, model, and mileage readings.

• The following must be announced at the time of sale: Rebuilt Salvage Title, Not Actual Miles, Re-Assigned VIN, Frame Damage,

Insurance Titles, Flood Damage, Police Vehicles, Natural Gas/Propane Vehicles, Missing Or Deployed Airbags, Diesel Conversions.

• All vehicles sold with a “green light” must be driven the night of the sale, even if the vehicle is on a “call”. All arbitrations must be resolved the night of the sale.

• Vehicles sold with a “green light” and $350.00 will fix it, there is no arbitration.

• Odometer and flood must be arbitrated within 48 hours of sale.

• Vehicles arbitrated for frame or missing airbags must be returned to auction by Friday at noon. Frame arbitrations are subject to a

$100.00 inspection fee.

• Dash lights are not subject to arbitration.

• Green light drive guarantees motor, transmission & drive train.

• Vehicles failing arbitration with a “green light” drive, seller will still pay the sale fee.

• Vehicles with a known history (CarFax, Autocheck, etc.) of Salvage Title, Frame, Flood, or TMU, must be disclosed by the seller. Any sale voided for non-disclosure of those known conditions, the seller will pay the sale fee.

This is a Dealer’s auction. All dealers must be approved and registered before buying vehicles. Auction ID Cards must be used at all times. All dealers are responsible for their own cards. Written notification from an authorized representative must be received to terminate a buyer/agent. All vehicles offered for sale are subject to inspection by state and local authorities, FBI, and national Auto Theft Bureau. All attempts have been made to give correct listing of vehicles offered for sale on behalf of selling dealerships. Sales sheets listing dealership’s vehicles entered in sales will be available prior to sale. It is the responsibility of the buyer to be aware of selling description, announcements, examination of vehicles, and to accept vehicle’s present condition. Selling Descriptions: “As-Is”: – without mechanical guarantee of any kind (including year). All vehicles selling for $2,000.00 or less are automatic “As-Is”. “Ride and Drive”: - guarantees engine, transmission and drive axle with the exception of announced defects or conditions. The following vehicles must be announced at time of sale:

1. Reconditioned title 2. Salvage Title 3. Frame damage vehicles 4. Odometer issues 5. Flood Cars 6. Total Rebuilds

Failure to make the appropriate announcement will subject the vehicle to arbitration. The arbitrator’s decision is final and binding on both seller and buyer. Dash lights are not arbitrable. Miles Announced: (are announced on behalf of selling dealerships-America's Auto Auction is not responsible for odometer declarations) Exempt – vehicles ten years old as of January 1st are exempt from an odometer statement TMU – true mileage unknown – no guarantee of mileage America's Auto Auction assumes no liability for those attending auction and all attending are urged to use caution while vehicles are being moved. America's Auto Auction is not liable for any damage caused to vehicles by theft, fire, conversion, collision, vandalism and all acts of God. Buyers are cautioned not to sell or spend money on vehicle until title is received. Buyer must pay for vehicle at time of sale either by draft, check or cash. Method of payment is subject to approval by America's Auto Auction. All sales are recorded on audiotape and reviewed in the event of a dispute. The auctioneer’s decision will be final in any dispute. Once the vehicle has been removed from the sale site or 24 hours have elapsed from the time of sale, no recourse is available. The lowest admissible advance bidding is $25.00 to $1,000.00 and a $50.00 minimum advance thereafter. America's Auto Auction must be notified and approve the return of any vehicle to the selling dealership prior to such action. Should the return be approved, the buyer will be responsible for all costs and fees affiliated with the return unless otherwise notified and approved by America's Auto Auction. All drafts must be honored without protest. If returned unpaid, an additional $200.00 will be charged. First time for a returned check is $75.00 fee and $125.00 fee for the second time.
