CHAPTER - I

GENERAL SYSTEM AND TECHNOLOGY REQUIREMENTS

1.  OVERALL REQUIREMENTS - SYSTEMS ANDTECHNOLOGY 

1.1  INTRODUCTION

Rashtriya Chemicals and Fertilizers Limited, owns and operates

manufa c turing fac ilities for various fertilize rs and ind ustria l chemica ls a t its

units a t Trom bay a nd a t Tha l in Maha rashtra Sta te , Ind ia . In Trom bay Unit,

the re is Conc entrate d Nitric Ac id G roup of Plants, c onsisting o f

Co nc entrate d Nitric Ac id Plant o f 100 MTPD capac ity and Sulphuric Ac idPlant of 300 MTPD capa c ity. It is p roposed to rep lac e e xisting Dig ita l

Control System.

1.2 BACKGROUND 

Presently Yokogawa mic ro XL DCS is used for monito ring and control the

Co nc entrate d Nitric Ac id Plant a nd Sulphuric Ac id Plant from the

Co ntrol Roo m. Both Plants are c ont rolled from a sing le c ontrol roo m. The

DCS Co ntrollers, Ma rsha ling Ca b inets, System Cabinets, Pow er Ca b inetsare sep ara te for bo th the Plants and installed in d ifferent loc ation in the

same Cont rol Roo m a s show n in d iagram b ellow(Page No. 5). Though,

the DCS for bo th the Plants are sep ara te, they are integ ra ted and

process of both the Plants are controlled / monitored from each

Op erato r Sta tions. The safety interloc k log ic system is imp lemented

throug h DCS. It is p rop osed to rep lac e existing c ontrol system w ith sta te

of the art d istributed c ontrol system. The system sha ll have the c apab ility

for inc orpo ra ting trip interloc ks rela ted to the p roc ess of the plant.

1.3 SCOPE 

This spec ifica tion c overs general requirements for the Digita l Control

System & its auxilia ry eq uipments to be supp lied for the above projec t. The

scope includes design of system hardware, software, spares,

manufa c turing , testing a t fac tory(FAT) & a t site (SAT), doc umenta tion,

training , erec tion & c om mission ing of DCS, system inte gra tion,

maintenance contract & other necessary items to make the systemop erab le & c omplete to the satisfac tion o f owne r.

The DCS Vend or sha ll de live r all the materia l to RCF Sto res. RCF w ill ma ke

arrangement for shifting of the ma teria l from Stores to Co ntrol Roo m,

under the supervision of Vendor. Unpacking of all cabinets, and fixing ofpanels, in the Control Roo m, sha ll be done by vend or.

Vendor sha ll perform on site testing (OST) befo re m aking pow er on. Deta il

sc hedule of a c tivities perta ining to OST sha ll be approved during kic koff

meetings.

Actual plant shut down time available shall be a maximum of 10 days.

The DCS Vendor ha s to c ommission the system working round the c loc k

in this period only. It is to be noted that switching from existing DCS to

new DCS system within minimum spa n of time is the essence of work. 

The vend or shall supp ly all DCS eq uipme nt, input/ outp ut p anels, complete

with marking of cables and internals. It is also within the vendor's scope of

supply to perform all the necessary application programming including

the development of process graphic flow sheets, trends, control groups

etc . The DCS and the va rious panels sha ll be designed , ma nufac tured

and tested in accordance with this specification and the relevant Instru-me nt Data Sheets and do cuments.

During detailed engineering work, building of graphics, the vendor is

ob liged to involve the ow ner's personnel in o rder to e nsure a smo oth ha nd

over of the DCS. This should includ e t ra ining in ma inte na nc e a nd

rec onfigura tion of the system.

RCF shall furnish following information to vendor for applicationdevelopment:

1.4 TECHNOLOGY AND OBSOLESCENCE

The DCS systems to be supp lied sha ll inc orporate adva nc e sta te of a rttec hnolog y that shall gua rante e freed om from ob solescenc e at lea st for

15 years. Furthermore, the intelligence shall be extensively distributed up

to the field leve l.

The DCS to b e o ffered shall be the latest in the prod uc t range of the

princ ipa l of the supp lier. The b idder sha ll c ertify that the prod uc t offe red is

the latest

and prove n in the ir DCS family. Any imp end ing p rod uc t launc h sha ll also

be indicated in the bid, along with features for up gradation

compatibility. The offer is liab le to be rejec ted if the system o ffered is no t

the vendor's late st DCS produc t o r if p rior informa tion is no t furnished

ab out imp end ing launc h of a new system.

1.4.1 Use of standa rd Procedures:

a )  The system sha ll be c om posed of m anufac tures ow n standardhardware,

systems software which can be configured to meet the stated

requirements.

b ) Vend or’s standard op erating system softw are shall no t b e m od ified to

me et a ny of projec t’ s req uirem ents.

c )  The vendor’ s system sha ll be d esigned in a manner such tha t theimplementation of application software requires no modification to

the

system operating software.

1.4.2  Field Proven Systems

All hardware, software and firmware supplied with the system shall have

been field proven prior to placement of order; Field proven is defined as

suc c essful op eration a t a field insta llat ion of 24 or more m onths.

1.4.3  Distributed / Open Architec ture

The system sha ll be a d istrib uted c om puter or microp rocessor ba sedprocess control system. It shall permit control, data acquisition and control

functions to be performed at remote locations while providing the

capability to monitor and control the distributed functions from a central

control fac ility. The system sha ll be suffic ien tly flexib le tha t it c an b e

configured to a wide range of process requirements at the loop and

co mp onent level without cha nges to the hardw are.

The DCS sha ll be b ased on ” op en” system architec ture. The o pen

capabilities shall also allow third party software (such as operator

interfac e, op tim isa tion softw are o r expe rt systems) to b e a n integral pa rt

of the systems when RCF inte nd s to proc ure them . Com munica tions with

other devices shall be via industry standard protocols.

System sha ll be c apable of ho sting various ind ustry ava ilab le

communica tion p rotocols w ith th ird party systems. System sha ll be

capa ble o f insta lling c ommunic at ion mo dule/ softwa re in future.

1.4.4  Spare Ca pa city and Expansion Ca pa bility

The DCS system sha ll be d elivered to the insta lla tion site with the follow ing

minimum spa re c ap a c ity a nd expansion c ap ab ilities.

B) Expa nsion Ca pa bilities

a ) The system design sha ll inc lude the c apab ility fo r at least 25% future

hardware expansion (relative to the bid), whic h shall be ac hieved by

addition of equipment, without modifying or replacing existingequipment,

communica tions c ab les or system o perat ing software. This is in a dd ition

tothe spare requirements of sec tion 1.4.4 a)

C) The system proc essing and memory cap ac ity sha ll have 50% expansion

cap ab ility for future a pp lic at ion p rog ramming and configuration

including,

but not limited to, the fo llowing : Alarming / Monito ring , Equipme nt

Monitoring , Trend and histo ry c ollec tion, Reports, Disp lays inc lud ing userdefined graphics displays.

The DCS system sha ll be d elivered to the insta lla tion site with the follow ing

minimum spa re c ap a c ity and expansion c ap ab ility.

1.4.5 Software Protection

No software locking mechanisms, which would restrict the user from

copying the software source or compiled executable code from the

storage media, shall be employed. No software locking mechanisms,

which restric t the user from boo ting (sta rting Up), sha ll be e mployed . Thismea ns tha t no “ key d isks” or password or USB dong le sha ll be required to

use the softw are supp lied as part o f the system for proc ess cont rol a nd for

Engineering configuration. Operational security is different than software

protection. User programmable operational securities to be provided at

va rious levels of DCS c onfigura tion

1.4.6  Software Revision Levels

a )  The vend or’s standard system op erating softw are delivered to the

installation site shall be the most recent field proven revision level

availableat the be g inning o f the Pre – Fac tory Accepta nc e Test (FAT) wh ic h is

app lic ab le to the system hardware.

b )  The system sha ll allow for upgrad ing of system ope ra ting software

on a ll

red undant mod ules of the system without nec essity o f shutting dow n

the

proc ess, without losing the w indow to the p roc ess (operato r interfac e)

andwithout losing any c ontrol funct ions.

1.4.7  Third Party Equipment

All equipme nt p rovided as part of this system tha t is not ma nufac tured by

the Vendor shall be latest mo de l of the orig inal eq uipm ent manufac turerat the time of placement of contract or order, that is, it shall be currently

ava ilab le for sale from the o riginal manufac turer at the time o f plac em ent

of c ontrac t o r order. All such eq uipm ent shall meet all ap plic ab le p rojec tspec ific a tions and standard s refe renc ed in th is spec ific a tion .

1.5 OPEN ARCHITECTURE DESIGN 

The DCS to b e o ffered sha ll conform to op en arc hitec ture d esign.

1.5.1 Ethernet 

It sha ll have provision of IEEE 802.3, Deterministic and Rea l Time

Redundant Etherne t 100 MBPS and TCP / IP protoc ols fo r communica ting

with MIS systems, controllers, op erator & eng ineering sta tions printers, third

party d evice s. Ethernet sha ll have c apab ilities to dete c t & self-rec tify faults

for undeterred c ommunic ation to various intermediate nod es on netwo rk.

Extension of Ethernet for provision of operating stations shall be

imp lem ented throug h dua l red unda nt Fibre Optic ne twork.

1.5.2 Migration 

Migration to open standards as stipulated above shall be possible at the

modular level (for each node on the system highway) and shall be

ac hieva b le w ith the minimum o f hardw are.

1.5.3 Conformance  

Conformance / seamless migration to open architecture is an important

requirement of this tender. Failure to comply with these specifications or

failure to ind ic a te a c ost effec tive and sea mless migra tion to op en

architec ture w ould ma ke the o ffer liable to b e rejecte d.

1.6 PROVENNESS OF THE SYSTEM 

The system to b e o ffered sha ll be a prove n system w hich sha ll already be

installed and in operation at least for three years in India or abroad in a

continuo us proc ess ind ustry. The b id der sha ll sub mit d eta ils of suc h

insta lla tions with refe renc es of the c om panies, size, va lue o f orders, no. o f

years in operation etc. and contact person’s name communication

details.

The b idder sha ll have ha d c om pete nt and prove n expertise in supp ly,

commissioning a nd servicing of c omparative DCS system in Ind ia . Deta ils

regard ing c om mission ing / service personnel & training fac ilities sha ll beprovided by the vendor. A service office in Mumbai will be preferred and

bidder to provide the details of Mumbai service organization like No. of

service eng inee rs and c ustom ers being supported in Mum ba i Reg ion.

2. FUNCTIONAL REQUIREMENTS OF DCS 

PRECEDENCE OF SPECIFICATIONS

The ob jec tives and broa d guidelines laid dow n in this sec tion define endgoa ls of the purchase of the syste m. This Sec tion of this NIT sha ll preva il

over all subseq uent sec tions. The supp lier sha ll therefore b e g uided by

these stipulations and in the event of a conflict between this section and

any item in the subsequent sections; those given in this section shall

prevail.

2.1 CONTROL FUNCTIONS 

All the c ont rollers sha ll have built in redundanc y func tion with h igh spee dcommunication link between primary and secondary controllers.

Controllers shall support Ethernet communication with

Op erator/ Eng inee ring Sta tions.

All the controller modules shall be capable of performing at least thefollow ing func tions, howeve r not limited to :

have the capability of converting various input signals into types, which

are o f d irec t use to the system.

The func tiona l bloc k c onfigura tion should b e kep t to m ax. 50% and data

ac quisition c ards to max. 70%. The to ta l system load ing for c ontroller and

data acquisition subsystem sha ll no t exceed 60%. The loa d ing ind ic a ted

here is the worst case of high system activity referred to the use ofme mo ry, CPU time a nd c om munica tion c apac ity for the sub-system.

Complex loops: Algorithms for these shall be written along with the

purchaser.

manual mode for operation as the whole concept of automatic control

resulting in low availability of system.

In addition, vendor shall guarantee the non-existence of any non-

redundant device whose failure might affect the whole systems’

The controller upda ting time sha ll be 0.1 to 0.5 sec onds user d efinab le)

for all the loops conne c ted to it. There sha ll be ho t standby for ea ch

controller and assoc ia ted c ard s (such a s me mo ry card ,

com munica tion, switch-over control c ard, etc .) and the stand by shalltake over smo othly in the eve nt o f fa ilure of the working c ont roller. Thecontroller mod ules shall have red undant pow er supp ly. The

com munica tion from the c ontroller shall be red unda nt.

The c ontroller should b e c apab le o f exec uting mo re than two (2) scan

ra te s simultaneously. In case the c ont roller doe s not have such fea ture, an

extra c ontroller to be p rovide d p er a rea / group.

The c ont roller should b e equipped with a dd itiona l red undant firew allbetween controller and process network safeguarding the controller fromany unwanted da ta.

Present configuration does not call for any third party interface. However

a provision with necessary independent hardware (serial controller / 

Ga tew ay)/ softw are fo r 2 seria l interfac es sha ll be m ade a va ilab le.

It shall be po ssible to downloa d the da ta c ontents of the controller

on to a ma ss storage de vic e and sam e shall be reload ed

autom atic a lly on to the c ont roller to prevent loss of da ta during

prolong ed pow er failures. The d ow nloa d ing / reloa d ing o peration shall be

fast and sha ll be possib le from any sta tion console . Fa ilure of any

controller should be indica ted / printed on op erator / e nginee r stationwith aud ib le / voice a larm and shall be d isp layed locally. The

system should reboot itse lf automatica lly if the po we r is restored .

Process c ontrol & emergenc y trip inte rloc k sha ll be incorporated in DCS.All logic operations and all regulatory and process monitoring functions

sha ll be performed in same c ontroller of DCS. The p lant Eme rgency

shutdown system will be based on proposed interlock system with a

minimum of ma nual / loc al co ntrol. All logic and sequence operation shall

be checked from input to output by forcing / enabling various

inp uts/ outp uts d uring pre-FAT / FAT. All trip re lated I/O’ s sha ll be

segregated in I/O assignment such that trip related I/O’s shall be

terminated in redundant ca rds. These c ards sha ll not have I/ O,s which a re

not relate d to p lant tripping.

Set p oint a nd PV tracking sha ll be a sta nd ard fe a ture. The c ontroller sha llbe ab le to op erate in manual, auto, ca sc ad e o r c omp uter mod e. Mod e

changeover in either direction shall be procedure less and bump-less. It

shall be possible to change set point, tuning constants, controller mode,

and controller configuration from operator / engineer station. In control

panel / tuning panel d isp lay, Co ntrol Modes like Auto / Ma nua l / 

Ca sc ade sha ll be the re a s sta ndard fe a ture.

When operating und er externa l supervisory mode, c ontroller sha ll be ab le

to track computer generated set-point and hold last generated value in

case of c om puter failure. In such a case, c ont roller sha ll fall bac k on automo de a nd c ontinue to op erate at last rec eived set point, in ge neral.

Other options like pre-defined set-point operation and fail safe condition

sha ll also be possib le.

On the resumption of computer, the controller shall not return to external

supervisory mode automatically. Computer failure indication shall beprovided on a ll sta tions .

In cascade loops, primary controller shall be able to track the set pointand output of the sec ond ary c ont roller whe n sec ond ary controller is not

op erating in ca sc ad e mo de .

2.2 ALARM FUNCTIONS

Once the display in the alarm has been accessed, the operator shall

acknowledge the alarm by depressing the acknowledgment button / 

key. The aud ib le signa l might be turned off by a de dica ted key.

During sta rt-up and shutdow n of the plant, it would be c onve nient if

the op erato r is ab le to byp ass c ertain group s of tripp ing alarms. An a larm

system with suc h fea ture sha ll be p refe rred . Op erator sha ll be a b le to

ena ble/ d isab le every alarm ind ividually.

Ce rta in a larms ma y req uire ac tion b y the op erato r. The a larm system

should have the facilities to create an "Operator's Guide", in which the

operator can find instructions to overcome operational problems

ide ntified by the alarm.

A text message page shall be provided to communicate instructions to

op erato r which w ill be a c cessib le at sing le c lic k of a button .

2.3 INPUT-OUTPUT SYSTEM 

All the input output blocks / modules shall be mounted in a single / multi

Real-time and historical data shall be presented together on the same

trend . Arc hived history ma y be ac cessed autom atica lly by simp ly sc rollingto, or direc tly ente ring , the approp ria te t ime and date. Users sha ll be a ble

to c op y trend data to o ther ap plic a tions such as Microsoft Exc el.

The simulta neous histo ric a l trend ing o f a t least sixtee n (16) selec te dvariables shall be possible on any operating/engineering station with

selectable scales and colours, per trend, and with selectable sampling

ra tes (min. 1 sec ) for all the AI, AO, DI & DO ta gs with m inimum archiving

period of 3 months.

The rea l-time trend ing sha ll be ava ilab le for all the p arame ters of a ll the

loops of the plant. However, user shall have the flexibility to assign and

rea ssign any of the loops to the rea l-time trend d atabase.

The rea l-time trend sha ll have a minimum scan time prefe rab ly 1 sec and

the display time frame shall be user definable from 1 minute to 2 hours.

normal.

shall be available in all the area, group & loop displays. Different audio

2.4.4 Colour Dynamic Graphic DisplaysThese a re the g raphic d isp lays showing graphica lly the proc ess p ipes,

equipment, and relevant instrumentation. Each display shall be

orga nised in o rder to show instrume nta tion for ea ch p roc ess sec tion and

plant area .

Graphic displays shall be interactive type through which it shall be

possible to control the process. It shall be possible to send motor

start/stop and shutdown/ motorised valve open/close commands from

this d isp lay as per job spec ifica tions.

It shall be possible to go from any graphic page to related graphic

pages or any group display or alarm summary in single key stroke using

soft key function.

The g raphics will be built by the vend or on the basis of P & I d iagramswhich will be supplied by R.C.F. It shall be possible to create new

(custom ) disp lays, which c an inc lude g rap hics and anima tions. 

Real time updating shall be possible for at least 125 data variables in

each display. Dynamic updating shall include changing symbols (such

as closed valve symbol in place of open valve symbol and vice versa,

cha ng ing levels in ve ssels), c ha ng e in colour, and c ha ng e in values. The

display call up time shall be less than 1 sec. for all dynamic graphic

pages.

It shall be possible to create, modify, and delete the graphics throughinte rac tive sessions on-line . The graphics modules sha ll ena ble c rea tion

of sta tic (plant sc hem atic s) and dynamic s (process va riab les). Standard

building b loc ks / tem plates pertaining to a p roc ess industry like p ipeline,

valves, pumps etc. shall be provided and the user shall use these

standard blocks to create graphics without the help of any

2.4.5 Event Logging 

All event logs shall be displayable on any station and printed on

separa te Alarm/ Event Printe r.

operator action, in an event journal. Events shall be collectedperiod ic a lly in an online event d a tabase for queries and rep orting .

Event archiving operation shall be performed at appropriate intervals.

Events archived to a network fileserver can be copied to other media

such a s CD, or inc luded in a system backup.

All changes in the system caused by, for example, alarms, operator

ac tions, and c hanges in sec urity level sha ll be logg ed as eve nts. All ala rmsshall be recorded in the event log, including when it was generated,

when it returned to normal, and w hen it wa s acknow led ge d .

On d em and , a c hronolog ic al rec ord of events shall be displayed o n any

sta tion betwee n user-spec ified t ime p eriods. The p ages of the log sha ll

be scrolled and the log capable of being stopped at any time. It shall

not b e fea sible for the op erator to erase a ny pa rt of the event log.

2.4.6 Report Generation 

For analysing key system data, system shall provide a range of standard

reports, including Alarm/ Event reports for all alarms and events in a

specified time period. By using filters, this report shall provide an operatorand / or point trac e fac ility.

consultation w ith the purchaser.

Apart from pre-formatted reports mentioned above, there shall be a

report write r with SQL-like c om mand s to retrieve a nd gene ra te rep orts in

user definab le forma ts. Numb er of rep orts should not be a limitat ion .

The rep orts sha ll ha ve a c onfigurab le retention o f generally 30 days and

these shall not be overwritten / scratched by the subsequent reports.There sha ll be a spooling fac ility where the rep orts are p reserved as spoo l

files and c an b e q ueued to the printer at a late r stag e.

All programs required for control and data acquisition, unit operation,

with this software. Cross-reference facility shall be available so as to

Communications error checking techniques shall be incorporated so that

the probability of an undetected single bit error occurring is one in 100

million.

Communications system configured as redundant shall either use the

3.10 SYSTEM POWER SUPPLY AND EARTHING/ SHIELDING DETAILS

3.10.1  Power Supply 

The pow er supp ly for the entire system will be provided by the purchaser

from an uninterrupted/ sta b ilized power supp ly of 230VAC ± 10% (50 Hz

±3%) at one point as single phase supply with neutral connected toground.

Where o ther voltag es are nee ded , for instanc e 110VAC/ 24VDC. etc ., this

must be generated by power supply units which will be within the scope

of sup p ly of the system sup p lier. These Power Units sha ll be Redund ant

and sep ara te fo r Co nc ent ra ted Nitric Ac id p lant & Sulphuric Ac id Plant.

The manufac turer shall ensure c om plete redundanc y (hot sta ndby type)

& d istrib ution in power supp ly of d ifferent sub systems like I/O / c ontroller

cabinet, 24”LCD monitor, other hardware units etc. Complete power

supply distribution shall be through minimum 4 power supplies with

capab ility to supp ly 40%of no rma l supp ly c urrent , so tha t, in the e vent of

failure of one power supply, other power supplies can keep power

uninterrupted. Power shall be distributed amongst three phases of 230

VAC UPS. Also c urrent d rawn b y ea c h p ow er supp ly shall be ind ic a ted .

Wheneve r any p ow er supp ly fails, the sta tus of the same shall be upd a ted

on System Sta tus Alarms summary w ith a n aud ib le a larm. All red und ant

power supplies shall be wired so as to be truly redundant and shall draw

supply from separate sources. In case of failure of any one supply source

the p ow er to the system sha ll be a va ilab le from the redundant sourceand the redund ant pow er supp ly. Loa d sha ll be eq ually distributed on the

red undant p ow er supp ly distrib ution.

Pow er supp ly of 24 VDC to field devices sha ll be route d throug h

separate red undant REGULATED POWER SUPPLY of 24 VDC .

Vendor shall provide a power distribution cabinet to which the

purchaser sha ll supp ly the bulk pow er as ment ione d above . The

d istribution c ab inet sha ll also inc lude an isola tion transforme r.

All further distribution including cabling to each cabinet are included in

the vendors scope of supply. It is desired that each card/ instrument(smallest consumer) be provided with a separate switch/fuse unit with a

com mo n monitor circ uit b rea ker for eac h c ab inet . This sha ll ensure tha t as

far as possible fault in any of minor components shall be isolated at that

leve l itself instead o f affec ting o ther connec ted boa rds.

Vendor shall also include in their scope power supply and cabling for

auxiliary devices like annunciators, printers plotters, Winchester drives etc.

3.10.2  Earthing/ Shielding De tails 

The vendor sha ll design and provide ea rthing a s per the "Protec tingEarthing System" according to IEC rules and the "Reference Earthing

System" req uired for func tiona l purposes. The two systems will be

completely independent.  Common earthing system is not acceptable .

Even when OEM does not have different system for ea rthing, DCS supplier

shall have to opt for dual earth pit concept. There sha ll be no c om mo n

point even a t the "Main Earthing Termina l" which is connec ted to a n

ea rth e lec trod e. Shielding of signa l ca b les sha ll be w ithin sc op e of the

vend or. Co ppe r strip / bar of suita b le th ickness sha ll be used as ea rthing

strip .

Design, supply of material, digging of pit, supply and laying of earthingcables and installation of the earthing system shall be responsibility of

the vendor.

The ea rthing spec ific a tions and deta ils sha ll be supp lied by the vend or.

3.11 SIGNAL TRANSMISSION AND GALVANIC ISOLATION 

3.11.1  Isolation 

The system I/O c ards sha ll ha ve b uilt-in ga lvan ic / op to -isola tion fea ture

for all the signals to be interfaced with the field instrumentation. Isolationshall also be provided between each of the channels in the I/O cards.

Each node on the system shall also be isolated from the effects of any

malfunction.

The system sha ll also b e p rotec ted from externa l high vo ltag e

d isturbanc es and lightning, etc .

sha ll be m inimum 1.5 mm 2 copper wire, g reen or green with yellow trac er

insulation.

III.“ DC REFERENCE GROUND”(i.e. for all DC ana log / d ig ita l commons).

Interconnections between DC common consolidation points and the bus

bar shall be minimum 1.0 mm 2 copper wire, insulation to be green or

green with yellow tracer.

po wer-off the c a rd and without affec ting the functioning of the system .

3.13 SYSTEM ENVIRONMENTAL CONDITIONS

3.13.1 Control Room

The DCS and the c ab inets will be insta lled in the c ontrol Roo m b uilding.

The System layout sha ll be finalised with d ue c onsideration o f p lant

op eration, vendor’s rec ommenda tion a nd the spa ce a vailab le. The

Co ntrol Roo m b uilding is p rov ided w ith a ir cond ition ing .

The system sha ll be designed to work in the existing environmental

cond itions as listed below :

Temperature : 10 to 40 º C

Relat ive Humid ity : 40% to 80% non-c ondensing

3.13.2 Ergonomics 

The design o f the entire system, inc luding rac ks, mo nitors, keyb oards,

peripherals, colour schem e a nd layout shall be e rgonomica lly sound and

sha ll c onform to ISA sta nd ard / NEMA sta nd ard .

3.14 RF INTERFERENCE

There shall not be any adverse e ffec t in the system funct ioning due to

R.F. interference from VHF transreceiver sets being used in the vicinity / 

fac tory p rem ises. The vendor sha ll sta te the requirements such a s

distance , output power, frequency etc. of normal radio equipment

(wa lkie-ta lkie) from c ont rol room instrume nta tion.

3.15 GENERAL GUIDELINES FOR HARDWARE/ ENGG 

All system cables shall be multi stranded prefabricated with plug in

conne c tor sec ured we ll with c lamp s shall be provide d.

All terminals shall be of reputed make such as Weid Muler, Phoenix.

Wiring terminations shall be with lugs. All termination strips of field all field

instruments sha ll ha ve fuse of approp ria te ra ting. All DO termina tion strips

shall have blown fuse indicating LEDs.

All power termination shall have Perspex cover to avoid accidental

touches.

Pow er supp ly system sha ll be designed in such a way that by rem ova l

of a ny unit other units func tioning sha ll not b e a ffec ted.

3.16 TEST AND INSPECTION BY THE VENDOR 

Inspection of steelworks, finish, equipment, wiring, name plates and

maintenance and functional testing of power distribution circuits, alarm

circuits, and instrument loops, shall be as a minimum be performed by

the vendor, prior to customer’s witnessed inspection.

3.17 CUSTOMER’S WITNESSED INSPECTION 

The vend or shall produce deta iled test p roc ed ures for review prior tofinal acceptance test by purchaser. Any documentation for hardware

and software shall be c ompleted and ava ilable for the test, in a dd ition

to the p urc haser’s reviewed test proc ed ure.

3.18  FACTORY ACCEPTANCE TEST(FAT) OF DCS 

In addition to the vendor’s standard test procedures, a factory

ac cep tanc e test (FAT) sha ll be performed with the purc haser present a tthe vend or’s works. The FAT is inte nd ed to fully d emonstrate tha t the DCS

system have b een ma de co rrec tly and co mp letely in ac c orda nce with

all manufacturing, assembly and software configurations and that the

system performance with the system spec ifica tions. The vend or sha ll

p rovide standard FAT proc ed ures and subm it it to the purc haser for

3.19 ON-SITE ACCEPTANCE TEST (OSAT) OF DCS

The OSAT w ill be c onduc ted a fte r system insta lla tion on site and is

intended to assure that no damage occurred to the system during

shipment, that the system is correctly installed and that the system

req uirem ents a re sa tisfied when c onne c ted to “ live” field inputs/ outp uts.

The Vend or’ s eng inee r will a ttend this insp ec tion a t site .

3.20  INSTALLATION, TESTING & COMMISSIONING 

Vendor sha ll offe r the service s of the insta lla tion team which sha ll carry

out insta lla tion of eq uipme nt in the cont rol room, laying the

interc onnec ting cables inside control roo m, testing and

commissioning of the system.

All technic a l personnel dep uted on site by vend or sha ll be fully

conversant with the supp lied system and offered software pa c kag e.

Vend or shall p rovide sep ara te eng inee ring sta tion / lap top along with

separa te lic ense to h is eng ineering pe rsonnel so tha t his ac tivities rela tedto DCS system c om missioning do not hamp er the w ork of p lant

5.2 SCOPE OF HARDWARE AND SOFTWARE:

The scope o f orde r sha ll inc lude the d esign, sup p ly transporta tion,

installation and commissioning of the hardware and software system as

me ntioned in Annexure-1 and defined in Cha pte r 1 to Cha pte r 4 as we ll

as othe r rela ted tools and servic es mentioned in th is sec tion.

Notw ithstand ing the spec ifica tion g iven in the NIT and related

documents, the supply, installation and commissioning shall include all

items and services required for completeness and satisfactoryperforma nce o f the system .

The sc op e o f the vendor sha ll inc lude, but not be limited to the follow ing .

1)Supp ly of nec essary ha rdware a nd softw are a s me ntione d in thefunctional aspects of the system, technical specifications including

ac cessories suc h as c ab inets, mounting arrangement , sta nd s, tab le

top s etc . whe reve r necessary.

2) At least 20% spare c apac ity w ith ha rdware shall be built in the

system to ena b le the user to c onfigure the system for future

requirements.

3) Interco nnec ting cab les, pow er supp ly c ab les, ea rthing strips

wherever req uired in the system within and up to battery limits

(co ntrol roo m area except whe re spe c ific ally mentioned ) shall be

supp lied and laid by the vend or.4) The vendor sha ll be responsib le for transporta tion and storage of

the system and any pa rt thereof until ac cep tanc e of the system by

the purchaser.

5) Inspec tion a t site a long with purchaser a fter the rec eipt of the

system sha ll be ca rried out by the vend or.

5.7.2  Software And Documentation Updates

Any changes, revisions, de-bugging patches, etc. to the systems and

application software shall be provided to RCF on a continuous basis as

and when they are released/ developed by the vendor or the principal

ma nufac turer. Also upd a tes to doc umenta tion shall be p rovide d .

5.7.3  Hardware/ firmware updates 

The vend or sha ll undertake to keep RCF informed about any

develop me nt in the ha rdware/ firmware versions. This sha ll be ob liga tory

on the part of the ve ndor. Any develop me nts arising o ut of shortcom ings

of the systems in the performing its designed task shall be carried out by

the vend or a t RCF's site in the form o f regula r eng inee ring c harge orde rs

free of c ost including hardware a nd deputation of vendo r's eng ineer to

site.

The revisions b roug ht o ut fo r enhancement of p erformanc e sha ll be

ma de ava ilable to RCF.

The supp lier / p rinc ipa l sha ll ha ve RCF on the ir mailing list fo r a ll softw are,

hardware and firmw are upda tes and de velop ments.

5.7.4 Spares availability

5.7.5. Personnel Support Services: 

The vendor sha ll make ava ilab le whe never nec essary, the servic es of the

specialists at RCF site within 24 hrs. from the time of communication,

telep honic o r othe rwise.

5.7.6 Deputation of vendor's engineer:

1) The supp lier sha ll gua rantee ava ilab ility o f one eng inee r a t site (within2 hours) during first tw o mo nths of g uarante e pe riod free of c ha rge sta rt-

ing a fte r the commission ing of the DCS system o f the p lant.

2) The eng inee r posted shall be the one who is involved in e xec uting the

tec hnica l aspec ts of the system from the initia l sta ge. The e ng inee r sha ll

assist the purc haser in m aintenanc e a nd upkee p of the system inc luding

a ll nec essary lia isons with the vendor office s and personnel. The resident

engineer shall also impart on-the-job training to RCF's operation andma intena nc e staff.

5.7.7 Comprehensive   Annual Maintenance Contract

The supp lier sha ll furnish c ha rges for com prehensive mainte na nc e o f the

entire DCS inc luding b roug ht out items on a yea rly basis for a period of

10 years post w arranty. 

The m aintenanc e a rrangement w ill be a pp licab le po st warranty for

period of 10 yea rs.

During the warranty period and Comprehensive AMC periods, problems

in softw are such as bugs, etc . sha ll be patched a t no extra c harge .

6.2  DCS SYSTEM ACCEPTANCE CRITERIA 

RCF shall accept the DCS system before clea ring SD/ PBG only after

successful & timely compliance of following criteria:

a )  The DCS system with a ll sub systems inc luding ha rdware,software communication systems, auxiliaries have been

supp lied , insta lled and c om missioned to the sa tisfac tion of

RCF.

b )  Training ha s been imparte d to RCF's personne l as stipulated in

section 5.6

c )  All the d oc ume nta tion as g iven in Sec tion 5, tab le 5.1as well as

those req uired for c om plete c om prehe nsion of the system has

been delivered.

d )  All services as ment ione d in Sec tion 5 are c om plied with by the

vendor.

e)  All othe r ac tivities, whe the r stipulated in this NIT or no t, but

which are nec essary for me eting the req uirem ents o f DCS system have

be en co mp leted by the vendor or by any sub-contrac tor of the vendo r.

f)  In ca se the supp lier uses 2 yea r spares stoc ked b y the purcha ser

fo rc om missioning of the system, the date of ac cep tanc e of the system

sha ll be counted from the da te these spares are returned by the

supp lier to the purcha ser.

7.1 LANGUAGE: All correspondence and manuals/documents shall be in English

language.

7.4 ACKNOWLEDGMENT TO NIT 

Acknowledgment of Invitation to Bid is required by telex/cable/fax as

soon as possib le. The Bidder sha ll app roa c h RCF for any c larifica tion in

writing, telex, cable/fax which shall however not relieve the bidder of

any o f the o bliga tions stipula ted in the NIT.

7.5 DELIVERY TERMS AND PERIOD 

The DCS system sha ll be d ispatc hed by a ir/ road a fte r the system

checkout te sts a t the Vendor's / p rinc ip a l's work.

The insta lla tion of the new systems sha ll be done d uring the shutd ow n of

the plant. Erection activities shall commence before the shutdown for

those part of the system or sub-systems for which shall not interfere with

the existing system or opera tion o f the p lant . The supp lier sha ll p lan h is

erection activities so as to complete it in the shortest possible time. Theinstallation of the new system shall in any case be done in a period not

exceeding continuous 10 days.

The ve ndor shall g ive a deta iled ne two rk sched ule a nd milestone c ha rt

for the supply, erection and commissioning of the system and status

upd ate s on

wee kly ba sis. The log ic a l seq uence of a c tivities for insta lla tion o f new

system during shutdow n sha ll be c learly indica ted in the netw ork.

7.6  WARRANTIES AND GUARANTEES 

The supp lier sha ll gua rantee tha t a ll mate ria l, goo ds, sp a res and software

supplied are of best design, material, components and workmanship

and that the goods are new, of the latest manufacture and free from

any defect.

If any defect or bug is found in goods or software, and the defect is

attributable to the supplier, then goods shall be supplemented, repaired

or replaced by the supplier and all related expenses shall be borne bysupp lier. In the eve nt o f d elay b y the supp lier, RCF sha ll reserve the right

to rectify the same at risk of the supplier and the cost shall be back-

charged to the supp lier.

The entire system shall be guarantee d for minimum period of 30 mo nths

from the date of supply or 24 months from the date of installation. In

case of repair/replacement of any requirement or sub-system or part

thereof during the warranty period, the replaced equipment or sub-

system or part shall have a further warranty for a period of 24 months

from the date of repair/replacement. All software shall be guaranteed

aga inst b ugs for all times.

Replacement of spares during the warranty period shall be free of

charge. All the services provided under an AMC shall also be provided

during the warranty period of 2 yea rs.

item/different items/services shall also be indicated to facilitate

adjustment of lump-sum value in the event of changes made by the

purcha ser form NIT spec ifica tions. Offe rs w itho ut item w ise brea k-up of

pric es are liab le to be rejec ted .

Cha nge s in lump -sum va lue sha ll be c onsidered only in c ase o f changes

ma de b y the Purc haser.

The vend or is advised to c hec k and ensure tha t a ll item s are included in

the o ffer and the lump-sum va lue quo ted . In any c ase, it is de emed that

the vend or has stud ied the NIT doc ume nts in the ir entirety a nd no

inc rease in lump -sum va lue sha ll be p ermissib le, if the NIT spec ifica tions

remaining unchanged, vendor claims at a later date items are omitted

on ac count of wha tsoe ver reason. The o ffer sha ll be in Ind ian Rupee s,however the extent o f custom s duty c ompo nent shall be indica ted .

In case of a import content, the CIF value is to be indicated in foreign

currenc y. Bids a re liab le to be rejec ted if the CIF value is not ind ic a ted.

7.8 PAYMENT TERMS RCF's sta nd ard payment te rms as g iven in the "Sta nd ard Terms and

Conditions" shall prevail.

7.9 SUBMISSION OF BIDS Bids shall be submitted in quadruplicate and shall be typewritten or

printe d. The b id s sha ll be submitte d in th ree sep ara te parts as follows:

a)Technical bid

Deviations from the stipulated specifications shall be clearly indicated.

sequence and number/sub-number of the sections included here in, the

compliance and deviations from specifications and requirements in

summary form. This sha ll be suc h a s to ha ve a one-to-one

1.0.0 Definition

The term ‘CONTRACT’ shall mean and include the Notice Inviting Tender (NIT)the Instructions to TENDERER, the Tender, Letter of Intent accepting the tenderin part of full, Special and General Terms and Conditions, Directions, andcomments conveyed in writing, the Purchase Order or Work Order, and itssubsequent variations if any, r any other authorized CONTRACT documents, andthose general and special conditions that may be added subsequently or suchother documents, drawings, specifications as may be prescribed.

The terms ‘CONTRACTOR’, shall mean the person(s), firm, company with whom,a CONTRACT has been entered into and shall be deemed to include theirrepresentatives, heir, executors and administrators, successors and permittedassignees of such person, person(s), firm or company.

The terms ‘RCF” shall mean RashtriyaChemicals & Fertilizers Limited having its Registered Office at ‘Priyadarshini’,Eastern Express Highway, Sion, Mumbai 400 022 and shall be deemed toinclude their successors and/or assignees, and shall include the Administrativeand Executive Officers authorized to deal with all matters relating to theCONTRACT.

The Term ‘TENDERER’ shall mean the person(s), firm or company who offer(s) atender or quotation duly signed in response t the invitation to tender issued by‘RCF’ and shall be deemed to include their representatives, heirs, executors andadministrators, successors and permitted assignees to such person(s), firm orcompany.

Instructions for submission of Tender

Every tender shall be made out in English, Hindi or Marathi language. All otherinformation will also be supplied by the ‘TENDERER’ in English, Hindi or Marathilanguage. Only one language will be used in the tender. In case of conflict theEnglish version shall prevail. All amounts shall be indicated by TENDERER bothin works as well as in figures. Whether there is difference between prices quotedin figures, and words, corresponding amount quoted in words shall prevail.

Tenders should be free from overwriting. All corrections should be duly attestedby the tenderers. The legal instrument of authority either in original or a certified

copy thereof empowering the person(s) signing their tender, should accompanythe tender. No oral, telephonic or telegraphic tenders or modifications in thetenders shall be considered under any circumstances.

Submission of Tenders

2.0.01 In case clarifications are required on invitation to tender the TENDERERshall approach RCF in writing well before the opening of the technical part of thetender, and RCF will provide the information required in writing. However, failureto receive any addendum or clarification shall not relieve the TENDERER of anyof the obligations stipulated in the invitation to tender.

2.0.02 The invitation to tender with annexure and all attachments will beconsidered to have been read, understood and accepted by the tenderers unlessotherwise specifically stated by them in writing well before the scheduled openingof the technical part of the tender.

2.0.03 The terms and conditions as embodied in the CONTRACT shall be finaland any other terms mentioned in the supplier’s tender but not included in theCONTRACT shall be deemed as rejected by RCF.

3.0.00 Tender opening

3.0.01 Tenders will be opened in two stagesPart I – Technical & Unpriced Commercial part of the tender.Part II – Commercial part of the tender with prices.

3.0.02 The Technical and Unpriced Commercial part of tender (part-I) will beopened on the prefixed date in the presence of TENDERERS (only publictenders) and their representatives who desire to attend the tender opening.

3.0.03 The Commercial part of tender with Prices (part-II) shall be opened inpublic (only public tenders) after the corresponding Technical and UnpricedCommercial part of the tender are scrutinized and possible clarifications obtainedfrom such tenderers as may be required so as to bring the tenders at parttechnically.

3.0.04 Based on clarification, the TENDERER may be asked to submit ifrequired, revised sealed commercial part of the tender with prices (Part-II).

3.0.05 Tenderers will be given adequate notice regarding date and venue ofpublic opening.

EARNEST MONEY DEPOSITEarnest Money Deposit (amount as mentioned in invitation to tender) should befurnished in the form of a demand draft payable at Mumbai drawn in favour ofRashtriya Chemical and Fertilizers Limited.

Any request to adjust Earnest Money Deposit out of the tenderer’s running billsor pending payments will not be considered and the tender will be treated aswithout Earnest Money Deposit.

5.0.02 In the event of any breach of any of the terms and conditions of theCONTRACT or the CONTRACTOR neglects, delays or fails to perform theCONTRACT, RCF shall have the right to forfeit the security deposit. The securitydeposit shall not bear any interest.

6.0.00 PERFORMANCE GUARANTEEThe CONTRACTOR shall provide Bank Guarantee for performance, in case of isspecified in invitation to tender, equivalent to value of security deposit for aperiod of 24 months from the date of acceptance at site or 30 months from thedate of supply whichever is earlier (or as specified in invitation to tender).Security deposit can be converted into Performance Guarantee at the discretionof RCF.

VALIDITY OF TENDERS.All tenders should be kept valid for acceptance for 120 days from the tenderclosing date unless

otherwise specified in tender invitation. Tenders of lesser validity period may notbe considered. In case of revised commercial tenders with prices (Part-II) forvalidity period, the date will be reckoned from the date on which revisedcommercial tenders with prices were opened.

Country of Origin.

The tenderers will have to furnish information regarding the country of origin ofthe goods and works in their tender documents.

Transmission of Tenders.

All tenders should either be submitted in Tender Box in the office of ChiefMaterials Manager (Purchase), Administrative Building, (Ground Floor) RashtriyaChemicals & Fertilizers Ltd., Chembur, Mumbai 400 074, INDIA or sent bycourier/ Registered post to the same address so as to reach well in advance ofthe closing date and time. 11.0.00 Accompaniments.All tenders must be complete in all respect & should conform to all requirementsset forth in the enquiry, annexure and attachments. The contents of the tenderinvitation, annexure and the attachments will be considered to have been read,

understood and accepted by all the tenderers. Al deviations from thespecifications set forth in the enquiry should be properly brought out in theTechnical Tender.

Compensation for submission of tender.Tenderers shall not be entitled to claim any costs, charges, expensed orincidentals for or in connection with the preparation and submission of theirtenders even though Rashtriya Chemicals & Fertilizers may elect to withdraw theinvitation to tender or reject all tenders.

13.0.00 Pricing.

Tenderer’s quotations must con-form in all respects to the applicablespecifications, drawings, data sheets, terms and conditions of this invitation totenders. TENDERER must certify that his quotation complies with all enquirydocuments and specifications. Exceptions, and deviations if any should bespecifically stated. In the event of the TENDERER not giving any exceptions anddeviations in the tender then it will be construed that the TENDERER hasaccepted RCF’s invitation to the tender in full.

TENDERER may offer a supplementary or alternative proposal (viz his standarddesign) but in doing so he must state all deviations and/or exceptions to the bastender. Generally a tender offering only the alternative solution is not accepted.

Tenderers should quote unit and lump sum prices. The price so quoted shouldbe all-inclusive and no claim for extras will be entertained.

Tenderers should clearly indicate inthe tender whether they are availing Modvat Credit or such other Credits or DutyDraw Backs. In such cases the TENDERER should stat in the tender that theyhave considered all such benefits for quoting their price in the tender.

The Unit rate quoted in the tenderwill form the basis of compensation, if the scope of work is altered within mutuallyacceptable limit.

The tender shall be based on firmF.O.B/F.A.S. price and on reliable basis estimate of the freight cost from the portof loading to Mumbai Port should also be given.

Where there are special shipment terms for ODC/heavy lifts covered by specialfreight CONTRACT which will have to be unloaded by ship’s own Derricks/Jumbocranes destination port, price shall be on C & F terms only.

The Indigeneous Tenderers shall quote free delivery at RCF Trombay site, and

also give separately a reliable estimate of freight/transportation charges to site.

13.0.07 Tenderers are required to state the name of proposed manufacturers ofevery item of equipment which does not fall under their manufacturing range atthe time of submitting the tender. All tenders shall be in the currency of thecountry from which the equipment and services are to be acquired. In case of:

Tenders submitted jointly by Manufacture(s) located in India and ForeignManufacturer(s).

Tenders submitted by Manufacturer(s) located in Indian and Foreign sub-

supplier(s) and

Tenderers submitted by ForeignManufacturer(s) with sub-supplier(s), located in India.

The tender documents shall be arranged to show separately the expenditure inIndian and Non-Indian currency.

TENDERER shall quote all prices including percentages of total price in figuresas well as in words. Where there is a difference between these, the rates givenin words shall prevail. Erasures or overwriting of any kind in the tender mayrender the tender to outright rejection. Where necessary the original figures andwords should be scored out and corrected figures and words written again. TheTENDERER shall have to attest the corrections.

14.0.00 Price adjustment/escalation

THE PRICE QUOTED SHOULD BE FIRM AND SUBJECT OT NO ESCALATIONWHATSOEVER DURING THE ENTIRE CONTRACT PERIOD, except forStatutory Levies namely Excise Duty, Sales Tax and Octroi. Rate of ExciseDuty, Sales Tax and Octroi, applicable on the date of submission of the tendershould be clearly mentioned in the tender. Payment shall be made at the ratesapplicable at the time of supply against documentary evidence. 16.0.00 Tenderer’s Obligation.

i)- To conform to the fabrication schedule provided by him so as to complete thework within the delivery period quoted.

ii)- To notify RCF as and when inspections, including pre-shipment inspection aredue and arrange rework, if any as a consequence of such inspection.

iii)- Place goods along side vessel of dock in FAS and on board in case C&F,FOB tenders and deliver material free at our Trombay site in case of Indiantenderers.

iv)- Provide RCF with clean on board Bill of Lading or clear R.R.v)- Make good any damage or loss or both, until goods are delivered alongside inFAS and on board in C&F and FOB contracts and in respect of Indian Contracts,until goods are delivered or until goods are delivered to carriers in case of ex-factory delivery or until goods are delivered to RCF site in case of free delivery toRCF.

vi)- Before submitting the tenders, the tenderers should satisfy themselves of allexisting conditions, limitations and official regulation at the site of the work andenroute and the lows governing the CONTRACT. No claim whatsoever shall beentertained on the grounds of ignorance of site conditions and/or conditionsprevailing in the surrounding areas.

Standard & Measurements.

Codes or standards equal or of higher quality than the codes or standardsstipulated in the Invitation to Tender will be acceptable.

Where a brand name with the phrase “or equal” have been specified in theInvitation to tender. TENDERER may quote for alternative articles or materials,which have similar characteristics and provide equal performance and quality tothat specified.

Metric system has been adopted in the preparation of all design, engineering,and drawing including piping and tubing schedules. The tenderers also shallfollow the metric system.

18.0.00 Right of Acceptance & Rejection of Tender.

RCF reserves the right to accept at their sole and unfettered discretion anytender for whole or part quantities or to reject any or all tenders without assigningany reason thereof. No claim for compensation etc., whatsoever will beentertained by RCF from unsuccessful tenderers.

18.0.01 Past Performance of the ContractorsThe Contractors whose past performance have been found not satisfactory, inthe opinion ofRCF, then, RCF reserves the right to refuse the tender documents, or reject thetender while opening or evaluating the tenders. The decision of RCF regardingperformance evaluation shall be final.

Splitting of Tender.RCF reserves the right to split the tender in parts and to award the contract in fullor in parts.

20.0.00 Right of cancellation of CONTRACT.20.1.00 RCF reserves the right to cancel this CONTRACT or any partthereof and shall be entitled to rescind the CONTRACT wholly or in part forthwithby a written notice to the CONTRACTOR if:

20.1.01 The CONTRACTOR does not adhere to any terms and conditionsof the CONTRACT including General & Special, Terms & Conditions.

20.1.02 The CONTRACTOR fails to execute the job in time.

20.1.03 The quality of the supply/part supply received is poor or not inconformity with the requirement.

The CONTRACTOR attempts for any corrupt practices.

20.1.05 The CONTRACTOR becomes bankrupt or goes into liquidation.

20.1.06 The CONTRACTOR makes a general assignment for the benefit ofcreditors.

A receiver is appointed for any of the property owned by the contractor.

20.2.00 Upon receipt of said cancellation notice; the CONTRACTOR shalldiscontinue all work on the CONTRACT and matters concerned with it.

RCF in that event will be entitled to get the job executed from any sources andrecover the excess payment over the CONTRACTOR’S agreed price, if any, from

the CONTRACTOR.20.3.00 RCF also reserves the right to cancel the CONTRACT due toForce Measure conditions and the CONTRACTOR will have no claim ofcompensation whatsoever.

21.0.00 Termination of CONTRACT for Convenience.21.0.01 RCF may by written notice sent to the CONTRACTOR, terminatethe CONTRACT, in whole or in part, at any time for their convenience. TheNotice of termination shall specify that termination if for RCF’s convenience, theextent to which performance of work under the CONTRACT is terminated anddate upon which such termination becomes effective.

The work that is complete, at the time of receipt of notice of termination shall betaken over by RCF at the CONTRACT terms and prices.

For the balance work RCF may opt:

a)- to have any portion completed at the CONTRACT terms and conditions.b)- to cancel the reminder and pay the CONTRACTOR an agreed amount formaterial brought to site for execution of work

22.0.00 Correspondence.

All correspondence in respect of this invitation to tender should be made inEnglish quoting tender invitation reference number appearing on the front page.Correspondence should be addressed in duplicate to:

23.0.00 Comparative Analysis of TendersAll tenderers, in whatever currencies they are will be converted into IndianRupees for the purpose of comparison. The rate of exchange used for suchvaluation will be those published by the Reserve Bank of India and ruling on thedate of opening of the price tender, unless there is abnormal change in the valueof currencies before the award of CONTRACT. In such event the exchange rateruling at the time of decision to notify the award of CONTRACT to the successfulTENDERER will be used.

paid only in Indian currency. Therefore, the TENDERER should clearly mentionthis amount in the tender.

100% payment shall be made through irrevocable letter of credit againstsubmission of shipping documents and performance bond to cover defect liability

period. The TENDERER shall have to furnish the name of their bankers foropening the letter of credit by RCF.

Indigenous suppliers.

RCF’s normal payment term is payment within 30 days after receipt andacceptance of material at site, provided bank guarantee for performance ifstipulated with the CONTRACT is submitted

RCF may with hold payment to such extend as may be necessary to protect itselffrom loss on account of:

i)- Defective work not remedied.ii)-Failure of the CONTRACTOR to makepayment properly or for materials or for labour.

iii)-Reasonable doubts that the CONTRACT cannot be completed with thebalance CONTRACT.

iv)-Damage to another CONTRACTOR or to RCF property and probable filing ofclaims.

v)- For other reasons mentioned else where in NIT.

25.0.00 Advance payment.In case of large contracts if the CONTRACTOR essentially needs any advancepayment then this should be clearly indicated in the Unpriced commercial part ofthe tender documents. If approved by RCF, such advance payment will bereleased only on furnishing of suitable bank guarantee as per proforma enclosedfor an amount equivalent to the advance payment. AN INTEREST RATE OF12% OR SUCH OTHER RATE AS MAY BE DECIDED BY RCF FROM TIME TOTIME WILL BE USED AT THE TIME OF EVALUATION TENDER.

26.0.00 Period for the completion of the CONTRACT.Time is the essence of the CONTRACT. The CONTRACT should be completedas per the time schedule given in the CONTRACT. The time schedule includesbut not limited to time for submission of drawings for approval, incorporation ofcomments if any, final approval of drawing by RCF. However, if the approval ofthe drawing is delayed beyond 10 days from the date of receipt of RCF Office,corresponding extension in time shall be allowed provided CONTRACTOR givesa notice in writing that the approval in drawing is delayed and requests for

extension of delivery period correspondingly. The CONTRACTOR shall furnishdetailed PERT Chart indicating various events and activities, in his tender.CONTRACTOR shall submit to RCF their time schedule in respect ofdocumentation, manufacture and supply of equipment, clearly indicating all mainor key events such as material procurement, manufacturing activities, testing,

documentation, delivery, transportation, erection, etc.

RCF representative shall have the right to inspect the manufacturing activities atthe CONTRACTOR’s premises with a view to evaluate the actual progress ofwork on the basis of CONTRACTOR’s time schedule given to RCF. RCFreserves the right to appoint third party inspection agency in addition to RCF’sown inspection. All third party’s inspection charge will be pad by RCF, unlessotherwise specifically stated in the Purchase Order or Work Order.

Notwithstanding the above, in case of the progress in execution of theCONTRACT at various stages is not as per the time schedule or is not

satisfactory in the opinion of the RCF which shall be conclusive or if theCONTRACTOR neglects to execute the CONTRACT with due diligence andexpedition or shall contravene the provision of the CONTRACT. RCF may givenotice of the same in writing to the CONTRACTOR calling upon him to makegood the failure, neglect or contravention. Should the CONTRACTOR fail tocomply with such notice within the period considered reasonable by RCF andspecified in such notice RCF shall have the option and be at liberty to take theCONTRACT, wholly or in part, out of the CONTRACTOR and make alternativearrangements to obtain the requirements and completion of the CONTRACT atthe CONTRACTOR’s risk and cost and recover from the CONTRACTOR all extracost incurred and agreed liquidated damages by the RCF on this account. Insuch an event RCF shall not be responsible for any loss that the CONTRACTORmay incur and CONTRACTOR shall not be entitled to any gain. RCF in additionshall have the right to forfeit Security/Performance Deposit in full or part.

Liquidated damages for late delivery

In the event that the CONTRACTOR fails to meet the time schedule agreed forsubmission of documents and/or supply of equipments or materials theCONTRACTOR shall pay the agreed liquidated damages. The agreed liquidateddamages will be calculated on the total CONTRACT price including subsequentmodifications if any, and price escalation, if contractual but exclusive of spareparts.

In case of delay in supply of documents total price shall be reduced at the rate of0.1% for complete week of delay subject to a maximum of 0.5% per documentgroup.

In case of delay in delivery of equipment/material including shipping documentsprice shall be reduced at the rate of 0.5% for complete week of delay subject tomaximum of 5% of CONTRACT value.

One week’s grace period will be granted in the calculation of the delay. Date of

delivery is the date of clean on board Bill of Lading or date of clear R/R and incase of direct delivery to our Stores the date of receipt at Stores.Notwithstanding the above in the event of protracted delay in delivery, RCF shallreserve the right either to cancel the CONTRACT wholly or partially and makealternative arrangement at the risk and cost of the CONTRACTOR with a noticeof seven days to the CONTRACTOR.

27.0.00 Inspection and Testing.

RCF shall have the option to appoint an Inspection Agency for stage and finalinspection of the equipment/material ordered under the CONTRACT. All testing

and trails including those carried out for material, whether or not manufactured byCONTRACTOR, shall be witnessed by our Inspector. All the test certificates inoriginal as required shall be furnished by the CONTRACTOR. Along with thesupply of the equipment/material. The CONTRACTOR shallarrange where ever necessary and applicable, inspection as per statutoryprovisions such as Indian Boiler Regulation, Indian Electricity Act, IndianExplosive Act, etc. The CONTRACTOR shall be responsible for arranging thevisit of the Boiler Inspector Electrical Inspector, Explosive Inspector, or any suchstatutory authority for obtaining necessary clearance before the supply ofequipment/material.

The equipment shall be despatched only after the inspection and acceptancecertificate issued by the Inspector in writing, unless otherwise provided for theCONTRACTOR. Copies of the inspection and acceptance certificates shall besent to RCF along with the advance copies of the invoice.

28.0.00 SUB CONTRACT.

Written consent of RCF should be obtained before the work is sub contracted, incase the CONTRACTOR intends to employ SUB CONTRACTOR(s). Subcontracting shall not imply any limitation of CONTRACTOR’s liability to fulfill theCONTRACT. Should the SUB CONTRACTOR, in the opinion of RCF, appear tobe unfit to carry out his part of the CONTRACT or the progress of the SUBCONTRACTOR’s work in such that the planned time of completion within theterms of the order is jeopardized, RCF shall have the right to instruct theCONTRACTOR in writing to terminate the SUB CONTRACT without notice or ashort notice. This shall not give raise to any claim from SUB CONTRACTOR orrelieve the CONTRACTOR from any of his contractual obligations andresponsibilities.

Disputes and Arbitration

In the even of any question, dispute or difference arising under the CONTRACT,the same shall be referred to the sole arbitration of a person appointed to theArbitrator by CMD, RCF. There will be no objection that the Arbitrator is in

service of RCF that he had to deal with the matters to which the CONTRACTrelates or that in the course of his duties as an employee of RCF he hadexpressed views on all or any of the matters in dispute or difference. TheArbitrator shall give a reasoned or speaking award. The award of the Arbitratorshall be final and binding on the parties to the CONTRACT. In the event of theArbitrator dying, neglecting or refusing to act or resigning or being unable to actfor any reason, it shall be lawful for the CMD. RCF to appoint another Arbitratorin place of outgoing Arbitrator in the manner aforesaid. The venue of arbitrationshall be Mumbai.

Transit Risk Insurance.

All consignments under the CONTRACT, which are despatched to RCF, will becovered for Transit Insurance under RCF’s Open General Insurance Policy withthe underwriters RCF M/S IFFCO-TOKIO GENERAL INSURANCE CO. LTD.,3

or such other Insurance Company as may be prescribed by RCF from time totime.

Advance intimation of despatch of consignment(s) shall be given by theCONTRACTOR to our underwriters indicating there in the manner of despatch,nature of packing, weight and such other details as required for insurancecoverage. The CONTRACTOR should ensure that the above information isforwarded under Registered Acknowledgement Due Letter, andacknowledgement received is kept in their record. The contractors shall alsoensure that supply of material is adhered to as per CONTRACT and packings areas per specifications laid out under Marine Insurance Guidelines.

CONTRACTOR shall assist RCF, Insurance Co., Surveyors, and any othercoordinating agency appointed by RCF for early settlement of claim(s) if any.

CONSIGNMENTS DESPATCHED ON “CIF” OR “FREE DELIVERY TO RCF”BASIS SHALL NOT BE INSURED AGAINST RCF’S OPEN GENERALINSURANCE POLICY.

Indigeneous Suppliers.The consignment shall be insured for cost plus freight plus taxes if applicable,with the RCF M/S IFFCO-TOKIO GENERAL INSURANCE CO. LTD.,3

or such other Insurance Company as may be prescribed by RCF from time to

time. The Indigeneous Suppliers shall intimate the above underwriters in writingas soon as the consignment is despatched with despatch particulars.

Foreign Suppliers.

The consignment shall be insured against all the risks including SRCC fromsuppliers warehouse to warehouse of RCF with the above underwriters. Foreignsuppliers shall intimate the above underwriters in writing as soon as theconsignment is despatched from their works with despatch particulars.

Taxes and Duties

All taxes and duties should be shown separately in the tender where everapplicable. RCF is registered under Central Sales Tax Act as well asMaharashtra Sales Tax Act. Central or Maharashtra Sales Tax as applicableshould be stated in the quotation. In case of CST ‘C’ Form will be issued. OurCST No. is 400074 – C.I. dated 01.04.96 and MST No. 400074 S I dated 1.4.96.Excise duty as applicable should also be clearly and separately shown in thetender. CONTRACTOR shall submit all original documents for payment ofExcise Duty, Customs Duty, Octroi, etc.

32.0.00 Jurisdiction of Court

The CONTRACT shall be deemed to have been entered into at Mumbai and allcauses of action in relation to the CONTRACT will thus be deemed to have beenarisen only within the jurisdiction of the Mumbai Courts.

SecrecyAny information derived or otherwise communicated to the CONTRACTOR inconnection with the CONTRACT shall be regarded as secret and confidential andshall not without the written consent of the RCF be published or disclosed to anythird party or made used of by the CONTRACTOR except for the purpose ofimplementing the CONTRACT.

34.0.00 Law governing the CONTRACT

This CONTRACT shall be governed by the laws of Union of India for the timebeing in force.

35.0.00 Negotiations

RCF may not conduct any negotiation for the tender as far as possible.However, RCF reserves the right to conduct negotiation if the conditions sowarrant.36.0.00 Other Requirements

All tenderers should submit the following documents along with the commercialpart of the tender.

1)- A certificate signed by Independent Chartered Accountant furnishing thenames of any Associated Units of the TENDERER or names of any Units inwhich any of the Directors/Partners of the TENDERER has any interest. In casethe TENDERER has no associated unit and/or none of the Directors/ Partnershave interest in any other unit(s) they should furnish a certificate from CharteredAccount of this effect.2)- CONTRACTOR should declare the name(s) of his or the firm’s

partners/relatives if they are working in RCF. If relative(s) of CONTRACTORis/are working in RCF, a certificate to this effect shall be furnished by theCONTRACTOR.3)- CONTRACTOR should furnish the latest Income Tax Clearance Certificate.4)- CONTRACTOR should furnish the Solvency Certificate issued by theirBankers in a sealed cover.5)- CONTRACTOR should complete the proforma on “Status of TENDERER” asper annexure enclosed.6)- CONTRACTOR should furnish Sales Tax Clearance Certificate and if theyare exempted from payment of Sales Tax, the exemption certificate to befurnished.

37.0.00 Force Majeure.

Neither the CONTRACTOR nor the RCF shall be considered the default in theperformance of their contractual obligations under the order so long as suchperformance is prevented or delayed for reasons, such as Acts of God, severeearthquake, typhoon or cyclone (except monsoon) floods, lightning, landslide, fireor explosion, plague or epidemic, strikes, lockouts lasting more than 14consecutive calendar days sabotage, blockages, war, riots, invasion, act offoreign enemies, hostilities, (whether war be declared or not), civil war, rebellion,revolution, insurrection, or military usurped power or confiscation or tradeembargoes or destruction or requisition by order of any Government or anypublic authority.CONTRACTOR shall notify RCF about the occurrence of the force majeureevents and provided RCF with the details of the arising and ceasing of theimpediment. At the end of the impediment CONTRACTOR shall provide

 justificatory documentation countersigned by the Local Chamber of Commerce.Should one or both the parties be prevented fulfillment of the contractualobligations by a state of force majeure lasting continuously for a period of six

weeks the two parties shall consult each other regarding the futureimplementation of the CONTRACT. The mere shortage of labour, materials orutilities shall not constitute force majeure unless caused by circumstances, whichare themselves, force majeure.CONTRACTOR shall endeavor to prevent, over come or remove the causes of

force majeure.No ground for exemption can be invoked if the CONTRACTOR failed to givetimely notice by a Registered Letter and subsequently sup-ported bydocumentary evidence.

38.0.00 Patent Rights.

The CONTRACTOR shall fully indemnify RCF, its customers and users, againstany action, claim or demand, costs or expenses, arising from or incurred byreason of any infringement or alleged infringement of letters, patent, trade markor name, copyright or other protected rights in respect of any materials supplied.

All royalties and the like payment shall be paid directly by the CONTRACTOR.

RCF stating that the Supplier / Contractor has committed breach of the term(s)

and/or condition(s) contained in the Order and/or failed to comply with the terms

and conditions as stipulated in the Order or amendment(s) thereto. The demand

made on the Bank by RCF shall be conclusive as to the breach of the term(s)

and/or condition(s) of the Order and the amount due and payable by the Bank

under this guarantee, notwithstanding any dispute or disputes raised by the said

Supplier / Contractor regarding the validity of such breach and we agree to pay

the amount so demanded by RCF forthwith and without any demur. However,

our liability under this guarantee shall be restricted to an amount not exceeding

Rs. _____________.

2. We, ______________  the Bank further agree that this irrevocable

guarantee herein contained shall remain in full force and effect during the period

that would be taken for the performance of the said Order and that it shall

continue to be enforceable till the dues of RCF under or by virtue of the said

Order have been fully paid and its claim satisfied or discharged or till RCF 

certifies that the terms and conditions of the Order have been fully and properly

carried our by the Supplier / Contractor and accordingly discharge the

guarantee.

3. We ________________ the Bank, undertake to pay to RCF any money

so demanded notwithstanding any dispute or disputes raised by the said

Supplier / Contractor in any suit or proceedings pending before any court or

tribunal relating thereto as our liability under this present being absolute and

unequivocal. The payment so made by us under this Guarantee shall be valid

discharge of our liability for payment there under and the said Supplier /

Contractor shall have no claim against us for making such payment.

4. We ________________  the Bank further agree that RCF shall have full

liberty, without our consent and without affecting in any manner our obligation

hereunder to vary any of the terms and conditions of the Order or to extend time

of performance by the said Supplier / Contractor from time to time or to

postpone, for any time or from time to time, any of the powers exercisable by the

RCF against the said Supplier / Contractor and to forbear or enforce any of the

terms and conditions relating to the Order and shall not be relieved from our

liability by reason of any such variation or extension being granted to the said

Supplier / Contractor or for any forbearance, act or omission on the part of RCF 

or any indulgence by RCF to the Supplier / Contractor or by any such matter or

thing whatsoever which under the law relating to sureties would but for this

provisions have effect of so relieving us.

5. Our liability under this guarantee is restricted to Rs. _________ and shall

remain in force up to ____________________ (date of expiry). Unless a demand

or claim under this guarantee is made on us in writing on or before the date of

expiry viz. ________, we shall be discharged from all liabilities under this

guarantee thereafter.

6. This guarantee will not be discharged due to change in the constitution in

7. The Bank hereby agrees to address all the future correspondence in
