Dear New Board Member:

We welcome you to the Qsource of Arkansas Board of Directors! You are positioned to play a key role in our mission to achieve quality improvement in healthcare while providing a voice to our various stakeholders.

Two board meetings are scheduled each year by the members. Usually the first meeting is held during April in Little Rock, and the second meeting is in September in Little Rock or via teleconference. The board meetings are usually half a day on a Thursday, Friday or Satur-day. An orientation meeting is scheduled for new board members, the Board of Directors Chairman and Senior Management of Qsource of Arkansas—sometimes this may be conduct-ed prior to the first meeting you attend or via telephone.

While our focus has been public health—Medicare and Medicaid—what we do benefits all patients regardless of insurer, because we help improve healthcare and lower cost. Qsource improves the quality of healthcare through provider and consumer education and advocacy.

Qsource is a nonprofit, 501(c)(3) healthcare quality improvement and information technology consultancy headquartered in Tennessee since 1973. It is the parent company of Qsource Arkansas. Qsource operates offices in Memphis (where the corporate headquarters is located), Nashville and Knoxville, Tenn., and Little Rock, Ark.

As a corporate entity, Qsource, its subsidiary and divisions provide a wide range of expert services to assist organizations and providers in improving healthcare quality and delivery with better patient outcomes and cost savings.

Our strategic plan fully integrates continuous quality improvement and principles of the International Organization for Standardization into project management activities to meet and exceed customer expectations. Qsource’s quality management system for design, development and delivery of provider consulting and education is certified to ISO 9001:2008.

QIO DivisionOur Quality Improvement Organization (QIO) Division focuses efforts in Tennessee on Medicare publicly reported quality measures, provider collaboratives and national initiatives as implemented by the Centers for Medicare & Medicaid Services (CMS).

EQRO DivisionQsource’s External Quality Review Organization (EQRO) Division evaluates the quality, timeliness of and access to services provided by Tennessee to Medicaid members and Children’s Health Insurance Program (CHIP) participants. Based in Nashville, staff provides technical support, on-site reviews, data analyses, and outcomes reporting for Managed Care provided through TennCare (Medicaid) and CoverKids (CHIP).

tnREC DivisionWhile Qsource provides Health Information Technology (HIT) support services from all our locations and divisions, the tnREC Division serves as the federally designated Regional Extension Center (REC) assisting providers in the state of Tennessee. Based in Nashville, tnREC staff members work remotely and in satellite offices across the state to assist providers with and promote implementation of health information technology.

Qsource of Arkansas SubsidiaryStaff members at Qsource of Arkansas perform prior authorization and therapy review (retrospective utilization and medical necessity) for Arkansas Medicaid recipients under the age of 21, and assist Arkansas physicians with ePrescribing. Qsource of Arkansas staff also assists with contract management, quality initiative evaluations and Medical Director/health policy technical support.

Who We AreWe are a healthcare consulting organization serving to advance the quality of healthcare for Arkansans. We are committed to assisting healthcare providers and organizations make innovative and sustainable improvements that result in positive healthcare outcomes.

Established in May 2008, Qsource of Arkansas operates in Little Rock, Ark., as an independent 501(c)6 subsidiary of Qsource. A separate seven-member Board of Directors oversees the subsidiary with two positions designated by the Qsource Board of Directors. In June 2009, Qsource of Arkansas was designated to be a QIO-like entity allowing the subsidiary to branch out for new opportunities within the state.

Our services are designed to assist customers with analysis and improvement of a wide range of multi-focused healthcare initiatives. Our staff is recognized throughout the state for their knowledge and understanding of the healthcare system. Our team of physicians, nurses, therapist, quality improvement specialists and statisticians provide services resulting in high levels of customer satisfaction, improved care and wellness for Arkansas patient populations.

Our ServicesOur services are built on collaborative partnerships and efforts to define and realign goals/objectives, prioritize needs, provide expertise in system redesign, implement and integrate information technology, data analysis, formulate strategic plans inclusive of measurable outcomes, as well as communication, education and guidance to facilitate change.

We integrate quality improvement principles into all of our work. We serve as the therapy review and prior authorization for personal care contractor for the Arkansas Medicaid program. In this role, the therapy review department performs retrospective utilization and medical necessity reviews on speech, physical and occupational therapies provided to Medicaid recipients, under the age of 21, who reside in the state of Arkansas.

We assist physicians in implementing ePrescribing and perform the Management of Medicaid Quality Initiatives and Technical Support (MMQI) contract from Arkansas Medicaid. The MMQI

contract involves contract management and program evaluation inclusive of quality improvement strategies, healthcare measurement and provision of technical support to the Medicaid Medical Director for the purpose of assisting with development of state healthcare policy.

As the Trauma Quality Improvement Organization for Arkansas, we review the quality of services provided to patients at facility, regional and statewide levels; and promote optimal outcomes for trauma patients through collaborative outreach and education throughout the trauma care system. We collect and analyze trauma performance measure data and provide healthcare data reports on multiple provider levels whose outcomes are presented to key trauma stakeholders and providers.

GovernanceA local Board of Directors governs Qsource of Arkansas. Board members are elected by the current Qsource of Arkansas board and reflect Arkansas’ diverse population. Members include healthcare, accounting, and consumers representatives.

Our board provides careful strategic oversight of Qsource of Arkansas’ work to improve and transform the quality of healthcare. We are committed to the highest standards for business practices, governance and public accountability. Our Board supports greater transparency in the healthcare system, as well as our own achievements in contributing to measurable improvement in quality healthcare.

Number of members: Not more than 11, not more than four physician directors, and not more than 9 consumer representatives, at least one of who is a Medicare beneficiary.

Length of Appointment: 3-year term

Cap on Service: 2 successive terms.

When appointments are made: Directors are elected by the current board members. Election Results are announced at the annual meeting of the organization. Mid-term appointments to the Board can be made only in the event of a mid-term vacancy to fill the seat until the end of the term.

Percentage of governing body appointed each year: 33.3 percent of Board terms end each year.

Board Compensation: Board compensation is set by an independent, authorized body and is $125 per hour.

Public Relations and Publications PolicyStatement of purpose: Many of the physicians and other individuals through whom Qsource of Arkansas carries out its mission are engaged by Qsource of Arkansas as part-time employees, independent contractors, or volunteers. Examples of such individuals include those who are engaged in Therapy Review and Quality Improvement activities through Qsource of Arkansas, such as Clinical Coordinators, Occupational and Physical Therapy Review Consultants.

In many instances, the limited roles in which these individuals serve Qsource of Arkansas require face-to-face and other direct communications between these individuals and the health care community, including health care providers, beneficiaries, and others. Without adherence to the precautions set forth in this policy, proper managerial oversight cannot be assured. It is incumbent upon all of Qsource of Arkansas’ employees, contractors, volunteers, and other authorized individuals to ensure that they do not exceed the authority granted to them by Qsource of Arkansas, that they do not misrepresent that authority to others, and that they do not unwittingly interfere with the stated mission and purpose of Qsource of Arkansas.

This policy is designed to serve as a reminder to all Qsource of Arkansas employees, contractors, volunteers, and other individuals assisting Qsource of Arkansas in carrying out its mission, that (1) the nature of their relationship with Qsource of Arkansas strictly limits their authority to make statements and to otherwise act on behalf of Qsource of Arkansas and (2) statements made, and actions taken by them which exceed the scope of the authority granted to them by Qsource of Arkansas may subject them to personal criminal and civil liability.

Statement of policy: It is the policy of Qsource of Arkansas to ensure that all employees, contractors, volunteers, and other authorized persons (collectively referred to in this policy as Delegates) act within the scope of their employment or engagement by Qsource of Arkansas. All Delegates are expected to act at all times in compliance with this policy, during both working and non-working hours. Unauthorized public statements made, or other actions taken by a Delegate concerning Qsource of Arkansas or any of its activities are grounds for immediate termination, and may result in the personal liability of the Delegate for any resulting damages and criminal penalties as provided by applicable law.

Required precautions: Delegates should constantly remain aware of the scope of their employment or engagement, and act and communicate strictly within the limited scope of such employment or engagement. Delegates must ensure when they are performing services at Qsource of Arkansas’s request that they never hold themselves out to others as possessing greater authority than that granted to them by Qsource of Arkansas. In addition to taking any other precautions necessary to ensure compliance, Delegates must ensure that they do not engage in any of the following activities without the prior express permission or authorization of appropriate Qsource of Arkansas management:

1. make any public statement (whether in oral, written, or electronic form) on behalf of Qsource of Arkansas, or concerning Qsource of Arkansas’ activities, including but not limited to those made in conjunction with (a) news articles, professional journals and periodicals, and books; and (b) medical staff or professional association meetings, lectures, and seminars;

2. request any information (including but not limited to all forms of data; information implicitly or explicitly identifying any individual as a patient, provider of services, or reviewer; and medical records, diagnoses, and treatment information) on behalf of Qsource of Arkansas from a health care provider, beneficiary, or any other organization or entity;

3. provide any information to the news media, including but not limited to print media, radio, or television, concerning Qsource of Arkansas or any of its activities (instead, all requests for such information are to be referred to Qsource of Arkansas’ Chief Executive Officer or Information Officer);

4. express any statements of opinion (whether in oral, written, or electronic form) concerning Qsource of Arkansas or any of its activities, without prefacing such opinion with a statement that anything the Delegate says must be taken as a personal viewpoint only, and does not necessarily represent the views of Qsource of Arkansas; or

5. distribute any materials not provided by Qsource of Arkansas for the Delegate’s distribution.

THIS POLICY MUST BE PROVIDED TO ALL EMPLOYEES, AGENTS, CONTRACTORS, AND VOLUNTEERS OF QSOURCE OF ARKANSAS, AND TO ALL EMPLOYEES AND AGENTS OF EACH CONTRACTOR.
