According to their allocation in the Hive-down Agreement, the agreements will either transfer to Mercedes-Benz AG or Daimler Truck AG by operation of law, or remain with Daimler AG. What happens with assets of Daimler AG which are at locations of 3rd parties??

All property, plant and equipment allocated to the Mercedes-Benz Cars & Vans Division or the Daimler Trucks & Buses Division will transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law and by way of so called partial universal succession according to the allocation in the Hive-down Agreement.

The inventory labels of existing tools or load carriers will not be changed. New tools or load carries will receive inventory labels of the new company expected by November 1, 2019.

No, existing orders and agreements with their respective terms and conditions will remain in full force and effect. The rent and cost sharing for load carriers will not change. The basis of contract will remain the Mercedes-Benz Special Terms 28 for all legal entities.

What are the implications of hive-down on customs clearance for goods in transit??

Goods which were shipped to Daimler AG prior to hive-down (and hence customs documents were issued on the name of Daimler AG) can be cleared by the respective new company after hive-down.

Goods which were shipped prior to hive-down by Daimler AG can be cleared too. A deviation between customs invoice and commercial invoice is not a problem since only the commercial invoice is relevant for the tax authorities.

The unloading points 351-360 of location Gaggenau haven been allocated to plant 010 of Mercedes-Benz AG. Purchase orders of these unloading points have already been issued for plant 010. For logistics purposes (such as VDA4905) there won’t be new Odette-IDs for the German plants of Daimler AG, regardless of their allocation to Daimler AG, Mercedes-Benz AG or Daimler Truck AG under the new corporate structure. However, for the transmission of invoices/credit notes (VDA4938) new Odette-IDs will be required.

What is the invoicing practice as of November 1, 2019?

Suppliers: As of November 1, 2019, all invoices for plants of the new companies must be issued to either Mercedes-Benz AG or Daimler Truck AG. Credit notes for the new plants of the new companies will be issued by Mercedes-Benz AG or Daimler Truck AG as of November 1, 2019. For details, please refer to the appendix.

How will the transfer of respective divisions to Mercedes-Benz AG and Daimler Truck AG be executed?

The portion of the assets of Daimler AG that shall be transferred to Mercedes-Benz AG or Daimler Truck AG, respectively, is defined in the Hive-down Agreement. Upon the Hive-down taking effect by registration in the Commercial Register of Daimler AG, all assets and liabilities forming part of the Hive-down Assets transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law (§§ 123 para. 3 no. 1, 131 para. 1 no. 1 UmwG (Umwandlungsgesetz – German Transformation Act)).

This so called partial universal succession allows for a transfer of assets and liabilities attributable to the respective divisions without making multiple legally independent transactions (assignments, transfers, etc.). In particular, as a general rule, agreements between Daimler AG and third parties which form part of the respective Hive-down Assets also transfer to Mercedes-Benz AG or Daimler Truck AG, respectively, by operation of law without consent of the third party.

What consequences does the partial universal succession of Mercedes-Benz AG and Daimler Truck AG have for the affected parties?

Upon effectiveness of the Hive-down Mercedes-Benz AG or Daimler Truck AG, respectively, assume all rights and obligations of Daimler AG under agreements with third parties to the extent these agreements form part of the Hive-down Assets pursuant to the Hive-down Agreement. Subsequently, the agreements remain unchanged and in full force and effect between the contracting party and Mercedes-Benz AG or Daimler Truck AG, respectively, which means that all terms and conditions remain unchanged.
