At the Annual General Meeting on 28 May 1999, Messrs Robert
L. Genillard, Ulrich Bremi and Adolf Gugler will reach the age limit for
membership on the Board of Directors and will therefore retire from
this body. Furthermore, Mr Theodor M. Tschopp will resign from the
Board at the 1999 Annual General Meeting due to his resignation as
Chairman of the Board of Alusuisse-Lonza Group.
Mr Genillard has served the organisation for four decades, first
as Chairman and CEO of Credit Suisse White Weld, which then later
became CS First Boston, and as a Board member of the former Credit
Suisse (from 1986), CS First Boston (from 1990) and CS Holding
(from 1989). Since the refocusing of the Group in 1996/97, Mr Genillard
served on the Boards of the new Credit Suisse Group, Credit Suisse
First Boston and Credit Suisse. In 1997 he was appointed Vice-Chairman
of all three entities. From 1961, Mr Genillard was also actively engaged
in the remarkable effort of transforming Clariden Bank into a highly
successful member of the Group’s Independent Private Banks, particularly
during his tenure as Chairman from 1984 to 1999. We thank Mr Genillard
for having devoted the full range of his talent and vast experience to
the service of our Group.
Mr Bremi was elected to the Board of the former Credit Suisse
(now Credit Suisse First Boston) in 1985. He joined the Board of the
former CS Holding in 1989 and served on the Board of Credit Suisse
since 1997. Mr Bremi has given us highly sound advice over the years
and the Board would like to thank him for the great wealth of experience
brought to the Group.
As CEO and later Chairman of the former Electrowatt Ltd, and
as a former member of the CS Holding Executive Board, Mr Gugler was
closely linked to the Group for many years. He was elected a member
of the Board in 1994. We would like to extend our thanks to Mr Gugler
for his valuable contribution to Credit Suisse Group.
Finally, we would also like to thank Mr Tschopp, who was elected
member of the Board in 1993, for his stimulus and his great commit-
ment to our Group. Mr Tschopp also served on the Board of the former
Credit Suisse from 1993 until 1997, when he concentrated on his
mandate at Credit Suisse Group as part of the 1996/97 refocusing of
our organisation.
On 8 March 1999 the Board of Directors of Credit Suisse Group
decided to create an International Advisory Board and a Swiss Advisory
Board. The Advisory Boards are consultative bodies which will advise
the Board of Directors and management on issues which have a
significant impact on the environment within which the Group operates.
The insight gained should enable the Board of Directors and management
to implement strategic change at an early stage.

Change in the Executive Board
Richard E. Thornburgh, Chief Financial Officer
of Credit Suisse Group has been appointed
Vice-Chairman of the Executive Board of
Credit Suisse First Boston effective 1 April
1999. He will continue to serve on the Executive
Board of Credit Suisse Group. In his new
function, Mr Thornburgh assumes responsibility
for risk management, all support areas, the
private equity business and the development of
electronic distribution channels. He reports
directly to Allen D. Wheat, Chief Executive
Officer of Credit Suisse First Boston.
Philip K. Ryan, Chief Financial Officer of Credit
Suisse Asset Management, has been appointed
Mr Thornburgh’s successor as Chief Financial
Officer of Credit Suisse Group. With his transfer,
effective 1 April 1999, Mr Ryan also becomes
a Member of the Executive Board of Credit
Suisse Group.
In addition to his function as Chief Executive
Officer of Winterthur, Thomas Wellauer will
head the new Personal Financial Services
Europe unit. This unit, which combines all
retail-oriented activities of Credit Suisse
Private Banking and Credit Suisse Asset
Management in Europe (outside Switzerland),
will work closely with Winterthur’s European
operations.

Due to the squeeze-out of the minority shareholders in Credit Suisse, Credit Suisse First Boston and Winterthur, Credit Suisse Group owns 100% of
capital and voting rights of these companies. In order to streamline structures and concentrate resources, the size of the Boards of the banks were
reduced to include the Board members serving on the Chairman’s Committee of Credit Suisse Group and its Chief Executive Officer.
At the Annual General Meetings on 25 and 26 February 1999
respectively, Richard Andermatt, Jean-Daniel Cornaz, Gianfranco Cotti
and Hugo von der Crone stepped down from the Board of Directors
of Credit Suisse and Klaus Jacobi from the Board of Directors of
Credit Suisse First Boston.
As Managing Director and Chief Operating Officer, Mr
Andermatt played a valuable role in the establishment and expansion of
Credit Suisse Financial Products in London. In 1994 he joined the
Board of the former Swiss Volksbank as Vice-Chairman and was also
a member of the Chairman’s Committee until 1997 as well as
Chairman of the Audit Committee.
Mr Cornaz served on the Board of the former Credit Suisse
from 1987, where he was also a member of the Audit Committee. In
1989 he was elected to the Board of the former CS Holding.
Following the refocusing of Credit Suisse Group in 1996/1997 he
took a seat on the Board of Credit Suisse.
Elected to the Board of Directors of the former Swiss Volksbank
in 1985, Mr Cotti served as Chairman of this body from 1993 until
1997. In 1993 he was appointed to the Board of the former
CS Holding, where he served until 1997.
Mr von der Crone was appointed member of the Executive
Board of the former Credit Suisse in 1979. From 1989 until 1994 he
was a member of the Executive Board of the former CS Holding,
serving as full-time Vice-Chairman from 1990 until 1994. In 1993 he
was elected Vice-Chairman of the Board of Directors of the former
Swiss Volksbank. From 1997 he was a member of the Board and the
Audit Committee of Credit Suisse.
Former Secretary of State Klaus Jacobi brought his rich experi-
ence in the public domain to bear as a member of the Board and the
Audit Committee of Credit Suisse First Boston (formerly Credit Suisse)
from 1992.
