DELIVERY

Orders placed before 2.00pm (Monday-Friday) will be delivered within 3 to 4 working days between the hours of 9.00am and 5.30pm.

Orders placed after 3.30pm during the week or at weekends are processed and dispatched the following working day. No orders are processed, dispatched or delivered on Bank Holidays or weekends.

For deliveries outside of mainland UK further charges will apply and our customer service team will be able to assist you with this.

OPI PRODUCT CAUTIONS• KEEP ALL OPI PRODUCTS OUT OF THE REACH OF CHILDREN• All OPI products are for professional use only, with the exception of OPI Nail Lacquer and retail

items.• Use with adequate ventilation to prevent accumulation of vapours. • Avoid inhalation or ingestion and contact with skin.• Discontinue use if sensitisation occurs – may cause allergic reaction in certain persons.• Some liquid products are flammable, as indicated on label. Keep away from heat, sparks or open

flame (including candles). Exercise caution.• Store and use at temperatures between 70° F/21° C and 80° F/27° C. Do not leave in direct sunlight.• Do not use any OPI products on nails that are infected, damaged, extremely thin or weak; have

been bitten deep into the nail bed; or are surrounded by sore/inflamed cuticles.• In case of emergency or if taken internally get prompt medical attention and/or call your local

1. INTERPRETATION1.1 In these Terms: Customer or you: means the person whose order for the Products is accepted by OPI; Contract means the contract between us for the sale and purchase of the Products on these Terms; OPI or we: means OPI Limited, of 10 Woodshots Meadow, Croxley Green Business Park, Watford, Hertfordshire

WD18 8YU, which is registered in England at this address under number 03459239; Products: means the products or any part of them set out in the Order which OPI is to supply to you in

accordance with these Terms; Terms: means the standard terms of sale set out in this document and any special terms agreed in writing

between ourselves; Territory means: the United Kingdom; OPI means: OPI Products Inc of 13034 Saticoy Street, North Hollywood, CA 91605, USA. Order means the Customer’s order for the Products.1.2 A reference in these Terms to a provision of a statute shall be construed as a reference to that provision as

amended, re-enacted or extended at the relevant time.1.3 The headings in these Terms are for convenience only and shall not affect their interpretation.1.4 A reference to a party includes its personal representatives, successors or permitted assigns.2. BASIS OF THE SALE2.1 OPI shall sell and the Customer shall purchase the Products subject to these Terms, which shall govern the

Contract to the exclusion of any other terms subject to which any such quotation is accepted or purported to be accepted, or any such order is made or purported to be made by any you and the parties agree that these Terms constitute the entire agreement between them.

2.2 An Order shall only be deemed to be accepted when an authorised representative of OPI issues confirmation by way of an invoice at which point and on which date the Contract shall come into existence.

2.3 No variation to these Terms shall be binding unless agreed in writing between the authorised representatives of OPI and you as the Customer.

2.4 Our employees or agents are not authorised to make any representations concerning the Products unless these are confirmed by OPI in writing. In entering into the Contract you acknowledge that you do not rely on any such representations which are not so confirmed, but nothing in these Terms affects the liability of either party for fraudulent misrepresentation.

2.5 Any advice or recommendation given by OPI or its employees or agents to you or your employees or agents as to the storage, application or use of the Products which is not confirmed by us in writing is followed or acted upon entirely at your own risk, and accordingly we shall not be liable for any such advice or recommendation which is not so confirmed save in respect of any liability which we may not exclude

2.6 Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by OPI shall be subject to correction without any liability on our part.

3. ORDERS 3.1 We only accept orders of a minimum value of £50.00 (exclusive of VAT). 3.2 You shall be responsible for ensuring the accuracy of the terms of any Order submitted by you.3.3 If you do not have an account with OPI, you must pay for your Order before delivery can be effected. Any

bespoke or special order shall be paid for at the time that the Order is placed or otherwise at our discretion. We accept all usual credit and debit cards and cheques, but if you pay by cheque, please note that Products will only be dispatched after your cheque has been cleared which usually takes seven (7) working days. OPI reserves the right to levy an administration charge of £10 in respect of every dishonoured cheque.

3.4 Customers may request a credit account and application forms for credit accounts are available on application to OPI at the above address. Credit accounts are available only to Customers with at least a six (6) month trading history with OPI with consistent monthly orders with OPI of at least £300 exclusive of VAT. The granting of a credit account to any Customer is nevertheless entirely at our discretion and subject to such checks as we in our discretion may carry out.

3.5 Further orders will not be dispatched to account Customers whilst any balance of monies owing to OPI remains outstanding save where we in our sole discretion decide otherwise.

3.6 OPI reserves the right to make any changes in the specification of the Products which are required to conform with any applicable statutory, European Union law or regulatory requirements.

3.7 No Order which has been accepted by OPI may be cancelled by you except with our written agreement and on terms that you shall indemnify us in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by us as a result of cancellation.

4. PRICES4.1 The price of the Products shall be OPI’s quoted price set out in the invoice accepting your Order or, where no

price has been quoted (or a quoted price is no longer valid), the price listed in our published price list (in our current catalogue or on our website or elsewhere) current at the date of dispatch of your Order.

4.2 We reserve the right to alter our prices without notice to you to reflect any increase in the cost to OPI which is due to any factor beyond our control (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture) or any change in delivery dates, quantities or specifications for the Products.

4.3 Our prices are exclusive of any applicable VAT and delivery, packaging and insurance charges, for which you are additionally liable to pay to OPI.

4.4 OPI’s price list states recommended retail prices (RRPs) for the benefit of wholesale Customers. All RRPs are inclusive of VAT at the current percentage rate.

5. TERMS OF PAYMENT5.1 You shall pay the price of the Products (less any discount to which you may be entitled, but without any

other deduction) within 30 days of the date of our invoice, and we shall be entitled to recover the price, notwithstanding that delivery may not have taken place and the property in the Products has not passed to you. The time of payment of the price shall be of the essence of the Contract. Receipts for payment will be issued only upon request.

5.2 if you fail to make any payment within 30 days of the date of the invoice, without limiting any other right or remedy available to OPI, we may:

5.2.1 cancel the Contract or suspend any further deliveries to you; 5.2.2 appropriate any payment made by you to such of the Products (or any goods

supplied under any other contract between OPI and yourself) as we may think fit; and

5.2.3 charge you interest (both before and after any judgment) on the amount unpaid, at the rate of 4% per cent per annum above the Bank of England base rate from time to time, until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest); notwithstanding the foregoing, OPI reserves the right and may at its discretion claim interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.

6. DELIVERY6.1 OPI undertakes to effect delivery as expeditiously as possible at the address for delivery agreed with you. We

aim to deliver orders received before noon on any working day within 72 hours to any mainland UK address but Customers should allow an additional 2 or 3 days for delivery to the Scottish Highlands or Islands. Standard delivery times are between 0900 and 1730, Monday to Friday. Urgent, timed or Saturday deliveries can be made by special arrangement. Any dates or times quoted for delivery are approximate only and you acknowledge that no delivery date can be guaranteed as it may be affected by circumstances beyond our control. Time for delivery shall expressly not be of the essence of the Contract. Neither OPI nor its carriers will accept any indirect or consequential losses on account of late delivery

6.2 Orders are dispatched by our contracted courier service and charges will be made for delivery as follows: (a) orders having a net value of £400 excluding VAT or more will be dispatched “CARRIAGE FREE”, (b) items weighing up to 5 kg will be charged at £6.75 plus VAT per parcel with an additional cost of £0.50 per kilogram for items weighing more, (c) prices are available on request for urgent, timed or Saturday deliveries or for deliveries to the Scottish Highlands or outside of the UK mainland, (d) display delivery costs and heavy items are quoted for separately at the time of your order. Display and kit contents may vary from time to time without prior notice.

6.3 For insurance reasons, all orders delivered must be signed for at the delivery address. You should check the order for completeness, to include the number of boxes or any other factors that can be easily ascertained at the point of delivery. If checking is not possible for any reason, you should mark the courier’s dispatch note “UNCHECKED” to assist both parties with respect to any possible claims that may arise.

6.4 Products may be delivered to you by OPI in advance of any quoted delivery date on giving you reasonable notice where possible.

6.5 Where the Products are delivered in instalments, each delivery shall constitute a separate contract and failure by OPI to deliver any one or more of the instalments in accordance with these Terms or any claim by you in respect of any one or more instalments shall not entitle you to treat the Contract as a whole as repudiated.

6.6 Claims in respect of any loss or damage of the Products during delivery must be notified to OPI within 48 hours of delivery. OPI reserves the right to reject any such claims not notified within this period.

7. RETURNED ITEMS7.1 No sale or return.7.2 In the event that Products are ordered in error or are materially not in accordance with your expectations, we

may agree to their return only on condition that you comply with the following: (a) the items in question must be in perfect condition and in their original packaging, (b) the request for acceptance of the return must be made to OPI within 48 hours of delivery, (c) any refund given for returned Products will be subject to a handling charge of 15% per item or order, (d) no refunds will be made in respect of carriage charges levied on the original order, (e) no returned Products will be accepted unless a “RETURNS AUTHORISATION” number has been allocated and such number is quoted on the accompanying documentation, (f) it is the Customer’s responsibility to arrange return carriage and to ensure that all Products returned are adequately packed to avoid damage in transit and (g) you should always obtain and keep proof of posting/dispatch and insurance of the returned consignment as OPI cannot accept liability for lost or damaged items in transit to us.

8. RISK AND PROPERTY8.1 Risk of damage to or loss of the Products shall pass to you at the time of delivery to you or, if you wrongfully fail

to take delivery of the Products, at the time when we have tendered delivery of the Products to you.

8.2 Notwithstanding delivery and the passing of risk in the Products, or any other provision of these Terms, the property in the Products shall not pass to the you until we receive in cleared funds payment in full of the price of the Products and all other goods agreed to be sold to you by OPI for which payment is then due.

8.3 Until such time as the property in the Products passes to you, you shall hold the Products as the our fiduciary agent and bailee, and shall keep the Products separate from any goods of your own and any third parties and properly stored, protected and insured and identified as the OPI’s property.

8.4 Until such time as the property in the Products passes to you (and provided the Products are still in existence and have not been resold), we may at any time require you to deliver up the Products to ourselves and, if you fail to do so forthwith, enter on any premises of the Customer or any third party where the Products are stored and repossess the Products.

8.5 You shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Products which remain the property of OPI, but if you do so all moneys owing by you to OPI shall (without limiting any other right or remedy which we may have) forthwith become due and payable.

9. WARRANTIES AND LIABILITY9.1 Subject to the following provisions OPI warrants that the Products will correspond with their description at the

time of delivery and will be free from defects in material and workmanship for a period of 3 months from the date of their initial use or 3 months from delivery, whichever is the first to expire.

9.2 The above warranty is given by OPI subject to the following conditions: 9.2.1 we shall be under no liability in respect of any defect arising from fair wear and

tear, wilful damage, negligence, abnormal conditions such as extremes of temperature or humidity, misuse or alteration of the Products without our approval;

9.2.2 we shall be under no liability under the above warranty (or any other warranty, condition or guarantee) if the total price for the Products has not been paid by the due date for payment.

9.3 Subject as expressly provided in these Terms, and except where the Products are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977), all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

9.4 These Terms relate to Product sales to trade Customers which are wholesale or retail businesses, but where Products are sold under a consumer transaction (as defined by the Consumer Transactions (Restrictions on Statements) Order 1976) the statutory rights of the Customer are not affected by these Terms.

9.5 A claim by you which is based on any defect in the quality or condition of the Products or their failure to correspond with description shall (whether or not delivery is refused by the Customer) be notified to us In writing within seven (7) days from the date of delivery or (where the defect or failure was not apparent on reasonable inspection) within a reasonable time after discovery of the defect or failure and we must be given a reasonable opportunity of examining such Products and you must (if asked to do so by us) return the Products to our place of business at your cost. If delivery is not refused, and you do not notify us accordingly, you shall not be entitled to reject the Products and we shall have no liability for such defect or failure, and you shall be bound to pay the price as if the Products had been delivered in accordance with the Contract.

9.6 We shall not be liable for a claim if: 9.6.1 you make further use of the Products after giving us notice of a claim in accordance with clause 9.5; 9.6.2 the defect arises because you failed to follow our oral or written instructions as to the storage,

installation, use or maintenance of the Products or good trade practice; 9.6.3 you alter the Products without our written consent.9.7 Where there is a valid claim in respect of any of the Products which is based on a defect in the quality or

condition of the Products, we may replace the Products free of charge or, at our sole discretion, refund to you the price of the Products (or a proportionate part of the price), in which case we shall have no further liability to you.

9.8 Except in respect of death or personal injury caused by our negligence, or liability for defective products under the Consumer Protection Act 1987, we shall not be liable to you by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract, for loss of profit or for any indirect, special or consequential loss or damage, costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of OPI, its employees or agents or otherwise) which arise out of or in connection with the supply of the Products (including any delay in supplying or any failure to supply the Products in accordance with the Contract or at all) or their use or resale by the Customer, and the entire liability of OPI under or in connection with the Contract shall not exceed the price of the Products, except as expressly provided in these Terms.

9.9 We shall not be liable to you or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of our obligations in relation to the Products, if the delay or failure was due to any cause beyond our reasonable control. Without limiting the foregoing, the following shall be regarded as causes beyond our reasonable control:

9.9.1 Act of God, explosion, flood, tempest, fire or accident; 9.9.2 war or threat of war, sabotage, insurrection, terrorist attack or cyber terrorist attack, civil disturbance or

requisition; 9.9.3 acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any

governmental, parliamentary or local authority; 9.9.4 import or export regulations or embargoes; 9.9.5 strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller

or of a third party); 9.9.6 difficulties in obtaining raw materials, labour, fuel, parts or machinery; 9.9.7 power failure or breakdown in machinery. 9.9.8 vehicle breakdown or other delay in the carriage of the Products. 9.10 This clause 9 shall survive termination of the Contract.10. INDEMNITY10.1 If a claim is made against you that the Products infringe or that their use or resale infringes the patent, copyright,

design, trade mark or other industrial or intellectual property rights of any third party, then unless the claim arises from the use of a drawing, design or specification supplied by you, OPI shall indemnify you against all loss, damages, costs and expenses awarded against or incurred by you in connection with the claim, or paid or agreed to be paid by you in settlement of the claim, provided that:

10.1.1 We are given full control of any proceedings or negotiations in connection with the claim; 10.1.2 you shall give us all reasonable assistance for the purposes of any such proceedings or negotiations; 10.1.3 except pursuant to a final award, you shall not pay or accept the claim, or compromise any such

proceedings without the consent of OPI (which shall not be unreasonably withheld); 10.1.4 you shall do nothing which would or might vitiate any policy of insurance or insurance cover which you

may have in relation to such infringement, and this indemnity shall not apply to the extent that you recover any sums under any such policy or cover (which you shall use your best endeavours to do);

10.1.5 OPI shall be entitled to the benefit of, and you shall accordingly account to ourselves for, all damages and costs (if any) awarded in favour of you which are payable by, or agreed with your consent (which consent shall not be unreasonably withheld) to be paid by, any other party in respect of any such claim; and

10.1.6 without limiting any duty you may have at common law, OPI may require you to take such steps as we may reasonably require to mitigate or reduce any such loss, damages, costs or expenses for which we are liable to indemnify you under this clause.

11. RESERVATION OF INTELLECTUAL PROPERTY RIGHTS11.1 OPI is the registered trade mark proprietor of UK Trade Mark Registration No. 1528356 for the stylised

trademark OPI; Community Trade Mark Registration No 1831080 for the mark OPI (hereinafter referred to as the trade marks). OPI is permitted to use the trade marks in the territory under their distribution agreement with OPI. The trade marks remain the property of OPI and nothing in this agreement confers any rights contained therein to any other third party. Goodwill and reputation earned through the use of the trade marks by third parties reverts to and remains the property of OPI. OPI and OPI reserve the right to prevent unauthorised use of the trade marks by third parties.

11.2 Logos, images and other written and graphic material are provided to OPI by OPI. All copyright in such logos, images, written and graphic material belong to OPI and remains the property of OPI. Such logos, images, written and graphic material may be made available for professional use and may be obtained for this purpose subject to a separate licence provided by OPI to you. Such licence request should be lodged with OPI’s Marketing Department at the UK address shown above. OPI and OPI reserve the right to prevent unauthorised use of the logos, images and other written and graphical material by third parties.

11.3 You shall not under any circumstances remove, alter or tamper with any trade mark or copyright notices present on the Products or their packaging.

11.4 You will not do anything to impair the proprietary rights of OPI or OPI or to seek to acquire or register any rights in the trade marks referred to above or use any trade marks, logos or other words or symbols that are confusingly similar to such trade marks in any language or alphabet.

12. OPI’S SELECTIVE DISTRIBUTION SYSTEM12.1 OPI operates a selective distribution system in the European Economic Area, and only permits the resale of its

products by authorized distributors, salons, and retailers satisfying selective criteria. For the entire term in which you are purchasing and reselling OPI products, you agree to comply with OPI’s Selective Criteria for Salons (See Annex I).

12.2 You further agree to only use OPI products for the provision of nail-care services, and to only resell OPI products (i) to individual consumers, (ii) to individual manicurists purchasing products for their own use in professional nail care services, or (iii) to other parties authorized to resell OPI products in the European Economic Area and Switzerland.

13. TERMINATION13.1 Without limiting its other rights or remedies, each party may terminate the Contract with immediate effect by

giving written notice to the other party if: 13.1.1 the other party suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as

they fall due or admits inability to pay its debts or [(being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply;

13.1.2 the other party commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors [other

than (where a company) for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party;

13.1.3 a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the other party (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the other party with one or more other companies or the solvent reconstruction of that other party;

13.1.4 the other party (being an individual) is the subject of a bankruptcy petition or order; 13.1.5 a creditor or encumbrancer of the other party attaches or takes possession of, or a distress, execution,

sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;

13.1.6 an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the other party (being a company);

13.1.7 a floating charge holder over the assets of the other party (being a company) has become entitled to appoint or has appointed an administrative receiver;

13.1.8 a person becomes entitled to appoint a receiver over the assets of the other party or a receiver is appointed over the assets of the other party;

13.1.9 any event occurs, or proceeding is taken, with respect to the other party in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 0 to clause 0 (inclusive);

13.1.10 the other party suspends, threatens to suspend, ceases or threatens to cease to carry on, all or substantially the whole of its business.

13.2 Without limiting its other rights or remedies, we may terminate the Contract with immediate effect by giving written notice to the Customer if the Customer fails to pay any amount due under this Contract on the due date for payment.

13.3 Without limiting its other rights or remedies, we shall have the right to suspend the supply of or all further deliveries of Goods under the Contract if:

13.3.1 the Customer fails to make pay any amount due under this Contract on the due date for payment; or 13.3.2 the Customer becomes subject to any of the events listed in clause 0 to clause14. CONSEQUENCES OF TERMINATION On termination of the Contract for any reason: 14.1.1 the Customer shall immediately pay to OPI all of OPI’s outstanding unpaid; 14.1.2 the accrued rights and remedies of the parties as at termination shall not be affected, including

the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination or expiry; and

14.1.3 clauses which expressly or by implication have effect after termination shall continue in full force and effect.

15. GENERAL15.1 All information communicated to you by us shall be held by you in confidence. You agree to keep confidential

any information of a confidential nature about OPI which you receive in course of ordering Products and you shall not disclose any confidential information or trade secrets concerning OPI without our express written consent.

15.2 Both OPI and yourself do not intend that any term of the Contract shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.

15.3 A notice required or permitted to be given by either party to the other under these Terms or otherwise appropriate shall be in writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice.

15.4 No waiver by OPI of any breach of the Contract by you shall be considered as a waiver of any subsequent breach of the same or any other provision.

15.5 The headings in these Terms are intended for reference only and shall not affect their construction.15.6 If any provision of the Contract is held by a court or other competent authority to be invalid or unenforceable

in whole or in part the validity of the other provisions of the Contract and the remainder of the provision in question shall not be affected.

15.7 The Contract and these Terms shall be governed by and interpreted under the laws of England, and you hereby agree to submit to the non-exclusive jurisdiction of the English courts.

ANNEX I

SELECTIVE CRITERIA APPLICABLE TO SALONS

In connection with OPI’s selective distribution system for the European Economic Area, OPI will only allow the sale of OPI Products by salons, distributors, and retailers meeting specified criteria.

The criteria applicable for salons are set out below. OPI may vary these criteria, or introduce new criteria in respect of salons to the extent that OPI considers this reasonable in response to changing consumer tastes and/or changes of the market situation.

1. Premises1.1. The salon shall be located in an urban or commercial environment and/or in high quality shopping malls,

the level of which shall be relative to the particular geographic area and the particular level of consumer expectations as to what is considered to be high quality.

1.2. The layout and the interior features of the salon, the goods and services offered, the advertising and the presentation at the salon shall promote the luxury image of OPI products. The assessment shall include, but shall not be limited to the frontage to the street as well as the interior features, such as floor coverings, type of walls, ceilings, furniture as well as the appearance of the points of sale, furthermore the lighting and a clean and proper overall appearance.

1.3. Salons which offer a broad assortment of goods should place the area for the sale of OPI products in proximity to other high end goods and in distance to other products.

1.4. The signage shall not give the appearance of a low level of quality (actual or perceived) or range or service on offer.

2. Personnel2.1. The beauticians and sales personnel shall be professionally qualified in the area of nail care services and

products. There shall be qualified personnel in the salon at all times during opening hours.2.2. The salon undertakes to procure that the appropriate beauticians and sales personnel are trained on a regular

basis. 3. Stocks3.1. The salon shall carry an inventory of OPI products in terms of numbers and color selections that is adequate for

the establishment’s size. 3.2. OPI products shall be stored in excellent conditions with regard to their preservation and particularly in a manner

avoiding humidity, higher temperatures or excessive light.4. Product Presentation4.1. OPI products shall always be offered in their genuine packaging and labelling. The salon is prohibited from

selling OPI products which are damaged, unwrapped, decoded or otherwise not in a perfect condition. The salon shall refrain from marking OPI products with oversized price-stickers.

4.2. The presentation of the OPI products in the salons shall be of quality and reflect their luxury image. The size of the salon itself shall be in proportion with the number of brands offered and shall make it possible to present OPI products in accordance with the image and the importance of the OPI trademarks in the market.

5. Control of Selective DistributionThe salon shall not sell OPI products to unauthorized parties. In particular:(a) The salon will only use OPI products for the provision of nail-care services and will only sell OPI products (i) to

individual consumers, (ii) to individual manicurists purchasing products for their own individual use in professional nail care services or (iii) to other parties authorized to sell OPI products in the European Economic Area or Switzerland.

(b) The salon will not sell OPI products other than in consumer-like quantities (maximum 3 products per reference), unless the salon has confirmed that the customer is authorized to sell OPI products in the European Economic Area or Switzerland.

(c) The salon will not sell OPI products to customers outside the European Economic Area or Switzerland.6. Resale Price and Price Advertising 6.1. The salon may determine the resale price of OPI products in its own discretion, and may advertise and promote

these prices to its customers. 6.2. Notwithstanding the preceding provision, the salon also agrees that certain forms of advertising may incorrectly

indicate to consumers that OPI products are not popular or low-quality, or may otherwise harm the prestige and image of all OPI trade-marks. The salon will refrain from advertisements which may be harmful to the brand-image and reputation of OPI products including, but not limited to:

(a) discount percentage signs(b) price comparisons with crossed out prices(c) usage of the word “discount” in other than in English speaking countries(d) any prominent presentation of price reductions for OPI products in combined advertisements together with

other brand products that may imply that OPI products are of lower quality or less popular (e) product packages with products not belonging to the typical assortment of luxury cosmetic products.7. Additional Criteria for Internet Sales7.1. Electronic Display WindowThe salon is entitled to offer and sell OPI products via the internet provided that (i) it operates one or more authorized

brick-and-mortar salon, (ii) it operates the internet business as “electronic display window” of the authorized brick-and-mortar salon, and (iii) the luxury character of OPI products will be preserved, and:

(a) The name and address of the salon are plainly visible and it must be clear that the offers on the salon’s website are offers of the authorized salon. The shop-sign may be different to the shop sign of the physical salon provided

that - from a consumers perspective - it is clearly related to it.(b) The name of the salon with legal address is stated. In addition, the salon shall provide all necessary information

as requested by applicable EU laws on e-commerce, such as the name of the personal representative, registration number, legal address, Vat-number etc.

(c) The salon shall not use another store name or the visible involvement of a third party enterprise. 7.2. Promotion of the selective image of the brand 7.2.1. The presentation of OPI products shall be in accordance with the appearance and the technical equipment

should be equivalent to the reputation and image of OPI. In particular the salon shall:(a) use its best efforts to exploit the opportunities of electronic performance and design in a manner coherent to the

high quality environment of a physical store;(b) refrain from advertising any other products which could be harmful to the image of the OPI brands;(c) refrain from third party advertisements on his website which are not related to the products of his virtual shop-

window;(d) refrain from linking its website to unauthorised retailers or suppliers of other goods and services which range of

offers in the authorised sales salon would not be permitted in a physical salon;(e) refrain from any kind of advertising and/or sales promotion which is not in compliance to the restrictions

concerning the brick and mortar business of the salon.7.3. ShipmentsThe salon shall ship all OPI products in conformity with all applicable laws and regulations.7.4. Interactive Advisory Service (Help Desk)The salon may offer its own interactive advisory services under the following conditions:(a) Visitors to its website seeking advice are always advised about the brick and mortar operation and the

opportunity to get personal face to face advice by qualified personnel at the customer’s disposal;(b) The arrangement for interactive advice (online, analysis and recommendation programs, checklists, association

tests, personal telephone counselling, personal e-mail counselling, chatsite) corresponds with the supposed demand and the actual technical standard.

(c) All employees giving online advice and recommending products must have the qualifications required under Art. 2.2.1.

7.5. Deliveries The salon shall always comply with the high standard and luxury image of OPI products even at their delivery:(a) For orders of OPI products, the salon will only supply the specific OPI products ordered and will not substitute

other OPI products or products of a different supplier as long as no explicit new order has been placed.(b) The delivery to the consumer must be carried out with high quality packaging and in such a way that the genuine

product-packaging is not changed or diluted.7.6. Keyword Advertising The salon is entitled to use the OPI Brands for the purpose of keyword advertising, provided that -(a) the advertisement and/or the linked webpage do not create a risk of confusion with OPI and/or the proprietor of

the respective brand; (b) the ISP providing keyword advertising services has implemented a policy and effective tools to ban any

unauthorised brand usage from its search engine;(c) any advertising effected by use of the OPI Brands is solely linked to the salon’s site which is authorised under this

Agreement andCOTY which is reserved to the products under the very brand which had been used as keyword;(d) the salon at all times preserves its immediate influence on and control of any keyword advertising activities on

the internet.
