    WHEREAS, the Company is the General Partner of BAC Home LoansServicing, LP, a Texas limited partnership (the "Partnership").NOW, THEREFORE, BE IT RESOLVED, that all officers of the

    Company with the title of Assistant Secretary and above (the "AuthorizedOfficers") are, and each of them acting alone hereby is, authorized, directed andempowered in the name of the C o ~ p y on behalf of the Partnership to executereconveyance documents, acts of c eyance, deeds in lieu of foreclosure, grnntdeeds, deeds of trust, including oreclosure deeds, releases of liens, escrowinstruments, contracts for purchase and sale of the Partnership's REO properties,grants of easements and any and all related documents and instrumentspurporting to affect an interest or the transfer of an interest in real estate in thename of the Company on behalf of the Partnership;
