Upon discussion, both parties agreed to ink contract postulating the following articles

ARTICLE 1: CONTENT OF CONTRACTB party provide A party with supply and installation of air conditioners and their detailed prices as inAppendix No.01-08/2012/ HDLD/DM

The total contract value: 528.000.000 VND

In which:

1. The value of devices: 490.000.000 VND

In capital: four hundred and ninety million Vietnam Dong

2. Materials, workforce for installation: 38.000.000 VND

In capital: thirty eight million Vietnam Dong

- Lead time of the contract is 65 days (+- 5 days) counting from the days ofB partys receipt ofdeposit.

- Type of contract: constant contract value

ARTICLE 2: SPECIFICATION, QUALITY OF COMMODITIESCommodities provided and installed by B party as listed in the Appendix is completely new, sealed, strictlfollowed the specification of manufacturer.

ARTICLE 3: CONTRACT VALUE, MEANS AND TERM OF PAYMENT3.1. Total contract value: 528.000.000 VND(in capital: five hundred and twenty eight million VietnamDong)

3.2. VAT is included in the above contract value, detailed unit price in the Appendix is constant andunchangeable in any case, except written adjustment of price of both parties. In case of governmentaladjustment, both parties is subjected to renegotiation.

3.3 Freight paid till destination regulated in point 4.1 of article 4 is included in above price.

3.4 Mean of payment: bank remittance or in cash

3.5 Term of payment: A party makes payment to B party in accordance with regulation and followed theschedule as below:

a) A party honors 50% of contract value, which is 264.000.000 VND( in capital: two hundred and sixtyfour million Vietnam dong) upon signing this contract.

b) Upon B partys notification of delivery 05 working days in advance, A party must honor 30% ofcontract value to B party: 158.400.000 VND ( in capital: one hundred and fifty eight million and fourhundred thousand Vietnam Dong).

c) A party must honor the remainder of 20% of contract value to B party, which is 105.600.000 VND ( incapital: one hundred and five million and six hundred thousand VND) as long as B party acquits theirinstallation and complete hand-over forA partys use, the Acceptance report and Contract liquidation areavailable within less than 07 (seven) days. After 07 days, ifA party do not honor the remainder of contracvalue to B party, B party disassemble all installed air conditioners and move them back without any refunof paid installments.

3.6. The contract starts its effectiveness since the B partys receipt ofA partys deposit ( Bill attached)

ARTICLE 4: PLACE, SCHEDULE, AND DOCUMENTS FOR PAYMENT CLEARANCE4.1 Place of delivery and installation:

4.2 The collection and hand-over of air conditioners is documented, clarifying current condition, quantitiesand quality of commodities along with both parties confirmation.

ARTICLE 5: WARRANTY

5.1 Term of warranty: B party offers free-of-charge warranty for devices within 12 months, 48 months forcompressor in accordance with manufacturers condition of warranty

5.2 Warranty conditions: the warranty is invalid in any case as followed:

(a) Electricity supply is not stable, which is higher or lower than the verified using condition of devices( 220V +/- 5%, single phase, 50 Hz, 380 V+/-5%, triple phases, 50 Hz).

(b) A party do not fully follow the guidance and mode of operation of commodities, do not implement orimproperly implement the periodical warranty formalities postulated by manufacturer.

(c) Any damage caused by externalities ( users omission, third party, intentional damage or naturalcalamities such as thunder strike, rain leakage, fusty etc)

(d) A party do not make complete payment or undue payment in any installment or violate any obligationregulated in this contract.

(e) The damage is not recognized to be caused by manufacturer.

(f) The damage and repair of any part relating to the warrantied devices is disassembled and repaired by anthird party, which is not processed by or commissioned to do by B party.

5.3 Limitation of warranty: B party guarantee ( repair or replace) any damaged part caused bymanufacturer forA party. In case warranty turns invalid as regulated in point 5.2, yet B party commencesrepair damages forA party, nevertheless A party must bear arisen expenditures on repair, replacement ancost of delivery and traffic eventually.

5.4 In case of any breakdown relating to warranty, A party must keep the scene intact and report to B partin written documents as B party dispatch personnel to inspect and identify the occurrence of damage aswell as plan countermeasures. Nonetheless, upon inspection without recognizing the occurrence ofdamaging factors not to be within Limitation of warranty, A party must bear the entire expenditure onrepair, cost of traffic forB partys personnel as regulated in point 5.3.

5.5 B party will process the damage within the limitation of warranty in 02 days ( weekly day off, holidayand other day off due to States postulation) since the day of receipt A partys written report.

ARTICLE 6: TERMINATION, UNILATERAL TERMINATION, VIOLATION OF CONTRACTAND CONTRACT TERMINATION6.1. One party is considered to violate contract as breach over any rights and obligation regulated by thiscontract and the violated party do dispatch second reminds but no correction of entire violation is processe

6.2 Penalty for violation of contract

- IfB partys hand-over is belated in reference to overall progress schedule and is caused by B party( except for irresistible cases such as: strike fire fold natural calamities earthquake or local authoritys

legislation and stipulation), B party must bear the penalty on violation of contract at 1% per week ofcontract value at most, but less than 08% of contract value.

- IfB party acquit their work, but A party do not make remainder of payment due to contract, A partymust be penalized with violation of contract at 1% per week of contract value at most, but less than 08% ofcontract value.

6.3 B party is eligible to terminate the contract unilaterally and A party lose their deposit regulated at poin(a0 3.5 article 3 in any of following case:

- Upon A partys deposit followed by unilateral termination of contract, A party is penalized with theentire deposit.

- A party finalize their first installment but refuse hand-over, which is not subject to B partys fault.

6.4 This contract is terminated as

6.4.1. Both parties accomplish obligations of this contract and confirm termination of contract.

6.4.2 Both parties agreed on termination of contract prior to its due date.

6.4.3. Other case in accordance with Law

6.5 As both parties accomplish hand-over and A party make complete, due payment to B party, thecontract is deemed to be terminated without any further discrete written termination of contract. As forarticles of warranty, they remain effective till the due date of warranty.

ARTICLE 7: CORRECTION, AMENDMENT AND APPENDIX OF CONTRACT7.1. During the time of honoring, both parties can make correction and amendment to several articles of thi

contract, but they must be subject to written form with authoritative persons signatures of both parties to beffective.

7.2 Other documents, namely appendix of contract, acceptance record of using project is indispensible tothis contract.

ARTICLE 8: OBLIGATION OF EACH PARTY:8.1. A party:

- Obligated to make payment to B party due to the Article 3 of this contract.

- Hand-over construction site forB party to process their work.

- Facilitate B party to be supplied with electricity source for construction.

- Supply B party with electricity source forB partys trial on devices.

8.2 B party:

- Fulfill their commitment of working duration, commodities quality, guarantee of technology and aesthetic

- Work with other contractor to avoid overlapping.

- Guarantee labor safety, construction site hygienic.

8.3. Obligation of both parties:

- Sign to confirm the blueprint before construction, ifA party change place of installation, it must subjectto bilateral agreement, A party must bear entire cost of modification.

- Dispatch personnel to resolve concerns in construction site.

ARTICLE 9: GENERAL ARTICLES9.1. If any non-agreed articles in this contract, in case of any dispute arisen, other relevant legislativedocuments of S.R. Vietnam is references for adjustment.

9.2. During the honor of this contract, if any new concerns or difficulties arisen, both parties will discuss osettlement.

9.3. This contract is five-page in length, and is made to four copies in Vietnamese, each party holdconfinement of two copies, which has the same legal effectiveness, it comes in to effect since the day ofsigning till both parties acquit their obligations in this contract.

5.1. Thi hn bo hnh: Bn B bo hnh min ph phn thit b trong thi gian 12 thng, my nn l 4

5.3. Phm vi bo hnh: Bn B bo hnh( sa cha hoc thay mi) cho Bn A nhng chi tit b h hng d

lica nh sn xut. Trong trng hp vic bo hnh khng c gi tr nh quy nh ti khon 5.2 i

ny, Bn B c th vn tin hnh sa cha khc phc h hng v Bn A phi chu ton b chi phpht sinh sacha hoc thay mi, k c chi ph vn chuyn, i li.

5.4. Trong trng hp xy ra bt k s c no lin quan n vic bo hnh, Bn A phi gi nguyn hi

trng v thng bo bng vn bn cho Bn B Bn B c nhn vin n kim tra v xc nh nguy

nhn h hng v c bin php khc phc. Tuy nhin, nu sau khi tin hnh kim tra m pht hin c

yu t h hng khng thuc phm vi bo hnh th Bn A phi chu ton b chi ph sa cha, k c ch

ph i li cho nhn vin ca Bn B nh quy nh ti Khon 5.3 iu ny.

5.5. Bn B s tin hnh x l cc s c lin quan trong phm vi bo hnh trong thi hn 02 ngy (khn

tnh cc ngy ngh hng tun, ngy l tt, ngy ngh khc...theo quy nh ca nh nc) k t th

im nhn c vn bn thng bo ca Bn A.

IU 6 : CHM DT, N PHNG CHM DT, PHT VI PHM HP NG V THANH L HP NG

6.1. Mt bn c xem l vi phm hp ng khi vi phm bt k quyn v ngha v no theo quy nh c

hp ng ny v bn b vi phm c thng bo nhc nh n ln th hai m vn khng tin hn

khc phc hon tt ton b vi phm.

6.2.Pht vi phm hp ng:+ Nu vic bn giao ca bn B chm so vi tng tin nu trn do nguyn nhn bn B (Ngo

vi mc ti a l 1%/tun gi tr vi phm nhng khng vt qu 08% gi tr hp ng.

+ Nu trong trng hp bn B thc hin xong phn vic ca mnh m bn A khng thanh to

cho bn B s tin cn li theo hp ng th bn A phi chu pht vi phm hp ng vi mc ti a l

1%/tun gi tr vi phm nhng khng vt qu 08% gi tr hp ng.

6.3. Bn B c quyn n phng chm dt hp ng v Bn A cn b mt ton b s tin t cc the

quy nh ti im (a) Khon 3.5 iu 3 hp ng cho Bn B vi mt trong cc trng hp sau:

- Sau khi Bn A thc hin vic t cc nhng sau t hy hp ng, trng hp ny Bn A ph

chu pht bng ton b gi tr t cc.

- Bn A thanh ton t 1 nhng t chi nhn hng m khng do li ca Bn B.

6.4. Hp ng ny chm dt khi:

6.4.1. Hai bn hon thnh cc ngha v theo hp ng ny v cng xc lp thanh l hp ng.

6.4.2. Hai bn tha thun chm dt hp ng trc thi hn.6.4.3. Cc trng hp khc theo quy nh ca php lut.

6.5. Khi hai bn hon thnh vic giao nhn cng trnh v Bn A thanh ton y , ng hn ton b

tin hnh cho Bn B, th xem nh hp ng c thanh l xong m hai bn khng cn lp mt v

bn thanh l ring l. Ring iu khon bo hnh lin quan gia hai bn s tip tc c gi tr cho

khi ht hn bo hnh.

IU 7: SA I, B SUNG V PH LC HP NG.

7.1.Trong qu trnh thc hin, hai bn c th tin hnh sa i, b sung mt s iu khon trong hp nny nhng vic sa i phi lp thnh vn bn, c ch k xc nhn ca ngi c thm quyn ca h

bn th mi c gi tr php l.

7.2.Cc vn bn nh ph lc hp ng, bin bn nghim thu bn giao cng trnh a vo s dng l m

phn khng tch ri ca hp ng.

IU 8: NGHA V CA MI BN.

8.1. Bn A:

- C ngha v thanh ton cho Bn B theo theo iu 3 ca hp ng.

- Bn giao mt bng thi cng Bn B thc hin cng vic thi cng.

- To iu kin cho Bn B c ngun in thi cng ti cng trng.

- Cp in ngun cho iu ha kp thi Bn B chy th thit b.

8.2. Bn B:

-Thc hin ng cam kt thi gian thi cng, cht lng hng ha, m bo k thut, m thut.

-Lm vic vi cc nh thu khc trnh trng hp thi cng chng cho vo nhau.

-m bo an ton lao ng, v sinh cng trng.

-Thi cng ng bn v thi cng c hai bn k.

IU 9: IU KHON CHUNG.

9.2. Trong qu trnh thc hin hp ng, nu c bt k vn g pht sinh mi hoc kh khn, hai bn s

cng nhau trao i, bn bc tm cch gii quyt. Trng hp xy ra tranh chp, hai bn s chn Ta n kin

t TP. H Ni gii quyt.

9.3 Hp ng ny gm 05 trang, c lp thnh 04 bn bng ting Vit, mi bn gi 02 bn thc hi
