THIS CONTRACT, entered into on this date by and between

LAFAYETTE CITY-PARISH CONSOLIDATED GOVERNMENT, acting by andthrough its City-Parish President, herein referred to as the "Owner" and, Meselhe andAssociates, LLC with offices at P.O. Box 53383, Lafayette, LA 70505-3383, hereinreferred to as the "Lead Consultant".

WITNESSETH:

That in consideration of the mutual covenants and agreements herein contained, theparties hereto do mutually agree as follows:

ARTICLE 1 - EMPLOYMENT OF THE LEAD CONSULTANT

1.1 The Owner hereby employs the Lead Consultant who agrees to performprofessional consulting services hereinafter set forth for the following describedproject(s):

under the control of the Lafayette City-Parish Consolidated Government (hereafter citedas LCG).

1.2 It is understood and agreed that upon signature of this Contract by duly authorizedparties the Contract shall become fully valid and binding subject to the stipulationsherein, and the Lead Consultant shall commence the service promptly when the Notice toProceed is issued, prosecute it vigorously and accomplish the required services in thetime specified in Article 5 hereof, or if no time is specified therein, a reasonable time.

The Lead Consultant shall provide the services described in the Scope of Servicesattached hereto as Exhibit "A" (hereinafter referred to as the "Services").

ARTICLE 2 - CHARACTER AND EXTENT OF BASIC SERVICES

2.1 The Lead Consultant will furnish the professional services set out above inArticle I.

ARTICLE 3 - COMPENSATION FOR SERVICES

3.1 Billings for services rendered shall be made on a monthly basis. Payments shallbe in proportion to services performed within each phase as set forth in Exhibit A, theScope of Services.

3.2 If the Owner fails to make payments due the Lead Consultant for services underthis contract within 60 days after receipt ofthe Lead Consultant's invoice, then the LeadConsultant, after giving seven days written notice to the Owner, may suspend servicesunder this Agreement until the Owner has paid in full amounts due for services, expenses,and other related charges.

3.3 The Lead Consultant shall not exceed the projected cost of$164,000 as describedin the proposed budget found on page 62 of the "Statement of Qualifications" presentedto the LCG Comprehensive Planning Division on June 10,2011 by Meselhe andAssociates, LLC and attached as Exhibit B.

ARTICLE 4 - CHARACTER AND EXTENT OF ADDITIONAL CONSULTINGSERVICES

4.1 When authorized in writing by the Owner, the Lead Consultant will furnishadditional services as enumerated hereinafter. Prior to performing these services, theLead Consultant shall provide the Owner a written detailed estimate of the man hoursinvolved in performing the requested services with an estimated amount not to beexceeded, as mutually agreed upon by the Owner and the Lead Consultant. The Ownermay elect to compensate the Lead Consultant for this service either hourly, based on theestimated man hours and an agreed upon not to exceed amount, or by lump sum for theamount agreed upon in writing by both the Owner and the Lead Consultant.

ARTICLE 5 - CONTRACT TIME

5.1 The Lead Consultant acknowledges the importance to the Owner of achieving theprojected schedule and agrees to put forth reasonable efforts in performing the servicesunder this Agreement with due diligence in a manner consistent with the timelineprovided in Exhibit C, as found on page 20 of the Statement of Qualifications assubmitted by Meselhe and Associates, LLC to LCG Comprehensive Planning Division onJune 10, 20 II. The Owner understands, however, that the Lead Consultant's performancemust be governed by sound professional practices.

The Lead Consultant may secure an extension ofthe times provided in Exhibit Cprovided said application is made in writing prior to the expiration of the time providedfor the applicable phase, and is for reasons beyond the Lead Consultant's control.

If at time the Lead Consultant's production is delayed for causes beyond his control(including, but not being limited to actions of Owner) he shall immediately so advise theOwner and request, in writing, a Stop Work Order or time extension for the phase ofservices being delayed.

If, through no fault of the Lead Consultant, the agreed upon times for completing tasks ischanged, or the orderly and continuous progress of the Lead Consultant's services isimpaired, or the Lead Consultant's services are delayed or suspended, then the time forcompletion of the Lead Consultant's services, and the rates and amounts of the LeadConsultant's compensation, shall be adjusted equitably.

If the Owner authorizes changes in the scope, extent or character of the Project, then thetime for completion of the Lead Consultant's services, and the rates and amounts of theLead Consultant's compensation, shall be adjusted equitably.

In consideration of the potential disruption of the Lead Consultant's service scheduleresulting from decisions by the Owner to suspend or delay the project or portions oftheproject and decisions by the Owner to resume the project or portions of the project atsome future time, the Owner agrees to make every effort to notify the Lead Consultant ofsuch suspension or resumption of service in a timely manner, and to work with the LeadConsultant to obtain an equitable schedule related to resumption of service, whichschedule will include consideration of the Lead Consultant's professional schedule at thetime notice of resumption is issued.

ARTICLE 6 - PROGRESS REPORTS

6.1 The Lead Consultant will furnish to the Owner monthly written progress reportsindicating percentage of completion of each of the tasks identified in Exhibit A, Scope ofServices. Immediately upon receiving authorization to proceed the Lead Consultant shallprepare and submit to the Owner a proposed progress schedule, which shall show, inparticular, the appropriate items of service, times of beginning and completion bycalendar periods, and other data pertinent to each schedule. In addition, this scheduleshall be arranged so that actual progress can be shown as the items of service areaccomplished. This schedule shall be in a form and arrangement and include dataapproved by the Owner. It shall be revised monthly and submitted with other monthlydata required. A minimum of three (3) copies of these reports shall be submitted witheach monthly invoice. No payment shall be made until such information is received.

ARTICLE 7 - GENERAL PROVISIONS

7.1 In the performance of professional services contracted for herein, the LeadConsultant will furnish competent professionals, qualified in their respective fields, andwill provide adequate direction through the Lead Consultant principals.

7.2 If tasks planned, designed or specified by the Lead Consultant and approved bythe Owner are abandoned or suspended, for a period of more than ninety (90) days, theLead Consultant shall be equitably paid for the service rendered on such tasks inaccordance with the methods of fee computation outlined herein.

7.3 During the existence of this contract, the Lead Consultant agrees to notify theOwner of material changes in the Principals or Owners of the Lead Consultant, or of thefact that would materially affect the Lead Consultant's ability to timely complete theservices required herein and shown in Exhibit A.

7.4 This contract shall be interpreted according to the laws of the State of Louisianaand the parties irrevocably agree that the venue for disputes arising out of said contract,except for those disputes submitted to mutually agreeable mediation, shall be exclusivelylaid in the civil courts in the State of Louisiana. The Contract shall be consideredseverable and if portions thereof are declared to be invalid or unenforceable by a court ofcompetent jurisdiction, other portions shall remain in full force and effect.

ARTICLE 8 - TERMINATION

8.1 The Owner may terminate a portion of the services under this Agreement withoutcause and at its option by directing to the Lead Consultant a written Notice ofTermination. The Notice of Termination shall specify the service to be discontinued andshall identify the date the termination will be effective. Should the Owner terminate thisAgreement for a reason other than an uncured breach by the Lead Consultant, the Owneragrees to reimburse the Lead Consultant upon receipt of invoices for services performedand charges incurred by the Lead Consultant prior to termination. Additionally, theOwner agrees to pay reasonable termination charges, consisting of reasonable costsincurred by the Lead Consultant in assembling project documents; reschedulingequipment and personnel and other similar related charges incurred, and are directlyattributable to the termination. The Owner shall pay the Lead Consultant for the servicesperformed and the charges incurred within thirty (30) days of receipt of billing from theLead Consultant.

The Lead Consultant may terminate this Agreement ifthe Lead Consultant's servicesunder this Agreement are delayed or suspended for more than two (2) years for reasonsbeyond the Lead Consultant's control. Payments to the Lead Consultant upon receipt bythe Owner of written notice of termination by the Lead Consultant (for reasons ofexcessive suspension or delay) shall be made by the Owner upon receipt of invoices forservices performed and charges incurred by the Lead Consultant prior to suchtermination.

Either party to this Agreement may terminate same for cause if the other party commits amaterial uncured breach of this Agreement. In the event either party believes a materialbreach has occurred, it shall direct to the breaching party a Notice of Termination, whichnotice shall specifically delineate the alleged breach. From receipt of the Notice ofTermination, the party allegedly at fault shall have twenty (20) days to cure the breach.Both parties agree to cooperate in good faith in an effort to cure breach identified in theNotice of Termination. In the event of a Notice of Termination based on a material,uncured breach and a failure of the breaching party to remedy the breach within the timeframe set forth above, this contract shall terminate. In the event of such a termination,each party shall have their respective remedies at law to enforce this Agreement or seeksuch damages or other entitlements as may be authorized under applicable law.

ARTICLE 9 - MEDIATION

9. I Claims, disputes or other matters in question between the parties to this Contractarising out of or relating to this Contract or breach thereof shall be submitted to non­binding mediation unless the parties mutually agree otherwise.

9.2 Demand for mediation shall be filed in writing with the other party to thisContract. A demand for mediation shall be made within a reasonable time after the claim,dispute or other matter in question has arisen. In no event shall the demand for mediationbe made after the date when institution of legal or equitable proceedings based on suchclaim, dispute or other matter in question would be barred by the applicable statutes oflimitations.

ARTICLE 10 - INSURANCE

10. I The Lead Consultant shall not commence service under this contract until he hasobtained insurance required by this paragraph, and until such insurance has beenapproved by the Owner, nor shall the Lead Consultant allow a sub-Lead Consultant tocommence service on his subcontract until the insurance required has been obtained andsubmitted. Proper certificates evidencing such insurance shall be furnished to the Ownerprior to commencement of services. Certificates of insurance must contain provisionsindicating that no cancellation or change in limits of such insurance shall be effected for acause without thirty (30) calendar days written notice being first given to the Owner.

The insurance company providing coverage shall be acceptable to the Owner as specifiedin Exhibit D.

If the insurance policies required to be furnished by the Lead Consultant under the termsof this Article shall lapse, expire, or fail to comply with the requirements of this Article10, the Lead Consultant shall procure and obtain such new insurance policies as may berequired in order to comply with the requirements of this Article. Upon obtaining a newinsurance policy, the Lead Consultant shall submit a new certificate of insurance to the

Owner for approval. Upon failure of the Lead Consultant to furnish, deliver, and maintainsuch insurance as required by this Article, the contract, at the election of the Owner, maybe declared suspended, discontinued or terminated. Failure of the Lead Consultant tomaintain required insurance shall not relieve the Lead Consultant from liability under thecontract.

The Lead Consultant shall effect and maintain until completion and acceptance of theservices, insurance as follows:

PROFESSIONAL LIABILITY COVERAGE - $1,000,000/ per claim/aggregate

I. Standard Worker's Compensation Insurance Coverage for Worker'sCompensation claims as permitted under Louisiana State Law together with Employer'sLiability Coverage of $500,000 minimum, per occurrence.

II. Commercial General Liability Insurance Coverage under this policy must beprovided on an "occurrence" basis, and not on a "claims made" basis. THE LAFAYETTECITY-PARISH CONSOLIDATED GOVERNMENT, ITS OFFICIALS, EMPLOYEESAND VOLUNTEERS MUST BE NAMED AS AN ADDITIONAL INSURED ON THEPOLICY. Commercial general liability insurance shall include coverage for thefollowing:

Additionally, where required by the Consolidated Government, the policy required bythis Subsection shall also include Explosion, Collapse and Underground Coverage.

IV. Umbrella Liability

In lieu of providing insurance at the limits required in Sections I, II and III of this Article,the Lead Consultant may fulfill the requirements of this Article by securing umbrellaliability insurance coverage provided that the combined total of the primary and umbrellacoverage satisfy the minimum required insurance limits set forth in Sections I, II, and IIIhereinabove.

V. Owner as an Additional Insured

The Lafayette City-Parish Consolidated Government, its officials, employees andvolunteers must be named on liability policies (except for Workmen's Compensation andProfessional Liability policies) described above as additional insured(s). Theendorsement must read, exactly: 'The Lafayette City-Parish Consolidated Government,its officials and employees are named as additional named insureds on the CommercialGeneral Liability (CGL) and Auto Liability (AL) policies."

VI. Waiver of Subrogation

The Lead Consultant must obtain a Waiver of Subrogation from insurance carriersproviding coverage under Section I in this Article for claims which could be assertedagainst the Owner, its employees, agents, representatives, officers, directors, elected andappointed officials, and volunteers.

VII. Waiver ofInsurance Requirements

Notwithstanding anything to the contrary contained herein, LCG reserves the right attimes, in its discretion, to alter, amend, and/or waive insurance requirements set forth inthis Section where the insurance carried and/or to be provided by the Lead Consultant isdeemed reasonable, sufficient and adequate to protect the interests of LCG, provided thatLCG shall take no steps to impose more stringent and onerous insurance requirements onthe Lead Consultant than those contained herein.

ARTICLE 11 - SUCCESSORS AND ASSIGNS

11.1 The Owner and the Lead Consultant each binds himself, his successors, executors,administrators, and assigns to the other party to this Contract, and to the successors,executors, administrators and assigns of such other party in respect to covenants of thisAgreement provided that the Lead Consultant may not assign this Agreement without thespecific approval ofthe Owner.

ARTICLE 12 - OWNERSHIP OF DOCUMENTS

12.1 The Lead Consultant agrees that upon completion and full payment of Services,tasks arising out of or relating to the services rendered by the Lead Consultant under this

Agreement are to become the property of the Owner. This shall include but not be limitedto electronic files, cad files, copies, word documents, graphics, images, spreadsheets,tables, final reports, etc. The Lead Consultant, however, shall have publishing andpromotional rights to the materials with the Owner's consent, which shall not beunreasonably withheld. The use of these materials by the Owner shall not support a claimby the Lead Consultant for additional compensation. The Lead Consultant shall have noliability to the Owner for damages, claims and losses, including defense costs, arising outofa use of the aforementioned documents for the purpose other than as set forth in theAgreement.

ARTICLE 13 - COVENANTS

13.1 EQUAL EMPLOYMENT OPPORTUNITY

During the performance of this contract, the lead consultant agrees as follows:

A. The lead consultant will not discriminate against an employee or applicant foremployment because of race, color, religion, sex, or national origin. The lead consultantwill take affirmative action to ensure that applicants are employed, and that employeesare treated during employment, without regard to their race, color, religion, sex, ornational origin. Such action shall include, but not be limited to, the following:employment, upgrading, demotion, or transfer; recruitment or recruitment advertising;layoff or termination; rates of payor other forms of compensation; and selection fortraining, including apprenticeship. The lead consultant agrees to post in conspicuousplaces, available to employees and applicants for employment, notices to be providedsetting forth the provisions of this nondiscrimination clause.

B. The lead consultant will, in solicitations or advertisements for employees placedby or on behalf of the lead consultant, state that qualified applicants will receiveconsideration without regard to race, color, religion, sex, or national origin.

C. The lead consultant will send to each labor union or representative of workerswith which he has a collective bargaining agreement or other contract or understanding, anotice to be provided by the Contract Compliance Officer advising the said labor union orworkers' representatives of the lead consultant's commitment under this section, and shallpost copies of the notice in conspicuous places available to employees and applicants foremployment.

D. The lead consultant will comply with provisions of Executive Order 11246 ofSeptember 24,1965, as amended, and the rules, regulations, and relevant orders of theSecretary of Labor.

E. The lead consultant will furnish information and reports required by ExecutiveOrder 11246 of September 24, 1965, as amended, and by rules, regulations, and orders ofthe Secretary of Labor, or pursuant thereto, and will permit access to his books, records,

and accounts by the Department and the Secretary of Labor for purposes of investigationto ascertain compliance with such rules, regulations, and orders.

F. In the event of the lead consultant's noncompliance with the non-discriminationclauses of this contract or with the said rules, regulations, or orders, this contract may becancelled, terminated, or suspended in whole or in part and the lead consultant may bedeclared ineligible for further Government contracts in accordance with proceduresauthorized in Executive Order Il246 of September 24, 1965, as amended, or by rule,regulation, or order of the Secretary of Labor, or as otherwise provided by law.

G. The lead consultant will include the provisions of paragraphs A through G inevery subcontract or purchase order unless exempted by rules, regulations, or orders ofthe Secretary of Labor issued pursuant to Section 204 of Executive Order 11246 ofSeptember 24, 1965, as amended, so that such provisions will be binding upon eachsubcontractor or vendor. The lead consultant will take such action with respect to asubcontract or purchase order as the Department may direct as a means of enforcing suchprovisions, including sanctions for noncompliance. Provided, however, that in the eventa lead consultant becomes involved in, or is threatened with, litigation with asubcontractor or vendor as a result of such direction by the Department, the leadconsultant may request the United States to enter into such litigation to protect theinterest of the United States.

13.2 CERTIFICATION OF NONSEGREGATED FACILITIES

By the submission of this bid, the bidder, offer or, applicant or subcontractor certifies thathe/she does not maintain or provide for hislher establishments, and that he/she does notpermit employees to perform their services at a location, under his/her control, wheresegregated facilities are maintained. He/she certifies further that he/she will not maintainor provide for employees a segregated facilities at hislher establishments, and he/she willnot permit employees to perform their services at a location under his/her control wheresegregated facilities are maintained. The bidder, offer or, applicant or subcontractoragrees that a breach of this certification is a violation of the equal opportunity clause ofthis contract. As used in this certification, the term "segregated facilities" means waitingrooms, work areas, rest rooms and wash rooms, restaurants and other eating areas, timeclocks, locker rooms, and other storage or dressing areas, parking lots, drinkingfountains, recreation or entertainment areas, transportation and housing facilitiesprovided for employees which are segregated by explicit directive or are, in fact,segregated on the basis of race, color, religion, or national origin because of habit, localcustom, or another reason. 13.3 CIVIL RIGHTS

The lead consultant shall comply with the provisions of Title VI of the Civil Rights Actof 1964. No person shall, on the grounds of race, color, or national origin, be excludedfrom participation in, be denied the benefits of, or be subjected to discrimination under aprogram or activity receiving federal financial assistance.

13.4 SECTION 109 OF THE HOUSING AND COMMUNITY DEVELOPMENTACT OF 1974

The lead consultant shall comply with the provisions of Section 109 of the Housing andCommunity Development Act of 1974. No person in the United States shall on thegrounds of race, color, national origin, or sex be excluded from participation in, be deniedthe benefits of, or be subjected to discrimination under a program or activity funded inwhole or in part with funds made available under this title. Section 109 further providesthat discrimination on the basis of age under the Age Discrimination Act of 1975 or withrespect to an otherwise qualified handicapped individual as provided in Section 504 ofthe Rehabilitation Act of 1973, as amended, is prohibited.

13.5 SECTION 3 OF THE HOUSING AND URBAN DEVELOPMENT ACT OF1968 COMPLIANCE IN THE PROVISION OF TRAINING, EMPLOYMENT ANDBUSINESS OPPORTUNITIES

The services to be performed under this contract are subject to the requirements ofSection 3 ofthe Housing and Urban Development Act of 1968, as amended, 12 U.S.C.1701u (section 3). The purpose of section 3 is to ensure that employment and othereconomic opportunities generated by HUD assistance or HUD-assisted projects coveredby Section 3, shall, to the greatest extent feasible, be directed to low- and very low­income persons, particularly persons who are recipients of HUD assistance for housing.

The parties to this contract agree to comply with HUD's regulations in 24 CFR part 135,which implement Section 3. As evidenced by their execution ofthis contract, the partiesto this contract certify that they are under no contractual or other impediment that wouldprevent them from complying with the part 135 regulations.

The lead consultant agrees to send to each labor organization or representative of workerswith which the lead consultant has a collective bargaining agreement or otherunderstanding, if any, a notice advising the labor organization or workers' representativeof the lead consultant's commitments under this Section 3 clause, and will post copies ofthe notice in conspicuous places at the work site where both employees and applicants fortraining and employment positions can see the notice. The notice shall describe theSection 3 preference, shall set forth minimum number and job titles subject to hire,availability of apprenticeship and training positions, the qualifications for each, and thename and location of the person(s) taking applications for each of the positions, and theanticipated date the work shall begin.

The lead consultant agrees to include this Section 3 clause in every subcontract subject tocompliance with regulations in 24 CFR part 135, and agrees to take appropriate action, asprovided in an applicable provision of the subcontract or in this Section 3 clause, upon afinding that the subcontractor is in violation ofthe regulations in 24 CFR part 135. Thelead consultant will not subcontract with a subcontractor where the lead consultant hasnotice or knowledge that the subcontractor has been found in violation of the regulationsin 24 CFR part 135.

The lead consultant will certify that vacant employment positions, including trainingpositions, that are filled (I) after the lead consultant is selected but before the contract isexecuted, and (2) with persons other than those to whom the regulations of 24 CFR part135 require employment opportunities to be directed, were not filled to circumvent thelead consultant's obligations under 24 CFR part 135.

Noncompliance with HUD's regulations in 24 CFR part 135 may result in sanctions,termination of this contract for default, and debarment or suspension from future HUDassisted contracts.

With respect to work performed in connection with Section 3 covered Indian housingassistance, Section 7(b) of the Indian Self-Determination and Education Assistance Act(25 U.S.C. 450e) also applies to the services to be performed under this contract. Section7(b) requires that to the greatest extent feasible (i) preference and opportunities fortraining and employment shall be given to Indians, and (ii) preference in the award ofcontracts and subcontracts shall be given to Indian organizations and Indian-ownedEconomic Enterprises. Parties to this contract that are subject to the provisions of Section3 and section 7(b) agree to comply with Section 3 to the maximum extent feasible, butnot in derogation of compliance with Section 7(b).

13.6 SECTION 503 OF THE REHABILITATION ACT OF 1973 (29 USC 793)

The lead consultant will not discriminate against an employee or applicant foremployment because of physical or mental handicap in regard to a position for which theemployee or applicant for employment is otherwise qualified. The lead consultant agreesto take affirmative action to employ, advance in employment and otherwise treatqualified handicapped individuals without discrimination based upon their physical ormental handicap in employment practices such as the following: employment upgrading,demotion or transfer, recruitment, advertising, layoff or termination, rates of payor otherforms of compensation, and selection for training, including apprenticeship.

The lead consultant agrees to comply with the rules, regulations, and relevant orders bySecretary of Labor issued pursuant to the Act.

In the event of the lead consultant's noncompliance with the requirements ofthis clause,actions for noncompliance may be taken in accordance with the rules, regulations, andrelevant orders of the Secretary of Labor issued pursuant to the Act.

The lead consultant agrees to post in conspicuous places, available to employees andapplicants for employment, notices in a form to be prescribed by the Secretary of Labor,provided by or through the contracting officer. Such notices shall state the leadconsultant's obligation under the law to take affirmative action to employ and advance inemployment qualified handicapped employees and applicants for employment, and therights of applicants and employees.

The lead consultant will notify each labor union or representative of workers with whichit has a collective bargaining agreement or other contract understanding, that the leadconsultant is bound by the terms of Section 503 of the Rehabilitation Act of 1973, and iscommitted to take affirmative action to employ and advance in employment physicallyand mentally handicapped individuals.

The lead consultant will include the provisions of this clause in every subcontract orpurchase order of $10,000 or more unless exempted by rules, regulations, or orders of theSecretary issued pursuant to Section 503 of the Act, so that such provisions will bebinding upon each subcontractor or vendor. The lead consultant will take such actionwith respect to a subcontract or purchase order as the Director ofthe Office of FederalContract Compliance Programs may direct to enforce such provisions, including actionfor noncompliance.

13.7 SECTION 504 OF THE REHABILITATION ACT OF 1973, AS AMENDED

The lead consultant agrees that no otherwise qualified individual with disabilities shall,solely by reason of his disability, be denied the benefits, or be subjected to discriminationincluding discrimination in employment, a program or activity that receives the benefitsfrom the federal financial assistance.

13.8 AGE DISCRIMINATION ACT OF 1975

The lead consultant shall comply with the provisions of the Age Discrimination Act of1975. No person in the United States shall, on the basis of age, be excluded fromparticipation in, be denied the benefits of, or be subjected to discrimination under, aprogram or activity receiving federal financial assistance.

13.9. CERTIFICATION OF COMPLIANCE WITH AIR AND WATER ACTS

The lead consultant and subcontractors shall comply with the requirements of the CleanAir Act, as amended, 42 USC 1857 et seq., the Federal Water Pollution Control Act, asamended, 33 USC 1251 et seq., and the regulations of the Environmental ProtectionAgency with respect thereto, at 40 CFR Part 15, as amended.

In addition to the foregoing requirements, nonexempt consultants and subcontractorsshall furnish to the owner, the following:

A stipulation by the lead consultant or subcontractors, that a facility to be utilized in theperformance of a nonexempt contract or subcontract, is not listed on the List of ViolatingFacilities issued by the Environmental Protection Agency (EPA) pursuant to 40 CFR PartIS, as amended.

Agreement by the lead consultant to comply with the requirements of Section 114 of theClean Air Act, as amended, (42 USC 1857 c-8) and Section 308 of the Federal WaterPollution Control Act, as amended, (33 USC 1318) relating to inspection, monitoring,entry, reports and information, as well as other requirements specified in said Section 114and Section 308, and regulations and guidelines issued thereunder.

A stipulation that as a condition for the award of the contract, prompt notice will be givenof a notification received from the Director, Office of Federal Activities, EPA, indicatingthat a facility utilized, or to be utilized for the contract, is under consideration to be listedon the EPA List of Violating Facilities.

Agreement by the lead consultant that he will include, or cause to be included, the criteriaand requirements in paragraph (1) through (4) of this section in every nonexemptsubcontract and requiring that the lead consultant will take such action as the governmentmay direct as a means of enforcing such provisions.

13.10 FLOOD DISASTER PROTECTION

This contract is subject to the requirements of the Flood Disaster Protection Act of 1973(P.L.93-234). Nothing included as a part of this contract is approved for acquisition orconstruction purposes as defined under Section 3(a) of said Act, for use in an areaidentified by the Secretary of HUD as having special flood hazards which is located in acommunity not then in compliance with the requirements for participation in the NationalFlood Insurance Program pursuant to Section 20 I (d) of said Act; and the use of anassistance provided under this contract for such acquisition for construction in suchidentified areas in communities then participating in the National Flood InsuranceProgram shall be subject to the mandatory purchase of flood insurance requirements orSection 102(a) of said Act. A contract or agreement for the sale, lease, or other transfer ofland acquired, cleared or improved with assistance provided under this Contract shallcontain, if such land is located in an area identified by the Secretary as having specialflood hazards and in which the sale of flood insurance has been made available under theNational Flood Insurance Act of 1968, as amended, 42 U.S.C. 4001 et seq., provisionsobligating the transferee and its successors or assigns to obtain and maintain, during theownership of such land, such flood insurance as required with respect to financialassistance for acquisition or construction purposes under Section 102(a) of Flood DisasterProtection Act of 1973.

13.11 ACCESS TO RECORDS - MAINTENANCE OF RECORDS

The State of Louisiana, the Department of Housing and Urban Development, theComptroller General of the United States, or their duly authorized representatives, shallhave access to books, documents, papers aud records of the lead consultant which aredirectly pertinent to this specific contract, for the purpose of audits, examinations, andmaking excerpts and transcriptions. Records connected with this contract will bemaintained in a central location by the unit oflocal government aud will be maintainedfor a period of five (5) years from the official date of the State's final closeout of thegraut.

13.12 INSPECTIONThe authorized representative and agents ofthe State of Louisiaua aud the Department ofHousing and Urban Development shall be permitted to inspect services, materials,payrolls, records of personnel, invoices of materials, and other relevant data and records.

13.13 CONFLICT OF INTEREST

Certain public officials and other individuals shall not have au interest, direct or indirect,in a contract or subcontract, or the proceeds thereof, for tasks to be performed duringtheir tenure of office and during one year thereafter. Further, these same public officialsand other individuals shall not have a direct or indirect interest during the tenure of thecontract and one year thereafter in the real estate of the planning area as defined bySection 2.1 of the Scope of Services attached as Exhibit A. These individuals are auofficer or employee of the local jurisdiction or its designees or agents, member of thegoverning body, aud other public official ofthe locality and members of their immediatefamily and household.

Similarly, the lead consultant shall not have a direct or indirect interest during the tenureof the contract aud one year thereafter in the real estate of the planning area as defined bySection 2.1 of the Scope of Services attached as Exhibit A. Further, the lead consultautshall cause to be incorporated in subcontracts the lauguage set forth in this sectionprohibiting conflict of interest.

13.14 ACTIVITIES AND CONTRACTS NOT SUBJECT TO EXECUTIVE ORDER11246 AS AMENDED

During the performance of this contract, the lead consultaut agrees as follows:

The lead consultant shall state thatqualified applicants will receive consideration for employment without regard to race,color, religion, sex, or national origin.

Contractors shall incorporate foregoing requirements in subcontracts.

13.15 ENERGY EFFICIENCY

The lead consultant shall comply with mandatory standards and policies relating toenergy efficiency which are contained in the state energy conservation plan issued incompliance with the Energy Policy and Conservation Act (Public Law 94-163).

13.16 SUBCONTRACTS

The lead consultant shall not enter into a subcontract with a subcontractor who has beendebarred, suspended, declared ineligible, or voluntarily excluded from participating incontacting programs by an agency of the United States Government or the State ofLouisiana.

The lead consultant shall be as fully responsible to the Owner for the acts and omissionsof the lead consultant's subcontractors, and of persons either directly or indirectlyemployed by them, as he is for the acts and omissions of persons directly employed bythe lead consultant.

The lead consultant shall cause appropriate provisions to be inserted in subcontractsrelative to the task to bind subcontractor to the lead consultant by the terms ofthecontract documents insofar as applicable to the task of subcontractors and to give the leadconsultant the same power as regards terminating a subcontract that the Owner mayexercise over the lead consultant under provision of the contract documents.

Nothing contained in this contract shall create a contractual relation between asubcontractor and the Owner.

13.17 DEBARMENT. SUSPENSION AND INELIGIBILITY

The lead consultant represents and warrants that it and its subcontractors are not debarred,suspended, or placed in ineligibility status under the provisions of 24 CFR 24 (governmentdebarment and suspension regulations) as affirmed in Exhibit E, "Certification OnPrimary Participant Regarding Debarment, Suspension, And Other ResponsibilityMatters."

13.18 PERSONNEL

The lead consultant represents that it has, or will secure at its own expense, personnelrequired in performing the services under this Contract. Such personnel shall not beemployees of or have a contractual relationship with the Owner.

The services required hereunder will be performed by the lead consultant or under itssupervision, and personnel engaged in the task shall be fuHy qualified and shall beauthorized or permitted under State and local law to perform such services.

No person who is serving sentence in a penal or correctional institution shall be employedon work under this Contract.

13.19 ANTI-KICKBACK RULES

Salaries of personnel performing work under this Contract shall be paid unconditionallyand not less often than once a month without payroH deduction or rebate on an accountexcept only such payroH deductions as are mandatory by law or permitted by theapplicable regulations issued by the Secretary of Labor pursuant to the "Anti-KickbackAct" of June 13, 1934 (48 Stat. 948; 62 Stat. 740; 63 Stat. 108; Title 18 U.S.C.. 874; andTitle 40 U.S.C. 276c). The lead consultant shaH comply with applicable "Anti-Kickback"regulations and shaH insert appropriate provisions in subcontracts covering work underthis contract to insure compliance by the subcontractors with such regulations, and shaHbe responsible for the submission of affidavits required of subcontractors thereunderexcept as the Secretary of Labor may specifically provide for variations of or exemptionsfrom the requirements thereof.

13.20 ASSIGNABILITY

The lead consultant shall not assign an interest in this Contract, and shall not transfer aninterest in the same (whether by assignment or notation) without prior written approval ofthe Owner provided that claims for money due or to become due the lead consultant fromthe Owner under this Contract may be assigned to a bank, trust company, or otherfinancial institution, or to a Trustee in Bankruptcy, without such approval. Notice of suchassignment or transfer shaH be furnished promptly to the Owner.

13.21 INTEREST OF LEAD CONSULTANT

The lead consultant covenants that he presently has no interest and shall not acquire aninterest direct or indirect in the above described project or a parcels therein or anotherinterest which would conflict in a manner or degree with the performance of his serviceshereunder. The lead consultant further covenants that in the performance of this Contractno person having such interest shall be employed.

The parties agree to comply with the regulations, policies, guidelines, and requirementsof the Office of Management and Budget, Circulars A-95, A-I02, A-133, and A-54, asthey relate to the use of Federal funds under this contract.

13.24 DISCRIMINATION DUE TO BELIEFS

No person with responsibilities in operation of the project to which this grant relates willdiscriminate with respect to a program participant or an applicant for participation in suchprogram because of political affiliation or beliefs.

13.25 DISCLOSURE OF FINDINGS

The reports, information, data, etc., prepared or assembled by the lead consultant underthis Contract are subject to the provisions of The Louisiana Public Records Act (La. R.S.44: 1-41) and Article XII, Section 3 of the Louisiana Constitution and the Lead Consultantagrees that they shall not be made available to any individual or organization without theprior written approval of the Owner.

13.26 LOBBYING

The lead consultant certifies, to the best of his or her knowledge and belief that:

No federally appropriated funds have been paid or will be paid, by or on behalf of thelead consultant, to a person for influencing or attempting to influence an officer oremployee of an agency, a member of Congress, an officer or employee of Congress, or anemployee of a member of Congress in connection with the awarding of a federal contract,the making of a federal grant, the making of a federal loan, the entering into of acooperative agreement, and the extension, continuation, renewal, amendment, ormodification of a federal contract, grant, loan, or cooperative agreement.

If funds other than federally appropriated funds have been paid or will be paid to a personfor influencing or attempting to influence an officer or employee of an agency, a memberof Congress, an officer or employee of Congress, or an employee of a member ofCongress in connection with this federal contract, grant, loan, or cooperative agreement,the lead consultant shall complete and submit Standard Form-LLL, "Disclosure Form toReport Lobbying," in accordance with its instructions.

ARTICLE 14 - MISCELLANEOUS PROVISIONS

14.1 The Lead Consultant shall at times be deemed to be an independent contractorand nothing in this Agreement shall be construed to create the relationship of employerand employee, principal and agent, partnership or joint venture as between the Owner andthe Lead Consultant. The Lead Consultant acknowledges that it shall have no authority tobind the LCG to a contractual or other obligation whatsoever.

14.2 Nothing contained in this Agreement shall create a contractual relationship withor a cause of action in favor of a third party against either the Owner or the LeadConsultant.

14.3 This Agreement represents the entire and integrated Agreement between theOwner and the Lead Consultant and supersedes prior negotiations, representations oragreements, either written or oral. This Agreement may be amended only by writteninstrument signed by both the Owner and the Lead Consultant.

1.0 MODEL COMMUNITY WATERSHED DEVELOPMENT

The Marais des Cannes is Phase 1 of the Model Community Watershed Development(MCWD) Project is located in Lafayette Parish near the City of Scott in South Louisiana.The project will develop a template of model environmental, regulatory, and financialwater management tools that will be made available for implementation in othercommunities. These tools will include traditional methods, such as retention anddetention ponds, in addition to innovative land use tools, such as wildlife managementareas, educational trails, and clustered residential and commercial mixed usedevelopment. Some of benefits to be created are flood protection, the removal ofpollutants from runoff, and the creation of high quality wildlife habitat.

The reader is cautioned that the document utilizes the convention of referring to theparticular project as the Marais des Cannes, Phase I for deliverables that deal with theplanning area. However, references to the MCWD refer to conceptual application of a setof templates can be used and modified by others to be followed in developing potentialprojects in South Louisiana.

2.0 PLANNING CONTEXT

The governmental structure of Lafayette Consolidated Government (LCG) includes themunicipal limits of the City of Lafayette and the unincorporated areas in Lafayette Parish.In addition to Lafayette Consolidated Government, there are five other municipalities inthe parish: Broussard, Carencro Duson, Scott, and Youngsville. The project is partiallylocated in Scott, Louisiana. The City of Lafayette has zoning in place and theunincorporated parts of the parish have only subdivision regulations. The City of Scotthas received a grant from the same agency for the development of a municipal masterplan with a focus on drainage issues. Preliminary plans are to coordinate the two projectsso that the results of each are complimentary.

The preliminary Floodway Maps developed by the Federal Emergency ManagementAgency (FEMA) indicate that much of Lafayette Parish is in regulatory floodways. Thetotal area in the parish is 270.64 square miles. Of that total, 24.46 square miles arefloodway (9% oftotal Parish area) while another 99.33 square miles are in the floodplain(36% of total Parish area). Thus the total regulated area equals 123.79 square miles orabout 45% of total Parish area.

2.1 Planning Area

The planning area is located in the Isle Des Cannes Watershed (44.3 square miles) whichis served by a natural channel named Coulee Isle des Cannes. The watershed is about12.4 miles from north to south and about 4 miles from east to west at its widest point. Theproject area is in the upper reach of the coulee and in the northern area of the watershed.The planning area is a subarea of the watershed containing 3,888 acres (6.1 square miles).Within the planning area, there are two design areas where most of the planning workwill occur. The North Design Area is located north of the 1-10, with 487.68 acres, whilethe South Design Area is located south ofI-lO, with 591.43 acres. The distribution ofregulatory drainage ways in these two areas are summarized in the table below:

A set of digital maps are available as part of the scope of services showing aerialphotographs for 1958, 1974, and 2009, the flood plains and flood ways, the location ofmunicipal corporate limit lines of Scott, and a host of other features useful in reviewingthe project deliverables.

2.2 Conceptual Master Plan

The LCG planning staff prepared a conceptual master plan ofNorth and South DesignAreas as a starting point. The plans contain concepts to be used in the design of theMCWD, but will be refined through the participation of project staff and consultants. Theconcepts are represented in the application text and drawings for funds from theLouisiana Recovery Authority's Comprehensive Resiliency Program. Readers shouldread these documents and review the drawings to familiarize with the project.

The two Design Areas have 79 roofed structures, which are located in the floodway or theflood plains. Primarily, the land was converted for agricultural usage. The project willinvestigate regulatory tools to protect and mitigate wetlands, floodways, and floodplains.Significant portions will be converted to retention-detention areas with clustered mixeduse development along with access roadways, pedestrian and bicycle trails, each of whichmay also be used as parkways and educational trails.

Historically, residential and business developments have bypassed these kinds of areasbelow the one hundred year flood plain and areas in the floodway. The MCWD seeks toutilize this type of marginal land in ways that seeks large-scale regional or watershed­wide solutions.

3.0 PROJECT DESCRIPTION

The pilot MCWD is proposed to contain a regional stormwater retention-detentionfacility several hundred acres in size designed for high storm water storage capacity, withelevated on-site areas using excavated dirt from lakes for amenities. The retention anddetention lakes would reduce the risk of flooding in downstream areas by containingexcess storm water until it can be recharged into the aquifer or control-released whenover-burdened infrastructure can accept it. Some amenities may be located in thefloodplain, floodway, and/or wetlands, requiring regulatory permits for the project fromFederal Emergency Management Administrations (FEMA), The Federal Insurance andMitigation Administration (FIMA) and its National Flood Insurance (NFIP) program forLafayette Parish, US Corps of Engineers as well as other state and local agencies.

The model regional storm water facility for the MCWD will include the followingcharacteristics:

A) Lakes with Adjoining Greenways - provide buffering of adjacent land uses,providing recreation, improving water quality through bio-filtering, and creatingwildlife habitat.

B) Coulee By-Pass Structures - passive diversion of water from existing couleeswhen flood stage is reached and then conveying water to storage areas (lakes andwetlands).

C) Terraced, Natural Coulees - planted with trees and vegetation thereby slowingstorm water discharge, filtering out sediments and pollutants, reducing erosion,reducing water temperature, and increasing water oxygenation. The design ofshallow multi-terraced slopes allow for easy access and easy maintenance,aesthetic interest when not conveying storm water, and providing high-capacitychannels when storm water is at peak levels.

D) Dry Retention Areas - can be used for recreation areas such as golf, soccer,baseball, football fields etc. despite periodic inundation. They can also providebuffers between land uses.

E) Constructed Wetlands - improves water quality, provides access to educationaland eco-tourism opportunities, provides area to preserve wildlife, and promoteshealthy biodiversity.

F) Waterfront Mixed-Use Development - allows for urban densities in closeproximity to a constructed natural and park-like development in limited areas. Theoriginal concept proposed 216 4-story townhouse residential units. The ownershipof the residential and commercial units may be held by a Community Land Trust(CLT) as described in Section 3.f, Community Land Trust (CLT), of the originalgrant application.

G) Mitigation Banks - involves the creation and enhancement oflow-Iying areasthat are classified as wetlands by the Corps of Engineers that can be purchased toreplace other wetlands that will be lost in other projects.

The planned structures proposed in this project are listed in Appendix A - PlannedStructures.

4.0 PROJECT FUNDS AND STAFF

The funds for this project are provided through LCG from The State of Louisiana,Division of Administration, Office of Community Development - Disaster RecoveryUnit for a Category I of the Comprehensive Resiliency Grant Program. This program isdesigned to provide comprehensive nonstructural recovery tools to some of our most at­risk communities. The grant funds will be used to pay a significant amount of LCG Stafftime over a period of three years.

The Department of Traffic and Transportation, Metropolitan Planning Organization andComprehensive Planning Division will provide the staff professional expertise of projectmanagers as well as a landscape architect, an architect, an urban designer, several GISspecialists, several urban planners and several civil engineers.

Four consultant specialists - Hydrologist, Ecologist, Civil Engineer, and Economist ­will be expected to work closely with LCG Staff over the three year period of the grant.Some or all of the specialists may be from the same firm or ad hoc group of consultantswho may apply separately or as a team. In addition, other departments ofLCG mayparticipate in the project.

5.0 COORDINATION WITH OTHER PLANS

The consultant should be familiar with Louisiana Speaks and other related documents,LCG's Lafayette IN a Century (LINC) Comprehensive Plan, and the local planningefforts in the City of Scott.

After hurricanes Katrina and Rita, Lafayette citizens participated in the Louisiana SpeaksRegional Planning effort and the Lafayette Consolidated Government/Lafayette City­Parish Planning Commission has since adopted the Louisiana Speaks Regional Plan. I

Furthermore, the recommendations in the MCWD should support to the Louisiana LandUse Toolkit 2, a land use planning document designed to be in board agreement withLouisiana Speaks. Finally, smart growth best practices should be consulted.3

LCG has developed the LINC Comprehensive Plan which contains twelve components ofwhich one of the most significant elements is the drainage element. That element containsrecommendations for retention-detention areas as well as other elements of the MCWD.4

In addition, the LINC Comprehensive Plan land use element recommends nodaldevelopment, which is currently being developed in two locations in Lafayette Parish,along with proposed guidelines. The MCWD resembles a nodal development withreduced residential and commercial acreage with significant mitigation in form ofretention and detention areas, wildlife management areas and educational trails andparkways.

In addition, the City of Scott was awarded a similar grant from the same agency andcoordination between their consultants and the LCG staff and consultant team has beenrecommended by the administration of the Comprehensive Resiliency Program Grant.The City of Scott is developing a master plan land use plan that incorporates resiliencystorm water planning. Staff and consultants will be expected to provide and receivesuggestions so as to make the two projects complementary.

6.0 BACKGROUND AND BASELINE DATA

The consultants will be provided with background data that characterizes the projectplanning area. The GIS data to be provided includes: planning area boundaries, business

and residential property owners, existing land use, infrastructure inventory (sewer, water,drainage, electrical, streets, sidewalks), zoning; demographics, traffic data, historicproperties, environmentally sensitive sites, utility companies service areas, restrictivecovenants, existing commercial signage, employment data, and crime data.

In addition, the hydrological data will be derived from using a computerized hydrologicalmodel with two foot contours of Lafayette Parish. The model was developed byconsultants for the US Corps of Engineers for the use of Federal Emergency ManagementAdministrations (FEMA) and The Federal Insurance and Mitigation Administration(FEMA) for its National Flood Insurance (NFIP) program for Lafayette Parish. Thecontour map is available in large scale paper maps generated by AutoCAD and ESRIdocument formats for use as well as in hydrological models (HEC-RAS).

7.0 SUMMARY OF PROJECT DELIVERABLES

The project deliverables are documents composed of words, calculations, and drawings,which taken together provide a set oftemplates of hydrological and city planningconcepts for wetlands as well as retention and detention areas within a watershedpIarming area.

The deliverables are reports which describe model concepts that taken together form atemplate that can be adapted to similar areas in Louisiana. The template can be used toplan the Marais des Carmes, Phase I as well as subsequent phases and other projects inother watersheds to a level of sufficient detail that design engineering and constructiondocuments can be developed directly from the project deliverables.

The lead consultant shall be the Hydrologist who directs the work of theEcologistlPermit Compliance Specialists, Economist, and Civil Engineer.

I. Hydrologist - The activities of the hydrologist can be summarized as to design awater management system that complies with the following requirements:a. Provide flood protection for residents of the Coulee Isle des Carmes

watershed;b. Comply with requirements for the Corps of Engineers related to wetland

protection and Section 404 ofthe Clean Water Act;c. Comply with the requirements ofFEMA related to the issuance of the

Conditional Letter of Map Revision (CLOMR); andd. Provide improved water quality for rain water flowing through the Coulee Isle

des Cannes.

2. Ecologist/Permit Compliance SpecialistS - The primary activities of theecologist/permit compliance specialist can be summarized as to:

a. Design compatible ecological niches for wildlife protection areas in closeproximity to human habitations within the Isle des Cannes watershed.

b. Utilize the techniques and procedures to provide maps as outlined in the USArmy Corps of Engineers Wetlands Delineation Manual for the area identifiedas the North Design Area and the South Design Area.

3. Economist- The primary activities of the economist can be summarized as to:a. Identify a list alternative of financial incentives and implementation strategies

that encourages public and private investment in MCWD developments.

4. Civil Engineer - The primary activities of the civil engineer can be summarizedas to:a. Design and document appropriate water control structures as model MCWD

alternatives;b. Design and document appropriate other structures as listed in Appendix A as

model MCWD alternatives;c. Design and document the distribution of spoil on the project site;d. Calculate cut and fill volumes of spoil as well as its monetary value.

It should be noted that the hydrologist will select the order of magnitude of thestormwater event for planning of the Marais des Cannes Project. This single variable isthe most important design decision to be made. The decision is important because themagnitude ofthe year storm event affects the total cost of the project and the amount offlood protection provided by the project to the residents within the entire watershed. Thehydrologist will recommend what information, if any, will be needed from the consultantteam and LCG Staff. The project manager will make a decision as to extent of the datathat will be collected that balances these concerns ofproject cost and flood protection.

The consultants and project staff will be expected to participate in a public participationprocess whereby landowners in the project planning area will be contacted by mail andasked to participate in three design charettes of three hours each. The role of theconsultants in public participation will be two-fold: (I) participant in the planning of thecharettes to develop an agenda and a presentation for a project overview; and (2) answerquestions posed by the public. Each consultants will provide three hours to the publicparticipation process. The time will be allocated between one to three public meetings.

LCG Staff will develop a mailing list of landowners, schedule meetings, developagendas, develop the presentation, and provide staff for the design charettes.

The staff and consultants will help to identify institutional stakeholders who have aninterested in the project. This will include private and public sector agencies, firms,financial concerns and individuals who have a broad interest in the MCWD projects.

The consultants will identify federal, state, and local government grants and fundingprograms that can be leveraged by private institutional stakeholders.

The consultants will participate with LCG Stafflandscape architect, architect, urbandesigner, and urban planners in the design and placement of facilities to enhanceaesthetics of the project as viewed from ground elevations and multistory elevations ofresidential buildings in views oflakes, ponds, retention and detention areas, accessroadways, parkways, walking trails, bike paths, wildlife areas, coulees, constructedwetlands, and mitigation banks. Consultants and LCG Staff shall enhance ability of thesepassageways to act as educational exhibits that inform the public of ecologicalrelationships between the plants, fauna and humans.

8.0 SPECIFIC DELIVERABLES

Each of the four major consultants will be expected to work with LCG Staff and otherconsultants on certain projects so as to produce specific joint deliverables throughcollaboration. Support by other consultants or LCG Staff may be given on individualdeliverables, but it shall be under the direction and supervision of the individualconsultant to produce the individual deliverables.

The primary activities of the consultants can be summarized as to:I. Design flood protection within the watershed;2. Improve water quality;3. Create natural habitat for wildlife; and4. Create areas suitable for mixed residential and commercial development.

The project is inter-disciplinary and requires the collaboration between team members,whose roles are discussed below for each specific deliverable. A listing of all projectdeliverables is presented on the attached chart, Marais des Cannes, Phase I, ProjectDeliverable List. The list provides the name of the project deliverable and the name ofteam leader for a particular deliverables in charge of directing the completion of thatproject item as well as the team members who are under his direction. The chart alsoshows that the Project Manager will review the project deliverable during the process ofits composition as well as in its draft form. The final approval of a deliverable will be bythe Planning Manager.

8.1 Deliverable 1- Wetland Mitigation ReportLead - EcologistlPermit Compliance Specialist

Initial conversations by the LCG staff with the Corps of Engineers indicates that theMarais des Cannes, Phase I is not suitable for a mitigation bank. A checklist will bedeveloped as to the variables to be considered so that other MCWDs might consider theessential variables to analyze for the establishment of a mitigation bank.

The Ecologist/Permit Compliance Specialist will work to provide technical expertise indeveloping a checklist and an example of documents used to create a mitigation bank.

This documentation will include a description of the process to create a mitigation bankincluding establishment of an Interagency Review Team (IRT), which is usually chairedby the US Corps of Engineers and provides regulatory review, approval, and oversight ofdocuments needed to create mitigation banks. Typically, membership includes the USEPA, the US Fish and Wildlife Service, Louisiana Department ofNatural Resources­Coastal Management Division, Louisiana Department of Environmental Quality - Officeof Water Resources, and Louisiana Department of Wildlife and Fisheries. FEMA doesnot usually participate in the IRT, but in this case, FEMA may participate because muchof the project lies within a regulatory floodway.

8.2 Deliverable 2 - Mitigation ProspectusLead - Ecologist/Permit Compliance Specialist

If funding is available as the first alternative, then the geotechnical engineer will workwith the team selected by this scope of services to locate the bore holes and analyze thecores.

A geotechnical engineer will direct the core sampling program to determine potentialdepths oflakes, retention/detention areas, and coulees so as to best achieve waterretention and sediment filtration.

LCG Planners will provide land owner releases allowing the collection ofcore samples.In additional LCG urban planners will serve as a point of contact between thegeotechnical engineer, and the land owners.

The geotechnical engineer will determine the location of bore holes by analyzing parcelswhere landowner gave given approval to allow core sampling. The geotechnical engineerwill direct LCG urban planners in staking of bore hole locations and calculating theirstate plane coordinates and elevations using GIS aerial photographs, lidair point data, andtwo foot contour FEMA maps.

The geotechnical engineer will provide a scope of services and a draft contract for theselection of the core sampling contractor. The geotechnical engineer will oversee themobilization and the collection of core samples in the field.

The deliverable for this first alternative is a report with two components: (1) a descriptionof the relationships between the core samples and the types of soils found in the designareas; and (2) a recommendation as to the surface boundaries, subsurface configuration,location and depth of retention and detention ponds that will hold water.

If funding is not available as the second alternative, then sampling of cores andassociated geotechnical consultant services will not occur. Under this second scenario,the geotechnical engineer will work with the team selected by this scope of services toprovide and analyze the best available existing geotechnical data for the design areas.The deliverable for the second alternative is a report with a recommendation as to thesurface boundaries, subsurface configuration, location and depth of retention anddetention ponds that will hold water.

Under either the first or second alternative, an additional geotechnical deliverable isrequired: a report will be written by the geotechnical engineer who will describeremedial steps to be taken when strata that does not hold water is encountered duringexcavations and how to engineer retention ofwater when such strata is excavated.

No drawings or reports are required to be stamped by the geotechnical engineer.

The Ecologist will be responsible for determining the preliminary regulatory status ofwetlands and for wetland delineations that may be required by the Corps of Engineers.The preliminary regulatory status will be determined by a desktop evaluation of mapsprovided by LCG (as described below) as well as other resources available to theconsultant. Additionally, 24 professional hours will be devoted to field research for theNorth Design Area along with another 24 professional hours to be devoted to the SouthDesign Area for a total of 48 total hours of field research. The North and South DesignAreas are defined in Section 2.1.

The LCG Staff will provide aerial photographs ofthe planning area in 1958, 1974, and2009 which indicates that the area was predominately prior converted to agriculturebefore 1975. Prior conversion to agriculture may considerably reduce the work ofindentifying wetlands on the ground because of the prior conversion to agriculture andthe regulatory status as promulgated by the Corps of Engineers.

I) the ratio and type of residential, retail, and office square footage within awaterfront mixed use development;

2) the differential pricing relative to the residential, retail, and office proximity tovalue added water and recreational amenities like ponds, constructed wetlands,biking and walking paths, and transportation features; and

3) a marketing analysis determining the targeted resident of multi-family typeresidential units with consideration for mixed incomes.

The intent of the project is to leverage a water management project with associatedrecreation resources to increase density and the mix ofland use types. A secondary goalis the integration of a mix of incomes in a mix of housing choices.

8.25 Deliverable 25 - Cut and Fill Sales ReportLead - Economist, Team Members -Hydrologist, LCG Civil Engineer,Geotechnical Engineer

A primary economic resource to finance the project is the sale of excavated spoil dirt foruse both inside and outside of the project area. The spoil inside of the project area may beused to elevate the built environment above the floodplain and floodway. Land in thefloodway has very low potential for development, but with elevation by deposition of soila portion of the floodway may be developable.

The spoil outside of the project area may be sold to finance, in part, the construction ofthe built environment. The soil, depending on its identification by soil borings, may be ormay not be of utility for elevation of structures. The economists will work with the civilengineer and the hydrologist to determine quantity, excavation costs, and the marketpotential for excavated spoil dirt.

The economist will provide a set of alternatives with reasonable estimates in dollars andspoil volume size to be retained within the project area. The economic analysts will workwith the hydrologist and civil engineer to develop conceptual models in the form ofelectronic spreadsheets. These spreadsheets will compute the amount of spoil inside andoutside of the project area in terms of the volume and elevation of the area to bedeveloped. The goal is to maximize the sale of the spoil to increase the amount of funds

The sale of spoil is limited by the depth, size, and placementof the borrow pits and their ability to retain and detain water in a manner that does notthreaten the built and natural environment. These threats to the built and naturalenvironment need to be mitigated both within the MCWD and further downstream.

The distribution of soil, resulting elevations and these relationships to the size ofdevelopable area within the Marais des Cannes, Phase I Project will be documented inthe Cut and Fill Sales Report under the direction of the economist who will be aided bythe hydrologists and the consultant civil engineer.

The report will be based on a review of the soil borings report to detennine the presenceof soils, which have varying average market prices stated as the highest, the average, andlowest prices. The proportion and amount of these soils types will be estimated and notnecessarily computed to exact quantities. The report will state the average unit cost andan estimated sale price based on the estimated quantity of soil in these three rankedcategories.

The Cut and Fill Sales Report may be a separate report or it may be integrated into theMarketability Report (described in the next section) depending upon the choice selectedby the Economist.

8.26 Deliverable 26 - Marketability ReportLead - Economist, Team Members - Architect, Urban Designer, UrbanPlanners, Landscape Architect

The economist will write the Marketability Report to document the following:

Architects and urban planners may design buildings that are elevated on pilings or maybe elevated on mounds using spoil based on differential cost factors including real estatevalues, engineering feasibility and esthetics. These factors can be listed below asgenerally being influenced by:I) The differential cost of utilizing excavated soil and pilings to increase the elevation ofthe ground floor on residential, office, and commercial buildings.2) The differential sale price of residential, office and commercial square footage onpilings or on elevation using spoil.3) The net sale price of the spoil derived from the excavation costs and the delivery costson site and off site.4) The hydrological effects of pilings and elevation using spoil.

These factors will guide the initial planning, but not the final design or siting of anystructure.

The influence of these factors may create structures that might be appealing in tenns ofthe profit potential; but will not be esthetically pleasing and so will ultimately lower thesale price of residential, office, and commercial square footage. The economist will workwith the consultant hydrologist and the consultant civil engineer as well as the urban

The economist along with a staff architect, staff urban designer, and urban planners will areasonable estimate in 2010 dollars of residential, retail, and office square footage in theMarais des Cannes, Phase 1 Project.

The economist will work with the LCG and other consultants on distribution ofland usesdescribed in Section 3.0 Project Description to increase salability of residential,commercial and office buildings.

The Marketability Report may contain the Cut and Fill Report (described in the abovesection) depending upon the choice selected by the Economist.

The Marketability Report will gather data from the consultant team and the LCG staff inorder to come to a set of recommendations so as to make the project as economicallyfeasible as can be reasonably expected based on the engineering, regulatory, and estheticconstraints.

8.27 Deliverable 27 - Public and Private Financing ReportLead - Economist, Team Members - Architect, Urban Designer, UrbanPlanners, Landscape Architect

The economist will collaborate with LCG Staff on the development of incentive packagesincluding Tax Increment Financing (TIF) Districts and Community DevelopmentDistricts (CDC). The economist will estimate the generated tax and fees from T1F's andthe tax burden in a CDC's to be collected and its distribution within the Marais desCannes Project and more generally within MCWD's. The LCG staff will provide datafrom the tax assessor as described in Section 8.23 to aid in these estimates.

Community Land Trust (CLT) should be considered as a method to provide for a range ofmixed income options. Additionally, the economist will collaborate with LCG Staff todescribe local monitory and regulatory incentives to provide to developers. Theeconomist will collaborate with the urban planners to write a Public and PrivateFinancing Report documenting these findings.

The economist will also provide a set of recommendation as to the phasing of theconstruction of the project. The phasing will be discussed in general terms of a select listof events that should occur in a sequence predicated on the accomplishment of previouslycompleted objectives. The goal is to recommend a method of reducing costs by reducingthe length of borrowing funds and increasing the cash flow by creating portions of theproject which generate income.

8.28 Deliverable 28 - Model Subdivision CovenantsLead -Urban Planner Team Members - Ecologist, Architect, Urban Designer,Urban Planners, LCG Civil Engineer, Landscape Architect,

They will seekadvice from the economist and ecologist. The economic analyst will provide advice onincreasing marketability of the resulting plan based on similar marketability surveys forsimilar water/recreational type amenity developments.

The model subdivision covenants will be composed of the following sections: publicaccess to public facilities; transportation access management; parking; landscapingmodification and maintenance; home owners association's responsibilities; urban designstandards, maintenance of built structures; maintenance of the waterways; andmaintenance of pedestrian ways, etc.

8.29 Deliverable 29 - Mitigation Bank Marketability ReportLead - Economist, Team Members - Ecologist

The economist shall work with the ecologist, hydrologist, and consultant civil engineer todetermine the appropriateness of mitigation banks which may be constructed in theproject area depending on the suitability of the soil, and existing drainage patterns.Mitigation banking is a secondary source of potential income for the project in the fonnof sale of mitigation credits as regulated by the Corps of Engineers. The creation ofmitigation banks may require less investment than retail, commercial and office space.Moreover, it is unknown if the return of the investment will favor only mitigationbanking or mixed use development. A Mitigation Banking Marketability Report onMarais des Cannes, Phase I will summarize the findings of work described in thisparagraph.

8.30 Deliverable 30 - Ownership Alternatives ReportLead - Economist, Team Members - Architect, Urban Designer, UrbanPlanners

The economist will write the Ownership Alternatives Report to document the finding inthis section of the scope services. He will be aided by the urban designer, architect, andurban planner. The economist docnments a set of alternatives for real estate ownership toachieve the goals of the project. Among the classes of ownership include freehold, rentalor condomininm ownership. The economist shall also consider a range of mixed incomeoptions through joint ownership of residential, commercial, and office units in the fonnof Community Land Trust (CLT) and a related fonn known as Community Equity Trust(CET). Additionally, some lands and waterways may be owned by the government or bya CDC, CLT, or a CET or by a non-profit corporation as joint lands held by withconservation easements. These lands are used as common areas for the use of the publicor by the residents. The preference is for the economist to propose that common areas areto be held and maintained by the government and are open to the general public. Otheralternatives to ownership, maintenance, and public access may also be considered.

The LCG Staff will develop a model ordinance that integrates regulatory tools, e.g.pyramidal zoning, performance-based zoning, buffers, etc. The economist will provideadvice and guidance; but the primary responsibility of the ordinance will be the LCGStaff s urban planner.

8.32 Deliverable 32 - Transportation StructuresLead - Urban Planner, Team Members: Architect, Urban Designer, UrbanPlanners, Landscape Architect, LCG Civil Engineer

There may be various types of pedestrian-ways: gravel, concrete, and asphalt. The staffcivil engineer will document these pedestrian-ways as well as other civil structuresdocumented in Appendix A. These and other transportation structures (such as transitstops, and parking lots) will be described by the staff civil engineers. Moreover, theroofed and unroofed structures for commercial, residential and office space are to bedesigned by architects and urban designers. These drawings are required to conveyconcepts and materials; but are not required to be stamped by professional engineers orarchitects.

8.33 Deliverable 33 - MCWD Drainage Structure TypologyLead - Consultant Civil Engineer

The civil engineer develops a typology of drainage structures that are appropriate forMCWD's. The documentation of the structures need not be a specific design for aparticular location; but rather the typology will in a general way document the kinds ofstructures available for other MCDW's. Documentation to be provided are conceptualdrawings and sketches as well as a general textual description so as to inform an educatedlayman in report entitled MCWD Drainage Structure Typology.

Many of these details will be drawn from typical details as available from the LCG Deptof Public Works. These drawings will not be stamped by a professional engineer orarchitect.

The civil engineer will be responsible for the preliminary design and placement of stormwater management structures in the Marais des Cannes, Phase I Project. These structureswill be documented in Stormwater Structures Report with conceptual drawings and textfor use by engineering staff in further work on Marais des Cannes, Phase I.

8.35 Deliverable 35 - MCWD Utility SystemsLead - Consultant Civil Engineer

The consultant civil engineer will also be responsible to describe kinds of potable water,sewer, and electric systems used in mixed use developments. These systems should bediscussed generally within ten page report entitled, MCWD Utility Systems.

9.0 FORMATTING OF DELIVERABLE

The goal of these formatting requirements is not to impose a system for the sake ofstandardization, but rather to present to the reader a single vision of a single team.

In order to insure the proper formatting is achieved, LCG Staff will provide theirexpertise, printers, computers, and plotters in formatting the deliverables. The use oftemplates as well as header and footers shall be provided to the consultants in preparingtheir reports. All documents are submitted in the digital format by CD ROM or by FTPserver to LCG. Only three proof copies in paper are required. The cost of printing shall beborne by LCG. However, in no case shall LCG Staff draw lines on technical drawingsand maps or rewrite text in documents for consultants.

9.1 Text Documents

The formatting of the text documents shall follow the following requirements:

All pages shall have a standardized header with the name of the team leader in the upperright hand corner and the location of their home office. The right hand corner shall havethree lines. The first line shall be Marais des Cannes, Phase I. The second line shall bethe name of the report. The third line is its volume number of reports issued during theduration of the grant. The footer shall be formatted as is the page you are now readingshowing the version number, the date and the total number of consecutive pages in avolume and the total number of pages in the volume. Every page shall have a header andfooter, even the title page ofthe document.

The initial pages ofthe volume shall have the title; the authoring consultant's firm, thetable of contents with page numbers ofthe major chapters; the names of major and minorsubsections (as numbered in this report) without page numbers; the names of theconsultants, their firm's name, and the names of their role in the project; the names of theLCG Staff participating in the project; the name ofthe granting agency and keyadministrators; and the names of any advisory committees participating in the project

including the City-Parish Council of Lafayette Consolidated Government, and the CityCouncil of Scott. Several reports as listed in the list of deliverables may be included inone volume. The numbering of the volumes and the relationship of all volumes shall bedocumented in the initial pages of all volumes issued during the grant. The name ofelectronic digital file shall be placed on the title page.

9.2 Maps

The formatting of the maps shall follow the following requirements:

Each map or drawing shall be standardized. The title block of the maps and shall showthe name and logo of the agencies or firm participating in the project as well as those ofthe granting institution. The title block shall be placed in the same position on each page.The block shall show the initials of the person's name who drew the map or drawing aswell as the initials of the professional for directed the drawing of the map, the initials ofperson who reviewed the map, and the initials of the person who approved the map. Thetitle block shall have the date and the electronic editable file and the pdf file name used toprint the map. All maps shall have be oriented with north placed at the top of the page(either in portrait or landscape format) indicated with a standardized arrow. There shallbe a graphic scale and a legend. The north arrow, the scale, and legend shall be placed inthe upper right hand corner of the drawing if at all possible. The name of the drawingshall show Marais des Cannes, Phase I as the proj ect name and then underneath thesubproject name. The name of the map shall appear beneath the project name. Each mapshall be given a unique map number. All printed maps shall be bound into a set withstaples. On the title page of the map set, the information listed as appearing in the initialpages of the text document shall be shown. Additionally, all of names and map numbersof the maps in the set shall be indexed. Three final copies ofthe map set shall besubmitted.

9.3 Spreadsheets

Original editable files of spreadsheets shall be provided when volume or dollar estimatesare calculated. The spreadsheet shall be formatted so as to fit on letter or tabloid paper.The spreadsheet shall have a header and a footer similar to one described in textdocuments.

9.4 CD ROM and Digital Files

The original editable digital files will be submitted by the consultants on a CD ROM orDVD. All text documents will be grouped into volumes which will be printed to portabledocument format (pdf). All maps and drawings will be printed separately in a pdf format.Editable files shall be placed in directories that shall be named by subject matter. PDFfiles shall be grouped in directories based on volume number oftext documents and mapsfor technical line drawings and maps. The lead consultant shall provide a spreadsheetshowing the file name of the electronic document and the title of the document shown onits title page as well as the file name of the map and its map number and name shown in

CAD - Computer Aided DesignCET- Community Equity Trust - is a similar non-profit corporation that acquires partialownership of both the structure and the land. The owner who resides in the structure mayretain only a portion of the ownership or may purchase full ownership over time. At thetime of sale depending on the ownership of the property, the owner and the non-profitcorporation may share in the sale price of the increase (or decrease) in the equityaccording to a set schedule.CLT - Community Land Trust - an equitable and sustainable model of affordablehousing and community development a non-profit corporation which may acquiremultiple parcels ofland in the North and South Design Areas so that they may beacquired in perpetuity. Residential, commercial, and office buildings may be purchasedby tenants. The tenant retains title to the structure while the CLT retains title to the land.Thus, the tenant purchases a ground lease from the CLT. The structure may be retainedwithin a family for multiple generations. However, the CLT retains an option torepurchase any residential and commercial structures if the tenants choose to sell to non­family members. The resale price is set by a formula contained in the ground lease that isdesigned to give present homeowners a fair return on their investment, while givingfuture homebuyers fair access to housing at an affordable price.

CLOMR - Conditional Letter of Map Revision is FEMA's comment on a proposedproject that would, upon construction, affect the hydrologic or hydraulic characteristics ofa flooding source and thus result in the modification of the existing regulatory floodway,the effective Base Flood Elevations (BFEs), or the Special Flood Hazard Area (SFHA).The letter does not revise an effective NFIP map; it indicates whether the project, if builtas proposed, would be recognized by FEMA. FEMA charges a fee for processing aCLOMR to recover the costs associated with the review. Building permits cannot beissued based on a CLOMR, because a CLOMR does not change the NFIP map. Once a

REQUEST FOR PROPOSALS

1. Introduction

Lafayette Consolidated Government (hereinafter "LCG") is pleased to issue this Requestfor Proposals (RFP) for the development of a Model Community WatershedDevelopment (MCWD) Plan (hereinafter "Plan"). We are seeking an innovative, andmulti-disciplinary planning consultant team (hereinafter "Team") that will lead LCG indeveloping a MCWD Plan that is as unique and creative as its community.

The consultant qualifications, process, scope of the Plan, and the requirements forresponses to this RFP are described below. The budget for this project is $164,000.

2. Project Description

The Marais des Cannes is Phase I of a pilot Model Community Watershed Development(MCWD) Project located in Lafayette Parish near the City of Scott, in South Louisiana.The project will develop a set of model environmental, regulatory, and financial watermanagement tools that will be made available for implementation in other communities.These tools will include traditional methods, such as retention and detention ponds, inaddition to innovative land use tools, such as wildlife management areas, educationaltrails, and clustered residential and commercial mixed use development. Some of thebenefits to be created as part of the project include flood protection, the removal ofpollutants from runoff, and the creation of high quality wildlife habitat.

The MWCD planning area includes portions ofthe City of Scott and unincorporated landareas within Lafayette Parish, all under the jurisdiction of Lafayette ConsolidatedGovernment. The Plan must communicate understandably and compellingly to the public,government officials, the real estate industry, businesses and potential investors, andother stakeholders.

The MWCD Plan must embody an authentic recognition of Lafayette's unique weatherpatterns and other related weather events and opportunities for best management ofstormwater collection! harvesting practices. Additionally, the MCWD Planning Teammust acknowledge the personality, culture, art, food, architecture and music of this areaas opportunities in the creation of a place safe from flooding within a living, breathing

community. At the same time these elements must leverage economic health andecological prosperity and sustainability.

LCG and the City of Scott have received funding from the Louisiana Recovery Authority,which is now incorporated into the Louisiana Division of Administration, Office ofCommunity Development, Comprehensive Resiliency Program Section. The MWCDmust link together all elements of community growth and change, including previouslycompleted planning efforts and plans to coordinate the two projects so that the results ofeach are complimentary.

The Plan must be the result of a respected, validated, and credible process. A publiceducation component and maximum, meaningful stakeholder and communityinvolvement is critical to project success, too. Finally, it must be implementable, and itmust be driven by unique efforts that are doable.

3. Lafayette Description

Lafayette Parish is located in the south-central Louisiana, where Interstates 10 and 49intersect. According to the 2010 US Census estimate, the parish population isapproximately 210,954 (an 11% increase over 2000). The City of Lafayette has apopulation of 112,000 and is the fourth largest city in the state. Lafayette Parish iscompromised of the City of Lafayette, as well as the municipalities of Broussard,Carencro, Duson, Scott, and Youngsville, and the unincorporated areas.

The preliminary Floodway Maps developed by the Federal Emergency ManagementAgency (FEMA) indicate that much of Lafayette Parish is in regulatory floodways. Thetotal area in the parish is 270.64 square miles. Of that total, 24.46 square miles arefloodway (9% of total parish area) while another 99.33 square miles are in the floodplain(36% of total parish area). Thus the total regulated area equals 123.79 square miles orabout 45% of total parish area.

In addition to its strong business climate, Lafayette Parish is the heart of a unique culturalregion, called Acadiana. The area is famous world-wide for its mix of hard-working, fun­loving, community and family-oriented people, and has a strong tourism industry as aresult. Acadians (corrupted in Louisiana to "Cajuns") originally founded the communitynow known as Lafayette in 1821, some decades after they were expelled from NovaScotia. Lafayette is known for its local artists and musicians, festivals (including twoyearly international music festivals), Cajun and Creole food, Cajun and Zydeco music,and recreational opportunities. The people in this area celebrate an abundance of hunting,fishing, and boating opportunities including the use of the Atchafalaya Basin and theVermilion River, which runs through the middle of the Parish ofLafayette.

3.1 Planning Area

The planning area is located in the Isle Des Cannes Watershed (44.3 square miles)which is served by a natural channel named Coulee Isle des Cannes.

A set ofdigital maps are available as part of the scope of services showing aerialphotographs for 1958, 1974, and 2009, the flood plains and flood ways, thelocation of municipal corporate limit lines of Scott, and a host of other featuresuseful in reviewing the project deliverables.

3.2 Conceptual Master Plan

The LCG planning staff prepared a conceptual master plan ofNorth and SouthDesign Areas as a starting point. The plans contain concepts to be used in thedesign of the MCWD, but will be refined through the participation ofproject staffand consultants. The concepts are represented in the application text and drawingsfor funds from the Louisiana Recovery Authority's Comprehensive ResiliencyProgram. Historically, residential and business developments have bypassed these kinds ofareas below the one hundred year flood plain and areas in the floodway. TheMCWD seeks to utilize this type of marginal land in ways that seeks large-scaleregional or watershed-wide solutions.

3.3 Background and Baseline Data

The consultants will be provided with background data that characterizes theproject planning area. The GIS data to be provided includes: planning areaboundaries, business and residential property owners, existing land use,infrastructure inventory (sewer, water, drainage, electrical, streets, sidewalks),demographics, traffic data, historic properties, environmentally sensitive sites,utility companies service areas, existing commercial signage, employment data,and crime data.

In addition, the hydrological data will be derived from using a computerizedhydrological model with two foot contours of Lafayette Parish. The model wasdeveloped by consultants for the US Corps of Engineers for the use of FederalEmergency Management Administrations (FEMA) and The Federal Insurance andMitigation Administration (FEMA) for its National Flood Insurance (NFIP)program for Lafayette Parish. The contour map is available in large scale papermaps generated by AutoCAD and ESRI document formats for use as well as inhydrological models (HEC-RAS).

qualifications, and project approaches (see Sec. 6, below) that consultants have thecapability to directly and concretely address the following process components and planelements.

LCG has identified, via selected interviews and best practices reviews, desiredcomponents of a process for the development of the Plan. The model regional storm waterfacility for the MCWD should include, at a minimum, the followingcomponents/characteristics:

a. Lakes with Adjoining Greenways - consideration to provide buffering ofadjacent land uses, providing recreation, improving water quality throughbio-filtering, and creating wildlife habitat.

b. Conlee By-Pass Structures - consideration of passive diversion of waterfrom existing coulees when flood stage is reached and then conveying waterto storage areas (lakes and wetlands).

c. Terraced, Natural Coulees - consideration for planting trees and vegetationthereby slowing storm water discharge, filtering out sediments andpollutants, reducing erosion, reducing water temperature, and increasingwater oxygenation. The design of shallow multi-terraced slopes allow foreasy access and easy maintenance, aesthetic interest when not conveyingstorm water, and providing high-capacity channels when storm water is atpeak levels.

d. Dry Retention Areas - consideration for creating of recreation areas such asgolf, soccer, baseball, football fields etc. despite periodic inundation. Theycan also provide buffers between land uses.

e. Constructed Wetlands - consideration for improving water quality,provides access to educational and eco-tourism opportunities, provides areato preserve wildlife, and promotes healthy biodiversity.

f. Waterfront Mixed-Use Development - consideration for allowing forurban densities in close proximity to a constructed natural and park-likedevelopment in limited areas. The original concept proposed 216 4-storytownhouse residential units. The ownership of the residential and commercialunits may be held by a Community Land Trust (CLT) as described in Section3.f, Community Land Trust (CLT), of the original grant application.

g. Mitigation Banks - consideration for the creation and enhancement of low­lying areas that are classified as wetlands by the Corps ofEngineers that canbe purchased to replace other wetlands that will be lost in other projects.

6.0 Project Deliverables

The project deliverables are documents composed of words, calculations, and drawings,that taken together provide a set of templates of hydrological and city planning conceptsfor wetlands as well as retention and detention areas within a watershed planning area.

The deliverables are reports which describe model concepts that taken together form atemplate that can be adapted to similar areas in Louisiana. The template can be used toplan the Marais des Cannes, Phase I as well as subsequent phases and other projects inother watersheds to a level of sufficient detail that design engineering and constructiondocuments can be developed directly from the project deliverables.

6.1 Project Staff Personnel

The lead consultant shall be the Hydrologist who directs the work of theEcologist/Permit Compliance Specialists, Economist, and Civil Engineer. Theseconsultants will be aided by LCG staff composed of city planners, landscapearchitects (RLA), architects (AlA), civil engineers, and environmental compliancespecialists.

I. Hydrologist - The activities of the hydrologist can be summarized as to design awater management system that complies with the following requirements:

a. Provide flood protection for residents of the Coulee Isle des Canneswatershed;

b. Comply with requirements for the Corps of Engineers related to wetlandprotection and Section 404 of the Clean Water Act;

c. Comply with the requirements ofFEMA related to the issuance of theConditional Letter of Map Revision (CLOMR); and

d. Provide improved water quality for rain water flowing through the CouleeIsle des Cannes.

e. Design and document the distribution of spoil on the project site.r. Calculate cut volumes of spoil as well as participate in the determination of its

monetary value.

2. Ecologist/Permit Compliance Specialist - The primary activities oftheecologist/permit compliance specialist can be summarized as to:

a. Designing compatible ecological niches for wildlife protection areas in closeproximity to human habitations within the Isle des Cannes watershed.

Utilize the techniques and procedures to provide maps as outlined in the US ArmyCorps of Engineers Wetlands Delineation Manual to identifY preliminarilywetlands for the area identified as the North Design Area and the South DesignArea.

This list oftopical elements are further defined in the attached Scope of Work. Itshould be understood by the consultant that narrowing, defining, and coordinatinga viable, implementable, and meaningful Scope of Work will be an iterativeprocess that arrives at a final Scope of Work and work plan during contractingand the kick-off phase of the planning process.

The Plan currently being contemplated is fully expected to engage and build uponprevious efforts to define existing conditions as well as vision and goals, as wellas specific future actions, programs, and policies. However, these documentsshould be used as a starting point (but not a constraint) that will be refined, addedto, improved upon and/or revamped through an inclusive and participatoryplanning process. The planning process will be expected to contain amethodology specifically intended to validate, and, if and when appropriate,incorporate existing planning efforts, as well as to describe specifically howexisting planning work will provide guidance or structure to the MCWD Planprocess, while also allowing for innovation, new directions, andpublic/stakeholder input.

Consultants are encouraged to demonstrate creativity and an ability to define acoordinated planning process that meets and exceeds the expectations describedabove. The above lists and descriptions ofMCWD process components and planelements are subject to change pending discussion with consultant(s), additionalinput from LCG departments, additional best practices research, or for any otherreason at the LCG's discretion.

7. RFP Content Requirements

Applicants must submit three (3) identical copies of a thoughtful, clear and well-organizedproposal that demonstrates consultant qualifications and achieves the goals outlined herein.Submittals should be printed on letter-size (8.5" x II") paper and assembled with spiral- or ring­type binding. Include a Table of Contents for the proposal and provide page numbers for eachpart of the proposal, as well as any separate attachments. All pages in the proposal should benumbered.

The proposal should include the following items:

a. Statement of Interest/ Cover Letter - Provide a statement of interest for the project.The letter, written on the finn's letterhead, shall cite the individual who will be theprimary point of contact for matters relating to the proposal and shall be signed by anindividual with the authority to commit the finn to the project. It should also include fullcontact infonnation such as name, address, telephone, fax, and email address. The lettershall further include a narrative summary of the strengths brought by each teamcomponent.

b. Statement of Understanding of the Work - Responding consultant teams must describetheir understanding of the work being solicited and their philosophical approach. Theformat, content, and length of this statement are entirely at the discretion of therespondent.

c. Proposed Work Plan with Timelines - Respondents will provide a detailed proposedwork plan and timeline. Respondents are encouraged to comment or recommendimprovements to the Scope of Work. The proposed work plan including: planningmethodology, technology and resources to be used, public participation strategy, andimplementation approaches. The work plan must fully address requirements described inSection II of this RFP.

d. Project Personnel, Bios, and Relevant Experience - Respondents will provide anorganizational chart showing the roles of the lead finn and any sub-consultant firms orindividuals. Proposals will describe the project assignments and system/structure ofauthority and communication between principals and key professional members ofthelead finn and sub-consultant(s). Also provide qualifications and experience of theprincipals and key professional members of the consultant team that will be involved inthe project. Give particular attention to the applicable experience of the lead finn,including experience with similar projects and specific issues relevant to this project. It isstrongly recommended that the consultant team include at least one Louisiana-based firm.

e. Representative Projects - Respondents will provide a brief narrative for a maximum offive projects performed by the lead firm and a maximum ofthree projects for any sub­consultant that are most similar and relevant to this project, and that have been completedwithin the last seven years. Current contact infonnation for all projects listed should beincluded.

f. Proposed Budget - Respondents will include a detailed budget for the proposed SOW.Each team member's hourly rate and projected hours (by task) should be noted, inaddition to projected costs for project management! administration, and expenses.

g. Work Samples - Respondents will include comparable work products for the lead finnand all sub-consultants. Sample work products may be submitted in *.pdffonnat on aCD-ROM. If the team submits a CD-ROM, please provide one disc per package to ensurethat each member of the selection committee has access to materials on the disc.

h. Additional Information - Respondents will provide any additional information that thelead firm believes may better describe its qualifications or be of benefit to the LafayetteConsolidated Government or the Center for Planning Excellence.

9. Special Instructions

Respondents shall restrict all contact and questions regarding this RFP and selectionprocess to the individual named herein. Questions concerning terms, conditions andtechnical specifications shall be directed in writing to: Mike LeBlanc by email @[email protected].

Respondents and their agents are strictly prohibited from lobbying members orrepresentatives from the following: Lafayette Consolidated Government, Planning andZoning Commission, Council members, parish/city staff members, LafayetteComprehensive Plan Advisory Committee members, Lafayette In a Century (LINC)committee members, and any citizens involved in the selection process. Failure to complywith this clause shall be grounds for rejection of their RFP as non-responsive.

Professional services are procured in accordance with Louisiana Law and the Home RuleCharter ofLCG. Selection of the most highly qualified respondent will be made on thebasis of demonstrated competence and qualifications as determined by the LCGProfessional Services Committee based upon the proposal submitted in response to thisRFP, the RFP, and the interview. LCG reserves the right to reject any and all proposals,to waive any and all formalities outlined in the RFP and in the selection process andgenerally to make the award that, in its judgment, will best meet the objectives stated inthis RFP. The LCG also reserves the right to request additional information and/orproposal clarifications from any or all respondents to assist in its evaluation process.

Expenses incurred by the respondents in replying to the RFP or in making anyappearance before the Selection Committee are at the respondents' own expense and risk.

All dates in the RFP are subject to change, and notice of any changes will be provided toall respondents.

10. Miscellaneous Provisions

a. Rights of Negotiation - LCG reserves the right to waive any and all irregularities insubmittals, and to negotiate with any party.

b. Cancellation of RFP - LCG reserves the right to cancel the RFP at any time. All costsincurred by the Proposer in preparing and responding to this solicitation are the soleresponsibility of the Proposer and shall not be reimbursed by LCG.

c. Further Process - LCG reserves the right to interview only those respondents itdetermines shall provide the most advantageous services and to negotiate with one or morerespondents to contract terms acceptable to LCG.

d. Nondiscrimination - LCG notifies all possible Proposers that no person shall be excludedfrom participation in, denied any benefits of, or otherwise discriminated against inconnection with the award and performance of any contract on the basis of race, religiouscreed, color, national origin, ancestry, physical disability, sex, age, ethnicity, or on anyother basis prohibited by law.

e. Distribution of Proposals - All documentation, information or data provided by theProposer as part of its submission (whether in writing and/or digital format) shall becomethe property ofLCG. LCG is subject to Louisiana Public Record Law.

f. Public Disclosure - LCG may publish the names of all Proposers on its Website.Proposals will be distributed to members ofLCG's evaluation team. LCG reserves theright, at its sole discretion, to use without limitation, any and all information and datasubmitted in response to the RFP or derived from further investigation of any submittal.

g. Notice Conflicts of Interest - The Proposer and subconsultants shall identify any group,individual or organization that they may have worked for, or currently work for, that hashad ownership, lease, development, related or similar interest in LCG and shall disclosesuch potential conflicts of interest to LCG. LCG reserves the right to reject any proposalor Proposer who it feels has a conflict of interest.

h. Exclusion of Team Member - LCG reserves the right to require any Proposer to excludeor replace one or more subconsultants included in Proposer's proposal with othersubconsultants satisfactory to LCG.

i. News Release - Proposer shall make no new/press release pertaining to this RFP oranything contained or referenced herein without prior written approval from LCG.

j. Application Law - This RFP and any contract or agreements resulting herein are subjectto all applicable Federal, state and local laws, rules, regulations and executive orders.
