Contract for service with consultant

AGREEMENT is made at ...... day of ...between AB&Co.Ltd., company registered under

the companies Act 1956 and having its registered office at ....hereinafter referred to as the

company of the One part and Mr.X residing at ..... hereinafter referred to as the

Consultant of the Other Part;

WHEREAS-

1. The company is carrying on business of manufacturing electronic products of different

types.

2. Mr.X is an expert in electronics and at the request of the Company has agreed to act as

the Consultant of the Company on the following terms:

IT IS NOW AGREED BETWEEN THE PARTIES AS FOLLOWS:

1. The Company appoints the said Mr. X as the Consultant of the Company for a period

of ........years from the date hereof.

2. The Company shall pay to the consultant a retainer fee of Rs....per month to be paid on

or before the 5th day of each month for the previous month.

3. The Company shall also pay to the consultant a fee of Rs......... per advice given on any

subject referred to him. If the Consultant is required to attend to the office of the Company

or the factory of the Company for any discussions on any problem he will be paid a sum of

Rs....per attendance and also his traveling charges to and from the office or factory of the

Company, if no separate transport is provided is provided by the Company for the purpose.

If the Consultant is required to attend any other place in the country or outside to attend

any conference or meeting on behalf of the Company in connection with the business of

the Company , he will be paid his traveling and boarding, lodging expenses for the first

class and also a fee of Rs... per day or part of a day.

4. The Consultant shall act exclusively for the Company and will not act as Consultant on

the subject of electronics for any other business concern provided that , the consultant will

be entitled to carry on his own profession or vacation or business.

5. The consultant will render all help on technical questions in the advancement of the

business of the Company to the best of his ability and will make suggestions for

improvement in production.

6. The Company will furnish to the consultant all information and drawings as required but

the Consultant to advise on any problem.

IN WITNESS WHEREOF the parties have put their hands the day and year first
