The Seller agrees to sell and the Buyer agrees to buy under mentioned goods on terms and conditions stated below:

(1) Metal containers for garbage 1.1 m3, 8 pieces(2) Metal containers for garbage 1.1 m3 with plastic lid, 60 piecesQuality Clause

Products should be produced according to Tender`s documentation for Municipality of Arilje including standards EN840-3 and EN840-6

Description of product

(1) Metal containers for garbage 1.1m3 volume, thickness of metal 1.5mm, four wheels (two with breaks), protected with hot zinc galvanisation against corrosion, with one year general warranty and three years corrosion warranty if its used by submitted instruction for use(2) Metal containers for garbage 1.1m3 volume, thickness of metal 1.5mm, four wheels (two with breaks), protected with hot zinc galvanisation

(3) against corrosion, with one year general warranty and three years corrosion warranty if its used by submitted instruction for use

, with HDPE lid and opening mechanism Implemantation, Price and deliveryThe implementation period shall run from the date of contract signature by both parties, and the time limits for delivery shall be Maz 22nd , 2015. Incoterm applicable shall be FCA, excluding VAT and other taxes(1) The unit price excluding VAT is EUR 220,00 Total price excluding VAT is EUR 1.760,00(2) The unit price excluding VAT is EUR 265,00

Total price excluding VAT is EUR 15.900,00(3) Delivery cost in total: EUR 300,00 Summary price excluding VAT for both items is : EUR 17.960,00Payment will be defined by seller`s Invoice and should be executed by Buyer not longer than 3 calendar days from delivery.

Dispute Settlement and signing of the ContractAll disputes arising out of this contract related to its violation, termination or nullity shall be finally settled by agreement and positive will of both sides. In case of disagreement, if disputes are complained from Seller , Gosa Solko company, Serbia(such us late or refuse execution of payment etc),, it will be settled under the Rules of Arbitration and Conciliation of the Arbitrage Court of Serbian Trade Chamber. In case that complains are expressed in behalf of Buyer, Unit Export Ltd, Great Britain , (such us late delivery or damaged goods), the sustainable British institution will be in charge to settled it under British official Law and regulations.Done in English/serbian in for originals , two for each side. In case of any disputes, English version will prevail.Contract should be signed and stamped only by persons of both sides who are fully authorized and legally responsible.

Predmet Ugovora

Prodavac I kupac su se ovim dogovorili da izvre kupoprodaju sledeih dobara:

(1) Metalni kontejneri za smee 1.1 m3

8 komada(2) Metalni kontejneri za smece 1.1 m3 sa plasticnim poklopcem, 60 komadaKlauzula kvaliteta

Proizvodi treba da budu proizvedeni prema Tenderskoj dokumentaciji Optine Arilje ukljuujui standarde EN840-3 I EN840-6

Proizvodi treba da budu proizvedeni u skladu sa Izjavom o poreklu Prodavca

Opis proizvoda

(1) Metalni kontejneri za smee zapremine 1.1m3, debljine metala 1.5mm, 4 toka (dva sa konicom), zatieni cinenjem toplim cinkom protiv korozije, sa jednogodinjom optom garancijom i trogodinjom garancijom na koroziju ako se koristi po dostavljenom uputstvu za upotrebu(2) Metalni kontejneri za smee zapremine 1.1m3, debljine metala 1.5mm, 4 toka (dva sa konicom),zatieni cinenjem toplim cinkom protiv korozije, sa jednogodinjom optom garancijom i trogodinjom garancijom na koroziju, ako se koristi po dostavljenom uputstvu za upotrebu , sa HDPE plasticnim poklopcem i mehanizmom za otvaranjeIzvrenje Ugovora, cena I isporuka

Ugovor stupa na snagu datumom potpisivanja od obe strane, a krajnji rok isporuke je 22.05.2015. Incoterms pravilo koji se primenjuje je FCA, izuzimajui PDV I ostale takse.

(1) Jedinina cena bez PDV-a je EUR 220.00Ukupna cena bez PDV-a je EUR 1.760,00

(2) Jedinicna cena bez PDV-a je EUR 265,00

Ukupna cena bez PDV-a je EUR 15.900,00

(3) Troskovi isporuke: EUR 300,00

Ukupna cena bez PDV-a je za oba proizvoda je

EUR 17.960,00

Plaanje ce biti definisano u fakturi Prodavca a od strane Kupca e uslediti najkasnije tri dana od dana isporuke.

Reavanje sporova

Sva sporna pitanja koja proistiu iz Ugovora a tiu se krenja, okonanja ili ponitenja istog obe strane e reavati sporazumno i uz obostranu dobru volju. U sluaju nesporazuma , ako je spor pokrenut od Prodavca, kompanije Gosa Solko iz Srbije (kao to je kanjenje ili odbijanje plaanja i sl) bie reavana u okviru pravila Arbitranog Suda Privredne Komore SrbijeU sluaju da albu uputi Kupac, Unit Export Ltd, Velika Britanija )kao to je kanjenje u isporuci ili oteenje dobara), odgovarajua britanska institucija bie nadlena da ih reava u okviru britanskih zakona i pravila.Ugovor je sainjen u 4 originala, dva za svaku ugovornu stranu. U sluaju nesporazuma, engleska verzija e prevladati.

Ugovor e biti potpisan i overen samo od ovlaenih I pravno sposobnih osoba.
