    E M P L O Y M E N T C O N T R A C T

    17. DUTY OF CONFIDENTIALITY

    You acknowledge that during your employment you will have access to trade secrets andconfidential, proprietary information related to the Employers business:

    That gives the Employer or its affiliated entities a competitive advantage;

    That is not generally known by other employers or individuals not employed by the Employeror its related entities;

    That could not be determined or learned by a person other than the Employer or its affiliated

    entities through publicly available sources or otherwise; That is not available to you or to a person other than the Employer or an affiliated entity

    unless such persons knowledge was obtained from the Employer or an affiliated entity;

    That is not or does not become widely known outside the Employer through no act by you;and

    The use or disclosure of which is damaging to the Employer or its affiliated entities(Confidential and Proprietary Information)

    You are prohibited to divulge any information related to the business of Lazada E-ServicesPhilippines, Inc., which you acquired during your employment to competitors.

    The Confidential and Proprietary information includes among others:

    Any and all trade secrets, transaction structure, intellectual property or any confidentialinformation concerning the business, pricing and rates, financial arrangements or position ofthe Employer and its affiliated entities, its and their business partners, its and their vendors, orits and their clients;

    Technology know-how, programs and systems, used or provided by the Employer and/or itsaffiliated entities, their business parties, vendors and clients;

    The Employers or its affiliated entities policies, procedures, handbook, manuals, forms andemployee-related information;

    Information regarding employees skills and abilities;

    Client lists of the Employer and its affiliated entities; Advice to clients given by the Employer and its affiliated entities;

    Any of the dealings, transactions and affairs of the business of the Employer and/or its entitiesor their clients;

    Any of the terms of contracts, arrangements and transactions between the Employer and/orits affiliated entities and its or their clients.

    You agree that during and after your employment with the Employer, you will not use ordivulge to any person or entity, any Confidential and Proprietary Information, whetherreceived or created, verbally or in writing, other than in the necessary course of performanceof your work and duties with the Employer. You undertake to take all reasonable andnecessary steps to maintain the secrecy and prevent the disclosure and improper use ofConfidential and Proprietary Information. If you are not sure as to whether information is

    Confidential and Proprietary, or you have questions about the handling of Confidential andProprietary Information, you undertake to consult your manager for guidance.

    Violation of your Duty of Confidentiality is a serious offense, which merits disciplinary actionincluding termination.

    22. CODE OF CONDUCT; COMPANY RULES AND REGULATIONS

    You are expected to observe and maintain the Employers code of conduct and the EmployeeHandbook. Further instructions may be made known to you from time to time by theManagement.

    All existing as well as future rules and regulations issued by the employer are hereby deemedincorporated with this contract. You hereby agree that by signing this contract, you shall bebound by all such rules and regulations which the employer may issue from time to time.

    On signing this contract, you acknowledge that it is your responsibility to be aware of theemployers rules and regulations regarding your employment and to fully comply with these ingood faith.

    On signing this contract, you also hereby acknowledge the employers right to imposedisciplinary measures or sanctions, which may include, but are not limited to, termination ofemployment, suspension, fines, salary deductions, etc. for any and all infractions, act oromission, irrespective of whether such infraction, act or omission constitutes a ground fortermination.

    Confirmation by the Employee:

    I have read, understood and voluntarily agree to the terms and conditions of the agreement as setforth above, the same were read and explained to me in the language/dialect I understand and Ihereby accept such terms and conditions.
