    ARTICLE 6:THE ORGANS

    The Organs of the Association are:

    (i) the General Assembly

    (ii) the Council and

    (iii) the Bureau

    ARTICLE 7:THE GENERALASSEMBLY

    (a) The Gene ral Assemb ly is the suprem e organof the Association and is competen t to takeall decisions in the name of the Associationi n c l u d i n g th e a m e n d m e n ts o f t h eConstitution.

    (b) The G eneral Assembly shall be called once infour years.

    (c) Mem ber organisations shall be representedby their duly accredited delegates.

    (d) Every memb er organ~sa tionwill have twovotes which are div~sible.

    (e) Individual members of the Association mayparticipate in the G eneral Assembly witho utany right t o vote.

    ARTICLE 8:THE COUNCIL

    (a) Be tween the mee t ings o f t he G enera lAssembly al l i ts powers except that ofamendment of the Constitution, shall vest inthe Council.

    (b) The Cou ncil shall comprise ofall the membersof the bureau,all other office bearers and onerepresentative of each member associationduly appointed by it to the Council.

    (c) The Cou ncil, shall ordin arily be called once ayear.

    (d) All decisions of the Co uncd shall be taken bya majo rity of those present and voting.

    ARTICLE 9:THE BUREAU

    (a) The Bureau shall be the executive organ ofthe Association and comprise of not morethan eighteen members t o be elected by theGeneral Assembly ou t of which the President,

    Secretary General and theTreasu rer shall be

    ex-officio and the rest shall be elected by theGene ral Assembly e nsuring a balancedgeographical and gender representation.

    (b) Th e representatives o f the Associat ionaccredited t o international organisations andthe e d i to r o f i t s pub l i ca t ions sha ll bepermanent invitees t o the Bureau.

    (c) The B ureau shall be responsible for directing

    the wor k oft he Association n accordance withthis Const i tut ion and is to carry out thedectsions of the General Assembly and theCouncil.

    (d) The Bure au shall assign specific resp onsib ilitiest o the members of the Bureau and may electVice-Presidents. Deputy Secretary-Generalsand Assis tant Treasurers f rom among ~ t smembers.

    ( e ) The Bureau may cons t i t u t e s t and ingcommi t t ees o r special comm i t t ees andwor k ing g roups , no t necessa ri ly o f i t smembers, with specific resp onsibilities. Al lsuch committees shall rep ort t o the B ureauand wor k according t o its directions.

    (f) Any vacancy in the Bureau may be filled in bythe Bureau itself, subject to its ratification byt h e C o u n c i l . T h e B u r e a u m a y i n v i t erepresentative of any mem ber association toattend and participate in its me eting (s).

    ARTICLE 10: HONORARY ADVISORS

    The General AssemblyIBureau may constitute a

    Board of Advisors and elect as Hon ora ry Advisors,eminent persons n the field of law for their contributiont o the Associat ion, a nat ional association o r t ojurisprudence.

    ARTICLE I : FINANCE -(a) The funds of the Association shall be derived

    from:

    (i) the Annual subscriptions of member-Associations and individual members.

    (ii) grants, donations and con trrbu tions, sale

    of publications, savings and investments

    and such other sources as may bea u t h o r i s e d b y t h e B u r e a u , n o tincons~s ten twi th the ob ject s o f t heAssociation.

    (b) All the funds of the Association shall be keptin the bank accounts of and in the name ofthe Association.

    (c) The bank accounts of theAssoc iation shali beoperated by theTreasurer andlor such otherperson(s) w ho may be specifically authorisedby the Bureau.

    ARTICLE I2:AUDIT

    (a) The accounts o f the Association shall beaudited every year, by an Aud it Co mmittee.

    (b) After every GeneralAssembly.the Council willelect an Audit Comm ittee comprising o f no tless than th ree members.

    (c) The Audit Committee shall continue to hold

    electedafter a G eneral Assembly.

    (d) Vacancies in theA ud it Com mitte e may be filledby the Bureau subject to ts ratification at thenex t meeting of the Council.

    (e) Th eA ud it Comm ittee may audit the accountsItself and i f considered necessary, it mayassociate or authorise any oth er mem ber(s)o r professionalAuditor(s) for the purpose.

    ARTICLE 13: EXPULSION

    (a) Any member-association o r ndividual may bee x p e l l e d f r o m t h e m e m b e r sh i p o f t h eAssociation by a resolution o f the Counciladop ted by a two- th i rd ma jo r i ty o f t hemembers present and voting if its activitiesare in conflict with those o f the Association.

    (b) W hen eve r a p ropos a l fo r expu l s ion i sreceived.the memb er concerne d shall be givenan opportunity t o explain o r o f being heardbefore taking a decision.

    (d) Any mem ber aggrieved may appeal t o theGeneral Assembly against the decision of theCounci l and the decis ion of the GeneralAssem bly shall be final.

    ARTICLE I 4 (a):THE PRESIDENT

    The President shall be the head of theAssociationand will represent it in all fora. HelShe will presideove rthe meetings of the GeneralAssembly,the Counciland the Bureau. In the absence of th e President any ofthe Vice -p res iden t o r ano the r memb er may berequested to preside at the meeting.

    ARTICLE I 4 (b):THE SECRETARY GENERAL

    The Secretary General shall be th e chief executiveof th e Association. It shali be hislher responsibility t okeep and maintain the records of the Association.periodically conven e allmeetings,in the absence of thePresident t o represent himselflherself or arrange forthe representation o f the Association and t o regularly

    submit reports t o he various organs of theAssociation.

    ARTICLE I5 :AMENDMEN TS

    The Co nstitution may be amended by the GeneralAssembly with a rwo- third ma jorityo f members presentand voting.

    ARTICLE 16 :DISSOLUTION

    TheAss ociation may be dissolved o r me rged withany other organisation having similar objects, by aresolution of the General Assembly or the Councilapproved by a two-third majority of the memberspresent and voting. In the event of dissolution theresolution will also indicate the manner of disposal ofthe assets of the Association.

    (c) Th e Coun cil shall state reasons for exp ulsion

    and its decision shall be effective immediately.
