• Created “Who Wants to be a Millionaire” & “Power of 10” & “The Nine”

• Current deal would be extended for five years• $1.2MM, not recoupable against EP fees, but recoupment of term deal

as a cost of production in calculating profit participation• SPT would forgive ER’s current year recoupment of $600K• Davies would act as producer on shows and receive an EP fee • Sony would own all copyrights (with limited exceptions if Davies deficit

finances)• Davies would have a participation of 50% of format profits [minus 10%

distribution fee] and 25% of syndication profits [minus production costs and 25% distribution fee]

• 2 year deal• $2.25MM per year; 100% recoupable as a cost of production in

calculating profit participation• SPT would own a 50% interest in created shows
