PlaintiffWolfTrap Foundation for the Performing Arts ("Plaintiff), by its undersigned

counsel, brings this action against Defendant The Barns of Rose Ilill. Inc. ("Defendant"') and

alleges as follows:

N A T U R E O F T H E C A S E

1. This is an action for trademark infringement, false designation of origin, unfair

competition, and related causes of action arising under the statutes of the United States

(Trademark Act of 1946. 15 U.S.C. § 1051 el seq.), the statutory lawof the Commonwealth of

Virginia (Va. Code Ann. §§ 59.1-196 et seq.), and the common law.

2. As alleged below, this action arises out of Defendant's adoption and use of an

infringing trademark. Defendant's actions have caused significant damage to Plaintiff, and

Plaintiffis entitled to a permanent injunction, damages, andother reliefas alleged herein.

T H E P A R T I E S

3. Plaintiff is a non-profit corporation which is exempt from federal income

taxation under 26 U.S.C. § 501(c)(3). The Plaintiffs principal placeof business at 1645 Trap

Road, Vienna, Virginia 22182.

4. Upon information and belief, Defendant is a non-profit corporation which is

exempt from federal income taxation under 26 U.S.C. § 501(c)(3), with its principal placeof

business at 95 Chalmers Court, Berryville, Virginia 22611.

5. This Court has jurisdiction over the subject matter of this action under 15 U.S.C.

§ 1121, 28 U.S.C. §§1331 and 1338, and the doctrine of supplemental jurisdiction, 28 U.S.C.

§ 1367.

6. This Court has personal jurisdiction over Defendant because Defendant 's

principal place of business is located in Virginia, Defendant does substantial business in

Virginia, and Defendant has used its infringing trademark in Virginia, so as to make general and

specific jurisdiction over Defendant fair, just, and permitted by law.

7. Venue is proper in this District under 28 U.S.C. § 1391(b) in that a substantia]

part of the events or omissions giving rise to the claims occurred in this District.

8. Founded in 1966, Plaintiff is a non-profit corporation dedicated to the

performing arts.

9. Plaintiffownsand operates THE BARNS AT WOLF TRAP(also known simply

as 'THE BARNS"), an indoor performance venue at which Plaintiff offers musical and theatrical

performances, as well as educational and cultural activities for personsof all ages.

10. Plaintiff is the owner of exclusive rights in the trademarks "THE BARNS AT

W O L F T R A P " an d ' T H E B A R N S . "

11. Specifically, Plaintiffowns a United States trademark registration (Registration

No. 2,499,351) for the mark THE BARNS AT WOLF TRAP, for "entertainment services,

namely, the operation of a theatre for presenting entertainmentevents for the public."

12. Plaintiffs THE B AR NS AT W OLF T RA P trademark is incontestable under 15

U.S.C. § 1065. As such, this registration constitutes conclusive evidence of Plaintiff s exclusive

rights in THE BARNS AT WOLF TRAP trademark. A copy of Plaintiffs trademark

registration certi licate for its THE BARNS AT WOLF TRAP mark is attached hereto as Exhibit

A. Plaintiffalso owns common law rights in this mark.

13. In addition. Plaintiff owns common law rights and a federal trademark

application for the mark THE BARNS, and Plaintiff l ikewise uses this mark in connection with

the advertising and promotion of its entertainment services. See Exhibit B (copy of Plaintiffs

U.S. trademark application for THE BARNS). Collectively, Plaintiffs "THE BARNS AT

WOLF TRAP" and "TH E BARN S" trademarks are referred to herein as the "BARNS Marks."

14. Plaintiffhas used its BARNS Marks in connection with the foregoing services

since at least as early as 1981.

15. During this time. Plaintiffhas used its BARNS Marks continuously in Virginia

and in interstate commerce in connection with the advertising, marketing, and sale of its services.

16. Plaintiff has made a substantial investment in advertising and promoting its

services under the BARNS Marks, and advertises its services in a variety of publications,

including but not limited to The Washington Post, The Washington Post Express, City Paper, On

Tap, Washington Examiner, Metro Weekly, and The Blade. Plaintiff also has run paid

advertisements on many Internet websites, including but not limited to

w\\Av.washinutonpost.com, www.patch.com, www.culturecapital.com. and wwAv.Facebook.com.

17. In addi t ion . Plain t i ffs BARNS M a rk s h av e r ec ei ve d a t remendous amount o f

media coverage. This publicity spans across Virginia, Washington, DC, Maryland, and

throughout the United States, and includes coverage from The Wall StreetJournal, Twitter.com,

Fox 5, Fairfax County Times, Fairfax Station Connection, Burke Connection, Annandale Patch.

CulpeperStar. Springfield Connection. Stafford CountySun, DCExaminer, Frederick News Post,

free Lance-Star, The Gazette, The Greenfield Report, Herald-Mail, Inside Nova, Jazz Times.

Lebanon Daily News, The Capital, Baltimore Sun, Lethhride Herald, Metro Weekly, Richmond

Times, Shenandoah.com, Virginia Living, Vienna Connection, Vienna Patch, Washinglonian.

Western Star, and many other publications and media outlets.

18. Plaintiffhas garnered significant revenues for services provided under the

B A R N S M ark s .

19. Asa result of this widespread use, advertising and publicity, Plaintiffs BARNS

Marks have become well-known as distinctive indicators of origin for Plaintiffs services, and

the general publichascome to associate Plaintiffs BARNS Marks with the high-quality services

provided by Plaintiffunder those marks.

20. Plaintiffs BARNS Marks are strong, and are entitled to a broad scope of

protection.

B. Defendant's Use of th e Infringing Trademark "THE BARNS OF ROSEH I L L "

21. Long after Plaintiffs adoption and first use of its BARNS Marks, and long after

Plaintiffs B AR NS M ar ks had b e c ome w e ll -k n ow n a s d i st in c ti v e i n di ca t or s o f source fo r

Plaintiffs services. Defendant adopted and began using the confusingly similar trademark "THE

BARNS OF ROSE HILL" (the "Infringing Mark") in commerce, in connection with services that

are virtually identical to the services offered by Plaintiff under its BARNS Marks,

22. Defendant is using the Infringing Mark at a theater that is fewer than 50 miles

from Plaintiffs theater and Defendant is soliciting the same prospective customers who purchase

Pla in t i f f s serv ices .

23. Defendant's Infringing Mark is visually and phonetically similar to Plaintiffs

BARNS Marks. Indeed, Defendant's Infringing Mark incorporates the wording "THE BARNS"

in its entirety, and merely substitutes the geographical term "OF ROSE FULL" for the phrase

24. On information and belief, Defendant added the geographical term "ROSE

HILL" to Plaintiffs mark "THE BARNS" with a deliberate intent to cause consumers to bel ieve

that Plaintiff had expanded its operations to include a new location.

25. Defendant uses its Infringing Markin connection with a facility located in

Berryville, Virginia, at which Defendant hosts liveconcerts, performingarts presentations, and

educational and cultural programs. See Exhibit C, containing screenshots of Defendant's

website wwAv.barnsofrosehill.org.

26. The parties advertise and sell their services through the same media using similar

advertising methods.

27 . D e f en d a n t' s w e bs i te d e sc r ib e s it s "The Barns o f R o se H il l" theater as "a center

for community, arts and education to the people of Berryville, Clarke County and the broader

Shenandoah Valley and northern Virginia communities."

28 . Pla in ti ffadver t i s es and offers it s services to consumers in th e same northern

Virginia communities, and Plaintiffs BARNS Marks had become well-known among consumers

in these communities long prior to Defendant's adoption and use of the Infringing Mark in

northern Virginia.

29. Further, upon information and belief, Defendant advertises and markets services

under its Infringing Mark in the same channels as Plaintiff, including but not limited to Internet

advertising.

37. As a separate cause of action and ground for relief. Plaintiff alleges that

Defendant has and is engaged in acts of trademark infringement in violation of Section 32 of the

Trademark Act of 1946, 15 U.S.C. § 1114.

38. Plaintiffis the owner of an incontestable federal trademark registration for the

ma rk T HE B AR NS A T W O L F T RA P.

39. Without consent or permission from Plaintiff, Defendant has used and is using the

Infringing Mark in commerce in connection with the advertising, sale, and provision of services

insuch a manner as to create a likelihood of confusion among prospective purchasers and to

unfairly compete with Plaintiff.

40. Defendant's unauthorized use of the Infringing Mark has induced purchasers and

others to believe, contrary to fact, that the services provided by Defendant are rendered,

sponsored, or otherwise approved by. or connected with. Plaintiff. Defendant's acts have

damaged, impaired, and diluted that part of Plaintiffs goodwill symbolized by its THE BARNS

AT WOLF TRAP mark to Plaintiffs immediate and irreparable damage.

41. Defendant's unauthorized use of the Infringing Mark constitutes trademark

infringement entitling Plaintiffto remedies pursuant to Sections 32 and 35 of the Trademark Act

of 1946. 15 U.S.C. §§ 1114 and 1117.

42. Defendant's acts of trademark infringement have caused Plaintiff irreparable

injury, loss of reputation, and pecuniary damages. Unless enjoined by this Court, Defendant will

continue the acts of trademark infringement complained of herein to Plaintiffs immediate and

irreparable damage.

43. Plaintiff realleges and incorporatesby reference paragraphs 1 through 42, as if set

44. As a separate cause of action and ground for relief. Plaintiff alleges that

Defendant hasand is engaged in acts of trademark infringement, false designation of origin, and

unfair competition in violation of Section 43(a) of the Trademark Act of 1946, 15 U.S.C.

§1125(a).

45. Plaintiff is the owner of exclusive rights, title and interest in and to the distinctive

BARNS Marks as set forth in the preceding paragraphs of this Complaint.

46. Without consent or permission from Plaintiff, Defendant has used and is using the

Infringing Mark in commerce in connection with the advertising, sale, and provision of services

in such a manner as to create a likelihood of confusion among prospective purchasers and to

unfairly compete with Plaintiff. Defendant's use of the Infringing Mark induces purchasersand

others to believe, contrary to fact, that theservices sold by Defendant are rendered, sponsored,or

otherwise approvedby, or connected with, Plaintiff. Defendant's acts have damaged, impaired,

and diluted that part of Plaintiff s goodwill symbolized by its BARNS Marks to Plaintiffs

immediate and irreparable damage.

47. Defendant's unauthorized use of its Infringing Mark constitutes trademark

infringement, false endorsement, and unfair competition entitling Plaintiffto remedies pursuant

to Section 43(a) of the Trademark Act of 1946, 15 U.S.C. §1125(a).

48. Defendant's acts of trademark infringement, false endorsement, and unfair

competition have caused Plaintiff irreparable injury, loss of reputation, and pecuniarydamages.

Unless enjoined by this Court, Defendant will continue the acts of trademark infringement

complained of herein to Plaintiffs immediate and irreparable damage.

52. Without consent or permission from Plaintiff, Defendant has used and is using the

Infringing Mark in commerce in connection with the advertising, sale, and provision of services

in such a manner as to create a likelihood of confusion among prospective purchasers, thereby

inducing purchasers and others to believe, contrary to fact, that the services of Defendant are

rendered, sponsored, or otherwise approved by, or connected with. Plaintiff, which acts have

damaged, impaired, and diluted that part of the goodwill symbolized by Plaintiffs BARNS

Marks to Plaintiffs immediate and irreparable damage.

53. The nature, probable tendency, and effect of Defendant's use of the Infringing

Mark in the manner alleged is to enable Defendant to deceive the public by passing off its

services as being rendered, sponsored, or otherwise approved by or connected with Plaintiff.

54. Defendant's unauthorized use of the Infringing Mark in connection with the

advertising, sale, and provision of its services is likely to cause confusion, mistake, or deception

as to the source or origin of Defendant's services and constitutes infringement of Plaintiffs

55. Defendant's acts of infringement havecaused Plaintiff irreparable injury, loss of

reputation, and pecuniary damages. Unless enjoined by this Court, Defendant will continue these

59. Without consent or permission from Plaintiff, Defendant has used and is using the

Infringing Mark in commerce in connection with the unauthorized advertising, sale, and

provision of services in such a manner as to create a likelihood of confusion among prospective

purchasers and to unfairly compete with Plaintiff. Defendant's use of the Infringing Mark

induces purchasers into believing, contrary to fact, that the services sold by Defendant are

rendered, sponsored, or otherwise approved by, or connected with. Plaintiff. Defendant's actions

have damaged, impaired, and diluted that part of Plaintiff s goodwill symbolized by Plaintiffs

BARNS Marks, to Plaintiffs immediate and irreparable damage.

competition under the common law.

61. Defendant's acts of unfair competition have caused Plaintiff irreparable injury,

loss of reputation, and pecuniary damages. Unless enjoined by this Court, Defendant will

continue its acts of unfair competition and will continue to deceive the public and cause Plaintiff

immediate and irreparable damage.

Defendant has violated the Consumer Protection Act of the Commonwealth of Virginia.

64. Plaintiff is the owner of exclusive rights, title and interest in and to the distinctive

BARNS Marks as set forth in the preceding paragraphs of this Complaint.

65. Without consent or permission from Plaintiff, Defendant has used and is using the

Infringing Mark without Plaintiffs authorization in connection with services that are similar to

those offered by Plaintiff under its BARNS Marks.

66. Defendant has used and is using the Infringing Mark in such a manner as to

misrepresent that its provision of services under the Infringing Mark are sponsored, approved, or

otherwise authorized by Plaintiff; to misrepresent itself as having an affiliation, connection, or

association with Plaintiff; to misrepresent that its provision of services under the Infringing Mark

has certain qualities, characteristics, or benefits; and to use other deceptions, fraud, false

pretenses, false promises, or misrepresentations in connection with consumer transactions, which

acts of Defendant have damaged and impaired that part of Plaintiffs goodwill symbolized by the

BARNS Marks to Plaintiffs immediate and irreparable damage.

67. Defendant's use of the Infringing Mark in the matter alleged constitutes deceptive

trade practices of a type proscribed by Va. Code § 59.1-200.

68. Defendant 's unfair business practices are of a recurring nature and are harmful to

consumers and the public at large.

69. Defendant 's unfair and deceptive business practices have caused Plaintiff

irreparable injury, loss of reputation, and pecuniary damages. Unless enjoined by this Court,

Defendant will continue these acts of infringement, thereby deceiving the public and causing

Plaintiff immediate and irreparable damage.

WHEREFORE, Plaintiff prays for judgment against Defendant as follows:

(1) Pursuant to 15 U.S.C. §1116, the laws of the Commonwealth of Virginia, and the

common law, Defendantand each of its agents, servants, employees, attorneys, officers, and all

others in privity and acting in concert with them be permanently enjoined from:

(a) Using the Infringing Mark or any other trademark or service mark which would

imitate, resemble, or suggest Plaintiffs THE BARNS AT WOLF TRAP and THE

BARNS trademarks, including use of the domain name <barnsofrosehill.com> or

any other infringing domain names;

(b) Otherwise infringing Plaintiffs THE BARNS AT WOLF TRAP and THE

BARNS t rademarks; an d

(c) Unfairly competing with Plaintiff and otherwise injuring Plaintiffs business

reputation in any manner.

(2) Pursuant to 15 U.S.C. §1118, Defendant be directed to deliver up for destruction
