F.A.Q. 1: How much should I pay for a Giddy Up Ride? GUR: Our Affiliate start-up “turnkey” package start at $12,000. We offer 3 lucrative business opportunity packages.

GUR: Our Non-Affiliate start-up packages start at $1,400. We offer 7 lucrative business opportunity packages.

2: Do you charge Royalty and Marketing fees? GUR: No, we do not charge Royalty fee! We want our Affiliates to keep every bit of their profits. We do however charge for marketing fees which is necessary to keep our Giddy Up Rides current and desirable. As a part of on-going obligations, our Affiliates will pay a monthly marketing fee of approx $100/mo.

3: Will you help us find a location or will we have to find our own? GUR: Most Affiliates will actively find their location on their own unless they request our assistance. Once you locate an available space, you can provide us with the address and we will conduct a preliminary location assessment. Because of our “Protected Territory” policy, we need to make sure your proposed location does not overlap with existing Affiliates territory.

4: Are there any requirements on location? GUR: The average Giddy Up Rides store size is about 350-500 square foot. A high visibility location with busy foot traffic is a must. Also, a location surrounded by multiple stores is a plus. Locations can be indoor or outdoor.

5: How long does it usually take to have a store opened? GUR: Typically, it will take 2-3 months to open a store but the actual time depends on various factors, including lease negotiation, design and drawing, licenses, city permits, liability insurance, employee hire etc. It usually takes us 1-2 weeks to review your plans and drawings. Once we accept your location, you may sign a letter of intent with the landlord and an Affiliate agreement with us. After the completion of your location setup, we will conduct a review to insure that you are ready for your grand opening!

6: How much is average gross sales for a Giddy Up Rides location? GUR: The financial performance or profitability of a Giddy Up Rides location will vary, depending on store location, management skill, operation experience, and numerous other factors. An estimate of a proposed location would be too speculative to be meaningful. Thus, as a matter of policy, we do not make any earning claims. None of our employees or agents is authorized to provide you with projections to your earnings, sales, or profitability. We urge you to retain the services of experienced professionals such as financial advisers, lawyers, accountants, etc.

7: How many employees will I need? GUR: an average store location with 8-12 mechanical animals will require 1 Full Time employee.

8: Could I just purchase your products or receive training without becoming an Affiliate? GUR: We reserve the right to sell our product through various channels. Training without becoming our Affiliates will be considered upon proposal and circumstances.




Steps To Own (for Affiliates) Step 1: A. Submit the followings to Giddy Up Rides (G.U.R). Fill out a NDA form along with an Application.

B. G.U.R. will evaluate and inform you the result of your initial application within 3-5 business days.

C. After application review, we will send you a copy of our G.U.R business Opportunity programs which will outline our history, policies, agreements and various standards and procedures you will be required to follow. The information you received will help you to better understand Giddy Up Rides (G.U.R) operations.

Step 2: A. Inform G.U.R. of your desired Kiosk or mobile location by City and State. (minimum space qualifications of 225-500 sq ft (indoor/outdoor) should be met).

B. Inform the landlord of the proposed location you intend to open a Giddy Up Rides (G.U.R) and obtain information about the basic terms of the lease, such as length, rent, and the feasibility of operating the amusement ride at the location (applicable only to onsite operators).

C. G.U.R. will evaluate your proposed location and inform you of our acceptance of the location within 3-5 business days.

Step 3: A. Receive Lease agreement or Letter of Intent B. Establish a corporation or other business entity of your choice *(affiliates must use “Giddy Up Rides – (your name)”)

Step 4: A. Submit in-line or kiosk location blue print to G.U.R. B. Approval of amusement location blue print by G.U.R. or approval of amusement location blue print by location management or city. C. Begin lease contract & all business required license and reseller permits D. Start equipment purchase E. Set training date with G.U.R. F. Final inspection by G.U.R.

Step 5: Grand Opening!! Congratulations.

Note 1: Our acceptance of the proposed location does not equate to the success of the future business. It simply indicates that the location meets our minimum location requirements.

Note 2: You should consult with your attorney, commercial real estate agent in negotiating and finalizing the lease agreement. You should also consult your attorney or financial adviser whether to form a business entity, and the type of business entity, in conducting the business.




Training Programs

Giddy Up Rides Training Program:

We will provide initial training programs for you and your operators. Over the phone training is available at no cost which is included in your package purchased (for all Affiliates / Non-Affiliates). If on-site training is required, cost for California operators will be $500 and out-of-state at a minimum of a $1000. As well, training can be conducted in our facility (1528 Highland Avenue, Duarte, CA 91010). Over the phone training courses takes 1 hour & 8-16hrs if on-site. We anticipate that training will provide the business owners and their operators with a firm understanding of how to operate, maintain and grow their sales.

We may periodically offer additional training programs to you covering various subjects, such as new products, procedures, marketing, customer services, bookkeeping, and industrial/legal development. We may offer additional training programs once a year within the greater Los Angeles area. Fees ranging from $150-$300 per program maybe charged to cover our costs and administrative overhead. This program may last from 4-8 hours.

NDA Form / Confidentiality It is understood and agreed to that www.GiddyUpRides.com (“Plush Animal Amusement gliders”) and the signee (“Recipient”) would like to exchange certain information that may be considered confidential. To ensure the protection of such information and in consideration of the agreement to exchange said information, the parties agree as follows:

1. The confidential information to be disclosed by www.GiddyUpRides.com under this Agreement (”Confidential Information”) can be described as and includes technical and business information relating to www.GiddyUpRides.com proprietary ideas, patentable ideas copyrights and/or trade secrets, existing and/or contemplated products and services, research and development, production, costs, profit and margin information, finances and financial projections, customers, clients, marketing, and current or future business plans and models, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure.

2. Recipient shall use the Confidential Information only for the purpose of evaluating potential business and investment relationships with Animal Rides.

3. Recipient shall limit disclosure of Confidential Information within its own organization and shall not disclose Confidential Information to any third party (whether an individual, corporation, or other entity) without the prior written consent of www.GiddyUpRides.com .

4. This Agreement shall not be construed as creating, conveying, transferring, granting or conferring upon the Recipient any rights, license or authority in or to the information exchanged, except the limited right to use Confidential Information specified in paragraph 2. Furthermore and specifically, no license or conveyance of any intellectual property rights is granted or implied by this Agreement.

5. Both parties acknowledge and agree that the exchange of information under this Agreement shall not commit or bind either party to any present or future contractual relationship (except as specifically stated herein), nor shall the exchange of information be construed as an inducement to act or not to act in any given manner.

6. Neither party shall be liable to the other in any manner whatsoever for any decisions, obligations, costs or expenses incurred, changes in business practices, plans, organization, products, services, or otherwise, based on either party’s decision to use or rely on any information exchanged under this Agreement.

7. If there is a breach or threatened breach of any provision of this Agreement, it is agreed and understood that www.GiddyUpRides.com shall have no adequate remedy in money or other damages and accordingly shall be entitled to injunctive relief; provided however, no specification in this Agreement of any particular remedy shall be construed as a waiver or prohibition of any other remedies in the event of a breach or threatened breach of this Agreement.

8. This Agreement is made under and shall be construed according to the laws of the State of California. In the event that this agreement is breached, any and all disputes must be settled in a court of competent jurisdiction in the State of California

9. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole. WHEREFORE, the parties acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
