Thesetermsandconditionsshallapplytoalloffers,proposalsandagreementsmadebetweenOxfordUniversityPress(“OUP”)andanythirdpartyoritsagent(“theAdvertiser”)relatingtotheprovisionofadvertising(the“Advertising”)inOUP’sproducts,includingproductsOUPcreatesonbehalfofthirdparties(“theProducts”)and,alongwiththerelevantOxfordAdvertisingOrderConfirmation,shallformtheentireagreementbetweentheparties(the“Agreement”).TheAgreementsupersedesanyprevioustermsandconditions.AnygeneraltermsandconditionsproposedbytheAdvertisershallnotapplyandtheAgreementwillprevail.Unlessotherwisepermittedherein,anyvariationtotheAgreementandanyrepresentationsabouttheProductsshallhavenoeffectunlessexpresslyagreedinwritingandsignedbyanauthoriz edsignatoryofOUP.

EachorderforAdvertisingbytheAdvertiserfromOUPshallbedeemedtobeanofferbytheAdvertisertopurchasetheAdvertisingsubjecttotheAgreement.ByplacinganorderforAdvertisingwithOUPyouherebyagreetothesetermsandconditions.NoorderplacedbytheAdvertisershallbedeemedaccepteduntilanAdvertisingOrderConfirmationisissuedbyOUPor(ifearlier)OUPdeliverstheProductscontainingtheadvertisingcontent(the“Advertisement”)orissuestheinvoicetotheAdvertiser.Publishingerrors,including,butnotlimitedto,typographicalerrors,havingnosignificanteffectontheeditorialcontentordesigncharacteristicsoftheAdvertisement,cannotbeconsideredareasonformodifyingtheagreedprice.

UnlessotherwiseagreedbyOUPinwritingtheprice/ratesfortheAdvertisingshallbethosesetoutinOUP’sRateCard.Allsuchprices/ratesshallbeexclusiveofanyhandling,packing,loading,freight,transport,shrink-wrappingotheratypicalproductioncosts,andinsurancechargesunlessotherwiseagreedinwriting,andshallalsobeexclusiveofanytaxes,importdutiesorotherleviesimposedonthesaleorimportoftheProductsbylocalornationalauthorities,whichshallbechargedbyOUPasappropriate.Whereapplicable,theAdvertisershallprovidetoOUPClient’sVATregistrationnumberorcharitycertificateatthetimeofplacingitsorder.

Unlessotherwiseagreedinwriting(includingbyemail),paymentshallbeduewithinthirty(30)days’receiptbytheAdvertiseroftheinvoice,inthecurrencyinvoiced.Timeforpaymentshallbeoftheessence.OUPmaysetandvarycreditlimitsforanyAdvertiseraccountandshallbeentitledtorefusetosupplyanyAdvertiserwhohasexceededitscurrentcreditlimit.TheAdvertisershallmakeallpaymentsdueundertheAgreementwithoutanydeductionwhetherbywayofset-off,counterclaim,discount,abatementorotherwiseunlesstheAdvertiserhasavalidcourtorderrequiringanamountequaltosuchdeductiontobepaidbyOUPtotheAdvertiser.Fromtheduedateoftheinvoicetothedateofpaymentinfull,interestatthelesseroftherateof4%permonthorthehighestratepermissibleunderapplicablelawmaybechargedtotheAdvertiser,calculateddailyandcompoundedmonthly,foranysumsoutstanding,togetherwithcostsincurredbyOUPincollectinganylatepaymentsincludingreasonableattorneys’fees.IftheAdvertiserwishestodisputeanyinvoice(orpart),theAdvertisershall,assoonasreasonablypracticable,butnolaterthantheduedateofsuchinvoice,sendfulldetailsofsuchdisputetoOUPinwriting.TheAdvertisershallremainliableforanyundisputedpartofsuchinvoice.

TheAdvertiserissolelyresponsibleforensuringthattheproposedadvertisingcopyfortheAdvertisementisreceivedatOUPinelectronicform(orsuchotherformasspecifiedbyOUP)accordingtotheprintand/ordigitalmeasurements/specificationssetforthintheOUPMediaKitprovidedtotheAdvertiser,andwithintherelevantdeadlinesetbyOUPand/orcontainedontheAdvertisingOrderConfirmation(the“Deadline”).TheAdvertiserunderstandsthatfailuretomeetthespecificationsagreeduponbetweenOUPandtheAdvertisermayresultindelaystotheagreeduponstart-datefortheadvertisingcampaign(the“StartDate”).IftheAdvertisementhasnotbeensuppliedtoOUPbytheDeadline,OUPmaybeunabletoruntheAdvertisementand

mayatitsdiscretioneither:(i)delaytheStartDate;(ii)useanAdvertisementpreviouslyprovidedbytheAdvertiser;(iii)canceltheAdvertiser’sorder;or(iv)agreetoupdatedtermsinwriting

(includingbyemail).IntheeventofcancellationtheAdvertisermaybesubjecttoreasonablecancellationfees.OrdersforprintAdvertisingmadeaftertheDeadlinearenotguaranteedandthe

Advertisermayincuradditionalcharges.TheAdvertisershallretainacompletecopyofallmaterialsdeliveredtoOUP.OUPshalltakereasonablecarebutshallnotbeliableforaccidentallossor

damagethereto.Mail-outdatesofprintjournalissues(includingvoucher/checkingcopies)containingconfirmedAdvertisingareasestimatedintheOUPMediaKit.

OUPand,whereanassociationorsociety(collectivelyan“Association”)isassociatedwiththeOUPProduct,theAssociationexplicitlyretaintherighttorejectand/orrequestmodificationstotheAdvertisement.IntheeventtheAdvertisementisrejected,OUPwillusereasonableeffortstoprovidetheAdvertiserwithnotificationtoallowtheAdvertisertomodifyorsupplyasubstituteAdvertisement.IftheAdvertisementisrejectedandthemodifiedAdvertisementisnotreceivedbyOUPbeforetheDeadline,theAdvertisementshallbeconsideredpast-dueandthetermsofclause5,above,shallapply.Incorrectlysiz edAdvertisementswillbereturnedtotheAdvertiser(oritssupplier,asthecasemaybe)forcorrection.OUPwillbeentitledautomaticallytoadjusttheformatoftheAdvertisementtoensurethatitmeetsOUP’srequirements.

TheAdvertiserunderstandsandagreesthatend-userviewabilityoftheAdvertisinginamobileapplication(an“App”)willdependontheend-userdownloadingtheAppandallrelevantupdates,whichisbeyondOUP’scontrol;accordingly,itisacknowledgedthatAdvertisementsappearinginanAppmaynotbeviewableduringthecampaignbyallend-users.Similarly,intheeventanend-userdoesnotupdateanApp,theAdvertisementmayremainviewablebeyondtheend-dateofthecampaign.ItisunderstoodandagreedthatOUPshallbearnoliabilitywhatsoever,includingthattheAdvertisershallnotbeentitledtoanyrefunds,intheeventthatAppAdvertisingisnotviewableduringthecampaignorremainsviewableaftertheCampaign’send-dateduetotheseandsimilarcircumstances.

WithoutprejudicetoanyrightstheAdvertisermayhaveunderapplicablelaw,iftheAdvertisercancelsanordereitherfullyorpartiallyacancellationfeemaybecharged.Allcancellationsmustbemadeinwriting.Thisfeewillbecalculatedtocoveranyexternalorinternalcostswhichhavebeenincurredorcommitteduptoandincludingthedateofcancellation.Nonewexternalcostswillbeincurredorcommitted/contractedfromthedateofreceiptofwrittennoticeofcancellationbyOUP.OrdersforAdvertisingsmustbecancelledinwriting(includingbyemail)priortotheDeadline,andintheeventthatanycancellationsaremadeaftersuchdate,OUPshallbeentitledtochargetheAdvertiserthefullcostoftheAdvertising.Requestsforvoucher/checkingcopiesand/orscreenshotsmustbemadeatorpriortotheorderstage.OUPcannotguaranteetheprovisionofanyvoucher/checkingcopiesrequestedafterpublicationoftheProduct.

CopyrightandotherintellectualpropertyrightstoallOUPproposals,publicationsandotherProductsshallremainwithOUPunlessagreedotherwiseinwritingsignedbybothparties.TheAdvertisershallnotacquireanyintellectualpropertyrightsintheProducts.NopartoftheOUPproposals,publicationsorProductsmaybestoredinanyautomateddatafileand/orreproduced,whetherelectronically,echanically,byphotocopying,recordingorinanyothermannerorform,withoutthespecificpriorwrittenpermissionofOUP.

OUPreservestherighttorejectanyAdvertisementthatisnotconsistentwithOUP’sand/ortheAssociations’relevantAssociation’sstandards.Inaddition,OUPshallhavetheright,atanytime,toremoveanyAdvertisementand/orterminatethisAgreementifOUPdetermines,initssolediscretion,thattheAdvertisementoranyportionthereof(1)violatesOUP’sand/ortheAssociation’spolicies;(2)violatesanylaw,ruleorregulationorindustrycodeorifOUPisdirectedtodosobyanylawenforcementagency,courtorgovernmentagency;(3)isthesubjectofaclaimassertedbyanentitywithrespecttoitstrademarks,tradenames,servicemarksorotherproprietaryrights;or(4)isotherwiseobjectionabletoOUP.Insuchevent,OUPmayeither(i)publishanalternativeAdvertisementinconsultationwiththeAdvertiserandonascheduletobedeterminebyOUPinitssolediscretion;or(ii)cancelthisAgreement.Insuchevent,theAdvertiserwillberesponsibleforanyandallcostsandfeesassociatedwithremovingand/ormodifyingtheAdvertisement.OUPwillnotbeliableforthetimelyappearanceoraccuracyofanyAdvertisementsuppliedbytheAdvertiser.OUPmayterminatethisAgreementatanytime:(i)intheeventofabreachofthisAgreementbytheAdvertiser;(ii)iftheAdvertiserwillhaveareceiveroradministrativereceiverappointedoverit,oroveranypartofitsundertakingorassetsorwillpassaresolutionforwindingup(otherwisethanforthepurposeofabonafideschemeofsolventamalgamationorreconstruction)oracourtofcompetentjurisdictionwillmakeanordertothateffectoriftheotherpartywillenterintoanyvoluntaryarrangementwithitscreditorsorwillbecomesubjecttoanadministrationorderorifsuchpartyisinanyequivalentsituationunderitsownjurisdiction;or(iii)ifthisAgreementisassignedorotherwisetransferredtoadirectcompetitorofthenon-transferringparty.Ordersmustspecifyadefinitescheduleofinsertions,issuesandsiz esofspacefortheAdvertiser.TwoormoreAdvertisersarenotpermittedtousespaceunderthesameorder.Noadvertisingorderswillbeacceptedforperiodslongerthanoneyear.WhereanorderforaseriesofadvertisementshasbeengivenadiscountedrateforvolumebyOUP,andtheAdvertiserdoesnotorderthequotedvolume,OUPshallbeentitledtore-calculatethepricefortheactualvolumeattheendoftheapplicableyearatareduceddiscountandtheAdvertisershallpayanyadditionalamountfoundowingtoOUP.

TOTHEMAXIMUMEXTENTPERMITTEDBYRELEVANTLAWS(i)OUPshallnotbeliableforanyofthefollowinglosseswhichmayarisebyreasonofanybreachofthisAgreementoranyimpliedwarranty,conditionorotherterm,anyrepresentationoranydutyofanykindimposedonOUPbyoperationoflaw:(a)anylossofanticipatedprofitsorexpectedfuturebusiness;(b)damagetoreputationorgoodwill;(c)anydamages,costsorexpensespayablebytheAdvertisertoanythirdparty;(d)lossofanyorderorcontract;or(e)anylossthatwasnotforeseeablebytheAdvertiserandOUPatthetimethisAgreementwasenteredinto;or(f)anylossnotcausedbyanybreachonthepartofOUP;AND(ii)NEITHERPARTYSHALLBERESPONSIBLEFORDEATHORPERSONALINJURYEXCEPTTHATRESULTINGFROMITSOWNNEGLIGENCEORWILFULINTENTORTHENEGLIGENCEOFITSEMPLOYEESOROTHERSFORWHOMTHEPARTYISLEGALLYRESPONSIBLE.NOTHINGINTHEAGREEMENTSHALLBECONSTRUEDASCREATINGANOBLIGATIONTOINDEMNIFYTHEOTHERPARTYAGAINSTTHEOTHERPARTY’SOWNNEGLIGENCE.OUP’SLIABILITYFORANYOTHERLOSSIMPUTABLETOITSHALLINANYEVENTBELIMITEDTOTHEINVOICEVALUEOFTHEPARTOFTHEAGREEMENTTOWHICHTHELIABILITYARISES.TOTHEMAXIMUMEXTENTPERMITTED

BYRELEVANTLAWSOUPEXPRESSLYEXCLUDESANYLIABILITYFORBREACHOFANYIMPLIEDOREXPRESSWARRANTYOFASTOMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.

NOTHINGINTHISCONTRACTSHALLLIMITTHEADVERTISER’SEXISTINGLEGALORSTATUTORYRIGHTSWHEREITISACTINGASACONSUMER.Moreover,nothinginthisclauseshalllimiteither

party’sliabilityfordeathorpersonalinjury,fraudormisrepresentationoranyotherliabilitythatcannotbeexcludedorlimitedbylaw.TheAdvertiserhasenteredintothisAgreementwiththe

knowledgethattheliabilityofOUPistobelimitedinaccordancewiththesetermsandconditionsandthechargeshavebeenagreedaccordingly.TheAdvertiseracknowledgesthatahigher

pricewouldbepayablefortheAdvertisingbutforsuchlimitations.

TheAdvertiserissolelyresponsibleforanylegalliabilityarisingoutoforrelatingtoanyoftheAdvertising/Advertisement.TheAdvertiserrepresentsandwarrantsthat(i)theAdvertiserholdsthenecessaryrightstopermittheuseoftheAdvertisementbyOUPforthepurposesofthisAgreement;(ii)theuse,reproduction,distribution,ortransmissionoftheAdvertisementwillnotviolateanycivilorcriminallaws,rulesorregulationsorindustrycodesoranyrightsofanythirdpartiesincluding,butnotlimitedto,infringementormisappropriationofanycopyright,patent,trademark,tradesecret,music,image,orotherproprietaryorpropertyright,falseadvertising,unfaircompetition,defamation,invasionofprivacyorpublicityrights,violationofanyanti-discriminationlaworregulation,oranyotherrightofanypersonorentity;(iii)theAdvertisementcomplieswithanyapplicablelaws,rules,industrycodes,regulationsandgenerallyprevailingcustomandpractice.TheAdvertiseragreestoindemnifyOUPandtoholdOUPharmlessfromanyandallliability,loss,damages,claims,orcausesofaction,includingreasonablelegalfeesandexpensesincurredbyOUP,arisingoutoforrelatedtotheAdvertising/AdvertisementortheAdvertiser’sbreachorallegedbreachofanyoftheforegoingrepresentationsandwarranties.

Ifbyreasonoflabordispute,strikes,inabilitytoobtainlaborormaterials,fireorotheractionoftheelements,accidents,powerortelecommunicationsfailure,customsdelays,governmentalrestrictionsorappropriationorothercausesbeyondthecontrolofaparty,suchpartyisunabletoperforminwholeorinpartitsobligationssetforthinthisAgreement,thensuchpartyshallberelievedofthoseobligationstotheextentitistherebyunabletoperform,andsuchinabilitytoperformshallnotmakesuchpartyliabletoanyotherparty.ThepartysubjecttoaneventofforcemajeureshallusegoodfaitheffortstocomplyascloselyaspossiblewiththeprovisionsofthisAgreementandtoavoidtheeffectsofsucheventtotheextentpossible.
