QUALITY CLAUSES TO INCLUDE IN THE PURCHASE DOCUMENTS

EMPRESAS DE SERVICIOS E INGENIERIA (ES)

GENERAL: DERECHO DE ACCESO: El personal de Aciturri o del Cliente Final, la Autoridad Aeronáutica Nacional (AESA) o el Representante de Aseguramiento de Calidad (RAC) o cualquier otra persona designada por el Comprador tendrá libre acceso a las instalaciones del suministrador, así como de su cadena de cooperantes, para presenciar pruebas, revisar información documentada, realizar fotografías a los productos, o cualquier otra práctica que la Dirección de G. de Calidad de Aciturri, considere necesaria durante cualquier etapa del flujo productivo, no eximiendo en ningún caso al suministrador de la responsabilidad del Producto fabricado.

AUDITORIAS/AACC:

Si como consecuencia del desarrollo de las actividades del suministrador, se detectasen no conformidades o deficiencias en el desempeño, podrá llevarse a cabo auditorías relativas a sus actividades y/o solicitarse planes de acciones correctivas para la resolución de tales anomalías.

KPI´s DE DESEMPEÑO:

A requerimiento de ACITURRI, el suministrador deberá establecer indicadores para la determinación del grado de madurez de los servicios realizados. Dichos indicadores deberán ser aceptados por ACITURRI.

CUALIFICACION DE PERSONAL:

Para el personal subcontratado que realice actividades en las instalaciones de ACITURRI, la cualificación del personal se realizará de acuerdo con los procedimientos internos de ACITURRI. Cuando las actividades a realizar por el suministrador se encuentren vinculadas a elementos avionables se requerirá que la realización de cursos y capacitación del personal se haya llevado a cabo antes del comienzo de los trabajos. No estarán permitidas las sustituciones del personal sin la previa autorización de ACITURRI. Para las empresas que realicen actividades de fabricación dentro de las instalaciones de ACITURRI se requerirá una skill matrix con la relación de personas asignadas al proyecto y su nivel de cualificación. Esta skill matrix será actualizada con frecuencia trimestral y estará disponible para ACITURRI.

SEGURIDAD RESPECTO AERONAVEGABILIDAD Y COMPORTAMIENTO ETICO:

El suministrador se asegurará que el personal es consciente de los requisitos de conformidad y seguridad aeronáutica de los productos bajo su responsabilidad y mantendrá un comportamiento ético en cuanto a notificación transparente de elementos que puedan afectar a la conformidad o a la seguridad. El comportamiento ético se extenderá al seguimiento del código ético editado por ACITURRI.

SUBCONTRATISTAS: El suministrador se asegurará de desplegar los requisitos aplicables a los proveedores externos, incluyendo los requisitos del cliente final si le fueran aplicables. Para las empresas de ingeniería se aplicarán los criterios de obsolescencia que aseguren la vida en servicio de los productos a entregar.

SISTEMA DE CALIDAD:

El suministrador de servicios tendrá implantado un Sistema de G. de Calidad, basado en la última edición de la norma EN9100/AS9100. Deberá cumplir los requisitos del Sistema de Calidad y de cualificación según EP-39 “Cualificación de empresas subcontratadas de Ingeniería”. MEDIOAMBIENTAL:

Con el fin de evitar incidentes medioambientales durante la realización de los trabajos contratados para ACITURRI, el suministrador adoptará, con carácter general las medidas preventivas oportunas que dictan las buenas prácticas de gestión medioambiental, en especial las relativas a evitar vertidos y emisiones a la atmósfera contaminantes y el abandono de cualquier tipo de residuo, con especial atención a la correcta gestión de los definidos como peligrosos. Asimismo, el suministrador adoptará las medidas oportunas para el cumplimiento de la legislación medioambiental vigente (comunitaria, estatal, autonómica y local) que sea de aplicación al trabajo realizado.




ENGINEERING SERVICE COMPANIES

GENERAL:

AUDITS / AACC / PREVENTION: If as a result of the development of the activities of the supplier, are detected nonconformity or performance deficiencies, may be carried out audits of their activities and / or plans requested corrective and preventive actions to resolve such anomalies. SUBCONTRACTORS: The supplier will assure the deployment of the requirements applicable to external suppliers, including the requirements of the final customer if applicable. For the engineering companies, the obsolescence criteria will be applied in order to assure the service life of the products to be delivered.

QUALITY SYSTEM: It must meet the requirements of the Quality System and qualification according to EP-39 "Qualification of companies’ subcontractors engineering. The service provider will have implemented a system G. Quality, based on the latest edition of EN9100/AS9100.

ENVIRONMENTAL: In order to avoid environmental incidents suppliers shall adopt all preventives measures originates in environmental good practices, especially those related to avoid dumping and polluting emissions to atmosphere, and the non-treatment of waste, specially toxic waste. Suppliers also will assure to fulfill all environmental legal requirements (EU, national or others) applicable to the works.




FABRICANTE DE MATERIA PRIMA Y ESTANDARES (F)

GENERAL:

DERECHO DE ACCESO: El personal de Aciturri o del Cliente Final, la Autoridad Aeronáutica Nacional (AESA) o el Representante de Aseguramiento de Calidad (RAC) o cualquier otra persona designada por el Comprador tendrá libre acceso a las instalaciones del suministrador, así como de su cadena de cooperantes, para presenciar pruebas, revisar información documentada, realizar fotografías a los productos, o cualquier otra práctica que la Dirección de G. de Calidad de Aciturri, considere necesaria durante cualquier etapa del flujo productivo, no eximiendo en ningún caso al suministrador de la responsabilidad del Producto fabricado.

El suministrador mantendrá archivados durante al menos diez años a partir del envío de los elementos, los documentos de ensayos e inspección, etc., así como los datos de control que cubran el producto final de cada pedido, pudiendo estar en soporte informático a partir de los dos años a la finalización del tal periodo el suministrador solicitará instrucciones para su destrucción o su entrega a la Dirección de Calidad de Aciturri.

El suministrador se asegurará que conforme a EN9100/AS 9100 y AS9120 tiene los medios para la prevención del suministro de piezas falsificadas o sospechosas de serlo y tiene aplicado los requisitos para asegurar la trazabilidad de las piezas y componentes a los fabricantes originales o autorizados.

SISTEMA DE CALIDAD:

El suministrador tendrá implantado un sistema de calidad basado en la última edición de la norma EN9100/AS9100 o ISO 9001.

PRODUCTO:

CC+TR MAT CADUCABLE: El material debe ser enviado con un Certificado de conformidad de acuerdo a la especificación descrita en cada línea del pedido. Juna a los productos solicitados se incluirá (dentro de las cajas) Test Report y certificado de conformidad. Cualquier desviación encontrada debe ser consultada y solicitada autorización previa al envío al departamento de Calidad de Aciturri. Ante cualquier ausencia documental, anomalía o desviación durante la recepción, se procederá a realizar un informe de discrepancia (ID). El material deberá ser enviado dentro del 80% de su vida útil calculada a partir de la fecha de fabricación.

CC MAT NO CADUCABLE: El material debe ser enviado con un Certificado de Conformidad de acuerdo a la especificación descrita en cada línea del pedido. Cualquier desviación encontrada debe ser consultada y solicitada autorización previa al envío al departamento de Calidad de Aciturri. Ante cualquier ausencia documental, anomalía o desviación durante la recepción, se procederá a realizar un informe de discrepancia (ID) lo que impedirá la aceptación final de los productos.

CC MAT CADUCABLE: El material debe ser enviado con un Certificado de conformidad de acuerdo a la especificación descrita en cada línea del pedido. TRANSPORTE EN CONDICIONES ESPECIALES: Si la especificación lo requiere, el material será transportado en las condiciones que aseguran la perfecta conservación de sus propiedades, debiendo ser entregado con los correspondientes registros de temperatura y/o registros que determinen que se han mantenido todas condiciones especiales durante el transporte.

MEDIOAMBIENTAL:

El suministrador deberá informar a ACITURRI de las sustancias contenidas en los productos suministrador en cumplimiento con la normativa REACH, aun cuando estas sustancias se encuentren en cantidades menores al umbral establecido legalmente. A estos efectos el artículo será cada part number suministrado.




EMBALAJE:

Piezas y conjuntos siempre tienen que venir identificados, etiquetados, con documentación de entrega aplicable que garantice su trazabilidad.

Los embalajes deberán ser consistentes, resistentes para el peso que vayan a soportar, limpios, sin virutas, ni grasas, aceites, humedades u otras partículas extrañas para garantizar su correcto estado a la entrega, esto es, sin golpes, roces y otros daños.

Los elementos se recibirán siempre limpios, secos, libres de materias extrañas, aceites, lubricantes y siempre protegidos con plástico antioxidante y con elementos que garanticen su total inmovilización.

CHAPA:

Esta condición solo aplica para chapas. IMPORTANTE.- El material suministrado (chapa) debe estar protegido adecuadamente con papel adhesivo en ambos lados para evitar daños en la superficie. No aceptaremos arañazos, marcas, corrosión o cualquier otro defecto superficial en el material.




MANUFACTURER OF RAW MATERIAL AND STANDARDS

GENERAL:

RIGHT OF ACCESS:

The staff of Aciturri or of the Final Client, the National Aeronautical Authority (AESA) or the Quality Assurance Representative (RAC) or any other person designated by the Purchaser will have free access to the facilities of the supplier, as well as its sub-tiers. , to witness tests, to review documented information, take photographs of the products, or any other practice that Aciturri's G. Your company shall send with the products (inside the boxes)the test report and certificate of conformance stating that the products are of new manufacture and meet the requirements in standard specifications. Any deviation agreed must be detailed thereon and must be authorized by Aciturri Quality Department. If our receiving department does not dispose of the documentation at the moment of accomplishing the receiving inspection, then we will proceed to drawing up a discrepancy report (ID) which impedes the final acceptance of the products. No more than 80% of product life must be used before delivery.

Any deviation agreed must be detailed thereon. Special transport conditions: If the specification requires for transport in special conditions to assure the maintenance of the optimal characteristic of the material, temperature and/or special conditions of transport records will be deliver with it to verify that the special transport conditions has been kept during the transport

ENVIRONMETAL: The supplier shall inform ACITURRI of the substances contained in products supplier in compliance with the REACH regulation, even when these substances are present in quantities less than the legal threshold. To this end the item will be supplied each part number.




PACKAGIN: Parts and assemblies always have to come identified, labeled, with applicable delivery documentation to ensure traceability. The packaging must be consistent, resistant to the weight they will support, clean, no chips, no grease, oil, moisture or other foreign particles to ensure proper delivery condition, ie without shock, scratches and other damage. The elements will always be clean, dry, free of foreign materials, oil, lubricants and always protected with plastic antioxidant and elements to guarantee their complete immobilization.

SHEET

This condition only applies for sheets. IMPORTANT. - Supplied material (sheet) must be properly protected by adhesive paper on both sides to avoid any surface damage. We will not accept scratches, marks, corrosion any other surface defects in the material.




DISTRIBUIDOR Y AGENTES /REPRESENTANTES COMERCIALES (D)

GENERAL:

Solo está autorizado a gestionar productos fabricados por Suministradores aprobados por ACITURRI. Cuando el producto a ser suministrado se encuentre bajo una especificación que tenga una lista de suministradores cualificados, el fabricante de dichos productos debe estar incluido en esta lista así como en el Catálogo de Suministradores aprobados por ACITURRI.

En el caso de ser ALMACENISTA, deberá mantener la trazabilidad de los productos obtenidos de fabricantes aprobados por ACITURRI.

No están autorizados a modificar los productos en modo alguno.

El comportamiento ético se extenderá al seguimiento del código de conducta editado por ACITURRI. SISTEMA DE CALIDAD: Los distribuidores, agentes y/o representantes comerciales deberán tener implementado un sistema de calidad (aplicable a los materiales suministrados), basado en la última publicación de la EN9120/AS9120. Si se trata de material no aeronáutico, la especificación aplicable será la ISO 9001.

PRODUCTO:

CC + TR: El material debe ser enviado con un Certificado de Conformidad de acuerdo a l especificación descrita en cada línea del pedido. Junto a los productos solicitados se incluirá (dentro de las cajas) Test Report y Certificado de Conformidad. Cualquier desviación encontrada debe ser consultada y solicitada autorización previo al envío al departamento de Calidad de ACITURRI (CoC del distribuidor + CoC y Test Report fabricante). Si el material es entregado por un distribuidor que no sea el asignado en las Listas de Cualificación del cliente, se facilitará copia de la documentación original (CoC y TR) del fabricante aprobado por el cliente mostrando trazabilidad entre los datos del fabricante original y los enviados por el distribuidor. Ante cualquier ausencia documental, anomalía o desviación durante la recepción, se procederá a realizar un informe de discrepancia (ID) lo que impedirá la aceptación final de los productos.

MATERIAL PARA ENSAYOS NO AVIONABLE: Se requiere para su recepción un Certificado de Conformidad del fabricante en el que se detallen los ensayos que se le han realizado al material frente a los valores teóricos/especificación a cumplir.

CC: El material deber ser enviado con un Certificado de Conformidad de acuerdo a la especificación descrita en cada línea del pedido. Junto a los productos solicitados se incluirá (dentro de las cajas) Certificado de Conformidad del fabricante. Cualquier desviación encontrada debe ser consultada, y solicitada autorización previo al envío al departamento de calidad de Aciturri (CoC del distribuidor + CoC fabricante). Si el material es entregado por un distribuidor que no sea el asignado en la Listas de Cualificación del cliente, se facilitará copia de la documentación original (CoC) del fabricante aprobado por el cliente mostrando trazabilidad entre los datos del fabricante original y los enviados por el distribuidor. Ante cualquier ausencia




documental, anomalía o desviación durante la recepción, se procederá a realizar un informe de discrepancia (ID) lo que impedirá la aceptación final de los productos.

DISTRIBUTOR AND AGENT / COMMERCIAL OFFICE

GENERAL:

Managing of products, fabricated by authorized suppliers by ACITURRI, is only authorized. When the product to be supplied regards a specification describing a list of products and qualified manufacturers, the product manufacturer shall include into the list and into the ACITURRI approved Supplier Catalogue.

In case of to be certified by ACITURRI as shopkeeper, must to maintain the traceability of the products obtained from the approved manufacturers y ACITURRI.

The distributor or agent / commercial office by itself is not authorised to modify anyway the products.

RIGHT OF ACCESS:


The supplier shall ensure that in accordance with EN9100 / AS9100 and AS9120 has the means to prevent the supply of counterfeit or suspected parts and has applied the requirements to ensure the traceability of the parts and components to the original or authorized manufacturers.

Your company shall send with the products (inside the boxes) the Test Report and Certificate of Conformance stating that the products are of new manufacture and meet the requirements in standard specifications. Any deviation agreed must be detailed thereon and must be authorized by Aciturri Quality Department. If the material is delivered by a distributor not assigned to it in customer Qualified Part List, supplier will deliver a copy of the original documentation (CoC and TR) of the QPL customer assigned manufacturer showing trazability between original data and distributor data. If our receiving department does not dispose of the documentation at the moment of accomplishing the receiving inspection, then we will proceed to drawing up a discrepancy report (ID) which impedes the final acceptance of the products

NO MATERIAL TESTING AVIONABLE For the material incoming inspection is required Certificate of Conformance from the manufacturer with all test done against required values according its specifications, if it exists.

QUALITY CLAUSES WITH CC Material will be delivered with a Certificate of conformance according to specification described on each line of the PO.

COMO ALTERNATIVA DE TODAS ESTAS CLAUSULAS SE PUEDE PONER: Esta usted clasificado como Subcontratista clase I / Clase II y debe cumplir las

clausulas definidas en el PSC-20

GENERAL:

DERECHO DE ACCESO: El personal de Aciturri o del Cliente Final, la Autoridad Aeronáutica Nacional (AESA) o el Representante de Aseguramiento de Calidad (RAC) o cualquier otra persona designada por el Comprador tendrá libre acceso a las instalaciones del suministrador, así como de su cadena de cooperantes, para presenciar pruebas, revisar información documentada, realizar fotografías a los productos, o cualquier otra práctica que la Dirección de G. de Calidad de Aciturri, considere necesaria durante cualquier etapa del flujo productivo, no eximiendo en ningún caso al suministrador de la responsabilidad del Producto fabricado. El suministrador mantendrá archivados durante al menos diez años a partir del envío de los elementos, los documentos de ensayos e inspección, etc., así como los datos de control que cubran el producto final de cada pedido, pudiendo estar en soporte informático a partir de los dos años, a la finalización del tal periodo el suministrador solicitará instrucciones para su destrucción o su entrega a la Dirección de Calidad de Aciturri. El suministrador mandará con cada envío el albarán, el certificado de ensayos (Test Report) (y/o guardará a disposición de ACITURRI) cuando sea aplicable y el certificado de conformidad, estableciendo la conformidad de los productos con los requerimientos de los planos, normas y especificaciones (última

edición aplicable) detallándose cualquier desviación acordada.

En caso de no disponer de los documentos mencionados en el momento de recibir el producto se procederá a emitir un informe de discrepancia (ID) que impedirá la aceptación final del producto por parte de ACITURRI.

Cualquier actualización de la documentación soporte PSC-20 de ACITURRI se considerará aplicable.

SEGURIDAD RESPECTO AERONAVEGABILIDAD Y COMPORTAMIENTO ETICO: El suministrador se asegurará que el personal es consciente de los requisitos de conformidad y seguridad aeronáutica de los productos bajo su responsabilidad y mantendrá un comportamiento ético en cuanto a notificación transparente de elementos que puedan afectar a la conformidad o a la seguridad. El comportamiento ético se extenderá al seguimiento del código de conducta editado por ACITURRI.

SUBCONTRATISTAS: El suministrador se asegurará de desplegar los requisitos aplicables a los proveedores externos, incluyendo los requisitos del cliente final si le fueran aplicables. El suministrador se asegurará que conforme a EN9100/ AS9100 tiene los medios para la prevención del suministro de piezas falsificadas o sospechosas de serlo y tiene aplicado los requisitos para asegurar la trazabilidad de las piezas y componentes a los fabricantes originales o autorizados.

SISTEMA DE CALIDAD:

Con anterioridad al inicio de los trabajos, el Suministrador deberá demostrar tener un sistema de calidad certificado EN9100/AS9100 para productos aeronáuticos, así mismo deberá informar de cada subcontratista utilizado con objeto de que sea aceptado por Aciturri. Si se trata de material no aeronáutico, la especificación aplicable será la ISO 9001.

A criterio de la Dirección de Calidad el subcontratista deberá editar en un Plan de Calidad elaborado por él, que cubra todas las actividades, tanto suyas como de sus cooperantes, necesarias para el cumplimiento de los requisitos especificados de los productos, proyectos o contratos, debiendo estar dicho plan a disposición de ACITURRI para su revisión y aprobación, previo al comienzo de los trabajos asignados.

La ausencia del Plan de Calidad supondrá un tratamiento singular que deberá ser sometido a la Dirección de Calidad de ACITURRI hasta la existencia de dicho plan.

Cuando sea requerido se solicitara APQP.




ESPECIFICAS:

Se entenderá que el PLANO es el documento contractual que define el producto, siendo las especificaciones, normas y otros documentos vinculados al mismo también de obligado cumplimiento.

El subcontratista será el responsable de la conformidad de su producción en función de la documentación enviada por ACITURRI.

En el caso de que la decisión de ACITURRI sea efectuar inspección en origen, el subcontratista deberá notificar a ACITURRI la finalización y aceptación de la inspección del trabajo subcontratado para que ACITURRI pueda efectuar la inspección en origen, al menor con tres días hábiles de antelación.

El subcontratista deberá informar de cada subcontratista utilizado con objeto de que sea aceptado por ACITURRI.

El subcontratista a su vez no está autorizado a transferir un trabajo o parte del mismo un lugar fuera de sus instalaciones. Si el subcontratista necesitara transferir parte del trabajo asignado fuera de sus instalaciones deberá presentar a ACITURRI un Plan de Control detallado para su aprobación.

El subcontratista mantendrá la confidencialidad de los trabajos que realice para ACITURRI solicitando si lo considera oportuno su difusión, siendo estudiado en ese caso.

El subcontratista no suministrará elemento alguno del proyecto para el que ha contratado, inclusive los dado por inútiles a ninguna otra entidad que no sea ACITURRI.

Cualquier discrepancia del producto detectada en el cliente final por incumplimiento de las condiciones de entrega según la documentación aplicable, deberá ser atendida por el subcontratista conjuntamente con ACITURRI.

Si el subcontratista está obligado a garantizar que las operaciones de fabricación, inspección, protección, etc., se muestren en las Órdenes de Fabricación, la primera de ellas será remitida a ACITURRI para su revisión y aprobación.

El subcontratista facilitará las evidencias documentales a ACITURRI que muestren que las instalaciones, los equipos y el personal involucrados en los procesos especiales han sido revisados, cualificados y aprobados y que son controlados en todo momento. Si el Subcontratista está en proceso de validación, el dosier de certificación será remitido por ACTITURRI al cliente.

Para los procesos END, el Subcontratista dispondrá al menos del soporte de un Nivel III válido para cada una de las técnicas END aplicables (internamente o a través de una agencia externa).

El tratamiento y disposición de los elementos no conformes será desarrollado en el correspondiente Plan de Calidad.

El Subcontratista facilitará a ACITURRI los datos e informes relevantes relacionados con los productos no conformes ya enviados, donde la fiabilidad o las operaciones de seguridad pudieran resultan afectadas. Esta información incluirá una descripción clara de la no conformidad, la designación de la pieza/componente incluyendo los datos completos de su identificación que den lugar a una concisa y unívoca identificación de la pieza afectada, P/N´s, cantidad enviada, fechas de envío, etc.

El Subcontratista no está autorizado ni a liberar ni enviar una pieza a ACITURRI con una no conformidad no resuelta sin que haya sido previamente aceptada por escrito.

La aceptación de una No conformidad, no se podrá utilizar como argumento para la aceptación de desviaciones similares por parte del Subcontratista.

Las aceptaciones de materiales que supongan trabajos complementarios en ACITURRI, podrán ser trasladadas una vez que se valoren a los Subcontratistas que las produjeron.

El Subcontratista será responsable de las no conformidades que hayan sido producidas bajo su responsabilidad, aun cuando hayan sido detectadas en productos ya enviados a ACITURRI o ya en servicio, independientemente de la finalización del contrato. El suministrador asistirá a ACITURRI en el análisis de los problemas derivados, así como en la determinación de la causa raíz referente a los elementos enviados a ACITURRI.

El subcontratista propondrá y establecerá un sistema (trazabilidad) que una vez aprobado por ACITURRI garantice el control respecto de la situación de los elementos de entrega, incluida materia prima.




El Subcontratista será responsable de los utillajes que utilice en la fabricación y verificación de los elementos controlados, de tal forma que se asegure la obtención de elementos conformes a través de los mismos.

El Subcontratista dispondrá de los medios y evidencias objetivas para demostrar que se llevan a cabo los controles que aseguren la bondad (calibraciones si aplican) de los útiles/equipos necesarios para el proyecto de que se trate. La subcontratación de calibraciones podrá llevarse a cabo siempre que se demuestre la trazabilidad con patrones reconocidos (ENAC).

Las reparaciones sobre los útiles que afecten a la configuración de los mismos, deberán ser notificadas a ACITURRI, antes de iniciar dicha reparación.

El mantenimiento y la verificación periódica de los útiles serán a cargo del Subcontratista. El Subcontratista será responsable del buen uso del utillaje.

El Subcontratista asegurará que el sistema de protección de los elementos de entrega, es adecuado para evitar deterioros (golpes, roces) durante su transporte y su manejo hasta la situación de su uso en ACITURRI.

Las condiciones especiales de embalaje estarán definidas en la documentación aplicable.

PECAL:

En cumplimiento con PECAL 2110/2120 el RAC (del Ministerio de Defensa Español) y/o el Comprador deberán tener acceso libre a sus instalaciones para realizar actividades de Aseguramiento de la Calidad de los materiales/productos suministrados. Todos los requisitos de este contrato/pedido pueden estar sometidos a Aseguramiento oficial de la Calidad. Se le notificará de cualquier actividad de aseguramiento oficial de la calidad que se le vaya a realizar.

MEDIOAMBIENTAL:


ADICIONALES:

Se requiere la realización de IPA en la primera pieza fabricada de cada Part Number y se deberá enviar para su aprobación a ACITURRI antes de la entrega. Este IPA debe realizarse según la EN9120/AS9120 y debe incluir la trazabilidad y certificados de materia prima, dimensionales, etc., utilizados durante la fabricación e inspección. Se debe comunicar la disponibilidad del IPA por el subcontratista al menos 3 días antes de su finalización, para la aceptación en origen del IPA por parte de ACITURRI si así se decide. Tras la aprobación del IPA, cualquier cambio en el proceso, producto, materiales o medios de fabricación que pueda alterar los resultados del IPA anterior, necesitará la aprobación de ACITURRI y la realización de un nuevo IPA.

REVISION DOCUMENTACION APLICABLE:

La revisión de la documentación aplicable será la última distribuida por Gestión Documental de Aciturri, a no ser que se indique específicamente otra revisión en el pedido.




SUBCONTRACTORS CLASS I (Design and/or manufacture) CLASS II (Of manufacture)

GENERAL:

RIGHT OF ACCESS:


The Supplier shall keep stored , for at least seven (10) years from the shipment of the parts, all testing and inspection documents, etc., as well as the control data that covers the end product of each order, being able to be in electronic form as from the second year. At the end of such period, the supplier may ask to Aciturri’s Quality Assurance Department how to proceed with their destruction or delivery to the Quality Management of Aciturri.

The supplier will send the delivery note, the test certificate and / or the certificate of conformity to ACITURRI when applicable and the certificate of conformity, establishing the conformity of the products with the requirements of the plans, standards and specifications (last applicable edition) ) detailing any agreed deviation.

If the required documentation is not available in the moment of the reception of the products, Aciturri shall open a discrepancy report (ID) which shall avoid the product’s final acceptance at ACITURRI.

Every update of ACITURRI’s PSC-20 documentation will be considered applicable.

AIRWORTHINESS SAFETY AND ETHICAL BEHAVIOR: The supplier shall ensure that the personnel is aware of the conformity and aeronautical safety requirements of the products under their responsibility and shall maintain an ethical behavior in terms of transparent notification of elements that may affect conformity or safety. The ethical behavior will be aligned to follow the ethical code published by ACITURRI.

SUBCONTRACTORS: The supplier will assure the deployment of the requirements applicable to external suppliers, including the requirements of the final customer if applicable. For the engineering companies, the obsolescence criteria will be applied in order to assure the service life of the products to be delivered.

The supplier shall ensure that in accordance with EN-9100 / AS9100 it has the means to prevent the supply of counterfeit or suspected parts and has applied the requirements to ensure the traceability of the parts and components to the original or authorized manufacturers.

QUALITY SYSTEM:

Prior to the beginning of the production, the supplier shall demonstrate to have a certified quality system based on the latest version of the EN9100/AS9100 standard. In the case of non-aeronautic material, the applicable standard will be the ISO 9001.

According to the criterion of the Quality Management, the Subcontractor shall issue a Quality Plan performed by them, which covers all their necessary activities, as their sub tiers´ ones, for the fulfilment of the specified requirements of the products, projects or contracts, being this plan available for ACITURRI for its revision and approval, prior to the beginning of the assigned production.

The lack of a Quality Plan shall involve an exceptional treatment that shall be subjected to ACITURRI´s Quality Management until the existence the aforementioned Plan.

When required, APQP will be requested.

SPECIFIC:

DRAWING shall be understood as the contractual document which defines the product, being the specifications, standards and other documents linked to it also mandatory.




The Subcontractor shall be the responsible of complying with the conformity of its production according to the documentation sent by ACITURRI.

In case that Aciturri requests an on-site inspection, the subcontractor shall notify to ACITURRI the finalization and acceptation of the inspection of the subcontracted work so that ACITURRI can proceed with the on-site inspection, at least three working days before.

The Subcontractor shall inform of every subcontractor used in order to be accepted by ACITURRI.

The Subcontractor is not allowed to transfer the production or part of it to any place outside its facilities. Should the Subcontractor, due to operational reasons, need to transfer part of the job assigned outside its facilities, a detailed control plan shall be submitted to ACITURRI for approval.

The Subcontractor shall maintain the confidentiality of the works performed for ACITURRI, asking for the diffusion of the information if the Subcontractor considers it necessary, and waiting for a writing authorization from ACITURRI in that case.

The Subcontractor will not supply any component concerning to the Project for which was subcontracted, included the scrapped elements, to other any other company different from ACITURRI

Every discrepancy of the product detected by the Final Customer because of non-fulfilment of the delivery conditions according to the applicable documentation, must be addressed by the Subcontractor together with ACITURRI.

If the Subcontractor is required to guarantee that all the manufacturing operations, inspections, protections, etc., are shown in the Manufacturing Orders, the first Manufacturing Order shall be submitted to ACITURRI to be revised and approved.

The Subcontractor shall provide documented evidence to ACITURRI showing that the facilities, equipment and personnel involved in and/or carrying out special processes have been revised, qualified and approved and they are controlled at any time. If the Subcontractor is still in process of validation, the certification dossier shall be sent by ACITURRI to the costumer.

For NDT processes, the Subcontractor will have at least the support of one person with level III available for each applicable technique of NDT (internally or through an external agency).

The management and disposition of non-conforming items will be developed in the applicable Quality Plan.

The Subcontractor shall provide to ACITURRI with the relevant data and reports on the non-conforming products already delivered where the reliability or safety operations might result affected. This information shall include a clear description of the non-conformity, part/component designation including the full identification data allowing a concise and univocal identification of the affected part, P/N's, quantity delivered, delivery dates, etc.

The Subcontractor is not allowed either to release or to deliver a part to ACITURRI with a non-resolved non-conformity, with a prior written approval.

A result of a NCR with a disposition as "Acceptable" shall not be used as an argument to accept similar deviations from the Subcontractor.

The acceptance of elements which involve complementary works at ACITURRI, could be invoiced to the Subcontractors who caused them.

The Subcontractor shall be responsible for the non-conformities that have been produced under its responsibility even when they are detected in products already delivered to ACITURRI or in-service, and independently of the completion of the contract. The Subcontractor shall assist ACITURRI in the analysis of in-service problems as well as the determination of the root cause of those products delivered to ACITURRI.

The Subcontractor shall propose and establish a system (traceability), with ACITURRI´s approval, which shall guarantee the control of the status of all the delivered elements, including the raw material.

The Subcontractor shall be responsible of the tools used for manufacturing and verifying the controlled elements, to ensure the obtaining of conform elements through these tools.

The Subcontractor shall have means and objective evidences in order to demonstrate that the controls to ensure the bondage of the tools (and calibrations if applicable) required to manufacture the products are




carried out to fulfil the contract. The subcontracting of calibrations can be carried out if the traceability of the Official Standards can be demonstrated (ENAC).

The repairing of the tools which affects their configuration, must be notified to ACITURRI, prior to starting the repair.

The maintaining and the periodical verification of the tools shall be in charge of the Subcontractor.

The Subcontractor shall ensure that the protection on the delivered elements is appropriate in order to avoid deteriorations (hits, scratches, etc.) during the transport and handling until they are used in ACITURRI.

The special conditions of packing shall be defined on the applicable documentation.

PECAL:

According to PECAL 2110 and PECAL 2120 the RAC (from Spanish Defence Ministry) and/or the Buyer shall have free access to its facilities in order to carry out the Quality Assurance of the supplied materials and products. All the requirements of this contract order may be subject to the Quality Assurance. You will be notified of any activity of the Quality Assurance Officer that you are going to be implemented.

ENVIRONMETAL:

The supplier shall inform ACITURRI of the substances contained in products supplied in compliance with the REACH regulation, even when these substances are present in quantities below the legal threshold. To this end the item will be considered each part number.

ADDITIONAL:

The First Article Inspection shall be performed by the Subcontractor in the first part manufactured of each Part Number and it will be submitted to ACITURRI for its final approval before the delivery of the component. This FAI must be done according to EN9102/AS9102 and must be enclosed the traceability, materials, dimensions, etc used during manufacturing and inspection. It’s required to communicate the availability of the FAI 3 days before the finalization, for the acceptation in origin of the FAI by Aciturri, if so decided.

After First Article Inspection approval, any change in the process, product, materials or manufacturing means that might alter the previous results, will require ACITURRI´s approval and the performance of a new First Article Inspection.

PACKAGING:

Parts and assemblies always have to come identified, labelled, with applicable delivery documentation to ensure traceability. The packaging must be consistent, resistant to the weight they will support, clean, with no chips, no grease, oil, moisture or other foreign particles to ensure proper delivery condition, ie without shock, scratches and other damages.

The elements will always be clean, dry, and free from foreign matter, oil, lubricants and always protected with antioxidant plastic and with elements that guarantee their complete immobilization.

LABORATORIOS DE CALIBRACION/ ENSAYOS (LCR)

GENERAL:

Todos los equipos tendrán que venir con el certificado de calibración ENAC o Trazabilidad ENAC.


ESPECIFICAS ULTRASONIDOS(ES): Valorar por el Nivel 3 Responsable: Todos los equipos y palpadores tendrán que venir con el certificado de calibración correspondiente según las últimas revisiones de la normativa aplicable en función del tipo de equipo / palpador: Si son convencionales según AITM6-0013 y si son Phased Array según AIMT6-0016. Para equipos Boeing la calibración tiene que ser según EN12668.

GENERAL:

All measuring and testing equipment will be send to Aciturri with ENAC calibration certificate.

RIGHT OF ACCESS:


SPECIFIC NDT: The Responsible Level 3 will evaluate it. All equipment and probes will be received with the calibration certificate according to last revisions of applicable specifications. That it depends on: If they are conventional, according to AITM 6-0013 and if they are Phased Array according to AITM 6-0016. For Boeing´s equipment, the calibration is according to EN 12688.

ENVIRONMETAL:

In order to avoid environmental incidents suppliers shall adopt all preventives measures originates in environmental good practices, especially those related to avoid dumping and polluting emissions to atmosphere, and the non-treatment of waste, specially toxic waste. Suppliers also will assure to fulfill all environmental legal requirements (EU, national or others) applicable to the works.

NOTE: IF THE LABORATORY HAS NO CERTIFICATION ENAC MUST BE APPROVED BY ACITURRI AND / OR CLIENT.




UTILLAJE

GENERAL:


El Utillaje solicitado deberá venir acompañado de la siguiente documentación:

Albarán de entrega. Copia del plano/s de fabricación definitivo (aprobado por Ingeniería). Certificado de conformidad. Orden de Producción del útil con evidencia de las operaciones e inspecciones realizadas. Ficha Historial del útil cumplimentada. Certificados de los materiales empleados. Informes y registros de inspecciones demostrativos del cumplimiento de requisitos del plano y las condiciones técnicas de Ingeniería (inspección dimensional, rugosidad, pruebas funcionales, tratamientos térmicos, etc). Debe demostrarse conformidad con todos los requerimientos/inspecciones incluidos en las notas del plano, así como el registro de la medición, materiales, etc, de todos los elementos incluidos en la lista de partes de dicho plano. Aceptación de las desviaciones observadas y/o reparaciones realizadas no amparadas por la documentación de diseño. De iniciarse las actividades de fabricación con documentos avanzados, el proveedor deberá asegurar el cumplimiento con los documentos definitivos indicando la conformidad con el CoC, antes de la entrega del útil. Cualquier desviación en la fabricación o cambio en características definidas en el diseño, deberá ser registrada en la ficha de historia del útil y comunicada inmediatamente a su detección a Ingeniería y a Calidad de Utillaje para disposición y/o aceptación. El envío de cualquier útil, terminado o en cualquier fase de su fabricación ha de ser comunicado previamente a Calidad, quién se reservará la decisión de realizar la inspección de recepción en origen o en destino según estime conveniente. En cualquier caso, el proveedor se abstendrá de realizar cualquier envío sin la autorización previa de Calidad de Utillaje. Si durante el proceso de recepción se observasen discrepancias físicas o documentales, derivarán en la apertura del informe de discrepancias que pueden precisar la devolución del útil al proveedor.

TOOLS

GENERAL:

The tooling requested must be accompanied by the following documentation: Delivery note. Copy the plane / s final manufacturing (approved by Engineering). Certificate of conformity. Production Order useful evidence and inspections operations. Useful history tab completed. Certificates of materials used. Inspection reports and records of compliance demonstration plan requirements and technical conditions of Engineering (dimensional inspection, roughness, functional testing, heat treatment, etc). Must demonstrate compliance with all requirements / inspections included in the notes of the plane, and the recording of measurement, materials, etc., of all the elements included in the list of parts of the plane. Acceptance of deviations and / or repairs not covered by the design documentation. From start manufacturing activities with advanced documents, the supplier shall ensure compliance with the final documents indicating compliance with the CoC, before delivery of the tool. Any deviation in the manufacture or change in characteristics defined in the design, shall be recorded in the history tab and communicated immediately useful to their detection and quality Engineering Tooling for disposal and / or acceptance. Sending any useful, completed or at any stage of manufacture must be previously communicated to Quality, who will reserve the decision to perform incoming inspection at origin or destination as deemed appropriate. SUMINISTRADOR Y/O LABORATORIOS CALIBRACION (Utilizados en el laboratorio de calibración dimensional Aciturri Tres Cantos s/ ISO17025)

SISTEMA DE CALIDAD:

EQUIPOS ENVIADOS POR ACITURRI: Los equipos se enviarán identificados con un código interno. Se enviarán los patrones metidos en una caja de madera y envueltos en plástico de burbuja. Los equipos irán detallados en una carta que se adjunta al equipo. Se enviarán a través de un mensajero DIRECTO. Los equipos tienen que venir con el certificado de calibración ENAC.

EQUIPOS RECIBIDOS DE CLIENTE: Los requisitos ENAC bajo los cuales trabaja el Laboratorio, requiere una planificación escrupulosa, por lo que los plazos de entrega para la calibración serán de 15 a 20 días hábiles. Si se necesitase un equipo en plazos diferentes por favor indíquelo expresamente y requiera la conformidad del laboratorio. Los equipos deberán venir embalados para evitar su daño y deterioro. El laboratorio se reserva el derecho de rechazar los equipos si se reciben en condiciones no adecuadas.

MEDIOAMBIENTAL:

GENERAL:

SENT BY ACITURRI EQUIPMENTS: Teams will ship identified with an internal code. Patterns will be sent tucked into a wooden box and wrapped in bubble wrap. The teams will be detailed in a letter attached to the computer. Be sent through a messenger DIRECT. The teams have to come with ENAC calibration certificate

EQUIPMENTS SENT TO ACITURRI: ENAC requirements under which the laboratory work requires careful planning, so delivery times for calibration will be 15-20 business days. If you needed a team in different time please indicate expressly required under the laboratory. Teams will come packaged to prevent damage and deterioration. The laboratory reserves the right to reject the equipment if received in unsuitable conditions.

1.- OBJETO • Establecer la secuencia de actuaciones en

cada una de las fases de los procesos (de establecimiento y de desarrollo) de las relaciones Cliente-Suministrador.

• Definir los requisitos, en lo que respecta a Sistema de Calidad y Medio Ambiente, exigidos por Aciturri a sus Suministradores con el propósito de asegurar que el producto suministrado cumple los requisitos de calidad establecidos.

• Establecer los requisitos de calidad a incluir en los documentos de compra (pedidos o contratos) fijando las directrices mínimas que permitan su revisión y aprobación.

2.- ALCANCE Se establece que el presente documento, podrá ser referido y adjuntado en los documentos vinculados al proceso de establecimiento y desarrollo de relaciones entre cliente y suministrador, como documento director de las actividades a desarrollar por el equipo de trabajo de Aciturri. Este procedimiento es aplicable a todas las Direcciones y personas de Aciturri que tienen facultades para realizar actividades de compra. Se aplicará también a todos los documentos de compra de productos aeroespaciales y elementos auxiliares que intervengan en la fabricación de elementos aeroespaciales en las instalaciones de Aciturri, tanto los de diseño propio como en los que actúe como suministrador, complementándose en este último caso este procedimiento con los requisitos contractuales existentes. 1. PURPOSE • To Establish the sequence of actions in

each stage of the process (of establishment and development) of Customer-Supplier relationships.

• To define the Quality System requirements required by Aciturri to Suppliers for the purpose of ensuring that the delivered product meets the quality requirements.

• To establish quality requirements to be included in procurement documents (purchase orders or contracts) fixing the minimal directives that allow review and approval.

2. SCOPE Establishing that this document may be referred to and attached in the documents associated with the process of establishing and developing relations between customer and supplier, as document director of activities to be developed by the team of Aciturri. This procedure applies to all directorates and people of Aciturri who have the power to conduct procurement activities. It will also apply to all documents for the purchase of aerospace products and ancillary items involved in the manufacture of aerospace components facility in Aciturri, so own design and in acting as a supplier, the latter complementing this procedure with the existing contractual requirements. Note: The applicability of this document is conditioned by the contractual requirements established for each case between Aciturri and stakeholders of our organization (Customers, Suppliers and National Civil Aviation Authorities and Military.)

PECAL.- Publicaciones Españolas de Calidad de la Dirección de Armamento y Material del Ministerio de Defensa Español. Los suministradores se clasifican en proveedores (SUM/PRO) y subcontratistas (SUM/SUB). Producto.- Cualquier resultado de actividades o procesos. El término “Producto” incluye servicios, materias primas, materiales, resultado de procesos continuos, software o una combinación de lo anterior. Un producto puede ser tangible (p.e. materias primas o materiales semielaborados) o intangible (p.e conocimiento o conceptos) o una combinación de ambos.

Fases en el proceso de establecimiento de las relaciones Cliente-Suministrador.- Son las etapas que determinan el grado de conocimiento existente entre el Cliente y el Suministrador tanto en aspectos de gestión como en el del producto a desarrollar. Fases en el proceso posterior al establecimiento de las relaciones Cliente-Suministrador. Son las etapas que determinan las actividades que presuponen el cumplimiento del Suministrador con los requisitos del Cliente. Documento Técnico de Definición del Producto.- Documento responsabilidad del Cliente Potencial y que define con detalle el alcance de los trabajos a desarrollar por el Suministrador Potencial. estándares y materiales de catálogo.- Suministrador que fabrica un producto o introduce alguna característica/modificación en él, con diseño de producto y/o procesos que no son de responsabilidad de Aciturri, siendo de responsabilidad propia o de terceros (normas internacionales o licenciatarios), siendo también responsable de la documentación técnica y de producción.

b) Distribuidor.- Suministrador que gestiona

el suministro de productos que no fabrica a Aciturri. Pueden ser:

b.1)- Almacenistas.- Distribuidores que reciben, almacenan y mantienen la trazabilidad de productos obtenidos de fabricantes aprobados por Aciturri y expide productos en las mismas condiciones en que fueron certificados por el fabricante original. b.2)- Representantes Comerciales.- Distribuidor que gestiona el suministro de productos de fabricantes o almacenistas aprobados por Aciturri y por el que no pasa físicamente el material. El material se recibe en Aciturri directamente del fabricante o del almacenista.

6.- LEVELS OF CLASSIFICATION Suppliers are classified into two levels, Providers (SUM / PRO) and Subcontractors (SUM / SUB). � SUPPLIERS:

� SUBCONTRATISTAS Suministradores que fabrican un producto o introducen alguna modificación en él según un diseño o especificación responsabilidad de Aciturri, y con procesos cuya generación pueden ser o no responsabilidad de Aciturri. Se pueden clasificar los subcontratistas en los siguientes grupos: Clase I (de diseño y fabricación) Suministrador que dispone de un Sistema de Calidad que incluye diseño y es capaz de cumplir con unos requisitos definidos por el cliente a partir de unos datos de partida como pueden ser una especificación o un plano básico. Para el caso de empresas subcontratadas de Ingeniería, se tendrá en cuenta el procedimiento EP-39. Clase II (de fabricación). Suministrador con Gestión de Calidad al que se le proporciona para el cumplimiento del contrato o pedido de compra, la información o documentación técnica de definición, fabricación o calidad necesaria (Procesos, Planos, especificaciones, normas de verificación etc.) y que será supervisado por el cliente. Este suministrador puede entregar productos completos o realizar operaciones concretas del proceso de fabricación. NOTA: Al suministrador que entrega pieza completamente acabada a ACITURRI gestionando la compra y recepción de materia prima en fuentes aprobadas por el Cliente y realiza la fabricación a partir de un pedido, de una CDS y/o DTS, en las que se marcan la configuración y efectividad etc…. se le denomina suministrador de Gestión Integral En este caso garantizará que la recepción técnica del material se realice de acuerdo con la especificaciones correspondientes A este suministrador siempre se le exigirá Plan de Calidad. La capacitación técnica de Ingeniería del Subcontratista se realizará a través de la aprobación de sus rutas de fabricación (individuales o por familias), o través la aprobación del personal que realice los procesos de fabricación en el subcontratista, o

� SUBCONTRACTORS

- Servicios de Ingeniería incluye empresas de servicios de Ingeniería, que cumplirán los requisitos de cualificación indicados en EP39.

- Servicios de calibración y ensayos. - Servicios de calibración y fabricación de

utillaje. Subcontrataciones coyunturales: Cuando por necesidades de carga de producción se necesite realizar subcontrataciones conyunturales se seguirán los criterios:

- Nunca se realizarán subcontrataciones conyunturales en Gestión Integral, solo para subcontratación de operaciones.

- El subcontratista tendrá la certificación de sistema de calidad bajo EN9100.

- Se seleccionarán subcontratistas preferentemente que ya hayan realizado con anterioridad las operaciones de que se trate.

- El subcontratista tendrá la cualificación del proceso, si la operación a realizar lo requiere, teniendo evidencia de dicha cualificación por parte del Cliente (p.e. inclusión en el listado de empresas/procesos cualificados del cliente).

- La subcontratación no se prolongará más de dos meses.

- Calidad de Subcontratación realizará la recepción en origen, llevando a cabo el soporte de la misma.

- No se requerirá Plan de Caldiad al subcontratista.

- Se anexará la autorización de la Dirección de Calidad y los anexos al plan de calidad de Aciturri, aunque no se enviará al cliente para su aprobación.

- Si la subcontratación se prolonga más de dos meses se notificará a través de un Tow estructural de acuerdo con los requisitos de cliente y DDP-006 “Directriz de Gestión del Cambio Industrial”.

Temporary subcontracting: When loading due to production, circumstantial subcontracts will be need to make, the criteria should be followed:

- The circumstantial subcontracting will be performance in the outsourcing operations only.

- The supplier have the certification of quality system under EN9100.

- Supplier who have already performed before operations in question are priority selected.

- If the operations to perform requires special qualifications, the supplier will have evidence of that qualification by the customer (e.g the subcontractor will be in the list of companies/special process qualified by the customer).

- Subcontracting shall not extend more than two months.

- Supply Quality will perform the incoming inspection and support activities in the supplier facilities.

- Quality Plan will be not required. - The approval by de Quality manager will

be enclosed to Aciturri Quality Plan, but it will not be sent for customer approval.

- If the subcontracting extends more than two months it will be notified through a structural Tow according to customer requirements and DDP-006 “Guideline Management industrial change”.





Flujo de actuación: 1.- Producción/Subcontratación comunicarán la necesidad tanto a jefatura de Programa como a la Dirección de Gestión de Calidad aportando la siguiente información:

• Subcontratista seleccionado. • Relación de la aprobación de procesos por

el Cliente final. • Evidencia de la aprobación de procesos por

el cliente final. • Fecha de incio de la subcontratación y fecha

prevista de finalización. • El Director de Gestión de la Calidad

autorizará expresamente la subcontratación y Programas lo comunicará vía e-mail al cliente.

2.- Control y seguimiento: Calidad de subcontratación realizará la recepción en origen y gestionará el IPA parcial por las operaciones subcontratadas. El IPA será aprobado por Calidad de Subcontratación. La monitorización de los niveles de Calidad así como los de entrega será responsabilidad de Subcontratación, aunque no necesariamente supondrá el establecimiento de KPI´s de seguimiento. 3.- Cierre de la Subcontratacion: Subcontratación comunicará formalmente a las partes implicadas (como mínimo Director de Gestión de Calidad, Jefatura de Programa, Calidad de Operaciones y Calidad de Sistema) la finalización de la subcontratación. Si esto no fuera posible y superase los dos meses se procederá a la comunicación formal al cliente a través de ToW. 7.- DIRECTRICES EN EL PROCESO DE ESTABLECIMIENTO DE LAS RELACIONES Se establece que el presente proceso deberá ser utilizado como proceso director de las fases a desarrollar por el equipo de trabajo de Aciturri. En el anexo II se recogen las fases del proceso de establecimiento de relaciones con los suministradores de Aciturri.

Cliente Final

Aciturri (Cliente Intermedio)

Work flow: 1.-Production/Subcontracting department will communicate the need to program Manager and Quality manager providing the following information:

• Selected subcontractor • List of part numbers to outsource /

processes by part number. • Evidence of process approval by customer. • Start date of outsourcing and expected

completion date. • The Quality Directos will authorize the

circumstatial subcontracting and Program Manager will communicate by e-mail to customer.

2.-Control and monitoring: Supply Quality perform the incoimg inspection in the supplier facilities and will manage the partial FAI for outsourced operations. Supply Quality will approve FAI. Monitoring quality and delivery levels will be under responsibility of Supply department, although this will not necessarily involve the establishment of KPI´s follow-up. 3.-Closing the Subcontracting: Supply department will formally communicate to the involved areas (at least Quality Director, Program Manager, Quality Operations and Quality System) the end of temporary subcontracting. It this is not possible and it exceedes two months, then it will proceed to formal communication to the Customer througt ToW.

7. GUIDELINES IN THE PROCESS OF ESTABLISHMENT OF RELATIONS It states that this process should be utilized as director of process stages to be developed by the team of Aciturri. Annex II sets out the stages of building relationships with Aciturri suppliers.

La transferencia de dichos trabajos deberá ir asociada tanto a la definición de la cadena de suministradores en los planes de calidad o en documentos asociados (p.e Supplier Chain Dossier) para cada cliente, como a la generación del EES/CDS, pudiéndonos encontrar en la siguientes situaciones (Ver anexo II): � La transferencia a terceros se realizará

teniendo en cuenta el cumplimiento con especificaciones aplicables de Ingeniería y de Calidad del Cliente final.

Los específicos para la Industria Aeronáutica y Aeroespacial se detallan en las normas EN9100 (fabricantes), EN9120 (Distribuidores), EN9110 (Organizaciones de Mantenimiento).Para contratos con Defensa se establecen la PECAL 2110 (Con diseño) y PECAL 2120 (sin diseño). Los requisitos de Sistema de Gestión de Calidad son genéricos y aplicables a organizaciones de cualquier tipo particularizándose la elección de una u otra familia de normas según el ámbito de trabajo en el que se desarrollan las relaciones cliente suministrador. La elección de la norma de sistema para presuponer el cumplimiento de los Suministradores con los requisitos de los clientes en materia de Sistema de Gestión de Calidad dependerá del nivel de exigencia del Cliente DENTRO del ámbito de trabajo en el que se desarrollen dichas relaciones.

8. QUALITY REQUIREMENTS FOR SUPPLIERS 8.1 Basics of Quality requirements Quality requirements can be considered of two types: Requirements for Quality Management Systems and product requirements. Examinando beneficios, riesgos y costes para ambas partes se determinará la extensión y naturaleza de la información requerida y las medidas que debería aprobar cada parte para proporcionar la adecuada confianza de que se alcanzará la calidad deseada. 8.3. (*) Para Programas con requisitos PECAL, dichos requisitos se desplegarán a los fabricantes, distribuidores y subcontratistas a través de la inclusión en las cláusulas de Calidad de los pedidos de dichos requisitos (ver apéndice I) o también en los Contratos Marco y Acuerdos de suministro individuales. (Ver apéndice III). 8.3.1 .- Requisitos de los Subcontratistas en el ámbito de la POA Además de lo indicado en el apartado anterior, en cuanto a los requisitos para la selección de suministradores y en el PSC-72 “Procedimiento de gestión del panel de proveedores” para las actividades de seguimiento de los mismos, para los subcontratistas utilizados en el ámbito de la POA se realizarán las siguientes actividades y controles adicionales:

EN9100/EN9120 certification by Other Party (in forward OP) shall be required when the products supplied, will be avionables or the element are incorporated into deliverable part. The requirements for the selection and surveillance for the subcontractors related with the production organization approval (POA) are detailed in the paragraph 7.3.1 of this procedure. Aeronautic manufacture suppliers must have EN9100 certification. This certification is not required if the tool final customer only required ISO9001 certification. (*) For programs with PECAL requirements, those requirements will be deployed to manufacturers, suppliers and subcontractors through the inclusion in the terms of Quality of orders for such requirements (see Appendix I), or in Principal Agreements or Agreements of Individual Supply too. 8.3.1.- Requirements for the subcontractors related with POA The requirements for the selection of subcontractors are indicated in this procedure. The surveillance activities of subcontractors are indicated en PSC-72 “Procedure for management of suppliers panel”. For the subcontractor related with POA, the following controls and activities will be made:

Para la comprobación de que los subcontratistas mantienen la certificación se creará una lista “Watch list” en OASIS con todos los subcontratistas utilizados bajo el ámbito de la POA. ACITURRI hará uso del sistema de notificación por e-mail disponible en OASIS que aporta información sobre el cambio de estatus de los suministradores del watch list y de sus OP. Este sistema de notificación permite conocer aspectos como:

- Cualificación de las OP bajo la EN9104 y su mantenimiento

- Perdida de la certificación EN9100 de un suministrador

Todas las OP que figuren en OASIS deben tener el acceso necesario a los datos del suministrador al nivel necesario para poder realizar las auditorias. Simultáneamente podrá solicitarse el acceso a los informes de auditorías de los subcontratistas La solicitud de acceso se realizará a través de la base de datos OASIS. Los checklist de las entidades certificadoras bajo el sistema ICOP, cumplen con el mínimo requisito definido en la EN9101, no obstante ACITURRI, mediante el acceso a estos informes de auditorías, podrá verificar el contenido de los mismos.

To check the subcontractors certification maintenance, we will create in OASIS a “watch list” that included all subcontractors using in POA scope. The notification system lets you know things like:

- OP Qualification and maintenance under the EN9104

- Loos of supplier 9100 certification

All OP´s must have the necessary access to supplier data to perform audits. At the same time, ACITURRI could ask the access to subcontractors audits reports. This request will be doing through OASIS database. The checklist of certification bodies under the ICOP system, follow the requirement of the standard EN9101. ACITURRI can verify the contents through access to these audit reports.

auditoría. Calidad de Sistema conjuntamente con Calidad de Subcontratación analizarán los informes evaluando posibles impactos y riesgos en los productos subcontratados. Además podrán utilizarse los informes de auditoría realizados por un OP como input de las auditorías internas y visitas de seguimiento establecidas en PS-72. (*) Si el alcance de los trabajos subcontratados no fuese el mismo que el de la Certificación OP, ACITURRI realizará auditorías de Sistema de Calidad y de producto para garantizar la calidad de los productos subcontratados y se requerirá al subcontratista la actualización del alcance de la Certificación durante su próxima renovación. b) Requisitos para los productos. Deberán especificarse para cada área de negocio (Mantenimiento) y programa según lo establecido en el punto 7.1 b) de este procedimiento. 8.4 Requisitos de calidad para laboratorios de ensayos y de calibración La aprobación de Laboratorios de Ensayos se realizará en automático cuando dicha entidad esté acreditada por ENAC o equivalente EA para los tipos de ensayos requeridos. El Director de Calidad podrá decidir la aprobación de laboratorios de ensayos que no tengan acreditación ENAC para todos los tipos de ensayos considerando la experiencia en realización de ensayos y del personal

Must be specified for each business area (maintenance) and program as set out in paragraph 7.1 b) of this procedure. 8.4 Test and calibration laboratory Quality requirements Approval of Testing Laboratories will be held on automatic when the entity is accredited by ENAC or equivalent EA for the types of tests required. The Quality Manager shall decide on the approval of testing laboratories that have no ENAC accreditation for all types of essays considering the experience in testing and staff.

Cuando no exista entidad acreditada por ENAC para las magnitudes, rangos y ensayos requeridos el Director de Calidad decidirá la aprobación de Organismos y/o Entidades reconocidas para la realización de ensayos y/o calibraciones, y será sometido a la aprobación final de Cliente, cuando así sea requerido. 8.5 Contrato Marco y Acuerdos individuales de suministro para suministradores de materia prima y subcontratistas Para la formalización de la relación contractual, Aciturri podrá firmar Contratos Marco con los subcontratistas considerados estratégicos. En dichos contratos se contemplan, además de los requisitos de Calidad y de producto, condiciones de confidencialidad, penalizaciones, retrasos en entregas, etc… Las cláusulas genéricas de calidad que se incluyen en los Contratos Marco se incluyen en el Apéndice II. Estas cláusulas podrán sufrir modificaciones en función del alcance del suministro. Además Aciturri podrá establecer Acuerdos de Suministro individuales donde se establecen las condiciones específicas para cada suministro subcontratado. En estos documentos se establecen el alcance del

Si fuese necesario, se incluirán en los pedidos las específicas de producto y/o proceso. 9.- DIRECTRICES EN EL PROCESO DE DESARROLLO DE LAS RELACIONES Se refiere al proceso de puesta a punto, control, evaluación, y mejora una vez completado el Proceso de Establecimiento de relaciones entre el Cliente y el Suministrador. Dicho Proceso de Desarrollo de las Relaciones comienza con la inclusión del suministrador potencial en el catálogo de suministradores Aciturri. El examen del ámbito de las actividades del Suministrador que estarán cubiertas por el certificado de aprobación, determinará la extensión y naturaleza de la información recíproca y las medidas que conviene tomar por cada parte para proporcionar confianza de que se mantiene la certificación de acuerdo con los requisitos del modelo seleccionado. En relación a las actividades que se realizan con los suministradores se clasifican de la forma siguiente: 9.1.- Actividades de Puesta a Punto. Estarán encaminadas a garantizar los parámetros fundamentales de calidad que deberá cumplir el Suministrador para fabricar los productos subcontratados por el Cliente.

Deberán culminarse en esta fase del Proceso de Desarrollo, todos los aspectos pendientes del Proceso de Establecimiento relativos a Evaluación del Sistema de G. de Calidad, Certificación de Procesos Especiales, y deberá acometerse la realización y supervisión de la Inspección de Primer Artículo (IPA). En el caso de no existir certificación de sistema de calidad deberá haber un compromiso para la obtención de la certificación en un plazo no superior a 6 meses (siempre que sea autorizado por el Cliente final) y una monitorización de sistema y producto hasta que sea obtenida. Todos los Suministradores/Subcontratistas de Aciturri con productos subcontratados de forma planificada, estarán obligados a la realización de IPA en dichos productos de acuerdo a los criterios que contractualmente se establezcan. Aciturri considerará la realización del IPA como requisito contractual de calidad, pudiéndose considerar necesaria por parte de la Dirección de G. de Calidad tanto la supervisión como la aprobación del mismo antes del comienzo de la fabricación en serie. 9.1.2. Requisitos Documentales a los subcontratistas. Plan de Calidad Se les exigirá Plan de Calidad a los subcontratistas de Gestión Integral, Estratégicos, no estratégicos de alta carga (entregan productos de compra) y Operativos (Realizan operaciones incluidas en Rutas de Aciturri). NOTA: Salvo indicación expresa del Director de Calidad, se podrá exigir un Plan de Calidad a los Subcontratistas Coyunturales y a los No estratégicos de baja carga. Podrán hacerse, además, Inspecciones de Producto y Sistema, encaminadas a garantizar las condiciones de Puesta a Punto durante todo el tiempo que dure la subcontratación, o cuando los índices del nivel de calidad hayan descendido utilizando para ello los procedimientos PSC-01, PSC-08, PSC-09, PSC-11, documentación técnica del producto, o cualquier otro que pueda entenderse necesario. 9.3 Actividades de Evaluación. Estarán dirigidas a valorar numéricamente el nivel de calidad de los Suministradores. Aciturri establecerá los Índices de Calidad según el PSC-72 como herramienta de evaluación continua de la Calidad de sus productos elaborados por sus Suministradores con el propósito de clasificarlos desde un punto de vista de Calidad, valorar la frecuencia de realización de las Actividades de Control, solicitarles Actividades de Mejora, estudiar la posibilidad de delegar la Función de Calidad, etc.

9.3.1 Evaluación y seguimiento de Laboratorios de Ensayos y Calibración. La evaluación de los laboratorios se hará de la siguiente manera:

• Para los Laboratorios de Ensayos y Calibración se considerará como fecha de evaluación la fecha en que se emite el Certificado correspondiente. Previamente se ha debido comprobar que dichos Laboratorios poseen la certificación ENAC o EA correspondiente. La fecha de validez será tres años a partir de la fecha de evaluación.

• Igualmente para Entidades acreditadas sin certificación ENAC se considerará como fecha de evaluación la fecha en que se emite Certificado. La fecha de validez será tres años a partir de la fecha de evaluación.

La evaluación continua de Laboratorios de Ensayos y de Calibración se limitará a la comprobación anual del mantenimiento de las acreditaciones. La renovación de la validez se realizará en automático por otros tres años condicionada al mantenimiento de la acreditación. Dicha comprobación se registrará en el apartado de “Observaciones” del Certificado en la aplicación informática. 9.4. Actividades de Delegación. Las actividades de delegación pueden ser de dos tipos:

1) Delegación de calidad, supone no inspeccionar en recepción los elementos de fabricación externa o con operaciones subcontratadas.

2) Delegación de la inspección final y la entrega directa al cliente.

Aciturri, previo a la delegación, realizará las inspecciones/monitorizaciones necesarias. En todo caso la delegación se producirá después del estudio de los indicadores del suministrador realizados por

Aciturri prior to the delegation, perform the inspections / monitoring applications required. Anyway, the delegation will produce after the study of the indicators of the supplier realized by Outsourcing/Procurement/Quality, and the realization of a quality plan by supplier.

En el caso del tipo 2 de delegación está revocación será comunicada formalmente al suministrador. Tanto la delegación como la revocación de la delegación de tipo 2 deben ser comunicadas/solicitadas al cliente. Para los procesos de metálicas que lleva a cabo ACITURRI METALLIC PARTS el proceso de delegación de la calidad se encuentra recogido en el Apéndice III de este procedimiento. 9.5. Actividades de Mejora Estarán pensadas para conseguir una tendencia continua de mejora de Calidad y reducción de Costes de los Suministradores. Se solicitarán sistemáticamente a los suministradores cuando los niveles de Calidad hayan disminuido, o cuando se identifiquen riesgos que puedan afectar la Calidad del producto o al cumplimiento de plazos de entrega.

Once the delegation process issue an internal communication for delegation type 1, and a formal communication to the subcontractor for delegation type 2, to the extent of it. In this case, this authorization will be added to quality plan in followings revisions. Any one of these delegations will be revoked by Quality manager/Plant Quality when the elements presents reiterated and identified problems on production line. In the second type of delegation the revocation will be communicated to supplier. The delegation and the revocation of type 2 have to be communicated/requested to the customer. The quality delegations to subcontractors made by ACITURRI METALLIC PARTS in case of metallic process are in the Attachment III. 9.5. Improvement Activities Will be designed to achieve a sustained trend of improving quality and reducing costs of supplies. They will request methodically to the suppliers when the levels of Quality have diminished, or when they identify risks that can affect the Quality of the product or to the fulfillment of terms of delivery.

EMPRESAS DE SERVICIOS E INGENIERIA (ES)

EMGINEERING SERVICE COMPANIES

GENERAL (GE) DERECHO DE ACCESO: El personal de ACITURRI o del Cliente Final, la Autoridad Aeronáutica Nacional (AESA) o el Representante de Aseguramiento de Calidad (RAC) o cualquier otra persona designada por ACITURRI tendrá libre acceso a las instalaciones/información del Suministrador, para presenciar actividades y/o revisar documentación o cualquier otra práctica que la Dirección de G. de Calidad considere, durante cualquier etapa del flujo productivo, no eximiendo en ningún caso al suministrador de la responsabilidad del servicio. CONFIDENCIALIDAD: El suministrador se compromete de manera expresa, tanto durante la vigencia del contrato como después de su extinción, a no difundir, transmitir, revelar a terceras personas cualquier información de ACITURRI a la que tenga acceso como consecuencia del desempeño de su actividad. AUDITORIAS/AACC/PREVENTIVAS: Si como consecuencia del desarrollo de las actividades del suministrador, se detectasen no conformidades o deficiencias en el desempeño, podrá llevarse a cabo auditorías relativas a sus actividades y/o solicitarse planes de acciones correctivas y preventivas para la resolución de tales anomalías. KPI´s DE DESEMPEÑO: A requerimiento de ACITURRI, el suministrador deberá establecer indicadores para la determinación del grado de madurez de los servicios realizados. Dichos indicadores deberán ser aceptados por ACITURRI. CUALIFICACION DE PERSONAL: Para el personal subcontratado que realice actividades en las instalaciones de ACITURRI, la cualificación del personal se realizará de acuerdo con los procedimientos internos de ACITURRI. Cuando las actividades a realizar por el suministrador se encuentren vinculadas a elementos avionables se requerirá que la realización de cursos y capacitación del personal se haya llevado a cabo antes del comienzo de los trabajos. No estarán permitidas las sustituciones del personal sin la previa autorización de ACITURRI. Para las empresas que realicen actividades de fabricación dentro de las instalaciones de ACITURRI se requerirá una skill matrix con la relación de personas asignadas al proyecto y su nivel de cualificación. Esta skill matrix será actualizada con frecuencia trimestral y estará disponible para ACITURRI. Asimismo, el suministrador adoptará las medidas oportunas para el cumplimiento de la legislación medioambiental vigente (comunitaria, estatal, autonómica y local) que sea de aplicación al trabajo realizado. GENERAL (GE) El personal de ACITURRI o del cliente final, la autoridad Aeronáutica Nacional o el Representantes de Aseguramiento de Calidad (RAC) o cualquier otra persona designada por ACITURRI tendrá libre acceso a las instalaciones del suministrador, así como de su cadena de cooperantes, para presenciar pruebas, revisar documentación o cualquier otra práctica que la Dirección de Calidad considere necesaria, no eximiendo en ningún caso al suministrador de la responsabilidad del producto o equipo fabricado. El suministrador mantendrá archivados durante al menos siete años a partir del envío de los elementos, los documentos de ensayos e inspección, etc., así como los datos de control que cubran el producto final de cada pedido, pudiendo estar en soporte informático a partir de los dos años, a la finalización del tal periodo el suministrador solicitará instrucciones para su destrucción o su entrega a la Dirección de Calidad de Aciturri. El suministrador mandará con cada envío el albarán, el certificado de ensayos (Test Report) cuando sea aplicable y el certificado de conformidad, estableciendo la conformidad de los productos con los requerimientos de los planos, normas y especificaciones (última edición aplicable) detallándose cualquier desviación acordada. En caso de no disponer de los documentos mencionados en el momento de recibir el producto se procederá a emitir un informe de discrepancia (ID) que impedirá la aceptación final del producto por parte de ACITURRI. Cualquier actualización de la documentación soporte PSC-20 de ACITURRI se considerará aplicable. Every update of ACITURRI’s PSC-20 documentation will be considered applicable.

Con anterioridad al inicio de los trabajos, el Suministrador deberá demostrar tener un sistema de calidad certificado EN9100 para productos aeronáuticos, así mismo deberá informar de cada subcontratista utilizado con objeto de que sea aceptado por Aciturri. Si se trata de material no aeronáutico, la especificación aplicable será la ISO 9001. A criterio de la Dirección de Calidad el subcontratista deberá editar en un Plan de Calidad elaborado por él, que cubra todas las actividades, tanto suyas como de sus cooperantes, necesarias para el cumplimiento de los requisitos especificados de los productos, proyectos o contratos, debiendo estar dicho plan a disposición de ACITURRI para su revisión y aprobación, previo al comienzo de los trabajos asignados. La ausencia del Plan de Calidad supondrá un tratamiento singular que deberá ser sometido a la Dirección de Calidad de ACITURRI hasta la existencia de dicho plan. ESPECIFICAS (ES) SPECIFIC

Se entenderá que el PLANO es el documento contractual que define el producto, siendo las especificaciones, normas y otros documentos vinculados al mismo también de obligado cumplimiento. El subcontratista será el responsable de la conformidad de su producción en función de la documentación enviada por ACITURRI. En el caso de que la decisión de ACITURRI sea efectuar inspección en origen, el subcontratista deberá notificar a ACITURRI la finalización y aceptación de la inspección del trabajo subcontratado para que ACITURRI pueda efectuar la inspección en origen, al menor con tres días hábiles de antelación. El subcontratista deberá informar de cada subcontratista utilizado con objeto de que sea aceptado por ACITURRI. El subcontratista a su vez no está autorizado a transferir un trabajo o parte del mismo un lugar fuera de sus instalaciones. Si el subcontratista necesitara transferir parte del trabajo asignado fuera de sus instalaciones deberá presentar a ACITURRI un Plan de Control detallado para su aprobación. El subcontratista mantendrá la confidencialidad de los trabajos que realice para ACITURRI solicitando si lo considera oportuno su difusión, siendo estudiado en ese caso. El subcontratista no suministrará elemento alguno del proyecto para el que ha contratado, inclusive los dado por inútiles a ninguna otra entidad que no sea ACITURRI. Cualquier discrepancia del producto detectada en el cliente final por incumplimiento de las condiciones de entrega según la documentación aplicable, deberá ser atendida por el subcontratista conjuntamente con ACITURRI. Si el subcontratista está obligado a garantizar que las operaciones de fabricación, inspección, protección, etc., se muestren en las Órdenes de Fabricación, la primera de ellas será remitida a ACITURRI para su revisión y aprobación. El subcontratista facilitará las evidencias documentales a ACITURRI que muestren que las instalaciones, los equipos y el personal involucrados en los procesos especiales han sido revisados, cualificados y aprobados y que son controlados en todo momento. Si el Subcontratista está en proceso de validación, el dosier de certificación será remitido por ACTITURRI al cliente. Para los procesos END, el Subcontratista dispondrá al menos del soporte de un Nivel III válido para cada una de las técnicas END aplicables (internamente o a través de una agencia externa). El tratamiento y disposición de los elementos no conformes será desarrollado en el correspondiente Plan de Calidad. El Subcontratista facilitará a ACITURRI los datos e informes relevantes relacionados con los productos no conformes ya enviados,

donde la fiabilidad o las operaciones de seguridad pudieran resultan afectadas. Esta información incluirá una descripción clara de la no conformidad, la designación de la pieza/componente incluyendo los datos completos de su identificación que den lugar a una concisa y unívoca identificación de la pieza afectada, P/N´s, cantidad enviada, fechas de envío, etc. El Subcontratista no está autorizado ni a liberar ni enviar una pieza a ACITURRI con una no conformidad no resuelta sin que haya sido previamente aceptada por escrito. La aceptación de una No conformidad, no se podrá utilizar como argumento para la aceptación de desviaciones similares por parte del Subcontratista. Las aceptaciones de materiales que supongan trabajos complementarios en ACITURRI, podrán ser trasladadas una vez que se valoren a los Subcontratistas que las produjeron. El Subcontratista será responsable de las no conformidades que hayan sido producidas bajo su responsabilidad, aun cuando hayan sido detectadas en productos ya enviados a ACITURRI o ya en servicio, independientemente de la finalización del contrato. El suministrador asistirá a ACITURRI en el análisis de los problemas derivados, así como en la determinación de la causa raíz referente a los elementos enviados a ACITURRI. El subcontratista propondrá y establecerá un sistema (trazabilidad) que una vez aprobado por ACITURRI garantice el control respecto de la situación de los elementos de entrega, incluida materia prima. El Subcontratista será responsable de los utillajes que utilice en la fabricación y verificación de los elementos controlados, de tal forma que se asegure la obtención de elementos conformes a través de los mismos. El Subcontratista dispondrá de los medios y evidencias objetivas para demostrar que se llevan a cabo los controles que aseguren la bondad (calibraciones si aplican) de los útiles/equipos necesarios para el proyecto de que se trate. La subcontratación de calibraciones podrá llevarse a cabo siempre que se demuestre la trazabilidad con patrones reconocidos (ENAC). Las reparaciones sobre los útiles que afecten a la configuración de los mismos, deberán ser notificadas a ACITURRI, antes de iniciar dicha reparación. El mantenimiento y la verificación periódica de los útiles serán a cargo del Subcontratista. El Subcontratista será responsable del buen uso del utillaje. El Subcontratista asegurará que el sistema de protección de los elementos de entrega, es adecuado para evitar deterioros (golpes, roces) durante su transporte y su manejo hasta la situación de su uso en ACITURRI. Las condiciones especiales de embalaje estarán definidas en la documentación aplicable. DRAWING shall be understood as the contractual document which defines the product, being the specifications, standards and other documents linked to it also mandatory. The Subcontractor shall be the responsible of complying with the conformity of its production according to the documentation sent by ACITURRI. In case that Aciturri requests an on-site inspection, the subcontractor shall notify to ACITURRI the finalization and acceptation of the inspection of the subcontracted work so that ACITURRI can proceed with the on-site inspection, at least three working days before. The Subcontractor shall inform of every subcontractor used in order to be accepted by ACITURRI. The Subcontractor is not allowed to transfer the production or part of it to any place outside its facilities. Should the Subcontractor, due to operational reasons, need to transfer part of the job assigned outside its facilities, a detailed control plan shall be submitted to ACITURRI for approval. The Subcontractor shall maintain the confidentiality of the works performed for ACITURRI, asking for the diffusion of the information if the Subcontractor considers it necessary, and waiting for a writing authorization from ACITURRI in that case. The Subcontractor will not supply any component concerning to the Project for which was subcontracted, included the scrapped elements, to other any other company different from ACITURRI.

Every discrepancy of the product detected by the Final Customer because of non-fulfilment of the delivery conditions according to the applicable documentation, must be addressed by the Subcontractor together with ACITURRI. If the Subcontractor is required to guarantee that all the manufacturing operations, inspections, protections, etc., are shown in the Manufacturing Orders, the first Manufacturing Order shall be submitted to ACITURRI to be revised and approved. The Subcontractor shall provide documented evidence to ACITURRI showing that the facilities, equipment and personnel involved in and/or carrying out special processes have been revised, qualified and approved and they are controlled at any time. If the Subcontractor is still in process of validation, the certification dossier shall be sent by ACITURRI to the costumer. For NDT processes, the Subcontractor will have at least the support of one person with level III available for each applicable technique of NDT (internally or through an external agency). The management and disposition of non-conforming items will be developed in the applicable Quality Plan. The Subcontractor shall provide to ACITURRI with the relevant data and reports on the non-conforming products already delivered where the reliability or safety operations might result affected. This information shall include a clear description of the non-conformity, part/component designation including the full identification data allowing a concise and univocal identification of the affected part, P/N's, quantity delivered, delivery dates, etc. The Subcontractor is not allowed either to release or to deliver a part to ACITURRI with a non-resolved non-conformity, with a prior written approval. A result of a NCR with a disposition as "Acceptable" shall not be used as an argument to accept similar deviations from the Subcontractor. The acceptance of elements which involve complementary works at ACITURRI, could be invoiced to the Subcontractors who caused them. The Subcontractor shall be responsible for the non-conformities that have been produced under its responsibility even when they are detected in products already delivered to ACITURRI or in-service, and independently of the completion of the contract. The Subcontractor shall assist ACITURRI in the analysis of in-service problems as well as the determination of the root cause of those products delivered to ACITURRI. The Subcontractor shall propose and establish a system (traceability), with ACITURRI´s approval, which shall guarantee the control of the status of all the delivered elements, including the raw material. The Subcontractor shall be responsible of the tools used for manufacturing and verifying the controlled elements, to ensure the obtaining of conform elements through these tools. The Subcontractor shall have means and objective evidences in order to demonstrate that the controls to ensure the bondage of the tools (and calibrations if applicable) required to manufacture the products are carried out to fulfil the contract. The subcontracting of calibrations can be carried out if the traceability of the Official Standards can be demonstrated (ENAC). The repairing of the tools which affects their configuration, must be notified to ACITURRI, prior to starting the repair. The maintaining and the periodical verification of the tools shall be in charge of the Subcontractor. The Subcontractor shall ensure that the protection on the delivered elements is appropriate in order to avoid deteriorations (hits, scratches, etc.) during the transport and handling until they are used in ACITURRI. The special conditions of packing shall be defined on the applicable documentation.

According to PECAL 2110 and PECAL 2120 the RAC (from Spanish Defence Ministry) and/or the Buyer shall have free access to its facilities in order to carry out the Quality Assurance of the supplied materials and products. All the requirements of this contract order may be subject to the Quality Assurance. You will be notified of any activity of the Quality Assurance Officer that you are going to be implemented.

MEDIOAMBIENTAL (MA) ENVIRONMETAL

El suministrador deberá informar a ACITURRI de las sustancias contenidas en los productos suministrador en cumplimiento con la normativa REACH, aun cuando estas sustancias se encuentren en cantidades menores al umbral establecido legalmente. A estos efectos el artículo será cada part number suministrado. The supplier shall inform ACITURRI of the substances contained in products supplied in compliance with the REACH regulation, even when these substances are present in quantities below the legal threshold. ADICIONALES ADDITIONAL

Se requiere la realización de IPA en la primera pieza fabricada de cada Part Number y se deberá enviar para su aprobación a ACITURRI antes de la entrega. Este IPA debe realizarse según la EN9102 y debe incluir la trazabilidad y certificados de materia prima, dimensionales, etc., utilizados durante la fabricación e inspección. Se debe comunicar la disponibilidad del IPA por el subcontratista al menos 3 días antes de su finalización, para la aceptación en origen del IPA por parte de ACITURRI si así se decide. Tras la aprobación del IPA, cualquier cambio en el proceso, producto, materiales o medios de fabricación que pueda alterar los resultados del IPA anterior, necesitará la aprobación de ACITURRI y la realización de un nuevo IPA. The First Article Inspection shall be performed by the Subcontractor in the first part manufactured of each Part Number and it will be submitted to ACITURRI for its final approval before the delivery of the component. EMBAJAJE (EM) PACKAGING

Piezas y conjuntos siempre tienen que venir identificados, etiquetados, con documentación de entrega aplicable que garantice su trazabilidad. Los embalajes deberán ser consistentes, resistentes para el peso que vayan a soportar, limpios, sin virutas, ni grasas, aceites, humedades u otras partículas extrañas para garantizar su correcto estado a la entrega, esto es, sin golpes, roces y otros daños. Los elementos se recibirán siempre limpios, secos, libres de materias extrañas, aceites, lubricantes y siempre protegidos con plástico antioxidante y con elementos que garanticen su total inmovilización.

Parts and assemblies always have to come identified, labelled, with applicable delivery documentation to ensure traceability. Cualquier desviación en la fabricación o cambio en características definidas en el diseño, deberá ser registrada en la ficha de historia del útil y comunicada inmediatamente a su detección a Ingeniería y a Calidad de Utillaje para disposición y/o aceptación. El envío de cualquier útil, terminado o en cualquier fase de su fabricación ha de ser comunicado previamente a Calidad, quién se reservará la decisión de realizar la inspección de recepción en origen o en destino según estime conveniente. En cualquier caso, el proveedor se abstendrá de realizar cualquier envío sin la autorización previa de Calidad de Utillaje. Si durante el proceso de recepción se observasen discrepancias físicas o documentales, derivarán en la apertura del informe de discrepancias que pueden precisar la devolución del útil al proveedor. 1. - CLAUSULA DE ACCESO

El personal de ACITURRI o del Cliente Final, la Autoridad Aeronáutica Nacional (DGAC-E) o el Representante de Aseguramiento de Calidad (RAC), o cualquier otra persona designada por ACITURRI tendrá libre acceso a las instalaciones del Suministrador, así como de su cadena de cooperantes, para presenciar pruebas, revisar documentación o cualquier otra práctica que la Dirección de G. de Calidad considere necesaria, durante cualquier etapa del flujo productivo, no eximiendo en ningún caso al suministrador de la responsabilidad del producto o equipo fabricado.

2.- REGISTROS DE CALIDAD El SUMINISTRADOR mantendrá archivados durante al menos siete (7) años a partir del envío de los elementos, los documentos de ensayos e inspección, etc., así como los datos de control que cubran el producto final de cada ACUERDO DE SUMINISTRO, pudiendo estar en soporte informático a partir de los dos (2) años. A la finalización de tal periodo, el SUMINISTRADOR solicitará su destrucción a la Dirección de G. de Calidad de ACITURRI.

3.- SISTEMA DE CALIDAD

a) El SUMINISTRADOR de productos aeronáuticos tendrá implantado un Sistema de G. de Calidad (aplicable a los productos suministrados), basado en la última edición de la norma EN9100. En caso de no disponer de esta certificación, existirá un compromiso por escrito indicando que indique que la fecha de obtención de la misma no superará 6 meses desde la firma de este CONTRATO MARCO. b) El SUMINISTRADOR mandará con cada envío el certificado de ensayos (Test Report) cuando sea aplicable y el

a) The DRAWING will mean that it is the

contractual document which defines the

product, being the specifications, norms

and other documents concerning to the

DRAWING, to be fulfilled as well

b) The Subcontractor will be the

responsible to comply with the

conformity of their production according

with the documentation sent by

ACITURRI

c) When the need of on-site inspection is

decided on behalf of ACITURRI for a supplier work, you shall notify to

d) El SUMINISTRADOR no suministrará

elemento alguno del proyecto para el que

ha contratado, inclusive los dados por

inútiles, a ninguna otra entidad que no sea

ACITURRI.

e) Cualquier discrepancia del producto

detectada en el cliente final por

incumplimiento de las condiciones de

entrega según la documentación aplicable,

deberá ser atendida por el

SUMINISTRADOR conjuntamente con

ACITURRI.

f) El SUMINISTRADOR facilitará las

evidencias documentales a ACITURRI que

muestren que las instalaciones, los equipos

y el personal involucrados en los procesos

especiales y/o que los llevan a cabo, han

sido revisados, cualificados y aprobados y

que son controlados en todo momento.

g) Para los procesos END, el

SUMINISTRADOR dispondrá al menos del

soporte de un Nivel III válido para cada una

de las técnicas END aplicables

(internamente o a través de una agencia

externa).

h) Se requiere la realización de IPA en la

primera pieza fabricada de cada Part

Number y se deberá enviar para su

aprobación a ACITURRI antes de la entrega.

Este IPA debe realizarse según la EN9102 y

debe incluir la trazabilidad y certificados de

materia prima, dimensiones, etc utilizados

durante la fabricación e inspección.

d) The Subcontractor will not supply any

applicable technique of NDT (internally

or through an external agency)

h) The First Article Inspection shall be

performed by the Subcontractor in the

first component manufactured of each

Part Number and they will be submitted

to ACITURRI for final approval before

delivery of the component. This FAI

must be done according to EN9102 and

must be enclosed tradability, materials,

dimensions, etc used during

manufacturing and inspection.

6.- NO CONFORMIDADES

a) El tratamiento y disposición de los

elementos no conformes se llevará a cabo

de acuerdo con la metodología que

indique ACITURRI, o desarrollado en el

Plan de Calidad si éste existiese.

b) El SUMINISTRADOR facilitará a

ACITURRI los datos e informes relevantes

relacionados con los productos no

conformes ya enviados, donde la

fiabilidad o las operaciones de seguridad

pudieran resultar afectadas. Esta

información incluirá una descripción clara

de la no conformidad, la designación de la

pieza/componente incluyendo los datos

completos de su identificación que den

lugar a una concisa y unívoca

identificación de la pieza afectada, P/N's,

lote, cantidad enviada, fechas de envío,

etc.

c) El SUMINISTRADOR no está autorizado ni

a liberar ni enviar una pieza a ACITURRI

con una no conformidad no resuelta sin

que haya sido previamente aceptada por

escrito.

d) La aceptación de una No Conformidad,

no se podrá utilizar como argumento para

la aceptación de desviaciones similares

por parte del SUMINISTRADOR.

e) El SUMINISTRADOR será responsable de

las no conformidades que hayan sido

producidas bajo su responsabilidad, aun

cuando hayan sido detectadas en

productos ya enviados a ACITURRI o ya

en servicio, independientemente de la

finalización del contrato. El

SUMINISTRADOR asistirá a ACITURRI en

el análisis de los problemas derivados, así

como en la determinación de la causa raíz

referente a los elementos enviados a

ACITURRI.

6.- NON CONFORMITIES

a) The management and disposition of

non-conforming items will be developed

in accordance with the methodology

indicate by ACITURRI or it indicate in

the applicable Quality Plan, if exist.

b) The Subcontractor shall provide to

ACITURRI with the relevant data and

reports on the non-conforming products

already delivered where the reliability or

safety operations might result affected.

This information will include a clear

description of the non-conformity,

part/component designation including

full identification data allowing a concise

and univocal identification of the

affected part, P/N's, quantity delivered,

delivery dates, etc

c) The Subcontractor is not allowed either

to release or to deliver a part to

ACITURRI with a non-conformity not

resolved, unless it had been previously

accepted with a written approval.

d) A result of a NCR with a disposition as

“Acceptable” will cannot used as

argument in order to accept similar

deviations by the Subcontractor..

e) The Subcontractor shall be responsible

for the non-conformities that they have

been produced under its responsibility

even when they are detected in

products already delivered to ACITURRI

or in-service, and independently of the

completion of the contract. The

Subcontractor shall assist ACITURRI in

the analysis of in-service problems as

well as determination of the root cause

on those products delivered to

ACITURRI.

7.- UTILLAJE y EQUIPOS DE PRODUCCIÓN

a) El SUMINISTRADOR será responsable de

los utillajes que utilice en la fabricación y

verificación de los elementos controlados,

de tal forma que se asegure la obtención

de elementos conformes a través de los

mismos.

b) El SUMINISTRADOR dispondrá de los

medios y evidencias objetivas para

demostrar que se llevan a cabo los

controles que aseguren la bondad

(calibraciones si aplican) de los

útiles/EQUIPOS necesarios para el

proyecto de que se trate. La

subcontratación de calibraciones podrá

llevarse a cabo siempre que se demuestre

la trazabilidad con patrones reconocidos

(ENAC).

c) Las reparaciones sobre los útiles que

afecten a la configuración de los mismos,

deberán ser notificadas a ACITURRI, antes

de iniciar dicha reparación.

d) El mantenimiento y la verificación

periódica de los útiles será a cargo del

SUMINISTRADOR.

e) El SUMINISTRADOR será responsable del

buen uso del utillaje. En caso de sufrir

algún tipo de deterioro, el subcontratista

informará a ACITURRI.

8.- ESTADO DE RECEPCION

El SUMINISTRADOR asegurará que el sistema

de protección de los elementos de entrega, es

adecuado para evitar deterioros (golpes,

roces,...), durante su transporte y su manejo

hasta la situación de su uso en ACITURRI.

7.- TOOLS AND PRODUCTION EQUIPMENT

a) The supplier shall be responsible of the

tools used for manufacturing and

verifying of the elements controlled, in

order to assure the procurement of

conform elements through these tools

b) The Subcontractor shall have means

and objective evidences in order to

demonstrate that the controls to assure

the bondage of the tools (and

calibrations if applicable) need to

manufacture the products are carried

out to fulfil the contract. The

subcontracting of calibrations can be

carried out if the traceability of the

Official Standards can be demonstrated

(ENAC)

c) The repairs of tools, which affect to their

configuration, must be notified to

ACITURRI, previously to start the repair

d) The maintaining and the periodical

verification of the tools shall be in

charge of the supplier.

e) Supplier will be responsible of the

correct use of tooling. In case of

undergoing some type of damage, the

subcontractor will report to ACITURRI.

8.- DELIVERY PROTECTION SYSTEM

The Subcontractor shall assure that the

protections on the delivery element are

appropriate to avoid deteriorations (hits,

scratches, etc) during their transport and

handle until to be used in ACITURRI

9.- REQUERIMIENTOS ADICIONALES

Para contratos con Defensa y en cumplimiento

con la PECAL 2110 (Con diseño) y PECAL 2120

(sin diseño), será aplicable el siguiente

requerimiento que será incluido en el

ACUERDO DE SUMINISTRO al que aplique;

“En cumplimiento con PECAL 2110 el RAC (del

Ministerio de Defensa Español) y/ó el

Comprador deberá tener acceso libre a sus

instalaciones para realizar actividades de

Aseguramiento de la Calidad de los

materiales/productos suministrados.

Otros capítulos con información relevante sobre la cadena de suministro son: 10.-ENTREGAS

Incoterm. A menos que ACITURRI establezca

otra forma, las entregas serán realizadas de

acuerdo con el Incoterm DDU a las

instalaciones de ACITURRI especificadas en el

Pedido, o, en su defecto, en el ACUERDO DE

SUMINISTRO.

Plazos de entrega. El SUMINISTRADOR

entregará cada PIEZA a ACITURRI en las

fechas de entrega previstas y en el lugar

especificado en el Pedido.

Cumplimiento de los plazos. El

SUMINISTRADOR es consciente de la

importancia del cumplimiento de los plazos de

entrega para poder cumplir los acuerdos con el

CLIENTE FINAL, y al respecto empleará su

máxima diligencia y capacidad en la

adecuación a los plazos.

11.- PROPIEDAD DEL MATERIAL

El material entregado por ACITURRI (materia

prima, programas, utillajes, herramientas) al

SUMINISTRADOR se considerará en depósito,

Other chapter with relevant information about supply chain are: 10.- DELIVERY Incoterm. Unless otherwise established by

ACITURRI, deliveries shall be made in

accordance with the DDU Incoterm to the

installations of ACITURRI specified in the

Order, or in the absence thereof, in the

INDIVIDUAL SUPPLY AGREEMENT

Delivery periods. The SUPPLIER shall deliver

each PART to ACITURRI on the envisaged

delivery dates and to the place specified in the

Order.

Compliance with the delivery periods. The

SUPPLIER is aware of the importance of

complying with the delivery periods in order to

be able to fulfil the agreements concluded with

the FINAL CUSTOMER and shall, in this

respect, use the maximum diligence and

capacity to adapt to the delivery periods.

11.- MATERIAL PROPERTY

The material delivered by ACITURRI (raw

materials, programs, equipment, tools) to the

SUPPLIER shall be considered in storage,

manteniendo, en todo momento, ACITURRI la

propiedad del mismo. Al respecto, el

SUMINISTRADOR se compromete a tomar

todas las medidas necesarias de manejo y

almacenaje para garantizar el correcto estado

de conservación de los materiales que

mantiene en depósito, identificando el material

como “Propiedad de ACITURRI.”

Existe la posibilidad, bajo previo acuerdo entre

las Partes, que el SUMINISTRADOR compre y

gestione directamente el material o de que

ACITURRI venda el material al

SUMINISTRADOR. En caso de darse esta

circunstancia se indicará en el ACUERDO DE

SUMINISTRO. Esta posibilidad podrá darse

tanto al comienzo del acuerdo como a lo largo

del proyecto.

12.- PLAN DE PRODUCCIÓN

ACITURRI procurará mantener informado al

SUMINISTRADOR de las cadencias previstas,

siendo esta información orientativa.

El SUMINISTRADOR se compromete a realizar

las entregas de acuerdo con los pedidos

emitidos o con la planificación general del

PROGRAMA facilitada por ACITURRI a tal

efecto. Este Plan de entregas estará sujeto a

los cambios que por razones de replanificación

de la producción y/o la evolución del mercado

se establezcan en cada momento por parte de

ACITURRI.

13.- PENALIZACIONES

Retrasos en las entregas. En caso de retraso en

la entrega de cualquiera de los PRODUCTOS

por parte del SUMINISTRADOR, se aplicarán

(siempre que las Partes no pacten otras

penalizaciones en los ACUERDOS DE

SUMINISTRO) las siguientes penalizaciones:

a) Una penalización por retraso

equivalente al dos por ciento (2%) del

respect to handling and storage in order to

guarantee the correct conservation of the

materials it holds in storage. The material must

be identified as “Property of ACITURRI”

Subject to prior approval between the Parties,

and manage the material and ACITURRI shall

be able to sell the material to the SUPPLIER. In

such circumstance, this shall be indicated in

the INDIVIDUAL SUPPLY AGREEMENT. This

possibility shall arise both at the start of the

agreement and during the project.

12.- PRODUCTION PLAN ACITURRI shall endeavour to keep the

SUPPLIER informed of the envisaged output,

this information being for illustrative purposes.

The SUPPLIER shall make the deliveries in

accordance with the orders issued or with the

PROGRAM general planning provided by

ACITURRI to this end. This delivery plan is

subject to changes, which owing to the re-

planning of production and/or market trends,

are established at all times by ACITURRI.

13.- PENALTIES Delays in delivery. In the event of delay in the

delivery of any of the PRODUCTS by the

SUPPLIER, the following penalties shall be

applied (provided the Parties do not agree to

other penalties in the INDIVIDUAL SUPPLY

AGREEMENTS):

a) A penalty for delay equal to two

per cent (2%) of the price of the

c) Además, en cualquier pedido retrasado

(cuyo retraso no haya sido acordado

previamente por ACITURRI), el

SUMINISTRADOR se hará cargo de los

portes.

"Gastos asociados a la No Calidad”. En caso

que ACITURRI tenga que abrir un informe

de discrepancia al SUMINISTRADOR (IDS)

por falta de calidad de los PRODUCTOS, se

aplicarán los siguientes cargos (siempre

que no se especifique algo diferente en los

ACUERDOS DE SUMINISTRO):

a) Penalización de SETENTA Y

CINCO (75) Euros por cada IDS

abierto por causa del

SUMINISTRADOR.

b) En caso que una PIEZA sea

declarada "inútil" por ACITURRI,

el SUMINISTRADOR se hará cargo

del coste íntegro del material

inutilizado más los costes

logísticos, incluido el corte del

material.

c) En caso de PIEZAS que sean

calificadas por ACITURRI como

"retrabajables" o "reparables", si

este retrabajo puede ser realizado

por ACITURRI, o subcontratado a

terceros, ACITURRI informará al

SUMINISTRADOR del coste de la

PRODUCT for every week of

delay.

b) If the delay exceeds thirty (30)

calendar days, ACITURRI reserves

the right to cancel, wholly or in

part, the INDIVIDUAL SUPPLY

AGREEMENT, and, where

appropriate, the FRAMEWORK

AGREEMENT, without prejudice to

its right to take action for

damages owing to breach of

contract by the SUPPLIER.

c) Moreover, in any order that is

delayed (when the delay has not

been previously agreed to by

ACITURRI), the SUPPLIER shall

pay the freight charge.

"Expenses relating to Non-quality”. In the

event that ACITURRI has to file a SUPPLIER

discrepancy report (IDS) owing to quality

deficiency of the PRODUCTS, the following

charges shall apply (unless otherwise

stipulated in the INDIVIDUAL SUPPLY

AGREEMENTS):

a) Penalty of SEVENTY FIVE (75)

Euros for every IDS filed for

reasons attributable to the

SUPPLIER.

b) In the event that a PART is

declared "scrap" by ACITURRI,

the SUPPLIER shall pay the entire

cost of the material scrapped,

included logistic and material cut

costs.

c) In the event of PARTS being

classified by ACITURRI as

"reworkable” or "repairable", if

this rework may be carried out by

ACITURRI, or subcontracted to

third parties, ACITURRI shall

reparación o retrabajo y éste

tendrá la opción de decidir

realizar la misma por sí mismo o

aceptar el coste propuesto por

ACITURRI. En cualquiera de las

dos opciones, los costes

asociados al transporte de las

piezas defectuosas serán por

cuenta del SUMINISTRADOR.

d) A efectos de penalización por

retraso en entrega según la

cláusula 12.1., la entrega de

piezas "no conformes" se

considerarán como no entregadas

y el tiempo hasta la nueva

entrega computará como tiempo

penalizable.

Aplicación de las penalizaciones.

ACITURRI informará al SUMINISTRADOR

de sus indicadores de entregas y de

calidad mensualmente. En el caso que

éstos sean aceptables (verdes) no habrá

lugar a la imposición de sanción aunque se

les informará oportunamente. En el caso

que existan indicadores no aceptables

(amarillos o rojos), se comunicara al

SUMINISTRADOR la penalización y éste

tendrá un plazo de alegaciones que no

podrá ser superior a siete (7) días

naturales antes de la imposición de las

penalizaciones.

14.- SUBCONTRATACION Habiéndose realizado el CONTRATO MARCO en

base a la consideración personalísima del

SUMINISTRADOR, éste no podrá cederlo, en

todo o en parte, ni se podrá conceder derecho

alguno sobre el mismo, subcontratar o delegar

cualquiera de sus obligaciones, sin el

consentimiento previo y escrito de ACITURRI.

En el caso que ACITURRI autorizara una

subcontratación:

the SUPPLIER.

d) For the purposes of penalty for

delay in accordance with the provisions of Clause 12.1., the delivery of parts "not in conformity" shall be considered as not delivered and the time remaining until the new delivery shall compute as penalizable

Application of penalties. ACITURRI shall inform

the SUPPLIER on a monthly basis of its delivery

and quality indicators. In the event that these

are acceptable (green), no penalty shall be

imposed although the SUPPLIER shall be duly

informed. In the event that the indicators are

not acceptable (yellow or red), the penalty

shall be notified to the SUPPLIER who shall

have a period of not more than seven (7)

calendar days for presenting allegations prior

to the imposition of penalties.

14.- OUTSOURCING

The FRAMEWORK AGREEMENT being a

personal agreement concluded with the

SUPPLIER, the latter shall not be able to assign

the same, wholly or in part, or assign any right

over the same, subcontract or delegate any of

its obligations, without the prior written

consent of ACITURRI

In the event that ACITURRI authorises

a) El SUMINISTRADOR será, en todo

caso, responsable de la

certificación y de los gastos

derivados de la misma.

b) En ningún caso se establecerá

relación alguna entre ACITURRI y

el subproveedor o subcontratista.

c) El SUMINISTRADOR será, en todo

caso, responsable por el mal

funcionamiento de cualquiera de

los elementos adquiridos por

subcontratos.

d) Los retrasos causados por los

subproveedores, en caso que los

hubiere, no eximen al

SUMINISTRADOR de sus

responsabilidades y, en su caso,

de la aplicación de las sanciones

previstas.

e) El SUMINISTRADOR se obliga a

hacer firmar Cartas de

Confidencialidad a los

subcontratistas.

15.- CONFIDENCIALIDAD

El SUMINISTRADOR considerará como

confidencial y no divulgará a terceros, en todo

o en parte, la Propiedad Industrial, Tecnología

o cualquier otra información industrial o

comercial, experiencias y conocimientos

revelados o conocidos en virtud de su

prestación de servicios, comprometiéndose a

no utilizar la información para ningún fin

distinto a aquellos fines para los que fue

suministrada o conocida. Asimismo no

divulgará a efectos publicitarios información

relativa a los productos, si no está autorizado

previa y expresamente por escrito por

ACITURRI.

b) In no event shall a relationship be

established between ACITURRI

and the subsupplier or

subcontractor.

c) The SUPPLIER shall be

responsible, in any event, for the

malfunctioning of elements

acquired under subcontracts.

d) Delays caused by the

subsuppliers, in the event that

there are any, shall not exonerate

the SUPPLIER from its

responsibilities or, where

appropriate, from the application

of the envisaged penalties.

e) The SUPPLIER undertakes to sign

Confidentiality Letters for the

subcontractors.

15.- CONFIDENTIALITY The SUPPLIER shall treat as confidential and

shall not disclose to third parties, wholly or in

part, Industrial Property, Technology or any

other industrial or commercial information,

experience or knowledge disclosed or made

known to it by virtue of its supply of services,

and undertakes not to use the information for

any purpose other than that for which it was

provided or made known. Likewise, the

SUPPLIER shall not, without the prior and

express written authorisation of ACITURRI,

disclose, for publicity purposes, information

relating to the products.

Asimismo, el SUMINISTRADOR se compromete

a tomar todas las medidas necesarias

tendentes a evitar que dicha información

pueda ser conocida por terceros. En

consecuencia, protegerá la información

confidencial utilizando los mismos medios de

protección que utiliza para proteger su propia

información confidencial. El SUMINISTRADOR

se asegurará de que todos sus técnicos y

empleados que tengan acceso a cualquier parte

de la Tecnología, o información proporcionados

por el ACITURRI, cumplen estrictamente la

obligación de confidencialidad, para lo cual les

advertirá expresamente de ello y, en todo

caso, firmará Cartas de Confidencialidad a tal

efecto con los mismos.

El SUMINISTRADOR es consciente de que el

hecho de facilitar información confidencial

conforme aquí se describe, a terceros,

competidores de ACITURRI o no, pondría a la

misma en una grave situación de desventaja

competitiva y le causaría incalculables daños

no sólo económicos, sino comerciales,

financieros y de otro tipo. Por ello, en caso de

incumplimiento de las anteriores obligaciones

de confidencialidad, el SUMINISTRADOR

responderá, civil y penalmente, de cuantos

daños y perjuicios, contractuales o extra-

contractuales, pudiese ocasionar dicho

incumplimiento a ACITURRI o a terceros.

Likewise, the SUPPLIER undertakes to adopt all

the necessary measures to prevent such

information from being known by third parties.

As a result, it shall protect the confidential

information using the means of protection it

uses to protect its own confidential

information. The SUPPLIER shall ensure that all

its technicians and employees who have access

to any part of the Technology or information

provided by ACITURRI, comply strictly with the

confidentiality obligation, for which it shall

expressly inform them of this and sign, in any

event, Confidentiality Letters to this effect with

the same.

The SUPPLIER is aware that providing

confidential information as described herein, to

third parties, whether or not rival companies of

ACITURRI, would put the same at a serious

competitive disadvantage and cause it

incalculable damage not only economic and

financial but also other types of damage.

Therefore, in the event of non-compliance with

the above confidentiality obligations, the

SUPPLIER shall have third party and criminal

liability for any damages, contractual or non-

contractual, that might be caused by said non-

compliance to ACITURRI or third parties.

6. SPECIAL CRITERIA FOR QUALITY DELEGATION IN AIRBUS MILITARY PROGRAMMS

1. ALCANCE

El presente sistema se aplicara a las actividades de delegación del punto 8.4 tipo 1 del PSC-20, realizadas por ACITURRI METALLIC PARTS para los proveedores encuadrados como SUM/SUB de clase II (fabricación), según el punto 5 del PSC-20.

2. DOCUMENTACION APLICABLE

� PSC-72 “Procedimiento de Gestión del panel de Proveedores”

3. RESPONSABILIDADES

• Es responsabilidad de Subcontratación proponer al subcontratista al que desea se haga la delegación de calidad

• Es responsabilidad de Calidad de Planta analizar y responder por escrito a Subcontratación sobre la conveniencia y adecuación de la delegación de calidad.

• Es responsabilidad de la Dirección de Calidad dar la aprobación final a la delegación.

• Es responsabilidad del Departamento de Sistemas implementar en el sistema informático las operaciones necesarias para que salgan los correspondientes mensajes en recepción, o quitarlos en caso de retirada de la delegación.

4. REQUISITOS DEL SUBCONTRATISTAS

No se podrá hacer ningún tipo de delegación de calidad a subcontratistas que no tengan un sistema de calidad certificado bajo el estándar EN 9100.

Los criterios que debe cumplir el subcontratista para que se le pueda hacer la delegación de calidad son:

• Haber estado al menos 3 meses con los indicadores de escapes en verde,

This system will be applied to the delegation activities contents in PSC-20 point 8.4 type 1, realized to subcontractors of class II(manufacturing) (PSC-20 points 5) by ACITURRI METALLIC PARTS.

2. APPLICABLE DOCUMENTS

� PSC-72 “Suppliers´ Panel Management procedure”

3. RESPONSABILITIES

• Outsourcing department will propose the subcontractors candidates to the quality delegation.

• Process Quality Department will analyze the convenience and interest of the delegation, and must reply to Outsourcing Department by writing.

• Quality Direction must approve the delegation

• Systems Department must implement in the computer Systems the necessary operations for automatic messages in products reception, or remove in case of delegation retreat.

4. SUBCONTRACTORS REQUIREMENTS

The subcontractor candidate must have an EN 9100 Quality Management Certificate.

The subcontractors must fulfill the following criteria to obtain the quality delegation:

• Have been, at least, 3 months with

según lo establecido en el PSC-72 “Gestión del Panel de Proveedores”

• Un plan de calidad aprobado.

• Tener una valoración positiva por parte del Departamento de Subcontratación en base a las visitas de seguimiento realizadas.

• Se valorará positivamente que el subcontratista tenga personal de calidad con delegación de calidad de otros clientes.

• Será requisito indispensable para delegar la calidad en piezas de AIRBUS DEFENSE AND SPACE que el subcontratista tenga personal con calidad delegada del cliente.

4.1. Delegación de Calidad provisional en Subcontratista

En aquellos casos en que por la adjudicación de un nuevo paquete de fabricación, sea necesaria la delegación de Calidad del subcontratista y no se cumpla alguno de los requisitos establecidos en el apéndice III del PSC-20 (información de indicadores, plan de calidad aprobado, etc…) para realizar la delegación formal, se podrán realizar delegaciones provisionales por familias homogéneas de part number, siempre y cuando se cumplan las siguientes circunstancias:

� Durante la compra en origen de los part number en fase de industrialización no sean detectadas por Calidad de Subcontratación no conformidades mayores con impacto a producto o posibles riesgos que pudieran poner en riesgo la calidad del mismo.

� Aprobación del IPA por Calidad de Subcontratación.

La propuesta de la delegación se realizará por Calidad de Subcontratación basándose en la complejidad del elemento susceptible de delegación y en que no se hayan detectado

• An approved quality plan

• A positive assessment of Outsourcing Department as a result of monitoring inspection

• If the subcontractor has quality staff with quality delegation from other customers that will be positively value by Outsourcing Department.

• For quality delegation in products for AIRBUS DEFENSE AND SPACE it is necessary that the subcontractor have personnel with quality delegation of the customer.

4.1. Provisional delegation subcontractor quality

In cases where the delegation of Quality subcontractor is necessary due to a new package manufacturing assignation and any of the requirements addressed at Appendix III of the PSC-20 (kpi information indicators approved quality plan , etc. ...) are not fulfilled to perform the formal delegation, then provisional delegations could be made for part number homogeneous families, if the following conditions are met:

� If no major non-conformities with product impact or potential risks that could affect the part quality are detected during the purchase at subcontractor facilities (in source-purchase) which could affect the product quality.

� FAI Approval for Subcontracting Quality Department.

The delegation proposal will be made by the Subcontracting Quality area based on the complexity of the element to be delegated and moreover, that no risk have been detected

posibles riesgos que pudieran poner en riesgo la calidad del producto.

Esta propuesta será puesta en conocimiento de la Dirección de Gestión de Calidad, Responsable de Calidad Operativa y Calidad de Sistema.

Calidad de Subcontratación mantendrá un listado con los part number / subcontratista con delegación provisional. (Este listado podrá mantenerse en SAP).

Estas delegaciones provisionales no podrán dilatarse en el tiempo más de 6 meses hasta la emisión de la delegación formal. No obstante, se podrán solicitar ampliaciones justificando las mismas teniendo en cuenta la cadencia de los programas y otros considerados. Nunca podrá ser ampliada la delegación provisional/temporal en más de tres ocasiones.

5. RETIRADA DE LA DELEGACIÓN

La delegación de calidad le será retirada al subcontratista cuando sus indicadores de escapes pasen a rojo.

Se realizará de la siguiente manera:

• Cuando el subcontratista en un mes tenga el indicador de escapes en rojo se le realizará una visita de seguimiento.

• Cuando el subcontratista esté 3 meses seguidos con el indicador de escapes en rojo se incrementarán las visitas, según PSC-72, y se les pedirá un plan de mejora específico.

• Si a pesar de todas las medidas sigue fuera de objetivo durante tres meses más se le retirará definitivamente la delegación de calidad, sin perjuicio de que pueda recuperarla iniciando otra vez todo el procedimiento de delegación.

This proposal will be lead to the Quality Manager, Head of Operational Quality and Quality System.

Subcontracting Quality will maintain a list with the part number / subcontractor pointing the provisional delegation. (This list may be maintained in SAP).

These provisional delegations could not exceed more than 6 months until the final formal delegation. Nevertheless, extensions could be requested by justifying these, taking into account the cadence of the programs and others considerations. The provisional / temporary delegation cannot be never b extended more than three times.

5. DELEGATION RETREAT

The quality delegation will be retreat when escapes indicators be in red.

The retreat process will be as follow:

• When the subcontractor have the escapes indicators in red during a month, the Outsourcing Department will realized a monitoring visit.

• When the subcontractor have the escapes indicators in red during three consecutive months, the monitoring visits will increase, as PSC-72, and they must prepared an specific improvements plan.

If in spite of all the actions the subcontractor continues with the escapes indicators in red during three months more, the quality delegation will be retreat. The subcontractor could recover the quality delegation initiating again the process of delegation.

6. CRITERIOS ESPECIALES PARA LA DELEGACION DE CALIDAD EN PROGRAMAS DE AIRBUS MILITARY

Para que el subcontratista pueda cumplimentar en las pautas la operación de inspección final se pueden dar dos situaciones: 1.- En el caso de que el subcontratista tenga personal de inspección certificado por Airbus Defense and Space, este se hará constar con nombre y apellidos en su plan de calidad y en el de ACITURRI juntos con los propios. 2.- Si el subcontratista no tiene personal certificado, al personal que pretendan cualificar para la delegación tendrá mínimo 5 años de experiencia en calidad, de los cuales, al menos 3 serán en inspección. ACITURRI realizará una inspección en origen (asimilable a un examen práctico) del personal al que se quiera delegar enfocada a comprobar el grado de competencia del inspector. La evidencia de esta inspección y el currículo del personal se enviarán junto con la solicitud de aprobación a ADS El personal aprobado por AIM se incluirá con nombres y apellidos en el plan de calidad del subcontratista y en el plan propio de ACITURRI.

6. SPECIAL CRITERIA FOR QUALITY DELEGATION IN AIRBUS MILITARY PROGRAMMS

Could be two conditions for the subcontractor fulfill of Process Report Sheet: 1. - If the subcontractor have Airbus Defense and Space certificated inspection staff, will included a nominated list in quality plan and in ACITURRI quality plan with own certified personnel. 2. - If subcontractor do not have certified inspection staff, they must certificated personnel with minimum experience 5 years in quality department, of which 3 years must be in inspection task. In the second case ACITURRI will realize “in situ” inspection of the personnel to give the delegation (similar to practical exam), to verify the inspector competence. This inspection evidence and the inspector curriculum will be sending to AIRBUS DEFENSE AND SPACE with the approval request. Subcontractor approval personnel by AIM will be included in a nominated list in quality plan of supplier and in ACITURRI quality plan.
